ACTION: Notice.

    Notice of an application under Section 6(c) of the Investment 
Company Act of 1940 (``Act'') for an exemption from Section 15(c) of 
the Act.

SUMMARY OF APPLICATION:  The requested exemption would permit a Trust's 
board of trustees to approve new sub-advisory agreements and material 
amendments to existing sub- advisory agreements without complying with 
the in-person meeting requirement of Section 15(c) of the Act.

APPLICANTS:  Guardian Variable Products Trust and Park Avenue 
Institutional Advisers LLC.

FILING DATES:  The application was filed on December 13, 2024.

relief will be issued unless the Commission orders a hearing.
