Tennessee Gas Pipeline Company; Notice of Compliance Filing

November 2, 1999.
    Take notice that on October 29, 1999, Tennessee Gas Pipeline 
Company (Tennessee), tendered for filing as part of its FERC Gas 
Tariff, the following tariff sheets, with an effective date of November 
1, 1999:

Fifth Revised Volume No. 1

Thirteenth Revised Sheet No. 26
Thirteenth Revised Sheet No. 26A
Twenty-First Revised Sheet No. 26B

Original Volume No. 2

Thirty-Ninth Revised Sheet No. 5

    Tennessee states that this filing is in compliance with the 
Stipulation and Agreement approved by the Commission in its April 16, 
1997 Order Approving Settlement in the above-referenced docket. 
Tennessee Gas Pipeline Company, 79 FERC para. 61,031 (1997). Tennessee 
requests waiver of the Commission's thirty-day notice requirement to 
allow an effective date of November 1, 1999 for the tariff sheets. 
Tennessee submits that good cause exists for the waiver because (1) the 
proposed tariff sheets represent a reduction in these customers' 
existing rates; (2) all of Tennessee's customers were informed of the 
rates since such rates were set forth in the Stipulation and Agreement; 
and (3) the Commission previously approved implementation of the rates, 
effective November 1, 1999, in its orders approving the Stipulation and 
Agreement.
    Any person desiring to protest this filing should file a protest 
with the Federal Energy Regulatory Commission, 888 First Street, N.E., 
Washington, D.C. 20426, in accordance with Section 385.211 of the 
Commission's Rules and Regulations. All such protests must be filed as 
provided in Section 154.210 of the Commission's Regulations. Protests 
will be considered by the Commission in determining the appropriate 
action to be taken, but will not serve to make protestants parties to 
the proceedings. Copies of this filing are on file with the Commission 
and are available for public inspection in the Public Reference Room.
