    <main style="-uslm-dtd:legis-body"><longTitle><docTitle style="-uslm-dtd:legis-type">AN ACT</docTitle><officialTitle style="-uslm-dtd:official-title">To amend title 36, United States Code, to revise the Federal charter for the Foundation of the Federal Bar Association.</officialTitle></longTitle><enactingFormula style="-uslm-dtd:enacting-clause">Be it enacted by the Senate and House of Representatives of the United States of America in Congress assembled,</enactingFormula>
        <section identifier="/us/sComp/119/57/s1" style="-uslm-dtd:section" styleType="OLC">
            <num style="-uslm-dtd:enum" value="1">SECTION 1. </num><editorialNote role="uscRef" style="-uslm-dtd:usc-reference"><b>[</b><ref href="/us/usc/t36/s101">36 U.S.C. 101 note</ref><b>]</b> </editorialNote><heading style="-uslm-dtd:header">SHORT TITLE. </heading>
            <content class="block" style="-uslm-dtd:text">This Act may be cited as the “<shortTitle style="-uslm-dtd:quote">Foundation of the Federal Bar Association Charter Amendments Act of 2025</shortTitle>”.</content>
        </section>
        <section identifier="/us/sComp/119/57/s2" style="-uslm-dtd:section" styleType="OLC">
            <num style="-uslm-dtd:enum" value="2">SEC. 2. </num><heading style="-uslm-dtd:header">ORGANIZATION. </heading>
            <chapeau class="block" style="-uslm-dtd:text">Section 70501 of title 36, United States Code, is amended—</chapeau>
            <paragraph identifier="/us/sComp/119/57/s2/1" style="-uslm-dtd:paragraph" styleType="OLC">
                <num style="-uslm-dtd:enum" value="1">(1) </num><content style="-uslm-dtd:text">by striking subsection (b); and</content>
            </paragraph>
            <paragraph identifier="/us/sComp/119/57/s2/2" style="-uslm-dtd:paragraph" styleType="OLC">
                <num style="-uslm-dtd:enum" value="2">(2) </num><content style="-uslm-dtd:text">by redesignating subsection (c) as subsection (b).</content>
            </paragraph>
        </section>
        <section identifier="/us/sComp/119/57/s3" style="-uslm-dtd:section" styleType="OLC">
            <num style="-uslm-dtd:enum" value="3">SEC. 3. </num><heading style="-uslm-dtd:header">MEMBERSHIP. </heading>
            <chapeau class="block" style="-uslm-dtd:text">Section 70503 of title 36, United States Code, is amended—</chapeau>
            <paragraph identifier="/us/sComp/119/57/s3/1" style="-uslm-dtd:paragraph" styleType="OLC">
                <num style="-uslm-dtd:enum" value="1">(1) </num><content style="-uslm-dtd:text">by striking subsections (a) and (b) and inserting the following:<quotedContent style="-uslm-dtd:quoted-block">
                <subsection style="-uslm-dtd:subsection" styleType="OLC">
                    <num style="-uslm-dtd:enum" value="a">“(a) </num><heading style="-uslm-dtd:header">Eligibility.—</heading><content style="-uslm-dtd:text">Except as provided in this chapter, eligibility for membership in the corporation and the rights and privileges of members are as provided in the bylaws.”</content>
                </subsection></quotedContent>; and</content>
            </paragraph>
            <paragraph identifier="/us/sComp/119/57/s3/2" style="-uslm-dtd:paragraph" styleType="OLC">
                <num style="-uslm-dtd:enum" value="2">(2) </num><content style="-uslm-dtd:text">by redesignating subsection (c) as subsection (b).</content>
            </paragraph>
        </section>
        <section identifier="/us/sComp/119/57/s4" style="-uslm-dtd:section" styleType="OLC">
            <num style="-uslm-dtd:enum" value="4">SEC. 4. </num><heading style="-uslm-dtd:header">GOVERNING BODY. </heading>
            <content class="block" style="-uslm-dtd:text">Section 70504 of title 36, United States Code, is amended to read as follows:<quotedContent style="-uslm-dtd:quoted-block">
            <section style="-uslm-dtd:section" styleType="OLC">
                <num style="-uslm-dtd:enum" value="70504">“SEC. 70504. </num><heading style="-uslm-dtd:header">Governing body </heading>
                <subsection style="-uslm-dtd:subsection" styleType="OLC">
                    <num style="-uslm-dtd:enum" value="a">“(a) </num><heading style="-uslm-dtd:header">Board of Directors.—</heading><content style="-uslm-dtd:text">The board of directors is the governing body of the corporation. The board may exercise, or provide for the exercise of, the powers of the corporation. The board of directors and the responsibilities of the board are as provided in the bylaws.</content>
                </subsection>
                <subsection style="-uslm-dtd:subsection" styleType="OLC">
                    <num style="-uslm-dtd:enum" value="b">“(b) </num><heading style="-uslm-dtd:header">Officers.—</heading><content style="-uslm-dtd:text">The officers and the election of the officers are as provided for in the bylaws.”</content>
                </subsection>

        <section identifier="/us/sComp/119/57/s5" style="-uslm-dtd:section" styleType="OLC">
            <num style="-uslm-dtd:enum" value="5">SEC. 5. </num><heading style="-uslm-dtd:header">RESTRICTIONS. </heading>
            <content class="block" style="-uslm-dtd:text">Section 70507 of title 36, United States Code, is amended to read as follows:<quotedContent style="-uslm-dtd:quoted-block">
            <section style="-uslm-dtd:section" styleType="OLC">
                <num style="-uslm-dtd:enum" value="70507">“SEC. 70507. </num><heading style="-uslm-dtd:header">Restrictions </heading>
                <subsection style="-uslm-dtd:subsection" styleType="OLC">
                    <num style="-uslm-dtd:enum" value="a">“(a) </num><heading style="-uslm-dtd:header">Stock and Dividends.—</heading><content style="-uslm-dtd:text">The corporation may not issue stock or declare or pay a dividend.</content>
                </subsection>
                <subsection style="-uslm-dtd:subsection" styleType="OLC">
                    <num style="-uslm-dtd:enum" value="b">“(b) </num><heading style="-uslm-dtd:header">Political Activities.—</heading>
                    <paragraph style="-uslm-dtd:paragraph" styleType="OLC">
                        <num style="-uslm-dtd:enum" value="1">“(1) </num><heading style="-uslm-dtd:header">In general.—</heading><content style="-uslm-dtd:text">The activities, funds, income, and property of the corporation may not be used to carry on political activity or attempt to influence legislation.</content>
                    </paragraph>
                    <paragraph style="-uslm-dtd:paragraph" styleType="OLC">
                        <num style="-uslm-dtd:enum" value="2">“(2) </num><heading style="-uslm-dtd:header">No contribution, support, or participation.—</heading><content style="-uslm-dtd:text">The corporation or a director or officer in the corporate capacity of the director of officer may not contribute to, support, or participate in any political activity or in any manner attempt to influence legislation.</content>
                    </paragraph>
                </subsection>
                <subsection style="-uslm-dtd:subsection" styleType="OLC">
                    <num style="-uslm-dtd:enum" value="c">“(c) </num><heading style="-uslm-dtd:header">Distribution of Income or Assets.—</heading>
                    <paragraph style="-uslm-dtd:paragraph" styleType="OLC">
                        <num style="-uslm-dtd:enum" value="1">“(1) </num><heading style="-uslm-dtd:header">In general.—</heading><chapeau style="-uslm-dtd:text">The income or assets of the corporation may not inure to the benefit of, or be distributed to, a director, officer, or member during the life of the charter granted by this chapter. This subsection does not prevent the payment, in amounts approved by the board of directors, of—</chapeau>
                        <subparagraph style="-uslm-dtd:subparagraph" styleType="OLC">
                            <num style="-uslm-dtd:enum" value="A">“(A) </num><content style="-uslm-dtd:text">reasonable compensation; or</content>
                        </subparagraph>
                        <subparagraph style="-uslm-dtd:subparagraph" styleType="OLC">
                            <num style="-uslm-dtd:enum" value="B">“(B) </num><content style="-uslm-dtd:text">reimbursement for expenses incurred in undertaking the corporation’s business, to officers, directors, or members.</content>
                        </subparagraph>
                    </paragraph>
                    <paragraph style="-uslm-dtd:paragraph" styleType="OLC">
                        <num style="-uslm-dtd:enum" value="2">“(2) </num><heading style="-uslm-dtd:header">Rule of construction.—</heading><chapeau style="-uslm-dtd:text">This subsection shall not be construed to—</chapeau>
                        <subparagraph style="-uslm-dtd:subparagraph" styleType="OLC">
                            <num style="-uslm-dtd:enum" value="A">“(A) </num><content style="-uslm-dtd:text">prevent the award of a grant to a Federal Bar Association chapter of which an officer, director, or member may be a member; or</content>
                        </subparagraph>
                        <subparagraph style="-uslm-dtd:subparagraph" styleType="OLC">
                            <num style="-uslm-dtd:enum" value="B">“(B) </num><content style="-uslm-dtd:text">prevent the payment of reasonable compensation to the corporation’s employees for services undertaken on behalf of the corporation.</content>
                        </subparagraph>
                    </paragraph>
                </subsection>
                <subsection style="-uslm-dtd:subsection" styleType="OLC">
                    <num style="-uslm-dtd:enum" value="d">“(d) </num><heading style="-uslm-dtd:header">Loans.—</heading><content style="-uslm-dtd:text">The corporation may not make a loan to a director, officer, member, or employee.</content>
                </subsection>
                <subsection style="-uslm-dtd:subsection" styleType="OLC">
                    <num style="-uslm-dtd:enum" value="e">“(e) </num><heading style="-uslm-dtd:header">Immunity From Liability.—</heading><content style="-uslm-dtd:text">Members and private individuals are not liable for the obligations of the corporation.</content>
                </subsection>
                <subsection style="-uslm-dtd:subsection" styleType="OLC">
                    <num style="-uslm-dtd:enum" value="f">“(f) </num><heading style="-uslm-dtd:header">Claim of Governmental Approval or Authority.—</heading><chapeau style="-uslm-dtd:text">The corporation—</chapeau>
                    <paragraph style="-uslm-dtd:paragraph" styleType="OLC">
                        <num style="-uslm-dtd:enum" value="1">“(1) </num><content style="-uslm-dtd:text">may not claim congressional approval or the authority of the United States Government for any of its activities; and</content>
                    </paragraph>
                    <paragraph style="-uslm-dtd:paragraph" styleType="OLC">
                        <num style="-uslm-dtd:enum" value="2">“(2) </num><content style="-uslm-dtd:text">may acknowledge this charter.”</content>
                    </paragraph>
                </subsection>
            </section></quotedContent>.</content>
        </section>
        <section identifier="/us/sComp/119/57/s6" style="-uslm-dtd:section" styleType="OLC">
            <num style="-uslm-dtd:enum" value="6">SEC. 6. </num><heading style="-uslm-dtd:header">PRINCIPAL OFFICE. </heading>
            <content class="block" style="-uslm-dtd:text">Section 70508 of title 36, United States Code, is amended by striking “<quotedText style="-uslm-dtd:quote">the District of Columbia,</quotedText>” and inserting “<quotedText style="-uslm-dtd:quote">a United States location decided by the board of directors and specified in the bylaws,</quotedText>”.</content>
        </section>
        <section identifier="/us/sComp/119/57/s7" style="-uslm-dtd:section" styleType="OLC">
            <num style="-uslm-dtd:enum" value="7">SEC. 7. </num><heading style="-uslm-dtd:header">SERVICE OF PROCESS. </heading>
            <content class="block" style="-uslm-dtd:text">Section 70510 of title 36, United States Code, is amended to read as follows:<quotedContent style="-uslm-dtd:quoted-block">
            <section style="-uslm-dtd:section" styleType="OLC">
                <num style="-uslm-dtd:enum" value="70510">“SEC. 70510. </num><heading style="-uslm-dtd:header">Service of process </heading>
                <content class="block" style="-uslm-dtd:text">“The corporation shall comply with the law on service of process of the State or District in which it is incorporated.”</content>
            </section></quotedContent>.</content>
        </section>
        <section identifier="/us/sComp/119/57/s8" style="-uslm-dtd:section" styleType="OLC">
            <num style="-uslm-dtd:enum" value="8">SEC. 8. </num><heading style="-uslm-dtd:header">DEPOSIT OF ASSETS ON DISSOLUTION OR FINAL LIQUIDATION. </heading>
            <content class="block" style="-uslm-dtd:text">Section 70512 of title 36, United States Code, is amended to read as follows:<quotedContent style="-uslm-dtd:quoted-block">
            <section style="-uslm-dtd:section" styleType="OLC">
                <num style="-uslm-dtd:enum" value="70512">“SEC. 70512. </num><heading style="-uslm-dtd:header">Deposit of assets on dissolution or final liquidation </heading>
                <chapeau class="block" style="-uslm-dtd:text">“On dissolution or final liquidation of the corporation, any assets of the corporation remaining after the discharge of all liabilities shall be distributed—</chapeau>
                <subsection style="-uslm-dtd:subsection" styleType="OLC">
                    <num style="-uslm-dtd:enum" value="a">“(a) </num><content style="-uslm-dtd:text">as provided by the board of directors; and</content>
                </subsection>
                <subsection style="-uslm-dtd:subsection" styleType="OLC">
                    <num style="-uslm-dtd:enum" value="b">“(b) </num><content style="-uslm-dtd:text">in compliance with the charter and bylaws.”</content>
                </subsection>
            </section></quotedContent>.</content>
        </section>
        <section identifier="/us/sComp/119/57/s9" style="-uslm-dtd:section" styleType="OLC">
            <num style="-uslm-dtd:enum" value="9">SEC. 9. </num><heading style="-uslm-dtd:header">DETERMINATION OF BUDGETARY EFFECTS. </heading>
            <content class="block" style="-uslm-dtd:text">The budgetary effects of this Act, for the purpose of complying with the Statutory Pay-As-You-Go Act of 2010, shall be determined by reference to the latest statement titled “Budgetary Effects of PAYGO Legislation” for this Act, submitted for printing in the Congressional Record by the Chairman of the Senate Budget Committee, provided that such statement has been submitted prior to the vote on passage.</content>
        </section>
