which was read twice and referred to the <committee-name committee-id="SSBK00">Committee on Banking, Housing, and Urban Affairs</committee-name></action-desc></action><legis-type>A BILL</legis-type><official-title>To amend the Financial Stability Act of 2010 to provide the Financial Stability Oversight Council with duties regarding artificial intelligence in the financial sector, and for other purposes.</official-title></form><legis-body display-enacting-clause="yes-display-enacting-clause" id="H94DE3E9EDBD5483FA279A12E5024DE68"><section section-type="section-one" id="S1"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Financial Artificial Intelligence Risk Reduction Act</short-title></quote> or the <quote><short-title>FAIRR Act</short-title></quote>.</text></section><section id="id694be94d763846389a37ee540ed8b072"><enum>2.</enum><header>Special provisions regarding artificial intelligence in the financial sector</header><subsection id="idd2a1f269a5c645848cb54d2e7f872dc7"><enum>(a)</enum><header>In general</header><text>Subtitle A of the Financial Stability Act of 2010 (<external-xref legal-doc="usc" parsable-cite="usc/12/5321">12 U.S.C. 5321 et seq.</external-xref>) is amended by adding at the end the following:</text><quoted-block style="OLC" display-inline="no-display-inline" id="id7fdfd5c12af1417bba4f93eff4f82fe7"><section id="idaf1e4f6321894c2d9994d5584a1cccff"><enum>126.</enum><header>Special provisions regarding artificial intelligence in the financial sector</header><subsection id="id2a7922767927481ca6b57dfbc6b5c972"><enum>(a)</enum><header>Definition</header><text>In this section, the term <term>artificial intelligence</term> has the meaning given the term in section 5002 of the National Artificial Intelligence Initiative Act of 2020 (<external-xref legal-doc="usc" parsable-cite="usc/15/9401">15 U.S.C. 9401</external-xref>).</text></subsection><subsection commented="no" display-inline="no-display-inline" id="idfc61404a113042ee953fffdc87d8b8b7"><enum>(b)</enum><header display-inline="yes-display-inline">Coordination, report, and recommendations</header><text>The Council shall coordinate with member agencies with regard to potential risks to the stability of the financial system posed by artificial intelligence, including—</text><paragraph id="idcef5edea55d04edda079629a23e06c8a"><enum>(1)</enum><text>direct the Office of Financial Research, as appropriate, to conduct research into the uses of artificial intelligence by financial institutions and entities providing services to or performing functions on behalf of financial institutions;</text></paragraph><paragraph id="id653f1655ef55416c87936b41f4183b08"><enum>(2)</enum><text>identify threats to the stability of the financial system posed by the use of artificial intelligence tools and technologies, such as—</text><subparagraph id="id1ad0737138f44805b7d61b48c4b9aa49"><enum>(A)</enum><text>the generation and use of false representations of events or the likeness, speech, or actions of persons by malign actors to manipulate financial markets, institutions, or instruments, or to cause disruption in financial markets;</text></subparagraph><subparagraph id="ida9371ff32dc9487eb66ace6f581e4494"><enum>(B)</enum><text>agent deployment and development, including specific gaps in existing laws (including regulations) regarding liability for financial institutions and consumers for unauthorized transactions that could be initiated or completed by agents, including the fragility, if any, created by the concentration of economic activity, capital formation, and decision-making concerning artificial intelligence infrastructure providers; and</text></subparagraph><subparagraph id="id091d1a7c48c443cfb0feca0109c72ca4"><enum>(C)</enum><text>any other acts or practices associated with the use or assistance of artificial intelligence tools or technologies that threaten the stability of the financial system;</text></subparagraph></paragraph><paragraph id="id21a6c8a789ee4b8aa222194b28a905b2"><enum>(3)</enum><text>not later than 180 days after the date of enactment of this section, in consultation with the member agencies, financial institutions, securities market participants, and entities providing services to or performing functions on behalf of financial institutions or securities markets participants, submit to the Committee on Banking, Housing, and Urban Affairs of the Senate and the Committee on Financial Services of the House of Representatives a report that—</text><subparagraph id="idc3dd330916af4d2b857daf6dfddef176"><enum>(A)</enum><text>identifies the threats described in paragraph (2);</text></subparagraph><subparagraph id="id62653f7b7c1243e1b472b0c8c4232e9d"><enum>(B)</enum><text>the training, development, deployment, and proliferation of artificial intelligence tools and technologies that are particularly suited for cybersecurity tasks, including specific aptitudes for identifying vulnerabilities and developing tools and techniques to exploit such vulnerabilities;</text></subparagraph><subparagraph id="idbe1ffe5f73c7414fa5cca0f90a21a4e8"><enum>(C)</enum><text>identifies specific gaps in the existing regulations, guidance, and examination standards of the member agencies that prevent effective and comprehensive responses by each of the member agencies to the threats described in paragraph (2); and</text></subparagraph><subparagraph id="id8979412b77b541d8b2d359aef8b54b48"><enum>(D)</enum><text>makes specific recommendations for addressing the gaps identified in subparagraph (B), including, as appropriate, recommendations regarding implementation of the recommendations in the Cybersecurity Information Sheet published by the National Security Agency, Federal Bureau of Investigation, and Cybersecurity and Infrastructure Security Agency on September 12, 2023; and</text></subparagraph></paragraph><paragraph id="id6f2462ab8dbd4f818830bd73f5853974"><enum>(4)</enum><text>identify, as appropriate, opportunities for the use of artificial intelligence technologies in financial regulation and supervision, specifying that any use of artificial intelligence by the agencies in regulation and supervision should be transparent and disclosed to their regulated entities as appropriate.</text></paragraph></subsection><subsection id="id5900bd69896c49fe8d4f5453501307ca"><enum>(c)</enum><header>Congressional review</header><text>Not later than 30 days after the date on which the relevant congressional committees receive the report required under subsection (a), the committees shall review the report and submit comments and recommendations thereon.</text></subsection><subsection id="ide9e90a7b602946ef8bc26ed15e7f2efb"><enum>(d)</enum><header>Implementation of council recommendations</header><paragraph id="idc8e1231046894df1aab781494a93e5ba"><enum>(1)</enum><header>In general</header><text>Upon review of comments and recommendations under subsection (c), the Council shall commence action under the procedures prescribed in section 120 with regard to implementation of the recommendations by each of the member agencies.</text></paragraph></subsection><subsection id="id14fa242a9f3f45158f4ba4462b1db85a"><enum>(e)</enum><header>Congressional review act</header><text>The provisions of <external-xref legal-doc="usc-chapter" parsable-cite="usc-chapter/5/8">chapter 8</external-xref> of title 5, United States Code, shall apply as appropriate to rules issued by the member agencies under this section.</text></subsection><subsection commented="no" display-inline="no-display-inline" id="idd8adac3626654d108ba1b47af3255737"><enum>(f)</enum><header>Scenario-Based exercises</header><text>The Federal and Banking Information Infrastructure Committee sponsored by the President’s Working Group on Financial Markets shall, in consultation with private-sector entities and other relevant governmental entities—</text><paragraph commented="no" display-inline="no-display-inline" id="id34ffa703aaf14bf1abeed736bd1e3764"><enum>(1)</enum><text display-inline="yes-display-inline">initiate a series of scenario-based exercises to test the effectiveness of defenses against financial market disruptions associated with the use or assistance of artificial intelligence technologies; and</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="id6bebe76e920f4f1ea511029d54e654c1"><enum>(2)</enum><text display-inline="yes-display-inline">make recommendations for ongoing improvements in detection, prevention, and mitigation of such disruptions.</text></paragraph></subsection></section><after-quoted-block>.</after-quoted-block></quoted-block></subsection><subsection id="id6eb9ca3a882d4d4eaf982a7953e3c652"><enum>(b)</enum><header>Technical and conforming amendment</header><text>The table of sections for the Dodd-Frank Wall Street Reform and Consumer Protection Act (<external-xref legal-doc="usc" parsable-cite="usc/12/5301">12 U.S.C. 5301</external-xref>) is amended by inserting after the item relating to section 125 the following:</text><quoted-block style="OLC" id="id493ad7ee-3090-4307-a15c-c0fb288956d4"><toc><toc-entry level="section" idref="idaf1e4f6321894c2d9994d5584a1cccff">126. Special provisions regarding artificial intelligence in the financial sector.</toc-entry></toc><after-quoted-block>.</after-quoted-block></quoted-block></subsection></section><section id="id187558fb33064cff8fd0dd46da7dcda7"><enum>3.</enum><header>Enhanced authority to oversee third-party providers of artificial intelligence and other services to financial institutions</header><text display-inline="no-display-inline">Section 206A of the Federal Credit Union Act (<external-xref legal-doc="usc" parsable-cite="usc/12/1786a">12 U.S.C. 1786a</external-xref>) is amended—</text><paragraph id="id437ccf25f47341af9ce9e20586f07243"><enum>(1)</enum><text>in subsection (a)(1), by striking <quote>that</quote> and inserting <quote>an</quote>;</text></paragraph><paragraph id="id47ed90c09b7b4a47a168f8f26583d8d3"><enum>(2)</enum><text>in subsection (c)(2), in the matter preceding subparagraph (A), by inserting <quote>, in a manner and method prescribed by the Board,</quote> after <quote>Board</quote>; and</text></paragraph><paragraph id="id6ba6072d416f45b8a91ea5c065519d3e"><enum>(3)</enum><text>by striking subsection (f).</text></paragraph></section><section id="id0d49739e9a0e4b809a45a52a331276b5"> <enum>4.</enum> <header>Regulation of service providers by the Federal housing finance agency</header> <text display-inline="no-display-inline">Subpart A of part 2 of subtitle A of the Federal Housing Enterprises Financial Safety and Soundness Act of 1992 (<external-xref legal-doc="usc" parsable-cite="usc/12/4541">12 U.S.C. 4541 et seq.</external-xref>) is amended by adding at the end the following:</text>

          <enum>1329.</enum>
          <header>Regulation and examination of certain service providers</header>
 <text display-inline="no-display-inline">Whenever a regulated entity or the Office of Finance causes to be performed for itself, by contract or otherwise, any activity that is permissible for the regulated entity or the Office of Finance, whether on or off its premises—</text>
          <paragraph id="id46f05824f6674199bfd138bd67e5abaa">
            <enum>(1)</enum>
 <text>such performance shall be subject to regulation and examination by the Director to the same extent as if such activity were being performed by such entity or Office itself on its own premises; and</text>
          </paragraph>
          <paragraph id="id794cf02b7dcd43e0a5236fae680e96e9">
            <enum>(2)</enum>
 <text>the regulated entity or Office of Finance shall notify the Director of the existence of the service relationship not later than 30 days after the earlier of—</text>
            <subparagraph id="idce6498f9d22f417194015bc6f2e0b27f">
              <enum>(A)</enum>
 <text>making of such service contract; or</text> </subparagraph> <subparagraph id="id152f13c2e87c4fc1b171333a0803436b"> <enum>(B)</enum> <text>the performance of the activity by the service provider.</text>
            </subparagraph>
          </paragraph>
        </section>

 </section><section id="id52a4ec3a46134d40a0324e2304a1ddd2"><enum>5.</enum><header>SEC rulemaking on artificial intelligence</header><text display-inline="no-display-inline">Section 3 of the Securities Exchange Act of 1934 (<external-xref legal-doc="usc" parsable-cite="usc/15/78c">15 U.S.C. 78c</external-xref>) is amended by adding at the end the following:</text><quoted-block style="OLC" display-inline="no-display-inline" id="idc43742716b0543bd933ad998084f2861"><subsection commented="no" id="id841853d6c3424b619fffff4fa44886e8"><enum>(i)</enum><header>Rulemaking regarding artificial intelligence</header><paragraph commented="no" id="idc25d7eec66214ce0adb069c20baaa19d"><enum>(1)</enum><header>Definitions</header><text>In this subsection:</text><subparagraph commented="no" display-inline="no-display-inline" id="idf5e13ac8df8f42c79017f9107b49b630"><enum>(A)</enum><header>Artificial intelligence</header><text display-inline="yes-display-inline">The term <term>artificial intelligence</term> has the meaning given the term in section 5002 of the National Artificial Intelligence Initiative Act of 2020 (<external-xref legal-doc="usc" parsable-cite="usc/15/9401">15 U.S.C. 9401</external-xref>).</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id99c6c87045a3451e9f01cd3aea6282be"><enum>(B)</enum><header>Covered person</header><text>The term <term>covered person</term>—</text><clause commented="no" display-inline="no-display-inline" id="id491d9cd4ea7b4845b3d95d30e24e1775"><enum>(i)</enum><text display-inline="yes-display-inline">means a person that is required by a provision of this title, or by a rule or regulation under this title, to maintain policies, procedures, or controls; and</text></clause><clause commented="no" display-inline="no-display-inline" id="idc01a63e8f0fa49c6b5d8e3c75be3066a"><enum>(ii)</enum><text>includes—</text><subclause commented="no" display-inline="no-display-inline" id="idf232a2329c264968ae0ecff03da9027c"><enum>(I)</enum><text display-inline="yes-display-inline">an issuer that has a class of securities registered pursuant to section 12;</text></subclause><subclause commented="no" display-inline="no-display-inline" id="id24fce1ef41f141918e70f9d36747f33d"><enum>(II)</enum><text>an issuer that is required to file reports under section 15(d);</text></subclause><subclause commented="no" display-inline="no-display-inline" id="id08600cf24fb3407684a4e8081a30a200"><enum>(III)</enum><text>a broker;</text></subclause><subclause commented="no" display-inline="no-display-inline" id="idf9058446e1d043a0b0c23a7e0bb4e600"><enum>(IV)</enum><text>a dealer;</text></subclause><subclause commented="no" display-inline="no-display-inline" id="id0b81b5cdd4be4cba9a783155dde36466"><enum>(V)</enum><text>a security-based swap dealer; and</text></subclause><subclause commented="no" display-inline="no-display-inline" id="id44db317194cd4e8eb7d6a21f7679a680"><enum>(VI)</enum><text>a self-regulatory organization.</text></subclause></clause></subparagraph></paragraph><paragraph commented="no" id="idc9423cd8591548fc8713b1bee0f88e33"><enum>(2)</enum><header>Requirement</header><subparagraph commented="no" display-inline="no-display-inline" id="id490a4dac00d04cb68f8ce3e0205a0aed"><enum>(A)</enum><header display-inline="yes-display-inline">In general</header><text>Not later than 180 days after the enactment of this section the Commission shall, by rule or regulation, impose specific requirements on each covered person to ensure that the policies, procedures, or controls described in paragraph (1)(B)(i) maintained by the covered person—</text><clause commented="no" display-inline="no-display-inline" id="idff2be04a02e8467d819ec1a05edcfc78"><enum>(i)</enum><text display-inline="yes-display-inline">address the use of artificial intelligence by the covered person; and</text></clause><clause commented="no" display-inline="no-display-inline" id="id4ec9d6ea7d834a009923896517df1777"><enum>(ii)</enum><text display-inline="yes-display-inline">are reasonably designed to ensure compliance with the requirements of this title.</text></clause></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id279c72d5096c49ea9ad5d398f9350875"><enum>(B)</enum><header>Procedures</header><text display-inline="yes-display-inline">In carrying out subparagraph (A), the Commission shall—</text><clause commented="no" display-inline="no-display-inline" id="id1cb912ea71b044469f1a4768814f523e"><enum>(i)</enum><text display-inline="yes-display-inline">identify and require governance measures with respect to testing, deployment, monitoring, human oversight, permissions, escalation procedures, and use limitations applicable to artificial intelligence systems; and</text></clause><clause commented="no" display-inline="no-display-inline" id="id691eac3712c84964943f37570728a31a"><enum>(ii)</enum><text display-inline="yes-display-inline">consider the extent to which—</text><subclause commented="no" display-inline="no-display-inline" id="id9c9207f135d44561981c0e373c3d4fa3"><enum>(I)</enum><text display-inline="yes-display-inline">artificial intelligence systems are developed, controlled, modified, or operated by a covered person as compared to third-party providers; and</text></subclause><subclause commented="no" display-inline="no-display-inline" id="id6f677f5513f1416db963399f17396f63"><enum>(II)</enum><text display-inline="yes-display-inline">control is exercised by a covered person over the actions of artificial intelligence systems.</text></subclause></clause></subparagraph></paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block></section><section commented="no" display-inline="no-display-inline" section-type="subsequent-section" id="id7e512fc3983f4478b6fda40a7b5aa9b7"><enum>6.</enum><header>Rules of construction</header><subsection commented="no" display-inline="no-display-inline" id="id22f2a79ecbd4458792d8c8a6ab8e65b8"><enum>(a)</enum><header display-inline="yes-display-inline">Definitions</header><paragraph commented="no" display-inline="no-display-inline" id="id182c146f64be4fa9afd5e2e078b53cd7"><enum>(1)</enum><header display-inline="yes-display-inline">Artificial intelligence</header><text>The term <term>artificial intelligence</term> has the meaning given the term in section 5002 of the National Artificial Intelligence Initiative Act of 2020 (<external-xref legal-doc="usc" parsable-cite="usc/15/9401">15 U.S.C. 9401</external-xref>).</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="idd38be7e604ce4726a0ac96c1e9d2d1c5"><enum>(2)</enum><header>Securities laws</header><text>The term <term>securities laws</term> has the meaning given the term in section 3(a) of the Securities Exchange Act of 1934 (<external-xref legal-doc="usc" parsable-cite="usc/15/78c">15 U.S.C. 78c(a)</external-xref>).</text></paragraph></subsection><subsection commented="no" display-inline="no-display-inline" id="id08deabe35e7843f7ba5e7615a195f707"><enum>(b)</enum><header display-inline="yes-display-inline">Rules</header><text display-inline="yes-display-inline">Nothing in this Act, or any amendment made by this Act, may be construed to—</text><paragraph commented="no" display-inline="no-display-inline" id="ida5c8cebd51074e5a9190f4208d051719"><enum>(1)</enum><text>limit the securities laws such that artificial intelligence may be used in a manner that would contravene any of the securities laws; or</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="idef1746d38b3a4435b4a228c210a89874"><enum>(2)</enum><text>provide that the use of artificial intelligence excuses compliance with any obligation under the securities laws.</text></paragraph></subsection></section></legis-body></bill>
