which was read twice and referred to the <committee-name committee-id="SSFR00">Committee on Foreign Relations</committee-name></action-desc></action><legis-type>A BILL</legis-type><official-title>To impose requirements for certain Federal positions to promote transparency, and for other purposes.</official-title></form><legis-body><section id="S1" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Transparency in the Administration’s Business Opportunities Overseas Act</short-title></quote> or the <quote><short-title>TABOO Act</short-title></quote>.</text></section><section id="id327c2c29de62463b9f4de565e357258e"><enum>2.</enum><header>Sense of Congress</header><text display-inline="no-display-inline">It is the sense of Congress that:</text><paragraph id="id3f6e879a0aad429a98b6f93043123688"><enum>(1)</enum><text>Individuals serving as Special Envoys, Special Representatives, Special Coordinators, Special Negotiators, or working in similar positions, whether in the Department of State, the Executive Office of the President, or any Federal department or agency, frequently exercise significant authority and represent the United States Government to foreign governments and international organizations.</text></paragraph><paragraph id="id263843a9d939461cbadb7678a352504c"><enum>(2)</enum><text>Existing ethics, financial disclosure, and conflict-of-interest requirements do not uniformly apply to those individuals, particularly those working in volunteer, unpaid, or advisory capacities while performing duties that involve significant authority.</text></paragraph><paragraph id="ided6aff6626e04bbcbcc7d35f9c518103"><enum>(3)</enum><text>The absence of uniform requirements—</text><subparagraph commented="no" display-inline="no-display-inline" id="id2501d0a7533a407dac30cc1be6be8cb4"><enum>(A)</enum><text display-inline="yes-display-inline">creates gaps in transparency, accountability, and oversight; and</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="idd75fcde6ad494301ba7269c198a2d58a"><enum>(B)</enum><text display-inline="yes-display-inline">may allow individuals to perform sensitive diplomatic or national security functions without appropriate conflict-of-interest safeguards.</text></subparagraph></paragraph><paragraph id="id40282633a581404c8b1f31959509d81d"><enum>(4)</enum><text>Congress has a compelling interest in ensuring that all individuals performing those functions are subject to consistent ethics, financial disclosure, and conflict-of-interest requirements, regardless of title, compensation, or organizational placement.</text></paragraph><paragraph id="idcb3ed28920404d54b478816431183e23"><enum>(5)</enum><text>It is in the interest of the United States to—</text><subparagraph commented="no" display-inline="no-display-inline" id="id8f048ccc1da3425494f5a68688a30ecd"><enum>(A)</enum><text display-inline="yes-display-inline">establish uniform standards for ethics compliance, financial interest reporting, and congressional notification for individuals performing those functions; and</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id4e98c180f28f460186f62cc93a132062"><enum>(B)</enum><text display-inline="yes-display-inline">close loopholes that allow individuals to avoid those requirements by working in volunteer or advisory status.</text></subparagraph></paragraph></section><section commented="no" display-inline="no-display-inline" id="idcdcdd7bc8fb14576947594e4740d566d"><enum>3.</enum><header>Definitions</header><text display-inline="no-display-inline">In this Act:</text><paragraph commented="no" display-inline="no-display-inline" id="id8cfae6b90cc54d81ac01190eaeabf254"><enum>(1)</enum><header>Appropriate congressional committees</header><text>The term <term>appropriate congressional committees</term> means—</text><subparagraph commented="no" display-inline="no-display-inline" id="id778fb234d3e24b2593d3fce906821b20"><enum>(A)</enum><text display-inline="yes-display-inline">the Committee on Foreign Relations of the Senate; and</text></subparagraph><subparagraph id="id232051409c4d4d03ac6ba5f1f6023cac" commented="no" display-inline="no-display-inline"><enum>(B)</enum><text>the Committee on Foreign Affairs of the House of Representatives.</text></subparagraph></paragraph><paragraph commented="no" display-inline="no-display-inline" id="idd6e098b83f4e4ba7afc0270ea45addfd"><enum>(2)</enum><header>Covered function</header><text>The term <term>covered function</term> includes the following:</text><subparagraph commented="no" display-inline="no-display-inline" id="idfcf0c979cc1344fa9adca585abb683cc"><enum>(A)</enum><text display-inline="yes-display-inline">Directing or leading negotiations on behalf of the United States Government with a foreign country.</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="idbc55711cedfa4855a9a9eff7719989d6"><enum>(B)</enum><text display-inline="yes-display-inline">Directing or leading negotiations on behalf of the United States Government with international multilateral organizations.</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="idb276a84a5df24704afdd68b2b538796b"><enum>(C)</enum><text>Any activity involving the exercise of significant authority pursuant to the laws of the United States in a foreign policy or national security context.</text></subparagraph></paragraph><paragraph commented="no" display-inline="no-display-inline" id="id62a5a727faea4a85ad76dfb4bdd546a8"><enum>(3)</enum><header>Covered position</header><text>The term <term>covered position</term>—</text><subparagraph commented="no" display-inline="no-display-inline" id="id985373618b3e460fbc73a86f66317baf"><enum>(A)</enum><text display-inline="yes-display-inline">means a Special Envoy, Special Representative, Special Coordinator, Special Negotiator, Envoy, Representative, Coordinator, Special Advisor, Senior Advisor, or other position performing a covered function, regardless of title, in the Executive Office of the President or any Federal department or agency;</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id0a30b26f69054ce9b9a7dfbdd3b962a3"><enum>(B)</enum><text display-inline="yes-display-inline">includes a position the pay status of which is uncompensated or volunteer if the individual working in that position performs a covered function in that position; and</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id850f51f858864cd8a7c3864e8a6672bc"><enum>(C)</enum><text>does not include a position that—</text><clause commented="no" display-inline="no-display-inline" id="idd455eecee48544d0a1c1f0d99ab7ff01"><enum>(i)</enum><text display-inline="yes-display-inline">does not represent the United States Government to a foreign government or multinational organization; and</text></clause><clause commented="no" display-inline="no-display-inline" id="id5fec89817eff40cba68aa0a57e6bbb27"><enum>(ii)</enum><text display-inline="yes-display-inline">is engaged only to provide advice to the President, the Executive Office of the President, or any Federal agency or department.</text></clause></subparagraph></paragraph><paragraph commented="no" display-inline="no-display-inline" id="id1434c95d7f4542d2899ae8944e70337c"><enum>(4)</enum><header>Financial interest</header><subparagraph commented="no" display-inline="no-display-inline" id="id9ca1ac72eb3c4b30b7bcf09b1417cdd6"><enum>(A)</enum><header>In general</header><text display-inline="yes-display-inline">The term <term>financial interest</term>, with respect to a foreign country, includes a financial interest in any entity, including—</text><clause commented="no" display-inline="no-display-inline" id="id9327ba98da7b4b41abee43499108fb8a"><enum>(i)</enum><text display-inline="yes-display-inline">an entity that maintains a contract with the government of the country;</text></clause><clause commented="no" display-inline="no-display-inline" id="idca125dc4679342e18f0c0c9de1dd0e8e"><enum>(ii)</enum><text display-inline="yes-display-inline">a state-affiliated enterprise;</text></clause><clause commented="no" display-inline="no-display-inline" id="id13b8a95b9a6d4d3aa5cde6d13216a841"><enum>(iii)</enum><text display-inline="yes-display-inline">an enterprise affiliated with a government official of the country; and</text></clause><clause commented="no" display-inline="no-display-inline" id="idb5ca5a4f81054e4ba91032aa16b6eabd"><enum>(iv)</enum><text display-inline="yes-display-inline">a financial institution affiliated with the government of the country or a government official of the country.</text></clause></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="idf6b98311e5f2464fb88412aa449035bd"> <enum>(B)</enum> <header>Individual holding financial interest</header> <text>For purposes of this Act, the term <quote>financial interest</quote>, with respect to an individual, includes—</text>
                    <clause commented="no" display-inline="no-display-inline"
                        id="id6c53f786c25842a191c2ab492506b242">
                        <enum>(i)</enum>
 <text display-inline="yes-display-inline">a financial interest held by the individual;</text>
                    </clause>
                    <clause commented="no" display-inline="no-display-inline"
                        id="id37eeadce5e8e451ca2a475755fa50c36">
                        <enum>(ii)</enum>
 <text>a financial interest held by the spouse of the individual; and</text> </clause> <clause commented="no" display-inline="no-display-inline" id="id055c035c2eed4359a80ec7801e8d5257"> <enum>(iii)</enum> <text>a financial interest held by any member of the immediate family of the individual.</text>
                    </clause>
 </subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="idb42c09c0da4a47209b744aa7220f301d"><enum>(C)</enum><header>Rule of construction</header><text>The term <term>financial interest</term>, with respect to a foreign country—</text><clause commented="no" display-inline="no-display-inline" id="idce709e9dfc324c05a47a3d48341d6ac6"><enum>(i)</enum><text display-inline="yes-display-inline">shall be construed as broadly as possible; and</text></clause><clause commented="no" display-inline="no-display-inline" id="id1d3fe04c777844c4b03a6fee6b3d2c66"><enum>(ii)</enum><text>shall not be limited to the examples listed in subparagraph (A).</text></clause></subparagraph></paragraph></section><section commented="no" display-inline="no-display-inline" id="id248bd2e54c8646838cf3712b071d5937"><enum>4.</enum><header>Requirements</header><subsection id="id481cef91f30144558264be9022b1854b"><enum>(a)</enum><header>Ethics and financial disclosures</header><paragraph commented="no" display-inline="no-display-inline" id="id05e6430b22ef4d34b40cb03fe6821e35"> <enum>(1)</enum> <header display-inline="yes-display-inline">Bribery, graft, and conflicts-of-interest</header> <text display-inline="yes-display-inline">Any individual working in a covered position shall be deemed an officer or employee for purposes of <external-xref legal-doc="usc-chapter" parsable-cite="usc-chapter/18/11">chapter 11</external-xref> of title 18, regardless of employment status, compensation, or volunteer status.</text>
 </paragraph><paragraph commented="no" display-inline="no-display-inline" id="idf27b924a9c0f47b38f91f479beeaab2c"><enum>(2)</enum><header>Financial disclosure requirements</header><subparagraph commented="no" display-inline="no-display-inline" id="idda0b5e97eb6c47e093b0da67d83ff64f"><enum>(A)</enum><header>Persons required to file</header><text>Section 13103(f) of title 5, United States Code, is amended—</text><clause commented="no" display-inline="no-display-inline" id="id6783ae64f2c64d48a6f40e69a12e285f"><enum>(i)</enum><text display-inline="yes-display-inline">in paragraph (11), by striking <quote>; and</quote> and inserting a semicolon;</text></clause><clause commented="no" display-inline="no-display-inline" id="id27b60d53bae04c06a72f2f40e06e578d"><enum>(ii)</enum><text>in paragraph (12), by striking the period at the end; and</text></clause><clause commented="no" display-inline="no-display-inline" id="id373bdbc8a8ff48c6825b9d499a067a31"><enum>(iii)</enum><text>by adding at the end the following:</text><quoted-block style="OLC" display-inline="no-display-inline" id="idd252ec078650443ca1548041889ec57c"><paragraph commented="no" display-inline="no-display-inline" id="id81b03a2f8fae4d1a98218e4fc6957ecd"><enum>(13)</enum><text>an officer or employee working in a covered position, as defined in section 3 of the <short-title>Transparency in the Administration’s Business Opportunities Overseas Act</short-title>.</text></paragraph><after-quoted-block>.</after-quoted-block></quoted-block></clause></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id84aa59c9b8754439a70937560a565ae3"><enum>(B)</enum><header>Extension on time for filing</header><text>Section 13103(g) of title 5, United States Code, is amended—</text><clause commented="no" display-inline="no-display-inline" id="id7cb01b5a0d8047f2acf25938edbb68ef"><enum>(i)</enum><text display-inline="yes-display-inline">in paragraph (1), by striking <quote>Reasonable</quote> and inserting <quote>Except as provided in paragraph (3), reasonable</quote>; and</text></clause><clause commented="no" display-inline="no-display-inline" id="idd307a76e657b40a097a89afc7897182a"><enum>(ii)</enum><text>by adding at the end the following:</text><quoted-block style="OLC" display-inline="no-display-inline" id="iddb8905e478494936b5d7813534ab23a4"><paragraph commented="no" display-inline="no-display-inline" id="id29ef090b69f849dcb0f27e02f6d2ecb6"><enum>(3)</enum><header>Covered positions</header><text>Extensions of time for filing any report with respect to an officer or employee working in a covered position, as defined in section 3 of the <short-title>Transparency in the Administration’s Business Opportunities Overseas Act</short-title>, shall not exceed 30 days.</text></paragraph><after-quoted-block>.</after-quoted-block></quoted-block></clause></subparagraph><subparagraph id="id61e0038a2e2948a0b185fab32c7d78ff" commented="no"> <enum>(C)</enum> <header>Technical and conforming amendment</header> <text>Section 13102(a)(1) of title 5, United States Code, is amended by inserting <quote>and paragraph (13)</quote> after <quote>paragraphs (1) through (8)</quote>.</text>
 </subparagraph></paragraph></subsection><subsection commented="no" display-inline="no-display-inline" id="idce69c29bc42247f4b4be8c69961a403c"><enum>(b)</enum><header display-inline="yes-display-inline">Financial interests</header><paragraph commented="no" display-inline="no-display-inline" id="ida101c484bd9d4ab0929abba90721ef81"><enum>(1)</enum><header>Written confirmation</header><text display-inline="yes-display-inline">Not later than 30 days after the date on which any individual begins working in a covered position—</text><subparagraph commented="no" display-inline="no-display-inline" id="id1a307028c6774a028b96090e345ded44"><enum>(A)</enum><text display-inline="yes-display-inline">the individual shall confirm in writing that the individual—</text><clause commented="no" display-inline="no-display-inline" id="id953bbc383a0e48fbba997a2acc19cb01"><enum>(i)</enum><text>has no financial interest in any foreign country with which the individual will be working;</text></clause><clause commented="no" display-inline="no-display-inline" id="id7e8bcd6cc69a460b8d54963465b65942"><enum>(ii)</enum><text display-inline="yes-display-inline">if a pre-existing financial interest exists, will divest or place the financial interest in a qualified blind trust, as defined in section 13104(f)(3) of title 5, United States Code, within 60 days of the date of the written confirmation; and</text></clause><clause commented="no" display-inline="no-display-inline" id="id32fecc07d91f446997cf7be16cb92fd9"><enum>(iii)</enum><text display-inline="yes-display-inline">commits to undertaking no new financial interest in any foreign country with which the individual will be working during the 1-year period beginning on the date on which the individual vacates the covered position; and</text></clause></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id19fab4cb4dbf48aaa9779acc786f3ecb"><enum>(B)</enum><text>the head of the relevant office, department, or agency that employs the individual shall—</text><clause commented="no" display-inline="no-display-inline" id="idfd98a298f0bc43d6a12a3698a6feaa0f"><enum>(i)</enum><text display-inline="yes-display-inline">review and certify the written confirmation required under subparagraph (A); and</text></clause><clause commented="no" display-inline="no-display-inline" id="id76ea2261e219481ab6b1573e2f1c4cec"><enum>(ii)</enum><text display-inline="yes-display-inline">submit the written confirmation required under subparagraph (A) and certification required under clause (i) of this subparagraph to the appropriate congressional committees.</text></clause></subparagraph></paragraph><paragraph commented="no" display-inline="no-display-inline" id="id21b7c7dfbd164b1b8b41dc381fa3b370"><enum>(2)</enum><header>Relation to other requirements</header><text>A written confirmation required under paragraph (1)(A) shall be in addition to any other financial disclosure or ethics report otherwise required by law.</text></paragraph></subsection></section><section commented="no" display-inline="no-display-inline" id="id67c69793e6c241af8c5ea32ab88396d2"><enum>5.</enum><header>Quarterly submissions</header><subsection commented="no" display-inline="no-display-inline" id="ide19b2cd70ab34fbe9cde2e3086aded4c"><enum>(a)</enum><header>In general</header><text display-inline="yes-display-inline">Not later than 90 days after the effective date under section 8(a), and every 90 days thereafter, the head of each Federal agency and department shall submit to the President and the appropriate congressional committees a list of each individual working in a covered position at that Federal agency or department.</text></subsection><subsection commented="no" display-inline="no-display-inline" id="id0105b0b61c624b8d8f0e4d08149b8463"><enum>(b)</enum><header>Elements</header><text>Each list required under subsection (a) shall include, with respect to each individual working in a covered position—</text><paragraph commented="no" display-inline="no-display-inline" id="id61976af4c47b4332aecfee5cad8e353f"><enum>(1)</enum><text display-inline="yes-display-inline">the name and title of the individual; and</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="idbbf189a1c684446fb7f5b1e9f2437f57"><enum>(2)</enum><text display-inline="yes-display-inline">a brief description of the duties of the individual, including the countries and organizations the individual is expected to engage with on behalf of the United States Government in the covered position.</text></paragraph></subsection></section><section commented="no" display-inline="no-display-inline" id="id65ebdd64ae3540deb6c2d47dc827c929"><enum>6.</enum><header>Enforcement</header><subsection commented="no" display-inline="no-display-inline" id="id46d6b36db7b24f67b70f1dc94cfe6704"><enum>(a)</enum><header>Statutory penalties</header><paragraph commented="no" display-inline="no-display-inline" id="id24ed6dad2d524a57bda4dcaf3019f200"><enum>(1)</enum><header display-inline="yes-display-inline">Penalties relating to written confirmation</header><text>An individual working in a covered position who knowingly fails to comply with the requirements under section 4(b)(1)(A) shall be fined under title 18, imprisoned for not more than 1 year, or both.</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="id30058fae35c541f49d3054a65ec5e116"><enum>(2)</enum><header display-inline="yes-display-inline">Other statutory penalties</header><text>An individual working in a covered position who knowingly fails to comply with any requirement under this Act, or any amendment made by this Act—</text><subparagraph commented="no" display-inline="no-display-inline" id="id262bc6d83d7f48d6bcff08fea426d650"><enum>(A)</enum><text>shall lose access to United States Government funds for staff support, facilities, travel support, and consular services;</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id35708b7ad2fa48038f6a254fe6c71491"><enum>(B)</enum><text>shall be subject to referral to the Department of Justice; and</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="ida46eed972ddd4d498aefd4139f8a3627"><enum>(C)</enum><text>shall be subject to suspension from performing any covered function until compliance with this Act and the amendments made by this Act is achieved.</text></subparagraph></paragraph></subsection><subsection commented="no" display-inline="no-display-inline" id="idb258468b21ea477090434b9febc3eeff"><enum>(b)</enum><header display-inline="yes-display-inline">Agency enforcement</header><paragraph commented="no" display-inline="no-display-inline" id="idb758171419d543b8be85d0d13d480686"><enum>(1)</enum><header>Designation of ethics officers</header><text display-inline="yes-display-inline">The head of each Federal agency or department employing an individual working in a covered position shall designate an ethics office responsible for compliance with this Act.</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="idb8c91ecbeb6246da9ee21d2e069b9c1c"><enum>(2)</enum><header>Failure to submit certifications</header><text>If the head of a Federal agency or department fails to submit any certification under section 4(b)(1)(B) or any quarterly list under section 5(a), the head of that Federal agency or department shall report the failure to each appropriate congressional committee within 15 days of the discovery of such failure.</text></paragraph></subsection><subsection commented="no" display-inline="no-display-inline" id="id412f8307ddcb4fcbbdfe523e4f3f62c0"><enum>(c)</enum><header display-inline="yes-display-inline">Additional consequences for noncompliance</header><text display-inline="yes-display-inline">If an individual nominated for a covered position is found to be in violation of any provision of this Act, or an amendment made by this Act, a committee of Congress may—</text><paragraph commented="no" display-inline="no-display-inline" id="id650c4f950e1f4a05a52d0b9095e67311"><enum>(1)</enum><text display-inline="yes-display-inline">delay nomination hearings and confirmation processes for the individual;</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="id655719522f5c4feb881614322b353c1a"><enum>(2)</enum><text>recommend suspension of the duties of the individual; and</text></paragraph><paragraph id="idb070b0d79d7746298b303df4716fc2bb" commented="no" display-inline="no-display-inline"><enum>(3)</enum><text>determine if referral to the Department of Justice is warranted.</text></paragraph></subsection></section><section commented="no" display-inline="no-display-inline" id="id3c95168402194a958ea576dacb75fa9b"><enum>7.</enum><header>Guidance</header><text display-inline="no-display-inline">Not later than 120 days after the date of enactment of this Act, the Director of the Office of Personnel Management and the Director of the Office of Government Ethics shall issue joint guidance to implement this Act.</text></section><section id="id267a6730f0744d8bbbc1ecd13e6e5944"><enum>8.</enum><header>Applicability</header><subsection id="id042298b45f1840cc8be114546023ad28"><enum>(a)</enum><header>Effective date</header><text>All requirements, obligations, and prohibitions established under this Act, and the amendments made by this Act, shall take effect 180 days after the date of enactment of this Act.</text></subsection><subsection id="id711c59974a7143c497453ed204e3e546"><enum>(b)</enum><header>Current individuals working in covered positions</header><text>Any individual working in a covered position on the effective date under subsection (a) shall comply with all the requirements of this Act, and the amendments made by this Act, not later than 60 days after that effective date.</text></subsection><subsection id="idb566a48d60e74c148a9e63d3393f0be7"><enum>(c)</enum><header>No waiver or delay</header><text>No provision of this Act, nor any amendment made by this Act, nor any requirement imposed thereunder, may be waived, delayed, suspended, or otherwise modified by the Executive Office of the President or any Federal agency or department.</text></subsection><subsection id="idbfaf511f030b45a79d6c6df849ffbcfd"><enum>(d)</enum><header>Continuing applicability</header><text>Compliance with this Act, and the amendments made by this Act, shall be a continuing condition of service in any covered position.</text></subsection></section></legis-body></bill>
