which was read twice and referred to the <committee-name committee-id="SSBK00">Committee on Banking, Housing, and Urban Affairs</committee-name></action-desc></action><legis-type>A BILL</legis-type><official-title>To amend the Federal Financial Institutions Examination Council Act of 1978 to provide for fair audits and inspections for examinations.</official-title></form><legis-body><section id="S1" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Fair Audits and Inspections for Regulators' Exams Act</short-title></quote>.</text></section><section id="id12841f829e3440bd94cd3cab1458076d"><enum>2.</enum><header>Fair audits and inspections for regulators’ exams</header><subsection id="id78576f772d6e44ee8274c3ecb3b507ef"><enum>(a)</enum><header>Timeliness of examinations and examination reports</header><text>The Federal Financial Institutions Examination Council Act of 1978 (<external-xref legal-doc="usc" parsable-cite="usc/12/3301">12 U.S.C. 3301 et seq.</external-xref>) is amended by adding at the end the following:</text><quoted-block style="OLC" display-inline="no-display-inline" id="id941481b107cc43368dace84b278d9cfe"><section id="id5acec82972464277b7077121ebe60eab"><enum>1012.</enum><header>Timeliness of examinations and examination reports</header><subsection id="idc9fd715e4b654375b83b26658c85b912"><enum>(a)</enum><header>Timeliness of examinations</header><text>A Federal financial institutions regulatory agency shall complete any examination of a financial institution, other than a financial institution subject to a continuous or resident examination program, within 270 days of commencing the examination, except that such period may be extended by the Federal financial institutions regulatory agency by providing written notice to the financial institution describing with particularity the reasons that a longer period is needed.</text></subsection><subsection id="id0c709a9dd8b14353a05cf14779a3aa14"><enum>(b)</enum><header>Final examination report</header><text>A Federal financial institutions regulatory agency shall provide a final examination report to a financial institution, other than a financial institution subject to a continuous or resident examination program, not later than 90 days after the later of—</text><paragraph id="id99a30e5bd5004fd09e3fb144da0b4280"><enum>(1)</enum><text>the exit interview for an examination of the institution; or</text></paragraph><paragraph id="id96fb68db633c430b8cec734911efa310"><enum>(2)</enum><text>the provision of additional material information by the institution relating to the examination.</text></paragraph></subsection><subsection id="ide3a0e74b3b6a42ef9bedfb29dad44ed4"><enum>(c)</enum><header>Exit interview requirement</header><text>Not later than 30 days after completing an examination for a financial institution not subject to a continuous or resident examination program, a Federal financial institutions regulatory agency shall conduct an exit interview with the senior management or the board of directors of the financial institution, except that such period may be extended by the Federal financial institutions regulatory agency by providing written notice to the institution describing with particularity the reasons that a longer period is needed.</text></subsection><subsection id="id9ae8e517d8544568bbb8e8e1809a167b"><enum>(d)</enum><header>Examination materials</header><text>Upon the written request of a financial institution, the Federal financial institutions regulatory agency shall include with the final report an appendix listing all examination or other factual information relied upon by the agency in support of a material supervisory determination.</text></subsection></section><after-quoted-block>.</after-quoted-block></quoted-block></subsection><subsection id="id0064dfbfbedc4c2993035f9ac163d589"><enum>(b)</enum><header>Timeliness of required prudential private letter rulings</header><text>The Federal Financial Institutions Examination Council Act of 1978 (<external-xref legal-doc="usc" parsable-cite="usc/12/3301">12 U.S.C. 3301 et seq.</external-xref>), as amended by subsection (a), is amended by adding at the end the following:</text><quoted-block style="OLC" display-inline="no-display-inline" id="idf99168c8c26d444e8a4a7b8b61e80d77"><section id="idb22461b229b44bdb9973f3d979064b3b"><enum>1013.</enum><header>Timeliness of required prudential private letter rulings</header><subsection id="id5948d178b1a24449a31fe9a42d221acb"><enum>(a)</enum><header>Authority and regulation</header><paragraph commented="no" display-inline="no-display-inline" id="id21674171d6ee4d9fa56a31388d9733a2"><enum>(1)</enum><header display-inline="yes-display-inline">Definitions</header><text>In this subsection:</text><subparagraph commented="no" display-inline="no-display-inline" id="id2a8cf984f3c74cbda461ea5c61c67c90"><enum>(A)</enum><header>Covered action</header><text display-inline="yes-display-inline">The term <term>covered action</term> means—</text><clause id="idc8b00a6353804e2a931b92250526c07b"><enum>(i)</enum><text>any action in connection with a regulated activity that the covered financial institution is taking or is intending to take, including—</text><subclause id="id01325ea6e1d6401fb189d80413832039"><enum>(I)</enum><text>entering into a transaction;</text></subclause><subclause id="id71278ceb1e864ec189f544aa22835248"><enum>(II)</enum><text>issuing a product or service; or</text></subclause><subclause id="id779367075efa467c8a76da739fc0198f"><enum>(III)</enum><text>changing the corporate structure of the covered financial institution; and</text></subclause></clause><clause id="idf15592dd1798438ca2b6ee28ba1f062b"><enum>(ii)</enum><text>an objection by a Federal financial institutions regulatory agency to the covered financial institution commencing or otherwise conducting an activity (including an action described in subparagraph (A)).</text></clause></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id8ccf282569e94b5a93ba072429d03402"><enum>(B)</enum><header>Covered financial institution</header><text>The term <term>covered financial institution</term> means any entity subject to the examination or supervisory authority of a Federal financial institutions regulatory agency.</text></subparagraph></paragraph><paragraph commented="no" display-inline="no-display-inline" id="id8e9edf6c3cbe46898cad053ba1939da7"><enum>(2)</enum><header display-inline="yes-display-inline">Procedures</header><text>Each Federal financial institutions regulatory agency shall establish procedures providing that a covered financial institution may, upon application by the covered financial institution and with respect to a covered action, obtain written advice regarding—</text><subparagraph id="iddc17095e82204fe99512be1e63aed0d4"><enum>(A)</enum><text>the nonobjection of the agency to the financial institution conducting a particular activity;</text></subparagraph><subparagraph id="id2e9dacac26224add8e1cf4b502d74cca"><enum>(B)</enum><text>the interpretation by the agency of a law or regulation as applied to a particular matter;</text></subparagraph><subparagraph id="idb93783458f77458298c548b0c8a91d4d"><enum>(C)</enum><text>the interpretation by the agency of how generally accepted accounting principles or accounting objectives, standards, and requirements apply to a particular matter; or</text></subparagraph><subparagraph id="id49c0029e38ca48c79076eb755f2988c8"><enum>(D)</enum><text>the application by the agency of any supervisory guidance, statement of policy, or interpretive rule to a particular matter.</text></subparagraph></paragraph></subsection><subsection id="id771a8b363fbf43bdae4001e99af29ce9"><enum>(b)</enum><header>Contents of request</header><text>The procedures established under subsection (a) shall provide that a request for written advice made under the procedures shall be in writing and contain—</text><paragraph id="id21c3777a1e2443f0a197343cc6868dd2"><enum>(1)</enum><text>the nature of the request;</text></paragraph><paragraph id="idbf84643bac964c929acb177fa53f44ac"><enum>(2)</enum><text>applicable facts relating to the matter;</text></paragraph><paragraph id="idaa9de4f43a69472fa1857bf8b1ce5920"><enum>(3)</enum><text>applicable law, regulations, or generally accepted accounting principles relating to the matter; and</text></paragraph><paragraph id="idfe7d1457d7624910ba110c8d2e343ee1"><enum>(4)</enum><text>a summary of the request.</text></paragraph></subsection><subsection id="id6d520cae8eea4a6f8956531f11448df8"> <enum>(c)</enum> <header>Response To request</header> <text>A Federal financial institutions regulatory agency receiving a request for written advice under subsection (a) shall, not later than 30 days after receiving the request—</text>
              <paragraph id="id775e2bb1ecfa4cb69c7cf8220328e91a">
                <enum>(1)</enum>
 <text>provide the financial institution making the request with written notification confirming receipt of the request and stating whether the request contains all of the information required under subsection (b); and</text>
              </paragraph>
              <paragraph id="idb9147f93acf0495699e2ea2174d0e20b">
                <enum>(2)</enum>
 <text>if the request does not contain all of the information required under subsection (b)—</text>
                <subparagraph id="ide456ee67da0f4bd8b3e8734194e1ce6f">
                  <enum>(A)</enum>
 <text>provide the financial institution with an explanation of what information is missing; and</text>
                </subparagraph>
                <subparagraph id="id1a9706ef4f724162a478f7827c049fff">
                  <enum>(B)</enum>
 <text>notify the financial institution that the financial institution may provide the missing information to the agency within 30 days.</text>
                </subparagraph>
              </paragraph>
 </subsection><subsection id="idfaa779eecf3e4e49a7418b4e74c8c20c"><enum>(d)</enum><header>Providing missing information</header><text>If a Federal financial institutions regulatory agency informs the financial institution under subsection (c) that the request for written advice does not contain all the information required under subsection (b), the financial institution may provide the missing information to the Federal financial institutions regulatory agency not later than 30 days after the date the financial institution receives the explanation of the missing information under subsection (c).</text></subsection><subsection id="id145aaab83c5343b6ab8f7a3a6e5fc2e1"><enum>(e)</enum><header>Determination</header><text>A Federal financial institutions regulatory agency receiving a request for written advice under the procedures established under subsection (a) shall provide the financial institution with a written response (or, for purposes of paragraph (3), notify the financial institution that a determination cannot be made)—</text><paragraph id="id5440d5f77a20485ebaf1ea8f5dfe8844"><enum>(1)</enum><text>if the initial request contains the information required under subsection (b), not later than the end of the 60-day period beginning on the date the Federal financial institutions regulatory agency notifies the financial institution of the receipt of the request under subsection (c);</text></paragraph><paragraph id="id67a4446250784e46a84641cc5183f9bd"><enum>(2)</enum><text>if the initial request does not contain the information required under subsection (b), but the financial institution provides the missing information during the 30-day period described under subsection (d), not later than the end of the 60-day period beginning on the date such missing information is provided; or</text></paragraph><paragraph id="id7254ee00fee04e97bbb492eb81f3ed2f"><enum>(3)</enum><text>if the initial request does not contain the information required under subsection (b), and the financial institution does not provide the missing information during the 30-day period described under subsection (d), not later than the end of the 60-day period beginning on the end of such 30-day period.</text></paragraph></subsection><subsection id="id904f27cfe99b415ebef3a88a2f4afb7f"><enum>(f)</enum><header>Limited binding effect</header><text>Written advice issued by a Federal financial institutions regulatory agency under the procedures established under this section—</text><paragraph id="id68f1174317dc4dadb4171202ed49a004"><enum>(1)</enum><text>shall be binding on the agency with respect to the financial institution requesting the written advice and the specific facts described in the request;</text></paragraph><paragraph id="id8faa2809db1d48dc84a14d41d14a5c46"><enum>(2)</enum><text>may be relied upon by the financial institution requesting the written advice in good faith; and</text></paragraph><paragraph id="id711fafa2ba8d44f687f12b9c89ded8f1"><enum>(3)</enum><text>shall not—</text><subparagraph commented="no" display-inline="no-display-inline" id="ida931746885a444d6a26a28c35219b2ce"><enum>(A)</enum><text display-inline="yes-display-inline">be binding on the agency with respect to any other person or institution; and</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="idff49d26a57ef4d16af78e3429cdd175e"><enum>(B)</enum><text display-inline="yes-display-inline">be treated as precedent.</text></subparagraph></paragraph></subsection><subsection id="id1c7999d5978f45258691e80698b9f9e8"><enum>(g)</enum><header>Confidentiality and privilege</header><paragraph id="idfa1794f0dd7049f0b903ccfc3e1cb483"><enum>(1)</enum><header>Treatment of written advice</header><text>Written advice issued under this section, and any materials submitted in connection therewith, and the fact that a request for written advice was made shall be treated as confidential supervisory information and exempt from disclosure under section 552(b) of title 5, United States Code.</text></paragraph><paragraph id="id352ed0dfe67540a79a5db2f741241ca4"><enum>(2)</enum><header>Publishing of anonymized or redacted summaries</header><text>A Federal financial institutions regulatory agency may publish anonymized or redacted summaries of rulings for informational purposes.</text></paragraph></subsection><subsection id="idd8060dee876a4d1c80d15f543b6b452a"><enum>(h)</enum><header>Modification or revocation</header><text>A Federal financial institutions regulatory agency may modify or revoke written advice issued under this section only if—</text><paragraph id="id339484f34a09467d91ee31ab9400bee5"><enum>(1)</enum><text>the requesting financial institution made a material misstatement or omission of fact;</text></paragraph><paragraph id="idb4e2d57b2acb4c2a89d765692182e43d"><enum>(2)</enum><text>there has been a change in controlling law; or</text></paragraph><paragraph id="id9c5a15dae01e4631b879ca9330fb8168"><enum>(3)</enum><text>the ruling is inconsistent with a final rule or judicial decision issued after the date the written advice was issued.</text></paragraph></subsection><subsection id="id353b1d2bc39b43d28461c497ca382fc7"><enum>(i)</enum><header>Reasonable fees</header><paragraph commented="no" display-inline="no-display-inline" id="idd2a5e5388f25476cac74439c8c18c936"><enum>(1)</enum><header>In general</header><text display-inline="yes-display-inline">Each Federal financial institutions regulatory agency may establish and collect a reasonable fee for the processing and issuance of any written advice issued under this section.</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="id7d5dca394de24ceb87ff87763efb037c"><enum>(2)</enum><header>Requirements</header><text display-inline="yes-display-inline">Any fee established under paragraph (1)—</text><subparagraph id="idceb9264387c84fabb9998b71b200da0f"><enum>(A)</enum><text>shall be based on the estimated cost to the agency of reviewing, analyzing, and responding to the request;</text></subparagraph><subparagraph id="id06ce39a5222044bfa95c8a3f2c718d56"><enum>(B)</enum><text>may vary based on the complexity of the request or the size of the requesting institution; and</text></subparagraph><subparagraph id="id30ac51b1bdcf437fa3d19604544e768e"><enum>(C)</enum><text>shall be prescribed by regulation.</text></subparagraph></paragraph></subsection><subsection id="ide9132405c2d0431a8f06969d4aaf08f7"><enum>(j)</enum><header>Finality</header><text>Written advice issued under the procedures established under this section shall not be construed as a final agency action.</text></subsection></section><after-quoted-block>.</after-quoted-block></quoted-block></subsection><subsection id="ida3dddd7b88344d6483d372f2732d6069"><enum>(c)</enum><header>Office of Independent Examination Review</header><paragraph id="id0c46bb2f9c8f4dce9a6ebac9db5d2885"><enum>(1)</enum><header>In general</header><text>The Federal Financial Institutions Examination Council Act of 1978 (<external-xref legal-doc="usc" parsable-cite="usc/12/3301">12 U.S.C. 3301 et seq.</external-xref>), as amended by subsection (b), is amended by adding at the end the following:</text><quoted-block style="OLC" display-inline="no-display-inline" id="id82cfaad9995e42a688c822ebc22f768e"><section id="id64cabe5efc5b4245af952d0a4556365f"><enum>1014.</enum><header>Office of Independent Examination Review</header><subsection id="id5466cb271fbd42be98baadef7acb7638"><enum>(a)</enum><header>Establishment</header><text>There is established in the Council an Office of Independent Examination Review (referred to in this section as the <term>Office</term>).</text></subsection><subsection id="idf9409bbcee784c959bc14d96ca9ff087"><enum>(b)</enum><header>Board of independent examination review</header><paragraph id="idc901059e852e481eb59125a795276582"><enum>(1)</enum><header>In general</header><text>The head of the Office shall be the Board of Independent Examination Review, which shall be comprised of 3 members, appointed by the President, by and with the advice and consent of the Senate.</text></paragraph><paragraph id="id3e0c5d1303f24142871c019f9a53cc62"><enum>(2)</enum><header>Qualifications</header><text>The President shall appoint 1 member of the Board from each of the following classes of individuals:</text><subparagraph id="id8b28909fb4a3487d8f39997ba0c32240"><enum>(A)</enum><text>Individuals who have been employed by a Federal financial institutions regulatory agency.</text></subparagraph><subparagraph id="idf5400222392d46dbb9fff01402260c0c"><enum>(B)</enum><text>Individuals who—</text><clause commented="no" display-inline="no-display-inline" id="id49870fe72f57442ca717a5689176e2c4"><enum>(i)</enum><text display-inline="yes-display-inline">are not, and were not during the previous 5-year period, employed by a Federal financial institutions regulatory agency or a Federal reserve bank; and</text></clause><clause commented="no" display-inline="no-display-inline" id="id195a48e145b1417780e6b6415dd192d4"><enum>(ii)</enum><subclause commented="no" display-inline="yes-display-inline" id="id9fd691326804415686ea061899ff7a18"><enum>(I)</enum><text display-inline="yes-display-inline">are a licensed attorney or a certified public accountant authorized to practice under the laws of a State, the District of Columbia, or a territory of the United States;</text></subclause><subclause indent="up1" commented="no" display-inline="no-display-inline" id="id63b880c61ece4bdea0419423d8c48a91"><enum>(II)</enum><text>have academic or private sector experience relating to financial services; or</text></subclause><subclause id="id0b7192cde594448797152e3d75d18fcc" indent="up1"><enum>(III)</enum><text>have relevant work-related experience in consumer affairs or compliance with consumer protection laws with respect to financial institutions.</text></subclause></clause></subparagraph><subparagraph id="idb8fd3fd3b5c44a64b1ccdfdc1edcc42d"><enum>(C)</enum><text>Individuals with at least 10 years private sector financial services senior management-level experience.</text></subparagraph></paragraph><paragraph id="id0f5f5ac51deb429d99763f1d01b8b177"><enum>(3)</enum><header>Prohibition on certain individuals serving as a board member</header><text>The President may not appoint an individual as a member of the Board if the individual—</text><subparagraph id="id4799233b38a44ccc920e58f89e4b5b58"><enum>(A)</enum><text>is, or was during the previous 2-year period, employed by a Federal financial institutions regulatory agency or a Federal reserve bank; or</text></subparagraph><subparagraph id="id5d70b3857c54466581f2c60b784e78c9"><enum>(B)</enum><text>is, or was during the previous 2-year period, employed by a financial institution.</text></subparagraph></paragraph><paragraph id="id2f50bee9a59140c5aed2fd03cf0d21e7"><enum>(4)</enum><header>Consultation</header><text>In appointing members of the Board, the President shall consult with the Federal financial institutions regulatory agencies and financial institutions.</text></paragraph><paragraph id="ida020f681b4a342f3bf51cb371a46ef44"><enum>(5)</enum><header>Term</header><subparagraph id="ida2ff1efb5fd240bcab317afadc8e4fc1"><enum>(A)</enum><header>In general</header><text>Each member of the Board shall serve for a term of 3 years. Upon the expiration of a term of office of the member, the member shall continue to serve until the successor of the member has been confirmed by the Senate.</text></subparagraph><subparagraph id="id351f3596a9844de7ad573557f4d35dcb"><enum>(B)</enum><header>Term limitation</header><text>No individual may serve more than 2 full terms on the Board.</text></subparagraph></paragraph><paragraph id="id8323aee60c9f42119316533fc8393ba7"><enum>(6)</enum><header>Political affiliation</header><text>Not more than 2 members of the Board shall be members of the same political party.</text></paragraph><paragraph id="id2e0cdb9b17a04850b41d3e06ccbdc2c7"><enum>(7)</enum><header>Quorum</header><subparagraph id="id27a6986930554dd69bd737f7917c3212"><enum>(A)</enum><header>In general</header><text>Three members of the Board shall constitute a quorum.</text></subparagraph><subparagraph id="idf84f5193f32646aea018888b1c7b1432"><enum>(B)</enum><header>Initial quorum</header><text>During the 6-month period beginning on the date of enactment of this section, 1 member of the Board shall constitute a quorum until the Board has 3 members.</text></subparagraph></paragraph><paragraph id="idfe6316ab5fe34d329f4c7c545c8a4d90"><enum>(8)</enum><header>Rate of pay</header><text>The annual rate of basic pay for the members of the Board shall be the rate of basic pay for level IV of the Executive Schedule under section 5315 of title 5, United States Code.</text></paragraph></subsection><subsection id="idd716967fdd00414c8b686a60b8b59a1d"><enum>(c)</enum><header>Staffing</header><paragraph commented="no" display-inline="no-display-inline" id="idcedf6c8d5d1a497a99bd0203def1b015"><enum>(1)</enum><header>In general</header><text display-inline="yes-display-inline">The Board is authorized to hire staff to support the activities of the Office and set the salaries of such staff.</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="idd20e6ea5d6c5400c8a5ac668c0ce27f5"><enum>(2)</enum><header>Costs and expenses</header><subparagraph commented="no" display-inline="no-display-inline" id="idf819d8ed84ab457a905d7b40c0142770"><enum>(A)</enum><header>In general</header><text display-inline="yes-display-inline">One-fifth of the costs and expenses of the Office, including the salaries of its employees, shall be paid by each of the Federal financial institutions regulatory agencies.</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id5cc8ca9f92aa4c1e908cb01e5eea9a94"><enum>(B)</enum><header>Assessments</header><text display-inline="yes-display-inline">Annual assessments for the share described in subparagraph (A) shall be levied by the Council based upon its projected budget for the year, and additional assessments may be made during the year if necessary.</text></subparagraph></paragraph></subsection><subsection id="id0bda793f99e744a8a3ca9feafe2167fc"><enum>(d)</enum><header>Duties</header><text>The Board shall—</text><paragraph id="idb3b5999af31c4274a45ea9e454d938d7"><enum>(1)</enum><text>receive and, at the discretion of the Board, investigate complaints from financial institutions, their representatives, or another entity acting on behalf of the institutions, concerning completed examinations, examination practices, or examination reports;</text></paragraph><paragraph id="idc08c100049c4441796d55eb03ec23f2e"><enum>(2)</enum><text>hold meetings, at least once every 3 months and in locations designed to encourage participation from all sections of the United States, with financial institutions, their representatives, or another entity acting on behalf of the institutions, to discuss examination procedures, examination practices, or examination policies;</text></paragraph><paragraph id="id8b472a841c774612bfb433539047b71b"><enum>(3)</enum><text>review examination procedures of the Federal financial institutions regulatory agencies to ensure that the written examination policies of those agencies are being followed in practice and adhere to the standards for consistency;</text></paragraph><paragraph id="id7c1bbc31a5d24c00aed3cb1340b8645d"><enum>(4)</enum><text>conduct a continuing and regular program of examination quality assurance on a sample for all examination types conducted by the Federal financial institutions regulatory agencies;</text></paragraph><paragraph id="id12af63ae28224757bd768f8b6e4b07c7"><enum>(5)</enum><text>carry out an independent review of any supervisory appeal initiated under section 1015; and</text></paragraph><paragraph id="id0b888dcd32284d31bc124a27f611ba8a"><enum>(6)</enum><text>report annually to the Committee on Financial Services of the House of Representatives, the Committee on Banking, Housing, and Urban Affairs of the Senate, and the Council, on the reviews carried out pursuant to paragraphs (3) and (5), including compliance with the requirements set forth in section 1012 regarding timeliness of examination reports, and the recommendations of the Board for improvements in examination procedures, practices, and policies.</text></paragraph></subsection><subsection id="id32eb2c66b0774b839266bedae1484ffb"><enum>(e)</enum><header>Confidentiality</header><paragraph id="id85928b7616a241e69d4d9c8dfaa2bc7f"><enum>(1)</enum><header>In general</header><text>The Board and the Council shall keep confidential—</text><subparagraph id="id842a64b9f1c741e29a8bc0b1a2700763"><enum>(A)</enum><text>all meetings, discussions, and information provided by financial institutions and Federal financial institutions regulatory agencies that involve confidential supervisory information or privileged information;</text></subparagraph><subparagraph id="ida03f9f35b4e34a28a63911bc4629f5f1"><enum>(B)</enum><text>all information and communications exchanged between a financial institution and the Office; and</text></subparagraph><subparagraph id="ideb013cf180d94886a3709963561699a8"><enum>(C)</enum><text>all information and communications exchanged between a Federal financial institutions regulatory agency and the Office.</text></subparagraph></paragraph><paragraph id="idc84c0c4db4054146a1fb410a916ca9b8"><enum>(2)</enum><header>Submission of information does not constitute a waiver</header><text>Section 18(x) of the Federal Deposit Insurance Act (<external-xref legal-doc="usc" parsable-cite="usc/12/1828">12 U.S.C. 1828(x)</external-xref>) and section 205(j) of the Federal Credit Union Act (<external-xref legal-doc="usc" parsable-cite="usc/12/1785">12 U.S.C. 1785(j)</external-xref>) shall apply to the submission of information to the Board by a financial institution or a Federal financial institutions regulatory agency to the same extent as those sections apply to the submission of information described in those sections.</text></paragraph><paragraph id="idc0d075a46b81440e8f10f8c8c967a5df"><enum>(3)</enum><header>Sharing of information without waiving privilege</header><text>The Board shall be considered a covered agency for purposes of section 11(t) of the Federal Deposit Insurance Act (<external-xref legal-doc="usc" parsable-cite="usc/12/1821">12 U.S.C. 1821(t)</external-xref>).</text></paragraph></subsection></section><after-quoted-block>.</after-quoted-block></quoted-block></paragraph><paragraph id="idf18e9e5012234d9e95451769fb9f09ed"><enum>(2)</enum><header>Definitions</header><text>Section 1003 of the Federal Financial Institutions Examination Council Act of 1978 (<external-xref legal-doc="usc" parsable-cite="usc/12/3302">12 U.S.C. 3302</external-xref>) is amended—</text><subparagraph id="id0536be1c4a7d4432817b18c46c7ed88a"><enum>(A)</enum><text>in paragraph (2), by striking <quote>and</quote> at the end; and</text></subparagraph><subparagraph id="idb532bec6cd594d518c4110dff9b77594"><enum>(B)</enum><text>by adding at the end the following:</text><quoted-block style="OLC" display-inline="no-display-inline" id="idb8db5bf9cf384de8bf784514c48bd579"><paragraph id="id9622b72f30bb49e6bcd963bc50a3e2c0"><enum>(4)</enum><text>the term <term>Board</term> means the Board of Independent Examination Review established under section 1014(b);</text></paragraph><paragraph id="id10ac007fe7aa45488cf8046be6f28f97"><enum>(5)</enum><text>the term <term>material supervisory determination</term> has the meaning given the term in section 309(f) of the Riegle Community Development and Regulatory Improvement Act of 1994 (<external-xref legal-doc="usc" parsable-cite="usc/12/4806">12 U.S.C. 4806(f)</external-xref>);</text></paragraph><paragraph id="id994df66f9de14d7aba32270185ab3008"><enum>(6)</enum><text>the term <term>insured depository institution</term> has the meaning given the term in section 3 of the Federal Deposit Insurance Act (<external-xref legal-doc="usc" parsable-cite="usc/12/1813">12 U.S.C. 1813</external-xref>); and</text></paragraph><paragraph id="id43d33204dbca43aa87eecc1134ff3f69"><enum>(7)</enum><text>the term <term>insured credit union</term> has the meaning given the term in section 101 of the Federal Credit Union Act (<external-xref legal-doc="usc" parsable-cite="usc/12/1752">12 U.S.C. 1752</external-xref>).</text></paragraph><after-quoted-block>.</after-quoted-block></quoted-block></subparagraph></paragraph></subsection><subsection id="idba42596bbccb48f5bf2512cf1b08ab3d"><enum>(d)</enum><header>Right to independent review of material supervisory determinations</header><text>The Federal Financial Institutions Examination Council Act of 1978 (<external-xref legal-doc="usc" parsable-cite="usc/12/3301">12 U.S.C. 3301 et seq.</external-xref>), as amended by subsection (c), is amended by adding at the end the following:</text><quoted-block style="OLC" display-inline="no-display-inline" id="idfa3b976db6c94e9499be52b5e3b3c248"><section id="idae6625e927084af09b49016ce5fe195c"><enum>1015.</enum><header>Right to independent review of material supervisory determinations</header><subsection id="ida956b4427f3c4c3c89475f05eabef730"><enum>(a)</enum><header>In general</header><text>A financial institution shall have the right to obtain an independent review of a material supervisory determination contained in a final report of examination. A Federal financial institutions regulatory agency and the Board may not conduct concurrent reviews.</text></subsection><subsection id="id849743e0765e4ba4a3255d63538344aa"><enum>(b)</enum><header>Notice</header><paragraph id="idccaa41343e964671b4a574a98d433e1d"><enum>(1)</enum><header>Timing</header><text>A financial institution seeking review of a material supervisory determination under this section shall file a written notice with the Board not later than 30 days after receiving the final report of examination that is the subject of the review.</text></paragraph><paragraph id="id084eff20da86421d9791ec6f0ca35846"><enum>(2)</enum><header>Extension</header><text>The institution may file a written request with the Board for an extension of the 60-day time period described under paragraph (1), which shall state good cause for granting the extension. Such request shall be granted in the sole discretion of the Board.</text></paragraph><paragraph id="id038ab292055d4a92b31c0f2d2773f4e2"><enum>(3)</enum><header>Identification of determination</header><text>The written notice shall—</text><subparagraph id="id147e500f04cf4cb998aea278ffa40b35"><enum>(A)</enum><text>identify the material supervisory determination that is the subject of the requested independent examination review;</text></subparagraph><subparagraph id="id6d1b1e199c3c4fdea500a242be669630"><enum>(B)</enum><text>state the reasons why the institution believes that the material supervisory determination is incorrect or should otherwise be modified; and</text></subparagraph><subparagraph id="idf653ebe20b914fa0a5be7f8808d00614"><enum>(C)</enum><text>include—</text><clause id="id867d5d2f43114e519820acd17c113bc3"><enum>(i)</enum><text>a clear and complete statement of all relevant facts and issues;</text></clause><clause id="id458ccfec7fa44122b61dc9743b7f5634"><enum>(ii)</enum><text>all arguments that the institution wishes to present; and</text></clause><clause id="id04c839fb802b48e4a3b0be7e5a425c81"><enum>(iii)</enum><text>all relevant and material documents in the possession of the institution that the institution wishes to be considered.</text></clause></subparagraph></paragraph><paragraph id="idc95164118bed451a91b21c1671b79d1e"><enum>(4)</enum><header>Information made available to institution</header><text>A financial institution seeking a review of a material supervisory determination may, not later than 7 days after receiving the final examination report, request that the Federal financial institutions regulatory agency that made the material supervisory determination provide the financial institution with all examination and factual information relied upon by the Federal financial institutions regulatory agency in making the material supervisory determination. The Federal financial institutions regulatory agency shall provide such information to the financial institution not later than 14 days after receiving the request.</text></paragraph><paragraph id="idff5df5425bd24d3ba3a6fda65eb44296"><enum>(5)</enum><header>Submission of record</header><text>After receiving a written notice of review from a financial institution under this subsection, the Board shall direct the Federal financial institutions regulatory agency that made the material supervisory determination under review to file with the Board the supervisory record of the examination resulting in the material supervisory determination under review.</text></paragraph></subsection><subsection id="id810a3bd2db3448aea10a8fe5c228e2b3"><enum>(c)</enum><header>Determination; right to hearing</header><paragraph id="id7b8c971275ad415eb1046476320cf2e3"><enum>(1)</enum><header>In general</header><text>The Board shall—</text><subparagraph id="id3d2f0e09cd5f493a942c494134148a6d"><enum>(A)</enum><text>determine the merits on the record, including whether the material supervisory determination being reviewed should be upheld, canceled, or modified; or</text></subparagraph><subparagraph id="id42f7455a68e044c4b263a5e1b7404dc4"><enum>(B)</enum><text>at the election of the financial institution, conduct a hearing, which shall take place not later than 60 days after the petition for review is received by the Board, except that such 60-day period may be extended if both the financial institution and the Board agree to such extension.</text></subparagraph></paragraph><paragraph id="idf84c0074fa28400a8246e54985994572"><enum>(2)</enum><header>Right to obtain testimony</header><text>A financial institution electing for a hearing under paragraph (1)(B) shall have the right the obtain testimony under oath from agency employees and obtain documents and other evidence at the hearing, or in advance of the hearing, according to procedures instituted by the Board consistent with those set forth under sections 556 and 557 of title 5, United States Code.</text></paragraph><paragraph id="id3727e91fd693449494da160c96a7e6a5"><enum>(3)</enum><header>Basis of decision</header><text>The Board shall issue a written decision based upon the record of the examination, supplemented by the record established before the Board and at any hearing.</text></paragraph><paragraph id="idf6c3836833ff4ace9d304c4088f6711e"><enum>(4)</enum><header>Standard of review</header><text>The review by the Board of a material supervisory determination under this subsection shall be de novo, and the Board shall not defer to the opinions of the examiners or the Federal financial institutions regulatory agency, but shall independently determine the appropriateness of the material supervisory determination based upon the relevant statutes, regulations, other appropriate guidance, and the evidentiary record.</text></paragraph><paragraph id="idc108b894791c4ec99dfd14f0a2dda38a"><enum>(5)</enum><header>Policy matters</header><text>The Board shall conduct reviews under this section applying the policies, regulations, and interpretations of the Federal financial institutions regulatory agency that made the material supervisory determination under review in effect at the time the material supervisory determination was made.</text></paragraph></subsection><subsection id="id6f38aaea31934abfa1701ceea9d4b010"><enum>(d)</enum><header>Final decision</header><text>A decision by the Board on an independent review under this section shall—</text><paragraph id="id22a04fc6b69e493f950fe1cc9cfbcc44"><enum>(1)</enum><text>be made not later than 60 days after the record has been closed; and</text></paragraph><paragraph id="id5519647843284ebead088690a547c499"><enum>(2)</enum><text>be deemed final and shall bind the agency whose supervisory determination was the subject of the review and the financial institution requesting the review.</text></paragraph></subsection><subsection id="id655708c1c77f40c18705babcced67d05"><enum>(e)</enum><header>Referral of violations</header><text>If the Board, in carrying out this section, determines that a financial institution has violated a law or regulation, the Board shall refer such determination to the applicable Federal financial institutions regulatory agency.</text></subsection><subsection id="idf4084f13e9684fddbd82f28a4592b92f"><enum>(f)</enum><header>Annual report</header><paragraph id="id4db2be69673d40b089aaeeae3d9721fe"><enum>(1)</enum><header>In general</header><text>The Board shall report annually to the Committee on Financial Services of the House of Representatives, the Committee on Banking, Housing, and Urban Affairs of the Senate, and the Council on actions taken under this section, including the types of issues that the Board has reviewed and the results of those reviews, including information on each final determination with respect to a material supervisory determination.</text></paragraph><paragraph id="id91f599d2d32d496a8540b3f3d075fab9"><enum>(2)</enum><header>Confidentiality</header><text>In reporting under paragraph (1), the Board shall—</text><subparagraph commented="no" display-inline="no-display-inline" id="id640c4c63712e472f86a871e19587cb84"><enum>(A)</enum><text display-inline="yes-display-inline">redact information about individual financial institutions and any confidential supervisory information or privileged information shared by financial institutions; and</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id2c44367e855d453eb3ea35a9759c6062"><enum>(B)</enum><text display-inline="yes-display-inline">anonymize any unredacted information that could, in the aggregate, identify a financial institution.</text></subparagraph></paragraph></subsection><subsection id="id3f041742128a48c8a1d1b810c4b80eb6"><enum>(g)</enum><header>Retaliation prohibited</header><paragraph id="id12994a77035d422ba92f1878ae4f4e31"><enum>(1)</enum><header>In general</header><text>A Federal financial institutions regulatory agency may not—</text><subparagraph id="id54283e53832140ff99e6c59d2d37d894"><enum>(A)</enum><text>retaliate against a financial institution, including service providers, or any institution-affiliated party, for exercising rights under this section; or</text></subparagraph><subparagraph id="id3a62c69ae19f460298c5ae56c6909c29"><enum>(B)</enum><text>delay or deny any agency action that would benefit a financial institution or any institution-affiliated party on the basis that a review under this section is pending under this section.</text></subparagraph></paragraph><paragraph id="id3a98d7b70aa145e58d7ac36cfb9341ff"><enum>(2)</enum><header>Retaliation</header><text>For purposes of this subsection, retaliation includes delaying consideration of, or withholding approval of, any request, notice, or application that otherwise would have been approved, but for the exercise of rights of a financial institution under this section.</text></paragraph></subsection><subsection id="idd8326becad37499daefd8913632b74bb"><enum>(h)</enum><header>Rulemaking</header><text>The Board shall issue rules, consistent with subchapter II of <external-xref legal-doc="usc-chapter" parsable-cite="usc-chapter/5/5">chapter 5</external-xref> of title 5, United States Code (commonly known as the <quote>Administrative Procedure Act</quote>), to establish procedures for hearings described under this section, including that—</text><paragraph id="id452a00b716a54e5fb30ebb89d4349043"><enum>(1)</enum><text>a financial institution may appear at the hearing personally or through counsel;</text></paragraph><paragraph id="idb93d2e3e9134435fbabbd252a7de0a27"><enum>(2)</enum><text>a financial institution may provide an oral and written presentation at the hearing;</text></paragraph><paragraph id="id2b7b3cb38af24cd8a7ab998cd2c2cb81"><enum>(3)</enum><text>the Board may ask questions of any person participating in the hearing;</text></paragraph><paragraph id="id97220a7581a34c71b40635852353b928"><enum>(4)</enum><text>the hearing shall not be governed by the Federal Rules of Evidence; and</text></paragraph><paragraph id="id9ca52344001d4397924096805c192967"><enum>(5)</enum><text>the Board shall have a verbatim transcript of the hearing prepared.</text></paragraph></subsection><subsection id="ide0758251ad104958bb81937ba41513db"><enum>(i)</enum><header>Rule of construction</header><text>Nothing in this section may be construed—</text><paragraph id="id5a5c8d5682ab4aa18c6c9ab653453e41"><enum>(1)</enum><text>to affect the right of a Federal financial institutions regulatory agency to take enforcement or other supervisory actions related to a material supervisory determination under review under this section; or</text></paragraph><paragraph id="idd48f864b0e9a429d82a44b2c754d4808"><enum>(2)</enum><text>to prohibit the review under this section of a material supervisory determination with respect to which there is an ongoing enforcement or other supervisory action.</text></paragraph></subsection></section><after-quoted-block>.</after-quoted-block></quoted-block></subsection><subsection id="id209f398d0f0a4031bd1d324ecbf9db14"><enum>(e)</enum><header>Additional amendments</header><paragraph id="id8bdc711bde394e3e80ab0dab56d95b52"><enum>(1)</enum><header>Regulatory appeals process, ombudsman, and alternative dispute resolution</header><subparagraph id="id5736451b703145b495d67265c32d379a"><enum>(A)</enum><header>In general</header><text>Section 309 of the Riegle Community Development and Regulatory Improvement Act of 1994 (<external-xref legal-doc="usc" parsable-cite="usc/12/4806">12 U.S.C. 4806</external-xref>) is amended—</text><clause id="idbf3c58afee684041857f431ac31f35b6"><enum>(i)</enum><text>in the heading, by striking <quote><header-in-text style="OLC" level="section">Regulatory appeals process, ombudsman,</header-in-text></quote> and inserting <quote><header-in-text style="OLC" level="section">Ombudsman</header-in-text></quote>;</text></clause><clause id="idd5615cf7520c4e83aab9c946563e7d72"><enum>(ii)</enum><text>by striking subsections (a), (b), and (c);</text></clause><clause id="id5bcc7df3c1a346998e7c8e32d001510b"><enum>(iii)</enum><text>by redesignating subsections (d), (e), (f), and (g) as subsections (a), (b), (c), and (d), respectively;</text></clause><clause id="id233c6042c85244f5a3e8a2e17bac3900"><enum>(iv)</enum><text>in subsection (b), as so redesignated—</text><subclause id="idffbccf76123d4336acde644ddcdd8281"><enum>(I)</enum><text>in paragraph (2)—</text><item id="id0826d0dc16d54ac884481b98a56f59f1"><enum>(aa)</enum><text>in subparagraph (B), by striking <quote>and</quote> at the end;</text></item><item id="id61a506c3f7984adb92e30b9641101278"><enum>(bb)</enum><text>in subparagraph (C), by striking the period and inserting <quote>; and</after-quoted-block></quoted-block></item></subclause><subclause id="idf9dd7ee5dcd347b68c361e233e274ea9"><enum>(II)</enum><text>by adding at the end the following:</text><quoted-block style="OLC" display-inline="no-display-inline" id="ida2b4b3ff5f4d44308d8a03d0120a12b9"><paragraph id="id40aa009bfb6d4f4da5197732cb9b4b7c"><enum>(6)</enum><header>Retaliation</header><text>For purposes of this subsection, retaliation includes delaying consideration of, or withholding approval of, any request, notice, or application that otherwise would have been approved, but for the exercise of rights under this section.</text></paragraph><after-quoted-block>;</after-quoted-block></quoted-block></subclause></clause><clause id="id479b439a7d7442faa384eef74307397a"><enum>(v)</enum><text>in paragraph (1)(A) of subsection (c), as so redesignated—</text><subclause id="id994f1acfffff4535b6967e578f8cf55f"><enum>(I)</enum><text>in clause (ii), by striking <quote>; and</quote> and inserting a semicolon;</text></subclause><subclause id="id7c532ec0870a44868838dc03fc2ed2d1"><enum>(II)</enum><text>in clause (iii), by striking <quote>; and</quote> and inserting a semicolon; and</text></clause><clause id="id94d7217447af43e79ea141a63f33c766"><enum>(v)</enum><text>any suspension or removal of the status of an institution as eligible for expedited processing of applications, requests, notices, or filings on the grounds of a supervisory or compliance concern, regardless of whether that concern has been cited in an examination report or matter requiring attention in an examination report, if the conduct at issue did not involve violation of any criminal law; and</text></clause><after-quoted-block>; and</after-quoted-block></quoted-block></subclause></clause><clause commented="no" display-inline="no-display-inline" id="id0ad2cda30bff46b9b86f1f17e133b6f3"><enum>(vi)</enum><text>in the table of contents, by striking the item relating to section 309 and inserting the following:</text><quoted-block style="OLC" id="id4ed64482-6436-4ef2-b5e2-fb452355addb"><toc><toc-entry level="section">Sec. 309. and</text></subparagraph><subparagraph id="idf397425a07aa4cb3bd6c13b15c8c3531"><enum>(B)</enum><text>includes the Bureau of Consumer Financial Protection for purposes of sections 1012 through 1015;</text></subparagraph></paragraph><after-quoted-block>; and</after-quoted-block></quoted-block></clause><clause id="id178eab1da8f64e03bd84fdc9d3cfa9df"><enum>(ii)</enum><text>in paragraph (3), by striking the semicolon at the end and inserting <quote>, except that for purposes of sections 1012 through 1015, the term <term>financial institution</term> does not include a credit union that is not an insured credit union;</quote>;</text></clause></subparagraph><subparagraph id="id69e7cd383a7b4cd6b78c403b9fc94a70"><enum>(B)</enum><text>in section 1004(a)(4) (<external-xref legal-doc="usc" parsable-cite="usc/12/3303">12 U.S.C. 3303</external-xref>), by striking <quote>Consumer Financial Protection Bureau</quote> and inserting <quote>Bureau of Consumer Financial Protection</quote>; and</text></subparagraph><subparagraph id="id548997c71a6b4e018daf2181a1c9a03a"><enum>(C)</enum><text>in section 1005 (<external-xref legal-doc="usc" parsable-cite="usc/12/3304">12 U.S.C. 3304</external-xref>)—</text><clause id="idd4684f6fdc2346f1b2eef1472c07e109"><enum>(i)</enum><text>by striking <quote>One-fifth</quote> and inserting <quote>One-fourth</quote>; and</text></clause><clause id="id060b53544bda4bc0ae3fca1561e93ee4"><enum>(ii)</enum><text>by inserting <quote>described under section 1003(1)(A)</quote> after <quote>agencies</quote>.</text></clause></subparagraph></paragraph></subsection><subsection id="idb94b546cb57847b29796c7e8155885ce"><enum>(f)</enum><header>Election of forum for review of supervisory enforcement</header><paragraph id="id247a956b285e4aa185fa993252dff604"><enum>(1)</enum><header>Federal Deposit Insurance Act</header><text>Section 8 of the Federal Deposit Insurance Act (<external-xref legal-doc="usc" parsable-cite="usc/12/1818">12 U.S.C. 1818</external-xref>) is amended—</text><subparagraph id="id44d49ae765be4c3b9e013f933ce50128"><enum>(A)</enum><text>in subsection (b), by adding at the end the following:</text><quoted-block style="OLC" display-inline="no-display-inline" id="id3399f460494245cf878d2383af6cce84"><paragraph id="id39012d03a019429e95d8668ee6de745e"><enum>(11)</enum><header>Hearing</header><text>With respect to any notice properly issued and served upon a depository institution or institution-affiliated party under this subsection, such depository institution or institution-affiliated party shall be afforded a hearing before—</text><subparagraph id="ida6358c400a67482888506077006af33c"><enum>(A)</enum><text>the appropriate Federal banking agency; or</text></subparagraph><subparagraph id="id1f039c35337d4344b05114b7f4d8b1f5"><enum>(B)</enum><text>if such institution or person submits a request not later than 20 days after the issuance of the notice, the appropriate district court of the United States, which shall have jurisdiction to adjudicate all claims and requested remedies stated in the notice of charges, including those authorized under this subsection.</text></subparagraph></paragraph><after-quoted-block>;</after-quoted-block></quoted-block></subparagraph><subparagraph id="id88fefcef96764a02b13d19488dddb4db"><enum>(B)</enum><text>in subsection (e), by adding at the end the following:</text><quoted-block style="OLC" display-inline="no-display-inline" id="id9ae1c8ca45fe4d35b529c409a3ea2d5a"><paragraph id="idccca922adc7549c2af3ed45c58ccce62"><enum>(8)</enum><header>Hearing</header><text>With respect to any notice properly issued and served upon an institution-affiliated party under this subsection, such institution-affiliated party shall be afforded a hearing before—</text><subparagraph id="id57b601c9992f475c999ef22de100bb8c"><enum>(A)</enum><text>the appropriate Federal banking agency; or</text></subparagraph><subparagraph id="id5ce7b9fc86cb4bd88ee684f3e1da3c55"><enum>(B)</enum><text>if such party submits a request for such hearing and forum not later than 20 days after the issuance of the notice, the appropriate district court of the United States, which shall have jurisdiction to adjudicate all claims and requested remedies stated in the notice, including those authorized under this subsection.</text></subparagraph></paragraph><after-quoted-block>;</after-quoted-block></quoted-block></subparagraph><subparagraph id="ide203dd96d775402cb42bff833daa1d4a"><enum>(C)</enum><text>in subsection (h)—</text><clause id="ida206a54105624eadbf1232dfb3c640cb"><enum>(i)</enum><text>in paragraph (1), by striking <quote>(other than the hearing provided for in subsection (g)(3) of this section)</quote> and inserting <quote>(other than the hearing provided for in subsection (b)(11)(B), (e)(8)(B), (g)(3), or (i)(2)(H)(ii))</quote>; and</text></clause><clause id="id746722bc01794e7e8a92a57320beb7d3"><enum>(ii)</enum><text>by adding at the end the following:</text><quoted-block style="OLC" display-inline="no-display-inline" id="ida839aadce181417d80e2d8ff7d35ddb6"><paragraph id="id032e36c993fa4ba18c0afb2c554ecacc" indent="up1"><enum>(4)</enum><text>Any hearing provided for in subsection (b)(11)(B), (e)(8)(B), or (i)(2)(H)(ii) shall be subject to the jurisdiction, powers, and equitable authority of the district court and be governed by the Federal Rules of Civil Procedure and the Federal Rules of Evidence.</text></paragraph><paragraph id="id9d1afd1671bf4f139e1807aa4ad25e9e" indent="up1"><enum>(5)</enum><text>Any final decision of a district court of the United States made pursuant to the election of a respondent under subsection (b)(11)(B), (e)(8)(B), or (i)(2)(H)(ii) shall be reviewable in the appropriate court of appeals of the United States in the same manner and to the same extent as any other civil action to which the United States is a party.</text></paragraph><after-quoted-block>;</after-quoted-block></quoted-block></clause></subparagraph><subparagraph id="id228eea56eeba4f89b00980715e258f93"><enum>(D)</enum><text>in subsection (i)(2)—</text><clause id="idd024682f404b4e578d1d4c06d1350c8f"><enum>(i)</enum><text>by amending subparagraph (E)(ii) to read as follows:</text><quoted-block style="OLC" display-inline="no-display-inline" id="id1de86ae5e2cc460faa793808cd9c7b1e"><clause id="iddb704541ef874022a0ec7bfd467b6473"><enum>(ii)</enum><header>Finality of assessment</header><text>If, with respect to any assessment under clause (i), a hearing is not requested or an election is not made and timely noticed pursuant to subparagraph (H) within the period of time allowed under such subparagraph, the assessment shall constitute a final and unappealable order.</text></clause><after-quoted-block>;</after-quoted-block></quoted-block></clause><clause id="idee4e89852b9a4d4987a9181e21695ccd"><enum>(ii)</enum><text>by amending subparagraph (H) to read as follows:</text><quoted-block style="OLC" display-inline="no-display-inline" id="id13d86442ae5546e3a905bf0470a6adfa"><subparagraph id="idc18db993e958432fa51fd41b5b337e89"><enum>(H)</enum><header>Hearing</header><text>The insured depository institution or institution-affiliated party against whom any penalty is assessed under this paragraph shall be afforded a hearing before—</text><clause id="ida96b682e9fd04da4a39435a6c8b16a78"><enum>(i)</enum><text>an agency, if such institution or person submits a request for such hearing not later than 20 days after the issuance of the notice of assessment; or</text></clause><clause id="ida42efafc4a0a4f38a59c8ef7b40e4030"><enum>(ii)</enum><text>the appropriate district court of the United States, if such institution or person submits a request for such hearing and forum not later than 20 days after the issuance of the notice of assessment.</text></clause></subparagraph><after-quoted-block>; and</after-quoted-block></quoted-block></clause><clause id="id185efba059f84c37b02d50fbf892c56a"><enum>(iii)</enum><text>by amending subparagraph (I)(ii) to read as follows:</text><quoted-block style="OLC" display-inline="no-display-inline" id="idb1721d9a07184e9eb02e9357af2f0434"><clause id="idb293d34eccc54895b0bbbbadff3b18f3"><enum>(ii)</enum><header>Appropriateness of penalty not reviewable</header><text>In any civil action under clause (i), except a civil action tried in a district court of the United States pursuant to subsection (b)(11)(B), (e)(8)(B), or (i)(2)(H)(ii), the validity and appropriateness of the penalty shall not be subject to review.</text></clause><after-quoted-block>; and</after-quoted-block></quoted-block></clause></subparagraph><subparagraph id="iddfb0d6b7e78f408f9b02146c0c8bf291"><enum>(E)</enum><text>by adding at the end the following:</text><quoted-block style="OLC" display-inline="no-display-inline" id="idfca90a27805c4692adfec5b9047fe3c7"><subsection id="idc2213735dce4465e9a80267b06f933cf"><enum>(x)</enum><header>Savings clause</header><text>Nothing in subsection (b)(11)(B), (e)(8)(B), or (i)(2)(H)(ii) shall be construed to—</text><paragraph id="id83631cbb9d664870a6bc9dca2d40d7b5"><enum>(1)</enum><text>limit the authority of a Federal banking agency to initiate an administrative enforcement action; or</text></paragraph><paragraph id="id1b836d2a4bb14698870a0d9881f9dfdd"><enum>(2)</enum><text>impair the validity of any consent order.</text></paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block></subparagraph></paragraph><paragraph id="idc4f2fb786d01415490f6fe557fcd3d51"><enum>(2)</enum><header>Federal Credit Union Act</header><text>Section 206 of the Federal Credit Union Act (<external-xref legal-doc="usc" parsable-cite="usc/12/1786">12 U.S.C. 1786</external-xref>) is amended—</text><subparagraph id="id786b0f6a2e3c413cbab772d97b803269"><enum>(A)</enum><text>in subsection (e), by adding at the end the following:</text><quoted-block style="OLC" display-inline="no-display-inline" id="id140584ae7a87495193bfc884771396ee"><paragraph id="id2b1f936027664fbba7c69747d9b262e6"><enum>(5)</enum><header>Hearing</header><text>With respect to any notice properly issued and served upon an insured credit union, credit union which has insured accounts, or an institution-affiliated party under this subsection, such insured credit union, credit union which has insured accounts, or institution-affiliated party shall be afforded a hearing before—</text><subparagraph id="id25d55080e7e44a3a80211b3b0db840c2"><enum>(A)</enum><text>the Administration; or</text></subparagraph><subparagraph id="id715a6f9867ec4109a85b203f7d1d2a84"><enum>(B)</enum><text>if such insured credit union, credit union which has insured accounts, or institution-affiliated party submits a request not later than 20 days after the issuance of the notice, the appropriate district court of the United States, which shall have jurisdiction to adjudicate all claims and requested remedies stated in the notice of charges, including those authorized under this subsection.</text></subparagraph></paragraph><after-quoted-block>;</after-quoted-block></quoted-block></subparagraph><subparagraph id="id104ceafbdf934cd7a2fd065078664b20"><enum>(B)</enum><text>in subsection (g), by adding at the end the following:</text><quoted-block style="OLC" display-inline="no-display-inline" id="idda8457b59b954f7aafa31dd16027f184"><paragraph id="id7b34c687fc0144bf811ab032d829352f"><enum>(8)</enum><header>Hearing</header><text>With respect to any notice properly issued and served upon an institution-affiliated party under this subsection, such institution-affiliated party shall be afforded a hearing before—</text><subparagraph id="id3565f80fcf13443aaf5ec6cef61a2a60"><enum>(A)</enum><text>the Administration; or</text></subparagraph><subparagraph id="idb63d8d17dd0d408a9f7d008ce0b483fb"><enum>(B)</enum><text>if such institution-affiliated party submits a request not later than 20 days after the issuance of the notice, the appropriate district court of the United States, which shall have jurisdiction to adjudicate all claims and requested remedies stated in the notice of charges, including those authorized under this subsection.</text></subparagraph></paragraph><after-quoted-block>;</after-quoted-block></quoted-block></subparagraph><subparagraph id="ida6ca49c39880436197bd5297f30440f5"><enum>(C)</enum><text>in subsection (j)—</text><clause id="ided970bcbeafe46cf8c11a03a01d0a0ae"><enum>(i)</enum><text>in paragraph (1), by striking <quote>(other than the hearing provided for in subsection (i)(3) of this section)</quote> and inserting <quote>(other than the hearing provided for in subsection (e)(5)(B), (g)(8)(B), (i)(3), or (k)(2)(H)(ii))</quote>; or</text></clause><clause id="id624e2877308e4fdb94a838ae10746782"><enum>(ii)</enum><text>the appropriate United States district court, if such insured credit union or institution-affiliated party submits a request for such hearing and forum not later than 20 days after the issuance of the notice of assessment.</text></clause></subparagraph><after-quoted-block>; and</after-quoted-block></quoted-block></clause><clause id="id743502186353407383d1f680a1458de9"><enum>(iii)</enum><text>by amending subparagraph (I)(ii) to read as follows:</text><quoted-block style="OLC" display-inline="no-display-inline" id="idb73f56e92577438c9ccf14ab0343b3cf"><clause id="id0d1790f58d234c73b561babe5f3ed251"><enum>(ii)</enum><header>Appropriateness of penalty not reviewable</header><text>In any civil action under clause (i), except a civil action tried in a district court of the United States pursuant to subsection (e)(5)(B), (g)(8)(B), or (k)(2)(H)(ii), the validity and appropriateness of the penalty shall not be subject to review.</text></clause><after-quoted-block>;
