which was read twice and referred to the <committee-name committee-id="SSBK00">Committee on Banking, Housing, and Urban Affairs</committee-name></action-desc></action><legis-type>A BILL</legis-type><official-title>To prohibit the purchase or sale of securities while aware of nonpublic information contained in certain social media accounts controlled by Government officials, and for other purposes.</official-title></form><legis-body><section id="S1" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>No Preferential Release Of Federal Information for Transactions Act</short-title></quote> or the <quote><short-title>NO PROFIT Act</short-title></quote>.</text></section><section id="ide646784d14bd4838ad4b2bc0e74fd262"><enum>2.</enum><header>Definitions</header><text display-inline="no-display-inline">In this Act:</text><paragraph id="id79d27556474d4805bd2bcc006be3b4e7"><enum>(1)</enum><header>Commodity; contract of sale; future delivery; option; swap</header><text>The terms <term>commodity</term>, <term>contract of sale</term>, <term>future delivery</term>, <term>option</term>, and <term>swap</term> have the meanings given those terms in section 1a of the Commodity Exchange Act (<external-xref legal-doc="usc" parsable-cite="usc/7/1a">7 U.S.C. 1a</external-xref>).</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="id5f69d08bc922490aa8c6b53c79373626"><enum>(2)</enum><header display-inline="yes-display-inline">Communication</header><text>The term <term>communication</term> means any post, statement, message, image, video, audio recording, or other content generated, published, or distributed through a social media platform.</text></paragraph><paragraph id="id94216f461e5649c88b2b7b98556fe6a5"><enum>(3)</enum><header>Covered family member</header><text>The term <term>covered family member</term> means the spouse, dependent child, or other immediate family member of a covered government official.</text></paragraph><paragraph id="id09df55c788e34837b402021c2c113927"><enum>(4)</enum><header>Covered government official</header><text>The term <term>covered government official</term>—</text><subparagraph commented="no" display-inline="no-display-inline" id="id7fed6598aa7e470a90f4fdce09fcd773"><enum>(A)</enum><text display-inline="yes-display-inline">means—</text><clause id="idac4d53d675534850b8761e6099845b4d"><enum>(i)</enum><text>the President;</text></clause><clause id="id058e1bd800774f7fa298761427e82d5b"><enum>(ii)</enum><text>the Vice President;</text></clause><clause id="idb70e0be534394a5e8a9275827204fcd4"><enum>(iii)</enum><text>a Member of Congress;</text></clause><clause id="id01eff51420d74dc6ba2dd4341e46da49"><enum>(iv)</enum><text>an employee of Congress;</text></clause><clause id="idd93fb1ca85614d488590b5919c5b3b39"><enum>(v)</enum><text>an executive branch employee;</text></clause><clause id="id12bd9030dd8e469d9a98c348e1a6a83a"><enum>(vi)</enum><text>a judicial officer; or</text></clause><clause id="id0a54c365333f4fc793d7e8ba1c19e5e2"><enum>(vii)</enum><text>a judicial employee; and</text></clause></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id0821849940374bba89acea84fe20d046"><enum>(B)</enum><text>includes an individual described in any clause of subparagraph (A) during the 180-day period beginning on the date on which the individual separates from the position described in the applicable clause.</text></subparagraph></paragraph><paragraph id="id15573d7e651a47878232c22ec633a3e3"><enum>(5)</enum><header>Covered social media account</header><text>The term <term>covered social media account</term> means an account or profile on a social media platform that is—</text><subparagraph id="id4e74d088c3ef42be869ee32ac98777e8"><enum>(A)</enum><text>owned, operated, maintained, directed, or controlled by—</text><clause commented="no" display-inline="no-display-inline" id="id2f39e181c023481ea1fcb03fd5b3b9e8"><enum>(i)</enum><text display-inline="yes-display-inline">a covered government official;</text></clause><clause commented="no" display-inline="no-display-inline" id="id221a9e401692413ea8caf364d1971fd7"><enum>(ii)</enum><text display-inline="yes-display-inline">a covered family member;</text></clause><clause commented="no" display-inline="no-display-inline" id="id194480eeb202433ca19aa185583379da"><enum>(iii)</enum><text>another person acting at the direction of, or on behalf of, a covered government official or a covered family member; or</text></clause><clause commented="no" display-inline="no-display-inline" id="id8599af8f92b049f5bf4373dbc69146c6"><enum>(iv)</enum><text>a Federal agency, executive department, military department, or other instrumentality of the Federal Government; or</text></clause></subparagraph><subparagraph id="id7d6787fbeefd46118386496c4ff306cb"><enum>(B)</enum><text>used by or on behalf of a covered government official, or a covered family member, to communicate with the public.</text></subparagraph></paragraph><paragraph id="ide2c5dac4e336436ba8a0b7776dd4e6f3"><enum>(6)</enum><header>Employee of Congress</header><text>The term <term>employee of Congress</term> means—</text><subparagraph id="id1ba85b9d36b94f6586f7e558663e8ce0"><enum>(A)</enum><text>any individual, other than a Member of Congress, the compensation of whom is disbursed by the Secretary of the Senate or the Chief Administrative Officer of the House of Representatives; and</text></subparagraph><subparagraph id="ida4761e1b5fbb4347ac678d61fdb2b276"><enum>(B)</enum><text>any other officer or employee of the legislative branch, as defined in section 13101 of title 5, United States Code.</text></subparagraph></paragraph><paragraph id="id6442821b306645c782804a17ba0dfa31"><enum>(7)</enum><header>Executive branch employee</header><text>The term <term>executive branch employee</term>—</text><subparagraph id="idc694f2dd8f5144f88d820912211d544b"><enum>(A)</enum><text>means an employee, as defined in section 2105 of title 5, United States Code, in the executive branch of the Federal Government; and</text></subparagraph><subparagraph id="idd7b1054a3ec44086a170cc6d4194d70b"><enum>(B)</enum><text>includes—</text><clause id="id60c6067a610f4a109233607610150a11"><enum>(i)</enum><text>the President;</text></clause><clause id="id8c7febf43969445fb13988bb3a36bcbf"><enum>(ii)</enum><text>the Vice President;</text></clause><clause id="ida36a8bde183b47ee8a78b1c7d13be22b"><enum>(iii)</enum><text>an individual serving in a position in the executive branch of the Federal Government for which appointment is made by the President, without regard to whether the advice and consent of the Senate is required with respect to that appointment, including an individual serving in a position—</text><subclause commented="no" display-inline="no-display-inline" id="id0bcd90341c384fa6a7f92c1b570b493e"><enum>(I)</enum><text display-inline="yes-display-inline">at level I, II, III, IV, or V of the Executive Schedule, as described in section 5312, 5313, 5314, 5315, or 5316 of title 5, United States Code, respectively;</text></subclause><subclause commented="no" display-inline="no-display-inline" id="id793a83a813b949e1bf913acc1ee918ea"><enum>(II)</enum><text>described in section 213.3102(c) of title 5, Code of Federal Regulations, or any successor regulation;</text></subclause><subclause commented="no" display-inline="no-display-inline" id="idc90ff32a5e834cacb01905f96c39f779"> <enum>(III)</enum> <text>described in section 213.3102(z) of title 5, Code of Federal Regulations, or any successor regulation; and</text>
 </subclause><subclause id="idc13265b2f9c54b23a11188e2034aa173"><enum>(IV)</enum><text>under schedule A under subpart C of part 213 of title 5, Code of Federal Regulations, or any successor regulations;</text></subclause></clause><clause commented="no" display-inline="no-display-inline" id="id92c15c51bd3a4670a25d0821e345e1dc"><enum>(iv)</enum><text display-inline="yes-display-inline">an employee of the United States Postal Service or of the Postal Regulatory Commission;</text></clause><clause commented="no" display-inline="no-display-inline" id="id942375b569e644c083d4715dee1f3bb8"><enum>(v)</enum><text>a member of the uniformed services, as defined in section 2101 of title 5, United States Code, without regard to whether that individual is on active duty;</text></clause><clause commented="no" display-inline="no-display-inline" id="idfd33e94110bd460a909593ebed5d3bf8"><enum>(vi)</enum><text>an individual serving in a Senior Executive Service position, as defined in section 3132(a) of title 5, United States Code;</text></clause><clause commented="no" display-inline="no-display-inline" id="id5032d3d95b0845d7af124c73c113f5d9"><enum>(vii)</enum><text>an individual serving in a position in the executive branch of the Federal Government in a political capacity under agency-specific authority; and</text></clause><clause commented="no" display-inline="no-display-inline" id="idc9caa410c9c94c1da239d25a3f2ec2e1"><enum>(viii)</enum><text>an individual serving in any position described in this paragraph under a provisional political appointment.</text></clause></subparagraph></paragraph><paragraph id="ide6c41294a5b74bc1a4d9e9e384ea313a"><enum>(8)</enum><header>Generally available</header><text>The term <term>generally available,</term> with respect to a communication issued through a covered social media account, means that the communication is disseminated through a method (or combination of methods) that is available to ordinary social media platform users through the standard, no-cost interface, without regard to whether the communication is also accessible through any other means, interface, or arrangement.</text></paragraph><paragraph id="id8354239d1a984b46b8bcbbcf94d6b64a"><enum>(9)</enum><header>Judicial employee; judicial officer</header><text>The terms <term>judicial employee</term> and <term>judicial officer</term> have the meanings given those terms in section 13101 of title 5, United States Code.</text></paragraph><paragraph id="id7e817db863194720815d6507cd89ce0d"><enum>(10)</enum><header>Material information</header><text>The term <term>material information</term> means information with respect to which there is a substantial likelihood that a reasonable investor would consider the information important in making an investment or trading decision.</text></paragraph><paragraph id="id2f5d132272c44814aef860e00ab77e58"><enum>(11)</enum><header>Member of Congress</header><text>The term <term>Member of Congress</term> means a Member of the Senate or House of Representatives, a Delegate to the House of Representatives, or the Resident Commissioner from Puerto Rico.</text></paragraph><paragraph id="id5f326da4618f42b68ba9310a5804d873"><enum>(12)</enum><header>Prioritized access</header><text>The term <term>prioritized access</term> means any service, arrangement, method, or functionality through which a social media platform, directly or indirectly, allows a person or class of persons to receive, access, view, process, or otherwise become aware of a communication issued through a covered social media account—</text><subparagraph id="id76514d8ea1af4e60a61b6408432e495d"><enum>(A)</enum><text>before the communication is generally available; or</text></subparagraph><subparagraph id="id5d7b1fb51cd74873b56aae82f425b20c"><enum>(B)</enum><text>on terms that differ materially in timing, latency, method of delivery, format, functionality, or technical accessibility from the terms available to other users of the social media platform, unless those terms are for accessibility accommodations offered on a non-discriminatory basis.</text></subparagraph></paragraph><paragraph id="ide2a1f9e078264778b74b518cd27f25bc"><enum>(13)</enum><header>Prioritized covered information</header><text>The term <term>prioritized covered information</term> means material information contained in a communication issued through a covered social media account that—</text><subparagraph id="idaf63033b20f94932885da8cdeb845ab9"><enum>(A)</enum><text>is obtained by a person through prioritized access; and</text></subparagraph><subparagraph id="id9d8c9bf846834ff08a8b94266d29a862"><enum>(B)</enum><text>at the time the person obtains the information, is not generally available.</text></subparagraph></paragraph><paragraph id="id339c443288e64e28b40e1c8487014de6"><enum>(14)</enum><header>Social media platform</header><text>The term <term>social media platform</term> has the meaning given the term in section 124(a) of the Trafficking Victims Prevention and Protection Reauthorization Act of 2022 (<external-xref legal-doc="usc" parsable-cite="usc/42/1862w">42 U.S.C. 1862w(a)</external-xref>).</text></paragraph><paragraph id="id792e49f562e24e89952385eb59959789"><enum>(15)</enum><header>Speculative information market</header><text>The term <term>speculative information market</term> means a market, platform, facility, or system through which a person may purchase, sell, or enter into a contract, the value of, or payment with respect to which, is based, in whole or in part, on the occurrence or nonoccurrence of an event or the outcome of a future contingency.</text></paragraph></section><section id="idd3f93b50d0104acf8724f7f690b551a4"><enum>3.</enum><header>Prohibition on trading while aware of prioritized covered information</header><subsection id="id9b99b318a19848098133afa873155268"><enum>(a)</enum><header>Prohibition</header><text>It shall be unlawful for any person, directly or indirectly, while aware of prioritized covered information and before that information is generally available, to—</text><paragraph id="ida68935dc65354de2bba4eccc7f752f4d"><enum>(1)</enum><text>purchase, sell, or otherwise enter into a transaction involving—</text><subparagraph id="idf65dfdacfe1d4dc7978f1e4d11843186"><enum>(A)</enum><text>a security or security-based swap;</text></subparagraph><subparagraph id="id383701b78cd84ce39ce7a6efdc25c4d0"><enum>(B)</enum><text>a commodity, contract of sale of a commodity for future delivery, commodity option, or swap; or</text></subparagraph><subparagraph id="id46c40fd736e242df81c89b3f35403438"><enum>(C)</enum><text>a contract offered through a speculative information market;</text></subparagraph></paragraph><paragraph id="id27958dc140a84219ab4eba3e2970897c"><enum>(2)</enum><text>cause or direct another person to enter into a transaction described in paragraph (1); or</text></paragraph><paragraph id="idb7ee0198bab24f1b8ee0f968752da2df"><enum>(3)</enum><text>communicate prioritized covered information to another person if the person communicating the prioritized covered information knows, or reasonably should know, that the recipient of the prioritized covered information is likely to enter into a transaction described in paragraph (1) while aware of that prioritized covered information and before the prioritized covered information is generally available.</text></paragraph></subsection><subsection id="id7dbae598e9ed442ab54129e505fea119"><enum>(b)</enum><header>Knowledge of prioritized access</header><text>A person shall not be liable under subsection (a) unless the person knew, or reasonably should have known, that the applicable prioritized covered information was obtained through prioritized access.</text></subsection><subsection id="id9e37707bfd054158bd5ea4b886f7c5cc"><enum>(c)</enum><header>Breach of duty not required</header><text>A violation of subsection (a) shall not require proof that the applicable prioritized covered information was obtained or communicated through a breach of a fiduciary duty, a relationship of trust or confidence, or any other duty of trust or confidence.</text></subsection><subsection id="id75c6df1d105f499eb80448a7ae7e3043"> <enum>(d)</enum> <header>Securities and security-Based swaps</header> <text>A violation of this section involving a transaction involving a security or security-based swap shall be treated as a violation of section 21A of the Securities Exchange Act of 1934 (<external-xref legal-doc="usc" parsable-cite="usc/15/78u-1">15 U.S.C. 78u–1</external-xref>), and the Securities and Exchange Commission may enforce that violation in the same manner, by the same means, and with the same jurisdiction, powers, and remedies available to the Commission under such section 21A, without regard to whether that transaction would otherwise (but for the operation of this subsection) constitute a violation of such section 21A.</text>
 </subsection><subsection id="idc5710aecf1cf4088b3147d5d78e97cd9"><enum>(e)</enum><header>Commodities, futures, options, swaps, and speculative information market contracts</header><text>A violation of this section involving a transaction involving a commodity, a contract of sale of a commodity for future delivery, an option, a swap, or a contract of sale of a commodity offered through a speculative information market shall be treated as a violation of section 6(c) of the Commodity Exchange Act (<external-xref legal-doc="usc" parsable-cite="usc/7/9">7 U.S.C. 9</external-xref>), and the Commodity Futures Trading Commission may enforce that violation in the same manner, by the same means, and with the same jurisdiction, powers, and remedies available to the Commodity Futures Trading Commission under such section 6(c), without regard to whether that transaction would otherwise (but for the operation of this subsection) constitute a violation of such section 6(c).</text></subsection><subsection id="idc32dcabff07c41f3a4f9689f51043d0b"><enum>(f)</enum><header>Rulemaking</header><text>Not later than 180 days after the date of enactment of this Act, the Securities and Exchange Commission and the Commodity Futures Trading Commission shall jointly issue such rules as may be necessary to carry out this section.</text></subsection></section><section id="idf112c090c53b449e9e1472244512841b"><enum>4.</enum><header>Prohibition on prioritized access to covered social media accounts</header><subsection id="idc48839ba56cc45f5a1e4f7f19afb9cbd"><enum>(a)</enum><header>Prohibition</header><paragraph commented="no" display-inline="no-display-inline" id="id5aa9b1e37e9e4cc5b6794c8e3a5e7045"><enum>(1)</enum><header display-inline="yes-display-inline">In general</header><text>It shall be unlawful for a social media platform, directly or indirectly, to knowingly offer, provide, sell, license, or otherwise make available prioritized access to a communication issued through a covered social media account.</text></paragraph><paragraph id="iddb604b523b624888a7f88f6d78d72405"><enum>(2)</enum><header>Rules of construction</header><text>Nothing in paragraph (1) shall be construed to restrict—</text><subparagraph id="id4556ea0597fa43db9c5e7ac03bb9b505"><enum>(A)</enum><text>the ability of a social media platform to offer prioritized access to a communication issued through an account or profile that is not a covered social media account;</text></subparagraph><subparagraph id="id23a8e56cc3964b5fb893cc97a8a2e5f7"><enum>(B)</enum><text>the use by a social media platform of algorithmic content ranking or the delivery of content or information intended for a specific user at no additional cost to the user and on the basis of data held by the social media platform that identifies, or is used to predict, content or information that could be of interest to that user;</text></subparagraph><subparagraph id="id3dbd23587fda4c57960876ba5ea090ac"><enum>(C)</enum><text>the ability of a social media platform to offer prioritized access directly to a Federal, territorial, Tribal, State, or local agency or to first responders and a segment of the public at the direction of such an agency, for the purpose of communicating information concerning public health or public safety, or in the event of emergency or disaster, provided that no fee is charged to any third-party recipient of such prioritized access; or</text></subparagraph><subparagraph id="id7ae295989e624f8e81d998f10ec2386b"><enum>(D)</enum><text>the offering, provision, or licensing by a social media platform of programmatic, application programming interface, or data-licensing access to a communication issued through a covered social media account, provided that such access—</text><clause id="id4776b4655ec84d06a06d21d691234adc"><enum>(i)</enum><text>is offered on reasonable terms that do not discriminate among recipients of comparable programmatic or data-licensing access;</text></clause><clause id="id72e26d60a803454ab9c98d203a635df9"><enum>(ii)</enum><text>does not make the communication available to a person, or class of persons, before the communication is generally available; and</text></clause><clause id="id1d74e39424f449ea949eb5626917ffc1"><enum>(iii)</enum><text>does not confer any advantage in timing or latency, relative to the general availability of the communication, that is conditioned on the payment of a fee or on membership in a closed or restricted class of recipients.</text></clause></subparagraph></paragraph></subsection><subsection id="id75962e4adcb7451ab70e97801f674427"><enum>(b)</enum><header>Civil penalties</header><paragraph id="idc28ca16d1a354153ad59de64ebeda1eb"><enum>(1)</enum><header>In general</header><text>A social media platform that violates subsection (a) shall be subject to a civil penalty in an amount equal to the total revenue received by the platform for the prioritized access that gave rise to the violation.</text></paragraph><paragraph id="ideba480378fc449c9999b484e060b88a9" commented="no" display-inline="no-display-inline"><enum>(2)</enum><header>Recovery</header><text>The Attorney General may bring a civil action in an appropriate district court of the United States to recover a civil penalty under paragraph (1).</text></paragraph></subsection></section></legis-body></bill>
