which was read the first time</action-desc></action><action><action-date date="20260804">August 4, 2026</action-date><action-desc>Read the second time and placed on the calendar</action-desc></action><legis-type>A BILL</legis-type><official-title>To prohibit the purchase, sale, or exchange of nonpublic information, and for other purposes.</official-title></form><legis-body><section id="S1" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Stop Corrupt Trading Act</short-title></quote>.</text></section><section id="id6f58f9b03a8e484fb26027ad5cf3feb5"><enum>2.</enum><header>Misuse of nonpublic information</header><subsection commented="no" display-inline="no-display-inline" id="id9f5fba0729564fb49f646798dfe5d5e9"><enum>(a)</enum><header>In general</header><text><external-xref legal-doc="usc-chapter" parsable-cite="usc-chapter/18/11">Chapter 11</external-xref> of title 18, United States Code, is amended by adding at the end the following:</text><quoted-block style="USC" display-inline="no-display-inline" id="id83ee7d7157d34befb3610a59d068e846"><section commented="no" display-inline="no-display-inline" id="id81658e1166fc460796d928e14a3e2d87"><enum>228.</enum><header>Misuse of nonpublic information</header><subsection commented="no" display-inline="no-display-inline" id="ida14480623edf4b1fbca0f1c0c3a92a1b"><enum>(a)</enum><header>Definitions</header><text>In this section:</text><paragraph commented="no" display-inline="no-display-inline" id="id902213184fa84a06bb0b9503c5be33c5"><enum>(1)</enum><header>Covered entity</header><text>The term <term>covered entity</term> means a firm, partnership, association, corporation, or other entity—</text><subparagraph commented="no" display-inline="no-display-inline" id="id12572afaf421461ea2363abe848fe7e7"><enum>(A)</enum><text display-inline="yes-display-inline">which a covered person or a member of the immediate family of a covered person controls, directly or indirectly; or </text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id0ad5d25fc7b34217b15cb88a7ff6e66f"><enum>(B)</enum><text display-inline="yes-display-inline">in which a covered person beneficially owns a financial interest in the entity comprising not less than 5 percent of the equity, profits, or revenue interests of the entity.</text></subparagraph></paragraph><paragraph commented="no" display-inline="no-display-inline" id="id1b5d4e850cc3455baaea7104a831ea35"><enum>(2)</enum><header>Covered person</header><text>The term <term>covered person</term> means the President or Vice President.</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="id113afdf2db574714bc425d2cd135db7b"><enum>(3)</enum><header>Nonpublic information</header><text>The term <term>nonpublic information</term>—</text><subparagraph commented="no" display-inline="no-display-inline" id="id556f51536f5e4bf4acf90eec3a38bff6"><enum>(A)</enum><text display-inline="yes-display-inline">means information that a covered person gains as a result of the covered person's official position and that the covered person knows or reasonably should know has not been made available to the general public, including information that the covered person knows or reasonably should know—</text><clause id="idacc256fefaf94fc2a15499e31d77a444"><enum>(i)</enum><text>is routinely exempt from disclosure under section 552 of title 5 or otherwise protected from disclosure by statute, Executive order, or regulation;</text></clause><clause id="idda1631da40f44ac6a42397a5c4321473"><enum>(ii)</enum><text>is designated as confidential; or</text></clause><clause id="id52a5c44cf0124d8d865dbeb2a48a81c5"><enum>(iii)</enum><text>has not been disseminated to the general public and is not authorized to be made available to the public on request; and</text></clause></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id97976aaf62bb43d1aed06b42bf6b8c37"><enum>(B)</enum><text display-inline="yes-display-inline">includes statements or other communications by a covered person made available via application programming interface or other means that are not made available to the general public on equal terms.</text></subparagraph></paragraph></subsection><subsection commented="no" display-inline="no-display-inline" id="idbe714256960c4fcd9017ad5bdb191a49"><enum>(b)</enum><header>Misuse of nonpublic information</header><paragraph commented="no" display-inline="no-display-inline" id="ide59667502ab642de8e7e42c50c51d184"><enum>(1)</enum><header>Sale by covered persons and entities</header><text display-inline="yes-display-inline">No covered person or covered entity may enter into a transaction to sell or exchange nonpublic information for financial benefit.</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="idd80ab8b059a34339897ebc79bde7201d"><enum>(2)</enum><header>Purchase or sale by other persons</header><text display-inline="yes-display-inline">No person may enter into a transaction to acquire, purchase, sell, or exchange nonpublic information for financial benefit.</text></paragraph></subsection><subsection commented="no" display-inline="no-display-inline" id="ideb595219d6a3494baac89cc258fe87f5"><enum>(c)</enum><header>Criminal penalties and forfeiture</header><paragraph commented="no" display-inline="no-display-inline" id="id4898d75b8a2c4841ac38a110f43d5fb0"><enum>(1)</enum><header>Penalty</header><text display-inline="yes-display-inline">The punishment for an offense under subsection (b) shall be—</text><subparagraph commented="no" display-inline="no-display-inline" id="idaf0e458f907e42e89b03a8a0e3d71b5c"><enum>(A)</enum><text display-inline="yes-display-inline">for an offense under subparagraph (A), a fine not more than double the value of the transaction, to be deposited in the Treasury or imprisonment for not more than 5 years, or both; and</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="ida1fcaedd7cbb429eae29d4e83fc16f23"><enum>(B)</enum><text display-inline="yes-display-inline">for an offense under subparagraph (B), a fine not more than double the value of the transaction, to be deposited in the Treasury.</text></subparagraph></paragraph><paragraph id="id06d330b1b82e4f43aa2c9ef9536d36d8"><enum>(2)</enum><header>Criminal forfeiture</header><text>The court, in imposing a sentence on a person convicted of an offense under subsection (b), shall order that the person forfeit to the United States any property, real or personal, constituting or derived from proceeds obtained, directly or indirectly, as a result of the offense.</text></paragraph></subsection><subsection id="id101373d437fc471aa60a22cd78311b40"><enum>(d)</enum><header>Civil enforcement; disgorgement</header><paragraph id="id7acb977baef44706a9a95bf22bd5713f"><enum>(1)</enum><header>Civil action</header><text>The Attorney General may bring a civil action in an appropriate district court of the United States against any person or entity that engages in conduct constituting a violation of subsection (b) (without regard to whether a criminal prosecution has been brought), for—</text><subparagraph commented="no" display-inline="no-display-inline" id="idce44c85db3ea4c16932de11217f9598b"><enum>(A)</enum><text display-inline="yes-display-inline">disgorgement to the United States of all profits, payments, and other things of value derived from the conduct;</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="idac150825fcdd4440a694c24b8f941918"><enum>(B)</enum><text display-inline="yes-display-inline">a civil penalty of not more than the greater of $250,000 or 3 times the amount of the gain derived from, or the payment made in, the conduct, for each violation; and</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id4b6bbb32309d476a974045389956bbb6"><enum>(C)</enum><text display-inline="yes-display-inline">appropriate equitable relief, including an injunction and a constructive trust for the benefit of the United States over property traceable to the conduct.</text></subparagraph></paragraph><paragraph id="id87f94f461d0343e6b66464ecc49d3cab"><enum>(2)</enum><header>Standard of proof</header><text>In an action under this subsection, the standard of proof shall be a preponderance of the evidence.</text></paragraph><paragraph id="ide3e6e550ca9a4d8e86f00d6b1c762dfa"><enum>(3)</enum><header>Statute of limitations; tolling</header><text>An action under this subsection shall be commenced not later than 6 years after the date on which the conduct occurred, except that such period shall be tolled during any period in which the defendant, or the covered person from whose position the nonpublic information concerned was derived, holds the office of President or Vice President.</text></paragraph><paragraph id="id01eaec13c2d54461abcdf823bd23c140"><enum>(4)</enum><header>Liability of counterparties and entities</header><text>A covered entity, and any person that knowingly provides anything of value in a transaction described in subsection (b) shall be jointly and severally liable for the remedies described in paragraph (1) with respect to that transaction.</text></paragraph><paragraph id="id54a50b54aed84330b976c77a3b77fbf0"><enum>(5)</enum><header>Referral</header><text>The Director of the Office of Government Ethics shall refer to the Attorney General any credible evidence of conduct described in paragraph (1), and shall notify the <committee-name committee-id="SSJU00">Committee on the Judiciary of the Senate</committee-name> and the <committee-name committee-id="">Committee on the Judiciary of the House of Representatives</committee-name> of each referral.</text></paragraph></subsection></section><after-quoted-block>.</after-quoted-block></quoted-block></subsection><subsection commented="no" display-inline="no-display-inline" id="id2799d385a1b54f009f2773366e1060a0"><enum>(b)</enum><header>Clerical amendment</header><text>The table of sections for <external-xref legal-doc="usc-chapter" parsable-cite="usc-chapter/18/11">chapter 11</external-xref> of title 18, United States Code, is amended by adding at the end the following:</text><quoted-block style="OLC" display-inline="no-display-inline" id="id063bfcc788d649a48c533b8f3d8e5ffb"><toc><toc-entry level="section" bold="off">228.
