which was read twice and referred to the <committee-name committee-id="SSAF00">Committee on Agriculture, Nutrition, and Forestry</committee-name></action-desc></action><legis-type>A BILL</legis-type><official-title>To amend the Commodity Exchange Act to adjust the period during which amounts transferred by the Commodity Futures Trading Commission to the account for customer education initiatives and non-awards expenses shall remain available, to strengthen anti-retaliation protections for whistleblowers, to ensure whistleblowers are informed of their rights, and for other purposes.</official-title></form><legis-body><section id="S1" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>CFTC Whistleblower Protection and Program Improvement Act of 2026</short-title></quote>.</text></section><section id="idc2deca31a53248f7ab756c1c108fa394"><enum>2.</enum><header>Commodity Futures Trading Commission customer protection fund modifications</header><subsection id="ide68af41719b545f0a0bffa9273b2df2a"><enum>(a)</enum><header>Separate account for education initiatives and administrative expenses</header><text>Section 23(g) of the Commodity Exchange Act (<external-xref legal-doc="usc" parsable-cite="usc/7/26">7 U.S.C. 26(g)</external-xref>) is amended—</text><paragraph id="id1098001a68fc42c78d51bbf447c68134"><enum>(1)</enum><text>in paragraph (2)(A), by striking <quote>subsection (a)</quote> and inserting <quote>subsection (b)</quote>; and</text></paragraph><paragraph id="idc674e67896514015939a787dfae083a2"><enum>(2)</enum><text>in paragraph (3)—</text><subparagraph id="id7b43c29a55ab4bc1864db61291145de0"><enum>(A)</enum><text>in subparagraph (A), by striking <quote>$100,000,000</quote> and inserting <quote>$300,000,000</quote>;</text></subparagraph><subparagraph id="id91d78fbc6e704e7f9b6cdb4f4eb4c643"><enum>(B)</enum><text>in subparagraph (B), by striking <quote>subparagraph (A)</quote> and inserting <quote>clause (i)</quote>;</text></subparagraph><subparagraph id="ide3def738b3a844c7ba2b5e70e8c63909"><enum>(C)</enum><text>by redesignating subparagraphs (A) through (C) as clauses (i) through (iii), respectively, and indenting the clauses appropriately;</text></subparagraph><subparagraph id="idc8747e47c9b542bb9ac03d8584a5b4b7"><enum>(D)</enum><text>in the matter preceding clause (i) (as so redesignated), by striking <quote>There shall be deposited into or credited to the Fund:</quote> and inserting the following:</text><quoted-block style="OLC" display-inline="no-display-inline" id="idbd0e8fbcdae04cb69b8e991b64fcdb04"><subparagraph id="id3d0581b2993242fdacad3d2bffb04654"><enum>(A)</enum><header>In general</header><text>There shall be deposited in, or credited to, the Fund the following:</text></subparagraph><after-quoted-block>; and</after-quoted-block></quoted-block></subparagraph><subparagraph id="iddcaa4d1cd2c44b48a508f7bcb8818123"><enum>(E)</enum><text>by adding at the end the following:</text><quoted-block style="OLC" display-inline="no-display-inline" id="ida77f497cfe9947018fcc02b63730db93"><subparagraph id="id7fac0876b21e4f459e5363ed04572862"><enum>(B)</enum><header>Separate account for education initiatives and administrative expenses</header><clause id="id2f8de66ae11e44459b22b38a2f0907e4"><enum>(i)</enum><header>In general</header><text>Any amounts contained in, deposited in, or credited to the Fund under subparagraph (A) shall be first deposited in, or credited to, a separate account in the Fund described in clause (ii), regardless of outstanding whistleblower awards, unless the balance of that separate account at the time the amounts are deposited or credited exceeds $10,000,000.</text></clause><clause id="idc05a84abba5b4553a8ccb51ea66c86fe"><enum>(ii)</enum><header>Use of separate account</header><text>The separate account referred to in clause (i) shall be available to the Commission, without further appropriation or fiscal year limitation, for—</text><subclause id="id1e4003edaefc4676abbb704fc13f93dc"><enum>(I)</enum><text>the purpose described in subparagraph (B) of paragraph (2); and</text></subclause><subclause id="iddd63bb25f7cb40f0a996921216d52ff6"><enum>(II)</enum><text>the funding of administrative and salary expenses necessary for personnel to carry out the activities described in subparagraphs (A) and (B) of that paragraph.</text></subclause></clause></subparagraph><after-quoted-block>.</after-quoted-block></quoted-block></subparagraph></paragraph></subsection><subsection id="id44b4008b0ef5481d9c3520b8e567f6a9"><enum>(b)</enum><header>Commodity Futures Trading Commission whistleblower program</header><text>Section 1(b) of <external-xref legal-doc="public-law" parsable-cite="pl/117/25">Public Law 117–25</external-xref> (135 Stat. 297; 136 Stat. 2133; 136 Stat. 2309; 136 Stat. 5984; 139 Stat. 46) is amended—</text><paragraph id="id82c675fc543543e18b7d3bd6cbb32520"><enum>(1)</enum><text>in paragraph (3), by striking <quote>until</quote> and all that follows through the period at the end and inserting <quote>until expended.</quote>; and</text></paragraph><paragraph id="id7cdf985f68f24530ad405686e1a1a03b"><enum>(2)</enum><text>by striking paragraph (4).</text></paragraph></subsection><subsection id="id9f9697688f6a425db285447a87ea94ff"><enum>(c)</enum><header>Definitions</header><text>Section 23(a) of the Commodity Exchange Act (<external-xref legal-doc="usc" parsable-cite="usc/7/26">7 U.S.C. 26(a)</external-xref>) is amended—</text><paragraph id="id8013652ab76a425b81c34fa04c988b43"><enum>(1)</enum><text>in paragraph (3)—</text><subparagraph id="idccaf19024e464e6e9e9adf55c7f6a9bc"><enum>(A)</enum><text>in subparagraph (A), by striking <quote>and</quote> at the end;</text></subparagraph><subparagraph id="ide5b7e2ad0a0743d7b1a276a13aef5cd5"><enum>(B)</enum><text>in subparagraph (B), by striking the period at the end and inserting <quote>; and</quote>; and</text></subparagraph><subparagraph id="id6840953314f04f7796cf9d6571a9af78"><enum>(C)</enum><text>by adding at the end the following:</text><quoted-block style="OLC" display-inline="no-display-inline" id="id969b25fe824c4f4795ce01c560aa73db"><subparagraph id="id57a926056b44417e930393217c844d36"><enum>(C)</enum><text>any distribution made in a United States bankruptcy proceeding to the Commission, an injured investor, or other defrauded person or entity as a result of information provided by 1 or more whistleblowers.</text></subparagraph><after-quoted-block>; and</after-quoted-block></quoted-block></subparagraph></paragraph><paragraph id="id221c451fb6be4067b5823ff01e99b956"><enum>(2)</enum><text>in paragraph (5)—</text><subparagraph commented="no" display-inline="no-display-inline" id="id4c1b90a1855d4fe3986a43ec2b403238"><enum>(A)</enum><text display-inline="yes-display-inline">by striking <quote>means any judicial</quote> and inserting <quote>means any proceeding in a United States bankruptcy court brought by any party and any judicial</quote>;</text></subparagraph><subparagraph id="id2ce2725b35f04a47a3f499a092b84d79"><enum>(B)</enum><text>by striking <quote>subsection (h)(2)(C)</quote> and inserting <quote>subsection (h)(2)(C)(i)</quote>; and</text></subparagraph><subparagraph id="id06cb68c522ce4c94a6b83c76a288fbaa" commented="no" display-inline="no-display-inline"><enum>(C)</enum><text>by striking <quote>subsection (a)</quote> and inserting <quote>subsection (b)</quote>.</text></subparagraph></paragraph></subsection></section><section id="ida673b26439024e37a4b648aabbff0989"><enum>3.</enum><header>Strengthening protections for commodity whistleblowers</header><text display-inline="no-display-inline">Section 23 of the Commodity Exchange Act (<external-xref legal-doc="usc" parsable-cite="usc/7/26">7 U.S.C. 26</external-xref>) is amended—</text><paragraph commented="no" display-inline="no-display-inline" id="id51999a6253714a9fa773f189cdcb4894"><enum>(1)</enum><text>in subsection (a)(7)—</text><subparagraph commented="no" display-inline="no-display-inline" id="id03845c6b3af049c698e0f6850044c97a"><enum>(A)</enum><text display-inline="yes-display-inline">by striking <quote>The term</quote> and inserting the following:</text><quoted-block style="OLC" display-inline="no-display-inline" id="id52707823cd0c41bba22181adaba1bc29"><subparagraph commented="no" display-inline="no-display-inline" id="id316288b890d3487c808320b9c7c95635"><enum>(A)</enum><header>In general</header><text>The term</text></subparagraph><after-quoted-block>; and</after-quoted-block></quoted-block></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id171b93308ed5452287bb1f7c31deea87"><enum>(B)</enum><text>by adding at the end the following:</text><quoted-block style="OLC" display-inline="no-display-inline" id="id90461365f6c249a1b0c031d56cce6926"><subparagraph commented="no" display-inline="no-display-inline" id="ide0dd805df4c1485a9ddaf93c92e3d2a5"><enum>(B)</enum><header>Special rule</header><text>For purposes of subsection (h), the term <term>whistleblower</term> includes any individual who takes, or any 2 or more individuals, acting jointly, who take, an action described in paragraph (1)(A) of that subsection.</text></subparagraph><after-quoted-block>;</after-quoted-block></quoted-block></subparagraph></paragraph><paragraph id="idc25047c75c95469b801c0e6bc7ef481a"><enum>(2)</enum><text>in subsection (h)(1)—</text><subparagraph id="id53b3ad115c3649ca840575c9ee148db9"><enum>(A)</enum><text>by striking subparagraph (A) and inserting the following:</text><quoted-block style="OLC" display-inline="no-display-inline" id="id495ea6ab417f4f65a8116aeedb4686ac"><subparagraph id="id91cd87da21544cf8b3f745514fc07887"><enum>(A)</enum><header>In general</header><text>No employer may, directly or indirectly, discharge, demote, suspend, threaten, blacklist, harass, seek to deny any award, or in any other manner discriminate against a whistleblower in the terms and conditions of employment or post-employment because of any lawful act done by the whistleblower—</text><clause id="id61c59a9e8a624340bd44dad00f7daf97"><enum>(i)</enum><text>in providing information in writing or orally, if the oral report is documented, including information provided as part of the job duties of the whistleblower, in accordance with this section to—</text><subclause id="id49567d37dc4d4c13a73bb463295d68f2"><enum>(I)</enum><text>the Commission or the Attorney General;</text></subclause><subclause id="id66026c4f53fc4c35bf713f43a2f278a5"><enum>(II)</enum><text>a Federal, State, or local regulatory or law enforcement agency;</text></subclause><subclause id="id9275f3e2198d40eba0a200c139068558"><enum>(III)</enum><text>any Member of Congress or any committee of Congress; or</text></subclause><subclause id="ida22d1ae83ec040579fe92d310bab242a"><enum>(IV)</enum><text>a person with supervisory authority over the whistleblower, or such other person working for the employer who has the authority to investigate, discover, or terminate misconduct;</text></subclause></clause><clause id="id4142798c335e4a06af6eb8a1e8e63e99"><enum>(ii)</enum><text>in initiating, testifying in, or assisting in any investigation or judicial or administrative action of the Commission or the Department of Justice based upon or related to the information described in clause (i); or</text></clause><clause id="id4dcb30b627244b4396c77c76049565b4"><enum>(iii)</enum><text>in providing information, in writing or orally, if the oral report is documented, regarding any conduct that the whistleblower reasonably believes constitutes a violation of any law, rule, or regulation subject to the jurisdiction of the Commission, or a violation of section 1956, 1957, or 1960 of title 18, United States Code (or any rule or regulation under any such provision), to—</text><subclause id="id26a155b657454ace855216279efa8988"><enum>(I)</enum><text>a person with supervisory authority over the whistleblower at the employer of the whistleblower; or</text></subclause><subclause id="idf029feefe89d4e538455c663fa5d6abf"><enum>(II)</enum><text>another individual working for the employer described in subclause (I) who the whistleblower reasonably believes has the authority—</text><item id="id0754e34f8ceb421c89b0bf43a70a0267"><enum>(aa)</enum><text>to investigate, discover, or terminate the misconduct; or</text></item><item id="id36def8fdb8004beb8aecf3f7a5cb33cf"><enum>(bb)</enum><text>to take any other action to address the misconduct.</text></item></subclause></clause></subparagraph><after-quoted-block>;</after-quoted-block></quoted-block></subparagraph><subparagraph id="idfe16b54d0e5743d5ab95ea28aed6b922"><enum>(B)</enum><text>in subparagraph (B)(i)—</text><clause id="id004c4640f40140919a2cd939a52d1df2"><enum>(i)</enum><text>by striking <quote>An individual</quote> and inserting the following:</text><quoted-block style="OLC" display-inline="no-display-inline" id="id2a775ff4ba914031a25b7c8a8dd870df"><subclause id="id27ec57f759b64e99b17beb881d55a465"><enum>(I)</enum><header>In general</header><text>An individual</text></subclause><after-quoted-block>;</after-quoted-block></quoted-block></clause><clause id="id959fba8bdfaa45e7936a849501b5bfaf"><enum>(ii)</enum><text>in subclause (I) (as so designated), by striking <quote>, unless</quote> and all that follows through <quote>title 5, United States Code</quote>; and</text></clause><clause id="id9df6ff1fbc864e91a61c036d16b7c1cc"><enum>(iii)</enum><text>by adding at the end the following:</text><quoted-block style="OLC" display-inline="no-display-inline" id="id2171648b433d456caf9ab069799990ab"><subclause id="ida02b0d5fa1ea4724ba943c54411f6c58"><enum>(II)</enum><header>Jury trial</header><text>A person against whom an action is brought under this subsection shall be entitled to a jury trial.</text></subclause><subclause id="idf45e58bc402a45bfb787a9af0b2c6848"><enum>(III)</enum><header>Burden of proof</header><text>All complaints under this subsection shall be governed by the legal burdens of proof set forth in section 1221(e) of title 5, United States Code.</text></subclause><after-quoted-block>; and</after-quoted-block></quoted-block></clause></subparagraph><subparagraph id="id2707177a4892473fa11d4259b1407073"><enum>(C)</enum><text>in subparagraph (C)(ii), by inserting <quote>2 times</quote> before <quote>the amount</quote>; and</text></subparagraph></paragraph><paragraph id="id88f5464970ea4607939da589ddb45a36"><enum>(3)</enum><text>by adding at the end the following:</text><quoted-block style="OLC" display-inline="no-display-inline" id="id99a3dd41e51a442db3e0140396db4b56"><subsection id="id97e00b685bd34c6a99e66ec3e8e621f6"><enum>(o)</enum><header>Employee education on whistleblower rights</header><paragraph id="id3b39f684e7354ea48ea86f37d378b469"><enum>(1)</enum><header>In general</header><text>Not later than 360 days after the date of enactment of this Act, the Commission shall publish in the Federal Register a final rule requiring each registered entity to provide education and training to employees of the registered entity on the rights of whistleblowers and remedies under this section, including, at a minimum, through—</text><subparagraph id="id518f1f8b29a44bba9e28d0fb731892d2"><enum>(A)</enum><text>notice provided individually to each employee;</text></subparagraph><subparagraph id="id71250cf4453b4f14b7e10fb246ddf19f"><enum>(B)</enum><text>posting information on the homepage of the website of the registered entity; and</text></subparagraph><subparagraph id="id745806bab78648139be9fbbc1f85f272"><enum>(C)</enum><text>mandatory training for each employee.</text></subparagraph></paragraph><paragraph id="id429cca70999143498f19423c4536033b"><enum>(2)</enum><header>Procedure</header><text>Notwithstanding the exceptions described in the undesignated matter following subsection (b)(4) of section 553 of title 5, United States Code, that section shall apply to the issuance of the rule under paragraph (1).</text></paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block></paragraph></section><section id="id6626b96177954f5a9d85263473f97404"><enum>4.</enum><header>Prompt payment of awards</header><text display-inline="no-display-inline">Section 23(b) of the Commodity Exchange Act (<external-xref legal-doc="usc" parsable-cite="usc/7/26">7 U.S.C. 26(b)</external-xref>) is amended by adding at the end the following:</text><quoted-block style="OLC" display-inline="no-display-inline" id="id49330e58f65e4906a1ded2837bfb6d68"><paragraph id="idc134df8ca21641e0b65992ac317e4173"><enum>(3)</enum><header>Timely processing of claims</header><subparagraph id="idaf5c856c110b439e825a3eb0dd83c88c"><enum>(A)</enum><header>Definitions</header><text>In this paragraph:</text><clause id="idc1d97c57ac1c4dbcb19ece2bf3a6a699"><enum>(i)</enum><header>Award claim</header><text>The term <term>award claim</term> means a claim submitted by a whistleblower for an award under this section.</text></clause><clause id="id9fba3be619e2405da4b8db83e80f4297"><enum>(ii)</enum><header>Director</header><text>The term <term>Director</term> means the Director of the Division of Enforcement of the Commission (or a designee).</text></clause></subparagraph><subparagraph id="id712edd8ec2b741a2856e9c584c28a514"><enum>(B)</enum><header>Preliminary determination</header><clause id="id049b7a1e02074423acc9774fffc42ad1"><enum>(i)</enum><header>In general</header><text>Except as provided in subparagraph (C), the Commission shall make a preliminary determination with respect to an award claim not later than the later of—</text><subclause id="iddea80f55a5d6452fa22954cf5cbcd8a2"><enum>(I)</enum><text>the date that is 1 year after the deadline established by the Commission, by rule, for the whistleblower to file the award claim; and</text></subclause><subclause id="id549e27c5d3b34a7396c5d21235554e43"><enum>(II)</enum><text>the date that is 1 year after the final resolution of all litigation, including any appeals, concerning the covered judicial or administrative action or related action.</text></subclause></clause><clause id="iddbdad631d8cf426e975f6e8edea0a7d4"><enum>(ii)</enum><header>Multiple related actions</header><text>If an award claim involves 1 or more related actions, the requirement under clause (i) shall apply with respect to the latest deadline with respect to the involved actions.</text></clause></subparagraph><subparagraph id="idae33dc3be22f418f9fdb0949f343e18f"><enum>(C)</enum><header>Exceptions</header><clause id="id2ec7b978868944cb98d66e4880b75a33"><enum>(i)</enum><header>Initial extension</header><text>If the Director determines that an award claim is sufficiently complex or involves more than 1 whistleblower, or if other good cause exists such that the Commission cannot reasonably satisfy the requirements under subparagraph (B), as determined by the Director, the Director, after providing notice to the Chairman of the Commission, may extend the deadline with respect to the satisfaction of those requirements by not more than 180 days.</text></clause><clause id="id2bb1fade3d7747829ff7447f7c412ee4"><enum>(ii)</enum><header>Additional extension</header><text>If, after providing an extension under clause (i), the Director determines that good cause exists such that the Commission cannot reasonably satisfy the requirement under subparagraph (B), the Director may extend the deadline described in clause (i) for 1 additional successive 180-day period only after providing notice to, and receiving approval from, the Commission.</text></clause><clause id="id96463fc374be4237b1d906421c1289d5"><enum>(iii)</enum><header>Notice to whistleblower required</header><text>If the Director exercises authority under clause (i) or (ii), the Director shall submit to the whistleblower who filed the award claim that is subject to that exercise a written notification of the exercise.</text></clause></subparagraph><subparagraph id="id637116cba0b44530b248169e04036c1a"><enum>(D)</enum><header>Final order</header><text>The Commission shall issue a final order with respect to an award claim not later than 1 year after the preliminary determination under subparagraph (B).</text></subparagraph><subparagraph id="id4454227686884a21a9db0768723add31"><enum>(E)</enum><header>Applicability</header><text>This paragraph shall apply only to an award claim that the Director determines is timely submitted under a deadline established by the Commission after the date of enactment of this paragraph.</text></subparagraph></paragraph><after-quoted-block>.</after-quoted-block></quoted-block></section><section id="idfcb91e990d6b4abb9e1ae1e96ebd4518"><enum>5.</enum><header>Technical corrections</header><text display-inline="no-display-inline">Section 23 of the Commodity Exchange Act (<external-xref legal-doc="usc" parsable-cite="usc/7/26">7 U.S.C. 26</external-xref>) is amended—</text><paragraph id="id797dcab0c216405ea03f0da9de83e9fa"><enum>(1)</enum><text>in subsection (c)(1)(B)(i)(III), by striking <quote>the Act</quote> each place it appears and inserting <quote>this Act</quote>; and</text></paragraph><paragraph id="id02abc6570e8c4d08a1998c0caad55721"><enum>(2)</enum><text>in subsection (f)(3), by striking <quote>section 7064</quote> and inserting <quote>section 706</quote>.</text></paragraph></section></legis-body></bill>
