on Finance</committee-name></action-desc></action><legis-type>A BILL</legis-type><official-title>To amend title XVIII of the Social Security Act to prevent hospitals or skilled nursing facilities that are owned by certain firms from participating in the Medicare program.</official-title></form><legis-body><section id="S1" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Take Back Our Hospitals Act of 2026</short-title></quote>.</text></section><section commented="no" display-inline="no-display-inline" id="id2b0527d576a84699bb229e381a0ec63b"><enum>2.</enum><header>Preventing hospitals and skilled nursing facilities owned by certain firms from participating in Medicare</header><text display-inline="no-display-inline">Section 1862 of the Social Security Act (<external-xref legal-doc="usc" parsable-cite="usc/42/1395y">42 U.S.C. 1395y</external-xref>) is amended by adding at the end the following new subsection:</text><quoted-block style="OLC" display-inline="no-display-inline" id="ida1d653f752654316b215ab11b46b498f"><subsection commented="no" display-inline="no-display-inline" id="idc22664b073e64e959fcc892e32221c00"><enum>(p)</enum><header>Prohibition on payments to hospitals and skilled nursing facilities owned by certain firms</header><paragraph commented="no" display-inline="no-display-inline" id="id24d2e231f36045809ff5a28b575c13b3"><enum>(1)</enum><header>In general</header><subparagraph commented="no" display-inline="no-display-inline" id="ide4c2026d418145daa7a0a0f7e0f88623"><enum>(A)</enum><header>Prohibition</header><text>No payment may be made under this title to a hospital or skilled nursing facility that is owned or controlled by a covered firm or an affiliate of a covered firm.</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id3adc923075e14edfbce513cc13521719"><enum>(B)</enum><header>Exception</header><text>If, on the date of enactment of this subsection, a hospital or skilled nursing facility is owned or controlled by a covered firm or an affiliate of such a firm, such hospital or skilled nursing facility shall not be considered in violation of subparagraph (A) until the date that is 3 years after such date of enactment.</text></subparagraph></paragraph><paragraph commented="no" display-inline="no-display-inline" id="id9ff66645baf64833b9362ba0e9395c75"><enum>(2)</enum><header>Notice, hearing, and judicial review</header><text>Any hospital or skilled nursing facility found to be in violation of paragraph (1) shall be entitled to reasonable notice and opportunity for hearing as described in section 1128(f).</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="id3e30043009c0498db850fcb77bf46856"><enum>(3)</enum><header>Joint and several liability</header><text>A covered firm or an affiliate of such a firm that owns or is an affiliate of a hospital or skilled nursing facility that is in violation of paragraph (1) shall be jointly and severally liable for any penalty or obligation such hospital or skilled nursing facility receives for such violation.</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="id2a783b41acd34aab9dcfe87054786878"><enum>(4)</enum><header>Definitions</header><text display-inline="yes-display-inline">In this subsection:</text><subparagraph commented="no" display-inline="no-display-inline" id="id90a853db3f97489cba2049a1c817b6f7"><enum>(A)</enum><header>Affiliate</header><text display-inline="yes-display-inline">The term <term>affiliate</term> means an entity that controls, is controlled by, or is under common control with another entity.</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id294c8a225c174a9390e5bcb7835053de"><enum>(B)</enum><header>Control</header><clause commented="no" display-inline="no-display-inline" id="id720cbca986014a2ca6c593ecfaf77fca"><enum>(i)</enum><header>In general</header><text display-inline="yes-display-inline">The term <term>control</term> means to possess the power, directly or indirectly, to direct, or cause the direction of, the management, administrative functions, assets, or policies of an entity through owning voting securities in such entity, contracting with such entity (except for contracting with such entity for goods or non-management services), or other similar means, as determined by the Secretary.</text></clause><clause commented="no" display-inline="no-display-inline" id="idd5922d8baf6c4d529d9a3e7b6c0bdbf0"><enum>(ii)</enum><header>Voting securities</header><text>A person shall be considered to control an entity if such person directly or indirectly owns, has rights over, or holds with the power to vote, 10 percent or more of the voting securities of such entity.</text></clause></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id99acad6e3d064b8493defcbcaa95e461"><enum>(C)</enum><header>Corporation</header><text display-inline="yes-display-inline">The term <term>corporation</term> means—</text><clause commented="no" display-inline="no-display-inline" id="id31f6df17ad31424fa50a14faebc781d9"><enum>(i)</enum><text display-inline="yes-display-inline">a joint-stock company;</text></clause><clause commented="no" display-inline="no-display-inline" id="idf2adc722720e4687b8c466028bfc1d90"><enum>(ii)</enum><text display-inline="yes-display-inline">a company or partnership association organized under a law that makes only the capital subscribed or callable up to a specified amount responsible for the debts of the company or partnership association, and includes a limited partnership and a limited liability company;</text></clause><clause commented="no" display-inline="no-display-inline" id="id48cc424c897f40958a7856a2492f2e81"><enum>(iii)</enum><text display-inline="yes-display-inline">a trust; or</text></clause><clause commented="no" display-inline="no-display-inline" id="id8c63d018c23e4c02b86b06309cad7cc1"><enum>(iv)</enum><text display-inline="yes-display-inline">an association that—</text><subclause commented="no" display-inline="no-display-inline" id="idfd7c0de71bc04a1584b5e9af122c485b"><enum>(I)</enum><text display-inline="yes-display-inline">possesses the power or privilege of a private corporation under State law; and</text></subclause><subclause commented="no" display-inline="no-display-inline" id="id4230af5b409045f18f1e7176391eff7d"><enum>(II)</enum><text display-inline="yes-display-inline">does not possess the power or privilege of a sole proprietorship or partnership under State law.</text></subclause></clause></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id4b49f9b988c64ab1a2baacd81d2df5d5"><enum>(D)</enum><header>Covered firm</header><text display-inline="yes-display-inline">The term <term>covered firm</term> means—</text><clause commented="no" display-inline="no-display-inline" id="id6368f09b67a44ce8bb942ad468178b52"><enum>(i)</enum><text display-inline="yes-display-inline">a private equity fund;</text></clause><clause commented="no" display-inline="no-display-inline" id="idf9fb581495af4e6a8c69c40b7469d96b"><enum>(ii)</enum><text display-inline="yes-display-inline">a corporation that is owned or controlled by a private equity fund; or</text></clause><clause commented="no" display-inline="no-display-inline" id="id39ce12161a8a4d22b37267573f8991fd"><enum>(iii)</enum><text display-inline="yes-display-inline">a real estate investment trust.</text></clause></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="idf968e0159aea4084a3053c37a05e2fde"><enum>(E)</enum><header>Private equity fund</header><text display-inline="yes-display-inline">The term <term>private equity fund</term> means a person who—</text><clause commented="no" display-inline="no-display-inline" id="id9d26eb355c2749909fe7368ee54151f1"><enum>(i)</enum><text display-inline="yes-display-inline">would be considered an investment company under section 3 of the Investment Company Act of 1940 (<external-xref legal-doc="usc" parsable-cite="usc/15/80a-3">15 U.S.C. 80a–3</external-xref>) but for the application of paragraph (1) or (7) of subsection (c) of such section; and</text></clause><clause commented="no" display-inline="no-display-inline" id="idc792af71908944948e575cf00923f066"><enum>(ii)</enum><text display-inline="yes-display-inline">directly, or through an affiliate, acts as a control person of such company.</text></clause></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id8c8a4539dde148e8b41669df296dd5de"><enum>(F)</enum><header>Real estate investment trust</header><text display-inline="yes-display-inline">The term <term>real estate investment trust</term> has the meaning given such term in <external-xref legal-doc="usc" parsable-cite="usc/26/856">section 856</external-xref> of the Internal Revenue Code of 1986.</text></subparagraph></paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block></section></legis-body></bill>
