which was read twice and referred to the <committee-name committee-id="SSBK00">Committee on Banking, Housing, and Urban Affairs</committee-name></action-desc></action><legis-type>A BILL</legis-type><official-title>To amend the Securities Exchange Act of 1934 to specify certain registration statement contents for emerging growth companies, to permit issuers to file draft registration statements with the Securities and Exchange Commission for confidential review, and for other purposes.</official-title></form><legis-body style="OLC" display-enacting-clause="yes-display-enacting-clause" id="H1F7F0350A6EF4D839F420A6673BE3B00"><section section-type="section-one" id="H7B362B91366045079BADF00ABEB8C608"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Encouraging Local Emerging Ventures and Economic Growth Act of 2026</short-title></quote> or the <quote><short-title>ELEVATE Act of 2026</short-title></quote>.</text></section><section section-type="subsequent-section" id="H1BCBC74EBCDC4E6BA2AF3B414E051398"><enum>2.</enum><header>Registration statements</header><text display-inline="no-display-inline">Section 12(b) of the Securities Exchange Act of 1934 (<external-xref legal-doc="usc" parsable-cite="usc/15/78l">15 U.S.C. 78l(b)</external-xref>) is amended—</text><paragraph commented="no" display-inline="no-display-inline" id="id3d6eec8680584267a0048e86d35f7d77"><enum>(1)</enum><text>in paragraph (1), by redesignating subparagraphs (A) through (L) as clauses (i) through (xii), respectively;</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="id89fb10eb520f4a3f9c931e35ab76241b"><enum>(2)</enum><text>by redesignating paragraphs (1), (2), and (3) as subparagraphs (A), (B), and (C), respectively;</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="idbc6ab1dbb336452d98789d12dc66523c"><enum>(3)</enum><text>by inserting <quote>(1)</quote> after <quote>(b)</quote>;</text></paragraph><paragraph id="HEA5A6BB6D2C041BC86C41E07B2CC7575"><enum>(4)</enum><text>in the matter preceding subparagraph (A) of paragraph (1), as so redesignated, by striking <quote>shall contain—</quote> and inserting <quote>shall contain the following:</quote>;</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="id5fc7b3ef28024eba8ea12276cb7638ef"><enum>(5)</enum><text display-inline="yes-display-inline">in paragraph (1)(A)(xi), as so redesignated, by striking <quote>years,</quote> and inserting <quote>years (or, in the case of an emerging growth company, not more than the two preceding fiscal years),</quote>;</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="idbe3ae846f86b42f791a6577a4c8a93ea"><enum>(6)</enum><text display-inline="yes-display-inline">in paragraph (1)(C), as so redesignated, by striking <quote>paragraph (1)(I)</quote> and inserting <quote>subparagraph (A)(ix)</quote>; and</text></paragraph><paragraph id="HC302AFCE23E14DE5BF6F52D2635454C4"><enum>(7)</enum><text>by adding at the end the following:</text><quoted-block style="OLC" id="idB0330E02D02C427EA04BCB74AF0900CA" act-name=""><paragraph id="id448B4BC38C1845F2A3E6ACA4747E0437" indent="up1"><enum>(2)</enum><subparagraph commented="no" display-inline="yes-display-inline" id="id319c7c5fe63d437cbda2d6e9be6ae386"><enum>(A)</enum><text>Any issuer may confidentially submit to the Commission a draft registration statement for confidential nonpublic review by the staff of the Commission prior to public filing of that registration statement, provided that the initial confidential submission and all amendments to that confidential submission shall be publicly filed with the Commission not later than 10 days before the applicable security is listed on a national securities exchange.</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="idd3a674b9b67340ca8a3b748f5640cbf0" indent="up1"><enum>(B)</enum><text display-inline="yes-display-inline">Notwithstanding any other provision of this title, the Commission shall not be compelled to disclose any information provided to or obtained by the Commission pursuant to this paragraph.</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" indent="up1" id="id3042f345337a46a5b41e9f5a0980430d"><enum>(C)</enum><text display-inline="yes-display-inline">For purposes of section 552 of title 5, United States Code, this paragraph shall be considered a statute described in subsection (b)(3)(B) of such section 552.</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" indent="up1" id="id91b35a94f8b0459f8175e44d395dd028"><enum>(D)</enum><text display-inline="yes-display-inline">Information described in or obtained pursuant to this paragraph shall be deemed to constitute confidential information for purposes of section 24.</text></subparagraph></paragraph><after-quoted-block>.</after-quoted-block></quoted-block></paragraph></section></legis-body></bill>
