<congress display="yes">119th CONGRESS</congress><session display="yes">2d Session</session><legis-num display="yes">S. 2563</legis-num><current-chamber display="no">IN THE SENATE OF THE UNITED STATES</current-chamber><legis-type display="yes">AN ACT</legis-type><official-title display="yes">To direct the Secretary of Commerce, in coordination with the heads of other relevant Federal departments and agencies, to conduct an interagency review of and report to Congress on ways to increase the global competitiveness of the United States in attracting foreign direct investment.</official-title></form><legis-body display-enacting-clause="yes-display-enacting-clause" style="OLC"><section section-type="section-one" id="idafc343fa-8fc9-4a43-89bd-6d50035b6eb6" changed="not-changed" commented="no" display-inline="no-display-inline"><enum>1.</enum><header display-inline="yes-display-inline">Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Global Investment in American Jobs Act of 2025</short-title></quote>.</text></section><section commented="no" display-inline="no-display-inline" id="id562de475-38fc-4bd0-8e58-9ecd6ad6df47" changed="not-changed" section-type="subsequent-section"><enum>2.</enum><header display-inline="yes-display-inline">Definitions</header><text display-inline="no-display-inline">In this Act:</text><paragraph commented="no" display-inline="no-display-inline" id="id672e8f3d-0172-4d9c-b174-8f0141457715" changed="not-changed"><enum>(1)</enum><header display-inline="yes-display-inline">Foreign country of concern</header><text display-inline="yes-display-inline">The term <term>foreign country of concern</term> has the meaning given the term in section 9901 of the William M. (Mac) Thornberry National Defense Authorization Act for Fiscal Year 2021 (<external-xref legal-doc="usc" parsable-cite="usc/15/4651">15 U.S.C. 4651</external-xref>).</text></paragraph><paragraph id="id8689f480-da0e-4491-aab0-dcc6bd5e5651" changed="not-changed" commented="no" display-inline="no-display-inline"><enum>(2)</enum><header display-inline="yes-display-inline">Responsible private sector entity</header><text display-inline="yes-display-inline">The term <term>responsible private sector entity</term> means an entity that the Secretary determines is—</text><subparagraph id="idef680557-cca7-42ad-9b18-46847d172985" changed="not-changed" commented="no" display-inline="no-display-inline"><enum>(A)</enum><text display-inline="yes-display-inline">not organized under the laws of a foreign country of concern; and</text></subparagraph><subparagraph id="id0bf78ba7-940d-4b1e-99c3-3eec99614b69" changed="not-changed" commented="no" display-inline="no-display-inline"><enum>(B)</enum><text display-inline="yes-display-inline">not owned by, controlled by, or otherwise subject to the influence of a foreign country of concern.</text></subparagraph></paragraph><paragraph id="idfc58b201-9a44-41fd-a3b0-a947c1a68f11" changed="not-changed" commented="no" display-inline="no-display-inline"><enum>(3)</enum><header display-inline="yes-display-inline">Secretary</header><text display-inline="yes-display-inline">The term <term>Secretary</term> means the Secretary of Commerce.</text></paragraph><paragraph id="id5bb2d773-9d4e-44cd-b7bd-eab3863aa776" commented="no" display-inline="no-display-inline" changed="not-changed"><enum>(4)</enum><header display-inline="yes-display-inline">Trusted country</header><text display-inline="yes-display-inline">The term <term>trusted country</term> means a country that is not a foreign country of concern.</text></paragraph></section><section id="id08335fc3-fdd8-40a6-90c2-1cd38f3ca83b" changed="not-changed" commented="no" display-inline="no-display-inline" section-type="subsequent-section"><enum>3.</enum><header display-inline="yes-display-inline">Sense of Congress</header><text display-inline="no-display-inline">It is the sense of Congress that—</text><paragraph id="id73e20a6b-f623-4bf3-85c0-1f1ec9799122" changed="not-changed" commented="no" display-inline="no-display-inline"><enum>(1)</enum><text display-inline="yes-display-inline">the ability of the United States to attract foreign direct investment from responsible private sector entities based in trusted countries is directly linked to the long-term economic prosperity, global competitiveness, and security of the United States;</text></paragraph><paragraph id="idd6ce3410-dcc0-439f-96f3-a9319f47b27f" changed="not-changed" commented="no" display-inline="no-display-inline"><enum>(2)</enum><text display-inline="yes-display-inline">it is a top national priority to enhance the global competitiveness, economic prosperity, and security of the United States by—</text><subparagraph id="id059f2c2f-9212-4621-a68d-f2f140633ac0" changed="not-changed" commented="no" display-inline="no-display-inline"><enum>(A)</enum><text display-inline="yes-display-inline">removing unnecessary barriers to foreign direct investment from responsible private sector entities based in trusted countries and the jobs that such investment creates throughout the United States;</text></subparagraph><subparagraph id="idf7d14648-8290-4b13-ba62-8f794bb98576" changed="not-changed" commented="no" display-inline="no-display-inline"><enum>(B)</enum><text display-inline="yes-display-inline">promoting policies to ensure the United States remains the premier global destination to invest, hire, innovate, provide services, and manufacture products;</text></subparagraph><subparagraph id="idfe01592a-be26-4deb-8268-8d91bbdea141" changed="not-changed" commented="no" display-inline="no-display-inline"><enum>(C)</enum><text display-inline="yes-display-inline">promoting policies to ensure the United States remains the global leader in developing and deploying cutting-edge technologies, such as self-driving vehicle technology, artificial intelligence, the Internet of Things, quantum computing, and blockchain; and</text></subparagraph><subparagraph id="id6c96abe5-5e03-45b8-8f82-7f759aef3ee4" changed="not-changed" commented="no" display-inline="no-display-inline"><enum>(D)</enum><text display-inline="yes-display-inline">promoting policies that maintain and expand resilient supply chains and reduce the dependence of the United States on supply chains from foreign countries of concern;</text></subparagraph></paragraph><paragraph id="id6b7c29c7-fc1a-4a28-9e3d-86a5b44b883b" changed="not-changed" commented="no" display-inline="no-display-inline"><enum>(3)</enum><text display-inline="yes-display-inline">maintaining the commitment of the United States to an open investment policy with private sector entities based in trusted countries encourages other countries to reciprocate and enables the United States to open new markets abroad for United States companies and their products;</text></paragraph><paragraph id="id788a46f1-e06b-4b35-9814-df1319e61662" changed="not-changed" commented="no" display-inline="no-display-inline"><enum>(4)</enum><text display-inline="yes-display-inline">while foreign direct investment by responsible private sector entities based in trusted countries can enhance the economic strength of the United States, policies regarding foreign direct investment should reflect security interests;</text></paragraph><paragraph id="id18b2a609-cb96-4d97-99c0-d49f0bd4f5fa" changed="not-changed" commented="no" display-inline="no-display-inline"><enum>(5)</enum><text display-inline="yes-display-inline">the efforts of the United States to attract foreign direct investment from responsible private sector entities based in trusted countries should be consistent with efforts to maintain and improve the domestic standard of living;</text></paragraph><paragraph id="id129c0358-06ce-4297-9ddc-87a72250814c" changed="not-changed" commented="no" display-inline="no-display-inline"><enum>(6)</enum><text display-inline="yes-display-inline">as digital information becomes increasingly important to the economy of the United States and the development of new technologies and services that will be crucial to the competitiveness of the United States in the 21st century global economy, barriers, including data localization and infringement of intellectual property rights, must be further addressed; and</text></paragraph><paragraph id="ide5508b74-63b2-4a15-a5cf-e663c254cbb9" changed="not-changed" commented="no" display-inline="no-display-inline"><enum>(7)</enum><text display-inline="yes-display-inline">foreign direct investment by companies or other entities owned, directed, supported, or influenced by a foreign country of concern is a threat to the security of the United States and merits an aggressive policy framework to protect the interests, jobs, intellectual property, and security of the United States.</text></paragraph></section><section id="idf21361b4-b6ee-4568-a51b-f61be649f5e6" changed="not-changed" commented="no" display-inline="no-display-inline" section-type="subsequent-section"><enum>4.</enum><header display-inline="yes-display-inline">Foreign direct investment review</header><subsection id="id1abf607b-461b-43d3-906c-6577e12bd2df" changed="not-changed" commented="no" display-inline="no-display-inline"><enum>(a)</enum><header display-inline="yes-display-inline">In general</header><text display-inline="yes-display-inline">The Secretary and the Comptroller General of the United States, in consultation with relevant interagency working groups and the heads of other relevant Federal departments and agencies, shall conduct an interagency review of the global competitiveness of the United States in attracting foreign direct investment from responsible private sector entities based in trusted countries that addresses key foreign trade barriers that firms in advanced technology sectors face in the global digital economy.</text></subsection><subsection id="id3a4797f1-2892-4b9c-a2f0-bafd56c35f06" changed="not-changed" commented="no" display-inline="no-display-inline"><enum>(b)</enum><header display-inline="yes-display-inline">Specific matters To be included</header><text display-inline="yes-display-inline">The review conducted under subsection (a) shall include a review of the following:</text><paragraph id="id5404ce21-6f8d-44d2-97ee-7cb8b1fa8a3f" changed="not-changed" commented="no" display-inline="no-display-inline"><enum>(1)</enum><text display-inline="yes-display-inline">The current economic impact of foreign direct investment in the United States, with particular focus on manufacturing, services, trade (with an emphasis on digital trade), and jobs in the United States.</text></paragraph><paragraph id="idd1a579f0-d7a0-4829-939c-3f1655e8c546" changed="not-changed" commented="no" display-inline="no-display-inline"><enum>(2)</enum><text display-inline="yes-display-inline">Trends in global cross-border investment and data flows and the underlying factors for those trends.</text></paragraph><paragraph id="id9b970323-055b-40b4-b57b-d3fc815ef6be" changed="not-changed" commented="no" display-inline="no-display-inline"><enum>(3)</enum><text display-inline="yes-display-inline">Federal Government policies that facilitate foreign direct investment attraction and retention from responsible private sector entities based in trusted countries.</text></paragraph><paragraph id="iddadcca72-8418-4b68-ad2f-4c79e0a02c30" changed="not-changed" commented="no" display-inline="no-display-inline"><enum>(4)</enum><text display-inline="yes-display-inline">Foreign direct investment compared to direct investment by domestic entities.</text></paragraph><paragraph id="id88745df3-79a4-40ec-8c7b-a358483b81a4" changed="not-changed" commented="no" display-inline="no-display-inline"><enum>(5)</enum><text display-inline="yes-display-inline">Foreign direct investment that takes the form of greenfield investment compared to foreign direct investment relating to merger and acquisition activity.</text></paragraph><paragraph id="id6a710141-a138-4bfb-aac6-b601a27da1f8" changed="not-changed" commented="no" display-inline="no-display-inline"><enum>(6)</enum><text display-inline="yes-display-inline">The unique challenges posed by foreign direct investment, particularly acquisitions, in the United States by state-owned or state-backed enterprises, especially from state-directed economies, including companies or other entities owned, directed, supported, or influenced by foreign countries of concern.</text></paragraph><paragraph id="id7e834ca8-4439-44b4-b727-9fbafe62a778" changed="not-changed" commented="no" display-inline="no-display-inline"><enum>(7)</enum><text display-inline="yes-display-inline">Specific information on the prevalence of investments made by state-owned or state-backed enterprises, especially from state-directed economies, including companies or other entities owned, directed, supported, or influenced by foreign countries of concern, with a particular focus on investments relating to manufacturing, services, trade (with an emphasis on digital trade), and jobs.</text></paragraph><paragraph id="id4c0f2efa-86ad-40df-993a-616e849d1bd9" changed="not-changed" commented="no" display-inline="no-display-inline"><enum>(8)</enum><text display-inline="yes-display-inline">How trusted countries are dealing with the challenge of state-directed and state-supported investment from foreign countries of concern and whether there are opportunities to work with like-minded countries to address that challenge.</text></paragraph><paragraph id="ide8988b9c-5fe0-44f2-b247-f0b817218a54" changed="not-changed" commented="no" display-inline="no-display-inline"><enum>(9)</enum><text display-inline="yes-display-inline">Ongoing Federal Government efforts to improve the investment climate and facilitate greater levels of foreign direct investment in the United States from responsible private sector entities based in trusted countries.</text></paragraph><paragraph id="id74faa354-d3a3-4b43-bda8-a20b51cb94d6" changed="not-changed" commented="no" display-inline="no-display-inline"><enum>(10)</enum><text display-inline="yes-display-inline">Innovative and noteworthy initiatives by State and local governments to attract foreign investment from responsible private sector entities based in trusted countries.</text></paragraph><paragraph id="id48b05fc6-d84f-45e3-b564-e1cab4e4ae5b" changed="not-changed" commented="no" display-inline="no-display-inline"><enum>(11)</enum><text display-inline="yes-display-inline">Initiatives by other trusted countries to identify best practices for increasing global competitiveness in attracting foreign direct investment from responsible private sector entities based in other trusted countries.</text></paragraph><paragraph id="idda4b1e7a-3a68-4fd2-8aa0-0056a0967780" changed="not-changed" commented="no" display-inline="no-display-inline"><enum>(12)</enum><text display-inline="yes-display-inline">The impact that protectionist policies by other countries, including forced data localization rules, forced localization of production, industrial subsidies, and the infringement of intellectual property rights, have on the advanced technology economy of the United States and the ability of firms located in the United States to develop innovative technologies, especially when those policies arise from foreign countries of concern.</text></paragraph><paragraph id="id549d89ae-38ae-46a0-91b5-f3e46514e3da" changed="not-changed" commented="no" display-inline="no-display-inline"><enum>(13)</enum><text display-inline="yes-display-inline">Other barriers to the ability of the United States to compete globally in an increasingly connected and digital global economy, including the use of technical barriers to trade, country-specific standards for technology products, and digital services.</text></paragraph><paragraph id="id606fbea1-6d81-45c1-87e3-14cecaf65918" changed="not-changed" commented="no" display-inline="no-display-inline"><enum>(14)</enum><text display-inline="yes-display-inline">The adequacy of efforts by the Federal Government to encourage and facilitate foreign direct investment in the United States.</text></paragraph><paragraph id="id8fd076bc-7e78-4824-8b38-05f02e8ea0f8" changed="not-changed" commented="no" display-inline="no-display-inline"><enum>(15)</enum><text display-inline="yes-display-inline">Efforts by the Chinese Communist Party to circumvent existing laws to gain access to—</text><subparagraph commented="no" display-inline="no-display-inline" id="idae5ec7bc-bed9-4649-8583-ae78e24ab994" changed="not-changed"><enum>(A)</enum><text display-inline="yes-display-inline">markets in the United States;</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="idf9e55344-3063-48b2-a865-bf71989c7330" changed="not-changed"><enum>(B)</enum><text display-inline="yes-display-inline">foreign direct investment in responsible private sector entities based in trusted countries; or</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="idb759b506-96bf-4879-963d-826dc6ecc4b4" changed="not-changed"><enum>(C)</enum><text display-inline="yes-display-inline">intellectual property.</text></subparagraph></paragraph></subsection><subsection id="id85a0d6fa-92e0-4158-bbfa-799f3ecc2646" changed="not-changed" commented="no" display-inline="no-display-inline"><enum>(c)</enum><header display-inline="yes-display-inline">Limitation</header><text display-inline="yes-display-inline">The review conducted under subsection (a) shall not address laws or policies relating to the Committee on Foreign Investment in the United States.</text></subsection><subsection id="idd1fd6c38-8ac4-4974-b06a-036972f81309" changed="not-changed" commented="no" display-inline="no-display-inline"><enum>(d)</enum><header display-inline="yes-display-inline">Public comment</header><paragraph commented="no" display-inline="no-display-inline" id="id16439ac8-c9b3-423b-9ff5-16cc91e2200a" changed="not-changed"><enum>(1)</enum><header display-inline="yes-display-inline">Review</header><text display-inline="yes-display-inline">Before the date on which the Secretary begins the review required under subsection (a), the Secretary shall—</text><subparagraph commented="no" display-inline="no-display-inline" id="idd58038ef-9ecb-45a4-9f43-490e51568b31" changed="not-changed"><enum>(A)</enum><text display-inline="yes-display-inline">publish in the Federal Register notice of the review; and</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id9d7878d1-359b-42cd-b2be-c66f8dad690d" changed="not-changed"><enum>(B)</enum><text display-inline="yes-display-inline">provide an opportunity for public comment on the matters to be covered by the review.</text></subparagraph></paragraph><paragraph commented="no" display-inline="no-display-inline" id="id69d8d7a3-0adc-4fe9-bdcd-b4d818cc5ad3" changed="not-changed"><enum>(2)</enum><header display-inline="yes-display-inline">Submission</header><text display-inline="yes-display-inline">Before the date on which the Secretary submits the report required under subsection (e), the Secretary shall—</text><subparagraph commented="no" display-inline="no-display-inline" id="id04d66f70-6851-4dfc-8bdb-e7c99a9aa026" changed="not-changed"><enum>(A)</enum><text display-inline="yes-display-inline">publish in the Federal Register the proposed findings and recommendations contained in the report; and</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id66f03673-97cc-406e-b148-0c6e24eaa747" changed="not-changed"><enum>(B)</enum><text display-inline="yes-display-inline">provide an opportunity for public comment.</text></subparagraph></paragraph></subsection><subsection id="id0a7a2620-a1ae-41fa-b8f2-ddf6314523d3" commented="no" display-inline="no-display-inline" changed="not-changed"><enum>(e)</enum><header display-inline="yes-display-inline">Report to Congress</header><text display-inline="yes-display-inline">Not later than 1 year after the date of enactment of this Act, the Secretary, in coordination with relevant interagency working groups and the heads of relevant Federal departments and agencies, shall submit to Congress a report on the findings of the review required under subsection (a) that includes recommendations for increasing the global competitiveness of the United States in attracting foreign direct investment from responsible private sector entities based in trusted countries in a manner that strengthens or maintains the security, labor, consumer, financial, or environmental protections of the United States.</text></subsection></section></legis-body><attestation><attestation-group><attestation-date date="20260322"
