which was read twice and referred to the <committee-name committee-id="SSHR00" added-display-style="italic" deleted-display-style="strikethrough">Committee on Health, Education, Labor, and Pensions</committee-name></action-desc></action><action stage="Reported-in-Senate"><action-date date="20250911">September 11, 2025</action-date><action-desc>Reported by <sponsor name-id="S373">Mr. Cassidy</sponsor>, with an amendment</action-desc><action-instruction>Strike out all after the enacting clause and insert the part printed in italic</action-instruction></action><legis-type>A BILL</legis-type><official-title>To amend the Employee Retirement Income Security Act of 1974 to provide a clear definition of adequate consideration for certain closely held stock, and for other purposes.</official-title></form><legis-body><section id="S1" section-type="section-one" changed="deleted" reported-display-style="strikethrough" committee-id="SSHR00"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Retire through Ownership Act</short-title></quote>.</text></section><section id="id4ab0d0f61cf747d998949736dce61d8e" changed="deleted" reported-display-style="strikethrough" committee-id="SSHR00"><enum>2.</enum><header>Amending adequate consideration definition</header><subsection id="ide7a08a524db5488296dc71138e5788ee"><enum>(a)</enum><header>In General</header><text>Section 3(18) of the Employee Retirement Income Security Act of 1974 (<external-xref legal-doc="usc" parsable-cite="usc/29/1002">29 U.S.C. 1002(18)</external-xref>) is amended—</text><paragraph commented="no" display-inline="no-display-inline" id="id8c1032e38d3148ac8cc7c77c2d1c4db0"><enum>(1)</enum><text display-inline="yes-display-inline">by redesignating clauses (i) and (ii) as subclauses (I) and (II), respectively;</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="idad1f5f56851e488ebd7c819cd896181f"><enum>(2)</enum><text>by redesignating subparagraphs (A) and (B) as clauses (i) and (ii), respectively;</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="idb2503eff66bf460a8521acae286df298"><enum>(3)</enum><text display-inline="yes-display-inline">by inserting <quote>(A)</quote> before <quote>The term</quote>; and</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="id44f26c6174b04385b2313917d2ca6d98"><enum>(4)</enum><text display-inline="yes-display-inline">by adding at the end the following:</text><quoted-block style="OLC" display-inline="no-display-inline" id="id5743d75df79740118129574cd53cc194" changed="deleted" reported-display-style="strikethrough" committee-id="SSHR00"><subparagraph id="idfec2a8c1d2564cd299f9e0552e25afd5" indent="up1"><enum>(B)</enum><text>For purposes of clause (ii), a fiduciary of an employee stock ownership plan as defined in section 407(d)(6) may make a good faith reliance on the principles and methodologies set forth in Internal Revenue Service Revenue Ruling 59–60 (as in effect on the date of enactment of the ERISA Adequate Consideration Act of 2025) in determining the fair market value of an asset described in such clause.</text></subparagraph><after-quoted-block>.</after-quoted-block></quoted-block></paragraph></subsection><subsection id="idb65c1bca489c4a798c385796c236958e"><enum>(b)</enum><header>Effective Date</header><text>The amendments made by subsection (a) shall apply with respect to determinations described in section 3(18)(B) of the Employee Retirement Income Security Act of 1974 (<external-xref legal-doc="usc" parsable-cite="usc/29/1002">29 U.S.C. 1002(18)(B)</external-xref>) (as added by such subsection) that are made on or after the date of enactment of this Act.</text></subsection></section></legis-body><legis-body display-enacting-clause="no-display-enacting-clause"><section id="ida2277225-f9b0-4fb8-a0d8-dbae165a2255" section-type="section-one" changed="added" reported-display-style="italic" committee-id="SSHR00"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Retire through Ownership Act</short-title></quote>.</text></section><section id="idd5f2b51d-b932-476f-8392-6136875cdd45" changed="added" reported-display-style="italic" committee-id="SSHR00"><enum>2.</enum><header>Amending adequate consideration definition</header><subsection id="id2a2d7298-2982-4df3-be92-9a7ace2866af"><enum>(a)</enum><header>In General</header><text>Section 3(18) of the Employee Retirement Income Security Act of 1974 (<external-xref legal-doc="usc" parsable-cite="usc/29/1002">29 U.S.C. 1002(18)</external-xref>) is amended—</text><paragraph commented="no" display-inline="no-display-inline" id="id69d7a6f0-f446-4a82-b7db-cf937f17371e"><enum>(1)</enum><text display-inline="yes-display-inline">by redesignating clauses (i) and (ii) as subclauses (I) and (II), respectively;</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="id80b66e02-8b5b-45d3-bae9-ae26d2880bc5"><enum>(2)</enum><text>by redesignating subparagraphs (A) and (B) as clauses (i) and (ii), respectively;</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="idb10e2ff3-3bfe-454a-84c0-7d7bd84d64c3"><enum>(3)</enum><text display-inline="yes-display-inline">by inserting <quote>(A)</quote> before <quote>The term</quote>; and</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="id6f72120b-1845-4779-8051-ce06e46fedb1"><enum>(4)</enum><text display-inline="yes-display-inline">by adding at the end the following:</text><quoted-block style="OLC" display-inline="no-display-inline" id="idd8c2dfb7-199c-4a13-88d9-2a8e5da2b549" changed="added" reported-display-style="italic" committee-id="SSHR00"><subparagraph id="id30c701ff-29fe-4118-810b-7ebc1ed8e099" indent="up1"><enum>(B)</enum><clause commented="no" display-inline="yes-display-inline" id="id5e4883270099432494472e527714e767"><enum>(i)</enum><text>For purposes of clause (ii) of subparagraph (A), a fiduciary of an employee stock ownership plan (as defined in section 407(d)(6)) may make a good faith reliance on a valuation provided by an independent valuation expert or business appraiser that has relied upon the principles and methodologies set forth in Internal Revenue Service Revenue Ruling 59–60 (as amplified and modified by the Internal Revenue Service from time to time) in determining the fair market value of an asset described in such clause.</text></clause><clause id="id6d0a558c52b9467bbfcd2d7b1de3540e" indent="up1"><enum>(ii)</enum><text>Clause (i) shall not be interpreted to—</text><subclause commented="no" display-inline="no-display-inline" id="id611dbe535f8f48a7b916caa6de1fa93c"><enum>(I)</enum><text display-inline="yes-display-inline">preclude the Secretary from promulgating, in accordance with section 553 of title 5, United States Code, any regulation interpreting such clause;</text></subclause><subclause commented="no" display-inline="no-display-inline" id="id57efc751dac14ee6b0739cb4eb77dc2d"><enum>(II)</enum><text display-inline="yes-display-inline">expand the regulatory authority of the Secretary with respect to the term <quote>adequate consideration</quote> beyond such authority available to the Secretary on the day before the date of enactment of the <short-title>Retire through Ownership Act</short-title>; or</text></subclause><subclause commented="no" display-inline="no-display-inline" id="id82223920988d404d8291d77045c18f40"><enum>(III)</enum><text display-inline="yes-display-inline">modify a fiduciary's obligations under section 404.</text></subclause></clause></subparagraph><after-quoted-block>.</after-quoted-block></quoted-block></paragraph></subsection><subsection id="ide0f1afa0-7ccc-4f01-a190-68b630a96b52" commented="no" display-inline="no-display-inline"><enum>(b)</enum><header>Effective Date</header><text>The amendments made by subsection (a) shall apply with respect to determinations described in section 3(18)(B) of the Employee Retirement Income Security Act of 1974 (<external-xref legal-doc="usc" parsable-cite="usc/29/1002">29 U.S.C. 1002(18)(B)</external-xref>) (as added by such subsection) that are made on or after the date of enactment of this Act.</text></subsection></section></legis-body><endorsement><action-date date="20250911">September 11, 2025</action-date><action-desc>Reported with an amendment</action-desc></endorsement></bill>
