<section id="H6596732458154EB0AC4B520F73C82106" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Online Sellers’ Bill of Rights Act of 2026</short-title></quote>.</text></section> <section id="HD5D4206BAA9743B2B92CE8D82B9C2EFE"><enum>2.</enum><header>Findings and purpose</header> <subsection id="H37A6B510A5C14502AC194A71D756F579"><enum>(a)</enum><header>Findings</header><text>Congress finds that—</text> 
<paragraph id="H9F7A5F29AE1B49D5A47C396A2BC26081"><enum>(1)</enum><text>small and independent businesses depend on dominant online marketplaces to access consumers and scale their operations;</text></paragraph> <paragraph id="H9904D14E1097437A81DC7F3155222377"><enum>(2)</enum><text>these platforms frequently exert outsized power over third-party sellers without sufficient transparency or due process; and</text></paragraph> 
<paragraph id="H7F49CCD1AA4140F9B7497F28EC30A74A"><enum>(3)</enum><text>sellers face business risk from account suspensions, inventory holds, and withheld funds without timely notice or recourse.</text></paragraph></subsection> <subsection id="HE6F6F63EE1784619945DA38962C0C36E"><enum>(b)</enum><header>Purpose</header><text>The purpose of this Act is to provide due process and transparency protections to third-party sellers using critical trading partners, while maintaining a fair and competitive online marketplace.</text></subsection></section> 
<section id="H7140D161877647A28C71582B99380B81"><enum>3.</enum><header>Sellers’ bill of rights</header> 
<subsection id="H00231225AD2840A7B07777BA820E6A6D"><enum>(a)</enum><header>In general</header><text>The Federal Trade Commission shall adopt rules to promote fair terms between critical trading partners and online sellers taking into consideration public health, safety, and other factors that the Commission deems relevant. Such rules shall include the following:</text> <paragraph id="H37B42D3AB96B4E56A815DA1A6557196A"><enum>(1)</enum><header>Inventory holds</header> <subparagraph id="H1F881F623A8647A98CF5F498FDCCAA3C"> <enum>(A)</enum> <text>A critical trading partner shall not hold, detain, or restrict access to a seller’s inventory for more than 30 calendar days.</text>
                    </subparagraph> 
<subparagraph id="HFAE60293032E46EBAA92263B0063F5F3"><enum>(B)</enum><text>After such period, the platform shall release the inventory unless it has met a legally valid standard of proof that the goods are counterfeit or otherwise unlawful.</text></subparagraph> <subparagraph id="H5D413FD3EE9F4E2A9B3E9148BB259B5F"><enum>(C)</enum><text>The platform shall notify the seller in writing of any inventory hold within 72 hours of the hold, detailing the rationale and applicable appeal procedures.</text></subparagraph></paragraph> 
<paragraph id="HF7DEB76F175247BBB39A0540AD166F56"><enum>(2)</enum><header>Fund holds</header> 
<subparagraph id="H047006DADE13464DB90DBF8C9ABFF016">
                        <enum>(A)</enum>
 <text>A critical trading partner shall not withhold disbursement of a seller’s funds for more than 30 calendar days unless the platform demonstrates, by a preponderance of evidence, that the funds are derived from unlawful transactions.</text>
                    </subparagraph> 
<subparagraph id="H865C882685844A08A2FA88687AA634DD"><enum>(B)</enum><text>Sellers must be notified in writing of any hold, including the factual basis and opportunity for appeal.</text></subparagraph> <subparagraph id="H0BE8EA4AD3FD4BFA8794DAD694FF3AEA"> <enum>(C)</enum> <text display-inline="yes-display-inline">The platform shall notify the seller in writing of any frozen funds within 72 hours of the hold, detailing the rationale and applicable procedures.</text>
                    </subparagraph></paragraph> 
<paragraph id="H6E45C5A11319499899DB7166C3964EA2"><enum>(3)</enum><header>Gated products</header><text display-inline="yes-display-inline">If a platform imposes a new restriction on a product or category after the product has been received into its fulfillment network, the seller shall be allowed to sell through remaining inventory for a reasonable period of not less than 30 calendar days or have the inventory returned at no cost and release funds from sales of the product on the agreed upon schedule unless direct evidence exists that the product is counterfeit or unlawful.</text></paragraph> <paragraph id="H11DDCE9C7F644F93A4EB507B0E4E2566"><enum>(4)</enum><header>Policy changes</header> <subparagraph id="H96BEF258AE974FEB9E5350562A499D8C"> <enum>(A)</enum> <text>Critical trading partners shall provide sellers with not less than 30 days’ advance written notice of any material policy changes affecting—</text>
                        <clause id="H182ADD7C04444F10BDAB306F00C067BB">
                            <enum>(i)</enum>
 <text>product eligibility;</text> </clause> <clause id="H3131DF41D3BD4D6BA164122B847D41D3"> <enum>(ii)</enum> <text>category or listing restrictions;</text>
                        </clause>
                        <clause id="H3D6DA967190F4DC7BA594B34A6E58358">
                            <enum>(iii)</enum>
 <text>compliance or documentation requirements; or</text> </clause> <clause id="HC5654722AEE341B991A7D410E29EF022"> <enum>(iv)</enum> <text>commission or fee structures.</text>
                        </clause>
                    </subparagraph></paragraph> 
<paragraph id="H5DF0E611589E42308B403155E24DACD6"><enum>(5)</enum><header>Transparency in investigations</header> 
<subparagraph id="H35F4E29BC6D646A6B0D95AFB4A03CF50"><enum>(A)</enum><text>If a seller is subject to investigation, account deactivation, or listing suspension, the platform must provide—</text> <clause id="H470484030DEE4F04A506463D86121534"><enum>(i)</enum><text>the specific policy or rule alleged to have been violated;</text></clause> 
<clause id="HC00505AA699A4019B882869E5DC4BD88"><enum>(ii)</enum><text display-inline="yes-display-inline">the relevant facts, reports, or documentation;</text></clause> <clause id="HF49C587F234645CBA835AFB5BA483873"><enum>(iii)</enum><text>the proposed penalty; and</text></clause> 
<clause id="H9BB1E9FD02774ABBA8E120BC54100099"><enum>(iv)</enum><text display-inline="yes-display-inline">specific steps the seller may take to appeal or resolve the issue and an anticipated timeline for resolution of that appeal.</text></clause></subparagraph> <subparagraph id="HC7DC2BDC3AA441C79F15BE0A43232801"><enum>(B)</enum><text>Generic or templated responses shall not satisfy these requirements.</text></subparagraph></paragraph> 
<paragraph id="HC29FDB73A2E14333ACA4AC36AD9777BC"><enum>(6)</enum><header>Presumption of innocence</header> 
<subparagraph id="HDA6E13501CC34961838A539AB5669D90"><enum>(A)</enum><text>No seller may be subject to suspension, deactivation, inventory withholding, or fund freezing solely on the basis of suspicion.</text></subparagraph> <subparagraph id="H0A8DAD823A5549A8A85A1F07816884A1"><enum>(B)</enum><text>The burden of proof shall lie with the platform to demonstrate a seller’s violation of applicable rules or laws.</text></subparagraph></paragraph></subsection></section> 
<section id="H0F32084228424696897CDB96142DB483"><enum>4.</enum><header>Enforcement</header> 
<subsection id="H8817320B947240309F0107A13A06BD45"><enum>(a)</enum><header>Rulemaking authority</header><text>The Federal Trade Commission shall issue rules as necessary to carry out the provisions of this Act within 180 days of enactment.</text></subsection> <subsection id="H319F4FC287194B71AAC0D108EA2716CC"><enum>(b)</enum><header>Enforcement authority</header><text display-inline="yes-display-inline">A violation of this Act, or standards issued pursuant to this Act, by a person, partnership, or corporation operating an online platform in or affecting commerce shall be an unfair method of competition in violation of section 5(a)(1) of the Federal Trade Commission Act (<external-xref legal-doc="usc" parsable-cite="usc/15/45">15 U.S.C. 45</external-xref>).</text></subsection> 
<subsection id="H56061769C266430C8EC84C1A86B6E2F8"><enum>(c)</enum><header>Parens patriae</header><text>Any attorney general of a State may bring a civil action in the name of such State for a violation of this Act as parens patriae on behalf of natural persons residing in such State, in any district court of the United States having jurisdiction of the defendant, and may secure any form of relief provided for in this section.</text></subsection> <subsection id="H207641513BDF40C7A5FC42FAFE6AE216"> <enum>(d)</enum> <header>Private right of action</header> <text display-inline="yes-display-inline">Notwithstanding any mandatory arbitration agreement, any person who shall be injured by reason of anything prohibited by this act may bring a civil action in any district court of the United States in the district in which the defendant resides or is found or has an agent, without respect to the amount in controversy, and shall recover threefold the damages by the person sustained, and the cost of suit, including a reasonable attorney’s fee.</text>
            </subsection></section> 
<section id="H1F251ED2D3F545828FE31FBBB32C793B"><enum>5.</enum><header>Definitions</header><text display-inline="no-display-inline">In this Act:</text> <paragraph id="H1DB9304A2A9B4B4CA7619005643750BC"><enum>(1)</enum><header>Critical trading partners</header><text display-inline="yes-display-inline">The term <quote>critical trading partner</quote> means any trading partner that has the ability to restrict or impede—</text> 
<subparagraph id="HECAF65CFC7334A4CAFA4749AA29A0AFA" display-inline="no-display-inline"><enum>(A)</enum><text>the access of a business user to its users or customers; or</text></subparagraph> <subparagraph id="H7BCCCB5C3B3A425A8447DCA5E68C3773"><enum>(B)</enum><text>the access of a business user to a tool or service that it needs to effectively serve its users or customers.</text></subparagraph></paragraph> 
<paragraph id="H3623068D260C428ABA89EC9B8287B09A"><enum>(2)</enum><header>Third-party seller</header><text>The term <quote>third-party seller</quote> means any person or entity that sells goods on a dominant platform but does not own or control the platform.</text></paragraph> <paragraph id="HC3E3DBDC5F2D43B0A199919C23677CE8"><enum>(3)</enum><header>Legally valid standard of proof</header><text>The term <quote>legally valid standard of proof</quote> means preponderance of the evidence or another applicable legal threshold as determined appropriate by the Federal Trade Commission.</text></paragraph> 
<paragraph id="HF7D08B7C080B4C8D90A4E43C8DC0263F"><enum>(4)</enum><header>Gated product</header><text>The term <quote>gated product</quote> means any product or category restricted by the platform to approved sellers only.</text></paragraph></section> <section id="H09D9F23085914DB7B3CFCDE19EB6A7FC"><enum>6.</enum><header>Rule of construction</header> <subsection id="H5C5E6AA307A2456F9BBB67F48E7D72DD"> <enum>(a)</enum> <header>In general</header> <text display-inline="yes-display-inline">Nothing in this Act shall be construed to limit any authority of the Attorney General or the Federal Trade Commission under the antitrust laws (as defined in the first section of the Clayton Act (<external-xref legal-doc="usc" parsable-cite="usc/15/12">15 U.S.C. 12</external-xref>)), the Federal Trade Commission Act (<external-xref legal-doc="usc" parsable-cite="usc/15/41">15 U.S.C. 41 et seq.</external-xref>), or any other provision of law or to limit the application of any law.</text>
            </subsection> 
<subsection id="H564B0971E1424F078CD49A14AA5CEEA3"><enum>(b)</enum><header> Effect on seller status under other law</header><text display-inline="yes-display-inline">Nothing in this Act, including the definitions in section 5, or the designation of a person as a third-party seller, may be construed to determine whether a critical trading partner is a seller, merchant, distributor, supplier, manufacturer, or any similar party under any Federal or State law, including any law governing product liability, breach of warranty, or consumer protection.</text></subsection></section> <section id="H282AE33A16084D309E2BEE54461E16D9"><enum>7.</enum><header>Severability</header><text display-inline="no-display-inline">If any provision of this Act, or the application of such a provision to any person or circumstance, is held to be unconstitutional, the remaining provisions of this Act, and the application of the provision held to be unconstitutional to any other person or circumstance, shall not be affected thereby.</text></section> 
<section id="H3FDF97AE58E64CB382DE35DF115AE430"><enum>8.</enum><header>Effective date</header><text display-inline="no-display-inline">This Act shall take effect 180 days after the date of enactment.</text></section> </legis-body></bill>
