<section id="H1DF24325D0ED49918596DE3A9D44EB69" section-type="section-one"><enum>1.</enum><header>Short title</header>
 <text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Informed Investor Access Act</short-title></quote>.</text></section> 
<section id="HC0AF03BB11ED4B0C8DFC8738D83FF6C2"><enum>2.</enum><header>Accredited investors include individuals receiving advice from certain professionals</header> 
<subsection id="HA400D3FB469347F092328BF6997C2F9E"><enum>(a)</enum><header>Securities Act of 1933</header><text display-inline="yes-display-inline">Section 2(a)(15) of the Securities Act of 1933 (<external-xref legal-doc="usc" parsable-cite="usc/15/77b">15 U.S.C. 77b(a)(15)</external-xref>) is amended—</text> <paragraph id="H0FAB2CAADB4A4C078974FEA3B3EB746F"><enum>(1)</enum><text>by striking <quote>(15) The term <term>accredited investor</term> shall mean—</quote> and inserting the following:</text>

<paragraph id="H9C7E41184C5B474BB32660F973EE42EB"><enum>(15)</enum><header>Accredited investor</header> 
<subparagraph id="HC6EA5CA6DD5D4ABFB290BDBD4B564448"><enum>(A)</enum><header>In general</header><text display-inline="yes-display-inline">The term <term>accredited investor</term> means—</text></subparagraph></paragraph><after-quoted-block>;</after-quoted-block></quoted-block></paragraph> <paragraph id="HAAA3DB18004F4B5EB95AE52C6FD6CC74"><enum>(2)</enum><text>in clause (i), by striking <quote>or</quote> at the end;</text></paragraph> 
<paragraph id="H19FDDAD4D22144FCB1A0556DBDBA042C"><enum>(3)</enum><text>in clause (ii), by striking the period at the end and inserting <quote>; or</quote>;</text></paragraph> <paragraph id="H2949269A887F4258A9901019AC12B43C"><enum>(4)</enum><text>by adjusting the indentation of clauses (i) and (ii) by moving such clauses 2 ems to the right; and</text></paragraph> 
<paragraph id="H1AB1794F388D4491B4363447D828523E"><enum>(5)</enum><text>by adding at the end the following:</text> <quoted-block style="OLC" id="HB6110D0463E0422B87322EE202DA14CC" display-inline="no-display-inline"> <clause id="HFC46C3A9CBD14174BEDCA61871CA8184"><enum>(iii)</enum><text display-inline="yes-display-inline">any natural person that the issuer reasonably believes is receiving personalized investment advice or personalized investment recommendations with respect to the applicable transaction from— </text> 
<subclause id="HA675E2CD7FE8428696D5F9E942FF272D"><enum>(I)</enum><text display-inline="yes-display-inline">an investment adviser registered with the Commission under the Investment Advisers Act of 1940, or a supervised person of such investment adviser (as defined in section 202(a) of the Investment Advisers Act of 1940); or</text></subclause> <subclause id="H3840F11EA61D4947B6ED4CD8CCCC5B7A"><enum>(II)</enum><text display-inline="yes-display-inline">a broker or dealer registered with the Commission under the Securities Exchange Act of 1934, or a natural person who is an associated person of a broker or dealer (as defined in section 3(a) of the Securities Exchange Act of 1934) acting on behalf of such broker or dealer, in each case with respect to the applicable transaction.</text></subclause></clause> 
<subparagraph id="H7A4EF91269F44EECAC559BB94FBDF991" display-inline="no-display-inline"><enum>(B)</enum><header>Definitions</header><text display-inline="yes-display-inline">In subparagraph (A)(iii):</text> <clause id="H107F53639711470C8DC781CAF16D5484"><enum>(i)</enum><header>Investment advice</header><text display-inline="yes-display-inline">The term <term>investment advice</term> shall be interpreted consistent with the phrase <quote>for compensation, engages in the business of advising others, either directly or through publications or writings, as to the value of securities or as to the advisability of investing in, purchasing, or selling securities</quote> under section 202(a)(11) of the Investment Advisers Act of 1940 (<external-xref legal-doc="usc" parsable-cite="usc/15/80b-2">15 U.S.C. 80b–2(a)(11)</external-xref>).</text></clause> 
<clause id="HA2CB5B031FC04DD2948BECC65AEE72C8"><enum>(ii)</enum><header>Recommendation</header><text display-inline="yes-display-inline">The term <term>recommendation</term> shall be interpreted consistent with the term <term>recommendation</term> under section 240.15l–1 of title 17, Code of Federal Regulations.</text></clause></subparagraph><after-quoted-block>.</after-quoted-block></quoted-block></paragraph></subsection> <subsection id="H18031EE18D384134AED6E266F5EAC50E"><enum>(b)</enum><header>Conforming changes to regulations</header><text>The Securities and Exchange Commission shall revise section 230.501(a) of title 17, Code of Federal Regulations, and any other definition of <quote>accredited investor</quote> in a rule of the Commission in the same manner as such definition is revised under subsection (a).</text></subsection></section>
