<section id="H6F2F10B1C1AF453797711E8A32A4AB4C" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Prevent Regulatory Overreach from Turning Essential Companies into Targets Act of 2026</short-title></quote> or the <quote><short-title>PROTECT USA Act of 2026</short-title></quote>.</text> </section> <section id="H3F8672FE67B148A8AD9FCA7056678847"><enum>2.</enum><header>Findings</header><text display-inline="no-display-inline">Congress finds the following:</text> 
<paragraph id="H1E0D29C99CB24CF981ACDDE2D50C00D2"><enum>(1)</enum><text>The ability of citizens of the United States to engage in international commerce is a fundamental concern of the policy of the United States.</text></paragraph> <paragraph id="H8ADADDF1D5114CBC850D06CCCD0D49DC"><enum>(2)</enum><text>Entities in the extractive and manufacturing sectors contribute significantly to the prosperity of the United States and the growth of the world economy.</text></paragraph> 
<paragraph id="H7AF6C748A0C1454DB74485CBE3068EB4"><enum>(3)</enum><text>Maintaining and, in some cases, increasing access to certain supplies and materials from the extractive sector, including agriculture, energy, mining, and timber, and access to materials from the manufacturing sector, are critically important for promoting economic development and human progress in the United States and around the world.</text></paragraph> <paragraph id="HC64C8A30B48D4A5B976911FDDDB81F16"><enum>(4)</enum><text>Restrictions, particularly restrictions adopted unilaterally by foreign countries that are substantially different from restrictions applied by the United States, that unreasonably hinder the ability of entities integral to the national interests of the United States to pursue their commercial activities can have serious adverse effects on employment, economic stability, scientific progress, and international trade, with the potential to impede domestic and foreign policy goals.</text></paragraph> 
<paragraph id="H7C578F780DA0474AAA1ACE626AB741FC"><enum>(5)</enum><text display-inline="yes-display-inline">Maintaining a robust United States energy supply is essential to the continued growth of the physical infrastructure supporting domestic advanced technologies, including data centers and computing hubs, and that foreign sustainability regimes with extraterritorial scope pose significant risks to United States competitiveness and innovation.</text></paragraph></section> <section id="HFDC1D0B80A2247CBBC4C8147C5F64605"><enum>3.</enum><header>Definitions</header><text display-inline="no-display-inline">In this Act:</text> 
<paragraph id="H1BE815E8766741AAAC90D44AEDEF3267"><enum>(1)</enum><header>Entity integral to the national interests of the United States</header><text>The term <term>entity integral to the national interests of the United States</term> means any partnership, corporation, limited liability company, or other business entity—</text> <subparagraph id="H5A0E82E06E0B4E2A8D1FADEC99A9D77E"><enum>(A)</enum><text>that—</text> 
<clause id="HD869319A39384BB9BC3C8DF3026BDDFB"><enum>(i)</enum><text display-inline="yes-display-inline">is organized under the laws of any State or territory within the United States, or of the District of Columbia; and</text></clause> <clause id="HDDF7E005BD1C499C8528319B8E35E66E"><enum>(ii)</enum><text>conducts substantial business operations within the United States; or</text></clause></subparagraph> 
<subparagraph id="HB2FA5550F65D4463AA046B9937E36FEE"><enum>(B)</enum><text>that the President otherwise identifies as integral to the national interests of the United States.</text></subparagraph></paragraph> <paragraph id="HB83C22734BF1498D8393C0B244BE5C58"><enum>(2)</enum><header>Foreign sustainability due diligence regulation</header> <subparagraph commented="no" display-inline="no-display-inline" id="H8A3D331651B4429382724892DAAC09B5"><enum>(A)</enum><header>In general</header><text display-inline="yes-display-inline">Except as provided in subparagraph (B), the term <term>foreign sustainability due diligence regulation</term> means any law, regulation, or other legal instrument adopted by a foreign government that requires any person to undertake—</text> 
<clause commented="no" display-inline="no-display-inline" id="H96CD5B8F19D94B1EB737A92AB1145AE0"><enum>(i)</enum><text display-inline="yes-display-inline">an assessment of the environmental or social impacts of its operations or value chain;</text></clause> <clause commented="no" display-inline="no-display-inline" id="HBDAD5439E00F4E159DA0F9478137FF31"><enum>(ii)</enum><text display-inline="yes-display-inline">action to address any impacts identified in the assessment described in clause (i); and</text></clause> 
<clause commented="no" display-inline="no-display-inline" id="H346BA3469CF041FE8E4374B86BCD74F1"><enum>(iii)</enum><text display-inline="yes-display-inline">reporting of the impacts and actions described in clauses (i) and (ii).</text></clause></subparagraph> <subparagraph commented="no" display-inline="no-display-inline" id="HC8169BCDBEFF4F11A2FBC2FC21DEF7DB"><enum>(B)</enum><header>Exception</header><text display-inline="yes-display-inline">The term <term>foreign sustainability due diligence regulation</term> does not apply to any law, regulation, or other legal instrument that is substantively similar to a law, regulation, or other legal instrument that has been adopted or approved by an Act of Congress.</text></subparagraph> 
<subparagraph commented="no" display-inline="no-display-inline" id="H23B2F0AECA224736AF35757EA8DD52AF"><enum>(C)</enum><header>Inclusion of Corporate Sustainability Due Diligence Directive</header><text display-inline="yes-display-inline">The term <term>foreign sustainability due diligence regulation</term> includes—</text> <clause commented="no" display-inline="no-display-inline" id="H0C19B3A1CA054F68BD0F15732C6B6345"><enum>(i)</enum><text display-inline="yes-display-inline">the entirety of the Corporate Sustainability Due Diligence Directive adopted by the European Union;</text></clause> 
<clause commented="no" display-inline="no-display-inline" id="H0B4DFC44F33A4AAEB47632755F27066F"><enum>(ii)</enum><text display-inline="yes-display-inline">any successor directive adopted by the European Union or any member country of the European Union; and</text></clause> <clause commented="no" display-inline="no-display-inline" id="HFD949F8EB2F54F57B4E6E644783C6227"><enum>(iii)</enum><text display-inline="yes-display-inline">any precursor directive adopted by any member country of the European Union.</text></clause></subparagraph></paragraph></section> 
<section id="H85F3305ED33A4E8988F5A2E49F642B1B"><enum>4.</enum><header>Prohibition on compliance with foreign sustainability due diligence regulations</header> 
<subsection id="H56B5D3AE0D334117AADDF3F2FA7D247B"><enum>(a)</enum><header>In general</header><text>Except as provided in subsection (b), no entity integral to the national interests of the United States may comply with any foreign sustainability due diligence regulation.</text></subsection> <subsection id="H7B09CCB105B64E459E89E1AAC1A7DABB"><enum>(b)</enum><header>Exception for ordinary business activities</header><text>Subsection (a) does not prohibit an entity from undertaking actions that it may lawfully take—</text> 
<paragraph commented="no" display-inline="no-display-inline" id="H434B46DD125C47C7AB2308978355C0B9"><enum>(1)</enum><text display-inline="yes-display-inline">to comply with a statute of the United States; or</text></paragraph> <paragraph commented="no" display-inline="no-display-inline" id="H0E0E63392A7B4A7A82FB055F441EAAC8"><enum>(2)</enum><text display-inline="yes-display-inline">in the ordinary course of business, including in response to an information request from a consumer or an investor.</text></paragraph></subsection> 
<subsection id="H1138E70CE9A641A188AC5DF609F78D1D"><enum>(c)</enum><header>Hardship relief process</header> 
<paragraph id="HD81721544FC0490EBAE6AAE50D436E19"><enum>(1)</enum><header>Petition for relief</header><text>Any entity integral to the national interests of the United States that believes it will experience particular hardship in connection with the prohibition described in subsection (a) may petition the President for an exemption from such prohibition.</text></paragraph> <paragraph id="H28BB637D4A794DC88BBE097704EDFEC3" commented="no"><enum>(2)</enum><header>Exemption approval</header> <subparagraph id="H0D1F6B2B803C468481273479F39AA931" commented="no"><enum>(A)</enum><header>In general</header><text>Except as provided in subparagraph (B), a petition from an entity submitted under paragraph (1) shall be granted.</text></subparagraph> 
<subparagraph id="HCF6E5E6BA83948EDB2C257FD32B2FE54" commented="no"><enum>(B)</enum><header>Denial by President</header><text display-inline="yes-display-inline">Notwithstanding subparagraph (A), the President may deny a petition from an entity submitted under paragraph (1) if, not later than 30 days after the date on which the President receives such petition, the President provides to the entity a written statement that—</text> <clause id="H7F56A1DFD1474D1682B8E6201205F46F" commented="no"><enum>(i)</enum><text display-inline="yes-display-inline">denies the petition on the basis that granting the petition would be contrary to the national interests of the United States;</text></clause> 
<clause id="H03F6012509044CAA854872F8931F0D60" commented="no"><enum>(ii)</enum><text>includes an explanation to support such basis; and</text></clause> <clause id="H87D9C2C0DFB140DF91E2295A9000EB46" commented="no"><enum>(iii)</enum><text>describes any condition the entity could meet such that the petition would be granted.</text> </clause></subparagraph></paragraph> 
<paragraph id="HCEA9916EDC154AE582B9229B379406FB"><enum>(3)</enum><header>Factors to be considered</header><text>In deciding under paragraph (2)(B) whether to deny a petition from an entity submitted under paragraph (1), the President shall consider the following:</text> <subparagraph id="HB88776C16A4D449DB807289654A70AC8"><enum>(A)</enum><text>The extent to which denying the petition would result in the inability of the relevant entity to participate in value chains associated with products essential for domestic use in the United States.</text></subparagraph> 
<subparagraph id="H7541F616E0BB40618DEC3D4592318C09"><enum>(B)</enum><text>Possible adverse effects on the economy in any locality or region of the United States, including adverse effects on employment.</text></subparagraph> <subparagraph id="HE8874E21855C40CC89B661B4B33C3D9E"><enum>(C)</enum><text>The degree to which granting the petition would impact, directly or indirectly, the United States.</text></subparagraph> 
<subparagraph id="H4198F68817144A129A38A358983D7172"><enum>(D)</enum><text>The extent to which denying the petition would prevent the entity from divesting in a business formed under the laws of a jurisdiction subject to a foreign sustainability due diligence regulation.</text></subparagraph></paragraph></subsection></section> <section id="H7202034141EE49C987E09FFE13AF2DD9"><enum>5.</enum><header>Prohibition against adverse action for compliance with this Act</header> <subsection commented="no" display-inline="no-display-inline" id="H4922979288F043039DE9DC9916A58475"><enum>(a)</enum><header>In general</header><text display-inline="yes-display-inline">No person may take any adverse action towards an entity integral to the national interests of the United States for action or inaction related to a foreign sustainability due diligence regulation.</text></subsection> 
<subsection commented="no" display-inline="no-display-inline" id="HE91D5A56E0694B40B97AE1AA41E17C65"><enum>(b)</enum><header>Judgments for foreign sustainability due diligence regulations</header><text>No judgment by a foreign court brought against an entity integral to the national interests of the United States in relation to any foreign sustainability due diligence regulation shall be recognized in the courts of the United States or of the States, unless otherwise provided by an Act of Congress.</text></subsection> <subsection id="HCD7A8AF693D941588E582CCBED6103AF"><enum>(c)</enum><header>Enforcement</header> <paragraph commented="no" display-inline="no-display-inline" id="HD2ABDDB4FE6B4DD9AD479A3F231F2117"><enum>(1)</enum><header display-inline="yes-display-inline">Actions by the President</header> <subparagraph commented="no" display-inline="no-display-inline" id="HCF52B8FC94CE4179B212E66A37444C22"><enum>(A)</enum><header>In general</header><text display-inline="yes-display-inline">The President shall take any action the President determines is in the public interest to protect an entity integral to the national interests of the United States from an adverse action related to a foreign sustainability due diligence regulation.</text></subparagraph> 
<subparagraph commented="no" display-inline="no-display-inline" id="H75D0B29A0CA34CC9B0328FE6BEA8B135"><enum>(B)</enum><header>Determination of public interest</header><text display-inline="yes-display-inline">In determining under subparagraph (A) whether an action by the President is in the public interest, the President shall take into account the impact of the adverse action described in that subparagraph on—</text> <clause id="H60800F283EEA40F9B1A0B014F8D63278"><enum>(i)</enum><text>consumers and businesses in the United States;</text></clause> 
<clause id="H9CC09E20A99A4A76A8778D4717F9C1EE"><enum>(ii)</enum><text>the economic, energy, and environmental security of the United States; and</text></clause> <clause id="H37BF8DD116A84652904B00CDF0D2FC20"><enum>(iii)</enum><text>foreign relations of the United States, including existing international commitments.</text></clause></subparagraph></paragraph> 
<paragraph commented="no" display-inline="no-display-inline" id="H09D165EDF0C041DF958855E8622D75C4"><enum>(2)</enum><header>Penalties</header><text display-inline="yes-display-inline">A person that violates subsection (a) or a regulation issued pursuant to this Act shall be subject to a civil penalty of not more than $1,000,000.</text> </paragraph></subsection></section> </legis-body></bill>
