<section id="H5EB2FC26DD5F4C1D8014A40826E3846D" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Corporate Prosecution Reform Act</short-title></quote>.</text></section> <section id="HE6677F033D0F4E3B82DC9F11A2DC9018"><enum>2.</enum><header>Sense of Congress</header><text display-inline="no-display-inline">It is the sense of Congress that—</text> 
<paragraph id="H3C06BF8F206E4B3BBA294C4C0D19B921"><enum>(1)</enum><text>the prosecution of corporate crimes should be conducted with the same rigor and commitment as the prosecution of individual crimes;</text></paragraph> <paragraph id="HA9E00C13B604451F932464C609F934CC"><enum>(2)</enum><text display-inline="yes-display-inline">deferred prosecution agreements and non-prosecution agreements should only be used when they serve the public interest and are likely to result in meaningful reforms; and</text></paragraph> 
<paragraph id="H5F1FFB53D95F404FAC22D076EBD9C02B"><enum>(3)</enum><text display-inline="yes-display-inline">the penalties and terms imposed by deferred prosecution agreements and non-prosecution agreements should be sufficient to hold the defendant accountable for misconduct, compensate victims, prevent corporate recidivism, and deter future corporate offenses.</text></paragraph></section> <section id="H3D34AB9A58B64E8E9CC55C1F514EBCA2"><enum>3.</enum><header>Deferred Prosecution Agreements</header> <subsection id="H703C5B287AB94A939C5E9670F4A7D003"><enum>(a)</enum><header>Definitions</header><text display-inline="yes-display-inline">Section 3172 of title 18, United States Code, is amended—</text> 
<paragraph id="HC173860638294F1C9FE4C45B2663D696"><enum>(1)</enum><text>in paragraph (1), by striking <quote>, and</quote> at the end and inserting at semicolon;</text></paragraph> <paragraph id="H8906ACA9D11041409BF285D3B10923D9"><enum>(2)</enum><text>in paragraph (2), by striking the period at the end and inserting a semicolon; and</text></paragraph> 
<paragraph id="H8376C5F1372E434AB378C2256D673C5F"><enum>(3)</enum><text>by adding at the end the following:</text> <quoted-block style="USC" id="H02E0E5688B364B84BEC7CEA758A6B0B6" display-inline="no-display-inline"> <paragraph id="H9CC78F944BB04C37A508387E88FDBBA2"><enum>(3)</enum><text>the term <term>business entity</term> means a corporation, association, partnership, limited liability company, limited liability partnership, or other legal commercial entity; and </text></paragraph> 
<paragraph id="HC008FA301CB642178BBAB7E5AE28222A"><enum>(4)</enum><text>the term <term>corporate offense</term> means—</text> <subparagraph id="HBD0B454F598247BD8C1F3BFB80BD97EB"><enum>(A)</enum><text>a violation or alleged violation of Federal law committed by—</text> 
<clause id="HE032CC5C35D7450E9BB0B622426C02E7"><enum>(i)</enum><text>a business entity; or</text></clause> <clause id="HBE9D8CC3C7FE4A4FA5A4AAE04871FD7D"><enum>(ii)</enum><text>an individual employed by a business entity within the conduct of the individual’s occupational role; and</text></clause></subparagraph> 
<subparagraph id="H873C4DAA564441299F386ED1AC8AF910"><enum>(B)</enum><text display-inline="yes-display-inline">any other violation or alleged violation of Federal law determined by the Attorney General to be a corporate offense.</text></subparagraph></paragraph><after-quoted-block>.</after-quoted-block></quoted-block></paragraph></subsection> <subsection id="H4B30C51915C54A719B729129250578F3"><enum>(b)</enum><header>Periods of delay</header><text>Section 3161(h)(2) of title 18, United States Code, is amended—</text> 
<paragraph id="H88F3918279EE478887A773EE4A061492"><enum>(1)</enum><text>by striking <quote>Any period of</quote> and inserting <quote><header-in-text level="subparagraph" style="USC"><enum-in-header>(A)</enum-in-header></header-in-text> Any period of</quote>;</text></paragraph> <paragraph id="HA0520FD7ECE042DF8C5DAAA2F473A817"> <enum>(2)</enum> <text>by inserting <quote> of an offense that is not a corporate offense</quote> after <quote>prosecution</quote>; and</text>
                </paragraph> 
<paragraph id="HFE4A9F15B1794171A086BF5B340471CB"><enum>(3)</enum><text>by adding at the end the following:</text> <quoted-block style="USC" id="HD9055DD20DF545AA8EF679B653B50887" display-inline="no-display-inline"> <subparagraph id="H26D7ED4B29824EBBB17B019A31DF4346"><enum>(B)</enum> <clause id="HFF587EF7BE85447AAE858A8F5498996E" display-inline="yes-display-inline"><enum>(i)</enum><text display-inline="yes-display-inline">Any period of delay during which prosecution of a corporate offense is deferred by the attorney for the Government pursuant to written agreement with the defendant, with the approval of the court of the terms of such agreement, for the purpose of allowing the defendant to demonstrate his good conduct. </text></clause> 
<clause id="HCE0AA4FBA4FB4F09AFDD6C09C806A3FA"><enum>(ii)</enum><text display-inline="yes-display-inline">In making the determination under clause (i), the court may not approve an agreement—</text> <subclause id="H4ED5CD211DED41D5BD3CEB030BD0CBCD"><enum>(I)</enum><text display-inline="yes-display-inline">in the case of an offense resulting in—</text> 
<item id="H806288B67D8A47C39C43C1D0725A7432"><enum>(aa)</enum><text>loss of life; or</text></item> <item id="H1016028AF3D340028A1535F3756E21F5"><enum>(bb)</enum><text display-inline="yes-display-inline">serious bodily injury (as such term is defined in section 1365); </text></item></subclause> 
<subclause id="HFE3985466C96473A85D92905BED7AE08"><enum>(II)</enum><text display-inline="yes-display-inline">in the case of an offense relating to treason, espionage, terrorism, money laundering, slavery, forced labor, or human trafficking; or</text></subclause> <subclause id="H6FB4287FC81A4EFD8E9B8E5F7FBEDDE9"><enum>(III)</enum><text display-inline="yes-display-inline">if the defendant has previously—</text> 
<item id="HCA039BFE285D4998B0D080163E1C6026"><enum>(aa)</enum><text>been convicted of a similar corporate offense;</text></item> <item id="HA635503E1284404E91B312D5ED37005C"><enum>(bb)</enum><text>entered into an agreement under this subparagraph related to a similar corporate offense (as well as any agreement under section 3161(h)(2), as in effect on the day before the date of enactment of the <short-title>Corporate Prosecution Reform Act</short-title>, related to a similar corporate offense); or</text></item> 
<item id="HBD0D14D176274984AA23C7FE87CD098E"><enum>(cc)</enum><text display-inline="yes-display-inline">entered into an agreement described in section 3784(b)(2) related to a similar corporate offense. </text></item></subclause></clause> <clause id="HC147BD56343F4989A2EA45C13638374E"><enum>(iii)</enum><text>In making the determination under clause (i), the court may not approve an agreement unless the court determines that—</text> 
<subclause id="H4E060A3704FC4EDA92EAA85478540070"><enum>(I)</enum><text>the agreement is in the public interest; </text></subclause> <subclause id="HA8ABD650EFEA4951A36ABF77C33E97E6"><enum>(II)</enum><text display-inline="yes-display-inline">the terms and penalties under the agreement are sufficient to hold the defendant accountable for misconduct, compensate each victim, prevent unlawful behavior by the defendant, and deter similar corporate offenses; and</text></subclause> 
<subclause id="H589DA37976054A2A83B26595AEBD9FCC"><enum>(III)</enum><text display-inline="yes-display-inline">each victim of an offense alleged in the agreement has been afforded the rights described in section 3771, and has been afforded the right to—</text> <item id="HCC76494B6051414FB0DE9A39258EFD49"><enum>(aa)</enum><text>confer with the attorney for the Government no less than 15 days before such agreement is offered to the defendant; and</text></item> 
<item id="H6DC2D766D1C14C649F19E0AA497BDAC0"><enum>(bb)</enum><text>be heard by the court or provide the court with written testimony, prior to the court making a determination under clause (i).</text></item></subclause></clause> <clause id="H3C55042EE59B410FA31C13CA68ED9114"><enum>(iv)</enum><text>Any period of delay during which the court is making the determination under clause (i) shall be included in the period of delay described in such clause.</text></clause> 
<clause id="HEC667A3BE19F4C34B8EC8DAED129CDE7"><enum>(v)</enum><text display-inline="yes-display-inline">In the case of an agreement that the court approved under clause (i), the court may not approve a proposed change to such agreement unless the court determines that the change meets the requirements under clause (iii). If the court determines that the change does not meet such requirements, the terms and penalties of the approved agreement shall remain in effect. </text></clause> <clause id="HD6C4C30C1268472FB522DA39769F77C1"><enum>(vi)</enum><text>The court may—</text> 
<subclause id="HB2AAE9563D9640AD9EE036C2E4C86CDA"><enum>(I)</enum><text display-inline="yes-display-inline">on its own, or on motion of any party, review the implementation or termination of the agreement, and take any appropriate action to assure that the implementation or termination is in the public interest; and</text></subclause> <subclause id="HFB26D6C7AD5443DA8990C32BE0E13EBE"><enum>(II)</enum><text>order a party or an independent monitor to file evidence with the court to aid the court in making the determination under clause (i).</text></subclause></clause></subparagraph><after-quoted-block>. </after-quoted-block></quoted-block></paragraph></subsection></section>

<subsection id="HEBF9E4B12B6948CAAC1DD6530F9DD403">
        <enum>(a)</enum>
        <header>In general</header>
 <text display-inline="yes-display-inline">Part II of title 18, United States Code, is amended by adding at the end the following:</text>

              <enum>3781.</enum>
              <header>Prosecution of corporate crimes</header>
              <subsection id="H15313056FAFB4198BE561A7C623B73A6">
                <enum>(a)</enum>
                <header>Establishment of guidance</header>
 <text display-inline="yes-display-inline">The Attorney General shall establish guidance, and as necessary revise the internal policies and procedures of the Department of Justice, for the use of—</text>
                <paragraph id="HC0E2861B6DB64305887DFC5B147D7182" display-inline="no-display-inline">
                  <enum>(1)</enum>
 <text display-inline="yes-display-inline">an agreement described in section 3161(h)(2)(B);</text>
                </paragraph>
                <paragraph id="H493AC22F29D04C3A8862B9ABF9B288B9">
                  <enum>(2)</enum>
 <text display-inline="yes-display-inline">an agreement described in section 3784(b)(2) related to an alleged corporate offense; or</text>
                </paragraph>
                <paragraph id="HCF669419242D41CC8EAC288DFFE56D7A">
                  <enum>(3)</enum>
 <text>an agreement related to any voluntary disclosure policy of the Department of Justice involving an alleged corporate offense.</text>
                </paragraph>
              </subsection>
              <subsection id="H984777CD7503464B819044E3E9A22476">
                <enum>(b)</enum>
                <header>Description</header>
 <text>The guidance established under subsection (a) shall—</text> <paragraph id="HFCB57F072AB04D889A553F95AABC0A4C"> <enum>(1)</enum> <text>improve the use of, and compliance with, the agreements described in such subsection;</text>
                </paragraph>
                <paragraph id="HA1C8ABBA95054486BABE416BE4AE8230">
                  <enum>(2)</enum>
 <text>standardize the enforcement of and compliance with, such agreements;</text> </paragraph> <paragraph id="H94AED31C131B4CB197CF43B8FD509094"> <enum>(3)</enum> <text>to the extent practicable, maintain parity between the use of, and terms and penalties included in, such agreements with respect to substantively similar corporate offenses; and</text>
                </paragraph>
                <paragraph id="HF5C6211F6AD64EEE8CDB4948A1DE4BCF">
                  <enum>(4)</enum>
 <text>ensure that such agreements—</text> <subparagraph id="H1E43638C7BDD478CAC2CC280C754D503"> <enum>(A)</enum> <text>achieve substantial justice, including for victims and the public;</text>
                  </subparagraph>
                  <subparagraph id="H0154534969334172B9542071375F4E7D">
                    <enum>(B)</enum>
 <text display-inline="yes-display-inline">prevent corporate recidivism; and</text>
                  </subparagraph>
                  <subparagraph id="H32974DAAC86E4F6391C822F518BF2A4D">
                    <enum>(C)</enum>
 <text>deter future corporate offenses;</text> </subparagraph> </paragraph> </subsection> <subsection id="HB2FC6571802D48B3860AA1133FF94072"> <enum>(c)</enum> <header>Publication</header> <text>The Attorney General shall publish the guidance described in paragraph (1) on the website of the Department of Justice.</text>
              </subsection>
            </section>
            <section id="HC8AF38107CA449F9A3DF510428CCFED2">
              <enum>3782.</enum>
              <header>Office of Corporate Enforcement</header>
              <subsection id="HB80DB6BADE4F4DBAA66D4A569E4DA2CF">
                <enum>(a)</enum>
                <header>In general</header>
 <text>There is hereby established within the Department of Justice, under the general authority of the Attorney General, an Office of Corporate Enforcement (in this chapter referred to as the <quote>Office</quote>).</text>
              </subsection>
              <subsection id="HD19D7691E78A407F8A1895047EE25E65">
                <enum>(b)</enum>
                <header>Separate office</header>
 <text>The Office shall be a separate and distinct office within the Department of Justice, not subsumed by any other office, headed by a Director, who shall report to the Deputy Attorney General.</text>
              </subsection>
              <subsection id="H0494CADC86E0412088805C8054745204">
                <enum>(c)</enum>
                <header>Appointment</header>
 <text>The Attorney General shall appoint the Director.</text> </subsection> <subsection id="HEC7E372106B44820959412D5EA3DC1BC"> <enum>(d)</enum> <header>Staff</header> <text>The Attorney General is authorized to provide the Office of Corporate Enforcement with such full-time professional and clerical staff and with the services of such consultants as may be necessary for it to carry out its duties and functions.</text>
              </subsection>
            </section>
            <section id="H06A5F74406F94AABBE5B8284A3018DD4">
              <enum>3783.</enum>
              <header>Functions and duties of the Director of the Office of Corporate
                Enforcement</header>
              <subsection id="H7D638DE8AAA44ABCB6DA947E67866662">
                <enum>(a)</enum>
                <header>Monitoring</header>
 <text display-inline="yes-display-inline">The Director shall monitor the implementation of and compliance with each agreement that is approved pursuant to section 3161(h)(2)(B) or described in section 3784(b)(2).</text>
              </subsection>
              <subsection id="H636476A5C5B747109433EED286D3DB02">
                <enum>(b)</enum>
                <header>Reporting violations</header>
 <text>If the Director determines that any individual or business entity subject to an agreement under section 3161(h)(2)(B) or described in section 3784(b)(2) has violated the terms of that agreement, the Director shall report such violation to the Deputy Attorney General.</text>
              </subsection>
            </section>

              <enum>3784.</enum>
              <header>Transparency in corporate enforcement</header>
              <subsection id="HFBD208E8EB4C4CA7ABBF523C157B4FF9">
                <enum>(a)</enum>
                <header>Deferred prosecution agreements</header>
                <paragraph id="H27E8A3F5990D4F49ADD6BE0633DD0695">
                  <enum>(1)</enum>
                  <header>In general</header>
 <text>Not later than 30 days after the court approves an agreement under section 3161(h)(2)(B), the Attorney General shall make available on the public website of the Department of Justice—</text>
                  <subparagraph id="H1CB3AD9A50AD47418D037DC43958F470">
                    <enum>(A)</enum>
 <text>the text of the agreement;</text> </subparagraph> <subparagraph id="HC995498C8C484105B2E6A8C45D6DE4CA"> <enum>(B)</enum> <text>the defendant;</text>
                  </subparagraph>
                  <subparagraph id="H84473025035E403BABC49D7E5D46F1F9">
                    <enum>(C)</enum>
 <text>any offense or alleged offense identified by the agreement;</text> </subparagraph> <subparagraph id="HDAEF5BEF1CF3463ABEA8479AEBCCF418"> <enum>(D)</enum> <text>the terms of the agreement, including any fines or penalties;</text>
                  </subparagraph>
                  <subparagraph id="HD85C59E9F47F41099A4CAE3D1774BF76">
                    <enum>(E)</enum>
 <text display-inline="yes-display-inline">all the terms and conditions of any agreement or understanding between—</text>
                    <clause id="HBB75E22C08C6445A94F7D63426DA4877">
                      <enum>(i)</enum>
 <text>an independent monitor appointed pursuant to the agreement; and</text> </clause> <clause id="H9CF09607E6D94F85823F91D8AFE05EC8"> <enum>(ii)</enum> <text>the defendant or the Department of Justice; and</text>
                    </clause>
                  </subparagraph>
                  <subparagraph id="H7052B3A483A14896B381C8A34370D90D">
                    <enum>(F)</enum>
 <text>any reference to—</text> <clause id="H7407E95C7D384CEEAC0CAF3C9F1F6606"> <enum>(i)</enum> <text>any other such agreement approved between the United States and the individual or business entity, including such an agreement that is no longer in effect as of the date of publication;</text>
                    </clause>
                    <clause id="H36359E7D2C4947EF8EB7FAE5CD5CF429">
                      <enum>(ii)</enum>
 <text>any agreement described in subsection (b)(2), including such an agreement that is not in effect as of the date of publication; and</text>
                    </clause>
                    <clause id="HA634534924BE4DE0B6F513CEF8FDD363">
                      <enum>(iii)</enum>
 <text>any prior conviction of the individual or business entity for a similar Federal offense.</text>
                    </clause>
                  </subparagraph>
                </paragraph>
                <paragraph id="HA41BCD6742674AB78E96CE017E283147">
                  <enum>(2)</enum>
                  <header>Agreements in effect and prior agreements</header>
 <text display-inline="yes-display-inline">The Attorney General shall make available on the public website of the Department of Justice the information described in paragraph (1)—</text>
                  <subparagraph id="HB5E3C553427F4572BC67941E0E766522">
                    <enum>(A)</enum>
 <text display-inline="yes-display-inline">not later than one year after the date of enactment of this Act, for each agreement approved under subparagraph (B) of section 3161(h)(2) (as well as any agreement under section 3161(h)(2), as in effect on the day before the date of enactment of the <short-title>Corporate Prosecution Reform Act</short-title>, related to any corporate offense) that is in effect on the date of enactment; and</text>
                  </subparagraph>
                  <subparagraph id="HDC4821851B0A401AA38FE75E65FD4DAB">
                    <enum>(B)</enum>
 <text display-inline="yes-display-inline">not later than 3 years after the date of enactment of this Act, for each agreement described in subparagraph (A) that was in effect during the period beginning on January 1, 1993, and ending on the date of enactment of this Act.</text>
                  </subparagraph>
                </paragraph>
              </subsection>
              <subsection id="HEE596AEAEA79481C931294E9910E4B68">
                <enum>(b)</enum>
                <header>Non-Prosecution agreements</header>
                <paragraph id="HBD82D06BD77542BE837F47A4BD45BF39">
                  <enum>(1)</enum>
                  <header>Publication</header>
 <text>Not later than 30 days after an agreement described in paragraph (2) is finalized, the Attorney General shall make available on the public website of the Department of Justice—</text>
                  <subparagraph id="HE6171B4E200B4195A67D89A93BAC4787">
                    <enum>(A)</enum>
 <text>the text of the agreement;</text> </subparagraph> <subparagraph id="H4668D205AB244CEC94FF2FDDA17868AC"> <enum>(B)</enum> <text>the identified individual or business entity;</text>
                  </subparagraph>
                  <subparagraph id="H94146AE609AF42C1BD6E7820CCD3A3F0">
                    <enum>(C)</enum>
 <text>any offense or alleged offense identified by the agreement;</text> </subparagraph> <subparagraph id="HA1DC01773F064F66AA31EAACCDCD329A"> <enum>(D)</enum> <text>the terms of the agreement, including any fines or penalties; and</text>
                  </subparagraph>
                  <subparagraph id="H0BB3625B860E43ED9AA607A8132BC125">
                    <enum>(E)</enum>
 <text>a reference to—</text> <clause id="H7FCE1647BB674EB084820251EFC8B590"> <enum>(i)</enum> <text display-inline="yes-display-inline">any other agreement described in paragraph (2) between the United States and the individual or business entity, including such an agreement that is no longer in effect as of the date of publication;</text>
                    </clause>
                    <clause id="H9D777F1C521F457FA1A5DA2DB5735640" commented="no">
                      <enum>(ii)</enum>
 <text display-inline="yes-display-inline">any agreement approved under subparagraph (B) of section 3161(h)(2) (as well as any agreement under section 3161(h)(2), as in effect on the day before the date of enactment of the <short-title>Corporate Prosecution Reform Act</short-title>, related to any corporate offense) between the United States and the individual or business entity, including such an agreement that is no longer in effect as of the date of publication; and</text>
                    </clause>

                      <enum>(iii)</enum>
 <text>any prior conviction of the individual or business entity for a similar Federal offense.</text>
                    </clause>
                  </subparagraph>
                </paragraph>
                <paragraph id="H79B811A34F94413BB5E7D4490B354195">
                  <enum>(2)</enum>
                  <header>Agreement described</header>
 <text display-inline="yes-display-inline">An agreement described in this paragraph is a written agreement—</text>
                  <subparagraph id="H535FB609C43C4A4985594B0D3056E5C2">
                    <enum>(A)</enum>
 <text>in which the United States agrees to—</text> <clause id="HD5365474C98F4775B2DA244E4A532148"> <enum>(i)</enum> <text>stop, pause, defer, or resolve an investigation or prosecution of a corporate offense; or</text>
                    </clause>
                    <clause id="HBB273390207447658A8E83E18E26A86A">
                      <enum>(ii)</enum>
 <text>decline to or otherwise not prosecute a corporate offense; and</text> </clause> </subparagraph> <subparagraph id="HB83ED0EBB1E04BC4B3022BB4879F0680"> <enum>(B)</enum> <text display-inline="yes-display-inline">that is not an agreement described in section 3161(h)(2)(B).</text>
                  </subparagraph>
                </paragraph>
                <paragraph id="HF24D6EEDA1C744DA8DFDC0FFD1596F3F" display-inline="no-display-inline">
                  <enum>(3)</enum>
                  <header>Agreements in effect and prior agreements</header>
 <text display-inline="yes-display-inline">The Attorney General shall make available on the public website of the Department of Justice the information described in paragraph (1)—</text>
                  <subparagraph id="H347E7204649143F299AB7E7C8A598702">
                    <enum>(A)</enum>
 <text display-inline="yes-display-inline">not later than one year after the date of enactment of this Act, for each agreement described in paragraph (2) that is in effect on the date of enactment; and</text>
                  </subparagraph>
                  <subparagraph id="H4EB7970CB83C44089F6AA7697D7A2E47">
                    <enum>(B)</enum>
 <text display-inline="yes-display-inline">not later than 3 years after the date of enactment of this Act, for each agreement described in paragraph (2) that was in effect during the period beginning on January 1, 1993, and ending on the date of enactment of this Act.</text>
                  </subparagraph>
                </paragraph>
              </subsection>
            </section>
            <section id="H425FE2BD5AF544C185213F8A15B260B1" commented="no">
              <enum>3785.</enum>
              <header>Prohibition of non-prosecution agreements</header>
              <subsection id="H5D6D55AD41BA4042B36E8F2A753E1CAE" commented="no">
                <enum>(a)</enum>
                <header>In general</header>
 <text display-inline="yes-display-inline">Except in the case of an agreement under section 3162(h)(2) that is approved by an appropriate district court of the United States in accordance with such section, the Government may not enter into any agreement with a business entity or an individual in which the Government agrees to decline prosecution of, or otherwise not prosecute, a corporate offense, in exchange for payment of a fine, penalty, or other monetary consideration.</text>
              </subsection>
              <subsection id="H8996955A38504246AD25A8854793E199">
                <enum>(b)</enum>
                <header>Void</header>
 <text display-inline="yes-display-inline">Any agreement entered into in violation of this section shall be void and unenforceable.</text>
              </subsection>
              <subsection id="H6257ECD46456484AAC7B28D4CD2299C4" commented="no">
                <enum>(c)</enum>
                <header>Rule of construction</header>
 <text>Nothing in this section shall be construed to—</text> <paragraph id="H85F6E5A2E25C45FB92F1ACBF7863A3ED" commented="no"> <enum>(1)</enum> <text>prevent the Government from issuing advisory opinions, entering into immunity agreements, entering into civil consent decrees filed in a court, or entering plea bargaining agreements governed by Rule 11 of the Federal Rule of Criminal Procedure; or</text>
                </paragraph>
                <paragraph id="H03BDB4D7E913437286DEA0E426DE5023" commented="no">
                  <enum>(2)</enum>
 <text>affect any agreement that is in effect on the date of enactment of this section.</text>
                </paragraph>
              </subsection>
            </section>
            <section id="HAB72814068F840BEBDF124200982015A">
              <enum>3786.</enum>
              <header>Report to Congress</header>
 <text display-inline="no-display-inline">Not later than 1 year after the date of enactment of the <short-title>Corporate Prosecution Reform Act</short-title>, and annually thereafter, the Attorney General shall submit to the Committees on the Judiciary of the House of Representatives and of the Senate a report that includes—</text>
              <paragraph id="HE90F68EAF6D146D6AD5D62ECC95BA270">
                <enum>(1)</enum>
 <text display-inline="yes-display-inline">each agreement entered into under section 3161(h)(2)(B) or described in section 3784(b)(2) during the preceding year;</text>
              </paragraph>
              <paragraph id="H46BF316504CF46E09EAC7EBEDED79A78">
                <enum>(2)</enum>
 <text display-inline="yes-display-inline">any instance of non-compliance by a defendant with an agreement entered into under section 3161(h)(2)(B) or described in section 3784(b)(2) during the preceding year;</text>
              </paragraph>
              <paragraph id="HF0A3951A20A3449E9571F82A34CD988D">
                <enum>(3)</enum>
 <text display-inline="yes-display-inline">a list of each agreement under section 3161(h)(2)(B) (as well as any agreement under section 3161(h)(2), as in effect on the day before the date of enactment of the <short-title>Corporate Prosecution Reform Act</short-title>, related to any corporate offense) or described in section 3784(b)(2) that is still in effect as of the date of the report;</text>
              </paragraph>
              <paragraph id="H6979266F489448E082C867B64B8466DD">
                <enum>(4)</enum>
 <text display-inline="yes-display-inline">any changes to an agreement described in paragraph (3), including any extensions to the term of such an agreement; and</text>
              </paragraph>
              <paragraph id="HE1B29CBB8E224150B2C0B38BA7A3A71E">
                <enum>(5)</enum>
 <text>a list of each agreement under section 3161(h)(2)(B) (as well as any agreement under section 3161(h)(2), as in effect on the day before the date of enactment of the Corporate Prosecution Reform Act, related to any corporate offense) or described in section 3784(b)(2) that was terminated during the preceding year, including a description of the defendant’s compliance with terms of the agreement.</text>
              </paragraph>
            </section>
