R. 7127</legis-num><associated-doc role="report" display="yes">[Report No. 119–573]</associated-doc><current-chamber>IN THE HOUSE OF REPRESENTATIVES</current-chamber><action display="yes"><action-date date="20260116">January 16, 2026</action-date><action-desc><sponsor name-id="M001204">Mr. Meuser</sponsor> introduced the following bill; which was referred to the <committee-name committee-id="HBA00">Committee on Financial Services</committee-name></action-desc></action><action display="yes"><action-date date="20260325">March 25, 2026</action-date><action-desc>Reported with an amendment, committed to the Committee of the Whole House on the State of the Union, and ordered to be printed</action-desc><action-instruction>Strike out all after the enacting clause and insert the part printed in italic</action-instruction><action-instruction>For text of introduced bill, see copy of bill as introduced on January 16, 2026</action-instruction><action-desc><pagebreak></pagebreak></action-desc></action><legis-type>A BILL</legis-type><official-title display="yes">To amend the Securities Act of 1933 to exempt off-exchange secondary trading from State regulation where such trading is with respect to securities of an issuer that makes publicly available certain current information, and for other purposes.<pagebreak></pagebreak></official-title></form><legis-body display-enacting-clause="yes-display-enacting-clause" changed="added" style="OLC" committee-id="HBA00" reported-display-style="italic" id="H516691E7737F4CF5AC0DA7BCABF34C80"><section id="H4473F58DD5F743418C5B73E26100E511" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Restoring the Secondary Trading Market Act</short-title></quote>.</text></section><section id="H333DFAAC33ED4216A788216D17178C91"><enum>2.</enum><header>Exemption from State regulation</header><text display-inline="no-display-inline">Section 18(a) of the Securities Act of 1933 (<external-xref legal-doc="usc" parsable-cite="usc/15/77r">15 U.S.C. 77r(a)</external-xref>) is amended—</text><paragraph id="H32FA490B410C4ACD80F2D7A6A9BC5A60"><enum>(1)</enum><text>in paragraph (2), by striking <quote>or</quote> at the end;</text></paragraph><paragraph id="H57702744F04D46D4B31A35DFB035F222"><enum>(2)</enum><text>in paragraph (3), by striking the period at the end and inserting <quote>; or</quote>; and</text></paragraph><paragraph id="H452A666CFA4741858E7410F8D7B5FD61"><enum>(3)</enum><text>by adding at the end the following:</text><quoted-block style="OLC" id="H570776B60FBD4CABA66744EFA47F1484" display-inline="no-display-inline" changed="added" reported-display-style="italic" committee-id="HBA00"><paragraph id="H2C7A2261C907439EA928E12DD482B70E"><enum>(4)</enum><text display-inline="yes-display-inline">shall directly or indirectly prohibit, limit, or impose any conditions upon the off-exchange secondary trading (as such term is defined by the Commission) in securities of an issuer that makes current information publicly available, including—</text><subparagraph id="H33EE17A84FB94A2685C3A6A916F7FE6F"><enum>(A)</enum><text display-inline="yes-display-inline">the information required in the periodic and current reports described under paragraph (b) of section 230.257 of title 17, Code of Federal Regulations; or</text></subparagraph><subparagraph id="HBE8114F13FCA41028BCE21116C559379"><enum>(B)</enum><text display-inline="yes-display-inline">the documents and information specified in paragraph (b) of section 15c2–11 of title 17, Code of Federal Regulations.</text></subparagraph></paragraph><after-quoted-block>.</after-quoted-block></quoted-block></paragraph></section></legis-body><endorsement display="yes"><action-date>March 25, 2026</action-date><action-desc>Reported with an amendment, committed to the Committee of the Whole House on the State of the Union, and ordered to be printed</action-desc></endorsement></bill>
