which was referred to the <committee-name committee-id="HBA00">Committee on Financial Services</committee-name></action-desc></action><legis-type>A BILL</legis-type><official-title display="yes">To require the Securities and Exchange Commission to create forms for non-variable registered annuities and life insurance products, and for other purposes.</official-title></form><legis-body id="H24FF58BEC9084BD19742332832B2B575" style="OLC"><section id="H483043B953B3401EB83992BE5D121935" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Consumer-Led Enhancement of Annuity and Insurance Registration Forms Act</short-title></quote> or the <quote><short-title>CLEAR Forms Act</short-title></quote>.</text></section><section id="H955377655F6144FFA124F7F429B73618"><enum>2.</enum><header>Registration forms for RILU, CDA, and other registered non-variable insurance contracts</header><subsection id="H41068913549540768C61294E6A2C4176"><enum>(a)</enum><header>In general</header><text display-inline="yes-display-inline">The Securities Act of 1933 (<external-xref legal-doc="usc" parsable-cite="usc/15/77a">15 U.S.C. 77a et seq.</external-xref>) is amended by adding at the end the following:</text><quoted-block style="OLC" id="H80E06881807F41959E914602D6620661" display-inline="no-display-inline"><section id="H8B949824225F4581AA1BD53848D9349B"><enum>6A.</enum><header>Registration forms for RILU, CDA, and other registered non-variable insurance contracts</header><subsection id="H1D22A12CDF17493BB22A77C1EDAE2CC1"><enum>(a)</enum><header>Definitions</header><text display-inline="yes-display-inline">In this section:</text><paragraph id="H96AC93EE17A74472AD22A53DE9400ECC"><enum>(1)</enum><header>Contingent deferred annuity</header><text>The term <quote>contingent deferred annuity</quote> means an annuity contract or rider—</text><subparagraph id="H889291DC3BAD4B6BAAD12ABE0308D4E4"><enum>(A)</enum><text>that is a security;</text></subparagraph><subparagraph id="H40681A82393843A086DBEF81CAE3D591"><enum>(B)</enum><text display-inline="yes-display-inline">that is registered, or that a person seeks to register, with the Commission under this Act;</text></subparagraph><subparagraph id="H7427B34805364FF1A5BB2E485155236A"><enum>(C)</enum><text display-inline="yes-display-inline">that is issued by an insurance company;</text></subparagraph><subparagraph id="H2EBE898BDC1A4791A26A0D179BC6746F"><enum>(D)</enum><text>that is not issued by an investment company; and</text></subparagraph><subparagraph id="H8E54600084C545EA97EA754DFCB9B701"><enum>(E)</enum><text>that establishes a life insurer’s obligation to make periodic payments for an annuitant’s lifetime at the time designated investments, which are not owned or held by the insurer, are depleted to a contractually defined amount due to—</text><clause id="HC205368A48F944AB83C221E84DAFC3E4"><enum>(i)</enum><text>contractually permitted withdrawals;</text></clause><clause id="H7E28D45D71EE4720A6A3EEB9D7271E5F"><enum>(ii)</enum><text>market performance;</text></clause><clause id="H57E7B3B0314C465792EE70DD11B07748"><enum>(iii)</enum><text>fees or other charges; or</text></clause><clause id="H96461FF1F7CA4753B45920E40AFFA89F"><enum>(iv)</enum><text>any other contractually permitted triggering event or transaction.</text></clause></subparagraph></paragraph><paragraph id="H59F3C0FD7D514999A4117365B8444C6C"><enum>(2)</enum><header>Covered insurance contract</header><text display-inline="yes-display-inline">The term <quote>covered insurance contract</quote> means any—</text><subparagraph id="H1B29E12BED9F4DBFB360B39F7F2AD667"><enum>(A)</enum><text>contingent deferred annuity;</text></subparagraph><subparagraph id="HE954243EAC4346FAB26C997043032FED"><enum>(B)</enum><text display-inline="yes-display-inline">registered index-linked life insurance; or</text></subparagraph><subparagraph id="H23386825311741E0A15E6184F004D280"><enum>(C)</enum><text display-inline="yes-display-inline">other registered non-variable insurance contract.</text></subparagraph></paragraph><paragraph id="H2047AD48A0C44738B637549CB9D8FAE3" commented="no"><enum>(3)</enum><header>Funding agreement</header><text display-inline="yes-display-inline">The term <quote>funding agreement</quote> means a contract in which an insurer agrees to accept and accumulate funds to make one or more payments at future dates in amounts that are not based on mortality or morbidity contingencies.</text></paragraph><paragraph id="H079ABF2F360A4BDE81941778CCF14814"><enum>(4)</enum><header>Investment company</header><text display-inline="yes-display-inline">The term <quote>investment company</quote> has the meaning given the term in section 3 of the Investment Company Act of 1940 (<external-xref legal-doc="usc" parsable-cite="usc/15/80a-3">15 U.S.C. 80a–3</external-xref>).</text></paragraph><paragraph id="H7E9CCE1F63ED461184895A3369555728"><enum>(5)</enum><header>Market value adjustment</header><text display-inline="yes-display-inline">The term <quote>market value adjustment</quote> means, with respect to a registered index-linked life insurance, after an early withdrawal or contract discontinuance—</text><subparagraph id="H380998C304604B0085B8A41F7B6E803F"><enum>(A)</enum><text display-inline="yes-display-inline">an adjustment to the value of that insurance contract based on calculations using a predetermined formula; or</text></subparagraph><subparagraph id="H301A1FA9CDAD42DC93C49550F52AA2AB"><enum>(B)</enum><text display-inline="yes-display-inline">a change in an interest rate (or another factor, as determined by the Commission) that apply to that insurance contract.</text></subparagraph></paragraph><paragraph id="H26999C1560474CBDA8FFDBCE1BF7C22F"><enum>(6)</enum><header>Other registered non-variable insurance contract</header><text>The term <quote>other registered non-variable insurance contract</quote> means an insurance contract, certificate, or rider—</text><subparagraph id="H25C67088623245CD860DDB3BABBE39FB"><enum>(A)</enum><text>that is a security;</text></subparagraph><subparagraph id="H4BE68A595D404A23A73B714B959077F3"><enum>(B)</enum><text>that does not constitute an equity interest in the issuer of the contract, certificate, or rider;</text></subparagraph><subparagraph id="HE7377E45873847559047D06C8EB44363"><enum>(C)</enum><text display-inline="yes-display-inline">that is an insurance product subject to regulation under the insurance laws of the domiciliary State or Territory of the issuer of the contract, certificate, or rider;</text></subparagraph><subparagraph id="HD666B6D179084432B5627187F4129BB2"><enum>(D)</enum><text display-inline="yes-display-inline">that is registered, or that a person seeks to register, with the Commission under this Act;</text></subparagraph><subparagraph id="H67FE064188014234AA5C1BE7E5CCF538"><enum>(E)</enum><text display-inline="yes-display-inline">that is issued by an insurance company;</text></subparagraph><subparagraph id="H6B730922BB98479FA19B0CEBBCD23B6F"><enum>(F)</enum><text>that is not issued by an investment company; and</text></subparagraph><subparagraph id="H722622727A8E4BC8BC6FCD97038C158A"><enum>(G)</enum><text display-inline="yes-display-inline">that is an annuity contract, life insurance contract, or funding agreement.</text></subparagraph></paragraph><paragraph id="H797B67A3306847FBAD03CDFBB6281A97"><enum>(7)</enum><header>Purchaser</header><text>The term <quote>purchaser</quote> means a purchaser of a covered insurance contract.</text></paragraph><paragraph id="H7E1E8ACF4B1A483C92D477DE3453272B"><enum>(8)</enum><header>Registered index-linked life insurance</header><text>The term <quote>registered index-linked life insurance</quote> means a life insurance policy or rider—</text><subparagraph id="H7DD58A9676F24320B739CF669822B2EB"><enum>(A)</enum><text>that is a security;</text></subparagraph><subparagraph id="HB3FAEC0552484A518FAD248172F771A4"><enum>(B)</enum><text>that is registered, or that a person seeks to register, with the Commission under this Act;</text></subparagraph><subparagraph id="HE76A73AA725D467F8BE06F6214C0FB0F" commented="no"><enum>(C)</enum><text>that is issued by an insurance company;</text></subparagraph><subparagraph id="H6AFC2B32072541C2A79A2BE4415988CC"><enum>(D)</enum><text>that is not issued by an investment company; and</text></subparagraph><subparagraph id="HF8F814A079B64DDA98C330A343E615FA"><enum>(E)</enum><text>the returns of which—</text><clause id="H658C6FDC8B5D4719A4929AABD149E9D5"><enum>(i)</enum><text>are based on the performance of a specified index or other specified benchmark; and</text></clause><clause id="H47E7687CF97D428189213433DA97B49D"><enum>(ii)</enum><text>may be subject to a market value adjustment if amounts are withdrawn or the contract is discontinued before the end of the period during which that market value adjustment applies.</text></clause></subparagraph></paragraph></subsection><subsection id="H5E5BD5934A1142B08535DE8CF62D7141"><enum>(b)</enum><header>Registration forms rulemaking</header><paragraph id="HA5276B1FE7034D44B5CBC2DBC3B50287"><enum>(1)</enum><header>In general</header><text display-inline="yes-display-inline">Not later than 12 months after the date of enactment of this section, the Commission shall propose, and, not later than 30 months after the date of enactment of this section, the Commission shall finalize, new or amended rules, as appropriate, to establish one or more forms on which an issuer of a covered insurance contract may register that contract, subject to conditions the Commission determines appropriate.</text></paragraph><paragraph id="H6F4F0522BC6E425C936324BCEE4B9D68"><enum>(2)</enum><header>Design of forms</header><text display-inline="yes-display-inline">In developing the forms required to be established under paragraph (1), the Commission shall—</text><subparagraph id="HF846B2A587A645CD9BE7FFB51F272F6A"><enum>(A)</enum><text>design the forms to ensure that a purchaser using the forms receives the information necessary to make knowledgeable decisions, taking into account—</text><clause id="H3290E780F8C142DABE3E4C74DF3349EC"><enum>(i)</enum><text>the availability of information;</text></clause><clause id="H7252365608374FC1A792213374FB5856"><enum>(ii)</enum><text>the knowledge and sophistication of that class of purchasers;</text></clause><clause id="H5095E3BD0B714CF09A346B47150BEEF2"><enum>(iii)</enum><text>the length of the disclosure required by the forms;</text></clause><clause id="H4980E97C16B140CB862D3F2E8818D87F"><enum>(iv)</enum><text>the complexity of registered index-linked life insurance and contingent deferred annuities; and</text></clause><clause id="HD1AF1ADAE9CF4FAB92DC52695FBFECA2"><enum>(v)</enum><text>any other factor the Commission determines appropriate;</text></clause></subparagraph><subparagraph id="HD8FAFA308ED6434384516AA8B339B746"><enum>(B)</enum><text display-inline="yes-display-inline">engage in investor testing for contingent deferred annuity; and</text></subparagraph><subparagraph id="H9522838FEEE44C4F95D32AD9EFD3A311"><enum>(C)</enum><text>incorporate the results of the testing required under subparagraph (B) in the design of the forms for contingent deferred annuities, with the goal of ensuring that key information is conveyed in terms that a purchaser is able to understand.</text></subparagraph></paragraph><paragraph id="HF8884089936A4515862B1B4FA1F21E63"><enum>(3)</enum><header>Limitations</header><text display-inline="yes-display-inline">In establishing the forms described in paragraph (1), the Commission shall—</text><subparagraph id="H797802771996493A848085B61BC6FE4C"><enum>(A)</enum><text display-inline="yes-display-inline">limit the disclosures requested by such forms with respect to an insurance company to the disclosures requested by the forms described in section 239.17b or 239.17c of title 17, Code of Federal Regulations, as appropriate, or any successor regulation; and</text></subparagraph><subparagraph id="H9B4583E2BA3844B5B31754490A479574"><enum>(B)</enum><text display-inline="yes-display-inline">specify that the financial statements requested by such forms with respect to an insurance company are those called for by the instructions for the financial statements in the forms described in sections 239.17b and 239.17c of title 17, Code of Federal Regulations, or any successor regulation.</text></subparagraph></paragraph><paragraph id="H06DF2D57B9694145B2943BF95E8688E6"> <enum>(4)</enum> <header>Rule 12<enum-in-header>h</enum-in-header>-7 exemption</header> <text display-inline="yes-display-inline">In issuing the rules required by paragraph (1), the Commission may not impede the availability of an exemption to issuers described in section 240.12h-7 of title 17, Code of Federal Regulations, with regard to covered insurance contracts, that meet the qualifications for such exemption.</text>
 </paragraph><paragraph id="H5E1953F35F99420F9D76E9EC9EE33367"><enum>(5)</enum><header>Other related rules</header><text display-inline="yes-display-inline">To the greatest extent possible, the Commission shall promulgate an overall regulatory and filing framework that is consistent with the forms described in sections 239.17b and 239.17c of title 17, Code of Federal Regulations, in order to enable issuing insurance companies to offer all of the insurance company’s registered insurance product offerings on a consistent basis, including the availability of—</text><subparagraph id="H7E32A3B6FAE648DE985A7AB8E53801F0"><enum>(A)</enum><text>section 230.498A of title 17, Code of Federal Regulations (permitting and prescribing the use of summary prospectuses for separate accounts offering variable annuity and variable life insurance contracts, and for the offering of registered non-variable annuity contracts);</text></subparagraph><subparagraph id="H30390A32052E4135844CA59C7A31E331"> <enum>(B)</enum> <text>section 270.24f-2 of title 17, Code of Federal Regulations (requiring issuers of certain investment company securities and registered non-variable annuity contracts to pay registration fees under the Securities Act of 1933 annually based on the net sales of such securities and contracts); and</text>
 </subparagraph><subparagraph id="H9D8AA2E111FC49DEB2D12EDA9C54B160"><enum>(C)</enum><text>sections 230.485 and 230.497 of title 17, Code of Federal Regulations (permitting automatic and immediate effectiveness for post-effective amendments and supplements filed by certain registered investment companies and issuers offering registered non-variable insurance contracts).</text></subparagraph></paragraph></subsection><subsection id="H0DC05CEA57CE48929A0F6AED5B664572"><enum>(c)</enum><header>Rules of construction</header><text display-inline="yes-display-inline">Nothing in this section may be construed to—</text><paragraph id="H027F867E46D34469A41FAD438C68B79E"><enum>(1)</enum><text>except as described in subsection (b)(3), limit the authority of the Commission to determine the information to be requested in the forms described in subsection (b); or</text></paragraph><paragraph id="H96B7AF72F3B54C999067CB44D7D8FEDD"><enum>(2)</enum><text>preempt any State or Territory law, regulation, rule, or order.</text></paragraph></subsection></section><after-quoted-block>.</after-quoted-block></quoted-block></subsection><subsection id="H296427D69A374C539776F2E5CC0D764B"><enum>(b)</enum><header>Treatment if rules not prepared and finalized in a timely manner</header><paragraph id="H68DDA70B902D481DA2F5571C732DB70B"><enum>(1)</enum><header>In general</header><text display-inline="yes-display-inline">At the end of the 30-month period beginning on the date of enactment of this Act, if the Commission has not finalized the rules required under section 6A(b)(1) of the Securities Act of 1933, any registered index-linked life insurance or contingent deferred annuity may be registered on the forms described in sections 239.17b and 239.17c of title 17, Code of Federal Regulations, or any successor regulation, as appropriate.</text></paragraph><paragraph id="H434BB4A4362542DABB735B11C390E32B"><enum>(2)</enum><header>Preparation</header><text>A registration described in paragraph (1) shall be prepared pursuant to applicable provisions of the forms described in that paragraph.</text></paragraph><paragraph id="H2E7629F3FD774F9D884A742A97FD50EB"><enum>(3)</enum><header>Definitions</header><text display-inline="yes-display-inline">In this section—</text><subparagraph id="HFD8517DF7DD44C728B9121A5E867462B"><enum>(A)</enum><text>the terms <quote>contingent deferred annuity</quote> and <quote>registered index-linked life insurance</quote> have the meaning given those terms, respectively, in section 6A(a) of the Securities Act of 1933; and</text></subparagraph><subparagraph id="HFA7186B5D72C4EDB842B4F11D78493CF"><enum>(B)</enum><text display-inline="yes-display-inline">the term <quote>Commission</quote> means the Securities and Exchange Commission.</text></subparagraph></paragraph><paragraph id="H29254F57F0284F72BA611443E799F366"><enum>(4)</enum><header>Termination</header><text display-inline="yes-display-inline">This subsection shall terminate on the date that the Commission finalizes the rules required under section 6A(b)(1) of the Securities Act of 1933.</text></paragraph></subsection></section></legis-body></bill>
