the committee concerned</action-desc></action><legis-type>A BILL</legis-type><official-title display="yes">To amend title 5, United States Code, to prohibit the President, the Vice President, Members of Congress, senior United States Government officials, and their spouses and dependents from owning or trading stocks, digital assets, and prediction market contracts, and for other purposes.</official-title></form><legis-body id="H80F07D6D6F284C78BC895064D405E6B7" style="OLC"><section id="HB311ED0F9FDC43C9A68232A20647131C" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Sell Your Stocks or Step Down Act</short-title></quote>.</text></section><section id="H76CD8299B4994E298D4A1FED1FF98B80"><enum>2.</enum><header>Restrictions on trade and ownership of covered investments</header><subsection id="HEED177FE68704D58BDE3867BE050666C"><enum>(a)</enum><header>Restrictions</header><text><external-xref legal-doc="usc-chapter" parsable-cite="usc-chapter/5/131">Chapter 131</external-xref> of title 5, United States Code, is amended by inserting at the end the following subchapter:</text><quoted-block id="HFBDBAFAAF82747A69C36DD86514CA1AE" style="USC"><subchapter id="HE73402595F334406AA3954543D9FDDD3"><enum>IV</enum><header>Restrictions on Trade and Ownership of Covered Investments</header><section id="HF6BAB4917B644BEF94CCA75AD606D2CD"><enum>13151.</enum><header>Definitions</header><text display-inline="no-display-inline">In this subchapter:</text><paragraph id="HC9C4649A897F4027AAEF04EB3C9593FA"><enum>(1)</enum><header>Commodity</header><text display-inline="yes-display-inline">The term <term>commodity</term> has the meaning given the term in section 1a of the Commodity Exchange Act (<external-xref legal-doc="usc" parsable-cite="usc/7/1a">7 U.S.C. 1a</external-xref>).</text></paragraph><paragraph id="HABA631DC4E69472D9F199B1731D4D7DE"><enum>(2)</enum><header>Covered executive branch official</header><text>The term <term>covered executive branch official</term> means any of the following:</text><subparagraph id="HB5E7C681CEFC43EC8F31FD836B642BB8"><enum>(A)</enum><text>The head of an executive agency, the United States Postal Service, or the Postal Regulatory Commission.</text></subparagraph><subparagraph id="H971FB41EACE14FD9951928D59101E176"><enum>(B)</enum><text>An officer or employee of the executive branch who occupies a position classified above GS–15 of the General Schedule, or, in the case of a position not under the General Schedule, for which the rate of basic pay is equal to or greater than 120 percent of the minimum rate of basic pay payable for GS–15 of the General Schedule.</text></subparagraph><subparagraph id="H9AC7B0BBE3254130939DE397F33932E2"><enum>(C)</enum><text>An employee in the Senior Executive Service, as defined in section 3132(a), or an employee in a comparable senior executive, senior professional, or senior-level personnel system established for positions in the intelligence community, the foreign service, or elsewhere in the executive branch.</text></subparagraph><subparagraph id="H0B3C375AEBEE462EBDE030D2A119C699"><enum>(D)</enum><text>A chief of staff to the head of an executive agency, or a chief of staff or deputy chief of staff to the President or Vice President.</text></subparagraph><subparagraph id="H0DBC70F9FDE84F3CA17978C9C872AE41"><enum>(E)</enum><text>A special Government employee as defined in section 202 of title 18.</text></subparagraph></paragraph><paragraph id="H1721A7C833974A1EB10F7AA2D4509A96"><enum>(3)</enum><header>Covered individual</header><text>The term <term>covered individual</term> means any of the following:</text><subparagraph id="H58A23C739BE94AC1A9FA864B0E499EA1"><enum>(A)</enum><text>The President and the Vice President of the United States.</text></subparagraph><subparagraph id="H9A94205C3491488897D62ED5324BED9E"><enum>(B)</enum><text>A Member of Congress as defined in section 13101.</text></subparagraph><subparagraph id="H0C17D09A40BF4FE2B0D8CB29DA112A81"><enum>(C)</enum><text display-inline="yes-display-inline">An officer or employee of the Congress as defined in section 13101.</text></subparagraph><subparagraph id="H234CE172743F4CE68F696C81AEB81B3D"><enum>(D)</enum><text>A covered executive branch official.</text></subparagraph><subparagraph id="H645BCDF1272B4BA3BF3930AADEC0C257"><enum>(E)</enum><text>A covered judicial official.</text></subparagraph><subparagraph id="HC5D1616C445C46F0A4264E7D144D2CC1"><enum>(F)</enum><text>A dependent child as defined in section 13101 or spouse of an individual described in subparagraph (A), (B), (C), or (D).</text></subparagraph></paragraph><paragraph id="H0A75AF15856143C49AD6F89744DB7255"><enum>(4)</enum><header>Covered investment</header><text>The term <term>covered investment</term>—</text><subparagraph id="H28AE0B25B8544C9CA1D05C734C95609A"><enum>(A)</enum><text>means an investment in a security, a commodity, a future, a digital asset, an event contract, or any comparable economic interest acquired through synthetic means, such as the use of a derivative, including an option, warrant, or other similar means; and</text></subparagraph><subparagraph id="H65168BC681454E6182427D0D0E83C67D"><enum>(B)</enum><text>does not include—</text><clause id="HAD7C9EBD80E8443BB68C29904ECC46B2"><enum>(i)</enum><text>a widely held investment fund described in section 13104(f)(8) that is diversified and publicly traded on a national or regional stock exchange;</text></clause><clause id="HE395F785FCEA4FADBB84CC7F95BA2E3B"><enum>(ii)</enum><text>a United States Treasury bill, note, or bond;</text></clause><clause id="HBF9029941FF948CBB1055828F3B0E48F"><enum>(iii)</enum><text>a State or municipal government bill, note, or bond;</text></clause><clause id="H53EDF21D41B841A98EAE3126CDB7C4F0"><enum>(iv)</enum><text>any compensation received by the spouse or dependent child of a covered individual from their employer;</text></clause><clause id="HBF5CB4D43A844FB5B9D74BF4E591A7BE"><enum>(v)</enum><text>an interest in a small business concern;</text></clause><clause id="HE56F19D8CE6D409D998ECADC96827088"><enum>(vi)</enum><text>an interest in a limited liability company created for the sole purpose of purchasing or holding real estate that serves as the personal residence of the covered individual;</text></clause><clause id="HAE37E4CAD47B41EF8AF5F4521EC50280"><enum>(vii)</enum><text>any share of Settlement Common Stock issued under section 7(g)(1)(A) of the Alaska Native Claims Settlement Act (<external-xref legal-doc="usc" parsable-cite="usc/43/1606">43 U.S.C. 1606(g)(1)(A)</external-xref>); or</text></clause><clause id="HD0BC9F30229B40009F2300C7C906F7FC"><enum>(viii)</enum><text>any share of Settlement Common Stock as defined in section 3 of the Alaska Native Claims Settlement Act (<external-xref legal-doc="usc" parsable-cite="usc/43/1602">43 U.S.C. 1602</external-xref>).</text></clause></subparagraph></paragraph><paragraph id="HA8C57C7E6CA548D9A046AF9B8F4BAEFA"><enum>(5)</enum><header>Covered judicial official</header><text>The term <term>covered judicial official</term> means—</text><subparagraph id="H3BF429BD2306411BA7C7A7F7FB723193"><enum>(A)</enum><text>a justice or judge of the United States as defined in section 451 of title 28;</text></subparagraph><subparagraph id="HAD67961FF91349EDA34E1755D362A37D"><enum>(B)</enum><text>a judge of the United States Court of Federal Claims;</text></subparagraph><subparagraph id="H6C360B0A9ABB4E9AA81A862AF9F4E6E1"><enum>(C)</enum><text>a bankruptcy judge appointed under section 152 of title 28; and</text></subparagraph><subparagraph id="H5E4A6CFDF3074B0D8F3FDBCDBF2A9BAF"><enum>(D)</enum><text>a magistrate judge appointed under section 631 of title 28.</text></subparagraph></paragraph><paragraph id="H636F886931F644C38D5FA9CCDEEFC309"><enum>(6)</enum><header>Digital asset</header><text>The term <term>digital asset</term> has the meaning given the term in <external-xref legal-doc="usc" parsable-cite="usc/26/6045">section 6045(g)(3)(D)</external-xref> of the Internal Revenue Code of 1986.</text></paragraph><paragraph id="HDCB5C9AB2FB646128440198889C84E25"><enum>(7)</enum><header>Diversified</header><text>The term <term>diversified</term>, with respect to an investment fund, means such fund does not have a stated policy of concentrating its investments in any industry, business, single country other than the United States, or bonds of a single State within the United States except for the State in which the covered individual resides.</text></paragraph><paragraph id="H5E9FE7A39492491988D31BAE97A7180F"><enum>(8)</enum><header>Event contract</header><text display-inline="yes-display-inline">The term <quote>event contract</quote> means an agreement, contract, transaction, or swap in an excluded commodity described in section 1a(19)(iv) of the Commodity Exchange Act that are based upon the occurrence, extent of an occurrence, or contingency (other than a change in the price, rate, value, or levels of a commodity described in section 1a(2)(i)), by a designated contract market or swap execution facility (as such terms are defined in the Commodity Exchange Act).</text></paragraph><paragraph id="HEF2B92CB689045E9BA1BCAE425AA3D04"><enum>(9)</enum><header>Future</header><text>The term <term>future</term> means a financial contract obligating the buyer to purchase an asset or the seller to sell an asset, such as a physical commodity or a financial investment, at a predetermined future date and price.</text></paragraph><paragraph id="HF7A071981FB94F47B257A1FE4C41CA35"><enum>(10)</enum><header>Security</header><text>The term <term>security</term> has the meaning given the term in section 3(a) of the Securities Exchange Act of 1934 (<external-xref legal-doc="usc" parsable-cite="usc/15/78c">15 U.S.C. 78c(a)</external-xref>).</text></paragraph><paragraph id="HB041D143EA704A49A895679C940F73DD"><enum>(11)</enum><header>Small business concern</header><text>The term <term>small business concern</term> has the meaning given that term under section 3 of the Small Business Act (<external-xref legal-doc="usc" parsable-cite="usc/15/632">15 U.S.C. 632</external-xref>).</text></paragraph><paragraph id="H1C89C0271763469297088234CC5C0C3C"><enum>(12)</enum><header>Supervising ethics office</header><text>The term <term>supervising ethics office</term> has the meaning given the term in section 13101.</text></paragraph></section><section id="H42ADD2E4830F4C42A203A50AEBDBAD53"><enum>13152.</enum><header>Trade and ownership of covered investments</header><subsection id="HA8BDA08F5B884123B654ED474A61F4D5"> <enum>(a)</enum> <header>Conduct during Federal service</header> <text>Except as provided in subsection (d), no covered individual may, directly or indirectly, own or trade a covered investment.</text>
 </subsection><subsection id="H8A500415D7EC45BCB1A8505F57AFB545"><enum>(b)</enum><header>Compliance</header><paragraph id="H3522C63FC1804D0A99C3E6E0461FDEED"><enum>(1)</enum><header>Requirement</header><text>To comply with subsection (a), a covered individual—</text><subparagraph id="HF6A1D706988049B7BF237544154A648B"><enum>(A)</enum><text>may not purchase a covered investment; and</text></subparagraph><subparagraph id="H19A0EB5C35FC42819BFAF9CF8E5DBFC4"><enum>(B)</enum><text>shall, not later than the effective date established in paragraph (2), divest of any covered investment at fair market value, subject to subsection (c).</text></subparagraph></paragraph><paragraph id="H70A9D306E263427CA3489035C3DB6673"><enum>(2)</enum><header>Effective date</header><text>The effective date is established as follows:</text><subparagraph id="H75D5E8C2E0F74501A4003D6DC743674C"><enum>(A)</enum><text display-inline="yes-display-inline">Thirty days after the date of enactment of the Sell Your Stocks or Step Down Act, for an individual who is a covered individual on such date of enactment.</text></subparagraph><subparagraph id="H0734CC145AD344D197760460E2CB6BCA"><enum>(B)</enum><text display-inline="yes-display-inline">Thirty days after the date on which an individual becomes a covered individual, if such date occurs after the date of enactment of the Sell Your Stocks or Step Down Act.</text></subparagraph></paragraph></subsection><subsection id="H90A7EB3B88FB40B4A42CBB0EC897BDA5"><enum>(c)</enum><header>Taxation of divestitures</header><text display-inline="yes-display-inline">Notwithstanding any other provision of law, <external-xref legal-doc="usc" parsable-cite="usc/26/1043">section 1043</external-xref> of the Internal Revenue Code of 1986 shall not apply to any disposition of property made pursuant to this subchapter.</text></subsection><subsection id="H0706B9E4AA42483AB6327EF1F1B67F80"><enum>(d)</enum><header>Occupational exception</header><text>A spouse or dependent child of a covered individual described in section 13151(3)(A), (B), (C), (D), or (E) may trade any covered investment if such covered investment is not owned by such covered individual and if such trade is performed as a function of the primary occupation of the spouse or dependent child.</text></subsection><subsection id="H398759E8029441DF880F39F5B5D6DEF2"><enum>(e)</enum><header>Assets acquired in special circumstances</header><text display-inline="yes-display-inline">In the event that a covered individual acquires a covered investment after the date of enactment of the Sell Your Stocks or Step Down Act other than by purchase, the covered individual shall have 30 days from the date on which such investment was acquired to divest such covered investment at fair market value, subject to subsection (c).</text></subsection><subsection id="H8EC40DD1CB974980B9BB6FFBAB361356"><enum>(f)</enum><header>Interpretative guidance</header><text>The supervising ethics office shall issue interpretive guidance on any relevant term not defined in this subchapter.</text></subsection></section><section id="H0B9034E65A354BEDB67A428A6ACFA1E6"><enum>13153.</enum><header>Penalties</header><subsection id="H62BA66F7789047C89990E5795A67B03B"><enum>(a)</enum><header>Failure To divest</header><paragraph id="H26FF27525ECC44089A47E90E45D1FFA2"><enum>(1)</enum><header>Daily penalty</header><text>Any covered individual who fails to divest of a covered investment by the applicable deadline under section 13152 shall pay, for each day of noncompliance, beginning the day after such deadline and ending on the date the covered individual comes into compliance, a fee equal to 10 percent of the fair market value, as of such day, of the portfolio of covered investments owned by such covered individual that remain in violation of section 13152(a).</text></paragraph><paragraph id="H4FF0970EC8244423B46D193DF33C2246"><enum>(2)</enum><header>Accrual and limit</header><text>The fee under paragraph (1) shall accrue for each day of continued noncompliance, except that the total of such fee may not exceed 50 percent of such fair market value.</text></paragraph></subsection><subsection id="H80035C94A44B4C4BBC33DAF7B26A992C"><enum>(b)</enum><header>Trading violations</header><text>Any covered individual who purchases or trades a covered investment in violation of section 13152(a) shall, at the direction of the supervising ethics office—</text><paragraph id="HA66C784C4E37478BA4EF4ECEBD4DC7A7"><enum>(1)</enum><text>pay a fee equal to—</text><subparagraph id="HF367505B30DD4855A147E270AA7FE240"><enum>(A)</enum><text>the value of the covered investment involved in such purchase or trade, plus</text></subparagraph><subparagraph id="H13D8C8627EF94163A638B331F99E0EA7"><enum>(B)</enum><text>$10,000; and</text></subparagraph></paragraph><paragraph id="HA7C81EA8838A43BDA609116B9A420F7D"><enum>(2)</enum><text display-inline="yes-display-inline">disgorge to the supervising ethics office the profits of any transaction that violates the provisions of this subchapter.</text></paragraph></subsection><subsection id="HBD185802837442E384DFB83C1C455D18"><enum>(c)</enum><header>Use of funds</header><text>A penalty or disgorgement imposed under this section shall be deposited into the general fund of the Treasury for the sole purpose of deficit reduction.</text></subsection><subsection id="H0B165D1D9D2E4780A9E0E96082F4AD61"><enum>(d)</enum><header>Payment restrictions</header><paragraph id="H6E7390C203354AFE9EEADA1E7A8A0E08"><enum>(1)</enum><header>In general</header><text>A covered individual may not pay any penalty under this section using appropriated funds or any other official resources of the United States.</text></paragraph><paragraph id="HB02B02BDE482490680FA5EEDE668FF3C"><enum>(2)</enum><header>Members of Congress</header><text>A Member of Congress as defined in section 13101 may not pay any of the penalties under this section by using amounts from the following sources:</text><subparagraph id="H267473881017436195D8B32F813D898C"><enum>(A)</enum><text display-inline="yes-display-inline">With respect to a Representative in Congress, a Delegate to Congress, or the Resident Commissioner from Puerto Rico, the Members’ Representational Allowance.</text></subparagraph><subparagraph id="H6ACCBD89E24D43C69B6844536C8BDDE7"><enum>(B)</enum><text>With respect to a United States Senator, the Member’s Official Personnel and Office Expense Account.</text></subparagraph><subparagraph id="HFAC78DF65D474F8DAE3E7A567D611DA2"><enum>(C)</enum><text>Any contribution as defined in section 301(8) of the Federal Election Campaign Act of 1971 (<external-xref legal-doc="usc" parsable-cite="usc/52/30101">52 U.S.C. 30101(8)</external-xref>) accepted as a candidate, and any other donation received as support for activities of the individual as a holder of Federal office.</text></subparagraph></paragraph></subsection><subsection id="HB628709F27314FE99847276403A93A92"><enum>(e)</enum><header>Enforcement authority</header><paragraph id="H0D6D01CA9EEC44AA80440C09B620D5FF"><enum>(1)</enum><header>In general</header><text>A supervising ethics office is authorized to determine, assess, and collect any fee imposed under subsection (b) against a covered individual subject to its jurisdiction, and such determination shall constitute final agency action.</text></paragraph><paragraph id="HBC5E7C74426F40A2991594874053DF12"><enum>(2)</enum><header>Investigative authority</header><text>In carrying out this section, a supervising ethics office may—</text><subparagraph id="H647EB8E51753425DA6B4A1757D16D889"><enum>(A)</enum><text>require a covered individual to submit records sufficient to verify compliance with section 13152, including brokerage statements, trust instruments and accountings, and transaction confirmations;</text></subparagraph><subparagraph id="HA6405CB81C904D6FAC50CBDB205FDCAF"><enum>(B)</enum><text>issue administrative subpoenas to financial institutions, brokers, dealers, and trustees for records relevant to a determination under this section; and</text></subparagraph><subparagraph id="H973D0F1453794FFC8BE37E6E0F410DFC"><enum>(C)</enum><text>refer a suspected violation of this subchapter to the appropriate Inspector General or to the Attorney General for further investigation.</text></subparagraph></paragraph><paragraph id="H9217C67DC7EA42DF90FB8E0538AC57DC"><enum>(3)</enum><header>Collection</header><subparagraph id="H5EE09F76C8C544D7A59DBFEA9CA02B95"><enum>(A)</enum><header>Administrative offset</header><text>A supervising ethics office may collect a fee assessed under subsection (b) by administrative offset, in accordance with section 3716 of title 31, against any salary, pension, or other amount payable by the United States to the covered individual.</text></subparagraph><subparagraph id="HC99AE46CF86342A19283611755B84013"><enum>(B)</enum><header>Referral for civil action</header><text>If a covered individual fails to pay a fee assessed under such subsection not later than 60 days after the date of assessment, the supervising ethics office shall refer the matter to the Attorney General, who may bring a civil action in an appropriate district court of the United States to recover the unpaid amount, together with interest and the costs of the action.</text></subparagraph></paragraph></subsection><subsection id="H84E7C3ACD82945F9A679A7803F76EE39"><enum>(f)</enum><header>Publication</header><text>Each supervising ethics office shall publish on a publicly available website a description of—</text><paragraph id="H0514A4B81B61451AB606F0F227C69461"><enum>(1)</enum><text>each fine assessed by the supervising ethics office pursuant to this section;</text></paragraph><paragraph id="H49F000F343A94920A9A8E0FED7D5A971"><enum>(2)</enum><text>the reason why each such fine was assessed; and</text></paragraph><paragraph id="HCD4FE88BB9E449B7B9F449D2764CF600"><enum>(3)</enum><text>the result of each assessment.</text></paragraph></subsection></section></subchapter><after-quoted-block>.</after-quoted-block></quoted-block></subsection><subsection id="H4886587B5F4A40E4BB07046D8D32E1D0"><enum>(b)</enum><header>Clerical amendment</header><text display-inline="yes-display-inline">The table of contents for <external-xref legal-doc="usc-chapter" parsable-cite="usc-chapter/5/131">chapter 131</external-xref> of title 5, United States Code, is amended by adding at the end the following:</text><quoted-block style="USC" id="HAFBE0D806A454A628EC4598CA179E40E" display-inline="no-display-inline"><toc regeneration="no-regeneration"><toc-entry idref="HE73402595F334406AA3954543D9FDDD3" level="subchapter">Subchapter IV—Restrictions on Trade and Ownership of Covered Investments</toc-entry><toc-entry idref="HF6BAB4917B644BEF94CCA75AD606D2CD" level="section">13151.
