<official-title>To amend title 31, United States Code, to provide for access to certain beneficial ownership information.</official-title>

<section id="S1" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Ownership Clarity Act</short-title></quote>.</text></section> <section commented="no" display-inline="no-display-inline" id="id8bb8446b509f40d78f73bcc31e7f91c9"><enum>2.</enum><header>Access to beneficial ownership information</header><text display-inline="no-display-inline">Section 5336 of title 31, United States Code, is amended—</text>
<paragraph commented="no" display-inline="no-display-inline" id="idf4ae2f6313594194b160d47ba8408fa9"><enum>(1)</enum><text>by redesignating subsection (j) as subsection (k); and</text></paragraph> <paragraph commented="no" display-inline="no-display-inline" id="idead4a3ed390a40339e819d4f3fd5a007"><enum>(2)</enum><text>by inserting after subsection (i) the following:</text>

<subsection commented="no" display-inline="no-display-inline" id="id6dbe37bad8b447c9ad63f7ea1ac42090"><enum>(j)</enum><header>Access to beneficial ownership information</header>
<paragraph commented="no" display-inline="no-display-inline" id="id95b1dac167e24b019d54de6a6339e138"><enum>(1)</enum><header>Definitions</header><text>In this subsection:</text> <subparagraph commented="no" display-inline="no-display-inline" id="idf73da6faced84e9d8c5124c9f358ca13"><enum>(A)</enum><header>Access license</header><text>The term <term>access license</term> means a license to access beneficial ownership information in accordance with this subsection.</text></subparagraph>
<subparagraph commented="no" display-inline="no-display-inline" id="idbd4371263c0e4fa0bb051f1376ed5643"><enum>(B)</enum><header>Covered entity</header><text>The term <term>covered entity</term> means a financial institution that provides, or an entity that assists a financial institution in providing, screening services.</text></subparagraph> <subparagraph commented="no" display-inline="no-display-inline" id="id658950b8cfaf474aab7b5a787893bbea"><enum>(C)</enum><header>Permitted personnel</header><text>The term <term>permitted personnel</term> means personnel of a covered entity who are permitted to access beneficial ownership information in accordance with this subsection.</text></subparagraph>
<subparagraph id="idabae745f19704cc6b4ec552a8a4b59b7"><enum>(D)</enum><header>Permitted purpose</header><text>The term <term>permitted purpose</term> means the use of beneficial ownership information for screening services.</text></subparagraph> <subparagraph commented="no" display-inline="no-display-inline" id="id80d61315f74c4d209a591067143f25b7"><enum>(E)</enum><header display-inline="yes-display-inline">Screening services</header><text>The term <term>screening services</term> means the risk management procedures and activities undertaken by permitted personnel for the protection of the United States national security from international illicit actors and corrupt foreign officials who seek to exploit the financial systems of the United States by engaging in illicit activity such as serious tax fraud, human and drug trafficking, money laundering, financing terrorism.</text></subparagraph></paragraph>
<paragraph commented="no" display-inline="no-display-inline" id="idc72a16c02ad74c2788a947dc94381ace"><enum>(2)</enum><header>Access licenses</header>
<subparagraph commented="no" display-inline="no-display-inline" id="idf887024f1aea4f4ba55c1d51395c6c52"><enum>(A)</enum><header display-inline="yes-display-inline">In general</header><text display-inline="yes-display-inline">Notwithstanding any other provision of this section, the Director shall establish a process by which covered entities may apply to the Director for an access license.</text></subparagraph> <subparagraph commented="no" display-inline="no-display-inline" id="id97be0ea7084444399457c7a345714634"><enum>(B)</enum><header>Determination</header><text display-inline="yes-display-inline">The Director may not issue an access license to a covered entity unless the Director determines that—</text>
<clause id="id5b96ac3ad0ea4a4f80d2a0cab34a97e5"><enum>(i)</enum><text>access to beneficial ownership information under this subsection is predicated upon a reasonable concern for United States national security and United States economic stability, by identifying international illicit actors and corrupt foreign officials and preventing international illicit activity such as— </text> <subclause commented="no" display-inline="no-display-inline" id="id27d0d4cc7fda4c18bc3638af6f37e83d"><enum>(I)</enum><text display-inline="yes-display-inline">international terrorist financing;</text></subclause>
<subclause commented="no" display-inline="no-display-inline" id="ide0bb761ec5cb45eb8074c75ff0ee4362"><enum>(II)</enum><text>any activity engaged in by an agent of the Government of Iran, North Korea, Syria, or any other government the Secretary of State has determined has repeatedly provided support for acts of international terrorism for purposes of—</text> <item id="idbcc14451af8840ff907b676392baad80"><enum>(aa)</enum><text>section 1754(c)(1)(A)(i) of the Export Control Reform Act of 2018 (<external-xref legal-doc="usc" parsable-cite="usc/50/4813">50 U.S.C. 4813(c)(1)(A)(i)</external-xref>);</text></item>
<item id="id0b0555f275454dd691e5cbb7ba00030a"><enum>(bb)</enum><text>section 620A of the Foreign Assistance Act of 1961 (<external-xref legal-doc="usc" parsable-cite="usc/22/2371">22 U.S.C. 2371</external-xref>);</text></item> <item id="idbe29b1870ddb407db16f0160fd402f67"><enum>(cc)</enum><text>section 40(d) of the Arms Export Control Act (<external-xref legal-doc="usc" parsable-cite="usc/22/2780">22 U.S.C. 2780(d)</external-xref>); or</text></item>
<item id="id2e57bbc42941424492a8c09c3b3b088f"><enum>(dd)</enum><text>any other provision of law;</text></item></subclause> <subclause commented="no" display-inline="no-display-inline" id="idcae74fef38d54a9fbe1558dabb6235f5"><enum>(III)</enum><text>any activity engaged in by any individual or entity included on the list of specially designated nationals and blocked persons maintained by the Office of Foreign Assets Control of the Department of the Treasury; or </text></subclause>
<subclause commented="no" display-inline="no-display-inline" id="id407f10ddc2c245f6bfb9c37a50a66f6a"><enum>(IV)</enum><text>any other illicit financial conduct directly or indirectly supporting a transnational criminal organization, transnational drug trafficking organization, or transnational money laundering organization;</text></subclause></clause> <clause commented="no" display-inline="no-display-inline" id="id317eb00622c24b8a98d620fbea75ff93"><enum>(ii)</enum><text>the covered entity limits access to and use of the beneficial ownership information to permitted personnel of the covered entity in connection with, or to support, screening services; and</text></clause>
<clause id="id97be0ea7084444399457c7a345714655"><enum>(iii)</enum><text>the use, disclosure, and retention of the beneficial ownership information is strictly limited to a permitted purpose.</text></clause></subparagraph> <subparagraph commented="no" display-inline="no-display-inline" id="idb326c7a3b19644a49ac847e8a7807b26"><enum>(C)</enum><header>Duration</header> <clause commented="no" display-inline="no-display-inline" id="ida830a2ed42744efabeaaa34be4e630c6"><enum>(i)</enum><header>In general</header><text display-inline="yes-display-inline">An access license issued under this subsection shall expire on the date that is 2 years after the date on which the license is issued.</text></clause>
<clause commented="no" display-inline="no-display-inline" id="ida1f750b08bc2464db6ea87f8301c61bb"><enum>(ii)</enum><header>Renewal</header><text display-inline="yes-display-inline">An expired access license may be renewed for 2-year periods in accordance with the process established under this paragraph.</text></clause></subparagraph></paragraph> <paragraph commented="no" display-inline="no-display-inline" id="id1612577842044335be6271773882fdfd"><enum>(3)</enum><header>Regulations</header><text>The Director shall promulgate regulations governing the use, disclosure, and retention of the beneficial ownership information accessed pursuant to an access license issued under this subsection.</text></paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block></paragraph></section>
