which was read twice and referred to the <committee-name committee-id="SSJU00">Committee on the Judiciary</committee-name></action-desc></action><legis-type>A BILL</legis-type><official-title>To amend title 11, United States Code, to make the filing of a petition for relief under chapter 11 that is objectively futile or in subjective bad faith a cause for dismissal of the case, and for other purposes.</official-title></form><legis-body display-enacting-clause="yes-display-enacting-clause"><section section-type="section-one" id="S1"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Ending Corporate Bankruptcy Abuse Act of 2024</short-title></quote>.</text></section><section id="id13B6166178EA475691D79B1321D2730C"><enum>2.</enum><header>Conversion or dismissal under chapter 11</header><text display-inline="no-display-inline">Section 1112(b) of title 11, United States Code, is amended—</text><paragraph id="idFB07A9F16E3045ACBD8D980A3456F8C8"><enum>(1)</enum><text>in paragraph (2)(A), by striking <quote>within a reasonable period of time</quote> and inserting <quote>not later than 24 months after the date of the filing of the petition</quote>;</text></paragraph><paragraph id="idC671204E961045CDAD7E5FF756DB7573"><enum>(2)</enum><text>in paragraph (4)—</text><subparagraph id="idDB0554F0070F494FBA84BD8F36EF6594"><enum>(A)</enum><text>subparagraph (O), by striking <quote>and</quote> at the end;</text></subparagraph><subparagraph id="id4BDDBD4150BF4EEB945130CF4728E30D"><enum>(B)</enum><text>in subparagraph (P), by striking the period at the end and inserting <quote>; and</quote>; and</text></subparagraph><subparagraph id="idDC08D6A279C84890B61934672D6D04B8"><enum>(C)</enum><text>by adding at the end the following:</text><quoted-block style="USC" display-inline="no-display-inline" id="id7744772D0F124221BDE812876C659A24"><subparagraph id="id9C0671F51CC149E09BE4F00DB64984A8" indent="up1"><enum>(Q)</enum><text>with respect to the dismissal of a case under this chapter, the filing of a petition for relief or the continuation of a case under this title that is—</text><clause id="id575CE7827A714047BBD94F7AC45497E9"><enum>(i)</enum><text>objectively futile; or</text></clause><clause id="idA7C0A2F0F53C4BA0BE19D5EA23F59A61"><enum>(ii)</enum><text>in subjective bad faith.</text></clause></subparagraph><after-quoted-block>; and</after-quoted-block></quoted-block></subparagraph></paragraph><paragraph id="id8DD0FC36E6194B5E971AA922FA1DC3AB"><enum>(3)</enum><text>by adding at the end the following:</text><quoted-block style="USC" display-inline="no-display-inline" id="idADDF791892A44370A42B78E3D03A464C"><subsection id="id6A382CBE9BE54C43A37294563B7D8247"><enum>(g)</enum><paragraph commented="no" display-inline="yes-display-inline" id="id270009849B394BF4A604113B7763C588"><enum>(1)</enum><text>For the purpose of subsection (b)(4)(Q), the court shall presume that a petition has been filed or that a case is continuing under this title in subjective bad faith if the court determines that the debtor manufactured the venue for the case.</text></paragraph><paragraph indent="up1" id="id108D07E4A5954D84973A77531F036D4C"><enum>(2)</enum><text>The presumption under paragraph (1) may be rebutted only based on clear and convincing evidence.</text></paragraph></subsection><subsection id="id0848ab36b9c84c4aa87abfe3d23a152a"><enum>(h)</enum><paragraph commented="no" display-inline="yes-display-inline" id="id5de88a5b6f504b03b197c4180b7a0511"><enum>(1)</enum><text display-inline="yes-display-inline">For the purpose of subsection (b)(4)(Q), the court shall conclusively presume that a petition has been filed or that a case under this title that is continuing in subjective bad faith if the court determines that—</text><subparagraph id="id2d631e2af57b416cb8cb07f516af18a6" indent="up1"><enum>(A)</enum><text>a purpose or effect of the filing or continuation is to—</text><clause id="idC10F3BB73B7E4FDBAAED207BA8F583FD"><enum>(i)</enum><text>gain a tactical litigation advantage;</text></clause><clause id="id8BBF0C333DB04953963F5D7C96B09E5E"><enum>(ii)</enum><text>impose undue delay upon creditors; or</text></clause><clause id="id97FBDAAA08734171A0D51784D6475AC4"><enum>(iii)</enum><text>cap the total amount of the liability of the debtor to 2 or more creditors holding protected claims (as defined in section 362(p)(1)) that the debtor or any affiliate has property of value sufficient to pay in full as those claims would come due;</text></clause></subparagraph><subparagraph id="idf7ef704dfb1441e4b1064f019f4f655b" indent="up1"><enum>(B)</enum><text>during the 4-year period preceding the date of the filing of the petition, the debtor was the subject of, or was formed or organized in connection with, a divisional merger or similar transaction changing the corporate structure of and affecting the financial condition of the debtor or an affiliate;</text></subparagraph><subparagraph id="idd9c82d32a53c475e89e005e3621ca1ab" indent="up1"><enum>(C)</enum><text>during the 4-year period preceding the date of the filing of the petition, the debtor engaged in a transfer of substantial assets to or for benefit of or incurred substantial obligations from or for the benefit of any insider or affiliate that, notwithstanding subsections (e) through (g) and (j) of section 546, is avoidable under section 544(b) or subsection (a)(1) or (e) of section 548; or </text></subparagraph><subparagraph id="id0B0FBE8340F84307A7EBBC59FD8BB428" indent="up1"><enum>(D)</enum><text>the debtor does not have a valid reorganizational purpose.</text></subparagraph></paragraph><paragraph commented="no" display-inline="no-display-inline" indent="up1" id="ide1b503ddc32a4ea6a6dc571f1d1ddac1"><enum>(2)</enum><text>In making a determination under paragraph (1)(D), the court shall consider and give weight to whether any appointed creditors’ committee supports the dismissal of the case.</text></paragraph></subsection><subsection commented="no" display-inline="no-display-inline" id="idaf551609ccba42cab81915e2d8872670"><enum>(i)</enum><text>In a determination under subsection (g) or (h), the debtor shall have the burden of proof.</text></subsection><after-quoted-block>.</after-quoted-block></quoted-block></paragraph></section><section id="id63B5DDE3999F49B3AF7789E480380C0F"><enum>3.</enum><header>Limitations on certain stays and injunctions</header><text display-inline="no-display-inline">Section 105 of title 11, United States Code, is amended by adding at the end the following:</text><quoted-block style="USC" display-inline="no-display-inline" id="id9B07D59A71514D56A72B005CD1D2D4F7"><subsection commented="no" display-inline="no-display-inline" id="idafe67d6329ea4543b29bad15fec191f5"><enum>(e)</enum><text display-inline="yes-display-inline">Notwithstanding subsection (a) of this section, any provision of title 28, the Federal Rules of Bankruptcy Procedure, or any applicable nonbankruptcy law, the court may not issue any order, process, or judgment that has the purpose or effect of overriding or nullifying section 362(b)(27) of this title.</text></subsection><after-quoted-block>.</after-quoted-block></quoted-block></section><section id="idf57e1ef8afa64bb488fd1b094b28332d"><enum>4.</enum><header>Automatic stay</header><text display-inline="no-display-inline">Section 362 of title 11, United States Code, is amended—</text><paragraph id="ida3875767301142d581dad4ae2b890ff7"><enum>(1)</enum><text>in subsection (b)—</text><subparagraph commented="no" display-inline="no-display-inline" id="id3ed62e5ee85044b982ae69be385bf8ea"><enum>(A)</enum><text display-inline="yes-display-inline">by redesignating paragraphs (27), (28), and (29) as paragraphs (28), (29), and (30), respectively; and</text></subparagraph><subparagraph id="idea54df65eed54981a7bcc907c4167d73"><enum>(B)</enum><text>by inserting after paragraph (26) the following:</text><quoted-block style="USC" display-inline="no-display-inline" id="idAE442F162F84453E8AB36A823C0836B2"><paragraph id="idaa3bff70d5e944d884e911d3ea6731bf"><enum>(27)</enum><text>under subsection (a) of this section, of the commencement or continuation, including the issuance or employment of process, of a judicial, administrative, or other action or proceeding against an entity that is not a debtor in a case under this title, or any act to obtain or recover property of such entity, on account of or with respect to a protected claim against such entity, the debtor, or the estate (including a protected claim that is property of the debtor or the estate against such entity), if, during the 4-year period preceding the date of the filing of the petition, the debtor was the subject of, or was formed or organized in connection with, a divisional merger, spinoff, corporate restructuring, or other transaction changing the corporate structure of, and affecting the financial condition of, the debtor or an affiliate;</text></paragraph><after-quoted-block>; and</after-quoted-block></quoted-block></subparagraph></paragraph><paragraph commented="no" display-inline="no-display-inline" id="id64a393850b1d4e35a43b8abe44641b0c"><enum>(2)</enum><text display-inline="yes-display-inline">by adding at the end the following:</text><quoted-block style="USC" display-inline="no-display-inline" id="id86DDA7E805DF4F078D2352C86DBD88FB"><subsection commented="no" display-inline="no-display-inline" id="id48d1a87e767640c887c2e628d05eed37"><enum>(p)</enum><text>For the purposes of paragraph (27):</text><paragraph commented="no" display-inline="no-display-inline" id="idc777c29c57dc45d1a231d574647d4fe1"><enum>(1)</enum><text>The term <term>protected claim</term> means—</text><subparagraph id="id60d76d701293420ab98e8ab3c75e8d49"><enum>(A)</enum><text>a claim that—</text><clause id="id020d9ab4c21f4b1fa3f3c1fea3aabea5"><enum>(i)</enum><text>is against a nondebtor entity or against property of a nondebtor entity that is alleged to be directly or indirectly liable for a claim described in subparagraph (B) against the debtor; and</text></clause><clause id="id4c08c42155704f5d8a088300ad2af6cf"><enum>(ii)</enum><text>arises by reason of—</text><subclause id="idfbd9f72bab614964b553284c2d8f5680"><enum>(I)</enum><text>the nondebtor entity’s ownership of a financial interest in the debtor, a past or present affiliate of the debtor, or a predecessor in interest of the debtor;</text></subclause><subclause id="id2cd44141c7b0418c9f6b524365e0dc38"><enum>(II)</enum><text>the nondebtor entity’s involvement in the management of the debtor or a predecessor in interest of the debtor or the nondebtor entity’s service as an officer, director, or employee of the debtor or a related party;</text></subclause><subclause id="id3129cfe56a3d438ab10549034c0b90a8"><enum>(III)</enum><text>the nondebtor entity’s provision of insurance to the debtor or a related party; or</text></subclause><subclause id="id7ca69922acdd45d18fe36115ce196ce8"><enum>(IV)</enum><text>the nondebtor entity’s involvement in a transaction changing the corporate structure, or in a loan or other financial transaction affecting the financial condition, of the debtor or a related party, including—</text><item id="ida7a7edad500e4820a79dcc11102f0b9a"><enum>(aa)</enum><text>involvement in providing financing (debt or equity) or advice to an entity involved in such a transaction; or</text></item><item id="id02796b11bbb24fe8bed84729dd497b0a"><enum>(bb)</enum><text>acquiring or selling a financial interest in an entity as part of such a transaction; or</text></item></subclause></clause></subparagraph><subparagraph id="ida26e574c4e7b4a91bbb44babe3e7a3bc"><enum>(B)</enum><text>a claim—</text><clause id="idc3684346d9924243bc71747393c3af3a"><enum>(i)</enum><text>against the debtor or a nondebtor entity or property of the debtor or a nondebtor entity;</text></clause><clause id="id8ab448987f87401697a402752d80aede"><enum>(ii)</enum><text>relating to injury, contamination, damage, or loss, including any claim for reimbursement, indemnity, contribution, or subrogation;</text></clause><clause id="id1b27421242574109a0b8e4434e579451"><enum>(iii)</enum><text>affecting, directly or indirectly, not less than 100 individuals on or after the date of the filing of the petition;</text></clause><clause id="id07d883a24d514a468e402a98e868bd08"><enum>(iv)</enum><text>allegedly caused, directly or indirectly, by the presence of, or exposure to, a product, material, or substance designed, marketed, manufactured, sold, modified, extracted, serviced, or in any way used by the debtor or the nondebtor entity; and</text></clause><clause id="id7551ad9b1a08424d9ff32fc0b653594d"><enum>(v)</enum><text>arising, directly or indirectly, from acts or omissions, of the debtor, a predecessor in interest of the debtor, or a past or present affiliate of the debtor.</text></clause></subparagraph></paragraph><paragraph id="id65cc3088e4e5469188ff4052f276c160"><enum>(2)</enum><text>The term <term>related party</term> has the meaning given the term in section 524(g)(4)(A)(iii).</text></paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block></paragraph></section><section id="id2D08C44ADBCC4F4580CDF5FA99EBD542"><enum>5.</enum><header>Technical amendments</header><subsection commented="no" display-inline="no-display-inline" id="id786b17a1d7a04d97a58f10efb8c8212e"><enum>(a)</enum><header display-inline="yes-display-inline">Setoff</header><text display-inline="yes-display-inline">Section 553 of title 11, United States Code, is amended—</text><paragraph commented="no" display-inline="no-display-inline" id="id43657d4b8e3149ec8cca69e3656ce152"><enum>(1)</enum><text display-inline="yes-display-inline">in subsection (a)—</text><subparagraph commented="no" display-inline="no-display-inline" id="ida3994609087b49cebe2891527710a06d"><enum>(A)</enum><text display-inline="yes-display-inline">in paragraph (2)(B)(ii), by striking <quote>362(b)(27)</quote> and inserting <quote>362(b)(28)</quote>; and</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id64e8b56980124a4b89bff88359d053a0"><enum>(B)</enum><text>in paragraph (3)(C), <quote>362(b)(27)</quote> and inserting <quote>362(b)(28)</quote>; and</text></subparagraph></paragraph><paragraph commented="no" display-inline="no-display-inline" id="id50386776bcfe496486b943af898f6356"><enum>(2)</enum><text>in subsection (b)(1), <quote>362(b)(27)</quote> and inserting <quote>362(b)(28)</quote>. </text></paragraph></subsection><subsection commented="no" display-inline="no-display-inline" id="id64900AFEFCA54DAF9CB93011EF8C0AEB"><enum>(b)</enum><header>Relief that may be granted upon filing petition for recognition</header><text>Section 1519(f) of title 11, United States Code, is amended by striking <quote>(27)</quote> and inserting <quote>(28)</quote>. </text></subsection><subsection id="idd1407de9cb7240188bc68c37fa20b938"><enum>(c)</enum><header>Relief that may be granted upon recognition</header><text>Section 1521(f) of title 11, United States Code, is amended by striking <quote>(27)</quote> and inserting <quote>(28)</quote>. </text></subsection></section><section commented="no" display-inline="no-display-inline" section-type="subsequent-section" id="id3c06fb08bd534537abf963c859d4957d"><enum>6.</enum><header display-inline="yes-display-inline">Application and rule of construction</header><text display-inline="no-display-inline">This Act and the amendments made by this Act shall—</text><paragraph id="id435CFD373CFE4C7A843AA7C94AF9C307"><enum>(1)</enum><text>apply with respect to any case under title 11, United States Code, filed or pending on or after the date of enactment of this Act; and</text></paragraph><paragraph id="id38C05B750FA943539A4B6159A98F7877"><enum>(2)</enum><text>not be construed to affect the validity of any final judgment or order confirming a plan under <external-xref legal-doc="usc-chapter" parsable-cite="usc-chapter/11/11">chapter 11</external-xref> of title 11, United States Code, that was entered before the date of enactment of this Act. </text></paragraph></section></legis-body></bill>
