<term>appropriate congressional committees</term> means— </text><subparagraph id="idc245e01cc5e14f4fa826f1313408d4fc"><enum>(A)</enum><text>the <committee-name committee-id="SSFR00">Committee on Foreign Relations of the Senate</committee-name>;</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id4d716a4b9c024652b673957aef5b7df3"><enum>(B)</enum><text>the <committee-name committee-id="SSAF00">Committee on Agriculture, Nutrition, and Forestry of the Senate;</committee-name></text></subparagraph><subparagraph id="id1548ae3c5c2d483282962039e2e065d7"><enum>(C)</enum><text>the <committee-name committee-id="SSAP00">Committee on Appropriations of the Senate</committee-name>; </text></subparagraph><subparagraph id="idc486f1bf839442868adeda19d66447fc"><enum>(D)</enum><text>the <committee-name committee-id="">Committee on Foreign Affairs of the House of Representatives</committee-name>; </text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id9aacf9dc47884de286cf593e6b2a8a88"><enum>(E)</enum><text>the <committee-name committee-id="">Committee on Agriculture of the House of Representatives</committee-name>; and</text></subparagraph><subparagraph id="id86ac18950f0e453386387250fb226925"><enum>(F)</enum><text>the <committee-name committee-id="">Committee on Appropriations of the House of Representatives</committee-name>.</text></subparagraph></paragraph><paragraph id="ide73c94b4ef864dd399a022e1cc8a65f5"><enum>(2)</enum><header>Board</header><text>The term <term>Board</term> means the Board of Directors established pursuant to section 4(a).</text></paragraph><paragraph id="id96150a265dd24459b6185b6d09c916a4"><enum>(3)</enum><header>Director</header><text>The term <term>Director</term> means—</text><subparagraph id="id761372d4fb034191be39fb00eae51c04"><enum>(A)</enum><text>an initial member of the Board appointed pursuant to section 4(a)(2)(B); or</text></subparagraph><subparagraph id="id6220746cdc6c4269b71e1690e6ec9f24"><enum>(B)</enum><text>a member of the Board selected to fill a vacancy pursuant to section 4(a)(3)(B).</text></subparagraph></paragraph><paragraph id="id8dfd0b46194d4b4b91871a57cd41613f"><enum>(4)</enum><header>Eligible country</header><text>The term <term>eligible country</term> means any of the countries described in section 7(b).</text></paragraph><paragraph id="id48808f675a7a442a891b0f5589f8846c"><enum>(5)</enum><header>Eligible project</header><text>The term <term>eligible project</term> means any of the projects described in section 7(a)(2).</text></paragraph><paragraph id="id01c9df5c015c4d0190dc8573669bf4de"><enum>(6)</enum><header>Executive director</header><text>The term <term>Executive Director</term> means the Executive Director of the Foundation hired pursuant to section 4(c).</text></paragraph><paragraph id="id7164ba59f3d147179943c037bbeebc44"><enum>(7)</enum><header>Foundation</header><text>The term <term>Foundation</term> means the Foundation for International Food Security established pursuant to section 3(a).</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="id47acf3c9ab734b679c7c23722d2df645"><enum>(8)</enum><header>Key stakeholders</header><text>The term <term>key stakeholders</term> has the meaning given such term in section 4(6) of the Global Food Security Act of 2016 (<external-xref legal-doc="usc" parsable-cite="usc/22/9303">22 U.S.C. 9303(6)</external-xref>).</text></paragraph><paragraph id="id7363d8ceb08743198cb90c37b83ddb4d"><enum>(9)</enum><header>Less developed country</header><text>The term <term>less developed country</term> means a country with a low-income economy, a lower-middle-income economy, or an upper-middle-income economy (as defined by the International Bank for Reconstruction and Development and the International Development Association (collectively referred to as the <quote>World Bank</quote>)). </text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="idac7334bd109b4239a6cbbfabb1409e32"><enum>(10)</enum><header display-inline="yes-display-inline">Relevant federal departments and agencies</header><text>The term <term>relevant Federal departments and agencies</term> means—</text><subparagraph commented="no" display-inline="no-display-inline" id="id223b064434a143b09a7c756f7db19861"><enum>(A)</enum><text display-inline="yes-display-inline">the United States Agency for International Development;</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id69714ad466fd4e169e55f0452a53896f"><enum>(B)</enum><text display-inline="yes-display-inline">the Department of Agriculture;</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id6baae221d3244ddda1a6e7b5dc434235"><enum>(C)</enum><text display-inline="yes-display-inline">the Foundation for Food and Agriculture Research;</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id5dba878c8e85470cad8b07b846800720"><enum>(D)</enum><text display-inline="yes-display-inline">the Department of Commerce;</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id539a282364d3422ab55f6ea1754e629e"><enum>(E)</enum><text display-inline="yes-display-inline">the Department of State;</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id2d83fe3bee2349ad849a8e6d488946c6"><enum>(F)</enum><text display-inline="yes-display-inline">the Department of the Treasury;</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="idaaa403294639475782fcaff42561395e"><enum>(G)</enum><text display-inline="yes-display-inline">the Millennium Challenge Corporation;</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id150dcb33a39b417fb935c1dd0572d6a7"><enum>(H)</enum><text display-inline="yes-display-inline">the United States International Development Finance Corporation;</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id8bbb7b5d58e94873b9ed23e9a3f007bc"><enum>(I)</enum><text display-inline="yes-display-inline">the Peace Corps;</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id9472679f475742e588519dd942f8d06f"><enum>(J)</enum><text display-inline="yes-display-inline">the Office of the United States Trade Representative;</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id0500f3f853e84c8d9f43e3302fb4014f"><enum>(K)</enum><text display-inline="yes-display-inline">the United States African Development Foundation;</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id36857beb3794496ba352da62563e8ca0"><enum>(L)</enum><text display-inline="yes-display-inline">the United States Geological Survey;</text></subparagraph><subparagraph id="idc68a581cdc9242eda79b503a4cfdb5f7"><enum>(M)</enum><text>the United States Import-Export Bank; and </text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id96ec0ebaa0a34297920f49d933682f1a"><enum>(N)</enum><text display-inline="yes-display-inline">any other Federal department or agency specified by the President for purposes of this Act.</text></subparagraph></paragraph><paragraph id="idcb32937b6ea8467cb588da781c068d87"><enum>(11)</enum><header>Resilience</header><text>The term <term>resilience</term> means the ability of people, households, communities, countries, and systems to mitigate, adapt to, and recover from shocks and stresses to food and nutrition security in a manner that reduces chronic vulnerability and facilitates inclusive and sustainable growth.</text></paragraph></section><section id="id1e9c9709774d4ba08e660a98c9729722"><enum>3.</enum><header>Foundation for International Food Security</header><subsection id="idd592634f31a2454091ae16931a88d39d"><enum>(a)</enum><header>Establishment</header><paragraph id="id818c8548d11e4584aa8cfd3c2600ba78"><enum>(1)</enum><header>In general</header><text>Not later than 180 days after the date of the enactment of this Act, the Secretary of State, in collaboration with the Secretary of Agriculture, shall establish the Foundation for International Food Security.</text></paragraph><paragraph id="id632d4addecec4f23ab9871c5b66eef6b"><enum>(2)</enum><header>Independence</header><text>The Foundation shall constitute an independent agency of the United States. Neither the Foundation nor any of its functions, powers, or duties may be transferred to, or consolidated with, any other department, agency, or corporation of the Federal Government absent an Act of Congress to such effect.</text></paragraph><paragraph id="id170d9425ec464306859d0aedf2385a10"><enum>(3)</enum><header>Tax-exempt status</header><text>The Board shall take all necessary and appropriate steps to ensure that the Foundation is established as an organization described in subsection (c) of <external-xref legal-doc="usc" parsable-cite="usc/26/501">section 501</external-xref> of the Internal Revenue Code of 1986, which exempts the organization from taxation under subsection (a) of such section.</text></paragraph></subsection><subsection id="id73b6bab1cae947f5be0b233869fc2262"><enum>(b)</enum><header>Purposes</header><text>The purposes of the Foundation are—</text><paragraph id="id8ab86bf4b5554f4790a13c36d6341206"><enum>(1)</enum><text>to accelerate sustainable agriculture-led investments that foster food security (both in the crop and livestock industries) and are focused on building sustainable resilient food systems by investing in—</text><subparagraph commented="no" display-inline="no-display-inline" id="ide5a9860803654db9b70ef1bc52850db0"><enum>(A)</enum><text display-inline="yes-display-inline">infrastructure, such as irrigation, warehousing, storage, and food processing to prevent food loss;</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id0298b5c6ef534a91baf333d2ee92dd7c"><enum>(B)</enum><text display-inline="yes-display-inline">applied agricultural research; and </text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id4dfa7744838d4569b4902966991526aa"><enum>(C)</enum><text display-inline="yes-display-inline">technology deployment that reduces hunger and malnutrition;</text></subparagraph></paragraph><paragraph commented="no" display-inline="no-display-inline" id="id58422861a1d44029b9734dc2130144ef"><enum>(2)</enum><text display-inline="yes-display-inline">to promote effective and data driven initiatives that increase agricultural productivity, reduce post-harvest loss, and increase global market access;</text></paragraph><paragraph id="id552f84861317463ba0b609ffec76235d"><enum>(3)</enum><text>to set specific and measurable goals, benchmarks, timetables, performance metrics, and monitoring and evaluation plans that reflect international best practices relating to transparency, accountability, food and nutrition security, and sustainable agriculture-led economic growth;</text></paragraph><paragraph id="id45c09c4959704358898984c2c442cbe3"><enum>(4)</enum><text>to advocate for, incentivize, accept, and administer funds (including governmental, nongovernmental, private sector, and philanthropic organization funds, and earned income from market-based social enterprises) to increase the availability and predictability of financing selected food security and nutrition initiatives;</text></paragraph><paragraph id="idaa1fe80b0f634033932b9b5e6dd4707b"><enum>(5)</enum><text>to deploy and scale technology and innovation to reduce malnutrition;</text></paragraph><paragraph id="id73dac1b1fde543b483f8282b408b1a58"><enum>(6)</enum><text>to close critical gaps in public international food security and nutrition funding by—</text><subparagraph id="ide9aafb57e22841d9ae8bda6a303e9b0c"><enum>(A)</enum><text>reducing barriers to private sector funding and creating a more streamlined mechanism to increase private sector investment, including investments from corporate and philanthropic entities;</text></subparagraph><subparagraph id="id94ab7a24dd2841979ddab7dcde476207"><enum>(B)</enum><text>collaborating with partners providing bilateral and multilateral financing to support enhanced coordination; </text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="idee64aaaf6ebe448e97f7331468064e53"><enum>(C)</enum><text display-inline="yes-display-inline">increasing and supporting domestic resource mobilization to strengthen national governments’ ability to co-finance or co-contribute to Foundation efforts; and</text></subparagraph><subparagraph id="id0655765a515a498c9dfa8b2e3383a1f4"><enum>(D)</enum><text>taking steps to limit duplication with existing United States Government programs through consultation with the Board of Advisors, relevant Federal departments and agencies, eligible countries, and key stakeholders;</text></subparagraph></paragraph><paragraph id="id1840772bfe3742498cb1ecb99f9666c4"><enum>(7)</enum><text>to identify and financially support implementation-ready projects that facilitate best agricultural practices, technology-scaling efforts, infrastructure, and other efforts to increase farmers productivity and market access, while recognizing that the greatest benefits are based on an understanding of local socioeconomic and development challenges;</text></paragraph><paragraph id="idc39214afff9f4f2da8e2c42aa78555a9"><enum>(8)</enum><text>to coordinate with, and otherwise support and assist, foreign governments, private sector entities, local communities, and other stakeholders to improve food security, nutrition, and agriculture-led economic growth by supporting harmonized regulatory frameworks that encourage innovation and enterprise using an evidence based approach;</text></paragraph><paragraph id="idc64ae7c3101a47cc99966bf7c93092d9"><enum>(9)</enum><text>to coordinate with the United States Foundation for International Conservation, once it is established; and</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="id99453aafef2e4099b76942cb63dfa0ed"><enum>(10)</enum><text>to ensure the effective use of United States taxpayer dollars to further the objectives described in paragraphs (1) through (9).</text></paragraph></subsection></section><section id="idacb1ec39240f443e85aa5523114de8c8"><enum>4.</enum><header>Governance of the Foundation</header><subsection id="id5bc5949c38af453ea890ee5e3a70679b"><enum>(a)</enum><header>Board of Directors</header><paragraph id="id97be975034fc4dd7ba3147effc7d9351"><enum>(1)</enum><header>Governance</header><text>The Foundation shall be governed by a Board of Directors, who may consult with the Board of Advisors when making decisions related to the Foundation’s work.</text></paragraph><paragraph id="id2750895965834af9a038b8b54fca0863"><enum>(2)</enum><header>Board composition</header><subparagraph id="ide85e3de85ebc4c619ac3cbeaf3111439"><enum>(A)</enum><header>In general</header><text>The Board shall be composed of—</text><clause id="idf31e800300f74dbc9f91ce9a21766cdd"><enum>(i)</enum><text>the appointed Directors described in subparagraph (B); and</text></clause><clause id="idff72bc9d49e942d2950c92e2b8d835d9"><enum>(ii)</enum><text>the nonvoting Directors or their respective appointees, including—</text><subclause id="id50891545d9724a798fa9883055874bb0"><enum>(I)</enum><text>the Secretary of State;</text></subclause><subclause id="ideede9de832e548ed993d73aa211296e4"><enum>(II)</enum><text>the Administrator of the United States Agency for International Development;</text></subclause><subclause id="idce0f452eaa734640a27fc7f966e0d26c"><enum>(III)</enum><text>the Secretary of Agriculture;</text></subclause><subclause id="id93828bcde7a94a71b979b57c029738e1"><enum>(IV)</enum><text>the Secretary of Commerce; and</text></subclause><subclause commented="no" display-inline="no-display-inline" id="id69c5a813a15544f680042eb208d1e572"><enum>(V)</enum><text display-inline="yes-display-inline">the Secretary of the Treasury. </text></subclause></clause></subparagraph><subparagraph id="id65e65fdc9e8941c392e67ca2ea854d1d"><enum>(B)</enum><header>Appointed directors</header><text>Subject to subparagraph (C), the nonvoting Directors referred to in subparagraph (A)(ii) shall appoint, by majority vote, as Directors of the Board—</text><clause id="id8648e8d4aece4fde84ca9a41dfcaf822"><enum>(i)</enum><text>2 voting Directors who are independent experts representing diverse points of view, to the maximum extent practicable;</text></clause><clause id="ida4285eba7efa447d9115ed4c53386e76"><enum>(ii)</enum><text>2 voting Directors who are private sector donors or designees and have made a meaningful financial contribution to the Foundation;</text></clause><clause id="id99ea94c327874d9f935e5d9c01064a77"><enum>(iii)</enum><text>3 nonvoting Directors who—</text><subclause commented="no" display-inline="no-display-inline" id="id48a6deb185164bf8b72448edadd2ade7"><enum>(I)</enum><text display-inline="yes-display-inline">are not employed by a government;</text></subclause><subclause commented="no" display-inline="no-display-inline" id="idc6ed9b3410024b1fa72272d48cac853a"><enum>(II)</enum><text display-inline="yes-display-inline">are recognized experts with relevant professional experience; and </text></subclause><subclause commented="no" display-inline="no-display-inline" id="ide7d47d3922c64f48a6f718a1516ca1f7"><enum>(III)</enum><text display-inline="yes-display-inline">represent Africa, Latin America, or Asia; and</text></subclause></clause><clause id="id25188772e76e4ed2bcb97957913d4a67"><enum>(iv)</enum><text>4 voting Directors, of whom—</text><subclause id="idc2228823205043dfab49faa99e090f09"><enum>(I)</enum><text>1 shall be appointed by the majority leader of the Senate;</text></subclause><subclause commented="no" display-inline="no-display-inline" id="id22496174ec3549419fce1d848819949e"><enum>(II)</enum><text display-inline="yes-display-inline">1 shall be appointed by the minority leader of the Senate;</text></subclause><subclause id="id2d5d00c28c324f858e4a9ad02b5fd4b4"><enum>(III)</enum><text>1 shall be appointed by the Speaker of the House of Representatives; and </text></subclause><subclause commented="no" display-inline="no-display-inline" id="id2016972625a547939d995daf347beee1"><enum>(IV)</enum><text display-inline="yes-display-inline">1 shall be appointed by the minority leader of the House of Representatives.</text></subclause></clause></subparagraph><subparagraph id="idF7991E14CEF54B0C805547D90A4FEA9F"><enum>(C)</enum><header>Qualifications</header><text>Each individual appointed to the Board pursuant to subparagraph (B) shall be knowledgeable and experienced in 1 or more matters relating to—</text><clause id="id4F1A79A6EA06457EAFAF7D698A809352"><enum>(i)</enum><text>agricultural production, livestock, land management, or forestry; </text></clause><clause id="idE5BAC10284D845A4B17A1253B6403341"><enum>(ii)</enum><text>agricultural economics, business development, technology deployment, market access, agribusinesses (including food companies), market access, or relevant commodities groups;</text></clause><clause id="id8F3CA0539B2F4C27B9F66A769F62936D" commented="no" display-inline="no-display-inline"><enum>(iii)</enum><text display-inline="yes-display-inline">international finance and multilateral governance;</text></clause><clause commented="no" display-inline="no-display-inline" id="id35a3cf2858e449fd91f198a1531a670f"><enum>(iv)</enum><text display-inline="yes-display-inline">international development and market access; or</text></clause><clause commented="no" display-inline="no-display-inline" id="idb112225a99ed4f1984fedfe39d32c5df"><enum>(v)</enum><text display-inline="yes-display-inline">international nutrition and malnutrition issues. </text></clause></subparagraph><subparagraph id="id182926549d3e44ef8c485bc2e4ee3cec"><enum>(D)</enum><header>Limitation on political affiliation</header><text>Both of the Directors of the Board who are appointed pursuant to subparagraph (B)(i) may not be members of the same political party. Both of the Directors of the Board who are appointed pursuant to subparagraph (B)(ii) may not be members of the same political party.</text></subparagraph><subparagraph id="idb9b934ac76d94ab8ad6af97ac3c2fdbe"><enum>(E)</enum><header>Chairperson</header><text>The Board shall elect, from among the voting Directors appointed pursuant to subparagraph (B), a Chairperson, who shall serve in such position for a 2-year term.</text></subparagraph><subparagraph id="id14000f69018e48c29918568e8a169c2c"><enum>(F)</enum><header>Voting</header><text>All voting Directors of the Board appointed pursuant to subparagraph (B) shall have equal voting rights.</text></subparagraph></paragraph><paragraph id="idf3506475d1ca45f68b0ed9f43e93190d"><enum>(3)</enum><header>Terms; vacancies</header><subparagraph id="id20f348acf9a544e69b25e96a52c76f4c"><enum>(A)</enum><header>Terms</header><clause id="id67808fa7c54b4ef181f429b69ee0661a"><enum>(i)</enum><header>In general</header><text>The term of service of each Director appointed pursuant to paragraph (2)(B) may not exceed 5 years.</text></clause><clause id="id5a8bdc3725094944828a1c6b1cc35223"><enum>(ii)</enum><header>Initial appointed directors</header><text>Of the initial Directors appointed pursuant to paragraph (3)(B)—</text><subclause id="idb88f94ae6f0f4a01a503cd5318cf8374"><enum>(I)</enum><text>5 Directors, including not fewer than 1 independent expert and 1 private sector donor, shall serve for a 4-year term; and</text></subclause><subclause id="id0d84ffe0ac134d98be451f26d057fb0a"><enum>(II)</enum><text>5 Directors shall serve for a 5-year term, as determined by the Chairperson of the Board.</text></subclause></clause></subparagraph><subparagraph id="id3b47689a7d994d86ab07f31d6a3c8ab7"><enum>(B)</enum><header>Vacancies</header><text>Any vacancy in the membership of the appointed Directors of the Board—</text><clause id="id6152830c8a0e4fedbddaaa580c12df77"><enum>(i)</enum><text>shall be filled in accordance with the bylaws of the Foundation established pursuant to paragraph (8)(A) by an individual who meets the qualifications represented by the vacating Director;</text></clause><clause id="id4848b2459720459da13f7c884d98b10f"><enum>(ii)</enum><text>does not affect the power of the remaining appointed Directors to execute the duties of the Board; and</text></clause><clause id="ida7d22597b89b473f94bd9f135e14437e"><enum>(iii)</enum><text>shall be filled by an individual selected by the Board.</text></clause></subparagraph></paragraph><paragraph id="id1563ab94931d4f71936e9a3b8d35c8d9"><enum>(4)</enum><header>Quorum</header><text>A majority of the membership of the Board shall constitute a quorum for the transaction of Foundation business.</text></paragraph><paragraph id="id43e7a155caad471fbbbb8b46823beacd"><enum>(5)</enum><header>Meetings</header><subparagraph id="ide5f3d79a806449ed9f2ab3399e10af4b"><enum>(A)</enum><header>In general</header><text>The Board shall meet not less frequently than twice per year at the call of the Chairperson or by the approval of <fraction>2/3</fraction> of the voting members of the Board.</text></subparagraph><subparagraph id="id42fe98d34f7f4477afe82a5357da2c46"><enum>(B)</enum><header>Authority</header><text>The Board shall maintain full control and decision-making authority of the Foundation.</text></subparagraph><subparagraph id="id0026a09dc4bd42e6b56b2ff29831f591"><enum>(C)</enum><header>Removal</header><text>Any Director who is absent from 3 consecutive regularly scheduled meetings may be removed from the Board by a majority vote of the Board.</text></subparagraph></paragraph><paragraph id="id9109d060929e4d558e5cacf9396743ad"><enum>(6)</enum><header>Reimbursement of expenses</header><text>Directors of the Board shall serve without pay, but may be reimbursed for the actual and necessary traveling and subsistence expenses incurred by such members in the performance of their duties on behalf of the Foundation.</text></paragraph><paragraph id="idc97f457da1744607a714157f6cc41fe1"><enum>(7)</enum><header>Not Federal employees</header><text>Appointment as a Director of the Board shall not constitute employment by, or the holding of an office of, the United States Government for purposes of any Federal law.</text></paragraph><paragraph id="idefeb015b6c8f4ffdbe2d06db14ad2dac"><enum>(8)</enum><header>Duties</header><text>The Board shall—</text><subparagraph id="idb082a76fdc0e439390269f7db4228846"><enum>(A)</enum><text>establish bylaws for the Foundation in accordance with paragraph (9);</text></subparagraph><subparagraph id="idd9af94f16c5349d39f2cd744d7cba092"><enum>(B)</enum><text>provide overall direction for the activities of the Foundation and establish priority activities;</text></subparagraph><subparagraph id="idb624174f8a5849c38744f4d7c5d28ec4"><enum>(C)</enum><text>carry out any other necessary activities of the Foundation;</text></subparagraph><subparagraph id="id087415856beb4600812457c6c0281094"><enum>(D)</enum><text>evaluate the performance of the Executive Director;</text></subparagraph><subparagraph id="id309b0f8340dc407eaea31f7f461abf5f"><enum>(E)</enum><text>take steps to limit the Foundation’s administrative expenses to the extent practicable; and</text></subparagraph><subparagraph id="id1f5139749b2748e4a80a5e50dc3872b8"><enum>(F)</enum><text>not less frequently than annually, consult and coordinate with key stakeholders qualified to provide advice, assistance, and information regarding efforts to strengthen food and nutrition security.</text></subparagraph></paragraph><paragraph id="idca8fdc43b465477ab4260961234f4f33"><enum>(9)</enum><header>Bylaws</header><subparagraph id="id258108e02acf49f188182d152d039f26"><enum>(A)</enum><header>In general</header><text>The bylaws established pursuant to paragraph (8)(A) shall include—</text><clause id="id80f46ad04ec04982bb780513aa5e1c6f"><enum>(i)</enum><text>policies for the selection of Directors of the Board, Members of the Board of Advisors, and officers, employees, agents, and contractors of the Foundation, in accordance with subparagraphs (B) and (C) of paragraph (2);</text></clause><clause id="id78da5b2ba7d34ef3b07a5aea0ea46672"><enum>(ii)</enum><text>policies, including ethical standards, for—</text><subclause id="idce0540f99b724112975ba5c4dd9b29ac"><enum>(I)</enum><text>the acceptance, solicitation, and disposition of donations and grants to the Foundation; and</text></subclause><subclause id="idebbcbd86dd0b42388c065a07a424febd"><enum>(II)</enum><text>the disposition of assets of the Foundation;</text></subclause></clause><clause id="ided442e57849c44e79a850d82b34cb895"><enum>(iii)</enum><text>policies that subject all employees, fellows, trainees, and other agents of the Foundation (including all of the Directors of the Board and all of the Members of the Board of Advisors) to conflict of interest standards;</text></clause><clause id="id72a1aa754cf84ec695e6556311585366"><enum>(iv)</enum><text>the specific duties of the Executive Director;</text></clause><clause id="ida23ab36634c4488ca848a7c8e47de012"><enum>(v)</enum><text>policies for winding down the activities of the Foundation upon its termination, including a plan—</text><subclause id="id5f886534763d47b294a750f38f3742f3"><enum>(I)</enum><text>to return unobligated appropriations to the Department of the Treasury; and</text></subclause><subclause id="idf8e1b4a9925a477784f4a01b896ddeb6"><enum>(II)</enum><text>to donate unspent private and philanthropic contributions to projects that align with the goals and requirements described in this Act; and</text></subclause></clause><clause id="idc041b0bec52240a0bc6709f41d5b7ec8"><enum>(vi)</enum><text>specific policies and requirements governing project criteria and eligible countries.</text></clause></subparagraph><subparagraph id="id27cb83203aa4440dbcfb3f58a95be26a"><enum>(B)</enum><header>Requirements</header><text>The Board shall ensure the bylaws of the Foundation and the activities carried out under such bylaws do not—</text><clause id="id1a7d53f8c3eb4633b4b17488c74f1256"><enum>(i)</enum><text>reflect unfavorably on the ability of the Foundation to carry out activities in a fair and objective manner; or</text></clause><clause id="id5e04f326349a4f08a589244915576a68"><enum>(ii)</enum><text>compromise, or appear to compromise, the integrity of any governmental agency or program, or any officer or employee employed by, or involved in, a governmental agency or program.</text></clause></subparagraph></paragraph></subsection><subsection id="id9422376c30f7498c9637b9c4ff9441b4"><enum>(b)</enum><header>Board of Advisors composition</header><paragraph id="idba257fa301634016a33433aacb1293f9"><enum>(1)</enum><header>In general</header><text>The Board of Advisors shall be composed of—</text><subparagraph id="id5cb0870bdd2d4229bc4ec2acd0f4bc8e"><enum>(A)</enum><text>the Advisors designated pursuant to paragraph (2); and</text></subparagraph><subparagraph id="id35a9e4626b7d47c2b2bc63182a883dac"><enum>(B)</enum><text>the Advisors appointed pursuant to paragraph (3).</text></subparagraph></paragraph><paragraph id="id00899682fef5440dac9048e9c6d7e208"><enum>(2)</enum><header>Advisors</header><text>The following individuals, or designees of such individuals, shall serve as members of the Board of Advisors:</text><subparagraph id="id9ef838fa2846494aa2c8b6ca5ede0a32"><enum>(A)</enum><text>The Chief Executive Officer of the United States International Development Finance Corporation.</text></subparagraph><subparagraph id="id303d78009a90480d93887f0be6b55f3e"><enum>(B)</enum><text>The Chief Executive Officer of the Millennium Challenge Corporation.</text></subparagraph><subparagraph id="idbbb78a4b119e4398bde42599fa3b7519"><enum>(C)</enum><text>The Ambassador of the Office of the United States Trade Representative.</text></subparagraph></paragraph><paragraph id="id2f2ece4b51af45438e151b4c51dec2df"><enum>(3)</enum><header>Appointed advisors</header><text>The Executive Director, in consultation with the Directors referred to in subsection (a)(2) and the Advisors referred to in subsection (b)(2), shall appoint, as members of the Board of Advisors—</text><subparagraph id="id1b555aa1a77d4ec2b83b20c498f08bd3"><enum>(A)</enum><text>2 deans or other designated faculty members of United States land-grant colleges or universities that have an international agriculture program; and</text></subparagraph><subparagraph id="id2e01d8ea69674fad8e19e6aaa00a89f8"><enum>(B)</enum><text>3 private sector or nongovernmental organization advisors who are experts in food systems or deployment of agricultural technologies.</text></subparagraph></paragraph><paragraph id="id0799abc6469b45beb6786c1fb7e732bc"><enum>(4)</enum><header>Qualifications</header><text>Each individual appointed to the Board of Advisors pursuant to paragraph (3) shall be knowledgeable and experienced in 1 or more matters relating to the industries, institutions, or issues described in subsection (a)(2)(C). </text></paragraph><paragraph id="ideb4e136e153c498ebb3c5651c6b1a024"><enum>(5)</enum><header>Terms; vacancies</header><subparagraph id="id1d8876202feb4de3b0df333fd6544338"><enum>(A)</enum><header>Terms</header><text>The term of service for each Advisor appointed pursuant to paragraph (3) shall be not more than 5 years.</text></subparagraph><subparagraph id="id494b72f764c740f7859c533eea4bb6a7"><enum>(B)</enum><header>Vacancies</header><text>Any vacancy in the membership of the appointed Advisors of the Board of Advisors—</text><clause id="id6793d5f575494675ac4c091e88d3b7e1"><enum>(i)</enum><text>shall be filled in accordance with the bylaws of the Foundation by a private sector expert who meets the qualifications described in subsection (a)(2)(C), as represented by the vacating Advisor;</text></clause><clause id="id674cbd62681c442185e12d47f409a63a"><enum>(ii)</enum><text>does not affect the power of the remaining appointed Advisors to execute the duties of the Board of Advisors; and</text></clause><clause id="iddf3de8b67cfb4ff4b0f036bebfdba12e"><enum>(iii)</enum><text>shall be filled by an individual selected by the Board.</text></clause></subparagraph></paragraph><paragraph id="id4a5aaef657054ee1a4e278e86a1eb0dd"><enum>(6)</enum><header>Duties</header><text>The Board of Advisors shall provide advice and consultation to the Board in accordance with the bylaws established pursuant to subsection (a)(8)(A).</text></paragraph><paragraph id="ide3ce53f275834d6e9ff55c021b08c25d"><enum>(7)</enum><header>Removal</header><text>Any Advisor who is absent from 3 consecutive regularly scheduled meetings may be removed from the Board of Advisors by a majority vote of the Board of Advisors. </text></paragraph></subsection><subsection commented="no" display-inline="no-display-inline" id="id76646270f4e7466fb2f8c72ba7742515"><enum>(c)</enum><header>Procedures</header><paragraph id="idae84cc961d6848c9ae23bfada082f278"><enum>(1)</enum><header>Initial meeting</header><text>Not later than 90 days after the date of the enactment of this Act, the Chairperson shall convene a meeting of the members of the Board designated pursuant to subsection (a)(2)(A)(ii)—</text><subparagraph id="id8a4adbb91c8d46dea196278c6f380166" commented="no"><enum>(A)</enum><text>to appoint the Directors of the Board in accordance with subsection (a)(2)(B); and</text></subparagraph><subparagraph id="idccf480227f5e4fc58145f9fbbdb5164c" commented="no"><enum>(B)</enum><text>to incorporate the Foundation.</text></subparagraph></paragraph><paragraph id="ida03943e2c3ff431497be8673bf91f70e"><enum>(2)</enum><header>Conflicts of interest</header><subparagraph commented="no" display-inline="no-display-inline" id="id4accc17ea2404aff874039d54e9128b9"><enum>(A)</enum><header>In general</header><text display-inline="yes-display-inline">Except as provided in subparagraph (B), no voting member of the Board may participate in any decision, action, or recommendation with respect to any matter that directly and financially benefits such member or pertains specifically to any public body or any private or nonprofit firm or organization with which such member is formally associated or was formally associated during the most recent 2-year period.</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id76c81426cd6d4b9dbeba9affc4ef2e94"><enum>(B)</enum><header>Exception</header><text display-inline="yes-display-inline">Subparagraph (A) may not be construed to prohibit a member of the Board from participating in actions of the Board pertaining specifically to the public body of which such member is an officer. </text></subparagraph></paragraph></subsection><subsection commented="no" display-inline="no-display-inline" id="id9a8e4491f3a54ff999e6687b0ddedfa3"><enum>(d)</enum><header>Executive Director; staff</header><paragraph id="id8a95962ea21a4774805dddf2ca449361"><enum>(1)</enum><header>Executive director</header><text>The Board shall hire a qualified individual to serve, at the pleasure of the Board, as the Executive Director of the Foundation.</text></paragraph><paragraph id="id590a7d835e484e44875c11e8b9018464"><enum>(2)</enum><header>Foundation staff</header><text>Officers and employees of the Foundation—</text><subparagraph id="idcc6dac4659be409ca4ad4d8c16d9f070"><enum>(A)</enum><text>may not be employees of, or hold any office in, the United States Government;</text></subparagraph><subparagraph id="id81d477c0aae14a90b85217c8aa992bc4"><enum>(B)</enum><text>shall be appointed without regard to the provisions of—</text><clause id="id1d139f8f8b434b4291ff1fd4a359636c"><enum>(i)</enum><text>title 5, United States Code, governing appointments in the competitive service; and</text></clause><clause id="id68b5177263f64924a9746a357f34ea1d"><enum>(ii)</enum><text>chapter 51 and subchapter III of chapter 53 of such title, relating to classification and General Schedule pay rates; and</text></clause></subparagraph><subparagraph id="id012fe32f1f0b43f7a510dcc6f77c8d7f"><enum>(C)</enum><text>may not receive a salary at a rate in excess of 150 percent of the maximum rate of basic pay authorized for positions at level I of the Executive Schedule under section 5312 of title 5, United States Code, for any fiscal year. </text></subparagraph></paragraph></subsection><subsection id="id81ba030a7c9f4a4bb9287b2b52162b79"><enum>(e)</enum><header>Limitation; conflicts of interests</header><paragraph id="id518e62cd8bc741f68f0f3c13be8a2681"><enum>(1)</enum><header>Political participation</header><text>The Foundation may not participate or intervene in any political activities on behalf of any candidate for public office in any country.</text></paragraph><paragraph id="ida98fc992c392484e9f3adeb284282a48"><enum>(2)</enum><header>Financial interests</header><text>All Directors of the Board, Advisors, officers, and employees of the Foundation may not participate (directly or indirectly) in the consideration or determination of any question before the Foundation affecting—</text><subparagraph id="idd1b4b719d823465d98bdb43bf9601883"><enum>(A)</enum><text>the financial interests of such Director, officer, or employee; and</text></subparagraph><subparagraph id="idfa65694bb2204c61987c3cf083b5c1e5"><enum>(B)</enum><text>the interests of any corporation, partnership, entity, or organization in which such Director, officer, or employee has any fiduciary obligation or direct or indirect financial interest.</text></subparagraph></paragraph></subsection></section><section id="id0be01df8e8c24be7b836605bc9afe654"><enum>5.</enum><header>Corporate powers and obligations of the Foundation</header><subsection id="id49f84faa685f4735b2717ca053a4acc7"><enum>(a)</enum><header>General authorities</header><paragraph commented="no" display-inline="no-display-inline" id="idfe0b14c5d69d49b79ff388174b1d45b3"><enum>(1)</enum><header display-inline="yes-display-inline">In general</header><text>The Foundation—</text><subparagraph id="id63e5ef07507d4b2c9215c1a5b55a7567"><enum>(A)</enum><text>may conduct business throughout the States, territories, and possessions of the United States and in foreign countries;</text></subparagraph><subparagraph id="idd53e5dbf0be0455bb291df4cee3ba010"><enum>(B)</enum><text>shall have its principal offices in the Washington, DC, metropolitan area; and</text></subparagraph><subparagraph id="id495a8cf3f06c42b0a051598179895d7b"><enum>(C)</enum><text>shall continuously maintain a designated agent in Washington, DC, who is authorized to accept notice or service of process on behalf of the Foundation.</text></subparagraph></paragraph><paragraph id="id6fef6228d7444b2d9ae2fe3cb5dc9aef"><enum>(2)</enum><header>Notice and service of process</header><text>The serving of notice to, or service of process upon, the agent referred to in paragraph (1)(C), or mailed to the business address of such agent, shall be deemed as service upon, or notice to, the Foundation.</text></paragraph><paragraph id="id6863d8e1ba8143da87d0126f2de6c74a"><enum>(3)</enum><header>Seal</header><text>The Foundation shall have an official seal, which shall be selected by the Board and judicially noticed.</text></paragraph></subsection><subsection id="idbc4b7fb9ec2445338005950e67c40b29"><enum>(b)</enum><header>Authorities</header><text>In addition to powers explicitly authorized under this Act, the Foundation, in order to carry out the purposes described in section 3(b), shall have the usual powers of a corporation headquartered in Washington, DC, including the authority—</text><paragraph id="id57d62e6f2c664ae98361cc1015eb6433"><enum>(1)</enum><text>to accept, receive, solicit, hold, administer, and use any gift, devise, or bequest, either absolutely or in trust, or real or personal property or any income derived from such gift or property, or other interest in such gift or property;</text></paragraph><paragraph id="id6b07aeb5e7a34f748bd1560d859d50e0"><enum>(2)</enum><text>to acquire by donation, gift, devise, purchase, or exchange any real or personal property or interest in such property;</text></paragraph><paragraph id="idcad71551f1e74108950359c191e9e152"><enum>(3)</enum><text>unless otherwise required by the instrument of transfer, to sell, donate, lease, invest, reinvest, retain, or otherwise dispose of any property or income derived from such property;</text></paragraph><paragraph id="idd8f40e6bbf1148bf98b0a0537f883a68"><enum>(4)</enum><text>to borrow money and issue bonds, debentures, or other debt instruments;</text></paragraph><paragraph id="ida5eb0f60384541e099d68b2bb949ec72"><enum>(5)</enum><text>to complain and defend itself in any court of competent jurisdiction (except that the Directors of the Board shall not be personally liable, except for gross negligence);</text></paragraph><paragraph id="id6aad9c16d9df4e2396c90e0d4753093d"><enum>(6)</enum><text>to enter into legal arrangements with public agencies, private organizations, and persons and to make such payments as may be necessary to carry out the purposes of such contracts or arrangements; and</text></paragraph><paragraph id="idf76a7efcf8d9403dad2cf12acf0f850b"><enum>(7)</enum><text>to award funding, which may include project financing, grants, and concessional lending, for eligible projects, in accordance with section 7.</text></paragraph></subsection><subsection id="id966d897765bb476b940807a0a0e3d0bd"><enum>(c)</enum><header>Federal funds</header><paragraph id="idb0be1ac137d34616af43084544da697c"><enum>(1)</enum><header>In general</header><text>The Foundation may—</text><subparagraph id="idcc908ae10d4a47d09ad8df68728fb1ce"><enum>(A)</enum><text>hold Federal funds made available, but not immediately disbursed; and</text></subparagraph><subparagraph id="id4436d5759b934bb78eeddd74d092b379"><enum>(B)</enum><text>use any interest or other investment income earned on such Federal funds to carry out the purposes of the Foundation under this Act.</text></subparagraph></paragraph><paragraph id="idbab39f15d7884764aa10a71f106e1829"><enum>(2)</enum><header>Limitation</header><text>Investments made with Federal funds pursuant to paragraph (1)(B) may only be made in—</text><subparagraph id="ide6daec5ec8b1426fb5e0708211fbe6bc"><enum>(A)</enum><text>interest-bearing obligations of the United States; or</text></subparagraph><subparagraph id="id5fe690e543a6479690bf8217c0e225aa"><enum>(B)</enum><text>obligations guaranteed as to both principal and interest by the United States.</text></subparagraph></paragraph></subsection><subsection id="id9abde18178ea4834ab1719249b8870c9"><enum>(d)</enum><header>Limitation of public liability</header><text>The United States shall not be liable for any debts, defaults, acts, or omissions of the Foundation.</text></subsection></section><section id="id810653c31e66412eb13bf5a46c9dbc8a"><enum>6.</enum><header>Safeguards and accountability</header><subsection id="iddfaac466dc7b428a94f21e7035c3ff83"><enum>(a)</enum><header>Safeguards</header><text>The Foundation shall develop, and incorporate into any agreement for support provided by the Foundation, appropriate safeguards, policies, and guidelines, consistent with internationally recognized best practices and standards for environmental and social safeguards.</text></subsection><subsection id="idf3516473cc404f3aace4f5e6f04fabd5"><enum>(b)</enum><header>Independent accountability mechanism</header><paragraph id="idd94a9ca4edf4468aa37b3f0004893aa0"><enum>(1)</enum><header>In general</header><text>The Foundation shall establish a transparent and independent accountability mechanism, which shall provide—</text><subparagraph id="id3cbf5b8f16dc4c4594b52c7d648f5266"><enum>(A)</enum><text>a compliance review function that assesses whether Foundation-supported projects adhere to the requirements developed pursuant to subsection (a);</text></subparagraph><subparagraph id="id1144c77d927548368115605270e1078c"><enum>(B)</enum><text>a dispute resolution function for resolving concerns between project implementers regarding the impacts of specific Foundation-supported projects with respect to such standards; and</text></subparagraph><subparagraph id="idecc9930250cc4e098e7a614c7d4ad2ca"><enum>(C)</enum><text>an advisory function that reports to the Foundation on projects, policies, and practices.</text></subparagraph></paragraph><paragraph id="iddc86de1a13b24f26803935106dddbba5"><enum>(2)</enum><header>Duties</header><text>The accountability mechanism established pursuant to paragraph (1) shall—</text><subparagraph id="id97cb513f79c9465dbdbe0c904cb5ba70"><enum>(A)</enum><text>report annually to the Board and to the appropriate congressional committees regarding the Foundation’s compliance with internationally recognized best practices and standards in accordance with paragraph (1)(A); </text></subparagraph><subparagraph id="idfdc98792a28d44cf9806c5ad4b6b2f98"><enum>(B)</enum><clause commented="no" display-inline="yes-display-inline" id="idcefbe4b56f6a48f79d38a561033e3a91"><enum>(i)</enum><text>have permanent staff to conduct compliance reviews and dispute resolutions; or</text></clause><clause indent="up1" commented="no" display-inline="no-display-inline" id="id03e8db72ca6e414f9e120300dca782d8"><enum>(ii)</enum><text>maintain a roster of experts to serve such roles, to the extent needed; and</text></clause></subparagraph><subparagraph id="idf62c1e8550d240d0855f77cbbcdf77ba"><enum>(C)</enum><text>hold a public comment period lasting not fewer than 60 days regarding the initial design of the accountability mechanism.</text></subparagraph></paragraph></subsection></section><section id="idf2e9167306ae446a8035e3e223b1e2dd"><enum>7.</enum><header>Projects, financing, and grants</header><subsection id="idedef27aff7a640fc8e9fb54a7fbbc3c6"><enum>(a)</enum><header>Project funding requirements</header><paragraph id="id152740dda9a94267b6ba3f63e4156c40"><enum>(1)</enum><header>In general</header><text>The Foundation shall award funding, which may include project financing, credit risk insurance, grants, concessional lending, and credit, in accordance with this section for eligible projects described in paragraph (1) that will—</text><subparagraph commented="no" display-inline="no-display-inline" id="id98cf9b1c0eda499bbf80d2c6a6b0401f"><enum>(A)</enum><text display-inline="yes-display-inline">increase productivity and incomes; and </text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id9a88e830c0df4a2b9d74863cda415232"><enum>(B)</enum><text display-inline="yes-display-inline">improve the livelihoods and nutrition of producers and communities.</text></subparagraph></paragraph><paragraph id="idd6cd4f29a7d94f6cbe42df02d50c60a1"><enum>(2)</enum><header>Eligible projects</header><text>A project is an eligible project if it seeks—</text><subparagraph id="id4bfd19d6b2204f459d814176d8fba887"><enum>(A)</enum><text>to have cost matching from sources other than the United States Government and regional multilateral organizations;</text></subparagraph><subparagraph id="idc8531894dc8d466f8f2de516610d0b9b"><enum>(B)</enum><text>to be implemented in coordination with key stakeholders;</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id510bb09564114ef5b4f0673277d3cd1a"><enum>(C)</enum><text display-inline="yes-display-inline">to incorporate a set of key independently verified performance metrics at the portfolio level, including rigorous measurements, such as measuring attributable increases in agricultural yields, infrastructure, or any other eligible use;</text></subparagraph><subparagraph id="iddb0f85b831504d5ca46576f61331c9ad"><enum>(D)</enum><text>to not duplicate the work of other institutions or displace current profit-making ventures;</text></subparagraph><subparagraph id="ide5b5f8097e5f4a319c0ae7a001b9f017"><enum>(E)</enum><text>to leverage existing infrastructure and staff in eligible countries to allow for the immediate launch of projects; </text></subparagraph><subparagraph id="id5de3e415546d4cc7ac07b90d7c55e14e"><enum>(F)</enum><text>to demonstrate—</text><clause commented="no" display-inline="no-display-inline" id="id2bdcbbfde46b42a9be23bdcc2c1075fe"><enum>(i)</enum><text>the ability to sustainably maintain and build on the outcomes of the project after the Foundation funding has ended; or </text></clause><clause commented="no" display-inline="no-display-inline" id="id12505e89e8e04930a19f2855320fe0ae"><enum>(ii)</enum><text display-inline="yes-display-inline">a plan to strengthen the capacity of, and transfer skills and technologic tools to, local enterprises, organizations, or institutions to manage projects and other funded entities after the Foundation funding has been expended;</text></clause></subparagraph><subparagraph id="id19691778b5a64512af902ecde736e689"><enum>(G)</enum><text>to consider projects that meet the highest needs of food insecure populations based on food security and malnutrition assessments; and</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="idaec88d5c5a0e46cd9aa6f6f23a55042f"><enum>(H)</enum><text>to not duplicate the efforts included in the comprehensive global food security strategy implemented pursuant to section 5 of the Global Food Security Act of 2016 (<external-xref legal-doc="usc" parsable-cite="usc/22/9304">22 U.S.C. 9304</external-xref>).</text></subparagraph></paragraph></subsection><subsection id="id9b263cd151784b0b90f054d385f9cb52"><enum>(b)</enum><header>Eligible countries</header><paragraph id="id4cdfa825d6804d4183f77f27b9175ea8"><enum>(1)</enum><header>In general</header><text>Before entering into any project agreement pursuant to this section, the Board shall—</text><subparagraph commented="no" display-inline="no-display-inline" id="id8cece29f114041c287167fda0214dd06"><enum>(A)</enum><text display-inline="yes-display-inline">establish criteria to determine country eligibility for the award period; and </text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="idb30f03bb964e4722bca051f844b95e64"><enum>(B)</enum><text display-inline="yes-display-inline">identify not more than 10 countries to receive support during such award period that—</text><clause commented="no" display-inline="no-display-inline" id="id547458d2740341a4a19c4a46c8c6b2df"><enum>(i)</enum><text display-inline="yes-display-inline">are committed to make necessary policy reforms, in accordance with subsection (a)(2), to help transform food systems;</text></clause><clause commented="no" display-inline="no-display-inline" id="ida1f4e30b6aed4dc090959141cf9d7171"><enum>(ii)</enum><text display-inline="yes-display-inline">have demonstrated leadership to modernize their agricultural food systems;</text></clause><clause commented="no" display-inline="no-display-inline" id="idcef71a7f72af4cb3bd94463f153b5ccb"><enum>(iii)</enum><text display-inline="yes-display-inline">are committed to cofinance and sustain long-term projects implemented by the Foundation;</text></clause><clause commented="no" display-inline="no-display-inline" id="id0306ff0ce06448959c9831ea7f6a68b6"><enum>(iv)</enum><text display-inline="yes-display-inline">are committed to collaborate with key stakeholders to increase agricultural production, strengthen resilient food systems, improve food safety or processing, increase access to safe, affordable, and nutritious foods, and improve related logistics and supply chain processes; and</text></clause><clause commented="no" display-inline="no-display-inline" id="idb152e260be5d4c9b8cda61ac4d6e420e"><enum>(v)</enum><text display-inline="yes-display-inline">are representatives of geographically diverse regions.</text></clause></subparagraph></paragraph><paragraph id="id5290c156486c4205845e80861e1dcd78"><enum>(2)</enum><header>Identification of eligible countries</header><text>Not later than 5 days after the date on which the Board identifies the eligible countries for a given fiscal year, the Executive Director shall—</text><subparagraph id="id2398fc8e296342b19bb5cc2e925c3195"><enum>(A)</enum><text>submit a report to the appropriate congressional committees that includes—</text><clause id="idaafaf87e7ea447acb756f6df1899d1a8"><enum>(i)</enum><text>a list of such eligible countries; and</text></clause><clause id="idfa2364e318164dbd96dec08bf8129171"><enum>(ii)</enum><text>justification for such eligibility determinations; and</text></clause></subparagraph><subparagraph id="idf46704cfbcdd41059111415cafe5d032"><enum>(B)</enum><text>publish the information contained in the report described in subparagraph (A) in the Federal Register.</text></subparagraph></paragraph></subsection><subsection id="idd2ace2e613f041a990bfb01cf4d20de3"><enum>(c)</enum><header>Funding authorized</header><paragraph id="id2d30d82a1a0c43f18e31f882b522828a"><enum>(1)</enum><header>In general</header><text>In order to maximize the impact of the funding authorized under this section, the Foundation should—</text><subparagraph id="id4be234e3b48d47bdbc968182a99c69d0"><enum>(A)</enum><text>coordinate with other international public and private donors to the extent possible; and</text></subparagraph><subparagraph id="idb8c770a0acd64c4096ed1f7c776cdb15"><enum>(B)</enum><text>seek additional financial and nonfinancial contributions and commitments for its projects from host governments.</text></subparagraph></paragraph><paragraph id="id9abb794726744fc6a8eab774c580e2ea"><enum>(2)</enum><header>Funding criteria</header><text>Funding awarded pursuant to this section—</text><subparagraph id="ide37d08ce850b4ffcb47d161e2df68529"><enum>(A)</enum><text>shall be provided to countries that demonstrate progress, during the funding period, in achieving clearly identified key performance indicators defined in the project agreement, which may include—</text><clause id="id67a6865968894ed3a840a75c0c7d6167"><enum>(i)</enum><text>increasing agricultural or food production through the competitive delivery of market-based financing, distribution and extension services, and supporting technology commercialization and adoption through such services; </text></clause><clause id="ide474cca628b6490fbe8bf1dd8d3e0666"><enum>(ii)</enum><text>improving the nutritional status of the citizens of partner countries by—</text><subclause commented="no" display-inline="no-display-inline" id="id266b81900c904af1b09b568e979b67c1"><enum>(I)</enum><text display-inline="yes-display-inline">increasing the production, availability, and access of nutritious foods domestically;</text></subclause><subclause commented="no" display-inline="no-display-inline" id="ide7eb5ad23d7f49b3a41aad5fb589e646"><enum>(II)</enum><text display-inline="yes-display-inline">promoting highly nutritious foods, diet diversification, and nutritional behaviors that improve maternal and child health; and</text></subclause><subclause id="idcaaa81291fa14aac93845558974758d3"><enum>(III)</enum><text>supporting the expansion of producer market opportunities;</text></subclause></clause><clause id="id207e2c9107dc4315b7e0d8ce6914be4f"><enum>(iii)</enum><text>building resilient food systems to help mitigate against future food shocks among vulnerable populations and households; and</text></clause><clause id="id2c93c5cf2adf4672bd43fba7eea59a88"><enum>(iv)</enum><text>identifying additional revenue sources or sustainable financing mechanisms to meet the recurring costs of projects by serving as a conduit between institutional investors and the agribusiness sector; and</text></clause></subparagraph><subparagraph id="id49541799d8634ed4ad557bca1931dbbc"><enum>(B)</enum><text>may be terminated if the Board determines that the country receiving such funding—</text><clause commented="no" display-inline="no-display-inline" id="id9b0e2bf5cbeb41d89eff03c6d1ba9aac"><enum>(i)</enum><text display-inline="yes-display-inline">is not meeting applicable requirements under this Act; or </text></clause><clause commented="no" display-inline="no-display-inline" id="id0e3b5179dc05437cab7023d7ac024643"><enum>(ii)</enum><text display-inline="yes-display-inline">is not making progress in achieving the key performance indicators described in the project agreement.</text></clause></subparagraph></paragraph></subsection></section><section id="idf8a82382e2524a929c268f901a76e0fa"><enum>8.</enum><header>Prohibition of support in countries that support terrorism or violate human rights and of support for sanctioned persons</header><subsection commented="no" display-inline="no-display-inline" id="id1d432c230f5b4871841bf93bec18add1"><enum>(a)</enum><header display-inline="yes-display-inline">In general</header><text>The Foundation may not provide support for any government, or any entity owned or controlled by a government, if the Secretary of State determines that such government—</text><paragraph id="id0deceda44a9e48718ee86e26e0556bdc"><enum>(1)</enum><text>has repeatedly provided support for acts of international terrorism, as determined under—</text><subparagraph id="id6a54609f39c04df88035306f597c01b0"><enum>(A)</enum><text>section 1754(c)(1)(A)(i) of the Export Control Reform Act of 2018 (<external-xref legal-doc="usc" parsable-cite="usc/50/4813">50 U.S.C. 4813(c)(1)(A)(i)</external-xref>);</text></subparagraph><subparagraph id="id7859bea0c93e445da5596fda25c75f9a"><enum>(B)</enum><text>section 620A(a) of the Foreign Assistance Act of 1961 (<external-xref legal-doc="usc" parsable-cite="usc/22/2371">22 U.S.C. 2371(a)</external-xref>);</text></subparagraph><subparagraph id="id9b24c912d7464d0cbd0b45de2f4ad7b0"><enum>(C)</enum><text>section 40(d) of the Arms Export Control Act (<external-xref legal-doc="usc" parsable-cite="usc/22/2780">22 U.S.C. 2780(d)</external-xref>); or</text></subparagraph><subparagraph id="idbf8e829b5b9c41cf9a93ad4c59642c48"><enum>(D)</enum><text>any other relevant provision of law;</text></subparagraph></paragraph><paragraph id="id181e1f9147154c668c9a330f50109275"><enum>(2)</enum><text>has repeatedly engaged with any organizations designated as foreign terrorist organizations by the Secretary in accordance with section 219 of the Immigration and Nationality Act (<external-xref legal-doc="usc" parsable-cite="usc/8/1189">8 U.S.C. 1189</external-xref>); or </text></paragraph><paragraph id="iddc719c0c82054a07a35028db1e031a1c"><enum>(3)</enum><text>has engaged in a consistent pattern of gross violations of human rights, as determined under section 116(a) or 502B(a)(2) of the Foreign Assistance Act of 1961 (<external-xref legal-doc="usc" parsable-cite="usc/22/2151n">22 U.S.C. 2151n(a)</external-xref> and 2304(a)(2)) or any other relevant provision of law.</text></paragraph></subsection><subsection id="id229fb143336840988f2cd51ee4d00056"><enum>(b)</enum><header>Prohibition of support for sanctioned persons</header><text>The Foundation may not engage in any dealing prohibited under United States sanctions laws or regulations, including dealings with persons on the list of specially designated persons and blocked persons maintained by the Office of Foreign Assets Control of the Department of the Treasury, except to the extent otherwise authorized by the Secretary of State or the Secretary of the Treasury.</text></subsection><subsection id="id468e0f10912c4c3aba888685566185ea"><enum>(c)</enum><header>Waiver</header><text>The President may waive the application of subsections (a) and (b) with respect to any government, or any entity owned or controlled by a government, by notifying the appropriate congressional committees of the intention to exercise such waiver not later than 45 days before the waiver is scheduled to take effect.</text></subsection></section><section id="id8fce3f84f3394edeb20e4ce84cbfce4b"><enum>9.</enum><header>Annual report</header><text display-inline="no-display-inline">Not later than 1 year after the date of the enactment of this Act, and annually thereafter while the Foundation is operational, the Executive Director of the Foundation shall submit a report containing the expectations of the year ahead to the appropriate congressional committees and make such report available to key stakeholders. Each such report shall describe—</text><paragraph id="id8d1543866a7c475aae14fd8bf79f6e89"><enum>(1)</enum><text>the goals of the Foundation for the upcoming year;</text></paragraph><paragraph id="id3751b34a4d0d4f64b7bea34869dbb61e"><enum>(2)</enum><text>lessons learned and best practices developed through projects funded by the Foundation during the prior fiscal year;</text></paragraph><paragraph id="id9b8f121ded334a3f87b5ed05572822f3"><enum>(3)</enum><text>the extent to which such projects have contributed to achieving the purposes of the Foundation;</text></paragraph><paragraph id="idbb379d6a3ad54dcc8519b917789ab9e1"><enum>(4)</enum><text>lessons learned and best practices developed from investments provided by the Foundation during the prior fiscal year;</text></paragraph><paragraph id="ida182beddd0fd44f982ca9d6b9c4a5005"><enum>(5)</enum><text>the extent to which such investments have contributed to achieving the purposes of the Foundation; </text></paragraph><paragraph id="id091e263803cc4dd4a82e9fa197130a3f"><enum>(6)</enum><text>the programs, projects, and activities supported by the Foundation;</text></paragraph><paragraph id="idec413b598fa143809a3fbabed35375d1"><enum>(7)</enum><text>the value of private sector assets invested in such programs, projects, and activities relative to the amount of support provided by the Foundation and the value of any other public sector support; </text></paragraph><paragraph id="id7573e2534ec547c9b82330b027165a31"><enum>(8)</enum><text>the standardized criteria utilized to determine the programs and activities supported by the Foundation, including baselines, targets, desired outcomes, measurable goals, and extent to which those goals are being achieved for each project;</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="id29629b4f8aca42b2ae8a972b00437dc3"><enum>(9)</enum><text>the degree to which programs, projects, and activities of the Foundation are coordinated and aligned with—</text><subparagraph commented="no" display-inline="no-display-inline" id="id2e8134e7737d4ba8a45bafa12f92a14c"><enum>(A)</enum><text display-inline="yes-display-inline">existing United States bilateral assistance programs and foundations;</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id1f023b702c4549bdbb4fbfec646512cd"><enum>(B)</enum><text display-inline="yes-display-inline">relevant activities of other key stakeholders; and </text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="idde24616d0396412ca50bf0da4cb0fb8f"><enum>(C)</enum><text display-inline="yes-display-inline">relevant multilateral efforts; and</text></subparagraph></paragraph><paragraph id="id794a8eecb87c452ba58fa4d60b120b81"><enum>(10)</enum><text>how the funding and selected projects authorized under this Act were publicized in the selected country to expand recognition for the United States.</text></paragraph></section><section id="idcc28f1ac21fb4609a70481adecfa0c8b"><enum>10.</enum><header>Authorization of appropriations</header><subsection id="id148164233fcd49fcbe53a11c425ea092"><enum>(a)</enum><header>In general</header><text>There are authorized to be appropriated to the Foundation $100,000,000 for each of the fiscal years 2024 through 2033 to carry out this Act. Such funding shall be used as an additive investment vehicle that—</text><paragraph commented="no" display-inline="no-display-inline" id="id52917528ea724ad383e096339f14d69e"><enum>(1)</enum><text display-inline="yes-display-inline">independently leverages private investments; and </text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="idfefed9cb26904462ae02dbedc05728fd"><enum>(2)</enum><text display-inline="yes-display-inline">does not duplicate existing United States Government investments.</text></paragraph></subsection><subsection id="id20237aef7c3c4153b1107cf99e0adcd9"><enum>(b)</enum><header>Cost matching requirement</header><text>Amounts appropriated pursuant to subsection (a) may only be made available to the Foundation to the extent the Foundation secures funding from sources other than the United States Government.</text></subsection><subsection id="idfbb1251f723d4143be19ede05eb1d5bd"><enum>(c)</enum><header>Consultation requirement</header><text>Not later than 180 days after the date of the enactment of this Act, and before obligating any funds made available under this Act, the Executive Director, in coordination with the Secretary, shall consult with the <committee-name committee-id="SSAP00">Committee on Appropriations of the Senate</committee-name>, the <committee-name committee-id="SSFR00">Committee on Foreign Relations of the Senate</committee-name>, the <committee-name committee-id="">Committee on Appropriations of the House of Representatives</committee-name>, and the <committee-name committee-id="">Committee on Foreign Affairs of the House of Representatives</committee-name> regarding the proposed uses of such funds. </text></subsection></section></legis-body></bill>
