<distribution-code display="yes">II</distribution-code><congress>118th CONGRESS</congress><session>1st Session</session><legis-num>S. 3173</legis-num><current-chamber>IN THE SENATE OF THE UNITED STATES</current-chamber><action><action-date date="20231031">October 31, 2023</action-date><action-desc><sponsor name-id="S399">Mr. Hawley</sponsor> introduced the following bill; which was read twice and referred to the <committee-name committee-id="SSRA00">Committee on Rules and Administration</committee-name></action-desc></action><legis-type>A BILL</legis-type><official-title>To amend the Federal Election Campaign Act of 1971 to prohibit contributions and donations by publicly traded corporations.</official-title></form><legis-body><section id="S1" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Ending Corporate Influence on Elections Act of 2023</short-title></quote>.</text></section><section id="ida61b2053cbf541b69c31817482cd7945"><enum>2.</enum><header>Prohibiting contributions and donations by publicly traded corporations</header><text display-inline="no-display-inline">Title III of the Federal Election Campaign Act (<external-xref legal-doc="usc" parsable-cite="usc/52/30101">52 U.S.C. 30101 et seq.</external-xref>) is amended by adding at the end the following new section:</text><quoted-block style="OLC" display-inline="no-display-inline" id="idD36E2F1D69BF44F1A1FA714516513944"><section commented="no" display-inline="no-display-inline" section-type="subsequent-section" id="ideea9b9adbc27478ba328f545ed678977"><enum>325.</enum><header>Contributions and donations by publicly traded corporations</header><subsection commented="no" display-inline="no-display-inline" id="idb2bed04cdc864459a923a67f51bf1c4a"><enum>(a)</enum><header display-inline="yes-display-inline">In general</header><text display-inline="yes-display-inline">It shall be unlawful for—</text><paragraph id="ID6C95424FE6694BE49889861D26C0F8A9"><enum>(1)</enum><text>a publicly traded corporation, directly or indirectly, to make—</text><subparagraph id="ID4DE88FC22E4C41A5A97B9E089EBDFF3A"><enum>(A)</enum><text>a contribution or donation of money or other thing of value, or to make an express or implied promise to make a contribution or donation, in connection with a Federal election;</text></subparagraph><subparagraph id="ID0D21DE5B4407464F8DD2F726FC7E2E73"><enum>(B)</enum><text>a contribution or donation to a political committee that accepts donations or contributions that do not comply with the contribution limits or source prohibitions under this Act; or</text></subparagraph><subparagraph id="IDA7CB9FC57FE7457698E122E11DD9EC5B"><enum>(C)</enum><text>an expenditure, independent expenditure, or disbursement for an electioneering communication (within the meaning of section 304(f)(3)); or</text></subparagraph></paragraph><paragraph id="ID2AF08E4CC34F433FB1E0E2915202C088"><enum>(2)</enum><text>a person to solicit, accept, or receive a contribution or donation described in subparagraph (A) or (B) of paragraph (1) from a publicly traded corporation.</text></paragraph></subsection><subsection id="id1e848a6984584ebdb35bac2e24094903"><enum>(b)</enum><header>Publicly traded corporation defined</header><paragraph commented="no" display-inline="no-display-inline" id="id6bd8d632eeac4bb39f415b9d1aa6f27b"><enum>(1)</enum><header display-inline="yes-display-inline">In general</header><text>As used in this section, the term <term>publicly traded corporation</term> means—</text><subparagraph id="id0de571f4621f431ab66a1eb5e6cc3f6e"><enum>(A)</enum><text>an entity the securities of which are listed on a national securities exchange which is registered under section 6 of the Securities Exchange Act of 1934 (<external-xref legal-doc="usc" parsable-cite="usc/15/78f">15 U.S.C. 78f</external-xref>); or</text></subparagraph><subparagraph id="id79a8382b6d6e4bb9ab930a69b0098424"><enum>(B)</enum><text>an affiliate of an entity described in subparagraph (A).</text></subparagraph></paragraph><paragraph id="ida7c9f5a3b64049bfb09b9d6aa0b51c23" commented="no"><enum>(2)</enum><header>Affiliate defined</header><text>As used in paragraph (1)(B), the term <term>affiliate</term> means any entity that controls, is controlled by, or is under common control with another entity.</text></paragraph></subsection></section><after-quoted-block>.</after-quoted-block></quoted-block></section></legis-body></bill>
