committee-id="SSJU00">Committee on the Judiciary</committee-name></action-desc></action><legis-type>A BILL</legis-type><official-title>To amend the Trademark Act of 1946 to provide for contributory liability for certain electronic commerce platforms for use of a counterfeit mark by a third party on such platforms, and for other purposes. </official-title></form><legis-body><section id="S1" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Stopping Harmful Offers on Platforms by Screening Against Fakes in E-commerce Act of 2023</short-title></quote> or the <quote><short-title>SHOP SAFE Act of 2023</short-title></quote>.</text></section><section id="idb5653b4a469949399332a3c62c7928fc"><enum>2.</enum><header>Contributory liability for electronic commerce platforms</header><subsection commented="no" display-inline="no-display-inline" id="id68a18bf5d51443f58f7de00867291e44"><enum>(a)</enum><header display-inline="yes-display-inline">In general</header><text display-inline="yes-display-inline">Section 32 of the Act entitled <quote>An Act to provide for the registration and protection of trademarks used in commerce, to carry out the provisions of certain international conventions, and for other purposes</quote>, approved July 5, 1946 (commonly known as the <quote>Trademark Act of 1946</quote>) (<external-xref legal-doc="usc" parsable-cite="usc/15/1114">15 U.S.C. 1114</external-xref>), is amended by adding at the end the following:</text><quoted-block style="OLC" display-inline="no-display-inline" id="id89d19c1e76e344dabed21015c5f3ae68"><paragraph id="id2033a7d7fb0245cea466d9991ac3b193"><enum>(4)</enum><subparagraph commented="no" display-inline="yes-display-inline" id="ide252d2d5c7ef4f71924919c4044ab677"><enum>(A)</enum><text>Except as provided in subparagraph (B), an electronic commerce platform shall be contributorily liable in a civil action under paragraph (1) for a case in which a third-party seller is shown to have used in commerce a counterfeit mark in connection with the sale, offering for sale, distribution, or advertising of a good that implicates health and safety on the platform.</text></subparagraph><subparagraph id="ide2aeba3db1fa45258da0e188292f1ac7" indent="up1"><enum>(B)</enum><text>An electronic commerce platform shall not be subject to contributory liability under subparagraph (A) if the electronic commerce platform demonstrates that the platform took reasonable measures to implement each of the following steps to prevent infringing use by the applicable third-party seller on the platform before that infringing use:</text><clause id="id82bd3f42ff6b43c59baf18b11cd2db25"><enum>(i)</enum><text>Determined after an investigation and periodically confirmed—</text><subclause id="id1535e62c70354626a425d5933d5bcf7c"><enum>(I)</enum><text>that the third-party seller designated a registered agent in the United States for service of process; or</text></subclause><subclause id="idb2655c0dbba94241b9c04c7b69a6a22f"><enum>(II)</enum><text>in the case of a third-party seller located in the United States that has not designated a registered agent under subclause (I), that the third-party seller has designated a verified address for service of process in the United States.</text></subclause></clause><clause id="id495f6fda7287499aa40507295cfecdd7"><enum>(ii)</enum><text>Imposed on the third-party seller as a condition of participating on the electronic commerce platform requirements that the third-party seller—</text><subclause id="id30652f56b80044b78c4447d45448e84f"><enum>(I)</enum><text>consents to the jurisdiction of the courts of the United States with respect to claims related to participation by the third-party seller on the platform; and</text></subclause><subclause id="id817ec85a59034ab1b5905b45d6bf9439"><enum>(II)</enum><text>uses images on the electronic commerce platform that accurately depict the goods sold, offered for sale, distributed, or advertised on the electronic commerce platform.</text></subclause></clause><clause id="id32f49d0892b848988df201fb3fedd283"><enum>(iii)</enum><text>Provided accessible electronic means by which a registrant and consumer can notify the electronic commerce platform of suspected use of a counterfeit mark.</text></clause><clause id="id91fdbe2235a449559139effd44f94c20"><enum>(iv)</enum><subclause commented="no" display-inline="yes-display-inline" id="ide39328e376134ce3945787b71f1ba5fe"><enum>(I)</enum><text>Implemented at no charge from the electronic commerce platform to registrants proactive measures for screening listings for goods before displaying the goods to the public to prevent the use by any third-party seller of a counterfeit mark in connection with the sale, offering for sale, distribution, or advertising of goods on the platform.</text></subclause><subclause indent="up1" commented="no" display-inline="no-display-inline" id="id8fafc338f8ac47b3bac22b1c47358d75"><enum>(II)</enum><text>For purposes of implementing the proactive measures described in subclause (I)— </text><item commented="no" display-inline="no-display-inline" id="ida159aed262604ec0b0e86e73a3d842d1"><enum>(aa)</enum><text display-inline="yes-display-inline">a registrant shall provide the applicable electronic commerce platform with a notice of the mark of the registrant and a point of contact in advance; and </text></item><item commented="no" display-inline="no-display-inline" id="id3547f64ceb5a4437affcee6dede5a4d8"><enum>(bb)</enum><text display-inline="yes-display-inline">the applicable electronic commerce platform may not require that a registrant participate in any program specific to the electronic commerce platform.</text></item></subclause><subclause indent="up1" commented="no" display-inline="no-display-inline" id="id70bc37fd7a034dc4b9e90236f679ab8b"><enum>(III)</enum><text>An electronic commerce platform shall not be liable under subparagraph (A) for failure to comply with subclause (I) if the registrant has not provided the platform with the information required under subclause (II) and information relating to the mark is not publicly available.</text></subclause><subclause indent="up1" commented="no" display-inline="no-display-inline" id="idb82487dafa7e4f7a910f97110cfa90ad"><enum>(IV)</enum><text>If the screening described in subclause (I) blocks goods from being displayed on the applicable electronic commerce platform, the electronic commerce platform shall allow an opportunity for the applicable third-party seller to provide proof that the goods in question are not counterfeit.</text></subclause></clause><clause id="id8fc9290a87764128a5e6184338944476"><enum>(v)</enum><subclause commented="no" display-inline="yes-display-inline" id="id60541e3ae4ec4701ae79e06c97235960"><enum>(I)</enum><text>Implemented at no charge from the electronic commerce platform to registrants a program to expeditiously disable or remove from the platform any listing for which the platform has actual or constructive knowledge of the use of a counterfeit mark in connection with the sale, offering for sale, distribution, or advertising of goods.</text></subclause><subclause indent="up1" commented="no" display-inline="no-display-inline" id="id6e524eba99924ec7867fa6d8a62d20d5"><enum>(II)</enum><text>For the purposes of subclause (I), constructive knowledge of the use of a counterfeit mark may be inferred based on information gathered by the applicable electronic commerce platform (including information submitted by registrants to the electronic commerce platform), including information regarding— </text><item commented="no" display-inline="no-display-inline" id="idea0eb5e78a01472a99e4141249ab1d83"><enum>(aa)</enum><text display-inline="yes-display-inline">the use of a counterfeit mark on the platform; </text></item><item commented="no" display-inline="no-display-inline" id="idcd47db88eaf345118bcde59807d89a74"><enum>(bb)</enum><text display-inline="yes-display-inline">the allegedly infringed registration; </text></item><item commented="no" display-inline="no-display-inline" id="id5ba13448e09d4646bc703927144cdd8d"><enum>(cc)</enum><text display-inline="yes-display-inline">identifying characteristics of a particular listing or third-party seller; or </text></item><item commented="no" display-inline="no-display-inline" id="id59a1806c540b45928880b9d63862024d"><enum>(dd)</enum><text display-inline="yes-display-inline">other circumstances, as appropriate.</text></item></subclause><subclause indent="up1" commented="no" display-inline="no-display-inline" id="ide4384b66c0054b1ea7c65a084ba92241"><enum>(III)</enum><text>An electronic commerce platform may reinstate a listing disabled or removed under this clause, if, after an investigation initiated by the platform or upon request of the affected third-party seller, the platform reasonably determines that a counterfeit mark was not used in the listing.</text></subclause><subclause indent="up1" commented="no" display-inline="no-display-inline" id="id827c6c1ee8a44befa24e36c0e1b2ea7b"><enum>(IV)</enum><text>A verified decision to reinstate a listing under subclause (III) shall not be a basis for finding that the applicable electronic commerce platform failed to comply with this clause.</text></subclause></clause><clause id="id52a080655bbc4a0fb993cf662b97bb37"><enum>(vi)</enum><subclause commented="no" display-inline="yes-display-inline" id="id2066ca324bf34b2091ac6c2317989742"><enum>(I)</enum><text>Implemented a publicly available, written policy that requires termination of a third-party seller that has been determined to have engaged in repeated use of a counterfeit mark in connection with the sale, offering for sale, distribution, or advertising of goods on the electronic commerce platform.</text></subclause><subclause indent="up1" commented="no" display-inline="no-display-inline" id="id1985e41b2cc84008a74a51316d7b104f"><enum>(II)</enum><text>The use of a counterfeit mark by a third-party seller in 3 separate listings during a 1-year period typically shall be considered repeated use for the purposes of subclause (I), but an electronic commerce platform may allow a third-party seller to remain active after repeated use of a counterfeit mark when mitigating circumstances exist.</text></subclause><subclause indent="up1" commented="no" display-inline="no-display-inline" id="id5909b91a2bb046d5a7fc591fd1d5e216"><enum>(III)</enum><text>The determination of whether mitigating circumstances exist for the purposes of subclause (II) shall consider the overall activity of the applicable third-party seller, efforts the third-party seller has taken to cure supply-chain concerns, third-party seller intent, the scope and nature of the defenses offered by the third-party seller, efforts the third-party seller takes to refute or resolve disputes once notified of a concern, and any other factor considered relevant by a court.</text></subclause><subclause indent="up1" commented="no" display-inline="no-display-inline" id="id80d1138104ad4e3ead97c941323e16df"><enum>(IV)</enum><text>An electronic commerce platform may reinstate a third-party seller after terminating the third-party seller under subclause (I), if, after an investigation initiated by the platform or upon request of the affected third-party seller, the platform determines that the third-party seller did not engage in repeated use of a counterfeit mark or that mitigating circumstances exist.</text></subclause><subclause indent="up1" commented="no" display-inline="no-display-inline" id="id880d73d22b4346f482a1ff7962a8962e"><enum>(V)</enum><text>A verified decision by an electronic commerce platform under subclause (IV) to reinstate a third-party seller shall not be a basis for finding that the platform failed to comply with this clause.</text></subclause></clause><clause id="id03fa841f29ed4412aa7d990b4d8de10c"><enum>(vii)</enum><text>Implemented at no charge from the electronic commerce platform to registrants measures for screening third-party sellers to ensure that third-party sellers that have been terminated under clause (vi) do not rejoin or remain on the platform under a different seller identity or alias.</text></clause><clause id="ide2e409bb33ff4233aba6e8c60348ebaa"><enum>(viii)</enum><text>Provided a verified basis, upon request of a registrant, for the registrant to contact a third-party seller, or the designated agent of a third-party seller for service of process, if the registrant has a bona fide belief that the third-party seller has used a counterfeit mark of a mark belonging to the registrant in connection with the sale, offering for sale, distribution, or advertising of goods that implicate health and safety on the electronic commerce platform, except that the platform is not required to provide information that constitutes the personal identity of an individual, a residential street address, or personal contact information of an individual (and, in such case, the platform shall provide an alternative means of contacting the third-party seller).</text></clause></subparagraph><subparagraph id="idb1ef48dc908041f89339fbfe7b9c0280" indent="up1"><enum>(C)</enum><text>The determination of whether the measures in this paragraph are reasonable shall consider the size and resources of an electronic commerce platform, the nature of the goods and services provided by the platform, available technological and non-technological solutions, the amount of information provided by a registrant to the platform, and any other factor considered relevant by a court.</text></subparagraph><subparagraph id="id777ee590bd044bd6abcaddac564815c5" indent="up1"><enum>(D)</enum><clause commented="no" display-inline="yes-display-inline" id="id84c280e322d3492795cf104f88ded1d7"><enum>(i)</enum><text>This paragraph shall apply to an electronic commerce platform—</text><subclause id="id4770c022e479430ba81a9d88ce3528f2" indent="up1"><enum>(I)</enum><text>that has sales on the platform in the current or previous calendar year in an amount of not less than $500,000; or</text></subclause><subclause id="idaa0f12d27005408fa6569d4c9b09d29c" indent="up1"><enum>(II)</enum><text>with less than $500,000 in sales on the platform in the current or previous calendar year, beginning on the date that is 180 days after the date on which the platform receives the tenth notice, in aggregate, that qualifies under clause (ii).</text></subclause></clause><clause id="id6cdee5c6224d495c9a9d4506ca3c1bc5" indent="up1"><enum>(ii)</enum><text>To count toward the aggregate 10-notice threshold under clause (i)(II), a notice shall—</text><subclause id="idafd0e07399204913bc8b414eb7950327"><enum>(I)</enum><text>include a reference to this paragraph;</text></subclause><subclause id="idbb5d9ca77e53464ab4375b436ddde81f"><enum>(II)</enum><text>include an explicit notification of the 10-notice threshold and the requirement of the applicable electronic commerce platform to publish the information under clause (iii); and</text></subclause><subclause id="id2f27e78808aa451f89f9fc6ea2abbb1d"><enum>(III)</enum><text>identify a listing on the applicable electronic commerce platform that reasonably could be determined to have used a counterfeit mark in connection with the sale, offering for sale, distribution, or advertising of goods that implicate health and safety.</text></subclause></clause><clause id="id3c0f1b935f364147b98b4dc09eddcc4a" indent="up1"><enum>(iii)</enum><text>Not later than 30 days after the date on which an electronic commerce platform described in clause (i)(II) receives the first notice under clause (ii), the platform shall make publicly available an attestation that—</text><subclause id="iddd80fa6fb86948debfd4afeaf759fbaf"><enum>(I)</enum><text>the sales of goods on the platform in the current or previous calendar year were less than $500,000; and</text></subclause><subclause id="idbbe460e7ec1d4ac4a2e25a30dc99c376"><enum>(II)</enum><text>includes an aggregate count of the notices received by the platform that qualify under clause (ii), which shall be updated upon receipt of additional notices by the platform.</text></subclause></clause></subparagraph><subparagraph id="id1a9aeef5f0114013a5b4a72cb233b5bf" indent="up1"><enum>(E)</enum><text>An electronic commerce platform shall implement and maintain reasonable security procedures and practices, including administrative, physical, and technical safeguards, appropriate to the nature of the data and the purposes for which the data will be used, to protect the data collected to comply with the requirements of this paragraph from unauthorized use, disclosure, access, destruction, or modification.</text></subparagraph><subparagraph id="idf28d7511556e442baef5853c6becde01" indent="up1"><enum>(F)</enum><text>This paragraph may not be construed to limit liability or defenses in contexts other than those described in this paragraph, including any cause of action or defenses available under any other provision of this Act, notwithstanding that the same facts may give rise to a claim under this paragraph.</text></subparagraph><subparagraph id="id5a23cf6da7834970ba3a59b93bbdbd79" indent="up1"><enum>(G)</enum><text>With respect to fiscal year 2024, and each fiscal year thereafter, the amounts in subparagraph (D) shall be increased by an amount equal to the percentage increase during the preceding fiscal year, if any, in the Consumer Price Index for All Urban Consumers published by the Department of Labor.</text></subparagraph><subparagraph id="id8e40291691e0430298f2a8699b7ec9a4" indent="up1"><enum>(H)</enum><text>In this paragraph:</text><clause id="id24e546d39cda4441ac679e0251234b47" commented="no"><enum>(i)</enum><text>The term <term>consumer product</term> has the meaning given the term in section 101 of the Magnuson-Moss Warranty—Federal Trade Commission Improvement Act (<external-xref legal-doc="usc" parsable-cite="usc/15/2301">15 U.S.C. 2301</external-xref>) and section 700.1 of title 16, Code of Federal Regulations, or any successor regulation. </text></clause><clause id="id83055973c64f419caeae8de5bc7d30f9" commented="no"><enum>(ii)</enum><text>The term <term>counterfeit mark</term> has the meaning given the term in section 34(d)(1)(B).</text></clause><clause id="idcabcb247f43245daab7a21fc3f5ae852" commented="no"><enum>(iii)</enum><text>The term <term>electronic commerce platform</term>—</text><subclause id="idd98e6e99162b498bacaa99bb9b4a8db9"><enum>(I)</enum><text>means any person or entity that operates a consumer-directed electronically based or accessed platform that—</text><item id="idcc7e4724ea3145d4b507577bff770fdc"><enum>(aa)</enum><text>includes features that allow for, facilitate, or enable third-party sellers to engage in the sale or purchase of a consumer product in the United States; and</text></item><item id="idc0e0c7b2cb544ac5a82e0e53ee20b616"><enum>(bb)</enum><text>is used by 1 or more third-party sellers; and</text></item></subclause><subclause id="id14e5a498957d481096961ae5facd65f2"><enum>(II)</enum><text>does not include any electronically-accessed platform that—</text><item id="id2d769bd5752a408c84748d814bf6687f"><enum>(aa)</enum><text>prohibits the sale of goods by a third-party seller; and</text></item><item id="id5eecdea891b84426bc0d5792d02cee96"><enum>(bb)</enum><text>takes reasonable steps to prevent an unauthorized third-party sale or offer for sale.</text></item></subclause></clause><clause id="id3665f2c2db0043f4b37180cf77e6be05" commented="no"><enum>(iv)</enum><text>The term <term>good that implicates health and safety</term> means a consumer product, the use of which can lead to illness, disease, injury, serious adverse event, allergic reaction, or death, if the consumer product is produced without compliance with all applicable Federal, State, and local health and safety regulations and industry-designated testing, safety, quality, certification, manufacturing, packaging, and labeling standards.</text></clause><clause id="idc2bd64c15309431b9a6f9d64104a5f88" commented="no"><enum>(v)</enum><text>The term <term>third-party seller</term> means any seller, independent of an electronic commerce platform, that sells, offers to sell, or contracts to sell a consumer product in the United States through an electronic commerce platform.</text></clause></subparagraph></paragraph><after-quoted-block>.</after-quoted-block></quoted-block></subsection><subsection id="id4b8d61b8fb524b28ab167b01c0933127"><enum>(b)</enum><header>Effective date</header><text display-inline="yes-display-inline">This section, and the amendments made by this section, shall take effect on the date that is 1 year after the date of enactment of this Act. </text></subsection></section></legis-body></bill>
