which was read twice and referred to the <committee-name committee-id="SSSB00">Committee on Small Business and Entrepreneurship</committee-name></action-desc></action><legis-type>A BILL</legis-type><official-title>To require the Administrator of the Small Business Administration to establish an SBIC Advisory Committee, and for other purposes.</official-title></form><legis-body style="OLC" display-enacting-clause="yes-display-enacting-clause"><section commented="no" display-inline="no-display-inline" section-type="section-one" id="S1"><enum>1.</enum><header display-inline="yes-display-inline">Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>SBIC Advisory Committee Act of 2023</short-title></quote>.</text></section><section commented="no" display-inline="no-display-inline" section-type="subsequent-section" id="id3500E74F851C4A8C8E7D6B3C4B777562"><enum>2.</enum><header display-inline="yes-display-inline">SBIC Advisory Committee</header><subsection commented="no" display-inline="no-display-inline" id="id795a8de950f04a57aa510568b4cc7e4a"><enum>(a)</enum><header display-inline="yes-display-inline">Definitions</header><text display-inline="yes-display-inline">In this section—</text><paragraph commented="no" display-inline="no-display-inline" id="idC93AF015867040DC85BF90636581ED45"><enum>(1)</enum><text display-inline="yes-display-inline">the terms <term>Administration</term> and <term>Administrator</term> mean the Small Business Administration and the Administrator thereof, respectively; </text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="ideabd2204090f45d1b713130cc92f0cbb"><enum>(2)</enum><text display-inline="yes-display-inline">the term <term>Advisory Committee</term> means the SBIC Advisory Committee established under subsection (b);</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="id409B78959CF643E4A79702498A2F18BF"><enum>(3)</enum><text display-inline="yes-display-inline">the term <term>covered Members</term> means the Chair and Ranking Member of—</text><subparagraph commented="no" display-inline="no-display-inline" id="idD3F964A7675F421A9B80A7AA3B59D645"><enum>(A)</enum><text display-inline="yes-display-inline">the Committee on Small Business and Entrepreneurship of the Senate; and</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="idDEE3F16CA3D042B7A078A6DC62AF95ED"><enum>(B)</enum><text display-inline="yes-display-inline">the Committee on Small Business of the House of Representatives;</text></subparagraph></paragraph><paragraph commented="no" display-inline="no-display-inline" id="idE1B699F393314E7ABE6687B7EFEBAC32"><enum>(4)</enum><text display-inline="yes-display-inline">the terms <term>licensee</term>, <term>small business investment company</term>, and <term>underlicensed State</term> have the meanings given those terms in section 301 of the Small Business Investment Act of 1958 (<external-xref legal-doc="usc" parsable-cite="usc/15/662">15 U.S.C. 662</external-xref>); </text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="id6CFFC02C1C984C4E86D120C7A2068A17"><enum>(5)</enum><text display-inline="yes-display-inline">the term <term>low-income community</term> has the meaning given the term in <external-xref legal-doc="usc" parsable-cite="usc/26/45D">section 45D(e)</external-xref> of the Internal Revenue Code of 1986;</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="id0D0FBE27556F4DA5BC3B71BDF0B80AB7"><enum>(6)</enum><text display-inline="yes-display-inline">the term <term>rural area</term> has the meaning given the term by the Bureau of the Census;</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="idAB5E8EB1378B449382A694C975A09730"><enum>(7)</enum><text display-inline="yes-display-inline">the terms <term>small business concern</term>, <term>small business concern owned and controlled by veterans</term>, and <term>small business concern owned and controlled by women</term> have the meanings given those terms in section 3 of the Small Business Act (<external-xref legal-doc="usc" parsable-cite="usc/15/632">15 U.S.C. 632</external-xref>); </text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="id61738D700581402A8852C5E274D06C64"><enum>(8)</enum><text display-inline="yes-display-inline">the term <term>socially or economically disadvantaged individual</term> means a socially disadvantaged individual or economically disadvantaged individual, as described in paragraphs (5) and (6)(A), respectively, of section 8(a) of the Small Business Act (<external-xref legal-doc="usc" parsable-cite="usc/15/637">15 U.S.C. 637(a)</external-xref>); </text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="id9DCA94A0F2D041E18E81C4EF5A832099"><enum>(9)</enum><text display-inline="yes-display-inline">the term <term>underfinanced State</term> means a State that has below median financing, as determined by the Administrator; and</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="id257D4538C13740519374C48C2DDEC1C3"><enum>(10)</enum><text display-inline="yes-display-inline">the term <term>underserved community</term> means—</text><subparagraph commented="no" display-inline="no-display-inline" id="id0C2C9F899FD145928A8689EA25F829F6"><enum>(A)</enum><text display-inline="yes-display-inline">a HUBZone, as defined in section 31(b) of the Small Business Act (<external-xref legal-doc="usc" parsable-cite="usc/15/657a">15 U.S.C. 657a(b)</external-xref>);</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id0746af5173754865a2880734a4f692b2"><enum>(B)</enum><text display-inline="yes-display-inline">a community that has been designated as an empowerment zone or an enterprise community under <external-xref legal-doc="usc" parsable-cite="usc/26/1391">section 1391</external-xref> of the Internal Revenue Code of 1986; </text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id394bb472357f41f784b1541412c9eaeb"><enum>(C)</enum><text display-inline="yes-display-inline">a community that has been designated as a promise zone by the Secretary of Housing and Urban Development; and</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id3F19D11707174BF49D91266579C065B6"><enum>(D)</enum><text display-inline="yes-display-inline">a community that has been designated as a qualified opportunity zone under <external-xref legal-doc="usc" parsable-cite="usc/26/1400Z">section 1400Z–1</external-xref> of the Internal Revenue Code of 1986.</text></subparagraph></paragraph></subsection><subsection commented="no" display-inline="no-display-inline" id="id89573250DBCF46EABC9553A61113369A"><enum>(b)</enum><header display-inline="yes-display-inline">Establishment</header><text display-inline="yes-display-inline">The Administrator shall establish an SBIC Advisory Committee to convene outside experts to advise on the small business investment program under title III of the Small Business Investment Act of 1958 (<external-xref legal-doc="usc" parsable-cite="usc/15/681">15 U.S.C. 681 et seq.</external-xref>).</text></subsection><subsection commented="no" display-inline="no-display-inline" id="idb4fb8cccf1924e3896853d8767f36e39"><enum>(c)</enum><header display-inline="yes-display-inline">Composition</header><paragraph commented="no" display-inline="no-display-inline" id="id988af704e96d4dddae341ab89d74a4fc"><enum>(1)</enum><header display-inline="yes-display-inline">Membership</header><text display-inline="yes-display-inline">The Advisory Committee shall be composed of 16 members appointed by the Administrator as follows:</text><subparagraph commented="no" display-inline="no-display-inline" id="idcf0cb6661eac4fbb97542c47c62ef1dd"><enum>(A)</enum><text display-inline="yes-display-inline">The Associate Administrator of the Office of Investment and Innovation of the Administration, or another designee of the Associate Administrator as determined by the Administrator. </text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id496929ea09d44392aff843605ce8a7bf"><enum>(B)</enum><text display-inline="yes-display-inline">7 members with competence, interest, or knowledge of the small business investment program under title III of the Small Business Investment Act of 1958 (<external-xref legal-doc="usc" parsable-cite="usc/15/681">15 U.S.C. 681 et seq.</external-xref>), of whom—</text><clause commented="no" display-inline="no-display-inline" id="id88DB05B3ABFE426784A2749E360DFFED"><enum>(i)</enum><text display-inline="yes-display-inline">not fewer than 3 shall have a demonstrated record of expertise in investing in—</text><subclause commented="no" display-inline="no-display-inline" id="id88c68a7bf1e84ad09cd9b2f16b5994a5"><enum>(I)</enum><text display-inline="yes-display-inline">low-income communities;</text></subclause><subclause commented="no" display-inline="no-display-inline" id="id57dab39ec557451484a1f61dedc336a9"><enum>(II)</enum><text display-inline="yes-display-inline">communities that have been designated as qualified opportunity zones under <external-xref legal-doc="usc" parsable-cite="usc/26/1400Z">section 1400Z–1</external-xref> of the Internal Revenue Code of 1986;</text></subclause><subclause commented="no" display-inline="no-display-inline" id="id6e0100dd81e14a6d961affb8a29ec1d3"><enum>(III)</enum><text display-inline="yes-display-inline">businesses primarily engaged in research and development;</text></subclause><subclause commented="no" display-inline="no-display-inline" id="id1bc670f989214464835997ffb25ff32b"><enum>(IV)</enum><text display-inline="yes-display-inline">manufacturers;</text></subclause><subclause commented="no" display-inline="no-display-inline" id="id4de41b90859242788db0851e9c431937"><enum>(V)</enum><text display-inline="yes-display-inline">businesses primarily owned or controlled by individuals in underserved communities before receiving capital from the licensee;</text></subclause><subclause commented="no" display-inline="no-display-inline" id="id9b718da5cd90429eb90d49779a9b87d6"><enum>(VI)</enum><text display-inline="yes-display-inline">rural areas; or</text></subclause><subclause commented="no" display-inline="no-display-inline" id="idbea75fd8553a4e0cb73e8682ad8b48c8"><enum>(VII)</enum><text display-inline="yes-display-inline">underfinanced States; and</text></subclause></clause><clause commented="no" display-inline="no-display-inline" id="idA9AD455C89FE42A7AB3A290D3576B06E"><enum>(ii)</enum><text display-inline="yes-display-inline">not fewer than 1 shall be a representative from a trade association for the small business investment program under title III of the Small Business Investment Act of 1958 (<external-xref legal-doc="usc" parsable-cite="usc/15/681">15 U.S.C. 681 et seq.</external-xref>).</text></clause></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id64A6AB59FF654EBBAC8709F09202E243"><enum>(C)</enum><text display-inline="yes-display-inline">8 members appointed by the Administrator as follows:</text><clause commented="no" display-inline="no-display-inline" id="idb2421b64e53b473a900605fbca658f3f"><enum>(i)</enum><text display-inline="yes-display-inline">2 members shall be selected from among the individuals in the list submitted by the Chair of the Committee on Small Business and Entrepreneurship of the Senate under paragraph (2).</text></clause><clause commented="no" display-inline="no-display-inline" id="idecf1ae71f073426287e7a7b654bb81f8"><enum>(ii)</enum><text display-inline="yes-display-inline">2 members shall be selected from among the individuals in the list submitted by the Ranking Member of the Committee on Small Business and Entrepreneurship of the Senate under paragraph (2).</text></clause><clause commented="no" display-inline="no-display-inline" id="idae95edfeb9594d8a9015e619aeb82382"><enum>(iii)</enum><text display-inline="yes-display-inline">2 members shall be selected from among the individuals in the list submitted by the Chair of the Committee on Small Business of the House of Representatives under paragraph (2).</text></clause><clause commented="no" display-inline="no-display-inline" id="idbbcab11df73e439b8a25340b32aee15a"><enum>(iv)</enum><text display-inline="yes-display-inline">2 members shall be selected from among the individuals in the list submitted by the Ranking Member of the Committee on Small Business of the House of Representatives under paragraph (2).</text></clause></subparagraph></paragraph><paragraph commented="no" display-inline="no-display-inline" id="id593416c0f24f42b1ad9d9ea63496a793"><enum>(2)</enum><header display-inline="yes-display-inline">Recommendations</header><text display-inline="yes-display-inline">Not later than 30 days after the date of enactment of this Act, each of the covered Members shall provide to the Administrator a list of 3 candidates for membership on the Advisory Committee, who shall be individuals who have no conflict of interest in the small business investment program under title III of the Small Business Investment Act of 1958 (<external-xref legal-doc="usc" parsable-cite="usc/15/681">15 U.S.C. 681 et seq.</external-xref>) and hold a high-ranking position or senior leadership role in—</text><subparagraph commented="no" display-inline="no-display-inline" id="id34383ff1ac394659a147933689e0aaad"><enum>(A)</enum><text display-inline="yes-display-inline">a relevant industry trade association;</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id5ed9bb20cf81451da4d3c3d46c3d8a8f"><enum>(B)</enum><text display-inline="yes-display-inline">the investment industry with expertise in pensions, endowments, and other non-banking institutions;</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="idb896bf8583574348b607e273891cb195"><enum>(C)</enum><text display-inline="yes-display-inline">academia with expertise in the investment industry; or</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="idd69f9c1386724d0c8b1cf9d6553e3fdb"><enum>(D)</enum><text display-inline="yes-display-inline">a nonprofit institution, including a nonprofit institution that serves any of the entities described in subclauses (I) through (VII) of paragraph (1)(B)(i).</text></subparagraph></paragraph><paragraph commented="no" display-inline="no-display-inline" id="idD82364EAE1E94179B8A3E9132DAEDDCA"><enum>(3)</enum><header display-inline="yes-display-inline">Private sector members</header><text display-inline="yes-display-inline">Not fewer than 2 and not more than 4 of the members of the Advisory Committee shall be investors in the private sector who—</text><subparagraph commented="no" display-inline="no-display-inline" id="id86C573E14583498BA7873417867A0997"><enum>(A)</enum><text display-inline="yes-display-inline">invest in small business concerns; and</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id66D0628A8F8A45AE8B7840E3CB1D3605"><enum>(B)</enum><text display-inline="yes-display-inline">as of the date of appointment, do not participate in the small business investment program under title III of the Small Business Investment Act of 1958 (<external-xref legal-doc="usc" parsable-cite="usc/15/681">15 U.S.C. 681 et seq.</external-xref>).</text></subparagraph></paragraph><paragraph commented="no" display-inline="no-display-inline" id="ide0e32034544b4be087cbfa2ae84a405a"><enum>(4)</enum><header display-inline="yes-display-inline">Chairperson</header><text display-inline="yes-display-inline">The Chairperson of the Advisory Committee shall be the member of the Advisory Committee appointed under paragraph (1)(A).</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="id13c5b4fdf2804e469a4d617fbda0dbb2"><enum>(5)</enum><header display-inline="yes-display-inline">Period of appointment</header><text display-inline="yes-display-inline">Members of the Advisory Committee shall be appointed for the life of the Advisory Committee.</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="ida950a35c01f747bfb1821e5f93e2c2b0"><enum>(6)</enum><header display-inline="yes-display-inline">Vacancies</header><text display-inline="yes-display-inline">Any vacancy in the Advisory Committee shall be filled in the same manner as the original appointment.</text></paragraph></subsection><subsection commented="no" display-inline="no-display-inline" id="idefca61f22a1344c0b5b2e2cebaed0e24"><enum>(d)</enum><header display-inline="yes-display-inline">Deadline for appointment</header><text display-inline="yes-display-inline">Not later than 60 days after the date on which the covered Members provide the lists to the Administrator under subsection (c)(2), the Administrator shall—</text><paragraph commented="no" display-inline="no-display-inline" id="id9f2a30db9de548babfa5b3c1377a1bf0"><enum>(1)</enum><text display-inline="yes-display-inline">appoint the members of the Advisory Committee; and</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="iddc8a70e738c74c7d8a97784c9ac338ea"><enum>(2)</enum><text display-inline="yes-display-inline">submit to Congress a list of the members so appointed.</text></paragraph></subsection><subsection commented="no" display-inline="no-display-inline" id="id5f820ddfdd674a389dcd0197c016bc84"><enum>(e)</enum><header display-inline="yes-display-inline">Duties</header><text display-inline="yes-display-inline">The Advisory Committee shall provide advice and recommendations to the Administrator concerning—</text><paragraph commented="no" display-inline="no-display-inline" id="idAD7D08A584AD4D7291B8DFFF076EF080"><enum>(1)</enum><text display-inline="yes-display-inline">policy and program development and other matters of significance concerning activities under the Small Business Act (<external-xref legal-doc="usc" parsable-cite="usc/15/631">15 U.S.C. 631 et seq.</external-xref>) and the Small Business Investment Act of 1958 (<external-xref legal-doc="usc" parsable-cite="usc/15/661">15 U.S.C. 661 et seq.</external-xref>), including diversifying management teams or companies; </text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="id2b04d6dd064b46049f04234e644d26d4"><enum>(2)</enum><text display-inline="yes-display-inline">incentives for small business investment companies to— </text><subparagraph commented="no" display-inline="no-display-inline" id="id3BC002BE1AAD4CDB99E322C7CCE2A8ED"><enum>(A)</enum><text display-inline="yes-display-inline">invest and locate in underlicensed States and underfinanced States; and </text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="idD14D14D44EE842B093942E981B53EAE6"><enum>(B)</enum><text display-inline="yes-display-inline">invest in small business concerns, including those owned and controlled by socially or economically disadvantaged individuals, small business concerns owned and controlled by veterans, and small business concerns owned and controlled by women; </text></subparagraph></paragraph><paragraph commented="no" display-inline="no-display-inline" id="idd66af476ff994c369ce4c466080337b2"><enum>(3)</enum><text display-inline="yes-display-inline">metrics of success, and benchmarks for success, with respect to the goals described in this section; and</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="idC9DB365A613E40CCB6BE5878AA9B5789"><enum>(4)</enum><text display-inline="yes-display-inline">the impact of the small business investment program under title III of the Small Business Investment Act of 1958 (<external-xref legal-doc="usc" parsable-cite="usc/15/681">15 U.S.C. 681 et seq.</external-xref>) on the private investment market, including whether investments under the program compete with the private sector.</text></paragraph></subsection><subsection commented="no" display-inline="no-display-inline" id="id9f96b21b6d2e4009a508119e5d9f80d0"><enum>(f)</enum><header display-inline="yes-display-inline">Report</header><text display-inline="yes-display-inline">Not later than 18 months after the date on which the Administrator establishes the Advisory Committee under subsection (b), the Advisory Committee shall submit to the Administrator, the Committee on Small Business and Entrepreneurship of the Senate, and the Committee on Small Business of the House of Representatives a report that includes the recommendations of the Advisory Committee described in subsection (e).</text></subsection><subsection commented="no" display-inline="no-display-inline" id="id849b6937ed4443c3aef53ce85ebc0cd5"><enum>(g)</enum><header display-inline="yes-display-inline">Termination</header><text display-inline="yes-display-inline">The Advisory Committee shall terminate on the date on which the Advisory Committee submits the report required under subsection (f). </text></subsection></section></legis-body></bill>
