which was read twice and referred to the <committee-name committee-id="SSJU00">Committee on the Judiciary</committee-name></action-desc></action><legis-type>A BILL</legis-type><official-title>To amend the Trademark Act of 1946 to provide that the licensing of a mark for use by a related company may not be construed as establishing an employment relationship between the owner of the mark, or an authorizing person, and either that related company or the employees of that related company, and for other purposes.</official-title></form><legis-body display-enacting-clause="yes-display-enacting-clause"><section section-type="section-one" id="S1"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Trademark Licensing Protection Act of 2023</short-title></quote>.</text></section><section id="id7E6F47150BED47F8853982CE63824790"><enum>2.</enum><header>Safe harbor</header><text display-inline="no-display-inline">Section 5 of the Act entitled <quote>An Act to provide for the registration and protection of trademarks used in commerce, to carry out the provisions of certain international conventions, and for other purposes</quote>, approved July 5, 1946 (commonly known as the <quote>Trademark Act of 1946</quote>) (<external-xref legal-doc="usc" parsable-cite="usc/15/1055">15 U.S.C. 1055</external-xref>), is amended—</text><paragraph id="idD90B2E2C08CF49F28916DD7167322E2D"><enum>(1)</enum><text>in the first sentence, by striking <quote>Where a</quote> and inserting the following:</text><quoted-block style="OLC" act-name="" id="id5EC9F97F56A942B3BCD10383984C8A50"><subsection id="id50A71F93962044E597C8568D35F75829"><enum>(a)</enum><header>In general</header><text>Where a</text></subsection><after-quoted-block>; and</after-quoted-block></quoted-block></paragraph><paragraph id="idF97471674AA742BC964905E746E4F4D4"><enum>(2)</enum><text>by adding at the end the following:</text><quoted-block style="OLC" act-name="" id="id8898C812BB7B4394A492340E7E868CF3"><subsection id="idE9EA93C821A04129ABA12E75BBE9F7E3"><enum>(b)</enum><header>Consistency in use</header><paragraph id="id6BC4C01987F542839371A19AF22CF6B3"><enum>(1)</enum><header>Definitions</header><text>In this subsection—</text><subparagraph id="id73641EE02E854FAAB99581F91D8B6DB0"><enum>(A)</enum><text>the term <term>authorizing person</term> means a person that is authorized by the owner of a mark to license that mark for use by a related company;</text></subparagraph><subparagraph id="id8227B33F05FF4B86BE6EEDD5FFAEFDE6"><enum>(B)</enum><text>the term <term>communicate</term>, with respect to subparagraph (D)(i)(II), does not include any communication related to a personnel or employment policy or procedure;</text></subparagraph><subparagraph id="idE8DBE58123CB4C71857BE5CC3D95F1B5"><enum>(C)</enum><text>the term <term>employment relationship</term> means any type of joint employer relationship, single employer relationship, or other employment-related status or relationship;</text></subparagraph><subparagraph id="id87DA82F0A7AF47ED803190F1019D7D47"><enum>(D)</enum><text>the term <term>exercise control over the mark</term>—</text><clause id="idD3066BE6427647378209ECF0EBB31244"><enum>(i)</enum><text>includes, but is not limited to, requiring a related company to—</text><subclause id="id0477D81FE0FA4EF9963547CBC485A085"><enum>(I)</enum><text>complete training conducted for the purpose of preserving or enhancing goodwill, a reputation, uniformity, or the expectation of the public with respect to the nature and quality of goods or services associated with a mark; or</text></subclause><subclause id="id047CC078B767479BB6614BE29587BB4C"><enum>(II)</enum><text>communicate with the owner of a mark, or an authorizing person, with respect to preserving or enhancing goodwill, a reputation, uniformity, or the expectation of the public with respect to the nature and quality of goods or services associated with a mark; and</text></subclause></clause><clause id="id6AE15ACC5A5449BD821C986C37FD4EC9"><enum>(ii)</enum><text>does not include any personnel or employment policy or procedure that is communicated—</text><subclause id="id0632519B35964F56A25F0FA825F6D7C5"><enum>(I)</enum><text>by—</text><item id="idBF491242FDBB47AA9B23771DEE54A91E"><enum>(aa)</enum><text>the owner of a mark; or</text></item><item id="id5DE5D681267B45EC905F9E808D1F047B"><enum>(bb)</enum><text>an authorizing person; and</text></item></subclause><subclause id="id6CBA552305AF4AAA963E1FCD9F5CD513"><enum>(II)</enum><text>to—</text><item id="id9EACE327E5A04376B4A0276541AEA50D"><enum>(aa)</enum><text>a related company with respect to the mark; or</text></item><item id="id5523E652C3094E5CA04F69E357676AD7"><enum>(bb)</enum><text>any employee of a related company described in item (aa);</text></item></subclause></clause></subparagraph><subparagraph id="idAB9E970BED614D158BD10F441F0B2FE4"><enum>(E)</enum><text>the term <term>franchise</term> means a franchise, as defined—</text><clause id="id66FFEF970BB34CF9827B72F42C53CE4D"><enum>(i)</enum><text>in section 436.1(h) of title 16, Code of Federal Regulations, as in effect on the date of enactment of this subsection; or</text></clause><clause id="id014E78CD6B234310A19C569F2C1F216D"><enum>(ii)</enum><text>under an applicable State franchise law;</text></clause></subparagraph><subparagraph id="id4E27B47995334D4CA6D06D23A421A9AF"><enum>(F)</enum><text>the term <term>franchisee</term> means a franchisee, as defined—</text><clause id="id9A89ECF6C0214A9C83413FA4A7AC9AAB"><enum>(i)</enum><text>in section 436.1(i) of title 16, Code of Federal Regulations, as in effect on the date of enactment of this subsection; or</text></clause><clause id="id4B949411ACF8442690F948FA623BD4B6"><enum>(ii)</enum><text>under an applicable State franchise law;</text></clause></subparagraph><subparagraph id="idDCD08716C97140EEBB05403B2C9D900E"><enum>(G)</enum><text>the term <term>franchisor</term> means a franchisor, as defined—</text><clause id="id74761F34AF6E4F0DB06591872769FA8D"><enum>(i)</enum><text>in section 436.1(k) of title 16, Code of Federal Regulations, as in effect on the date of enactment of this subsection; or</text></clause><clause id="idA1E51455B6384307880C1842924C69C8"><enum>(ii)</enum><text>under an applicable State franchise law; and</text></clause></subparagraph><subparagraph id="id967A4A49590D46258B562174265FCB75"><enum>(H)</enum><text>the term <term>personnel or employment policy or procedure</term> means—</text><clause id="id8CE41AA2E554489AA1BEF97B53BDCBC4"><enum>(i)</enum><text>any contractually retained right of the owner of a mark, or an authorizing person, to directly control a related company’s hiring, promotion, firing, or discipline of the employees of such related company;</text></clause><clause id="idAB98A8C814644B56A4EED01F7228AF61"><enum>(ii)</enum><text>any contractually retained right of the owner of a mark, or an authorizing person, to directly control a related company’s rates of pay, including wages and fringe benefits;</text></clause><clause id="id3BCE138F5C7040E08BADF86AF3B4F356"><enum>(iii)</enum><text>any contractually retained right of the owner of a mark, or an authorizing person, to directly control a related company’s assignment of employee work schedules;</text></clause><clause id="idC24EC636CA4F4DC3A744323737EA345C"><enum>(iv)</enum><text>any contractually retained right of the owner of a mark, or an authorizing person, to directly control collective bargaining procedures or labor relations; and</text></clause><clause id="idD9F2795A16864B76BB4D1B8CE27337DE"><enum>(v)</enum><text>any contractually retained right of the owner of a mark, or an authorizing person, to directly supervise the employees of a related company.</text></clause></subparagraph></paragraph><paragraph id="idE0EA34BD07694FA68F30163E534CF60E"><enum>(2)</enum><header>Applicability</header><text>For the purposes of the National Labor Relations Act (<external-xref legal-doc="usc" parsable-cite="usc/29/151">29 U.S.C. 151 et seq.</external-xref>) and the Fair Labor Standards Act of 1938 (<external-xref legal-doc="usc" parsable-cite="usc/29/201">29 U.S.C. 201 et seq.</external-xref>), none of the following may be construed, alone or in combination with any other factor, as establishing an employment relationship between the owner of a mark that is a franchisor, or an authorizing person that is a franchisor, and a related company with respect to that franchisor, or the employees of that related company:</text><subparagraph id="id045DEC43001F45EF9FECCB620C56BDCD"><enum>(A)</enum><text>The licensing of the mark for use by that related company or the employees of that related company.</text></subparagraph><subparagraph id="idFA5688AC12404EE38A9F6858C9503863"><enum>(B)</enum><text>Any exercise of control over the mark by that owner or authorizing person, as applicable—</text><clause id="idDE27D82CA2944F02AFC71B266A695248"><enum>(i)</enum><text>with respect to the use of the mark by that related company or the employees of that related company; and</text></clause><clause id="id529E85E398FF4C39B3E47A9D94D7577B"><enum>(ii)</enum><text>for the purpose of preserving or enhancing goodwill, a reputation, uniformity, or the expectation of the public with respect to the nature and quality of goods or services associated with the mark.</text></clause></subparagraph></paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block></paragraph></section><section id="id6A1585AB3C1C4437853F2ECA176325B5"><enum>3.</enum><header>Applicability</header><text display-inline="no-display-inline">This Act, and the amendments made by this Act, shall not apply to any proceeding before the National Labor Relations Board that is commenced before the date of enactment of this Act.</text></section></legis-body></bill>
