which was read twice and referred to the <committee-name committee-id="SSCM00">Committee on Commerce, Science, and Transportation</committee-name></action-desc></action><legis-type>A BILL</legis-type><official-title>To improve the commercialization of Federal research by domestic manufacturers, and for other purposes.</official-title></form><legis-body display-enacting-clause="yes-display-enacting-clause"><section section-type="section-one" id="id306703844371482b97d59058fac9f7cc"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Invent Here, Make Here Act of 2023</short-title></quote>.</text></section><section id="id8DD7D2E6AC1E4FD3B3A1870E44A53118"><enum>2.</enum><header>Improvement of commercialization of Federal research by domestic manufacturers</header><text display-inline="no-display-inline">Section 2 of the National Institute of Standards and Technology Act (<external-xref legal-doc="usc" parsable-cite="usc/15/272">15 U.S.C. 272</external-xref>) is amended by adding at the end the following:</text><quoted-block style="OLC" display-inline="no-display-inline" id="id9E13C73EB6E640AA99862417B5F5D0EE"><subsection id="id6517DDE92A09429AB27E967E0FC3DC62"><enum>(f)</enum><header>Commercialization of Federal research by domestic manufacturers</header><text>In order for the Institute to meet the need described in section 1(a)(1) and most effectively carry out the activities under subsection (c)(1) of this section, the Director shall— </text><paragraph id="idfaf8671e8a654390828f6486b717afc7"><enum>(1)</enum><text>coordinate with the Manufacturing USA Network established under section 34(c)(1) to identify domestic manufacturers that can develop commercial products based on research conducted by Federal agencies;</text></paragraph><paragraph id="id3e645bb3469c4a5eb54a2251d97d186b"><enum>(2)</enum><text>work with the Administrator of the Small Business Administration to identify domestic investors to support the development of commercial products based on research conducted by Federal agencies; and</text></paragraph><paragraph id="idbf022a239f9345f985bf44c47f19c981"><enum>(3)</enum><text>coordinate with the Director of the Made in America Office at the Office of Management and Budget to use the procedures described in section 204(c)(2)(A)(i) of title 35, United States Code, to identify appropriate domestic manufacturers and investors to commercialize products based on Federal research and manufacture such products in the United States.</text></paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block></section><section id="id89d8d5daacbb474ab4d75d92516d9f01"><enum>3.</enum><header>Study and comprehensive review of commercialization of Federal research by domestic manufacturers</header><text display-inline="no-display-inline">Not later than 540 days after the date of enactment of this Act, the Director of the National Institute of Standards and Technology shall—</text><paragraph id="id731EC6A0AC364B879A7197EA883618DF"><enum>(1)</enum><text display-inline="yes-display-inline">complete a study and comprehensive review of the commercialization of Federal research by domestic manufacturers that—</text><subparagraph id="id4A92E2A117F9402E959805F62D8A5CED"><enum>(A)</enum><text>addresses—</text><clause id="id8884C8485B4B49B8A5AB92E6264A72CB"><enum>(i)</enum><text display-inline="yes-display-inline">what barriers currently (as of the date on which the study is completed) exist for domestic manufacturers to commercialize Federal research; and</text></clause><clause id="idDE1B26A357EB4172BBB975168A025D5F"><enum>(ii)</enum><text display-inline="yes-display-inline">what role investment and the availability of investors plays in the encouragement or discouragement of the commercialization of Federal research by domestic manufacturers; and</text></clause></subparagraph><subparagraph id="idC1A623CD5C274DAA86FD4575E8AFEBD2"><enum>(B)</enum><text display-inline="yes-display-inline">provides recommendations for modifications to the comprehensive strategic plan developed and implemented pursuant to section 107 of the American Innovation and Competitiveness Act (<external-xref legal-doc="usc" parsable-cite="usc/15/272">15 U.S.C. 272</external-xref> note) to ensure that Federal science, engineering, and technology research is being transferred to domestic manufacturers to modernize manufacturing processes in accordance with section 2(b)(1) of the National Institute of Standards and Technology Act (<external-xref legal-doc="usc" parsable-cite="usc/15/272">15 U.S.C. 272(b)(1)</external-xref>); and</text></subparagraph></paragraph><paragraph id="idCB85336CF6354AF3A6B3155DBAAAEDD5"><enum>(2)</enum><text>submit to the Committee on Commerce, Science, and Transportation of the Senate and the Committee on Science, Space, and Technology of the House of Representatives a report on the findings of the Director with respect to the study and review completed under paragraph (1).</text></paragraph></section><section id="id7B70781C30E341FAA7A0251A525C7472"><enum>4.</enum><header>Preference for United States industry</header><text display-inline="no-display-inline">Section 204 of title 35, United States Code, is amended to read as follows: </text><quoted-block style="USC" id="id91F1FD016B8E44B39532C861F7D2BC01" act-name=""><section section-type="section-one" id="id9C3F8F6ECB094BD69CD58B1DD968F12E"><enum>204.</enum><header>Preference for United States industry</header><subsection id="id7DC407647FFD49258B2C735EE728B1B5"><enum>(a)</enum><header>Definitions</header><text>In this section:</text><paragraph id="idaf7d4aead7b64683819782cbfd1e9812"><enum>(1)</enum><header>Country of concern</header><text>The term <term>country of concern</term> means a country that—</text><subparagraph id="id9f382dfd86e0412bb078efc0fe85d26c"><enum>(A)</enum><text>is a covered nation, as that term is defined in section 4872(d) of title 10; or</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id8270f0f2dee74e79a4dc55ef984d996c"><enum>(B)</enum><text>the Secretary of Commerce determines is engaged in conduct that is detrimental to the national security of the United States.</text></subparagraph></paragraph><paragraph id="id6d52e0d5cd79432e88cda41f07bfdce9"><enum>(2)</enum><header>Manufactured substantially in the United States</header><text>The term <term>manufactured substantially in the United States</term> means manufactured substantially from all articles, materials, or supplies mined, produced, or manufactured in the United States. </text></paragraph><paragraph id="id48e2b4ab76b34a6d8c9aa0090ac1a644"><enum>(3)</enum><header>Relevant congressional committees</header><text>The term <term>relevant congressional committees</term> means—</text><subparagraph id="id72007ca943404277a6a0a3e210b0fa5b"><enum>(A)</enum><text>the Committee on Commerce, Science, and Transportation of the Senate; and</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="idd9a3c96f0e564076ab9674793ef7def1"><enum>(B)</enum><text>the Committee on Science, Space, and Technology of the House of Representatives.</text></subparagraph></paragraph></subsection><subsection commented="no" display-inline="no-display-inline" id="id7F18601CFE514661B13032EAB02E6895"><enum>(b)</enum><header>General preference</header><text>Notwithstanding any other provision of this chapter, and subject to subsection (c), no small business firm or nonprofit organization which receives title to any subject invention and no assignee of any such small business firm or nonprofit organization shall grant to any person the exclusive right to use or sell any subject invention unless such person agrees that any products embodying the subject invention or produced through the use of the subject invention will be manufactured substantially in the United States.</text></subsection><subsection commented="no" display-inline="no-display-inline" id="id33E8F3D95E0D4FA7820872E90A0D4955"><enum>(c)</enum><header>Waivers</header><paragraph commented="no" display-inline="no-display-inline" id="idD2F40B762DB440AB92AF4720DF89FC1C"><enum>(1)</enum><header>In general</header><text>In individual cases, subject to paragraph (2), the requirement for an agreement described in subsection (b) may be waived by the Federal agency under whose funding agreement the applicable subject invention was made upon a showing by the small business firm, nonprofit organization, or assignee that reasonable but unsuccessful efforts have been made to grant licenses on similar terms to potential licensees that would be likely to manufacture substantially in the United States or that under the circumstances domestic manufacture is not commercially feasible.</text></paragraph><paragraph id="id926727825df342d2af888130df65d198"><enum>(2)</enum><header>Conditions on waivers</header><subparagraph id="ida75d2e152beb466ba0184ea9d15cb3e5"><enum>(A)</enum><header>Before grant of waiver</header><text>Before granting a waiver under paragraph (1), a Federal agency shall—</text><clause id="idac226d9adc7049769d6bb19e26c6906a"><enum>(i)</enum><text>comply with the procedures developed and implemented pursuant to section 70923(b)(2) of the Build America, Buy America Act (subtitle A of title IX of division G of <external-xref legal-doc="public-law" parsable-cite="pl/117/58">Public Law 117–58</external-xref>); and</text></clause><clause id="id00D41CD245754505AE3F78B046083CEA"><enum>(ii)</enum><text>in carrying out clause (i), preserve the confidentiality or trade sensitive nature of information included in the applicable application for a license.</text></clause></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="idf5806c8be7ff4612b3e37763bf667d5f"><enum>(B)</enum><header>Prohibition on granting certain waivers</header><text>A Federal agency may not grant a waiver under paragraph (1) if, as a result of the waiver, products embodying the applicable subject invention, or produced through the use of the applicable subject invention, will be manufactured substantially in a country of concern.</text></subparagraph></paragraph><paragraph commented="no" display-inline="no-display-inline" id="id8B2B2024B36E4FB59259BD3910CFE89E"><enum>(3)</enum><header>Annual report to congressional committees</header><text>Not later than 1 year after the date of enactment of the <short-title>Invent Here, Make Here Act of 2023</short-title>, and annually thereafter, each Federal agency that, during the preceding year, has received a request for a waiver under this subsection shall submit to the relevant congressional committees a report regarding the decision of the Federal agency to grant or deny each such request.</text></paragraph></subsection></section><after-quoted-block>.</after-quoted-block></quoted-block></section><section id="id9AF84BBA00B54ED8A245BA5E4772D4F8"><enum>5.</enum><header>Amendments to the Directorate for Technology, Innovation, and Partnerships</header><text display-inline="no-display-inline">Subtitle G of title III of the Research and Development, Competition, and Innovation Act (<external-xref legal-doc="usc" parsable-cite="usc/42/19101">42 U.S.C. 19101 et seq.</external-xref>) is amended—</text><paragraph id="id00D0D476B7694BB2BBC30349F4D2BB8A"><enum>(1)</enum><text display-inline="yes-display-inline">in section 10382—</text><subparagraph id="id2CD792070B8D44D2B9020AE1CE95CB98"><enum>(A)</enum><text display-inline="yes-display-inline">in paragraph (2), by striking <quote>and</quote> after the semicolon;</text></subparagraph><subparagraph id="idE3060990E02E4B4AA3F460B0374C4931"><enum>(B)</enum><text display-inline="yes-display-inline">in paragraph (3), by striking the period at the end and inserting <quote>; and</quote>; and</text></subparagraph><subparagraph id="id4E0971A060F145D1B2D9FD7A371B3443"><enum>(C)</enum><text>by adding at the end the following:</text><quoted-block style="OLC" display-inline="no-display-inline" id="idAF10D7EC8193401EB7A94EB22DCE2577"><paragraph id="idB8B9AAD09F3C4806BFBED53551897845"><enum>(4)</enum><text>ensure that products developed through research funded by the Directorate will be manufactured in the United States.</text></paragraph><after-quoted-block>;</after-quoted-block></quoted-block></subparagraph></paragraph><paragraph id="id44B9D88301D14DBF996163E37DDC02C4"><enum>(2)</enum><text>in section 10383—</text><subparagraph id="id0256598270F347DCB978CEEE8B350B43"><enum>(A)</enum><text>in paragraph (2), in the matter preceding subparagraph (A), by striking <quote>products,</quote> and inserting <quote>products that will be manufactured in the United States,</quote>;</text></subparagraph><subparagraph id="idA57D8F1FEF4147F4B37D67D6EAAB0304"><enum>(B)</enum><text>in paragraph (4)(C), by inserting <quote>producing,</quote> after <quote>capable of</quote>;</text></subparagraph><subparagraph id="idF922A0F7A87D4271864F489234AA6237"><enum>(C)</enum><text>in paragraph (6), by striking <quote>and</quote> after the semicolon;</text></subparagraph><subparagraph id="idDDCC6C9CD4F7492AB0E7EBD4069A3CEF"><enum>(D)</enum><text display-inline="yes-display-inline">in paragraph (7), by striking the period at the end and inserting <quote>; and</quote>; and </text></subparagraph><subparagraph id="id7064ED785DA74E6B9270B35BD63AA628"><enum>(E)</enum><text>by adding at the end the following:</text><quoted-block style="OLC" display-inline="no-display-inline" id="id407BB33616F54B07929DBFF2DB58293F"><paragraph id="id2D45D5D484444AD093BC8C416E69D3F5"><enum>(8)</enum><text>develop industrial capacity to produce innovations competitively in the United States for the global marketplace.</text></paragraph><after-quoted-block>;</after-quoted-block></quoted-block></subparagraph></paragraph><paragraph id="id675016FB99354A26AF346D8513EA1F0A"><enum>(3)</enum><text>in section 10384—</text><subparagraph id="idC4C3746084BE4F9CB37CB34687A8136F"><enum>(A)</enum><text display-inline="yes-display-inline">in paragraph (1), by striking <quote>and</quote> after the semicolon;</text></subparagraph><subparagraph id="id4FFAC91F7DE6479BA6DF37CDBF0D4287"><enum>(B)</enum><text display-inline="yes-display-inline">in paragraph (2), by striking the period at the end and inserting <quote>; and</quote>; and</text></subparagraph><subparagraph id="id527E6E2F70BC4FD68499C75769B3CF21"><enum>(C)</enum><text>by adding at the end the following: </text><quoted-block style="OLC" display-inline="no-display-inline" id="idD5167A551A3E4575B2A42B1D8E4EA9EC"><paragraph id="id523F0A45B972447F81475C524DC9BDBD"><enum>(3)</enum><text>maximizes economic benefits by ensuring that innovations developed from research awards are produced in the United States.</text></paragraph><after-quoted-block>;</after-quoted-block></quoted-block></subparagraph></paragraph><paragraph id="idBAEBEE8A2F9D4A0B866B86F32D49AA08"><enum>(4)</enum><text>in section 10385—</text><subparagraph id="idB5CF286B2AB14D26B66711C5359344CF"><enum>(A)</enum><text>in subsection (b)(1), by striking <quote>and commercialization</quote> and inserting <quote>commercialization, and domestic production</quote>; and</text></subparagraph><subparagraph id="id27BEA36EA26B455DBE3B9C959B67CEF9"><enum>(B)</enum><text>in subsection (c)(2), by striking <quote>and commercialization</quote> and inserting <quote>commercialization, and domestic production</quote>; </text></subparagraph></paragraph><paragraph id="id0E8E50B52BDB48F4B55A93F7872B85A5"><enum>(5)</enum><text>in section 10386(b)(2), by inserting <quote>with domestic manufacturing operations</quote> after <quote>private sector</quote>;</text></paragraph><paragraph id="idABA58151341E4456AC1847B55A19EFC3"><enum>(6)</enum><text>in section 10389(a), by striking <quote>and commercialization</quote> and inserting <quote>commercialization, and domestic production</quote>; </text></paragraph><paragraph id="id42CDF26196BB419CAE38487F6F605294"><enum>(7)</enum><text>in section 10391(a), by striking <quote>and commercialization</quote> and inserting <quote>commercialization, and domestic production</quote>;
