which was read twice and referred to the <committee-name committee-id="SSBK00">Committee on Banking, Housing, and Urban Affairs</committee-name></action-desc></action><legis-type>A BILL</legis-type><official-title>To amend the Defense Production Act of 1950 to include the Secretary of Agriculture on the Committee on Foreign Investment in the United States and require review of certain agricultural transactions, and for other purposes.</official-title></form><legis-body style="OLC" display-enacting-clause="yes-display-enacting-clause" id="HC44D71D07F5F42CB8F68A78101C2D96C"><section section-type="section-one" id="H25BF50F4930B43219D065154E4560739"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Promoting Agriculture Safeguards and Security Act of 2023</short-title></quote> or the <quote><short-title>PASS Act of 2023</short-title></quote>. </text></section><section id="H53B58D2FEF4D485B9B8A197A45D3BAD9"><enum>2.</enum><header>Review of agriculture-related transactions by CFIUS</header><subsection id="H1A9C88C11F814776A05A6C0BD6F79572"><enum>(a)</enum><header>In general</header><text display-inline="yes-display-inline">Section 721 of the Defense Production Act of 1950 (<external-xref legal-doc="usc" parsable-cite="usc/50/4565">50 U.S.C. 4565</external-xref>) is amended—</text><paragraph id="idC9C5BFA3B4D344BEA975CBFA06D5450F"><enum>(1)</enum><text>in subsection (a)—</text><subparagraph id="id9F8A1C1C877F4793A8CD7D2F52A39D3C"><enum>(A)</enum><text>in paragraph (4)—</text><clause id="id66D1741690D141A68F7DD5EFD39282DE"><enum>(i)</enum><text>in subparagraph (A)—</text><subclause id="id947B431452FB4FB688155BE82DBF07FC"><enum>(I)</enum><text>in clause (i), by striking <quote>; and</quote> and inserting a semicolon; </text></subclause><subclause id="idA6278B0B48D949619D7E534C7B32BB50"><enum>(II)</enum><text>in clause (ii), by striking the period at the end and inserting <quote>; and</quote>; and</text></subclause><subclause id="id5A79EDD1324F4969B77E04911E6796AA"><enum>(III)</enum><text>by adding at the end the following:</text><quoted-block style="OLC" display-inline="no-display-inline" id="idE2A4F53743FF4986BB810FACD6C9893A"><clause id="id2B026136A0B542498A0F7405CC9B9268"><enum>(iii)</enum><text>any transaction described in clause (vi) or (vii) of subparagraph (B) proposed or pending on or after the date of the enactment of this clause.</text></clause><after-quoted-block>;</after-quoted-block></quoted-block></subclause></clause><clause id="id80A0A93FAEC44ACAB322DEB58E41A6B2"><enum>(ii)</enum><text>in subparagraph (B), by adding at the end the following:</text><quoted-block style="OLC" display-inline="no-display-inline" id="idB61092B9150B4668B70EC3D1F2118536"><clause id="idF832E2BF3D9549E9A3656E4BAFFB0F2B"><enum>(vi)</enum><text>Any other investment, subject to regulations prescribed under subparagraphs (D) and (E), by a foreign person in any unaffiliated United States business that is engaged in agriculture or biotechnology related to agriculture.</text></clause><clause id="idC4D2294B5F3348789F93C57DA3ED5981"><enum>(vii)</enum><text>Subject to subparagraphs (C) and (E), the purchase or lease by, or a concession to, a foreign person of private real estate that is—</text><subclause id="id613C1C8475914B95BE20A994D34DDAEB"><enum>(I)</enum><text>located in the United States; and</text></subclause><subclause id="idF1B1CC348ECC40FEB4F42E0153CCF25C"><enum>(II)</enum><text>used in agriculture.</text></subclause></clause><after-quoted-block>; </after-quoted-block></quoted-block></clause><clause id="id7DC4409DE1364DED841D8BBBF18D6A13"><enum>(iii)</enum><text>in subparagraph (C)(i), by striking <quote>subparagraph (B)(ii)</quote> and inserting <quote>clause (ii) or (vii) of subparagraph (B)</quote>;</text></clause><clause id="idF41B17BD570448FD97F1DF174CC4530B"><enum>(iv)</enum><text>in subparagraph (D)—</text><subclause id="id7758AA3B0F5D4FABBC7D85F7B5B4FDC5"><enum>(I)</enum><text>in clause (i), by striking <quote>subparagraph (B)(iii)</quote> and inserting <quote>clauses (iii) and (vi) of subparagraph (B)</quote>;</text></subclause><subclause id="id0C2E121D97C348A88364F9EDF9CC0353"><enum>(II)</enum><text>in clause (iii)(I), by striking <quote>subparagraph (B)(iii)</quote> and inserting <quote>clauses (iii) and (vi) of subparagraph (B)</quote>; </text></subclause><subclause id="id7460741F9E5840BB873622453CEAE56A"><enum>(III)</enum><text>in clause (iv)(I), by striking <quote>subparagraph (B)(iii)</quote> each place it appears and inserting <quote>clauses (iii) and (vi) of subparagraph (B)</quote>; and</text></subclause><subclause id="id4E292D271403475AA95E2E4E959DBB30"><enum>(IV)</enum><text>in clause (v), by striking <quote>subparagraph (B)(iii)</quote> and inserting <quote>clauses (iii) and (vi) of subparagraph (B)</quote>; and</text></subclause></clause><clause id="idBA00F31BD6DB4BF5972AFFA244E75197"><enum>(v)</enum><text>in subparagraph (E), by striking <quote>clauses (ii) and (iii)</quote> and inserting <quote>clauses (ii), (iii), (iv), and (vii)</quote>; and</text></clause></subparagraph><subparagraph id="id4E26341F62C249AABB98739F9C9BB57B"><enum>(B)</enum><text>by adding at the end the following:</text><quoted-block style="OLC" display-inline="no-display-inline" id="id23B31B758EEE4866B84FDD1BA1441FEE"><paragraph id="idF4C3FB650D8A40A0A84661275034885A"><enum>(14)</enum><header>Agriculture</header><text>The term <term>agriculture</term> has the meaning given such term in section 3 of the Fair Labor Standards Act of 1938 (<external-xref legal-doc="usc" parsable-cite="usc/29/203">29 U.S.C. 203</external-xref>).</text></paragraph><after-quoted-block>; </after-quoted-block></quoted-block></subparagraph></paragraph><paragraph id="HDFC8074143ED4F9A8B328C53B10A6F86"><enum>(2)</enum><text>in subsection (k)(2)—</text><subparagraph id="id62410F4DB1814BDB914096D00A0AE3F8"><enum>(A)</enum><text>by redesignating subparagraphs (H), (I), and (J), as subparagraphs (I), (J), and (K), respectively; and </text></subparagraph><subparagraph id="id83F647F4CD2A43BEBEC8D992064C2076"><enum>(B)</enum><text>inserting after subparagraph (G) the following new subparagraph:</text><quoted-block style="OLC" display-inline="no-display-inline" id="idBF56E209DCD540AEB3A05417EB40630B"><subparagraph id="idC6B4C30BBFA340809BA7D84E6558B66E"><enum>(H)</enum><text>The Secretary of Agriculture.</text></subparagraph><after-quoted-block>; and</after-quoted-block></quoted-block></subparagraph></paragraph><paragraph id="H0AD91A7FDA6F4DC582D30E9A2AA8C960"><enum>(3)</enum><text>by adding at the end the following:</text><quoted-block style="OLC" display-inline="no-display-inline" id="HC13BCE61344E48B493B0D6B58654CB66"><subsection id="H9EB8E277406046628931A15F7E5E7D24"><enum>(r)</enum><header>Prohibition with respect to agricultural companies and real estate</header><paragraph id="HED7BE874BB784B19A5810BAF563489F1"><enum>(1)</enum><header>In general</header><text>Notwithstanding any other provision of this section, if the Committee, in conducting a review and investigation under this section, determines that a transaction described in clause (i), (vi), or (vii) of subsection (a)(4)(B) would result in control by a covered foreign person of or investment by a covered foreign person in a United States business engaged in agriculture or private real estate used in agriculture, the President shall prohibit such transaction.</text></paragraph><paragraph id="id51C308D873CF4C24A2CDBEADFFFC2BF0"><enum>(2)</enum><header>Waiver</header><text>The President may waive, on a case-by-case basis, the requirement to prohibit a transaction under paragraph (1), not less than 30 days after the President determines and reports to the relevant committees of jurisdiction that it is vital to the national security interests of the United States to waive such prohibition.</text></paragraph><paragraph id="HFECA7489611F4698A2B0A73CC9255517"><enum>(3)</enum><header>Defined terms</header><text>In this subsection:</text><subparagraph id="id8C0C96CF793B4F3CBC6A9A055061A5EC"><enum>(A)</enum><header>Covered foreign person</header><text>The term <term>covered foreign person</term> means a person that is—</text><clause id="idA64FACA41479471686FB408A9CCC3AF0"><enum>(i)</enum><text>acting on behalf of or otherwise directed by the government of a prohibited country;</text></clause><clause id="id8C55D10C9EE74D2096290F8439D5ADB1"><enum>(ii)</enum><text>a citizen of a prohibited country;</text></clause><clause id="id2343E80A51454441B8D9C8A325921BE9"><enum>(iii)</enum><text>an entity that— </text><subclause id="id6B0D62C0679549AA8CCE56F445AF6E63"><enum>(I)</enum><text>is registered or organized in a prohibited country; or</text></subclause><subclause id="id7BC1A66CBB3C4942B0C676EFF2F68EDD"><enum>(II)</enum><text>has a principal place of business in a prohibited country; or</text></subclause></clause><clause id="id432811BC1DD7447CA5C79D566B8D056B"><enum>(iv)</enum><text>a subsidiary of an entity described in clause (iii).</text></clause></subparagraph><subparagraph id="id5E865C39A1994AAFBAA1C224E7C69EA5"><enum>(B)</enum><header>Prohibited country</header><text>The term <term>prohibited country</term> means any of the following:</text><clause id="HE5D904E755254FBD80A2ED01FAC15DFC"><enum>(i)</enum><text>The People's Republic of China.</text></clause><clause id="H0B661A94958F46248FD7A1A9D0CD2E3F"><enum>(ii)</enum><text>The Russian Federation. </text></clause><clause id="H24C465873BBF43E6B42988AEBC277933"><enum>(iii)</enum><text display-inline="yes-display-inline">The Islamic Republic of Iran.</text></clause><clause id="HF759CEF9FE8F45AAA24F8799BE9CE1A2"><enum>(iv)</enum><text>The Democratic People's Republic of Korea. </text></clause></subparagraph></paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block></paragraph></subsection><subsection id="HA368D4BCFD004A1E84262F4B069ED9D4"><enum>(b)</enum><header>Report required</header><text display-inline="yes-display-inline">Not later than 180 days after the date of the enactment of this Act, and every 180 days thereafter, the Secretary of Agriculture shall submit to the Committee on Agriculture of the House of Representatives and the Committee on Agriculture, Nutrition, and Forestry of the Senate a report on the risks that foreign purchases of United States businesses engaged in agriculture (as such term is defined in section 3 of the Fair Labor Standards Act of 1938 (<external-xref legal-doc="usc" parsable-cite="usc/29/203">29 U.S.C. 203</external-xref>)) pose to the agricultural sector of the United States.</text></subsection></section></legis-body></bill>
