<section id="HB02A6BEA18C44D2C8B7EBB30D421E8B4"><enum>2.</enum><header>Definitions</header><text display-inline="no-display-inline">In this Act:</text> <paragraph id="HC778C7569BDE453AA8944209EF663463"><enum>(1)</enum><header>8<enum-in-header>(a)</enum-in-header> Program</header><text display-inline="yes-display-inline">The term <term>8(a) Program</term> means the program described under section 8(a) of the Small Business Act (<external-xref legal-doc="usc" parsable-cite="usc/15/637">15 U.S.C. 637(a)</external-xref>).</text></paragraph> 
<paragraph id="HE7EF6134C05E4F72A38ACD9C11ECFC49"><enum>(2)</enum><header>Administration; Administrator</header><text display-inline="yes-display-inline">The terms <term>Administration</term> and <term>Administrator</term> mean the Small Business Administration and the Administrator thereof, respectively.</text></paragraph> <paragraph id="HBD8129FFD3B5479D94DADD8D6C734277"><enum>(3)</enum><header>Agency <enum-in-header>OSDBU</enum-in-header></header><text display-inline="yes-display-inline">The term <term>Agency OSDBU</term> means the Office of Small and Disadvantaged Business Utilization (established pursuant to section 15(k) of the Small Business Act (<external-xref legal-doc="usc" parsable-cite="usc/15/644">15 U.S.C. 644(k)</external-xref>)) of a Federal agency.</text></paragraph> 
<paragraph id="H26CF17DE9C374ED6890FD920CA586367" commented="no" display-inline="no-display-inline"><enum>(4)</enum><header>Demographic classifications</header><text>The term <term>demographic classifications</term> means classifications by race, gender, veteran status, or ethnicity.</text></paragraph> <paragraph id="HAC42D1F593C94B329AC2D976AB192E2E"><enum>(5)</enum><header>Disadvantaged small business</header><text display-inline="yes-display-inline">The term <term>disadvantaged small business</term> means—</text> 
<subparagraph id="H922D7EBB5DE4494C985D5D161BADA112"><enum>(A)</enum><text display-inline="yes-display-inline">a socially and economically disadvantaged small business concern, as defined in section 8(a)(4)(A) of the Small Business Act (<external-xref legal-doc="usc" parsable-cite="usc/15/637">15 U.S.C. 637(a)(4)(A)</external-xref>);</text></subparagraph> <subparagraph id="HCEE15B2580A949BB98766D1CEA814A71"><enum>(B)</enum><text>a small business concern owned and controlled by socially and economically disadvantaged individuals, as defined in section 8(d)(3)(C) of the Small Business Act (<external-xref legal-doc="usc" parsable-cite="usc/15/637">15 U.S.C. 637(d)(3)(C)</external-xref>); or</text></subparagraph> 
<subparagraph id="H63A2DA493EFE42F98C09E0C97CAFCA63" commented="no"><enum>(C)</enum><text display-inline="yes-display-inline">a small business concern owned and controlled by a socially and economically disadvantaged individual covered under section 47113 of title 49, United States Code.</text></subparagraph></paragraph> <paragraph id="H8516A1ED7DDA4243BD300BD3E5013379"><enum>(6)</enum><header>MBDA Under Secretary</header><text display-inline="yes-display-inline">The term <term>MBDA Under Secretary</term> means the Under Secretary of Commerce for Minority Business Development of the Minority Business Development Agency (established under section 100002 of the Minority Business Development Act of 2021 (<external-xref legal-doc="usc" parsable-cite="usc/15/9501">15 U.S.C. 9501</external-xref>)).</text></paragraph> 
<paragraph id="H10F48B5DE8404349ACBF802F7E626939"><enum>(7)</enum><header>Small business concern</header><text>The term <term>small business concern</term> has the meaning given under section 3 of the Small Business Act (<external-xref legal-doc="usc" parsable-cite="usc/15/632">15 U.S.C. 632</external-xref>).</text></paragraph> <paragraph id="HB3134EB4C2204A1EA1D34037B4CA45D5"><enum>(8)</enum><header>Small business development center</header><text display-inline="yes-display-inline">The term <term>small business development center</term> has the meaning given in section 3 of the Small Business Act (<external-xref legal-doc="usc" parsable-cite="usc/15/632">15 U.S.C. 632</external-xref>).</text></paragraph></section> 
<section id="H50A68B517DEA4EBD82402AB2BB66971B"><enum>3.</enum><header>Database on contract awards to disadvantaged small businesses</header> 
<subsection id="H006B4D218C864FA4BB5700E76CCFBDA3"><enum>(a)</enum><header>Database required</header><text display-inline="yes-display-inline">The head of each Agency OSDBU shall establish and maintain a public online database that identifies each contract awarded by the Federal agency under the 8(a) Program. Such database shall include the following:</text> <paragraph id="H490B6D7062F84E21B418E4A447A2BE24"><enum>(1)</enum><text display-inline="yes-display-inline">The aggregate number and dollar value of contracts awarded to socially and economically disadvantaged small business concern (as defined in section 8(a)(4)(A) of the Small Business Act (<external-xref legal-doc="usc" parsable-cite="usc/15/637">15 U.S.C. 637(a)(4)(A)</external-xref>)) during the 3-year period preceding the date of the enactment of <external-xref legal-doc="public-law" parsable-cite="pl/95/507">Public Law 95–507</external-xref>, disaggregated by race and ethnic group.</text></paragraph> 
<paragraph id="H8E053779916541B3A4654B6005FA06CB"><enum>(2)</enum><text display-inline="yes-display-inline">The aggregate number and dollar value of contracts awarded to disadvantaged small businesses pursuant to <external-xref legal-doc="public-law" parsable-cite="pl/95/507">Public Law 95–507</external-xref> during the 10-year period preceding the date of the enactment of this Act, disaggregated by race and ethnic group.</text></paragraph> <paragraph id="HCD9F45831DDD4178A960DCC4E90C9C88" commented="no"><enum>(3)</enum><text display-inline="yes-display-inline">Data on offers for Federal contracts submitted by a disadvantaged small business which has previously been awarded a Federal contract or subcontract with the assistance of an Agency OSDBU during such 10-year period.</text></paragraph></subsection> 
<subsection id="H317911010DA64C44B3F37CCF8BA19939"><enum>(b)</enum><header>Factual and historical record of instances of discrimination against disadvantaged small businesses</header> 
<paragraph id="HA6FC37F3B6814E74BC200E56446662E2"><enum>(1)</enum><header>Record required</header><text display-inline="yes-display-inline">The Administrator shall establish a program under which the Administrator shall direct Federal departments and agencies, in coordination with institutions of higher education and other research organizations, to develop and periodically update a factual and historical record of instances of discrimination against disadvantaged small businesses desiring award of a Federal contract or subcontract from such Federal department or agency.</text></paragraph> <paragraph id="H755B1978FA1A46949C37825D54DEB0D5" commented="no"><enum>(2)</enum><header>Elements</header><text>The record described in paragraph (1) shall include the following:</text> 
<subparagraph id="H967029D41CD94271B550B6668DB7020E" commented="no"><enum>(A)</enum><text display-inline="yes-display-inline">Operational barriers that disadvantaged small businesses have historically experienced in Federal contracting and subcontracting.</text></subparagraph> <subparagraph id="HE240640F29994492BD3A98FF0E8D27AD" commented="no"><enum>(B)</enum><text display-inline="yes-display-inline">Qualitative and quantitative trends in Federal contracting with disadvantaged small businesses, disaggregated by North American Industry Classification System code.</text></subparagraph> 
<subparagraph id="HCE4B07E6FFDB4956A3D118F8323740F5" commented="no"><enum>(C)</enum><text display-inline="yes-display-inline">Recommendations for Governmentwide reforms to increase participation by disadvantaged small businesses in Federal contracts and the estimated qualitative and quantitative effects of such recommendations.</text></subparagraph></paragraph></subsection> <subsection id="H75321F6084A94A00A7BDA8BD5D70ACF9"><enum>(c)</enum><header>Uses of database and record</header><text display-inline="yes-display-inline">The database required under subsection (a) or a record developed under subsection (b) may be used—</text> 
<paragraph id="HA385FE921CEA4944BADAB14EED795BF5"><enum>(1)</enum><text display-inline="yes-display-inline">by the Administrator and heads of Federal departments and agencies to develop procurement policies, practices, and strategies that reduce discrimination, establish contracting and subcontracting goals for disadvantaged small businesses, enhance contract compliance monitoring, and increase disadvantaged small business participation in Federal contracting and subcontracting by mechanisms that may include dividing large contracts into multiple smaller contracts, establishing mentor-mentee relationships between businesses, and pairing disadvantaged small businesses with larger businesses for partnering in contract fulfillment;</text></paragraph> <paragraph id="H2C639B0E699641F6B3187D0FEF83E451"><enum>(2)</enum><text display-inline="yes-display-inline">by the head of a Federal department or agency to substantiate an award of a contract under the 8(a) Program;</text></paragraph> 
<paragraph id="HE93FB4AADA874311B1FD77E9154A3A99"><enum>(3)</enum><text display-inline="yes-display-inline">by the head of a Federal department or agency to substantiate any contracting preference program for disadvantaged small businesses administered by the Federal agency;</text></paragraph> <paragraph id="HCB9B23CAE33C4624B77E6ECE04C985B7"><enum>(4)</enum><text display-inline="yes-display-inline">by a disadvantaged small business that seeks an award of a contract under the 8(a) Program to develop a narrative of discrimination; and</text></paragraph> 
<paragraph id="H28A99E6231064D7AB1293CFF290C8FE8"><enum>(5)</enum><text display-inline="yes-display-inline">by a disadvantaged small business that requires proof of discrimination for purpose of a judicial or administrative action or by a person assisting a disadvantaged small business for that purpose.</text></paragraph></subsection></section> <section id="HD719B4DA0C824F6087DA8D4BAF0A54AB"><enum>4.</enum><header>Outreach and recruitment to expand participation of disadvantaged small businesses in Federal contracting</header> <subsection id="H694A76CE116949E4A93F0863721D11F9"><enum>(a)</enum><header>Outreach and recruitment</header><text display-inline="yes-display-inline">The Administrator, in coordination with the MBDA Under Secretary, shall engage in outreach and education to expand participation of disadvantaged small businesses in Federal contracting. Such efforts may include the following:</text> 
<paragraph id="HF9D0B157A40D4081916999E58F9B2B13"><enum>(1)</enum><text display-inline="yes-display-inline">Convening events to engage and inform disadvantaged small businesses, including—</text> <subparagraph id="HBD0EBBD311F54DDA81C61AD2BEA5253F"><enum>(A)</enum><text>business, professional, and industry-specific conferences;</text></subparagraph> 
<subparagraph id="H11BB0467E3694D12AC20E5765D6F3172"><enum>(B)</enum><text>informational fairs; and</text></subparagraph> <subparagraph id="H1294F482A9294D1AA7748F75B12D3E76"><enum>(C)</enum><text>networking events.</text></subparagraph></paragraph> 
<paragraph id="H4460CA71483242ACBF0794A43B434675"><enum>(2)</enum><text display-inline="yes-display-inline">Providing briefings and electronic or printed materials to disadvantaged small businesses and to national and local business associations and organizations that represent disadvantaged small businesses about Federal contracting and subcontracting opportunities and procedures, including opportunities to participate in mentor-protegee programs of Federal agencies.</text></paragraph> <paragraph id="HBECFD11168944E11A6D7BB81DDB466CD"><enum>(3)</enum><text display-inline="yes-display-inline">Partnering with organizations that assist disadvantaged small businesses, historically Black colleges and universities, minority-serving institutions, alumni networks of such colleges and universities and institutions, small business development centers, and other organizations that have the ability to facilitate relationships between prospective disadvantaged small business subcontractors and prime contractors seeking subcontractors.</text></paragraph> 
<paragraph id="H2AF4FD16DA044E1581742EF04FE5F54F" commented="no"><enum>(4)</enum><text display-inline="yes-display-inline">Creating a publicly accessible online directory of disadvantaged small businesses that are subcontractors or that seek to become subcontractors, including details about the North American Industry Classification System code of such businesses, the goods and services provided by such businesses, and past performance information of such subcontractors.</text></paragraph> <paragraph id="HD9E63A9347ED43AAB322161DA23D621D" commented="no"><enum>(5)</enum><text display-inline="yes-display-inline">Creating a publicly accessible online directory of available Federal contracting and subcontracting opportunities that, in the determination of the Administrator, are appropriate for disadvantaged small businesses based on factors that may include the size or scope of the contract or subcontract, the North American Industry Classification System code of the business, or other relevant factors.</text></paragraph></subsection> 
<subsection id="H75ACC12F3F194702B2FCD7196D8A20C2"><enum>(b)</enum><header>Agency OSDBUs</header><text display-inline="yes-display-inline">Pursuant to guidelines established by the Administrator, the Director of each Agency OSDBU shall engage in outreach and education to expand participation of disadvantaged small businesses in contracts and subcontracts with the Federal agency. Such activities shall include the following:</text> <paragraph id="H75F95CDC5FE84BBA8B4FECB10DD3ACCB"><enum>(1)</enum><text display-inline="yes-display-inline">Facilitating interactions between prospective disadvantaged small business subcontractors and prime contractors seeking subcontractors.</text></paragraph> 
<paragraph id="H9F3EB54E6AA54D228A8FE987BD9FFAF7"><enum>(2)</enum><text display-inline="yes-display-inline">Establishing a system to facilitate matching prime contractors seeking subcontractors with prospective disadvantaged small business subcontractors, including through the development of mentor-mentee relationships.</text></paragraph> <paragraph id="H6AA6DD22D33D4A978751B0D76ABE566A"><enum>(3)</enum><text display-inline="yes-display-inline">Advertising subcontracting opportunities through media and business or trade association channels that are effective in reaching prospective disadvantaged small business subcontractors that provide the goods or services for which the advertisement is placed.</text></paragraph> 
<paragraph id="H2335F7B41AA34032840E6F3055B87C03"><enum>(4)</enum><text display-inline="yes-display-inline">Directing contracting officers to provide to prime contractors seeking subcontractors a list of prospective disadvantaged small business subcontractors that provide the needed goods or services.</text></paragraph> <paragraph id="H22E5E9D82BD74B74BBCCA4B539ACD67F" commented="no"><enum>(5)</enum><text display-inline="yes-display-inline">Creating a publicly accessible online directory of disadvantaged small businesses that are eligible to participate in Federal contracting and subcontracting opportunities that includes the North American Industry Classification System codes of such businesses.</text></paragraph></subsection></section> 
<section id="H095667829EF04A2686BFE9F42F3012AC" commented="no"><enum>5.</enum><header>Determination of the date of commencement of participation in the 8(a) program</header><text display-inline="no-display-inline">Section 7(j)(10)(C) of the Small Business Act (<external-xref legal-doc="usc" parsable-cite="usc/15/636">15 U.S.C. 636(j)(10)(C)</external-xref>) is amended—</text> <paragraph id="H618247EE839142CCACDD21B85E99CCF7" commented="no"><enum>(1)</enum><text>by redesignating clause (ii) as clause (iii); and</text></paragraph> 
<paragraph id="H1A45A6AF0A31429E95325899B4420522" commented="no"><enum>(2)</enum><text>by inserting after clause (i) the following:</text> <quoted-block style="OLC" id="H19FE3CEF2CCA4E009A73A514D5089AE4" display-inline="no-display-inline"> <clause id="H3CF069721B72421A87E967189FB0AC3C" indent="up1" commented="no"><enum>(ii)</enum><text display-inline="yes-display-inline">A small business concern that has commenced participation in the Program established under this paragraph on or after the date of the enactment of this clause, shall be considered to have begun such participation one year before the date on which such concern has attained, in the determination of the Administrator, the full benefits of participation in the Program. Such determination may include consideration of the date on which such concern was first awarded a contract or subcontract because of participation of such concern in the Program.</text></clause><after-quoted-block>.</after-quoted-block></quoted-block></paragraph></section> 
<section id="H1167626A2F3A4F1C8D03002E43F08322" commented="no"><enum>6.</enum><header>Inclusion of concerns owned by HBCU business entities in definition of socially and economically disadvantaged small business concern</header> 
<subsection id="HC62B0721AC5840C6848D581AD75F4C63" commented="no"><enum>(a)</enum><header>HBCU business entity defined</header><text display-inline="yes-display-inline">Section 8(a) of the Small Business Act (<external-xref legal-doc="usc" parsable-cite="usc/15/637">15 U.S.C. 637(a)</external-xref>) is amended by adding at the end the following new paragraph: </text> <quoted-block style="OLC" id="H9ED52D1C683F47C8A022E5966D47F91C" display-inline="no-display-inline"> <paragraph id="HB83C096E7763405D99DE5893555D9766" commented="no"><enum>(21)</enum><header>HBCU business entity</header><text display-inline="yes-display-inline">In this subsection, the term <term>HBCU business entity</term> means an entity owned and operated by a part B institution (as defined under section 322 of the Higher Education Act of 1965 (<external-xref legal-doc="usc" parsable-cite="usc/20/1061">20 U.S.C. 1061</external-xref>); commonly referred to as a <quote>historically Black college or university</quote>) for purposes of—</text> 
<subparagraph id="H78BADBB570BF4AAE9E8630B641E9E0E7"><enum>(A)</enum><text>participation in interstate commerce; or</text></subparagraph> <subparagraph id="H59B5CFB8AD1F47CFBDDB44A830AC7E99"><enum>(B)</enum><text>participation in the program described under section 8(a).</text></subparagraph></paragraph><after-quoted-block>.</after-quoted-block></quoted-block></subsection> 
<subsection id="H4B637F4A1BE540E390CB3A40E4781FCE" commented="no"><enum>(b)</enum><header>Inclusion in definition of socially and economically disadvantaged small business concern</header><text display-inline="yes-display-inline">Section 8(a)(4) of the Small Business Act (<external-xref legal-doc="usc" parsable-cite="usc/15/637">15 U.S.C. 637(a)(4)</external-xref>) is amended—</text> <paragraph id="H1C884F98F9314D67B90EC4D3A9956793" commented="no"><enum>(1)</enum><text>in subparagraph (A)—</text> 
<subparagraph id="H0B45A065A09F49DCA10E8707C6360154" commented="no"><enum>(A)</enum><text>in clause (i)—</text> <clause id="H0CC4BD11C24A46419662ECCD22924D7F" commented="no"><enum>(i)</enum><text display-inline="yes-display-inline">in subclause (I), by striking the comma at the end and inserting a semicolon; </text></clause> 
<clause id="H62DDD8A6D3A640308C6D30A82B561C5A" commented="no"><enum>(ii)</enum><text>in subclause (II), by striking <quote>, or</quote> and inserting a semicolon;</text></clause> <clause id="HAA0023111E4A43AD8319C8BFB7A68AF5" commented="no"><enum>(iii)</enum><text>in subclause (III), by striking <quote>, or</quote> and inserting <quote>; or</quote>; and</text></clause>

<section id="HC9A3A5210B894A0A8DAE29A6DAC1505E"><enum>8.</enum><header>Federal disadvantaged small business task force</header> 
<subsection id="H27624DBB6A3C4B8FB61447145C96C4C1"><enum>(a)</enum><header>Establishment</header><text display-inline="yes-display-inline">Not later than 4 months after the date of the enactment of this Act, the President shall establish a task force (in this section referred to as the <quote>Task Force</quote>) to—</text> <paragraph id="H088DBAA482D8461D985A345CAC6B34F0" commented="no"><enum>(1)</enum><text display-inline="yes-display-inline">make recommendations to increase opportunities for disadvantaged small businesses in Federal contracting and subcontracting;</text></paragraph> 
<paragraph id="HFEC19136313047769C356D2EAD81BBA8"><enum>(2)</enum><text display-inline="yes-display-inline">coordinate and optimize participation by disadvantaged small business in Federal contracting and subcontracting, including by—</text> <subparagraph id="HAF6D0870E2114B659CE5C95DCF0E87F8"><enum>(A)</enum><text>attempting to eliminate any discrimination against such businesses; and</text></subparagraph> 
<subparagraph id="H47BE7E7E06A3464781543A6A9291CA53"><enum>(B)</enum><text>removing any barriers to participation such participation;</text></subparagraph></paragraph> <paragraph id="HDBFDD11912F2474CB4542083F59D155B"><enum>(3)</enum><text>encourage compliance by prime contractors with the requirements of covered Executive orders;</text></paragraph> 
<paragraph id="H96C03810E02B4C1E8B18BA697367BC8E"><enum>(4)</enum><text display-inline="yes-display-inline">expand outreach for Federal contracting and subcontracting opportunities to disadvantaged small businesses;</text></paragraph> <paragraph id="H20C5158784C94498B3F5ACFF8DBC30EE"><enum>(5)</enum><text display-inline="yes-display-inline">enhance strategies to match disadvantaged small businesses with prime contractors; and</text></paragraph> 
<paragraph id="H101D4B7405844900B9BB0FA7813A6C80"><enum>(6)</enum><text>recommend policies or revisions to policies relating to Federal contracting and subcontracting for disadvantaged small businesses.</text></paragraph></subsection> <subsection id="HC59E551148F44AF7A8ADD2A22B1B60CF"><enum>(b)</enum><header>Membership</header><text display-inline="yes-display-inline">The members of the Task Force shall include:</text> 
<paragraph id="HAA6D0DCFB3E04D63AE97F4B02B3088BE"><enum>(1)</enum><text display-inline="yes-display-inline">The MBDA Under Secretary, who shall also serve as the chair of the Task Force.</text></paragraph> <paragraph id="H5F0F2F27DEA84B28A83D3625F963852A"><enum>(2)</enum><text>The Administrator of the Small Business Administration.</text></paragraph> 
<paragraph id="HCEF6F3EFB88D4048A70545325606945A"><enum>(3)</enum><text display-inline="yes-display-inline">The Administrator of the Office of Federal Procurement Policy within the Office of Management and Budget.</text></paragraph> <paragraph id="HACBE3FEB369A46ACA371512A57B2216F"><enum>(4)</enum><text display-inline="yes-display-inline">The Director of the Domestic Policy Council.</text></paragraph>

<subsection id="HA5E899933A344524A1E209E9B962857C"><enum>(c)</enum><header>Meetings</header><text display-inline="yes-display-inline">The Task Force shall meet not later than 3 months after the date of establishment and not less frequently than once every 3 months thereafter until the termination date. To the extent practicable, each meeting of the Task Force shall include a presentation by at least one representative from an institution of higher education (as defined in section 101 of the Higher Education Act of 1965 (<external-xref legal-doc="usc" parsable-cite="usc/20/1001">20 U.S.C. 1001</external-xref>)) or other research organization with expertise in matters related to—</text> <paragraph id="H798C74CA1A7F4744B19FE4A4286E4BFA"><enum>(1)</enum><text>the duties of the Task Force;</text></paragraph> 
<paragraph id="HBBBC45C18C42401FB5F2E9434A788B25"><enum>(2)</enum><text>the legal basis for the processes and findings of the Task Force;</text></paragraph> <paragraph id="HF5A7E686010649C3A391EE0DE84D14B3"><enum>(3)</enum><text>historical or current discrimination in Federal contracting against disadvantaged small businesses; or</text></paragraph> 
<paragraph id="HD547B1249781477CB35C8F4314B997FA"><enum>(4)</enum><text>potential remedies to historical or current discrimination in Federal contracting against disadvantaged small businesses.</text></paragraph></subsection> <subsection id="H26F479654D8E4E78A1865040EEEF1F3E"><enum>(d)</enum><header>Duties</header><text>The duties of the Task Force shall include determining the following:</text> 
<paragraph id="H71C99E910CC6457193D2FCA15B8658D6"><enum>(1)</enum><text display-inline="yes-display-inline">Best practices among Federal agencies to promote participation in Federal contracting and subcontracting for disadvantaged small businesses, including practices described in section 4. </text></paragraph> <paragraph id="H7F23E634F6214A74A647D980AB839489"><enum>(2)</enum><text display-inline="yes-display-inline">The needs of disadvantaged small businesses that desire to participate in the 8(a) Program and any contracting programs for disadvantaged small businesses administered by a Federal agency.</text></paragraph> 
<paragraph id="H4897725BE93940C9AD21D8DCD67662F5" commented="no"><enum>(3)</enum><text display-inline="yes-display-inline">Methods and initiatives to expand the participation of disadvantaged small businesses in Federal contracting and subcontracting, including by unbundling large contracts into separate smaller contracts, by increasing flexibility for such businesses to demonstrate eligibility for Federal contracts and subcontracts and to demonstrate past performance of a same or similar contract, and by enforcing compliance by prime contractors with the requirements of covered Executive orders.</text></paragraph> <paragraph id="H01E0B442AB6D44D5A74E71B11AC961EB"><enum>(4)</enum><text display-inline="yes-display-inline">Methods and initiatives to expand access to capital, credit, surety bonds, loan guarantees, financial training, and credit counseling for disadvantaged small businesses.</text></paragraph> 
<paragraph id="H88E5341F3F4546EB882A2A79C65A7553" commented="no"><enum>(5)</enum><text display-inline="yes-display-inline">Strategies to improve the compliance of Federal agencies with contracting and subcontracting objectives set forth in the Executive Order 13985 titled <quote>Advancing Racial Equity and Support for Underserved Communities Through the Federal Government</quote> (86 Fed. Reg. 7009), including the following:</text> <subparagraph id="H8C2908BBC1DD45C7A169D0E77E4459C3" commented="no"><enum>(A)</enum><text>For Federal agencies that fail to meet such objectives—</text> 
<clause id="H8EEAF85195E04245907F4EB75EE1E0E5" commented="no"><enum>(i)</enum><text>opportunities for training of contracting officers on how to increase the number of contracts awarded to disadvantaged small businesses; and</text></clause> <clause id="HC7A133219CBD4DE08DFD416690657DC2" commented="no"><enum>(ii)</enum><text>commencing a study led by the Inspector General for such Federal agency to determine the causes of such failure, evaluate disadvantaged small business participation in prime contracts, and make recommendations for improvement.</text></clause></subparagraph> 
<subparagraph id="HD084C23350F84C60A1E09BBA204EBF7D" commented="no"><enum>(B)</enum><text display-inline="yes-display-inline">For Federal agencies that meet such objectives, incentives to assist such Federal agencies to exceed such objectives.</text></subparagraph></paragraph></subsection> <subsection id="H8A3B5C9AF9BD49EC9C436EA5E30BC422"><enum>(e)</enum><header>Reports</header> <paragraph id="H6EDD0543EFC9460F92A908CCE2603479"><enum>(1)</enum><header>Activities and findings report</header><text>Not later than 4 months after the first meeting date of the Task Force, and biannually thereafter, the chair of the Task Force shall submit to Congress a report on the activities and findings of the Task Force and any recommendations to increase participation of disadvantaged small businesses in Federal contracting and subcontracting.</text></paragraph> 
<paragraph id="H73846E7DCA4D4F5D8C2ED6E704712340" commented="no"><enum>(2)</enum><header>Disparity study report</header><text display-inline="yes-display-inline">Not later than 12 months after the first meeting date of the Task Force, the chair of the Task Force shall submit to Congress a report on the results of a study on disadvantaged small businesses that includes—</text> <subparagraph id="HC3B11FBD15964C139EFF7772EE42C0A4" commented="no"><enum>(A)</enum><text display-inline="yes-display-inline">a quantitative and qualitative analysis of the disadvantaged small businesses that are eligible to perform Federal contracts and subcontracts that were offered during the 5-year period beginning on the date of the establishment of the Task Force under this section;</text></subparagraph> 
<subparagraph id="H826F77362DFE44829F21B626801F9F21" commented="no"><enum>(B)</enum><text display-inline="yes-display-inline">the number and the North American Industry Classification System code of each such business that submitted an offer (or bid) for a contracting or subcontracting opportunity during such period, including information regarding contracts and subcontracts that each such business was previously awarded; </text></subparagraph> <subparagraph id="HD98389A7C4BC4E519C59201F086F393E" commented="no"><enum>(C)</enum><text display-inline="yes-display-inline">the number of such businesses that were awarded such Federal contracts and subcontracts; and</text></subparagraph> 
<subparagraph id="HA69978C36EBF4945A0D2FE2B697E0A52" commented="no"><enum>(D)</enum><text display-inline="yes-display-inline">any conclusions regarding the presence, absence, or extent of discrimination against, or underrepresentation of, disadvantaged small businesses (disaggregated by demographic classification) in Federal contracting and subcontracting.</text></subparagraph></paragraph></subsection> <subsection id="H4CCC52C1CAB04D528ECB67650E43B274"><enum>(f)</enum><header>Termination date</header><text>The Task Force established under this section shall terminate on the date that is 10 years after the first meeting date of the Task Force. </text></subsection> 
<subsection id="H68A1D1CF95104FBFBD1478DC9EDDB7EF"><enum>(g)</enum><header>Covered Executive Order defined</header><text>In this section, the term <term>covered Executive Order</term> means the following:</text> <paragraph id="H4246DFD1B21F470293A8C69DC8ABA3E3"><enum>(1)</enum><text display-inline="yes-display-inline">Executive Order 13985, titled <quote>Advancing Racial Equity and Support for Underserved Communities Through the Federal Government</quote> (January 20, 2021). </text></paragraph>

<paragraph id="H13CCE6B6D6E34FE2892895D40FAC9BEF" commented="no"><enum>(1)</enum><header>In general</header><text><external-xref legal-doc="usc-chapter" parsable-cite="usc-chapter/31/39">Chapter 39</external-xref> of title 31, United States Code, is amended by inserting after <external-xref legal-doc="usc" parsable-cite="usc/31/3905">section 3905</external-xref> the following:</text> <quoted-block style="OLC" id="HC4F2761D5B38424FB1FF5759C791B158" display-inline="no-display-inline"> <section id="H6F4C8279C963438FB7838391906BC3BB" commented="no"><enum>3906.</enum><header>Disclosures for prompt payments on certain contracts</header> <subsection id="HDE271F3309A142B2987244DA113A6069" commented="no"><enum>(a)</enum><header>In general</header><text display-inline="yes-display-inline">Each covered contract shall include a clause that requires the prime contractor to include in each subcontract entered into by the prime contractor and a subcontractor for the purpose of performing such covered contract—</text>

<subsection id="H87C8D171F41D44C5AE02BCC63A819531" commented="no"><enum>(b)</enum><header>Disclosures; reports; evaluations</header> 
<paragraph id="H9BB675840A494A059DBEE29A71A6BA07" commented="no"><enum>(1)</enum><header>Disclosure</header><text>The head of a Federal agency shall include in any contract terms, and in any modification to such contract, a requirement that a prime contractor disclose to each potential subcontractor that is a disadvantaged small business—</text> <subparagraph id="H6EDDB5A3BCA84EBCA10396FFA691A3DF" commented="no"><enum>(A)</enum><text display-inline="yes-display-inline">whether the prime contractor is receiving progress payments or performance-based payments under such contract; and</text></subparagraph> 
<subparagraph id="H6DF30F9942C4458D99F76FC0E421B1DB" commented="no"><enum>(B)</enum><text>whether the prime contractor will provide progress payments to a subcontractor for such contract.</text></subparagraph></paragraph> <paragraph id="H0E4B99E9C9844D49B8D9E3CDCC78BFEF" commented="no"><enum>(2)</enum><header>Acknowledgment</header><text>The prime contractor shall ensure that each potential subcontractor in receipt of a disclosure described in paragraph (1) submits to such prime contractor a signed acknowledgment of receipt of such disclosure. </text></paragraph> 
<paragraph id="HE169498B5B964EC5A782EBBA61B1B22F" commented="no"><enum>(3)</enum><header>Subcontracting reports</header><text display-inline="yes-display-inline">A prime contractor for a Federal contract shall include in any subcontracting reports required to be submitted under Section 8(d)(6)(E) of the Small Business Act (<external-xref legal-doc="usc" parsable-cite="usc/15/637">15 U.S.C. 637(d)(6)(E)</external-xref>) verification of the timely remittance of any payments to each subcontractor of such prime contractor. </text></paragraph> <paragraph id="H91F32011CC4F4468AD1C079E56F3F448" commented="no"><enum>(4)</enum><header>Performance evaluations</header><text>The head of a Federal agency shall include in any contract performance evaluation of a prime contractor for such contract an evaluation of the prime contractor's compliance with the requirements of this subsection and the requirements of section 3906 of title 31, United States Code.</text></paragraph> 
<paragraph id="HB48307D4233848EDB49C09E429A08A75" commented="no"><enum>(5)</enum><header>Subsequent contract ineligibility</header><text display-inline="yes-display-inline">If a prime contractor submits an offer for a subsequent contract to the head of a Federal agency through a sealed bid or negotiated acquisition proposal and such head determines such contractor is not in compliance with paragraph (1), such head may not award the subsequent contract to such contractor—</text> <subparagraph id="H4346A1FCDE854B12BA34D9412D636BE5" commented="no"><enum>(A)</enum><text display-inline="yes-display-inline">until such contractor is in compliance with paragraph (1), as determined by such head; and</text></subparagraph> 
<subparagraph id="HDB16D62A66DE447EA7D686CCD8D2FF22" commented="no"><enum>(B)</enum><text>unless such head determines that such award is in the national interest.</text></subparagraph></paragraph></subsection></section> <section id="H31E827704CB84564968BB0B2740EE79F"><enum>10.</enum><header>Reports on subcontractor engagement</header> <subsection id="HBE12DFFA6AFE4D5B8DBCD2BD70AB2FB4"><enum>(a)</enum><header>In general</header><text display-inline="yes-display-inline">Section 8(d) of the Small Business Act (<external-xref legal-doc="usc" parsable-cite="usc/15/637">15 U.S.C. 637(d)</external-xref>) is amended by adding at the end the following new paragraph:</text>

<paragraph id="H5484E777C7724D48AD260682B2ABE445" display-inline="no-display-inline"><enum>(18)</enum><header>Reports on subcontractor engagement</header> 
<subparagraph id="HC474462E3E0B42F29F7707C68AD7A8DB"><enum>(A)</enum><header>In general</header><text display-inline="yes-display-inline">Each prime contractor that is not a disadvantaged small business that has been awarded a major prime contract shall submit to the head of the Federal agency that awarded such contract an annual report on subcontracts awarded pursuant to such contract, including—</text> <clause id="H49D53DE3BA0D40868A942A86145A17DF"><enum>(i)</enum><text>the total number of subcontracts awarded under the contract;</text></clause> 
<clause id="HC14A1877619D40ABB0FAEBD6F54693DD"><enum>(ii)</enum><text display-inline="yes-display-inline">the number of subcontracts and a description of such subcontracts awarded to disadvantaged small businesses, disaggregated by demographic characteristics, including the North American Industry Classification System code for each such business;</text></clause> <clause id="HBD8EC38D236946E896DA4FA448DE9018"><enum>(iii)</enum><text>the total dollar value of payments made to subcontractors; and</text></clause> 
<clause id="H4DBABB86CAD046F59491D2AE5C4524D1"><enum>(iv)</enum><text display-inline="yes-display-inline">the total dollar value of payments made to disadvantaged small businesses, disaggregated by demographic characteristics.</text></clause></subparagraph> <subparagraph id="H387E912A92CB454A8752716655F00900"><enum>(B)</enum><header>Definitions</header><text>In this paragraph:</text> 
<clause id="H05DBC1429EC8432F912851F92E2552C0"><enum>(i)</enum><header>CONTRACTS Act of 2024 definitions</header><text display-inline="yes-display-inline">The terms <term>demographic characteristics</term> and<quote>disadvantaged small business</quote> have the meanings given, respectively, in the CONTRACTS Act of 2024.</text></clause> <clause id="H1129EEB1AA794A578EF2A4C71F66C28C"><enum>(ii)</enum><header>Major prime contract</header><text>The term <term>major prime contract</term> means—</text> 
<subclause id="H322D60F3B9174AADB612EFBB9DF8D316"><enum>(I)</enum><text display-inline="yes-display-inline">the 50 highest dollar value prime contracts of a Federal agency; and</text></subclause> <subclause id="H2DF51E6A776F4D5CB8179DB710493353"><enum>(II)</enum><text>each contract of a Federal agency that has a total dollar value greater than or equal to $10,000,000.</text></subclause></clause></subparagraph></paragraph><after-quoted-block>.</after-quoted-block></quoted-block></subsection> 
<subsection id="HBE2354D4AEC14584AB9F403FD96A9C41"><enum>(b)</enum><header>Applicability</header><text display-inline="yes-display-inline">This section and the amendments made by this section shall apply with respect to a major prime contract (as defined in section 8(d)(18) of the Small Business Act (<external-xref legal-doc="usc" parsable-cite="usc/15/637">15 U.S.C. 637(d)</external-xref>)) entered into on or after the date of the enactment of this section.</text></subsection></section> <section id="HB8987546665E4F7A90C61A701A655B35" commented="no"><enum>11.</enum><header>Modifications to subcontracting plans to enhance opportunities for small business concerns owned and controlled by socially and economically disadvantaged individuals</header> <subsection id="H4F34D149723B4EA58D124FF603DEEB09" commented="no"><enum>(a)</enum><header>In general</header><text display-inline="yes-display-inline">Each covered person that is required to submit a subcontracting plan under paragraph (4) or (5) of section 8(d) of the Small Business Act (<external-xref legal-doc="usc" parsable-cite="usc/15/637">15 U.S.C. 637(d)</external-xref>) for a contract shall update such subcontracting plan to include the following:</text> 
<paragraph id="HD44B4FAC7D4242DA9F95B55B120FD8A2" commented="no"><enum>(1)</enum><text display-inline="yes-display-inline">The names, addresses, phone numbers, types of business, and North American Industrial Classification System code of the small business concerns owned and controlled by socially and economically disadvantaged individuals, disaggregated by demographic characteristics, that were considered or solicited as subcontractors.</text></paragraph> <paragraph id="HEDBFCC2756B4439482EF57A88B4D0C6C" commented="no"><enum>(2)</enum><text>With respect to such concerns that were considered or solicited but not included in the updated subcontracting plan, the reasons for the decision not to include such concerns.</text></paragraph> 
<paragraph id="H58EACD38D2424B558E5CD1681D8F564D" commented="no"><enum>(3)</enum><text display-inline="yes-display-inline">Information on the process and efforts of the covered person in developing such subcontracting plan, including—</text> <subparagraph id="HEDA1D7FECB7B4D3FBA01EC6E7800C2A5" commented="no"><enum>(A)</enum><text display-inline="yes-display-inline">the actions taken by the covered person to identify, solicit, and provide outreach to small business concerns owned and controlled by socially and economically disadvantaged individuals for possible inclusion in its subcontracting plan;</text></subparagraph> 
<subparagraph id="H06C2D428AED6486B80B19171A510D76B" commented="no"><enum>(B)</enum><text display-inline="yes-display-inline">the information provided by the covered person to such concerns about subcontracting opportunities under the contract;</text></subparagraph> <subparagraph id="H892EAB98E63C4CCA97BDA8D1D96CE111" commented="no"><enum>(C)</enum><text display-inline="yes-display-inline">the means by which the subcontractors that were included in the subcontracting plan were selected by the covered person; and</text></subparagraph> 
<subparagraph id="H06143194F5064CA2B3B544D0CA65D3FA" commented="no"><enum>(D)</enum><text display-inline="yes-display-inline">the directories or lists of small business concerns owned and controlled by socially and economically disadvantaged individuals, websites and website search tools, business or professional associations, industry databases, and other resources that the covered person consulted or used to identify such concerns for possible inclusion in the subcontracting plan.</text></subparagraph></paragraph> <paragraph id="H6B6B6B8ABF1B45969865FF2606E4B877" commented="no"><enum>(4)</enum><text display-inline="yes-display-inline">A description of the plans of the covered person to—</text> 
<subparagraph id="HD75F6A56666742E0860889B88E9001F7" commented="no"><enum>(A)</enum><text display-inline="yes-display-inline">increase the number of disadvantaged small businesses in the subcontracting plan for subsequent years of contract performance; and</text></subparagraph> <subparagraph id="H74D20BCCC1304A7EBB640673E2670E65" commented="no"><enum>(B)</enum><text display-inline="yes-display-inline">increase the dollar amount under the contract allocated for goods and services provided by such concerns.</text></subparagraph></paragraph></subsection> 
<subsection id="H44D835304D3F43A4A3DB3939ADDE05BF" commented="no"><enum>(b)</enum><header>Enforcement</header> 
<paragraph id="HACF735E32F1D412DA7D0442D558EB5EB" commented="no"><enum>(1)</enum><header>Compliance with subcontracting plan</header><text display-inline="yes-display-inline">A covered person described in subsection (a) that is awarded a prime contract and granted a modification of a contract by the head of a Federal agency under such subsection shall remain in compliance with the terms of the updated subcontracting plan during the term of performance of the contract before receiving any amounts related to such modification.</text></paragraph> <paragraph id="H6BB951672A9F4499AA3BE9F0CD6CEACA" commented="no"><enum>(2)</enum><header>Subsequent contract ineligibility</header><text display-inline="yes-display-inline">If a covered person described in paragraph (1) submits an offer for a subsequent contract to such head of a Federal agency through a sealed bid or negotiated acquisition proposal and such head determines such covered person is not in compliance with a subcontracting plan described in subsection (a), such head may not award the subsequent contract to such contractor—</text> 
<subparagraph id="H87EC820F025D4123A11E77349F469083" commented="no"><enum>(A)</enum><text display-inline="yes-display-inline">until such covered person is in compliance with subsection (a), as determined by such head; and </text></subparagraph> <subparagraph id="HF306F16202B04C02BA0D9186B713E91A"><enum>(B)</enum><text>unless such head determines that such award is in the national interest.</text></subparagraph></paragraph> 
<paragraph id="HCBD1CDA6FBF545DDB29677D99538DE4E"><enum>(3)</enum><header>Subsequent contract offer scores</header> 
<subparagraph id="HA8D608B2523940F38569CFAAE848D0A2"><enum>(A)</enum><header>Adjustment to score</header><text>If a covered person described in paragraph (1) submits an offer for a subsequent contract to such head of a Federal agency through a sealed bid or negotiated acquisition proposal, the evaluation score of the contracting officer given to such offer shall be adjusted as follows:</text> <clause id="H5B99C2D76171457EB5B9D9B96C892EEB"><enum>(i)</enum><text>For a covered person that achieved subcontractor diversity in the performance of the prior contract, such score shall be increased by one point.</text></clause> 
<clause id="H4781BD3BDFAF47439C6A269382D1EAC2"><enum>(ii)</enum><text display-inline="yes-display-inline">For a covered person that failed to achieve subcontractor diversity in the performance of the prior contract, such score shall be decreased by one point.</text></clause></subparagraph> <subparagraph id="H5E60A5F9FB8540AFAADD7F53CD0C4222"><enum>(B)</enum><header>Subcontractor diversity determination</header><text>For purposes of this paragraph, the contracting officer that awarded the covered person a contract under subsection (a) shall make a determination as to whether the covered person achieved subcontractor diversity using the information in the subcontracting plan of the covered person and the standards used by such contracting officer to evaluation subcontractor diversity.</text></subparagraph></paragraph></subsection> 
<subsection id="H409DD2A44D8F4D0A8F4C79F87AE2ED19" commented="no"><enum>(c)</enum><header>Accountability</header><text display-inline="yes-display-inline">The appropriate head of a Federal agency shall consider the performance of a contracting officer of responsibilities under this section in any evaluation of the performance of the contracting officer, including such contracting officer’s—</text> <paragraph id="HB69854F38A4A4F6382826A74469FA615"><enum>(1)</enum><text>collection and analysis of prime contractor data to assess subcontractor diversity (as described in subsection (b)(3)(B)); </text></paragraph> 
<paragraph id="H97A6AC619CA6404DB2073B26A9742F40"><enum>(2)</enum><text>failure to identify a covered person’s failure to achieve subcontractor diversity or to comply with an applicable subcontracting plan; and</text></paragraph> <paragraph id="H798A8FCFCB974EC6A49B2EFE0A230B68" commented="no"><enum>(3)</enum><text display-inline="yes-display-inline">efforts for monitoring and determinations regarding the receipt of payments by disadvantaged small business subcontractors from prime contractors in accordance with relevant contractual terms.</text></paragraph></subsection> 
<subsection id="HBA13AC5BA1414611A33843999CF6F8A0" commented="no"><enum>(d)</enum><header>Applicability</header><text display-inline="yes-display-inline">This section and the requirements of this section shall apply with respect to a subcontracting plan entered into on or after the date of the enactment of this section.</text></subsection> <subsection id="HC942EBF1BA3843A7BCCDEFBA90FEB521" commented="no"><enum>(e)</enum><header>Definitions</header><text display-inline="yes-display-inline">In this section:</text> 
<paragraph id="H44A0FB89DDB44E6F804B8C77BD6ED37D" commented="no"><enum>(1)</enum><text>The term <term>small business concerns owned and controlled by socially and economically disadvantaged individuals</term> has the meaning given under section 8(d)(3)(C) of the Small Business Act (<external-xref legal-doc="usc" parsable-cite="usc/15/637">15 U.S.C. 637(d)(3)(C)</external-xref>).</text></paragraph> <paragraph id="HA0F2660A954447F1952B23F429259136" commented="no"><enum>(2)</enum><text display-inline="yes-display-inline">The term <term>covered person</term> means an apparently successful offeror, bidder for a contract, or contractor seeking a modification of a contract. </text></paragraph></subsection></section> 
<section id="H5D6826795E9848D9AC5DD99902B412CD" commented="no"><enum>12.</enum><header>Diversity and inclusion reporting requirements for covered contractors</header> 
<subsection id="HD9062D6A14A943C3A947358BD9C4524F" commented="no"><enum>(a)</enum><header>Governmentwide requirement</header><text display-inline="yes-display-inline">Chapter 47 of division C of subtitle I of title 41, United States Code, is amended by inserting after section 4714 the following new section:</text> <quoted-block id="H3F03B265192C4C2AB47D259DC260EBB9" style="USC"> <section id="H59B883543B4F4C82B03F30A2375BF4F2" commented="no"><enum>4715.</enum><header>Diversity and inclusion reporting requirements for covered contractors</header> <subsection id="H0DDB143200804C52A9A43DD5107A090A" commented="no"><enum>(a)</enum><header>Covered contractor reports</header> <paragraph id="HEE6FA357175E464FA9BFC706AC04E64E" commented="no"><enum>(1)</enum><header>In general</header><text display-inline="yes-display-inline">The head of each executive agency shall require each covered contractor awarded a major contract to submit to such head by the last day of each full fiscal year that occurs during the period of performance of any major contract a report on diversity and inclusion.</text></paragraph> 
<paragraph id="HFC861290D81D4E73926C82B8F711ED1D" commented="no"><enum>(2)</enum><header>Elements</header><text display-inline="yes-display-inline">Each report under paragraph (1) shall include, for the fiscal year covered by the report the following:</text> <subparagraph id="H36DE31E9FD9449968D3ED11A0A1AA87E" commented="no"><enum>(A)</enum><text display-inline="yes-display-inline">A description of each major contract with a period of performance during the fiscal year covered by the report, including the period of performance, expected total value, and value to date of each major contract.</text></subparagraph> 
<subparagraph id="H6C0DCB67FE3B4CE4B8D1DC2439EF4EFD" commented="no"><enum>(B)</enum><text display-inline="yes-display-inline">The total value of payments received under all major contracts of each covered contractor during such fiscal year.</text></subparagraph> <subparagraph id="HCD0C9D109ED64A2C85080CED71F0DE6C" commented="no"><enum>(C)</enum><text display-inline="yes-display-inline">The total number of participants in the board of directors of each covered contractor, nominees for the board of directors of the covered contractor, and the senior leaders of the covered contractor, disaggregated by demographic classifications.</text></subparagraph> 
<subparagraph id="H2B9658FEE94346A9B19C29AB6E5A055B" commented="no"><enum>(D)</enum><text display-inline="yes-display-inline">With respect to employees of each covered contractor—</text> <clause id="HD5D4B43BB716481184721659AD8B3F95" display-inline="no-display-inline" commented="no"><enum>(i)</enum><text display-inline="yes-display-inline">the total number of such employees; and</text></clause> 
<clause id="H8A51EBE379A14A6CA80463BF7577DC07" commented="no"><enum>(ii)</enum><text display-inline="yes-display-inline">the number of such employees (expressed as a numeral and as a percentage of the total number), disaggregated by demographic classification and major occupational group.</text></clause></subparagraph> <subparagraph id="H5AE93F6F4F7F4BDDB5EF6C27B75F6FFF" commented="no"><enum>(E)</enum><text display-inline="yes-display-inline">The value of first-tier subcontracts under each major contract entered into during such fiscal year.</text></subparagraph> 
<subparagraph id="H1E808E595B9048968575D080B6850379" commented="no"><enum>(F)</enum><text display-inline="yes-display-inline">With respect to employees of each covered subcontractor—</text> <clause id="HD78FC452E6FC468D8E1A125177BE8F3F" commented="no"><enum>(i)</enum><text display-inline="yes-display-inline">the total number of such employees; and</text></clause> 
<clause id="H847C3760E23041ED9EDEF68C23B1C304" commented="no"><enum>(ii)</enum><text display-inline="yes-display-inline">the number of such employees (expressed as a numeral and as a percentage of the total number), disaggregated by demographic classification and major occupational group.</text></clause></subparagraph> <subparagraph id="H04BFAFD602DC45DB9CC98AA6F21AEA29" commented="no"><enum>(G)</enum><text display-inline="yes-display-inline">Whether the board of directors of the covered contractor has, as of the date on which the covered contractor submits a report under this section, adopted any policy, plan, or strategy to promote racial, ethnic, and gender diversity among the members of the board of directors of the covered contractor, nominees for the board of directors of the covered contractor, or the senior leaders of the covered contractor.</text></subparagraph> 
<subparagraph id="HE0CE9E444ED948FF8EB9021C7717C14D" commented="no"><enum>(H)</enum><text display-inline="yes-display-inline">A description of participation by the contractor in diversity programs, to include the number of hours spent implementing, funds expended in support of, and the number of unique relationships established by each such diversity program.</text></subparagraph></paragraph></subsection> <subsection id="H0A129483633B4F15B404A09E434B6416" commented="no"><enum>(b)</enum><header>Annual summary report</header> <paragraph id="H39477D5D46814D67BBB1A3685D5CCAE6" commented="no"><enum>(1)</enum><header>Report required</header><text display-inline="yes-display-inline">Not later than 60 days after the first day of each fiscal year, the head of each executive agency shall submit to each relevant committee of Congress a report that summarizes the reports submitted pursuant to subsection (a).</text></paragraph> 
<paragraph id="H4AB3F1E7DD94496691DE41DBFC277159" commented="no"><enum>(2)</enum><header>Elements</header><text>Each report under paragraph (1) shall include the following:</text> <subparagraph id="H65D94E0C6C724B518C3006A67A7CC1BC" commented="no"><enum>(A)</enum><text>An index of the reports submitted pursuant to subsection (a).</text></subparagraph> 
<subparagraph id="H77A8F89CF62D461B81E4D703751E4216" commented="no"><enum>(B)</enum><text display-inline="yes-display-inline">A compilation of the data described in such subsection, disaggregated as described in such subsection.</text></subparagraph> <subparagraph id="HC43323194838465299FA4F84C8883A54" commented="no"><enum>(C)</enum><text>An aggregation of the data provided in such reports.</text></subparagraph> 
<subparagraph id="H0CBA307E58334F12BCBAE11B85FC0E32" commented="no"><enum>(D)</enum><text display-inline="yes-display-inline">A narrative that analyzes the information disclosed in such reports and identifies any year-to-year trends in such information.</text></subparagraph></paragraph></subsection> <subsection id="HB495CDF7E6234A8F841ABB1D57D2A952" commented="no"><enum>(c)</enum><header>Public availability</header><text display-inline="yes-display-inline">Each report required under this subsection shall be posted on a single publicly available website of the relevant executive agency and made available in a machine-readable format that is downloadable, searchable, and sortable.</text></subsection> 
<subsection id="HB3FE13AF27EB45D08221F81AC42AF60C" commented="no"><enum>(d)</enum><header>Executive agency</header><text display-inline="yes-display-inline">Notwithstanding section 3101(c)(1) of this title, this section applies to the Department of Defense, the Coast Guard, and the National Aeronautics and Space Administration.</text></subsection> <subsection id="H87B94F30D2804FDEA50097CFE5D000C0" commented="no"><enum>(e)</enum><header>Definitions</header><text>In this section:</text> 
<paragraph id="H8DE9156BE56E4B09B26ED30A6482C2B3" commented="no"><enum>(1)</enum><header>Covered contractor</header><text display-inline="yes-display-inline">The term <term>covered contractor</term> means a contractor awarded a major contract.</text></paragraph> <paragraph id="H6E5DD77BA6734F4BB647F6A66EE691FB" commented="no"><enum>(2)</enum><header>Covered subcontractor</header><text display-inline="yes-display-inline">The term <term>covered subcontractor</term> means a subcontractor performing a subcontract that is one of the 10 highest aggregate value subcontracts under a major contract and any subcontract that has a total dollar value of $10,000,000 or more. </text></paragraph> 
<paragraph id="HF87DC65FEA5E4E7A9EA022E647CA465B" commented="no"><enum>(3)</enum><header>Demographic classifications</header><text>The term <term>demographic classifications</term> means classifications by race, gender, veteran status, or ethnicity.</text></paragraph> <paragraph id="H33513A66955E493280C9AB9F39AD484F" commented="no"><enum>(4)</enum><header>Diversity program</header><text display-inline="yes-display-inline">The term <term>diversity program</term> means—</text> 
<subparagraph id="HC246009A5D9D46D3974A8DCFF0D70DA6" commented="no"><enum>(A)</enum><text display-inline="yes-display-inline">any contracting program of an executive agency that awards contracts pursuant to section 8(a) of the Small Business Act (<external-xref legal-doc="usc" parsable-cite="usc/15/637">15 U.S.C. 637(a)</external-xref>); and</text></subparagraph> <subparagraph id="H297693AC5F224B579754305D9A6F9B25" commented="no"><enum>(B)</enum><text display-inline="yes-display-inline">any contracting program for disadvantaged small businesses (as defined in the CONTRACTS Act of 2024) administered by the executive agency.</text></subparagraph></paragraph> 
<paragraph id="H7B4CBD446590436A88F2E120EC4099D7" commented="no"><enum>(5)</enum><header>Major contract</header><text>The term <term>major contract</term> means—</text> <subparagraph id="HF0EA518AB35B4FCF830B37CF7AC0234C" commented="no"><enum>(A)</enum><text display-inline="yes-display-inline">the largest 50 contracts (by total dollar value) of each agency; and</text></subparagraph>

<paragraph id="H7BF5478037D24489B24C0A7907CCC52E" commented="no"><enum>(7)</enum><header>Senior leader</header><text>The term <term>senior leader</term> means—</text> <subparagraph id="HEEA3C3323EFA49C79DD312FBEDFC2E58" commented="no"><enum>(A)</enum><text display-inline="yes-display-inline">the president of a covered contractor;</text></subparagraph> 
<subparagraph id="H3FB9B77368234949829BC13860121DCF" commented="no"><enum>(B)</enum><text>any vice president in charge of a principal business unit, division, or function of a covered contractor;</text></subparagraph> <subparagraph id="H48A78DB2C0C640A287177862DBA9CEEA" commented="no"><enum>(C)</enum><text>any other officer of a covered contractor who performs a policy-making function; or</text></subparagraph>

<subsection id="H7E9C2FFC3B3B4F2B8BC5FCA8E120F4E2" commented="no"><enum>(c)</enum><header>Applicability</header><text display-inline="yes-display-inline">The amendments made by this section shall apply with respect to contracts entered into on or after January 1, 2025.</text></subsection></section> <section id="HAA82B9FB3F954AA68C890490DE3E8F6D" commented="no"><enum>13.</enum><header>Chief Counsel for Advocacy report to Congress</header><text display-inline="no-display-inline">Not later than 1 year after the date of the enactment of this Act and annually thereafter, the Chief Counsel for Advocacy of the Office of Advocacy of the Small Business Administration shall submit to Congress a report evaluating the implementation of this Act and the amendments made by this Act and the effects on Federal contracting and subcontracting opportunities for disadvantaged small businesses.</text></section>
