which was referred to the <committee-name committee-id="HHA00">Committee on House Administration</committee-name></action-desc></action><legis-type>A BILL</legis-type><official-title display="yes">To amend title 5, United States Code, to prohibit sale or purchase of covered financial instruments by Members of Congress and their spouses, and for other purposes.</official-title></form><legis-body id="H225651D9B36A4AC8ABB062ADC83A5848" style="OLC"><section id="HB3C9038C193E4985B06A09DBD058C0F0" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Insider Trading Prevention Act</short-title></quote>.</text></section><section id="H6823E0441251425F90F26955DE718BF4"><enum>2.</enum><header>Prohibition on Ownership of Financial Instruments</header><subsection id="HDE8CBCB1729A43CB8A4C4EB13FA5F1F0" display-inline="no-display-inline"><enum>(a)</enum><header>In general</header><text display-inline="yes-display-inline"><external-xref legal-doc="usc-chapter" parsable-cite="usc-chapter/5/131">Chapter 131</external-xref> of title 5, United States Code, is amended by adding at the end the following:</text><quoted-block style="USC" id="H6D4DE09E08DA4EEDBE949A421F884382" display-inline="no-display-inline"><subchapter id="HC5B561C4A80C490C877BE7362C9749F1"><enum>IV</enum><header>Prohibition on Ownership of Financial Instruments</header><section id="H05B8BF84A6B04BE3BE121FEB2E752432"><enum>13151.</enum><header>Definitions</header><text display-inline="no-display-inline">In this subchapter:</text><paragraph id="H1564BCB31F0C4E3C8A420F74D93667A6" commented="no"><enum>(1)</enum><header>Covered financial instrument</header><subparagraph id="H43B8FF2F6C3848EBA2ADBD56EF04B5CB"><enum>(A)</enum><header>In general</header><text>The term <term>covered financial instrument</term> means a security (as defined in section 3(a) of the Securities Exchange Act of 1934 (<external-xref legal-doc="usc" parsable-cite="usc/15/78c">15 U.S.C. 78c(a)</external-xref>)).</text></subparagraph><subparagraph id="HD57D89FF2A974A72A97211FF7774B10B"><enum>(B)</enum><header>Exclusions</header><text>The term <term>covered financial instrument</term> does not include—</text><clause id="HE5FB55FC407B48EBBBB0BA5A9FB91877"><enum>(i)</enum><text>a United States Treasury bill, note, or bond;</text></clause><clause id="H1D181A66B4E746BD8D5838A157C3C81B"><enum>(ii)</enum><text>an exchange-traded fund;</text></clause><clause id="HF65A862D959A47C5A755512034316282"><enum>(iii)</enum><text>a mutual fund; or</text></clause><clause id="H5E75EBBB3ADC4426B049C7AA01637836"><enum>(iv)</enum><text>any investment fund held in a Federal, State, or local government employee retirement plan.</text></clause></subparagraph></paragraph><paragraph id="H78507B5007CC4961A0FF88A656EA1A52"><enum>(2)</enum><header>Covered individual</header><text>The term <term>covered individual</term> means any of the following:</text><subparagraph id="HDB2A82482DAA4800BB5FD94B6BFA4638"><enum>(A)</enum><text>A Member of Congress.</text></subparagraph><subparagraph id="HD11D26C5172F489F9993D210B1CD9A8C"><enum>(B)</enum><text>The spouse of a Member of Congress.</text></subparagraph></paragraph><paragraph id="H2F3A2DB86ECC4655AD447B083D3E2C97" commented="no"><enum>(3)</enum><header>Member of Congress</header><text display-inline="yes-display-inline">The term <term>Member of Congress</term> has the meaning given that term in section 13101.</text></paragraph><paragraph id="H00D9F61F8127444CBEEE106DF3A840C1" commented="no"><enum>(4)</enum><header>Supervising ethics office</header><text>The term <term>supervising ethics office</term> has the meaning given that term in section 13101.</text></paragraph></section><section id="H376061B02BED48CEA2FF07642A623009"><enum>13152.</enum><header>Limitation on owning or trading covered financial instruments</header><subsection id="HEF2A8CBCDF994D95B45E746C3F31A18E" commented="no"><enum>(a)</enum><header>Requirement</header><text display-inline="yes-display-inline">Except as provided in subsection (b), no covered individual may—</text><paragraph id="H02DA9597727A4B63B7D81FC4F245572C"><enum>(1)</enum><text>buy a covered financial instrument on or after the date of enactment of the <short-title>Insider Trading Prevention Act</short-title> or the date on which such individual becomes a covered individual, whichever is later; or</text></paragraph><paragraph id="H71C411A950F046859D66509CCD3D7F5C"><enum>(2)</enum><text>sell a covered financial instrument described in paragraph (1).</text></paragraph></subsection><subsection id="H32FA8658C3944C48AE77C8F329B48067"><enum>(b)</enum><header>Assets acquired through special circumstances</header><text display-inline="yes-display-inline">Beginning one year after the date on which a spouse of a Member of Congress is employed in the primary occupation of such spouse, such spouse may receive a covered financial instrument as compensation from such primary occupation during the period of employment at such occupation.</text></subsection><subsection id="H7EC98149DF824B2E955BC2C1B8A0CDEA"><enum>(c)</enum><header>Proof of compliance</header><paragraph id="H15BD0103C3A6442E8DE34B53A75973F5"><enum>(1)</enum><header>Submission</header><text display-inline="yes-display-inline">A covered individual shall submit to the supervising ethics office a pledge of compliance with the requirements of this subchapter, and shall produce, upon request of the supervising ethics office, material or information determined by the supervising ethics committee to be necessary to indicate compliance with the provisions of this subchapter.</text></paragraph><paragraph id="H12C315C875B2409BA3F8C8E27929DBD0"><enum>(2)</enum><header>Certificate</header><text>The supervising ethics office shall provide each covered individual in compliance with the provisions of this subchapter with a certificate of compliance.</text></paragraph><paragraph id="HE12E25B57B6F4BB8B57396E96E6D81F6"><enum>(3)</enum><header>Annual publication</header><text>The supervising ethics office shall make available annually, on a publicly accessible website, all certificates issued under this subsection.</text></paragraph></subsection></section><section id="HFB3FE98D516A4429B6159583D4180276" display-inline="no-display-inline" section-type="subsequent-section"><enum>13153.</enum><header>Fine for noncompliance</header><text display-inline="no-display-inline">An individual subject to the requirements of this subchapter who is in violation of this subchapter as determined by the supervising ethics office shall pay a fine equal to the higher of the following amounts:</text><paragraph id="H8A891941FE484DBDA41DA2C6208561BD"><enum>(1)</enum><text>$25,000 per violation.</text></paragraph><paragraph id="H9168A350380042E18337EEA07D9986A2"><enum>(2)</enum><text>The value of the covered financial instrument sold or purchased by the individual.</text></paragraph></section></subchapter><after-quoted-block>.</after-quoted-block></quoted-block></subsection><subsection id="HE399C4D121F844BB98E0EFF03B527D5F" commented="no"><enum>(b)</enum><header>Clerical amendment</header><text>The table of sections for such chapter is amended by inserting after the item relating to section 13146 the following:</text><quoted-block style="USC" id="H79E3492D084344C9BB4B8193980F5AFF" display-inline="no-display-inline"><toc regeneration="no-regeneration"><toc-entry level="subchapter">SUBCHAPTER IV—PROHIBITION ON OWNERSHIP OF FINANCIAL INSTRUMENTS</toc-entry><toc-entry level="section">13151.
