R. 5119</legis-num><current-chamber>IN THE SENATE OF THE UNITED STATES</current-chamber><action><action-date>December 13, 2023</action-date><action-desc>Received; read twice and referred to the <committee-name committee-id="SSBK00">Committee on Banking, Housing, and Urban Affairs</committee-name></action-desc></action><legis-type>AN ACT</legis-type><official-title display="yes">To amend title 31, United States Code, to provide small businesses with additional time to file beneficial ownership information, and for other purposes.</official-title></form><legis-body id="H9D6356FD8AA44D149C3614B671B9A8B0" style="OLC"><section id="H7A7BFDB7EED1408E8832DF5587A8F9EE" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Protect Small Business and Prevent Illicit Financial Activity Act</short-title></quote>. </text></section><section id="H78BCCEE5932044A2A102B9A79CD80BC3"><enum>2.</enum><header>Beneficial ownership information reporting deadlines for small businesses</header><text display-inline="no-display-inline">Section 5336(b)(1) of title 31, United States Code, is amended—</text><paragraph id="HAAC15B9F162E4EEF8BE64539AAA224BE"><enum>(1)</enum><text>in subparagraph (B)—</text><subparagraph id="H471832C1AAEE464EA5099F6807A9F571"><enum>(A)</enum><text>by inserting <quote>(but which may not adjust the report submission deadline)</quote> after <quote>Treasury</quote>; and </text></subparagraph><subparagraph id="H4A6BC07D26704795B70A034AF301AA36"><enum>(B)</enum><text>by striking <quote>in a timely manner, and</quote>;</text></subparagraph></paragraph><paragraph id="H623422EE44BA432DB7D4495801838192"><enum>(2)</enum><text>in subparagraph (C)—</text><subparagraph id="HA6D320393C84445081989C3D24C9098F"><enum>(A)</enum><text>by inserting <quote>(but which may not adjust the report submission deadline)</quote> after <quote>Treasury</quote>; and </text></subparagraph><subparagraph id="H18A42D23A3D4409F958E94721E75EF29"><enum>(B)</enum><text>by striking <quote>at the time of</quote> and inserting <quote>not later than 90 days after the date of such</quote>;</text></subparagraph></paragraph><paragraph id="H3F1CB8378BF4487AA258DA11A028BA67"><enum>(3)</enum><text display-inline="yes-display-inline">in subparagraph (D)—</text><subparagraph id="HCB7A43D554C448A4BB38FD21499079C2"><enum>(A)</enum><text display-inline="yes-display-inline">by inserting <quote>(but which may not adjust the report submission deadline)</quote> after <quote>Treasury</quote>; and</text></subparagraph><subparagraph id="HE0C7CC01E6C744D8BC4811AC4CAEE398"><enum>(B)</enum><text>by striking <quote>in a timely manner, and not later than 1 year</quote> and inserting <quote>not later than 90 days</quote>; and</text></subparagraph></paragraph><paragraph id="HCF70C222F20E4D3F9A3A64851113AADB"><enum>(4)</enum><text>by adding at the end the following:</text><quoted-block style="OLC" id="HD7868B8A935C4C43BD95D3514A774638" display-inline="no-display-inline"><subparagraph id="HDB8DB5AD18514FA6B7D5C211B15E4A84"><enum>(H)</enum><header>Unable to obtain</header><text display-inline="yes-display-inline">FinCEN may not by rule, guidance, or otherwise, permit a reporting company from submitting a report relating to the inability of the reporting company to obtain or identify information in the alternative to submitting a report required under this subsection. </text></subparagraph><after-quoted-block>.</after-quoted-block></quoted-block></paragraph></section></legis-body><attestation><attestation-group><attestation-date date="20231212" chamber="House">Passed the House of Representatives December 12, 2023.</attestation-date><attestor display="yes">Kevin F.
