In carrying out such study, the Commission shall—</text><paragraph id="H22639359B51F4B3D912E0B61EC1213BE"><enum>(1)</enum><text display-inline="yes-display-inline">consider the direct and indirect costs of an IPO, including—</text><subparagraph id="H5C7C51ABDF9845739416DC3ED2AFBAFA"><enum>(A)</enum><text display-inline="yes-display-inline">fees, such as gross spreads paid to underwriters, IPO advisors, and other professionals;</text></subparagraph><subparagraph id="H6568D14ED6BD482A863120B7A0C6B110"><enum>(B)</enum><text>compliance with Federal and State securities laws at the time of the IPO; and</text></subparagraph><subparagraph id="HE7DEA121077D40AC96A46072C6AC37A1"><enum>(C)</enum><text>such other IPO-related costs as the Commission determines appropriate;</text></subparagraph></paragraph><paragraph id="HBD042C77B4B84B338AC3076266638CD0"><enum>(2)</enum><text display-inline="yes-display-inline">compare and analyze the costs of an IPO with the costs of obtaining alternative sources of financing and of liquidity;</text></paragraph><paragraph id="H8D62BACD499B4205A0C91A45E95E5899"><enum>(3)</enum><text display-inline="yes-display-inline">consider the impact of such costs on capital formation;</text></paragraph><paragraph id="H779F7846D7774FA0AE4F75AC00DF5317"><enum>(4)</enum><text display-inline="yes-display-inline">analyze the impact of these costs on the availability of public securities of small- and medium-sized companies to retail investors; and</text></paragraph><paragraph id="H167A8B746DFC4532A7E8ABC4D8CFD96A"><enum>(5)</enum><text display-inline="yes-display-inline">analyze trends in IPOs over a time period the Commission determines is appropriate to analyze IPO pricing practices, considering—</text><subparagraph id="HBA15C6EE88CA49CC9B97EE8AD21118E0"><enum>(A)</enum><text>the number of IPOs;</text></subparagraph><subparagraph id="H5B3357EE9C464F419B635B36DCE1662C"><enum>(B)</enum><text display-inline="yes-display-inline">how costs for IPOs have evolved over time, including fees paid to underwriters, investment advisory firms, and other professions for services in connection with an IPO;</text></subparagraph><subparagraph id="H8463AB32BC4F4241AC771267745A7108"><enum>(C)</enum><text display-inline="yes-display-inline">the number of brokers and dealers active in underwriting IPOs;</text></subparagraph><subparagraph id="HE7BEB6DE7C904223BA988EDAD5D18717"><enum>(D)</enum><text display-inline="yes-display-inline">the different types of services that underwriters and related persons provide before and after a small- or medium-sized company IPO and the factors impacting underwriting costs;</text></subparagraph><subparagraph id="H4B6E7DCE95B149A2897B4764C0DDF066"><enum>(E)</enum><text display-inline="yes-display-inline">changes in the costs and availability of investment research for small- and medium-sized companies; and</text></subparagraph><subparagraph id="H487D09882891426FA3AF0777B8B9BE8B"><enum>(F)</enum><text>any other consideration the Commission considers necessary and appropriate.</text></subparagraph></paragraph></subsection><subsection id="H1968F9E4D7E649239603993D2D1A64A3"><enum>(b)</enum><header>Report</header><text>Not later than the end of the 360-day period beginning on the date of the enactment of this Act, the Commission shall issue a report to the Congress containing all findings and determinations made in carrying out the study required under subsection (a) and any administrative or legislative recommendations the Commission may have.</text></subsection></section></legis-body><endorsement display="yes"><action-date date="20230605">June 5, 2023</action-date><action-desc>Reported with an amendment, committed to the Committee of the Whole House on the State of the Union, and ordered to be printed</action-desc></endorsement></bill>
