R. 2796</legis-num><associated-doc role="report" display="yes">[Report No. 118–78]</associated-doc><current-chamber>IN THE HOUSE OF REPRESENTATIVES</current-chamber><action display="yes"><action-date date="20230424">April 24, 2023</action-date><action-desc><sponsor name-id="W000187">Ms. Waters</sponsor> introduced the following bill; which was referred to the <committee-name committee-id="HBA00">Committee on Financial Services</committee-name></action-desc></action><action display="yes"><action-date date="20230530">May 30, 2023</action-date><action-desc>Reported with an amendment, committed to the Committee of the Whole House on the State of the Union, and ordered to be printed</action-desc><action-instruction>Strike out all after the enacting clause and insert the part printed in italic</action-instruction><action-instruction>For text of introduced bill, see copy of bill as introduced on April 24, 2023</action-instruction></action><action><action-desc><pagebreak></pagebreak></action-desc></action><legis-type>A BILL</legis-type><official-title display="yes">To amend the Securities Exchange Act of 1934 to require the Advocate for Small Business Capital Formation to provide educational resources and host events to promote capital raising options for traditionally underrepresented small businesses, and for other purposes.<pagebreak></pagebreak></official-title></form><legis-body display-enacting-clause="yes-display-enacting-clause" changed="added" style="OLC" committee-id="HBA00" reported-display-style="italic" id="HFFC34571AC144969943F48F481BC3EA3"><section id="H619F6BB16A5B476786E26769A20E72AA" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Promoting Opportunities for Non-Traditional Capital Formation Act</short-title></quote>.</text></section><section id="H0DE7310A7E284A1592DC7919C303B8BA"><enum>2.</enum><header>Promoting capital raising options for traditionally underrepresented small businesses</header><text display-inline="no-display-inline">Section 4(j)(4) of the Securities Exchange Act of 1934 (<external-xref legal-doc="usc" parsable-cite="usc/15/78d">15 U.S.C. 78d(j)(4)</external-xref>) is amended—</text><paragraph id="HBA4E62F7B90D4563954CDF1CFBE9B323"><enum>(1)</enum><text>in subparagraph (G), by striking <quote>and</quote> at the end;</text></paragraph><paragraph id="HEEEA22D8D7FB47BF95105379107631D8"><enum>(2)</enum><text>in subparagraph (H), by striking the period at the end and inserting a semicolon; and</text></paragraph><paragraph id="HD178DF29C07C493283AF256193AC1137"><enum>(3)</enum><text>by adding at the end the following:</text><quoted-block style="OLC" id="H46A5390C5CDF4F2693929896757ABE0B" display-inline="no-display-inline" changed="added" reported-display-style="italic" committee-id="HBA00"><subparagraph id="H61C60B6EB0874ED9ABAEB9DF38DCF5D5"><enum>(I)</enum><text display-inline="yes-display-inline">provide educational resources and host events to raise awareness of capital raising options for—</text><clause id="HB48A14C9E8BA4EF1A41A4223481DDBE7"><enum>(i)</enum><text>underrepresented small businesses, including women-owned and minority-owned small businesses; </text></clause><clause id="H36C0590D50D442539CB3009C88B49411"><enum>(ii)</enum><text display-inline="yes-display-inline">businesses located in rural areas; and</text></clause><clause id="H37E85C0711FF4717BC424627DA7F3994"><enum>(iii)</enum><text display-inline="yes-display-inline">small businesses affected by hurricanes or other natural disasters; and</text></clause></subparagraph><subparagraph id="HB1530A0501F34238BD2FC6ADD29B9F6F"><enum>(J)</enum><text display-inline="yes-display-inline">at least annually, meet with representatives of State securities commissions to discuss opportunities for collaboration and coordination with respect to efforts to assist small businesses and small business investors.</text></subparagraph><after-quoted-block>.</after-quoted-block></quoted-block></paragraph></section></legis-body><endorsement display="yes"><action-date>May 30, 2023</action-date><action-desc>Reported with an amendment, committed to the Committee of the Whole House on the State of the Union, and ordered to be printed</action-desc></endorsement></bill>
