which was referred to the <committee-name committee-id="HHA00">Committee on House Administration</committee-name>, and in addition to the Committee on <committee-name committee-id="HWM00">Ways and Means</committee-name>, for a period to be subsequently determined by the Speaker, in each case for consideration of such provisions as fall within the jurisdiction of the committee concerned</action-desc></action><legis-type>A BILL</legis-type><official-title display="yes">To amend title 5, United States Code, to prohibit transactions involving certain financial instruments by Members of Congress and their spouses, and for other purposes.</official-title></form><legis-body id="H88E50A35FA434DA2A4168D93A5C82C99" style="OLC"><section id="H8DA83944465E4EAAB70FF5EC61346111" section-type="section-one" commented="no"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Prohibit Insider Trading Act</short-title></quote> .</text></section><section id="H5810426D4BC94BCF8A7C1B88CF993BF5"><enum>2.</enum><header>Prohibiting transactions and ownership of certain financial instruments by Members of Congress and their spouses</header><subsection id="HF768DC5F5ED24A0CAEFD0931664A182E"><enum>(a)</enum><header>In general</header><text display-inline="yes-display-inline"><external-xref legal-doc="usc-chapter" parsable-cite="usc-chapter/5/131">Chapter 131</external-xref> of title 5, United States Code, is amended by adding after subchapter III the following:</text><quoted-block style="USC" id="H33140EB331954C248569A773630B5355" display-inline="no-display-inline"><subchapter id="HB5A00BC865AD4715A01C8C4C04258E89"><enum>IV</enum><header>Restrictions Regarding Financial Instruments</header><section id="HF4BC4A2517954C8A8453800928068696"><enum>13151.</enum><header>Definitions</header><text display-inline="no-display-inline">In this subchapter—</text><paragraph id="HA52DA1C1D70B42CEBAB706081C4B5A41"><enum>(1)</enum><text>the term <term>covered financial instrument</term>—</text><subparagraph id="HCD3421E28E964521861FBFE166122BCF"><enum>(A)</enum><text display-inline="yes-display-inline">means—</text><clause id="H35CF65B245E4488689BE3525F86086BD"><enum>(i)</enum><text>any investment in—</text><subclause id="H975E3C2A529D4CD6A99A687D3CF06344"><enum>(I)</enum><text>a security (as defined in section 3(a) of Securities Exchange Act of 1934 (<external-xref legal-doc="usc" parsable-cite="usc/15/78c">15 U.S.C. 78c(a)</external-xref>));</text></subclause><subclause id="HBE169B35793A4F32AEFBCB15A35C8AD8"><enum>(II)</enum><text>a security future (as defined in that section); or</text></subclause><subclause id="H26043033D8AB4F0DBC6B7A528D05EED0"><enum>(III)</enum><text>a commodity (as defined in section 1a of the Commodity Exchange Act (<external-xref legal-doc="usc" parsable-cite="usc/7/1a">7 U.S.C. 1a</external-xref>)); and</text></subclause></clause><clause id="H570AEC4D53594B70820C059AE53187F3"><enum>(ii)</enum><text>any economic interest comparable to an interest described in subclause (I) that is acquired through synthetic means, such as the use of a derivative, including an option, warrant, or other similar means; and</text></clause></subparagraph><subparagraph id="H87178039620B4D2B9D30CDD0BFBD6198"><enum>(B)</enum><text>does not include—</text><clause id="H71CBF7C4A7D749C09E9253BD91B4F32D"><enum>(i)</enum><text>a diversified mutual fund;</text></clause><clause id="HA1C551D081DD4B409940A4ACA8DE268C"><enum>(ii)</enum><text>a diversified exchange-traded fund;</text></clause><clause id="H6BEB0651CBD34BF58C032E7493669AFA"><enum>(iii)</enum><text>any investment in the Thrift Savings Plan; or</text></clause><clause id="HD0B6E399D9814C09BDC8D07C11A2CDBB"><enum>(iv)</enum><text display-inline="yes-display-inline">a United States Treasury bill, note, or bond; </text></clause></subparagraph></paragraph><paragraph id="H7EBBD023BA794AB4AD4F9854F903C844"><enum>(2)</enum><text display-inline="yes-display-inline">the term <term>Member of Congress</term> has the meaning given that term in section 13101; </text></paragraph><paragraph id="H94B30807F7634664B87853903732CEEB"><enum>(3)</enum><text display-inline="yes-display-inline">the term <term>supervising ethics office</term> has the meaning given that term in section 13101; and</text></paragraph><paragraph id="HE4EC3DFC5FA94EA4AD9FA491CF531FE0"><enum>(4)</enum><text>the term <term>qualified blind trust</term> has the meaning given that term in section 13104(f)(3).</text></paragraph></section><section id="H848D265D4B4C497FBC48230B5A681770"><enum>13152.</enum><header>Prohibition on certain transactions and holdings involving covered financial instruments</header><subsection id="HBE1D8A7537444605BF44B20E684CFAA9"><enum>(a)</enum><header>Prohibition</header><text display-inline="yes-display-inline">Except as provided in subsection (b), a Member of Congress and the Member’s spouse may not, during the term of service of the Member, hold, purchase, or sell any covered financial instrument.</text></subsection><subsection id="H99138FB44CC54C3BAE11AB71157B5FE9"><enum>(b)</enum><header>Exceptions</header><text>The prohibition under subsection (a)—</text><paragraph id="H5C03A3B45455433FAD1ECEE6F733B61E"><enum>(1)</enum><text display-inline="yes-display-inline">shall begin to apply with respect to a Member of Congress who commences service as a Member after the date of enactment of this subchapter on the date that is seven days after the first date of the initial term of service; and</text></paragraph><paragraph id="H66AC906505834B9B9843239DAC88F00E"><enum>(2)</enum><text display-inline="yes-display-inline">does not apply to a covered financial instrument held in a qualified blind trust operated on behalf of, or for the benefit of, a Member of Congress or the Member’s spouse.</text></paragraph></subsection><subsection id="H3237B31AB3074674A576092B85E76B5F"><enum>(c)</enum><header>Penalties</header><paragraph id="HABBF72CBB6284DAB977F89B13FC6EA8C"><enum>(1)</enum><header>Disgorgement</header><text display-inline="yes-display-inline">A Member of Congress and the Member’s spouse shall disgorge to the general fund of the Treasury any profit from a transaction or holding involving a covered financial instrument that is conducted in violation of this section.</text></paragraph><paragraph id="HF3CC8A7BF9BF46A3A3C42E99F876EF71"><enum>(2)</enum><header>Income tax</header><text display-inline="yes-display-inline">A loss from a transaction or holding involving a covered financial instrument that is conducted in violation of this section may not be deducted from the amount of income tax owed by the applicable Member of Congress or the Member’s spouse.</text></paragraph><paragraph id="H53575825B5444B01B83E1EA62FB9DE84"><enum>(3)</enum><header>Fines</header><text display-inline="yes-display-inline">A Member of Congress who holds or conducts a transaction involving a covered financial instrument in violation of this section may be subject to a civil fine as described under section 13106(a).</text></paragraph></subsection></section><section id="H98278D649A3A4C219B78D7E5E51D07C7"><enum>13153.</enum><header>Supervising ethics office certification of compliance and audit</header><subsection id="HA25A8918603E43F8A2DC1058A7E45D22"><enum>(a)</enum><header>Certification</header><paragraph id="H69B89C8A616448ADBD1B4A156AE26E3F"><enum>(1)</enum><header>In general</header><text>Not later than seven days after the beginning of any session of Congress, each Member of Congress shall submit to the supervising ethics office a written certification that the Member and the Member’s spouse has achieved compliance with the requirements of this subchapter.</text></paragraph><paragraph id="H8A3E116D105E49068220CC66A198C413"><enum>(2)</enum><header>Publication</header><text display-inline="yes-display-inline">The supervising ethics office shall publish each certification submitted under paragraph (1) on a publicly available website.</text></paragraph></subsection><subsection id="H0F2ACFFF626F4E3F81E48C45BF5D797C"><enum>(b)</enum><header>Audit</header><text>Not less than every two years, the supervising ethics office shall conduct an audit of the compliance by Members of Congress with the requirements of this subchapter.</text></subsection></section></subchapter><after-quoted-block>.</after-quoted-block></quoted-block></subsection><subsection id="HA151AD401AAA4632879CD7B6BE96A1D4" commented="no" display-inline="no-display-inline"><enum>(b)</enum><header>Clerical amendment</header><text display-inline="yes-display-inline">The table of sections for such chapter 131 is amended by inserting after the item relating to section 13146 the following:</text><quoted-block style="USC" id="H927C8FB8AD3F433185B88D99E36A2C12" display-inline="no-display-inline"><toc regeneration="no-regeneration"><toc-entry level="subchapter">SUBCHAPTER IV—RESTRICTIONS REGARDING FINANCIAL INSTRUMENTS</toc-entry><toc-entry level="section">13151. Definitions.</toc-entry><toc-entry level="section">13152. Prohibition on certain transactions and holdings involving covered financial instruments.</toc-entry><toc-entry level="section">13153. Supervising ethics office certification of compliance and audit.</toc-entry></toc><after-quoted-block>.</after-quoted-block></quoted-block></subsection><subsection id="H29CB6C72889E4F3199B7E92FD7C8893C"><enum>(c)</enum><header>Application</header><text display-inline="yes-display-inline">The amendments made by subsection (a) shall begin to apply to Members of Congress and their spouses on the first day of the second session of the One Hundred Eighteenth Congress.</text></subsection></section></legis-body></bill>
