which was referred to the <committee-name committee-id="HED00">Committee on Education and the Workforce</committee-name>, and in addition to the Committee on <committee-name committee-id="HIF00">Energy and Commerce</committee-name>, for a period to be subsequently determined by the Speaker, in each case for consideration of such provisions as fall within the jurisdiction of the committee concerned</action-desc></action><legis-type>A BILL</legis-type><official-title display="yes">To provide incentives for and protect whistleblowers under the authority of the Federal Trade Commission, and for other purposes.</official-title></form><legis-body id="HFB8C36914DF242A08A5C29ABA6CEF71F" style="OLC"><section id="HAC641F98F7CF46CB8B2ABAEF7A93F30A" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>FTC Whistleblower Act of 2024</short-title></quote>.</text></section><section id="H9F76D53ADBD54ADD8B6120624D1C8590"><enum>2.</enum><header>Protection of whistleblowers</header><subsection id="H1632F2B9AECB4AFCA2DB665B15397FF3"><enum>(a)</enum><header>Protection from retaliation</header><text>A covered entity may not, directly or indirectly, discharge, demote, suspend, threaten, harass, or in any other manner discriminate or take an adverse personnel action against an individual (or a group of individuals) because the individual (or group of individuals) does any of the following:</text><paragraph id="H15893042D5C14A8495406430A4B637AF"><enum>(1)</enum><text>Makes (or the covered entity suspects the individual or group of individuals has made or will make) a covered disclosure to—</text><subparagraph id="H747BA6365FBF4D41B7B97FB24EC11A58"><enum>(A)</enum><text>a qualified entity;</text></subparagraph><subparagraph id="H77E56F2895454BF0A6C6B3FFDC1A4131"><enum>(B)</enum><text>a person with supervisory authority over the individual (or group of individuals); or</text></subparagraph><subparagraph id="H4731AC960EF14F8898565E80C2F982FD"><enum>(C)</enum><text>another individual working for the covered entity who the individual (or group of individuals) reasonably believes has the authority to investigate, discover, or terminate the alleged violation in the covered disclosure or to take any other action to address such violation.</text></subparagraph></paragraph><paragraph id="H7172C70C96314EFCB19407AA6373D995"><enum>(2)</enum><text>Initiates, testifies, assists, or participates (or the covered entity expects will initiate, testify, assist, or participate) in an investigation conducted by a qualified entity or a judicial or administrative proceeding brought by a qualified entity relating to a covered violation.</text></paragraph><paragraph id="H09FCDFC3D0F14831AF97E9E0B06C2CC4"><enum>(3)</enum><text>Objects to, or refuses to participate in, any activity, policy, practice, or assigned task that the individual (or group of individuals) reasonably believes is an alleged covered violation.</text></paragraph></subsection><subsection id="H9F941FA09EE148C199DA6F2395C409BD"><enum>(b)</enum><header>Enforcement</header><paragraph id="HC3565F4DBD6E4EA2AF9404C6B76FBBAD" commented="no"><enum>(1)</enum><header>Cause of action</header><text display-inline="yes-display-inline">A whistleblower who alleges discharge or other discrimination by a covered entity in violation of subsection (a)—</text><subparagraph id="H2B5E086CB3D04CE3826F27374B291112" commented="no"><enum>(A)</enum><text>may bring an action governed by the procedures and burdens of proof in section 4712 of title 41, United States Code; or</text></subparagraph><subparagraph id="HEE9FDD8B2A824AB0A304A98D2ECC4722" commented="no"><enum>(B)</enum><text>may bring an action in the appropriate district court of the United States—</text><clause id="H5C8EBD72100C433F9DE9CACECAEAA7D5"><enum>(i)</enum><text>for the relief described in subsection (c);</text></clause><clause id="H89B59184647543F9A0315DC808051688"><enum>(ii)</enum><text>governed by the burdens of proof in section 1221(e) of title 5, United States Code; and</text></clause><clause id="HC52B54458BC242D695B42EF163FA8069"><enum>(iii)</enum><text>in which the whistleblower shall be entitled to a trial by jury.</text></clause></subparagraph></paragraph><paragraph id="H5C2871124D0E4878B3BE764229F47B61"><enum>(2)</enum><header>Statute of limitations</header><subparagraph id="H6577A034FB3D44C984D41ADA8870341D"><enum>(A)</enum><header>In general</header><text>An action under paragraph (1) may not be brought—</text><clause id="HEC60C4E76E5F461AA8278CB356BBAAD8"><enum>(i)</enum><text>more than 6 years after the date on which the violation of subsection (a) occurred; or</text></clause><clause id="HE8E03B71CB634942A90D004F54CD00A1"><enum>(ii)</enum><text>more than 3 years after the date on which facts material to the right of action are known or reasonably should have been known by the whistleblower alleging a violation of subsection (a).</text></clause></subparagraph><subparagraph id="HF360316FD45B4DE08F4F7D16E1E43EAD"><enum>(B)</enum><header>Required action within 10 years</header><text>Notwithstanding subparagraph (A), an action under paragraph (1) may not be brought more than 10 years after the date on which the violation of subsection (a) occurred.</text></subparagraph></paragraph><paragraph id="HA9C2B60728004915A9C2F9698E4FC0BF"><enum>(3)</enum><header>Waiver of rights and remedies</header><text>The rights and remedies provided in this section may not be waived by any policy, written document, or other condition relating to employment, including by a predispute arbitration agreement.</text></paragraph><paragraph id="H8A054246F872483ABBDAEABABDD39057"><enum>(4)</enum><header>Predispute arbitration agreements</header><text>Notwithstanding any other provision of law, a predispute arbitration agreement may not be enforced with respect to an action under paragraph (1).</text></paragraph><paragraph id="HEB08FD9232C4483A92764826BCE6EDCB"><enum>(5)</enum><header>Restrictive covenant agreements</header><text>Notwithstanding any other provision of law, an agreement in which a whistleblower is restrained by the covered entity that was the subject of a covered disclosure from exercising a lawful profession, trade, or business of any kind may not be enforced.</text></paragraph></subsection><subsection id="HEF374E640FEB4E46979DF606F4A0BB6F"><enum>(c)</enum><header>Relief</header><text>Relief for any whistleblower who prevails in an action brought under subsection (b)(1) shall include—</text><paragraph id="H22BB15AE0CC24AF7AB425C1A0A574231"><enum>(1)</enum><text>reinstatement with the same seniority status that the whistleblower would have had but for the discharge or discrimination;</text></paragraph><paragraph id="H2FD6E459FE694F1C8465E9C93D8DD968"><enum>(2)</enum><text>3 times the amount of back pay owed to the whistleblower, with interest; and</text></paragraph><paragraph id="H23B31A873A74449FB60AC0F63DF0F97B"><enum>(3)</enum><text>consequential and compensatory damages and compensation for litigation costs, expert witness fees, and reasonable attorneys’ fees.</text></paragraph></subsection><subsection id="HE00184E61BA94405BDFD683D6970D7E2"><enum>(d)</enum><header>Communications</header><paragraph id="H8EF42E352C15447886BD56A8BC7AD83E"><enum>(1)</enum><header>Prohibition on impeding covered disclosure</header><text>A covered entity may not take any action that impedes or prevents an individual from communicating directly with a qualified entity about a covered disclosure, including enforcing, or threatening to enforce, a confidentiality or non-disparagement agreement.</text></paragraph><paragraph id="H3CE24817A2AC457F865B2EDDABE55082"><enum>(2)</enum><header>Communication with qualified entities</header><text>A covered entity may not require the consent of the counsel of the covered entity for a qualified entity to communicate directly with an individual or the attorney of an individual (if the individual is represented by an attorney) regarding a possible covered disclosure.</text></paragraph><paragraph id="H60590A366496498EBADA914D933BA45A"><enum>(3)</enum><header>Enforcement by Commission</header><subparagraph id="H664129736D294F2887EDCB489681676E"><enum>(A)</enum><header>Unfair or deceptive acts or practices</header><text>A violation of paragraph (1) or (2) shall be treated as a violation of a regulation under section 18(a)(1)(B) of the Federal Trade Commission Act (<external-xref legal-doc="usc" parsable-cite="usc/15/57a">15 U.S.C. 57a(a)(1)(B)</external-xref>) regarding unfair or deceptive acts or practices.</text></subparagraph><subparagraph id="H7F23901807364833A979DA375032D089"><enum>(B)</enum><header>Powers of Commission</header><text>The Commission shall enforce paragraphs (1) and (2) in the same manner, by the same means, and with the same jurisdiction, powers, and duties as though all applicable terms and provisions of the Federal Trade Commission Act (<external-xref legal-doc="usc" parsable-cite="usc/15/41">15 U.S.C. 41 et seq.</external-xref>) were incorporated into and made a part of this subsection, and any person who violates paragraph (1) or (2) shall be subject to the penalties and entitled to the privileges and immunities provided in the Federal Trade Commission Act.</text></subparagraph></paragraph></subsection><subsection id="H47C17AA7763A48A2B9EEE8F83290F18D"><enum>(e)</enum><header>Confidentiality</header><paragraph id="H18F6128A197E4682A58A33C113468FBF"><enum>(1)</enum><header>Requirement</header><text>The Commission, any employee of the Commission, and any other entity to which the Commission communicates may not disclose any information provided to the Commission, including information provided by a whistleblower, that could reasonably be expected to reveal the identity of a whistleblower.</text></paragraph><paragraph id="H2EF205D1C1AB4229B84C9FB1A1298FFA"><enum>(2)</enum><header>Exception</header><text>Notwithstanding paragraph (1), if release of the information described in paragraph (1) is required by law, the whistleblower shall receive timely advance notice before such release.</text></paragraph><paragraph id="H536CD5D99EF1454B9FC18F23960F8F87"><enum>(3)</enum><header>Rules of construction</header><text>This paragraph may not be construed to prohibit—</text><subparagraph id="HBE08A2FBD044443787C7E10E6ECFC955"><enum>(A)</enum><text>any disclosure described in section 21(d) of the Federal Trade Commission Act (<external-xref legal-doc="usc" parsable-cite="usc/15/57b-2">15 U.S.C. 57b–2(d)</external-xref>);</text></subparagraph><subparagraph id="H110AE779DA774C169C9FDE2A4B4CA0D3"><enum>(B)</enum><text>a disclosure to any officer or employee of a Federal or State law enforcement agency or a foreign law enforcement agency under section 6(f) or 21(b)(6) of the Federal Trade Commission Act (<external-xref legal-doc="usc" parsable-cite="usc/15/46">15 U.S.C. 46(f)</external-xref>, 57b–2(b)(6)); or</text></subparagraph><subparagraph id="H9374EDD6356B4C1390928C7B90453289"><enum>(C)</enum><text>a disclosure to which the whistleblower consents.</text></subparagraph></paragraph></subsection><subsection id="H53EB5B4460A347349817D23F680A6E64"><enum>(f)</enum><header>Rules of construction</header><paragraph id="HDBF55DBB3F184FC6A43B17246D8C6755"><enum>(1)</enum><header>Collective bargaining</header><text>Nothing in this section may be construed to diminish the rights, privileges, or remedies of any whistleblower under any Federal or State law relating to collective bargaining or under any collective bargaining agreement.</text></paragraph><paragraph id="H31B02FD1BBA9493CA69E7BF8839CB927"><enum>(2)</enum><header>Other whistleblower protections</header><subparagraph id="H2E37641C371F46E1A4409F7FC02E8926"><enum>(A)</enum><text>Nothing in this section may be construed to preempt or supersede any other Federal or State law relating to whistleblower protections.</text></subparagraph><subparagraph id="H9A64C736DC0B4257A77CFE1DB789E8A2"><enum>(B)</enum><text>Notwithstanding any other provision of law, a whistleblower shall be immune from civil and criminal liability for making a covered disclosure if the whistleblower would be protected from reprisal under section (a). The whistleblower shall bear the burden required under subsection (b) of proving that the whistleblower would be protected from reprisal under subsection (a) for making the disclosure. This section does not provide a defense against activities unrelated to conduct protected under subsection (a).</text></subparagraph></paragraph><paragraph id="HD5B924B2CA944C379AF116F7F5DC3F4B"><enum>(3)</enum><header>Authority of Commission</header><text>Nothing in this section may be construed to limit the authority of the Commission under any other provision of law.</text></paragraph></subsection></section><section id="H34CE32532A2B4CEC8C91125F411BDB0F"><enum>3.</enum><header>Incentives for whistleblowers</header><subsection id="H251520F32D044DA2BFA2D947188190D7"><enum>(a)</enum><header>Awards</header><paragraph id="H38EB1036345741E286C9EDA97AE89398"><enum>(1)</enum><header>In general</header><text>If a whistleblower (or group of whistleblowers) voluntarily provides to the Commission original information regarding an alleged covered violation and such original information leads to the successful resolution of a covered action, the Commission, subject to subsection (b), shall pay an award to the whistleblower (or group of whistleblowers) in an aggregate amount of—</text><subparagraph id="H50A0417514E4491B88B28084E17E65D6"><enum>(A)</enum><text>not less than 10 percent, in total, of collected monetary sanctions imposed as a result of the relevant covered action; and</text></subparagraph><subparagraph id="HBA5583AA5A7A4083B3C160D6F3E2BE50"><enum>(B)</enum><text display-inline="yes-display-inline">not more than 30 percent, in total, of collected monetary sanctions imposed as a result of the relevant covered action.</text></subparagraph></paragraph><paragraph id="HCD140044B0044594A0F15320EB1800EC"><enum>(2)</enum><header>Payment of awards</header><text>Any amount paid under paragraph (1) shall be paid from the Fund.</text></paragraph></subsection><subsection id="H0D49F94725684343A986024635045B5B"><enum>(b)</enum><header>Determination and denial of awards</header><paragraph id="H985CFC9BEE7B4C2DA7273D54890AEB7E"><enum>(1)</enum><header>Determination of awards</header><subparagraph id="HBB876FC986FF40BFBED6952737A13FFA"><enum>(A)</enum><header>Discretion</header><text>The determination of the amount of an award to be made pursuant to subsection (a) shall be within the discretion of the Commission (subject to the requirements described in subsection (a)).</text></subparagraph><subparagraph id="HE80EC467C95B447DA6078135F6E90E89"><enum>(B)</enum><header>Criteria</header><text display-inline="yes-display-inline">In determining an award to be made pursuant to subsection (a), the Commission—</text><clause id="H7A3FF613AC4E41B7BC4E078854E6156C"><enum>(i)</enum><text>shall take into consideration—</text><subclause id="HDE8609F85FA14CBB961BAB0B645AEA67"><enum>(I)</enum><text>the significance of the original information provided by the whistleblower to the successful resolution of the covered action;</text></subclause><subclause id="H30CB04E4F80A44548383D8826CCF8046"><enum>(II)</enum><text>the degree of assistance provided by the whistleblower and any legal representative of the whistleblower in the covered action; and</text></subclause><subclause id="H79A507875FBE41289939726927735D7E"><enum>(III)</enum><text>such additional factors as the Commission may establish; and</text></subclause></clause><clause id="H1DC9542C7196406DB6C9B12DF8979382"><enum>(ii)</enum><text>shall not take into consideration the balance of the Fund.</text></clause></subparagraph></paragraph><paragraph id="HB1C830A2B3BD4EECBDE004325152DCB6"><enum>(2)</enum><header>Denial of awards</header><text display-inline="yes-display-inline">Notwithstanding subsection (a), the Commission shall deny an award to any whistleblower to whom an award otherwise would be made pursuant to subsection (a) if the whistleblower—</text><subparagraph id="H41EC71C945AC4F9F90E0E3C40E028198"><enum>(A)</enum><text>is convicted of a criminal violation related to the relevant covered action;</text></subparagraph><subparagraph id="H0393751641B842809A73497EAAA9623A"><enum>(B)</enum><text>acts without direction from a covered entity (or an agent of a covered entity) to deliberately cause or substantially contribute to the alleged covered violation underlying the relevant covered action; </text></subparagraph><subparagraph id="HC14F5F444DA94BB585071A880659D0FB"><enum>(C)</enum><text>fails to provide the relevant original information to the Commission in the form the Commission requires; and</text></subparagraph><subparagraph id="H936F9BB6E8754BBAAF5E9E3FC843D2B8"><enum>(D)</enum><text>was, at the time the whistleblower acquired the relevant original information, a member, officer, or employee of the Commission or a law enforcement agency and acquired the information while acting in the normal course of the employment duties of the whistleblower.</text></subparagraph></paragraph></subsection><subsection id="H2805B89632E94A62AEE4A29D31E83DCF"><enum>(c)</enum><header>Representation</header><paragraph id="H04A289D99E9A472185BBC693858E7437"><enum>(1)</enum><header>Permitted representation</header><text>A whistleblower may be represented by counsel.</text></paragraph><paragraph id="HEE2BD0FBCEA64CF2BB0AAF38999F3331"><enum>(2)</enum><header>Required representation</header><subparagraph id="H6D67F1C7A0554416BBBB03DC05226439"><enum>(A)</enum><header>Anonymous claims</header><text>Any whistleblower who anonymously makes a claim for an award under subsection (a) shall be represented by counsel if the whistleblower anonymously submits the original information upon which the claim is based.</text></subparagraph><subparagraph id="H41B59F2F78B94CCE890610D5D0EB537D"><enum>(B)</enum><header>Disclosure of identity</header><text>Before the payment of an award described in subparagraph (A), the whistleblower shall disclose the identity of the whistleblower and provide such other information as the Commission may require, directly or through counsel for the whistleblower.</text></subparagraph></paragraph></subsection><subsection id="HCCC88F84EF4140979DC88A6517E0C2B9"><enum>(d)</enum><header>No contract necessary</header><text>A contract with the Commission is not necessary for a whistleblower to receive an award pursuant to subsection (a).</text></subsection><subsection id="H8520FAAF46884BEAA4168F06C8BD135F"><enum>(e)</enum><header>Provision of false information</header><text>A whistleblower who knowingly and intentionally makes any false, fictitious, or fraudulent statement or representation, or who knowingly and intentionally makes or uses any false writing or document containing any false, fictitious, or fraudulent statement or entry, may not receive an award pursuant to subsection (a).</text></subsection><subsection id="H2184AFBFF9AA469BAC28E11EC834E101"><enum>(f)</enum><header>Appeals</header><paragraph id="H888372E86F174AF58C101699C9466C75" commented="no"><enum>(1)</enum><header>In general</header><text>Any determination made under this section, including whether, to whom, or in what amount to make an award, shall be in the discretion of the Commission.</text></paragraph><paragraph id="H551F5CEE23EE48C1A31F8E1924DD220E"><enum>(2)</enum><header>Appeals</header><text>Any determination made by the Commission under this section may be appealed by a whistleblower to the appropriate court of appeals of the United States not later than 30 days after the date on which the determination is issued by the Commission.</text></paragraph><paragraph id="HE43D6F8646E34F269DB09D7BEE2E6347" commented="no"><enum>(3)</enum><header>Review</header><text>The court shall review the determination made by the Commission in accordance with section 706 of title 5, United States Code.</text></paragraph></subsection><subsection id="H3FECC90118064436A73BF199F28F4023"><enum>(g)</enum><header>Federal Trade Commission Consumer Protection Fund</header><paragraph id="HCDFE80B601494BF5922BCE1E6CE7E5A4"><enum>(1)</enum><header>Establishment</header><text>There is established in the Treasury of the United States a Fund to be known as the <quote>Federal Trade Commission Consumer Protection Fund</quote>.</text></paragraph><paragraph id="H06D233B84F174E36922728D0351D90B7"><enum>(2)</enum><header>Use of Fund</header><text>The Fund shall be available to the Commission, without further appropriation or fiscal year limitation, in order to pay for awards made to whistleblowers pursuant to subsection (a).</text></paragraph><paragraph id="HDE8A452F4A8C40E282E162EF26A893BE"><enum>(3)</enum><header>Deposits and credits</header><subparagraph id="H017B92129B78404F9F5CC4F06891B92B"><enum>(A)</enum><header>In general</header><text>There shall be deposited into or credited to the Fund an amount equal to any monetary sanctions collected by the Commission in any covered action, unless the balance of the Fund at the time the monetary sanction is collected exceeds $500,000,000.</text></subparagraph><subparagraph id="HFED187FA9C3044569CE50C416C4F4B7B"><enum>(B)</enum><header>Additional amounts</header><text>If the amounts deposited into or credited to the Fund under subparagraph (A) are not sufficient to pay an award made pursuant to subsection (a), there shall be deposited into or credited to the Fund an amount equal to the unsatisfied portion of the award from any monetary sanctions collected by the Commission in the covered action on which the award is based.</text></subparagraph></paragraph><paragraph id="H0F7425BC0BC5454799D960A50D4677D5"><enum>(4)</enum><header>Investments</header><subparagraph id="H89B3429D483C480788E4C1EBDEB9B85E"><enum>(A)</enum><header>Amounts in Fund</header><text>The Commission may request the Secretary of the Treasury to invest the portion of the Fund that is not required to meet the current needs of the Fund (as determined by the Commission).</text></subparagraph><subparagraph id="H922B3A792C4048089979AD8FE5D5B48B"><enum>(B)</enum><header>Eligible investments</header><text>Investments shall be made by the Secretary of the Treasury in obligations of the United States or obligations that are guaranteed as to principal and interest by the United States, with maturities suitable to the needs of the Fund (as determined by the Commission).</text></subparagraph><subparagraph id="H73B7C21C4CC64242BF7E93C6E084BAE0"><enum>(C)</enum><header>Interest and proceeds credited</header><text>The interest on, and the proceeds from, the sale or redemption of any obligations held in the Fund shall be credited to, and form a part of, the Fund.</text></subparagraph></paragraph><paragraph id="HDA960FE5B8164AE79C844C6CBFB85ABB"><enum>(5)</enum><header>Reports to Congress</header><text>Not later than October 30 of each year, the Commission shall submit to the Committee on Energy and Commerce of the House of Representatives and the Committee on Commerce, Science, and Transportation of the Senate a report on—</text><subparagraph id="H75ADC0CCDCA8475686D4A1E0A027AD0C"><enum>(A)</enum><text>the whistleblower award program established under this section, including a description of the number of awards made pursuant to subsection (a) and the types of cases in which such awards were made during the preceding fiscal year;</text></subparagraph><subparagraph id="HDF9E1AAA019349EAB740E276ED0882BC"><enum>(B)</enum><text>the balance of the Fund at the beginning of the preceding fiscal year;</text></subparagraph><subparagraph id="H2ACEDF87845A45D1A6102CD8F3E70B97"><enum>(C)</enum><text>the amounts deposited into or credited to the Fund during the preceding fiscal year;</text></subparagraph><subparagraph id="H0990190D152D4E61AC0100C466972B64"><enum>(D)</enum><text>the amount of earnings on investments of amounts in the Fund during the preceding fiscal year;</text></subparagraph><subparagraph id="H705699B05F1148E08636D660C02BDF13"><enum>(E)</enum><text display-inline="yes-display-inline">the amount paid from the Fund to pay for awards made to whistleblowers pursuant to subsection (a) during the preceding fiscal year;</text></subparagraph><subparagraph id="H479908827671409C902EFB058331FDB9"><enum>(F)</enum><text>the balance of the Fund at the end of the preceding fiscal year; and</text></subparagraph><subparagraph id="H02831DDD4C7D435187EE93CB1C77A2B4"><enum>(G)</enum><text>a complete set of audited financial statements, including a balance sheet, income statement, and cash flow analysis.</text></subparagraph></paragraph></subsection><subsection id="H4921F637DD6440AE92C48D80E2A18460"><enum>(h)</enum><header>Rules of construction</header><paragraph id="HDB6B102FCAD24F99A4A453FA2B0FC100"><enum>(1)</enum><header>Original information</header><text>Original information submitted to the Commission by a whistleblower in accordance with the requirements of this section shall not lose the status as original information solely because the whistleblower submitted the information before the effective date of any regulation issued under this Act if the information was submitted after the date of the enactment of this Act.</text></paragraph><paragraph id="HD7BA5803F6BA4BEFBA809021BC54036A"><enum>(2)</enum><header>Awards</header><text>A whistleblower—</text><subparagraph id="H9A062557871A42578F8F3EAF3871D3FB"><enum>(A)</enum><text display-inline="yes-display-inline">may receive an award pursuant to subsection (a) regardless of whether the alleged covered violation underlying the covered action occurred before the date of the enactment of this Act; and</text></subparagraph><subparagraph id="H577A60F8079047F5B08B61DB25010F05"><enum>(B)</enum><text display-inline="yes-display-inline">may receive an award pursuant to subsection (a) before the Commission promulgates any regulation pursuant to this Act.</text></subparagraph></paragraph></subsection></section><section id="HB94DB97C95014C2EBCF6D2F0FDA9A1FE"><enum>4.</enum><header>Rulemaking</header><text display-inline="no-display-inline">The Commission may promulgate, under section 553 of title 5, United States Code, any regulations the Commission determines necessary to carry out the provisions of this Act.</text></section><section id="HC4BEC1AB39C44191A9BFA2B0E51C67FC"><enum>5.</enum><header>Definitions</header><text display-inline="no-display-inline">In this Act:</text><paragraph id="HB3A012E0CBD94F8FAAAED101A4A47555"><enum>(1)</enum><header>Commission</header><text>The term <term>Commission</term> means the Federal Trade Commission.</text></paragraph><paragraph id="HAD0F8FE5E8B84D829FAACBD23D62635A"><enum>(2)</enum><header>Covered action</header><text>The term <term>covered action</term> means any administrative or judicial action or proceeding, including any related administrative or judicial action, brought by the Commission, or by the Attorney General on behalf of the Commission, in relation to a covered violation and that results in monetary sanctions exceeding $1,000,000.</text></paragraph><paragraph id="HCCB6656D1A0047AF9B49E47F34878742"><enum>(3)</enum><header>Covered disclosure</header><text>The term <term>covered disclosure</term> means a formal or informal communication or transmission that an individual reasonably believes relates to an alleged covered violation, including such a communication or transmission of such a violation that is part of the normal employment duties of the individual.</text></paragraph><paragraph id="H66CD03E8BECD428B9FD0F322CB06E73F"><enum>(4)</enum><header>Covered entity</header><text>The term <term>covered entity</term> means an entity or individual that is subject to the jurisdiction of the Commission.</text></paragraph><paragraph id="HFCD5E025881642639ECC03C74079176F"><enum>(5)</enum><header>Covered violation</header><text>The term <term>covered violation</term> means—</text><subparagraph id="H5FC979283C0A4DA09FA9CF2D65D917BB"><enum>(A)</enum><text>a violation of any law, rule, or regulation enforced by the Commission; or</text></subparagraph><subparagraph id="H1572CA264EAC42D9AEF37C23E29C832B"><enum>(B)</enum><text>a violation of any order of the Commission after such order has become final and while such order is in effect.</text></subparagraph></paragraph><paragraph id="H881DAF4707294551828C79B037EF26CE"><enum>(6)</enum><header>Fund</header><text>The term <term>Fund</term> means the Federal Trade Commission Consumer Protection Fund established pursuant to section 3(g).</text></paragraph><paragraph id="H20C6A22317864F89B957018D1BF93D78"><enum>(7)</enum><header>Monetary sanctions</header><text>The term <term>monetary sanctions</term>, with respect to a covered action—</text><subparagraph id="HE9A99BD801B64FC6AA0C052657759EDD"><enum>(A)</enum><text>means monies, including penalties, disgorgement, or interest, ordered or agreed to be paid as a result of such action; and</text></subparagraph><subparagraph id="HC7E5A42FA206416BBB1458E0E358AEB4"><enum>(B)</enum><text>does not include restitution (as determined by the Commission) for losses of, or relief necessary to redress injury to, consumers, other persons, partnerships, and corporations.</text></subparagraph></paragraph><paragraph id="H17E40795F9A3455D949D87CF54B75E25"><enum>(8)</enum><header>Original information</header><text>The term <term>original information</term> means information that—</text><subparagraph id="HD71C71A5949849CF901A32925CE7E4A9"><enum>(A)</enum><text>is derived from the independent knowledge or analysis of a whistleblower;</text></subparagraph><subparagraph id="H372934EDD0FD4736B3EFFB126B7F1501"><enum>(B)</enum><text>is not known to the Commission from any other source, unless the whistleblower is the original source of the information; and</text></subparagraph><subparagraph id="HDE6EDB8D57FE492EAE0675771E11AE84"><enum>(C)</enum><text>is not exclusively derived from an allegation made in a judicial or an administrative action, governmental report, hearing, audit, or investigation, or from the news media, unless the whistleblower is a source of the information.</text></subparagraph></paragraph><paragraph id="H041EF00B6CDB4AFA9DBBBA08C6BC47F0"><enum>(9)</enum><header>Qualified entity</header><text>The term <term>qualified entity</term> means—</text><subparagraph id="H52D951C12A1141D5BF04627569BD6FA1"><enum>(A)</enum><text>the Commission;</text></subparagraph><subparagraph id="H54C2C10EA9314B7FB0B8E548C33379FE"><enum>(B)</enum><text>an agency (as defined in section 551 of title 5, United States Code) or a law enforcement agency; or</text></subparagraph><subparagraph id="H668BF8D10538491A8E2DA996D1B163F9"><enum>(C)</enum><text>any Member of Congress or committee of Congress.</text></subparagraph></paragraph><paragraph id="H6658EF8475FB4E2D98C4DFFCEC2F9E67"><enum>(10)</enum><header>Related administrative or judicial action</header><text>The terms <term>related administrative action</term> and <term>related judicial action</term> include any action brought by any appropriate Federal authority, a State Attorney General in connection with any criminal investigation, or any appropriate State regulatory authority that is based upon the original information provided by a whistleblower that leads to the successful enforcement of the action by the Commission or the Attorney General on behalf of the Commission.</text></paragraph><paragraph id="HA4D5850571914542A095BCC3A6C5C188"><enum>(11)</enum><header>Whistleblower</header><text>The term <term>whistleblower</term> means—</text><subparagraph id="H48D77AC3432A4C529CFCA3D9D48F6E42"><enum>(A)</enum><text>an individual (or group of individuals) who is a current or former full-time, part-time, or temporary employee, contractor, subcontractor (at any tier), grantee, subgrantee, or agent of a covered entity or employee of a contractor or subcontractor (at any tier) of the covered entity and who engages in any of the conduct described in paragraph (1), (2), or (3) of section 2(a), including as part of the employment duties of such individual or group; or</text></subparagraph><subparagraph id="H59636379A02C405298A7DB0857B6F48D"><enum>(B)</enum><text>any person that assists any such individual or group with such conduct.</text></subparagraph></paragraph></section></legis-body></bill>
