Transportation</committee-name></action-desc></action><legis-type>A BILL</legis-type><official-title>To require online marketplaces to collect, verify, and disclose certain information regarding high-volume third party sellers of consumer products to inform consumers.</official-title></form><legis-body display-enacting-clause="yes-display-enacting-clause"><section section-type="section-one" id="S1"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Integrity, Notification, and Fairness in Online Retail Marketplaces for Consumers Act </short-title></quote> or the <quote><short-title>INFORM Consumers Act</short-title></quote>.</text></section><section id="id8ea3e03b27ee4953b1a711018b7c2533"><enum>2.</enum><header>Collection, verification, and disclosure of information by online marketplaces to inform consumers</header><subsection id="idca80fdb9e3f94ea39cf112177acedb43"><enum>(a)</enum><header>Collection and verification of information</header><paragraph id="idD977537A599D43D580626445FC9D27A5"><enum>(1)</enum><header>Collection</header><subparagraph id="idF1DD89A7DD454B32962ED168E27F1414"><enum>(A)</enum><header>In general</header><text>An online marketplace shall require any high-volume third party seller on such online marketplace's platform to provide, not later than 2 business days after qualifying as a high-volume third party seller on the platform, the following information to the online marketplace:</text><clause id="id016d4a44198141afb118fb4ceff6b08d"><enum>(i)</enum><header>Bank account</header><subclause id="idDD75FD350E7A49FFBB023B734EEA8743"><enum>(I)</enum><header>In general</header><text>A bank account number, or, if such seller does not have a bank account, the name of the payee for payments issued by the online marketplace to such seller.</text></subclause><subclause id="idE68F97F99C7E49E7B042B4A4EBF63F91"><enum>(II)</enum><header>Provision of information</header><text>The bank account or payee information required under subclause (I) may be provided by the seller in the following ways:</text><item id="idE5827A62109741A391B25E940B4924F7"><enum>(aa)</enum><text>To the online marketplace.</text></item><item id="idBA62836AD7084C0DAC2AF8490ABA59AE"><enum>(bb)</enum><text>To a payment processor or other third party contracted by the online marketplace to maintain such information, provided that the online marketplace ensures that it can obtain such information on demand from such payment processor or other third party.</text></item></subclause></clause><clause id="id25E5498D285545039417C2EE0AAC673D"><enum>(ii)</enum><header>Contact information</header><text>Contact information for such seller as follows:</text><subclause id="idA26B83B4A3A44ED6B637FECC6C4A170E"><enum>(I)</enum><text>With respect to a high-volume third party seller that is an individual, a copy of a valid government-issued identification for the individual that includes the individual's name and physical address.</text></subclause><subclause id="id04C7E4CA7F3140E6BFA7993B088B1160"><enum>(II)</enum><text>With respect to a high-volume third party seller that is not an individual, one of the following forms of contact information:</text><item id="idE21BE1EDFD6A46199086904CDF2D7244"><enum>(aa)</enum><text>A copy of a valid government-issued identification for an individual acting on behalf of such seller that includes the individual's name and physical address.</text></item><item id="id25FF766BED5044D6B23BADF077C055EB"><enum>(bb)</enum><text>A copy of a valid government-issued record or tax document that includes the business name and physical address of such seller.</text></item></subclause></clause><clause id="ide657ceda2ea4413385a81ebdb5c6d6ff"><enum>(iii)</enum><header>Tax ID</header><text>A business tax identification number, or, if such seller does not have a business tax identification number, a taxpayer identification number.</text></clause><clause id="idD230F24D96F947B1A76F72C951D293D2"><enum>(iv)</enum><header>Working email and phone number</header><text>A current working email address and phone number for such seller.</text></clause></subparagraph><subparagraph id="id8412F5B9D5F742A4B8ED79A47076A273"><enum>(B)</enum><header>Notification of change; annual certification</header><clause id="id5C524852337147C193FF0B842ED2594D"><enum>(i)</enum><header>In general</header><text>An online marketplace shall require any high-volume third party seller on such online marketplace's platform to promptly notify the online marketplace of any change to the information collected under subparagraph (A).</text></clause><clause id="id1FA3991EE92F4447B05EC5CD001D6998"><enum>(ii)</enum><header>Annual certification</header><text>Not later than 1 year after the date of enactment of this Act and annually thereafter, an online marketplace shall—</text><subclause id="id80FAF191D8B04135912DE2465BD05BAE"><enum>(I)</enum><text>inform any high-volume third party seller on such online marketplace's platform of the notification requirement described in clause (i); and</text></subclause><subclause id="id5D6C5F3512A1416E88E89152FBB7F5EA"><enum>(II)</enum><text>instruct any such seller to electronically certify, not later than 3 business days after receiving such instruction, that—</text><item id="id69291BAE56FC47368EC44F6227C0AA53"><enum>(aa)</enum><text>there have been no changes to such seller's information; or</text></item><item id="idD2928E137F1C468D90E241E6D2F7E59E"><enum>(bb)</enum><text>such seller has provided any changes to such information to the online marketplace.</text></item></subclause></clause><clause id="idAD1E840ED5FC404FA6F74B40E7B4D7F0"><enum>(iii)</enum><header>Suspension</header><text>In the event that an online marketplace does not receive the annual certification from a high-volume third party seller required under clause (ii), the online marketplace shall suspend any future sales activity of such seller or any payments to such seller for prior sales activity until such seller provides such certification.</text></clause></subparagraph></paragraph><paragraph id="id3341137A2F374B45AC64DACB6EBA5F28"><enum>(2)</enum><header>Verification</header><subparagraph id="id3F9BE669F58E4EAAAF542FF07955D5E2"><enum>(A)</enum><header>In general</header><text>An online marketplace shall—</text><clause id="id07B5F53BA0734F48AFD3586CDFC7089F"><enum>(i)</enum><text>verify the information collected under paragraph (1)(A) not later than 3 business days after such collection; and</text></clause><clause id="id8D097AC9E65D465EBBCABD5F19A3C527"><enum>(ii)</enum><text>verify any change to such information not later than 3 business days after being notified of such change by a high-volume third party seller under paragraph (1)(B).</text></clause></subparagraph><subparagraph id="idDFC965E6BD1643D5B2360E17926783C5"><enum>(B)</enum><header>Presumption of verification</header><text>In the case of a high-volume third party seller that provides a copy of a valid government-issued tax document, any information contained in such document shall be presumed to be verified as of the date of issuance of such document.</text></subparagraph></paragraph></subsection><subsection id="id27b912b98889402290330248c8bb5b0e"><enum>(b)</enum><header>Disclosure required</header><paragraph id="id69B07D04E55A492993DC116746A7B6F1"><enum>(1)</enum><header>Requirement</header><subparagraph id="idFE2C6F0C728D4C629EC18E5791A6EE48"><enum>(A)</enum><header>In general</header><text>An online marketplace shall—</text><clause id="idD8E75D343B664AEA8F08DDE39DA317D7"><enum>(i)</enum><text>require any high-volume third party seller on such online marketplace's platform to provide the information described in subparagraph (B) to the online marketplace; and</text></clause><clause id="id364210EB18054A8A8982910D04B0F056"><enum>(ii)</enum><text>disclose the information described in subparagraph (B) to consumers in a clear and conspicuous manner on the product listing or (for information other than such seller's identification) through a clear and conspicuously placed link on the product listing or in close proximity to the physical product.</text></clause></subparagraph><subparagraph id="idf7a25d68797f4d2db25712444b1ae1a6"><enum>(B)</enum><header>Information described</header><text>The information described in this subparagraph is the following:</text><clause id="id2C10B2E3080341848CC973E859223147"><enum>(i)</enum><text>Subject to paragraph (2), the identity of the high-volume third party seller, including—</text><subclause id="ida077ae07925349d780f5393fc7376711"><enum>(I)</enum><text>the full name of the seller;</text></subclause><subclause id="id0cc2ef7f3b4941faa55ea3c66f3a125e"><enum>(II)</enum><text>the physical address of the seller;</text></subclause><subclause id="idb7f3701123f64b90b33cbd34cb9d04eb"><enum>(III)</enum><text>whether the seller also engages in the manufacturing, importing, or reselling of consumer products; and</text></subclause><subclause id="id792476a9fa25456aae85a1ae60558e4c"><enum>(IV)</enum><text>contact information for the seller, including—</text><item id="id8DB89266A90B49AA9D4DC88E59483AF3"><enum>(aa)</enum><text>a current working phone number; and</text></item><item id="idD516B57367114A368F5E063242362CD4"><enum>(bb)</enum><text>a current working email address or other means of electronic messaging (which may be provided to such seller by the online marketplace).</text></item></subclause></clause><clause id="id690BEEDEE89D43AABBC116B2693BFE15"><enum>(ii)</enum><text>The identification of any seller that supplies the consumer product to the consumer upon purchase, if such seller is different than the high-volume third party seller listed on the product listing prior to purchase.</text></clause></subparagraph></paragraph><paragraph id="idcd24a3a59c4d41288a3cbcafbbe272dd"><enum>(2)</enum><header>Exception</header><subparagraph id="id6997FFF8F0AF47B8BCF07A41B3181D6A"><enum>(A)</enum><header>In general</header><text>Subject to subparagraph (B), upon the request of a high-volume third party seller, an online marketplace may provide for partial disclosure of the identity information required under paragraph (1)(B)(i) in the following situations:</text><clause id="id524c3ec9e1b2426f9a14ae8dce8dc9d0"><enum>(i)</enum><text>If such seller certifies to the online marketplace that the seller does not have a business address and only has a residential street address, the online marketplace may—</text><subclause id="idB6CBDC82BE5942388F5862C226A04835"><enum>(I)</enum><text>disclose only the country and, if applicable, the State in which such seller resides; and</text></subclause><subclause id="id970E9E2C05EB4CC0B10DB7893254324F"><enum>(II)</enum><text>inform consumers that there is no business address available for the seller and that consumer inquiries should be submitted to the seller by phone, email, or other means of electronic messaging provided to such seller by the online marketplace.</text></subclause></clause><clause id="id96FEE1C093B2448499C00817FA8CC40F"><enum>(ii)</enum><text>If such seller certifies to the online marketplace that the seller is a business that has a physical address for product returns, the online marketplace may disclose the seller’s physical address for product returns.</text></clause><clause id="id87339950462c42af9d8fd20c61182a42"><enum>(iii)</enum><text>If such seller certifies to the online marketplace that the seller does not have a phone number other than a personal phone number, the online marketplace shall inform consumers that there is no phone number available for the seller and that consumer inquiries should be submitted to the seller’s email address or other means of electronic messaging provided to such seller by the online marketplace.</text></clause></subparagraph><subparagraph id="idC78D8DCAF0A048329CB8BE2F212C765F"><enum>(B)</enum><header>Limitation on exception</header><text>If an online marketplace becomes aware that a high-volume third party seller has made a false representation to the online marketplace in order to justify the provision of a partial disclosure under subparagraph (A) or that a high-volume third party seller who has requested and received a provision for a partial disclosure under subparagraph (A) has not provided responsive answers within a reasonable time frame to consumer inquiries submitted to the seller by phone, email, or other means of electronic messaging provided to such seller by the online marketplace, the online marketplace shall suspend the selling privileges of such seller unless such seller consents to the disclosure of the identity information required under paragraph (1)(B)(i).</text></subparagraph></paragraph><paragraph id="idca22d8a970454a588f53f0725eb2d5d0"><enum>(3)</enum><header>Reporting mechanism</header><text>An online marketplace shall disclose to consumers in a clear and conspicuous manner on the product listing of any high-volume third party seller—</text><subparagraph id="idC53A6F86A10C4ADD8BB5864B9708EA8E"><enum>(A)</enum><text>a reporting mechanism that allows for electronic and telephonic reporting of suspicious marketplace activity to the online marketplace; and </text></subparagraph><subparagraph id="id5C48EACD407944D5A1588A0C3A785269"><enum>(B)</enum><text>a message encouraging consumers seeking goods for purchase to report suspicious marketplace activity to the online marketplace.</text></subparagraph></paragraph><paragraph id="id466f3289fab3476abb7bdd181967261d"><enum>(4)</enum><header>Compliance</header><text>If a high-volume third party seller does not comply with the requirements to provide and disclose information under this subsection, the online marketplace shall suspend any future sales activity of such seller or any payments to such seller for prior sales activity until such seller complies with such requirements.</text></paragraph></subsection><subsection id="id13053c160c654c0584696fee286bbe87"><enum>(c)</enum><header>Enforcement</header><paragraph id="ide320c9c625614722b3c40c6ba367582e"><enum>(1)</enum><header>Unfair and deceptive acts or practices</header><text>A violation of subsection (a) or (b) by an online marketplace shall be treated as a violation of a rule defining an unfair or deceptive act or practice prescribed under section 18(a)(1)(B) of the Federal Trade Commission Act (<external-xref legal-doc="usc" parsable-cite="usc/15/57a">15 U.S.C. 57a(a)(1)(B)</external-xref>).</text></paragraph><paragraph id="id8a569b821ffb4e1a8a76c8a37c07ff8e"><enum>(2)</enum><header>Powers of the Commission</header><subparagraph id="ida33a46cfabf445a59153236c66c01140"><enum>(A)</enum><header>In general</header><text>The Commission shall enforce this Act in the same manner, by the same means, and with the same jurisdiction, powers, and duties as though all applicable terms and provisions of the Federal Trade Commission Act (<external-xref legal-doc="usc" parsable-cite="usc/15/41">15 U.S.C. 41</external-xref> et seq.) were incorporated into and made a part of this Act.</text></subparagraph><subparagraph id="id020e62c6f81649debb6ac01fc44bba21"><enum>(B)</enum><header>Privileges and immunities</header><text>Any person that violates subsection (a) or (b) shall be subject to the penalties, and entitled to the privileges and immunities, provided in the Federal Trade Commission Act (<external-xref legal-doc="usc" parsable-cite="usc/15/41">15 U.S.C. 41</external-xref> et seq.).</text></subparagraph></paragraph><paragraph id="id22e1075609474dcda4320e1e5d2d5b25"><enum>(3)</enum><header>Regulations</header><text>The Commission may promulgate regulations under section 553 of title 5, United States Code, with respect to the collection, verification, or disclosure of information under this section, provided that such regulations are limited to what is necessary to collect, verify, and disclose such information.</text></paragraph><paragraph id="idd5146b8a98484605b2b7fe97b9578b6f"><enum>(4)</enum><header>Authority preserved</header><text>Nothing in this Act shall be construed to limit the authority of the Commission under any other provision of law.</text></paragraph></subsection><subsection id="id8ba889de429642d0b54085c0a2cceed3"><enum>(d)</enum><header>Severability</header><text>If any provision of this section, or the application thereof to any person or circumstance, is held invalid, the remainder of this section and the application of such provision to other persons not similarly situated or to other circumstances shall not be affected by the invalidation.</text></subsection><subsection id="id2027909c92ef46fb90f1ed6df3f28acd"><enum>(e)</enum><header>Definitions</header><text>In this Act:</text><paragraph id="id47B61E9B2CC54350A17A55B7BC237536"><enum>(1)</enum><header>Commission</header><text>The term <term>Commission</term> means the Federal Trade Commission. </text></paragraph><paragraph id="idc43f9afb1ade4c6d9c682410cfc730ea"><enum>(2)</enum><header>Consumer product</header><text>The term <term>consumer product</term> has the meaning given such term in section 101 of the Magnuson-Moss Warranty—Federal Trade Commission Improvement Act (<external-xref legal-doc="usc" parsable-cite="usc/15/2301">15 U.S.C. 2301</external-xref> note) and section 700.1 of title 16, Code of Federal Regulations.</text></paragraph><paragraph id="idd654f674927b49e39b30ebdef8c50ac4"><enum>(3)</enum><header>High-volume third party seller</header><text>The term <term>high-volume third party seller</term> means a participant on an online marketplace's platform who is a third party seller and who, in any continuous 12-month period during the previous 24 months, has entered into 200 or more discrete sales or transactions of new or unused consumer products resulting in the accumulation of an aggregate total of $5,000 or more in gross revenues.</text></paragraph><paragraph id="id040c8bd4dbc04453a7e60f3238c80c0e"><enum>(4)</enum><header>Online marketplace</header><text>The term <term>online marketplace</term> means any person or entity that operates an electronically based or accessed platform that—</text><subparagraph id="id0af95d74333a4606be598d763c749611"><enum>(A)</enum><text>includes features that allow for, facilitate, or enable third party sellers to engage in the sale, purchase, payment, storage, shipping, or delivery of a consumer product in the United States; and</text></subparagraph><subparagraph id="ida55e4e172f36489a833bb0f24903c5fa"><enum>(B)</enum><text>is used by one or more third party sellers for such purposes.</text></subparagraph></paragraph><paragraph id="id60b6aa6f329f430da083d6ba0c4d9e9b"><enum>(5)</enum><header>Seller</header><text>The term <term>seller</term> means a person who sells, offers to sell, or contracts to sell a consumer product through an online marketplace's platform.</text></paragraph><paragraph id="idd625c31d98d2436f96c669a29a317b54"><enum>(6)</enum><header>Third party seller</header><subparagraph id="id67E40D7EA45543AB899C6623FC26043E"><enum>(A)</enum><header>In general</header><text>The term <term>third party seller</term> means any seller, independent of an online marketplace, who sells, offers to sell, or contracts to sell a consumer product in the United States through such online marketplace's platform. </text></subparagraph><subparagraph id="id7F37697F8C6F4CF8B6085A4402131107"><enum>(B)</enum><header>Exclusions</header><text>The term <term>third party seller</term> does not include, with respect to an online marketplace, a seller—</text><clause id="idF079033A167C42A5959F26CF64F2FFA5"><enum>(i)</enum><text>who operates the online marketplace's platform; or</text></clause><clause id="id509900418FF947A498E1E48685986189"><enum>(ii)</enum><text>who—</text><subclause id="id21d71a77f84346378d3a75e6dfb6ec22"><enum>(I)</enum><text>is a business entity that has made available to the general public the entity’s name, business address, and working contact information;</text></subclause><subclause id="id84fd486f94a24de6a21b3b5f80091265"><enum>(II)</enum><text>has an ongoing contractual relationship with the online marketplace to provide for the manufacture, distribution, wholesaling, or fulfillment of shipments of consumer products; and</text></subclause><subclause id="id1c35061a357c44b1b7e6d3200d127d48"><enum>(III)</enum><text>has provided to the online marketplace identifying information, as described in subsection (a), that has been verified in accordance with that subsection. </text></subclause></clause></subparagraph></paragraph><paragraph id="id2c4379f723de4f29952b055aeaf70b93"><enum>(7)</enum><header>Verify</header><text>The term <term>verify</term> means to confirm information provided to an online marketplace pursuant to this section by the use of one or more methods that enable the online marketplace to reliably determine that any information and documents provided are valid, corresponding to the seller or an individual acting on the seller’s behalf, not misappropriated, and not falsified.</text></paragraph></subsection></section><section id="id380ce1200170454dad24aa9a7a90156a"><enum>3.</enum><header>Effective date</header><text display-inline="no-display-inline">This Act shall take effect 180 days after the date of the enactment of this Act.</text></section></legis-body></bill>
