which was read twice and referred to the <committee-name committee-id="SSCM00">Committee on Commerce, Science, and Transportation</committee-name></action-desc></action><legis-type>A BILL</legis-type><official-title>To establish duties for online service providers with respect to end user data that such providers collect and use.</official-title></form><legis-body display-enacting-clause="yes-display-enacting-clause"><section section-type="section-one" id="S1"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Data Care Act of 2021</short-title></quote>.</text></section><section id="idD21A984B94E54A52AB4C7F05BBB49583"><enum>2.</enum><header>Definitions</header><text display-inline="no-display-inline">In this Act:</text><paragraph commented="no" display-inline="no-display-inline" id="id942DB6834F7C4F73843167C2873BC3CC"><enum>(1)</enum><header>Commission</header><text display-inline="yes-display-inline">The term <term>Commission</term> means the Federal Trade Commission.</text></paragraph><paragraph id="idf549c4e6890c49b5a11604a3972afe69"><enum>(2)</enum><header>End user</header><text>The term <term>end user</term> means an individual who engages with an online service provider or logs into or uses services provided by the online service provider over the internet or any other digital network.</text></paragraph><paragraph id="idf0a5fc7d83324223bcd1f599b1990d77"><enum>(3)</enum><header>Individual identifying data</header><text>The term <term>individual identifying data</term> means any data that is—</text><subparagraph id="id9DCAE04805AD417F879CB1D4CCC6F1ED"><enum>(A)</enum><text>collected over the internet or any other digital network; and</text></subparagraph><subparagraph id="idC6C03B0737F54D2BA2AF16E2C77A3E95"><enum>(B)</enum><text>linked, or reasonably linkable, to—</text><clause id="idD0D1DE6F618E43CEA5F7CD59C54C678E"><enum>(i)</enum><text>a specific end user; or</text></clause><clause id="id28072E2569F44BEEAC33C29FB7B6F4A8"><enum>(ii)</enum><text>a computing device that is associated with or routinely used by an end user.</text></clause></subparagraph></paragraph><paragraph id="id706d1f4ba5844d5fad099602e8686882"><enum>(4)</enum><header>Online service provider</header><text>The term <term>online service provider</term> means an entity that—</text><subparagraph id="id20D7362DB83F42459C18938AF6369B25"><enum>(A)</enum><text>is engaged in interstate commerce over the internet or any other digital network; and</text></subparagraph><subparagraph id="id971A6E6DEF6A4715890A5AB16F10A578"><enum>(B)</enum><text>in the course of business, collects individual identifying data about end users, including in a manner that is incidental to the business conducted.</text></subparagraph></paragraph><paragraph id="id1AC141EF433D4F579173FD7998D75B8D"><enum>(5)</enum><header>Sensitive data</header><text>The term <term>sensitive data</term> means any data that includes—</text><subparagraph id="ida043a9440ad1484684d06212f395b282"><enum>(A)</enum><text>a social security number;</text></subparagraph><subparagraph id="idd194b263c25145c1a3cc0e123d5fa001"><enum>(B)</enum><text>personal information (as defined in section 1302 of the Children's Online Privacy Protection Act of 1998 (<external-xref legal-doc="usc" parsable-cite="usc/15/6501">15 U.S.C. 6501</external-xref>)) collected from a child (as defined in such section 1302);</text></subparagraph><subparagraph id="id20e14f604f8a476f9fdb472415555526"><enum>(C)</enum><text>a driver’s license number, passport number, military identification number, or any other similar number issued on a government document used to verify identity;</text></subparagraph><subparagraph id="id1620469d69cc4d9b8138a9c85d64d677"><enum>(D)</enum><text>a financial account number, credit or debit card number, or any required security code, access code, or password that is necessary to permit access to a financial account of an individual;</text></subparagraph><subparagraph id="idb6032f686d8941ecbe19fa9935588061"><enum>(E)</enum><text>unique biometric data such as a finger print, voice print, a retina or iris image, or any other unique physical representation;</text></subparagraph><subparagraph id="idc41a515eefc0438492937f82c253cfe1"><enum>(F)</enum><text>information sufficient to access an account of an individual, such as user name and password or email address and password;</text></subparagraph><subparagraph id="id83ad08812d704cdf9b63388a8f7529d5"><enum>(G)</enum><text>the first and last name of an individual, or first initial and last name, or other unique identifier in combination with—</text><clause id="id5cad195c8151410abdaaf5196376e83b"><enum>(i)</enum><text>the month, day, and year of birth of the individual;</text></clause><clause id="idF32B4DE526F347B085BA62F79273DBDF"><enum>(ii)</enum><text>the maiden name of the mother of the individual; or</text></clause><clause id="id57b6c0e69d514b7ba003f2685cd5ea39"><enum>(iii)</enum><text>the past or present precise geolocation of the individual;</text></clause></subparagraph><subparagraph id="idbb2e48510e464827847aef12fcb58da4"><enum>(H)</enum><text>information that relates to—</text><clause id="id2122D8A35F15419D9066C082F616DDFA"><enum>(i)</enum><text>the past, present, or future physical or mental health or condition of an individual; or</text></clause><clause id="idB17CC9759EBB4752AF7CEA0D54963E0A"><enum>(ii)</enum><text>the provision of health care to an individual; and</text></clause></subparagraph><subparagraph id="ideac48d464ad5460a8d58b5e9a06c5a11"><enum>(I)</enum><text>the nonpublic communications or other nonpublic user-created content of an individual.</text></subparagraph></paragraph></section><section id="idf35e8f105f7b4d019898444170d83bc9"><enum>3.</enum><header>Provider duties</header><subsection id="id27D02A2596D74F76BE8FC65F81F60A60"><enum>(a)</enum><header>In general</header><text>An online service provider shall fulfill the duties of care, loyalty, and confidentiality under paragraphs (1), (2), and (3), respectively, of subsection (b).</text></subsection><subsection id="idaf637a91d8ec41b3989d2551cc130d4e"><enum>(b)</enum><header>Duties</header><paragraph id="ide1152a5a402b4969b890f2244c9bb379"><enum>(1)</enum><header>Duty of care</header><text>An online service provider shall—</text><subparagraph id="idD623E16CEE0644179F0A45404F5E51CD"><enum>(A)</enum><text>reasonably secure individual identifying data from unauthorized access; and</text></subparagraph><subparagraph id="idDA7F3AF4FD68477C87CDEB16B3C3C3BF"><enum>(B)</enum><text>subject to subsection (d), promptly inform an end user of any breach of the duty described in subparagraph (A) of this paragraph with respect to sensitive data of that end user.</text></subparagraph></paragraph><paragraph id="idd7f0332b753b4a24974e4e6568d39269"><enum>(2)</enum><header>Duty of loyalty</header><text>An online service provider may not use individual identifying data, or data derived from individual identifying data, in any way that—</text><subparagraph id="idf4d8ab25452644578fb7f42c7a14abed"><enum>(A)</enum><text>will benefit the online service provider to the detriment of an end user; and</text></subparagraph><subparagraph id="id58459e66ab3a421ba0a8f46591f48c3a"><enum>(B)</enum><clause commented="no" display-inline="yes-display-inline" id="id271566F90F5141E9B021AA79E88159B5"><enum>(i)</enum><text>will result in reasonably foreseeable and material physical or financial harm to an end user; or</text></clause><clause id="id82a5adf6aa1d4268b731a2863d0c3a17" indent="up1"><enum>(ii)</enum><text>would be unexpected and highly offensive to a reasonable end user.</text></clause></subparagraph></paragraph><paragraph id="id927856fc1a584a889962d83404978f18"><enum>(3)</enum><header>Duty of confidentiality</header><text>An online service provider—</text><subparagraph id="id42754fd23d474ab0b40b98358215165b"><enum>(A)</enum><text>may not disclose or sell individual identifying data to, or share individual identifying data with, any other person except as consistent with the duties of care and loyalty under paragraphs (1) and (2), respectively;</text></subparagraph><subparagraph id="id167e93e2a5d84ea2813bbc4c80a17c4f"><enum>(B)</enum><text>may not disclose or sell individual identifying data to, or share individual identifying data with, any other person unless that person enters into a contract with the online service provider that imposes on the person the same duties of care, loyalty, and confidentiality toward the applicable end user as are imposed on the online service provider under this subsection; and</text></subparagraph><subparagraph id="idf96b18f20ab84a23ab4a8fa2a2f614b9"><enum>(C)</enum><text>shall take reasonable steps to ensure that the practices of any person to whom the online service provider discloses or sells, or with whom the online service provider shares, individual identifying data fulfill the duties of care, loyalty, and confidentiality assumed by the person under the contract described in subparagraph (B), including by auditing, on a regular basis, the data security and data information practices of any such person.</text></subparagraph></paragraph></subsection><subsection id="id38674129534E40C298E6007513485F48"><enum>(c)</enum><header>Application of duties to third parties</header><text>If an online service provider transfers or otherwise provides access to individual identifying data to another person, the requirements of paragraphs (1), (2), and (3) of subsection (b) shall apply to such person with respect to such data in the same manner that such requirements apply to the online service provider.</text></subsection><subsection id="idA385AEAABCE64CDB931A2701DF2FC518"><enum>(d)</enum><header>Expansion of duty To inform regarding breaches</header><text>The Commission may promulgate regulations under section 553 of title 5, United States Code, to apply the breach notification requirement under subsection (b)(1)(B) with respect to specific categories of individual identifying data other than sensitive data, as the Commission determines necessary.</text></subsection><subsection id="idC77DEE03F561413A9D9AECD70D1645BE"><enum>(e)</enum><header>Exceptions</header><paragraph id="idA83EE0C668CA4BDAB5292E247FAC8675"><enum>(1)</enum><header>Regulations</header><text>The Commission may promulgate regulations under section 553 of title 5, United States Code, to exempt categories of online service providers or persons described in subsection (c) from the requirement under subsection (a) or subsection (c) (as applicable).</text></paragraph><paragraph id="id8BE7B6F9A3C44A9E845348AA0EB31D0B"><enum>(2)</enum><header>Considerations</header><text>In promulgating regulations under paragraph (1), the Commission shall consider, among other factors—</text><subparagraph id="id59946E0CCACA4E00AF83AC66F27302D4"><enum>(A)</enum><text>the privacy risks posed by the use of individual identifying data by an online service provider or person described in subsection (c) based on—</text><clause id="idFDA3686BB3124196A6B4F55921F06FC0"><enum>(i)</enum><text>the size of the provider or person;</text></clause><clause id="idA4B6D3A36AA84981B84DBC2B86C730C0"><enum>(ii)</enum><text>the complexity of the offerings of the provider;</text></clause><clause id="id7A5F28AE222A4F5D8BA4261E264B1CBD"><enum>(iii)</enum><text>the nature and scope of the activities of the provider or person; and</text></clause><clause id="id1AD6B3CA57B842D0A3A8AA4B470E1E92"><enum>(iv)</enum><text>the sensitivity of the consumer information handled by the provider or person; and</text></clause></subparagraph><subparagraph id="id78C77F7DD4CB44E581EC19DE35C4844E"><enum>(B)</enum><text>the costs and benefits of applying the requirement under subsection (a) or subsection (c) (as applicable) to online service providers or persons with particular combinations of characteristics considered under subparagraph (A) of this paragraph.</text></subparagraph></paragraph></subsection></section><section id="idea7ce20e12784ef08fadda066d1797a8"><enum>4.</enum><header>Enforcement</header><subsection id="idA195BDB26FFD434DB5C9F1BDBC894254"><enum>(a)</enum><header>Enforcement by Commission</header><paragraph id="id0E084638A71D430DA0D18AC82165BFC7"><enum>(1)</enum><header>Unfair or deceptive acts or practices</header><text display-inline="yes-display-inline">A violation of section 3 by an online service provider or a person described in section 3(c) shall be treated as a violation of a rule defining an unfair or deceptive act or practice prescribed under section 18(a)(1)(B) of the Federal Trade Commission Act (<external-xref legal-doc="usc" parsable-cite="usc/15/57a">15 U.S.C. 57a(a)(1)(B)</external-xref>).</text></paragraph><paragraph id="id21f53e1e1a354ef597da64deafeb7fb7"><enum>(2)</enum><header>Powers of Commission</header><subparagraph id="id9fdc643617cb48158368ad318667861d"><enum>(A)</enum><header>In general</header><text>Except as provided in subparagraph (C), the Commission shall enforce this Act in the same manner, by the same means, and with the same jurisdiction, powers, and duties as though all applicable terms and provisions of the Federal Trade Commission Act (<external-xref legal-doc="usc" parsable-cite="usc/15/41">15 U.S.C. 41</external-xref> et seq.) were incorporated into and made a part of this Act.</text></subparagraph><subparagraph id="ida3d9c71af6844342abe44ed1b02dd200"><enum>(B)</enum><header>Privileges and immunities</header><text>Except as provided in subparagraph (C), any person who violates section 3 shall be subject to the penalties and entitled to the privileges and immunities provided in the Federal Trade Commission Act (<external-xref legal-doc="usc" parsable-cite="usc/15/41">15 U.S.C. 41</external-xref> et seq.).</text></subparagraph><subparagraph id="id10C275CF118F4AA3901E033759E4693F"><enum>(C)</enum><header>Nonprofit organizations and common carriers</header><text>Notwithstanding section 4 or 5(a)(2) of the Federal Trade Commission Act (<external-xref legal-doc="usc" parsable-cite="usc/15/44">15 U.S.C. 44</external-xref>, 45(a)(2)) or any jurisdictional limitation of the Commission, the Commission shall also enforce this Act, in the same manner provided in subparagraphs (A) and (B) of this paragraph, with respect to—</text><clause id="idDAD1495546CA422BACB37B4778E7387C"><enum>(i)</enum><text>organizations not organized to carry on business for their own profit or that of their members; and</text></clause><clause id="id2CC23F7A2EBF4FC4A935D28575587DDC"><enum>(ii)</enum><text>common carriers subject to the Communications Act of 1934 (<external-xref legal-doc="usc" parsable-cite="usc/47/151">47 U.S.C. 151</external-xref> et seq.).</text></clause></subparagraph></paragraph><paragraph id="id5C3C16AA4B6C473E9F54BE33E5999ACC"><enum>(3)</enum><header>Rulemaking authority</header><text>The Commission shall promulgate regulations under this Act in accordance with section 553 of title 5, United States Code.</text></paragraph></subsection><subsection id="H08F3B297278843CEBA35B377B59631A4"><enum>(b)</enum><header>Enforcement by States</header><paragraph id="HEE2E2AEE244C471DA2B48097AF6A2913"><enum>(1)</enum><header>Authorization</header><text>Subject to paragraph (3), in any case in which the attorney general of a State has reason to believe that an interest of the residents of the State has been or is threatened or adversely affected by the engagement of an online service provider or a person described in section 3(c) in a practice that violates section 3, the attorney general of the State may, as parens patriae, bring a civil action against the online service provider or person on behalf of the residents of the State in an appropriate district court of the United States to obtain appropriate relief, including civil penalties in the amount determined under paragraph (2).</text></paragraph><paragraph id="ID981AD43AE0394BDEB8D21B253FAA49EA"><enum>(2)</enum><header>Civil
 penalties</header><text>An online service provider or person described in section 3(c) that is found, in an action brought under paragraph (1), to have knowingly or repeatedly violated section 3 shall, in addition to any other penalty otherwise applicable to a violation of section 3, be liable for a civil penalty equal to the amount calculated by multiplying—</text><subparagraph id="id1CEBA1FEB76244BA809C8A4BFB0604FA"><enum>(A)</enum><text>the greater of—</text><clause id="idB91BF2D1A58A47D2AD46088F39B87438"><enum>(i)</enum><text>the number of days during which the online service provider or person was not in compliance with that section; or</text></clause><clause id="idCBCCCB4C57D54BDD8CC8A2DE958668D6"><enum>(ii)</enum><text>the number of end users who were harmed as a result of the violation, by</text></clause></subparagraph><subparagraph id="idBA9835DA0D8F4AD98BBC3D9EF1DDF15A"><enum>(B)</enum><text>an amount not to exceed the maximum civil penalty for which a person, partnership, or corporation may be liable under section 5(m)(1)(A) of the Federal Trade Commission Act (<external-xref legal-doc="usc" parsable-cite="usc/15/45">15 U.S.C. 45(m)(1)(A)</external-xref>) (including any adjustments for inflation).</text></subparagraph></paragraph><paragraph id="HD3F403489E754AFD8FAA356F9A80510B"><enum>(3)</enum><header>Rights of Federal Trade Commission</header><subparagraph id="HB73A7C4D9B744F5B866ACA99D207F4C9"><enum>(A)</enum><header>Notice to Federal Trade Commission</header><clause id="HBF154F62A986477D96580BBA7F4DB696"><enum>(i)</enum><header>In general</header><text>Except as provided in clause (iii), the attorney general of a State shall notify the Commission in writing that the attorney general intends to bring a civil action under paragraph (1) before initiating the civil action.</text></clause><clause id="H7CB37FF421464B919E845F46CEB233A0"><enum>(ii)</enum><header>Contents</header><text>The notification required under clause (i) with respect to a civil action shall include a copy of the complaint to be filed to initiate the civil action.</text></clause><clause id="HECA42082EC5D430D93B02F643B7CE7AA"><enum>(iii)</enum><header>Exception</header><text>If it is not feasible for the attorney general of a State to provide the notification required under clause (i) before initiating a civil action under paragraph (1), the attorney general shall notify the Commission immediately upon instituting the civil action.</text></clause></subparagraph><subparagraph id="H1C18C7D8113B439F8F2B79125BB996CE"><enum>(B)</enum><header>Intervention by Federal Trade Commission</header><text>The Commission may—</text><clause id="HCF4778D53A9048049E67188886D8E100"><enum>(i)</enum><text>intervene in any civil action brought by the attorney general of a State under paragraph (1); and</text></clause><clause id="H497540422605498E81770EC43419AC03"><enum>(ii)</enum><text>upon intervening—</text><subclause id="H83D9B10B6C294F109E3B29A5A30EE2D5"><enum>(I)</enum><text>be heard on all matters arising in the civil action; and</text></subclause><subclause id="HEFC1B1D235EA451582DB3E10F0F0DE0D"><enum>(II)</enum><text>file petitions for appeal of a decision in the civil action.</text></subclause></clause></subparagraph></paragraph><paragraph id="H2D964E8612D04E5FB9E605170451E88E"><enum>(4)</enum><header>Investigatory powers</header><text>Nothing in this subsection may be construed to prevent the attorney general of a State from exercising the powers conferred on the attorney general by the laws of the State to—</text><subparagraph id="id0BF4D618D0EB4B949FADBFB745A2A6A0"><enum>(A)</enum><text>conduct investigations;</text></subparagraph><subparagraph id="id9CA694E206C24A96B7BF645E403B91FE"><enum>(B)</enum><text>administer oaths or affirmations; or</text></subparagraph><subparagraph id="idBA247177C21846D3804CAE2ADA74C858"><enum>(C)</enum><text>compel the attendance of witnesses or the production of documentary or other evidence.</text></subparagraph></paragraph><paragraph id="H0C2798AB155944EDA2897319F23E0651"><enum>(5)</enum><header>Preemptive action by Federal Trade Commission</header><text>If the Commission institutes a civil action or an administrative action with respect to a violation of section 3, the attorney general of a State may not, during the pendency of the action, bring a civil action under paragraph (1) against any defendant named in the complaint of the Commission based on the same set of facts giving rise to the alleged violation with respect to which the Commission instituted the action.</text></paragraph><paragraph id="HDAB58B7C54F44222ACE69F2FA7BF5277"><enum>(6)</enum><header>Venue; service of process</header><subparagraph id="HDFFC8A6F61DC4D07BE8CE1D2F5B59445"><enum>(A)</enum><header>Venue</header><text>Any action brought under paragraph (1) may be brought in—</text><clause id="H0482C87484D849D698B1CD1859FC4A7E"><enum>(i)</enum><text>the district court of the United States that meets applicable requirements relating to venue under section 1391 of title 28, United States Code; or</text></clause><clause id="H101FC672116F4D0FB1AA3B242EFD8616"><enum>(ii)</enum><text>another court of competent jurisdiction.</text></clause></subparagraph><subparagraph id="HCCB4D1AEF2714E0AAFAFC1C1942B56D9"><enum>(B)</enum><header>Service of process</header><text>In an action brought under paragraph (1), process may be served in any district in which the defendant—</text><clause id="H28486460531C40D6AE2B0AAA20C747A3"><enum>(i)</enum><text>is an inhabitant; or</text></clause><clause id="H4C0ED87BF26B44FEB9AA33E5077CD333"><enum>(ii)</enum><text>may be found.</text></clause></subparagraph></paragraph><paragraph id="H654850CDAA824616B7E70C4CF70464C1"><enum>(7)</enum><header>Actions by other State officials</header><subparagraph id="H2958CB36E1624D838F3CF413DF83315B"><enum>(A)</enum><header>In general</header><text>In addition to civil actions brought by attorneys general under paragraph (1), any other consumer protection officer of a State who is authorized by the State to do so may bring a civil action under paragraph (1), subject to the same requirements and limitations that apply under this subsection to civil actions brought by attorneys general.</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="H03C1146111024913B6FE226A6A9BB15E"><enum>(B)</enum><header>Savings provision</header><text>Nothing in this subsection may be construed to prohibit an authorized official of a State from initiating or continuing any proceeding in a court of the State for a violation of any civil or criminal law of the State.</text></subparagraph></paragraph></subsection></section><section id="idAEBAECC22D884C7FBC4EBE80C7E8FB3E"><enum>5.</enum><header>Nonenforceability of certain provisions waiving rights and remedies</header><text display-inline="no-display-inline">The rights and remedies provided under this Act may not be waived or limited by contract or otherwise.</text></section><section id="idb7bb711b10a3404598cb2b9a71fc4b6c"><enum>6.</enum><header>Relation to other privacy and security laws</header><text display-inline="no-display-inline">Nothing in this Act may be construed to—</text><paragraph id="id279F17C68101461CA521BAE8D4EEA09D"><enum>(1)</enum><text display-inline="yes-display-inline">modify, limit, or supersede the operation of any privacy or security provision in any other Federal or State statute or regulation;
