which was read twice and referred to the <committee-name committee-id="SSJU00">Committee on the Judiciary</committee-name></action-desc></action><legis-type>A BILL</legis-type><official-title>To provide a temporary safe harbor for publishers of online content to collectively negotiate with dominant online platforms regarding the terms on which content may be distributed.</official-title></form><legis-body style="OLC" display-enacting-clause="yes-display-enacting-clause" id="HD7C3437A480846C49836D16D804879FD"><section section-type="section-one" id="H6761C92769134B9ABB7A920C2FE389FB"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Journalism Competition and Preservation Act of 2021</short-title></quote>.</text></section><section id="H802B375314F042E2B851A0B76648988A"><enum>2.</enum><header>Safe harbor for certain collective negotiations</header><subsection id="HB58ADBF2045340F39283BA6AB20113FE"><enum>(a)</enum><header>Definitions</header><text display-inline="yes-display-inline">In this section:</text><paragraph id="id01E891C331F54A28B5FE61BFF3543B37"><enum>(1)</enum><header>Antitrust laws</header><text>The term <term>antitrust laws</term>—</text><subparagraph id="id30F52039B0B44E4F988F0BCEF4DF1C5C"><enum>(A)</enum><text>has the meaning given the term in subsection (a) of the first section of the Clayton Act (<external-xref legal-doc="usc" parsable-cite="usc/15/12">15 U.S.C. 12</external-xref>); and</text></subparagraph><subparagraph id="id8710B5EF2B4E49E6B0D3AADA03559F51"><enum>(B)</enum><text>includes—</text><clause id="HCCF327E05E32452FAB5B658411673CBE"><enum>(i)</enum><text display-inline="yes-display-inline">section 5 of the Federal Trade Commission Act (<external-xref legal-doc="usc" parsable-cite="usc/15/45">15 U.S.C. 45</external-xref>) to the extent that section applies to unfair methods of competition; and</text></clause><clause commented="no" display-inline="no-display-inline" id="H28A9C01DE99D4D5780FD465A7147AFB1"><enum>(ii)</enum><text display-inline="yes-display-inline">any State law (including regulations) that prohibits or penalizes the conduct described in, or is otherwise inconsistent with, subsection (b).</text></clause></subparagraph></paragraph><paragraph id="id83C1C40EA4634EF78C5249C55F29CBE4"><enum>(2)</enum><header>News content creator</header><text display-inline="yes-display-inline">The term <term>news content creator</term> means—</text><subparagraph id="HBA0A078E5C944DFDBEF224BB1D90C09C"><enum>(A)</enum><text display-inline="yes-display-inline">any print, broadcast, or digital news organization that—</text><clause id="HF5B0E2E1E33641708C0CCFF70AE76594"><enum>(i)</enum><text display-inline="yes-display-inline">has a dedicated professional editorial staff that creates and distributes original news and related content concerning local, national, or international matters of public interest on at least a weekly basis; and</text></clause><clause id="HA88088A040A5453CBF6B43ADB34C91D8"><enum>(ii)</enum><text display-inline="yes-display-inline">is marketed through subscriptions, advertising, or sponsorship; and</text></clause></subparagraph><subparagraph id="H06BA5BB87EC2440DA99FC77C0EDBDE9F"><enum>(B)</enum><clause commented="no" display-inline="yes-display-inline" id="id3E6AB309EFD14325A98F8557CB43A56E"><enum>(i)</enum><text display-inline="yes-display-inline">provides original news and related content with the editorial content consisting of not less than 25 percent current news and related content; or</text></clause><clause indent="up1" id="idC0675AC8EDDC43378A2AFA5B44831BCF"><enum>(ii)</enum><text>broadcasts original news and related content pursuant to a license granted by the Federal Communications Commission under title III of the Communications Act of 1934 (<external-xref legal-doc="usc" parsable-cite="usc/47/301">47 U.S.C. 301</external-xref> et seq.). </text></clause></subparagraph></paragraph><paragraph id="idE9D044A257434C5DB732BF2768F09454"><enum>(3)</enum><header>Online content distributor</header><text>The term <term>online content distributor</term> means any entity that—</text><subparagraph id="H3E5036B4BF534821B30F87C8BA553185"><enum>(A)</enum><text display-inline="yes-display-inline">operates a website or other online service that displays, distributes, or directs users to news articles, works of journalism, or other content on the internet that is generated by third-party news content creators; and</text></subparagraph><subparagraph id="HD64C9FA5B441415996E102CF327ECB31"><enum>(B)</enum><text display-inline="yes-display-inline">has not fewer than 1,000,000,000 monthly active users, in the aggregate, of all of its websites or online services worldwide.</text></subparagraph></paragraph></subsection><subsection id="H503A1E03187D4867A506B34803444BE9"><enum>(b)</enum><header>Limitation of liability</header><text display-inline="yes-display-inline">A news content creator may not be held liable under the antitrust laws for engaging in negotiations with any other news content creator during the 4-year period beginning on the date of enactment of this Act to collectively withhold content from, or negotiate with, an online content distributor regarding the terms on which the news content of the news content creator may be distributed by the online content distributor, if—</text><paragraph id="H56081447C5784C60BBD76366019C65B4"><enum>(1)</enum><text display-inline="yes-display-inline">the negotiations with the online content distributor—</text><subparagraph id="HBA483944D1204F9183EED8E2CC6EBB69"><enum>(A)</enum><text display-inline="yes-display-inline">are not limited to price;</text></subparagraph><subparagraph id="idFB0116A50F7544C99E9EC4BA999D60E1"><enum>(B)</enum><text display-inline="yes-display-inline">are nondiscriminatory as to similarly situated news content creators;</text></subparagraph><subparagraph id="id63E945CCDEFF489C855BED9B0C7AD777"><enum>(C)</enum><text display-inline="yes-display-inline">directly relate to the quality, accuracy, attribution or branding, and interoperability of news; and</text></subparagraph><subparagraph id="HF822578D7BBA4AFBBFA750BE1FBABCDB"><enum>(D)</enum><text display-inline="yes-display-inline">pertain to terms that would be available to all news content creators;</text></subparagraph></paragraph><paragraph id="HAA34A1C6C09D4A22BFA273D78730978C"><enum>(2)</enum><text display-inline="yes-display-inline">the coordination between the news content creators is directly related to and reasonably necessary for negotiations with an online content distributor that are otherwise consistent with this Act; and</text></paragraph><paragraph id="H5A2A7090147044558151C609D16B0AC7"><enum>(3)</enum><text display-inline="yes-display-inline">the negotiations do not involve any person that is not a news content creator or an online content distributor.</text></paragraph></subsection><subsection commented="no" id="H196718BA20C04FB8B1C2F69427DEB39F"><enum>(c)</enum><header>Rule of construction</header><text display-inline="yes-display-inline">Except as provided in this Act, this Act shall not be construed to modify, impair, or supersede the operation of the antitrust laws.</text></subsection></section></legis-body></bill>
