Affairs</committee-name></action-desc></action><legis-type>A BILL</legis-type><official-title>To amend the Consumer Financial Protection Act of 2010 to subject the Bureau of Consumer Financial Protection to the regular appropriations process, and for other purposes.</official-title></form><legis-body><section id="S1" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>CFPB Stability Act of 2022</short-title></quote>.</text></section><section id="HDFF2B3A18C7442B2BD945AECCC5D8E1A"><enum>2.</enum><header>Making the Bureau a commission</header><subsection id="idCC508734272A4E02943DE8CDD5113D97"><enum>(a)</enum><header>In general</header><text display-inline="yes-display-inline">The Consumer Financial Protection Act of 2010 (<external-xref legal-doc="usc" parsable-cite="usc/12/5481">12 U.S.C. 5481 et seq.</external-xref>) is amended—</text><paragraph id="id9576A6806A98449CAE93605F792A42BD"><enum>(1)</enum><text>in section 1011—</text><subparagraph id="id0286c745ca644ddd85b7b9e6fd5ef846"><enum>(A)</enum><text>in subsection (a), by striking <quote>in the Federal Reserve System,</quote>; </text></subparagraph><subparagraph id="H2713637A8DD04AC0B1FEC821BCA5CF69"><enum>(B)</enum><text>by striking subsections (b), (c), and (d);</text></subparagraph><subparagraph id="H27A82BB920BB42CD91B6F9CD89EAE726"><enum>(C)</enum><text>by redesignating subsection (e) as subsection (j);</text></subparagraph><subparagraph id="H3A98B57BA4884478B500195543E8DFC2"><enum>(D)</enum><text display-inline="yes-display-inline">in subsection (j), as so redesignated, by striking <quote>, including in cities in which the Federal reserve banks, or branches of such banks, are located,</quote>; and</text></subparagraph><subparagraph id="HD46B22F95C2A43CBA61923496D30E910"><enum>(E)</enum><text>by inserting after subsection (a) the following:</text><quoted-block display-inline="no-display-inline" id="H022BB9E067DD4B9BAC7A5364FE9F4B5D" style="OLC"><subsection id="HF9170619C092476583E166B15E73EE6D"><enum>(b)</enum><header>Authority To prescribe regulations</header><text>The Bureau may prescribe such regulations and issue such orders in accordance with this title as the Bureau may determine to be necessary for carrying out this title and all other laws within the Bureau’s jurisdiction and shall exercise any authorities granted under this title and all other laws within the Bureau’s jurisdiction.</text></subsection><subsection id="H0973967515C540D59451FBDFE643FD34"><enum>(c)</enum><header>Composition of the Bureau</header><paragraph id="H9CBE4BDADB4B462CA8CD1309F4C5ECFE"><enum>(1)</enum><header>In general</header><text display-inline="yes-display-inline">The Bureau shall be composed of 5 members who shall be appointed by the President, by and with the advice and consent of the Senate.</text></paragraph><paragraph id="H9C6406B9CF934BBB9A56E4461845406C"><enum>(2)</enum><header>Staggering</header><text display-inline="yes-display-inline">The members of the Bureau shall serve staggered terms, which initially shall be established by the President for terms of 1, 2, 3, 4, and 5 years, respectively.</text></paragraph><paragraph id="H591E9A72E64B4351AFAB55A12D9C14E2"><enum>(3)</enum><header>Terms</header><subparagraph id="HABC100D5C243467D846067C94DC05C4E"><enum>(A)</enum><header>In general</header><text display-inline="yes-display-inline">Each member of the Bureau, including the Chair, shall serve for a term of 5 years.</text></subparagraph><subparagraph id="H3BDF7371FCC845AE8466B4452568A23F"><enum>(B)</enum><header>Removal</header><text display-inline="yes-display-inline">The President may remove any member of the Bureau for inefficiency, neglect of duty, or malfeasance in office.</text></subparagraph><subparagraph id="H9000B6C667C44C0D8AB126CE6B0E6B27"><enum>(C)</enum><header>Vacancies</header><text display-inline="yes-display-inline">Any member of the Bureau appointed to fill a vacancy occurring before the expiration of the term to which that member’s predecessor was appointed (including the Chair) shall be appointed only for the remainder of the term.</text></subparagraph><subparagraph id="H7CBEB53DF56E4A3A934B86D6DC1C418F"><enum>(D)</enum><header>Continuation of service</header><text display-inline="yes-display-inline">Each member of the Bureau may continue to serve after the expiration of the term of office to which that member was appointed until a successor has been appointed by the President and confirmed by the Senate, except that a member may not continue to serve more than 1 year after the date on which that member’s term would otherwise expire.</text></subparagraph><subparagraph id="H18A7103853A04468A008AFD86A7C8676"><enum>(E)</enum><header>Other employment prohibited</header><text display-inline="yes-display-inline">No member of the Bureau shall engage in any other business, vocation, or employment.</text></subparagraph></paragraph></subsection><subsection display-inline="no-display-inline" id="HC1C2007E2ABD44EEA3F8EECEC07051B3"><enum>(d)</enum><header>Affiliation</header><text>Not more than 3 members of the Bureau shall be members of any one political party.</text></subsection><subsection id="H408DFF5C8C8445C3B685F25F07EAFC99"><enum>(e)</enum><header>Chair of the Bureau</header><paragraph commented="no" id="H8DB5392D756F4116A9B41F15C78A018B"><enum>(1)</enum><header>Initial Chair</header><text>The first member and Chair of the Bureau shall be the individual serving as Chair of the Bureau of Consumer Financial Protection on the day before the date of the enactment of this subsection.</text></paragraph><paragraph commented="no" id="H89E10D2FC7EA4ADC82394131D0252FA2"><enum>(2)</enum><header>Subsequent Chair</header><text display-inline="yes-display-inline">Of the 5 members appointed in accordance with subsection (c), the President shall appoint 1 member to serve as the subsequent Chair of the Bureau.</text></paragraph><paragraph id="HC3551031F92841FE809797CFE8A842DD"><enum>(3)</enum><header>Authority</header><text display-inline="yes-display-inline">The Chair shall be the principal executive officer of the Bureau, and shall exercise all of the executive and administrative functions of the Bureau, including with respect to—</text><subparagraph id="H056483EEF98A41EC9511938B9EB8355D"><enum>(A)</enum><text display-inline="yes-display-inline">the appointment and supervision of personnel employed under the Bureau (other than personnel employed regularly and full time in the immediate offices of members of the Bureau other than the Chair);</text></subparagraph><subparagraph id="H9FB792F1F9B44C189FC2D8DE08925226"><enum>(B)</enum><text display-inline="yes-display-inline">the distribution of business among personnel appointed and supervised by the Chair and among administrative units of the Bureau; and</text></subparagraph><subparagraph id="H17A9108FC3BB4EB59C0F3D4DC78D0326"><enum>(C)</enum><text>the use and expenditure of funds.</text></subparagraph></paragraph><paragraph id="HB1EC9AF78E264E9ABC884FA50E311592"><enum>(4)</enum><header>Limitation</header><text>In carrying out any of the Chair’s functions under the provisions of this subsection the Chair shall be governed by general policies of the Bureau and by such regulatory decisions, findings, and determinations as the Bureau may by law be authorized to make.</text></paragraph><paragraph id="HB1BFDB5875994E27AAD3E2C99630E380"><enum>(5)</enum><header>Requests or estimates related to appropriations</header><text>Requests or estimates for regular, supplemental, or deficiency appropriations on behalf of the Bureau may not be submitted by the Chair without the prior approval of the Bureau.</text></paragraph><paragraph id="id7CC4B357C5EB43BF87EBF5D5B273302F"><enum>(6)</enum><header>Term</header><text>The term of each Chair serving under this subsection shall expire on the earlier of—</text><subparagraph id="id9E7A893446294C5EBF0E2DD97AB6DAF3"><enum>(A)</enum><text>the date that is 5 years after the date on which the Chair began serving; and</text></subparagraph><subparagraph id="id4EB7FF70204744E790BAECC6E4869F32"><enum>(B)</enum><text>the date on which the individual who was President while the Chair was serving leaves office.</text></subparagraph></paragraph></subsection><subsection commented="no" id="H09866DF6CFDD4FE6891E2C92CC214068"><enum>(f)</enum><header>Initial quorum established</header><text display-inline="yes-display-inline">The first member and Chair of the Bureau described under subsection (e)(1) shall constitute a quorum for the transaction of business until the President has appointed all 5 members of the Bureau in accordance with subsection (c). Following such appointment of 5 members, the quorum requirements of subsection (g) shall apply.</text></subsection><subsection display-inline="no-display-inline" id="H8FC510978CF94BADB909401C801729B5"><enum>(g)</enum><header>No impairment by reason of vacancies</header><text display-inline="yes-display-inline">No vacancy in the members of the Bureau after the establishment of an initial quorum under subsection (f) shall impair the right of the remaining members of the Bureau to exercise all the powers of the Bureau. Three members of the Bureau shall constitute a quorum for the transaction of business, except that if there are only 3 members serving on the Bureau because of vacancies in the Bureau, 2 members of the Bureau shall constitute a quorum for the transaction of business. If there are only 2 members serving on the Bureau because of vacancies in the Bureau, 2 members shall constitute a quorum for the 6-month period beginning on the date of the vacancy which caused the number of Bureau members to decline to 2.</text></subsection><subsection id="HC9DED052DBD04176A69DAA10EB1DDD98"><enum>(h)</enum><header>Seal</header><text>The Bureau shall have an official seal.</text></subsection><subsection id="H2BC569B3058C45ADBFAD6EF2D2B9EE2A"><enum>(i)</enum><header>Compensation</header><paragraph id="HE5D069BB0CE54AD38507318AABAC87F1"><enum>(1)</enum><header>Chair</header><text>The Chair shall receive compensation at the rate prescribed for level I of the Executive Schedule under section 5313 of title 5, United States Code.</text></paragraph><paragraph id="H17DE642A9A1C4B529AD79ED66000C126"><enum>(2)</enum><header>Other members of the Bureau</header><text>The 4 other members of the Bureau shall each receive compensation at the rate prescribed for level II of the Executive Schedule under section 5314 of title 5, United States Code.</text></paragraph></subsection><after-quoted-block>;</after-quoted-block></quoted-block></subparagraph></paragraph><paragraph id="H87E9EC7CD6BD427C8E5C932C6C608E74"><enum>(2)</enum><text>in section 1012(c), by striking paragraphs (2), (3), (4), and (5);</text></paragraph><paragraph id="id493593C4200D416DA573EF9DA3E0943C"><enum>(3)</enum><text>in section 1013(a), by striking paragraph (2) and inserting the following:</text><quoted-block style="OLC" display-inline="no-display-inline" id="id5F25618567BC4FB4A75EE57D60602684"><paragraph commented="no" display-inline="no-display-inline" id="PDAF9BFE04DF3D8B077EA27A9A423B18"><enum>(2)</enum><header display-inline="yes-display-inline">Compensation</header><text display-inline="yes-display-inline">Notwithstanding any otherwise applicable provision of title 5, United States Code, concerning compensation, including the provisions of chapter 51 and chapter 53, the rates of basic pay for all employees of the Bureau may be set and adjusted by the Chair.</text></paragraph><after-quoted-block>; and</after-quoted-block></quoted-block></paragraph><paragraph id="H2990CF5876F1443CBADE12DE33924D99"><enum>(4)</enum><text>in section 1014(b), by striking <quote>Not fewer than 6 members shall be appointed upon the recommendation of the regional Federal Reserve Bank Presidents, on a rotating basis.</quote>.</text></paragraph></subsection><subsection id="ida3253a17b1ba48bf8423ba55f8efe63e"><enum>(b)</enum><header>Presidential appointment of Inspector General of the Financial Product Safety Bureau</header><text display-inline="yes-display-inline">The Inspector General Act of 1978 (5 U.S.C. App.) is amended—</text><paragraph id="id9dfc515d7f7e419b93b206ee3eaae1c2"><enum>(1)</enum><text>in section 8G—</text><subparagraph id="ida176ce154f864bc9bb713efc02c86bec"><enum>(A)</enum><text>in subsection (a)(2), by striking <quote>and the Bureau of Consumer Financial Protection</quote>;</text></subparagraph><subparagraph id="id7316fbd2afbb42eba971f293c275d8e6"><enum>(B)</enum><text>in subsection (c), by striking <quote>For the purposes of implementing this section</quote> and all that follows through the end of the subsection; and</text></subparagraph><subparagraph id="idb23f9d417e594d1f8eed0d03bb93fbcf"><enum>(C)</enum><text>in subsection (g)(3), by striking <quote>and the Bureau of Consumer Financial Protection</quote>; and</text></subparagraph></paragraph><paragraph id="id1f752dd3a2b54cbd85528e11c4c166e9"><enum>(2)</enum><text>in section 12—</text><subparagraph id="idada48242d707498c9fc2f7e594f026f2"><enum>(A)</enum><text>in paragraph (1), by inserting <quote>the Chair of the Bureau of Consumer Financial Protection;</quote> after <quote>the President of the Export-Import Bank;</quote>; and</text></subparagraph><subparagraph id="id0d7c0c891582449792fd4f974ca028b3" commented="no" display-inline="no-display-inline"><enum>(B)</enum><text>in paragraph (2), by inserting <quote>the Bureau of Consumer Financial Protection,</quote> after <quote>the Export-Import Bank,</quote>. </text></subparagraph></paragraph></subsection></section><section id="HA45BE4C9BA7D488DB56505E0C89B12FC"><enum>3.</enum><header>Subjecting the Bureau of Consumer Financial Protection to the regular appropriations process</header><subsection id="idFE70C182B82D42D184D925A733EA8B19"><enum>(a)</enum><header>In general</header><text display-inline="yes-display-inline">Section 1017 of the Consumer Financial Protection Act of 2010 (<external-xref legal-doc="usc" parsable-cite="usc/12/5497">12 U.S.C. 5497</external-xref>) is amended—</text><paragraph id="HC237D5F7F01340AEA27BBD50D82629A0"><enum>(1)</enum><text>in subsection (a)—</text><subparagraph id="H573643BCB36240138227CBC88E20F052"><enum>(A)</enum><text>in the subsection heading, by striking “<header-in-text level="subsection" style="OLC">Transfer of Funds From Board Of Governors.—</header-in-text>” and inserting <quote><header-in-text level="subsection" style="OLC">Budget and Financial Management.—</header-in-text></quote>;</text></subparagraph><subparagraph id="HF47CE774DDC649A6B7BDF4A3FC80190E"><enum>(B)</enum><text>by striking paragraphs (1) through (3);</text></subparagraph><subparagraph id="H8E81DED11C3F4C77AA6E650C3030F760"><enum>(C)</enum><text>by redesignating paragraphs (4) and (5) as paragraphs (1) and (2), respectively; and</text></subparagraph><subparagraph id="H78BC6878ED764721A46345CAB807973E"><enum>(D)</enum><text>in paragraph (1), as so redesignated—</text><clause id="id3E21317179CD4E6C87D88225C8E4DB4E"><enum>(i)</enum><text>in the paragraph heading, by striking <quote><header-in-text level="paragraph" style="OLC">Budget and financial management.—</header-in-text></quote> and inserting <quote><header-in-text level="paragraph" style="OLC">In general.—</header-in-text></quote>;</text></clause><clause id="HBE1036C1276B4FF5929C664FD43D5769"><enum>(ii)</enum><text>by striking subparagraph (E); and</text></clause><clause id="H4848EDE54E184BEFBA1D28598F96C765"><enum>(iii)</enum><text>by redesignating subparagraph (F) as subparagraph (E);</text></clause></subparagraph></paragraph><paragraph id="H0B09CCC47068485CB0AEE9AF7DD68CB7"><enum>(2)</enum><text>by striking subsections (b) and (c);</text></paragraph><paragraph id="HB5FE84DBDC614430ABB2B43E21F2EEBE"><enum>(3)</enum><text>by redesignating subsections (d) and (e) as subsections (b) and (c), respectively; </text></paragraph><paragraph id="idA557566AFE494E62856371C52D1B455D"><enum>(4)</enum><text>in subsection (b), as so redesignated—</text><subparagraph id="idF1491B8A00A646D6B9AB8D6EA8EE7D01"><enum>(A)</enum><text>in paragraph (2)— </text><clause id="idFFDD599293FF4ABA978961A16ECEF57A"><enum>(i)</enum><text>in the first sentence, by inserting <quote>direct</quote> before <quote>victims</quote>; and</text></clause><clause id="idB4CA5DFD5BEA4D26A29EFF2C5FEC8CF4"><enum>(ii)</enum><text>by striking the second sentence; and</text></clause></subparagraph><subparagraph id="id638118120B434998A33F995441F1970A"><enum>(B)</enum><text>by adding at the end the following:</text><quoted-block id="id6B9A282AC51A4505B41D966899209E22" style="OLC" act-name=""><paragraph id="idAF855C1FD7D3411D95E6C9561FA4CDC8"><enum>(3)</enum><header>Treatment of excess amounts</header><text>If, after the Bureau obtains a civil penalty in a judicial or administrative action under Federal consumer financial laws, deposits that civil penalty into the Civil Penalty Fund under paragraph (1), and, under paragraph (2), makes payments to all of the direct victims of activities for which that civil penalty was imposed, amounts remain in the Civil Penalty Fund with respect to that civil penalty, the Bureau shall transfer those excess amounts to the general fund of the Treasury.</text></paragraph><after-quoted-block>; and</after-quoted-block></quoted-block></subparagraph></paragraph><paragraph id="H8FF82BA1D820495C84F9AA4724031091"><enum>(5)</enum><text>in subsection (c), as so redesignated—</text><subparagraph id="H5C7508FB0209417AB7B90083E9A9CD16"><enum>(A)</enum><text>by striking paragraphs (1) through (3) and inserting the following:</text><quoted-block style="OLC" display-inline="no-display-inline" id="H516B92EDE53B45F69E190EF2C41C49C6"><paragraph id="H568C377184D04C95A9771243C53AF6D9"><enum>(1)</enum><header>Authorization of appropriations</header><text display-inline="yes-display-inline">There is authorized to be appropriated such funds as may be necessary to carry out this title for fiscal year 2024.</text></paragraph><after-quoted-block>; and</after-quoted-block></quoted-block></subparagraph><subparagraph id="H34AD85B149084FE798DEAD68B5C8F67C"><enum>(B)</enum><text>by redesignating paragraph (4) as paragraph (2).</text></subparagraph></paragraph></subsection><subsection id="id91F16EEF102D453B8B5CB9E77209771C" commented="no" display-inline="no-display-inline"><enum>(b)</enum><header>Effective date</header><text>The amendments made by this section shall take effect on October 1, 2023. </text></subsection></section><section id="H3B9EA715D53044A4B1699F68554332CA"><enum>4.</enum><header>Conforming amendments</header><subsection id="HAC2F954E76464F66ABF454F458D666C8"><enum>(a)</enum><header>Consumer Financial Protection Act of 2010</header><paragraph id="HD00DD466B8174E62BC898EEC44D323E0"><enum>(1)</enum><header>In general</header><text display-inline="yes-display-inline">Except as provided under paragraph (2), the Consumer Financial Protection Act of 2010 (<external-xref legal-doc="usc" parsable-cite="usc/12/5481">12 U.S.C. 5481 et seq.</external-xref>) is amended—</text><subparagraph id="HCEAB51D987B144998C82131B3ACA8704"><enum>(A)</enum><text>by striking <quote>Director of the Bureau</quote> each place the term appears, other than where the term is used to refer to a Director other than the Director of the Bureau of Consumer Financial Protection, and inserting <quote>Chair of the Bureau</quote>;</text></subparagraph><subparagraph id="H62BC2ABAC99D4758B2E9F7339319499D"><enum>(B)</enum><text display-inline="yes-display-inline">by striking <quote>Director</quote> each place the term appears and inserting <quote>Chair</quote>, other than where the term is used to refer to a Director other than the Director of the Bureau of Consumer Financial Protection; and</text></subparagraph><subparagraph id="H1EBF37FE6B574AF58F5C167EF3C8B62A"><enum>(C)</enum><text>in section 1002, by striking paragraph (10).</text></subparagraph></paragraph><paragraph id="H329E544687B8466F8158ABAEAE23A766"><enum>(2)</enum><header>Exceptions</header><text display-inline="yes-display-inline">The Consumer Financial Protection Act of 2010 (<external-xref legal-doc="usc" parsable-cite="usc/12/5481">12 U.S.C. 5481 et seq.</external-xref>) is amended—</text><subparagraph id="HC18A2077F62B4DF3A635C70A4FFBA960"><enum>(A)</enum><text>in section 1013(c)(3)—</text><clause id="H351E1C0CB286467CB3EE8ABEB8E3F391"><enum>(i)</enum><text>in the matter preceding subparagraph (A), by striking <quote>Assistant Director of the Bureau for</quote> and inserting <quote>Head of the Office of</quote>; and</text></clause><clause id="H5A82EC45BC904BBBA452BDFEA69519DB"><enum>(ii)</enum><text>in subparagraph (B), by striking <quote>Assistant Director</quote> and inserting <quote>Head of the Office</quote>; and</text></clause></subparagraph><subparagraph id="HBDABB7A0CBDD466CAEEC12868136DF43"><enum>(B)</enum><text>in section 1013(g)(2)—</text><clause id="H7D0A4FEFD23A485A8AB63DF710D9E7F2"><enum>(i)</enum><text>by striking <quote><header-in-text level="paragraph" style="OLC">Assistant director</header-in-text></quote> and inserting <quote><header-in-text level="paragraph" style="OLC">Head of the Office</header-in-text></quote>; and</text></clause><clause id="HABBBAE59FB9B4B75823D725B5A9F2A4A"><enum>(ii)</enum><text>by striking <quote>an assistant director</quote> and inserting <quote>a Head of the Office of Financial Protection for Older Americans</quote>.</text></clause></subparagraph></paragraph></subsection><subsection id="HD58780F36BDD4CC294F9124F45588926"><enum>(b)</enum><header>Dodd-Frank Wall Street Reform and Consumer Protection Act</header><text display-inline="yes-display-inline">The Dodd-Frank Wall Street Reform and Consumer Protection Act (<external-xref legal-doc="usc" parsable-cite="usc/12/5301">12 U.S.C. 5301 et seq.</external-xref>) is amended—</text><paragraph id="HCA6292BBE5AA46B5BC51B4FDE0DB6825"><enum>(1)</enum><text>in section 111(b)(1)(D), by striking <quote>Director</quote> and inserting <quote>Chair</quote>;
