<distribution-code display="yes">II</distribution-code><congress>117th CONGRESS</congress><session>2d Session</session><legis-num>S. 5049</legis-num><current-chamber>IN THE SENATE OF THE UNITED STATES</current-chamber><action><action-date date="20220929">September 29, 2022</action-date><action-desc><sponsor name-id="S347">Mr. Moran</sponsor> introduced the following bill; which was read twice and referred to the <committee-name committee-id="SSBK00">Committee on Banking, Housing, and Urban Affairs</committee-name></action-desc></action><legis-type>A BILL</legis-type><official-title>To amend the Federal Financial Institutions Examination Council Act of 1978 to improve the examination of depository institutions, and for other purposes. </official-title></form><legis-body display-enacting-clause="yes-display-enacting-clause"><section section-type="section-one" id="id63909932710F4416A8AFF005BC94ECDD"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Financial Institutions Examination Fairness and Reform Act</short-title></quote>.</text></section><section id="id40edb80ff6ea41619a7dca3a6399a0e4"><enum>2.</enum><header>Timeliness of examination reports</header><text display-inline="no-display-inline">The Federal Financial Institutions Examination Council Act of 1978 (<external-xref legal-doc="usc" parsable-cite="usc/12/3301">12 U.S.C. 3301 et seq.</external-xref>) is amended by adding at the end the following:</text><quoted-block style="OLC" display-inline="no-display-inline" id="idE41AFD6674904F5E91938CBE4BAD0993"><section id="idea2c467314f54bd5b112cb7df361c6e5"><enum>1012.</enum><header>Timeliness of examination reports</header><subsection id="id9a008be3c2634fd5b81cd7152ab479bf"><enum>(a)</enum><header>In general</header><paragraph id="id4c037c7d483a4f38952ed306d4f31491"><enum>(1)</enum><header>Final examination report</header><text>A Federal financial institutions regulatory agency shall provide a final examination report to a financial institution not later than 60 days after the later of—</text><subparagraph id="id7f643a8e2b1945c0872334a3db84a29b"><enum>(A)</enum><text>the exit interview for an examination of the institution; or</text></subparagraph><subparagraph id="id3b1e10c23b564ca6b1e73fa7f7cfa719"><enum>(B)</enum><text>the provision of additional information by the institution relating to the examination.</text></subparagraph></paragraph><paragraph id="id5a92febd38444b7aa3916ff3587e6f10"><enum>(2)</enum><header>Exit interview</header><text>If a financial institution is not subject to a resident examiner program, the exit interview shall occur not later than the end of the 9-month period beginning on the commencement of the examination, except that such period may be extended by the Federal financial institutions regulatory agency by providing written notice to the institution and the Director describing with particularity the reasons that a longer period is needed to complete the examination.</text></paragraph></subsection><subsection id="idb6e77cf45eeb42faa2835de4ef4b73f7"><enum>(b)</enum><header>Examination materials</header><text>Upon the request of a financial institution, the Federal financial institutions regulatory agency shall include with the final report an appendix listing all examination or other factual information relied upon by the agency in support of a material supervisory determination.</text></subsection></section><after-quoted-block>.</after-quoted-block></quoted-block></section><section id="ideb9657dccd4a421f9f66af5513ac76c8"><enum>3.</enum><header>Independent examination review Director</header><subsection id="id9c87409be40f41d3a6031797a996c511"><enum>(a)</enum><header>In general</header><text>The Federal Financial Institutions Examination Council Act of 1978 (<external-xref legal-doc="usc" parsable-cite="usc/12/3301">12 U.S.C. 3301 et seq.</external-xref>), as amended by section 2 of this Act, is further amended by adding at the end the following:</text><quoted-block style="OLC" display-inline="no-display-inline" id="ida679e1734277481996576bd4a251bb4d"><section id="id8440cac5dbaa4581bc442785a344ae36"><enum>1013.</enum><header>Office of independent examination review</header><subsection id="id4343c26daeb84e5eaefd74a694c5282f"><enum>(a)</enum><header>Establishment</header><text>There is established in the Council an Office of Independent Examination Review.</text></subsection><subsection id="id1b14cc26cf1e4066b5998871ada35bf5"><enum>(b)</enum><header>Head of office</header><text>There is established the position of the Independent Examination Review Director, as the head of the Office of Independent Examination Review. The Director shall be appointed by the Federal Financial Institutions Examination Council.</text></subsection><subsection id="ida7b547a6a5bc45ce8cbe5ec8c4354dc7"><enum>(c)</enum><header>Staffing</header><text>The Director is authorized to hire staff to support the activities of the Office of Independent Examination Review.</text></subsection><subsection id="ide2b7eb0f48bc43c2bcd580b5a87797ba"><enum>(d)</enum><header>Duties</header><text>The Director shall—</text><paragraph id="idd94a4257a72342f09e014d36d66f2720"><enum>(1)</enum><text>receive and, at the discretion of the Director, investigate complaints from financial institutions, their representatives, or another entity acting on behalf of such institutions, concerning examinations, examination practices, or examination reports;</text></paragraph><paragraph id="id503b9429b6414effbb0bb958dbc6852f"><enum>(2)</enum><text>hold meetings, at least once every three months and in locations designed to encourage participation from all sections of the United States, with financial institutions, their representatives, or another entity acting on behalf of such institutions, to discuss examination procedures, examination practices, or examination policies;</text></paragraph><paragraph id="id6f6c20eb82e54151a2a11fa71a0d6b7f"><enum>(3)</enum><text>review examination procedures of the Federal financial institutions regulatory agencies to ensure that the written examination policies of those agencies are being followed in practice and adhere to the standards for consistency established by the Council;</text></paragraph><paragraph id="id1812540a2f9f44148dd3906c66045154"><enum>(4)</enum><text>conduct a continuing and regular program of examination quality assurance for all examination types conducted by the Federal financial institutions regulatory agencies;</text></paragraph><paragraph id="id02825e3f278a42dfbdfb401f7af7733f"><enum>(5)</enum><text>adjudicate any supervisory appeal initiated under section 1014; and</text></paragraph><paragraph id="idef6e57c34e744242bdbe41e5ffa3b1d8"><enum>(6)</enum><text>report annually to the Committee on Financial Services of the House of Representatives, the Committee on Banking, Housing, and Urban Affairs of the Senate, and the Council, on the reviews carried out pursuant to paragraphs (3) and (4), including compliance with the requirements set forth in section 1012 regarding timeliness of examination reports, and the Council’s recommendations for improvements in examination procedures, practices, and policies.</text></paragraph></subsection><subsection id="id67d0f0e610814a43981386eb80d88373"><enum>(e)</enum><header>Confidentiality</header><text>The Director shall keep confidential all meetings, discussions, and information provided by financial institutions.</text></subsection></section><after-quoted-block>.</after-quoted-block></quoted-block></subsection><subsection id="idc6f3d874a3f947ff82d254efb93d6578"><enum>(b)</enum><header>Definition</header><text>Section 1003 of the Federal Financial Institutions Examination Council Act of 1978 (<external-xref legal-doc="usc" parsable-cite="usc/12/3302">12 U.S.C. 3302</external-xref>) is amended—</text><paragraph id="idd635062069ab45a1997630167bad3dd7"><enum>(1)</enum><text>in paragraph (2), by striking <quote>and</quote> at the end;</text></paragraph><paragraph id="id4c475e14e00a477c91cb4ad0c08d706e"><enum>(2)</enum><text>in paragraph (3), by adding <quote>and</quote> at the end; and</text></paragraph><paragraph id="ide571491c924a4177a3ab90e1e86056c4"><enum>(3)</enum><text>by adding at the end the following:</text><quoted-block style="OLC" display-inline="no-display-inline" id="ide9f77b11c059427f9c46a3a737741063"><paragraph id="id688a839f5e5e47069069ee88350019d3"><enum>(4)</enum><text>the term <term>Director</term> means the Independent Examination Review Director established under section 1013(a) and (b).</text></paragraph><after-quoted-block>.</after-quoted-block></quoted-block></paragraph></subsection></section><section id="id30ac11b71f3247ac9ad3e07f976aa3a9"><enum>4.</enum><header>Right to independent review of material supervisory determinations</header><text display-inline="no-display-inline">The Federal Financial Institutions Examination Council Act of 1978, as amended by sections 2 and 3 of this Act, is further amended by adding at the end the following:</text><quoted-block style="OLC" display-inline="no-display-inline" id="id5751ceffe9e347e49dca860fec367f24"><section id="id3e168299a7a5440486247bf31b3a71a0"><enum>1014.</enum><header>Right to independent review of material supervisory determinations</header><subsection id="idf8dcd913cb4f4303824675830936f042"><enum>(a)</enum><header>In general</header><text>A financial institution shall have the right to obtain an independent review of a material supervisory determination contained in a final report of examination.</text></subsection><subsection id="id60e38f4ce0f5490c9fb561e76bd1564b"><enum>(b)</enum><header>Notice</header><paragraph id="id073f2d0b22db44a2a6d4c95b14da019f"><enum>(1)</enum><header>Timing</header><text>A financial institution seeking review of a material supervisory determination under this section shall file a written notice with the Director within 60 days after receiving the final report of examination that is the subject of such review.</text></paragraph><paragraph id="id915e951ef2104f618130a3fc7a3ead2f"><enum>(2)</enum><header>Identification of determination</header><text>The written notice shall identify the material supervisory determination that is the subject of the independent examination review, and a statement of the reasons why the institution believes that the determination is incorrect or should otherwise be modified.</text></paragraph><paragraph id="id6e9a4334ddae42bfb7e381a5f8cc0367"><enum>(3)</enum><header>Information to be provided to institution</header><text>Any information relied upon by the agency in the final report that is not in the possession of the financial institution may be requested by the financial institution and shall be delivered promptly by the agency to the financial institution.</text></paragraph></subsection><subsection id="id4272fbe0017d416ba5810796621a424e"><enum>(c)</enum><header>Right to hearing</header><paragraph id="ide8aab0421c8445fb880b1ec35c839c12"><enum>(1)</enum><header>In general</header><text>The Director shall—</text><subparagraph id="id864260E529524F8B9100E8C1335201FB"><enum>(A)</enum><text>determine the merits of the appeal on the record; or</text></subparagraph><subparagraph id="id66DEF7383B57406396A3C418E02B8760"><enum>(B)</enum><text>at the election of the financial institution, refer the appeal to an administrative law judge to conduct a hearing pursuant to the procedures set forth under sections 556 and 557 of title 5, United States Code, which shall take place not later than 60 days after the petition for review is received by the Director.</text></subparagraph></paragraph><paragraph id="id1C50259A3B6A4ADA9A286946658FA4D6"><enum>(2)</enum><header>Timing of decision</header><text>An administrative law judge conducting a hearing under paragraph (1)(B) shall issue a proposed decision to the Director based upon the record established at the hearing.</text></paragraph><paragraph id="id00831d751028432896208be97f4cdbb9"><enum>(3)</enum><header>Standard of review</header><text>In any hearing under this subsection—</text><subparagraph id="id6c731b5c3aee464289127f09323b2f9a"><enum>(A)</enum><text>neither the administrative law judge nor the Director shall defer to the opinions of the examiner or agency, but shall independently determine the appropriateness of the agency’s decision based upon the relevant statutes, regulations, other appropriate guidance, and evidence presented at the hearing.</text></subparagraph></paragraph></subsection><subsection id="ida7a2ca382cc34e4b925270f0d0e34c20"><enum>(d)</enum><header>Final decision</header><text>A decision by the Director on an independent review under this section shall—</text><paragraph id="id3ef0276b704f438eae08d519fd6406d4"><enum>(1)</enum><text>be made not later than 60 days after the record has been closed; and</text></paragraph><paragraph id="id7f602a04415e4845b6428dbd3d750283"><enum>(2)</enum><text>be deemed final agency action and shall bind the agency whose supervisory determination was the subject of the review and the financial institution requesting the review.</text></paragraph></subsection><subsection id="idf5d4fed921524962b978d1bdfc3821ae"><enum>(e)</enum><header>Right to judicial review</header><text>A financial institution shall have the right to petition for review of the decision of the Director under this section by filing a petition for review not later than 60 days after the date on which the decision is made in the United States Court of Appeals for the District of Columbia Circuit or the Circuit in which the financial institution is located.</text></subsection><subsection id="id8eaf1c08886d4d36bf544088deef0b22"><enum>(f)</enum><header>Report</header><text>The Director shall report annually to the Committee on Financial Services of the House of Representatives, the Committee on Banking, Housing, and Urban Affairs of the Senate on actions taken under this section, including the types of issues that the Director has reviewed and the results of those reviews. In no case shall such a report contain information about individual financial institutions or any confidential or privileged information shared by financial institutions.</text></subsection><subsection id="ide54f6caa33fe482794f0684b7e5710e7"><enum>(g)</enum><header>Retaliation prohibited</header><text>A Federal financial institutions regulatory agency may not—</text><paragraph id="id9185462a765045429eb56333c23a34b2"><enum>(1)</enum><text>retaliate against a financial institution, including service providers, or any institution-affiliated party, for exercising appellate rights under this section; or</text></paragraph><paragraph id="idba3e662efed246bcb63ddfb79bf1d84e"><enum>(2)</enum><text>delay or deny any agency action that would benefit a financial institution or any institution-affiliated party on the basis that an appeal under this section is pending under this section.</text></paragraph></subsection></section><after-quoted-block>.</after-quoted-block></quoted-block></section><section id="ide09d256acdd04200993e0fc6f27dd98e"><enum>5.</enum><header>Additional amendments</header><subsection id="idc5ab7bd942394db2acc4dfff007bafdd"><enum>(a)</enum><header>Regulator appeals process, ombudsman, and alternative dispute resolution</header><paragraph id="id21BCFE2BCF5046048C36E6B282C230C6"><enum>(1)</enum><header>In general</header><text>Section 309 of the Riegle Community Development and Regulatory Improvement Act of 1994 (<external-xref legal-doc="usc" parsable-cite="usc/12/4806">12 U.S.C. 4806</external-xref>) is amended—</text><subparagraph id="id0dff15af6768427c81499174587e39d3"><enum>(A)</enum><text>in subsection (a), by inserting after <quote>appropriate Federal banking agency</quote> the following: <quote>, the Bureau of Consumer Financial Protection,</quote>;</text></subparagraph><subparagraph id="id2518ace9aae14952b7920e6807ece4cf"><enum>(B)</enum><text>in subsection (b)—</text><clause id="idC033ABE7F66842419730DCE1F73120FB"><enum>(i)</enum><text>by redesignating paragraphs (1) and (2) as subparagraphs (A) and (B) and indenting appropriately;</text></clause><clause id="id3A703D8299724FA6A0E70850ECDAF2CF"><enum>(ii)</enum><text>in the matter preceding subparagraph (A) (as redesignated), by striking <quote>In establishing</quote> and inserting <quote>(1) <header-in-text level="paragraph" style="OLC">In general</header-in-text>.—In establishing</quote>;</text></clause><clause id="id822E89D8D65C4697B1A74EE42A2ABA84"><enum>(iii)</enum><text>in paragraph (1)(B) (as redesignated), by striking <quote>the appellant from retaliation by agency examiners</quote> and inserting <quote>the insured depository institution or insured credit union from retaliation by an agency referred to in subsection (a)</quote>; and</text></clause><clause id="idB3303A8A0057489FAC4C9A18ED925BCA"><enum>(iv)</enum><text>by adding at the end the following:</text><quoted-block style="OLC" display-inline="no-display-inline" id="idF55D27CEE7FB47DB8C75170C95D8064C"><paragraph id="id31A02584241F4F84AF1CBA6A6E3EB8C6"><enum>(2)</enum><header>Retaliation</header><text>For purposes of this subsection and subsection (e), retaliation includes delaying consideration of, or withholding approval of, any request, notice, or application that otherwise would have been approved, but for the exercise of the institution’s or credit union’s rights under this section.</text></paragraph><after-quoted-block>;</after-quoted-block></quoted-block></clause></subparagraph><subparagraph id="id58c7f6e5f53547528576625d8dda34f7"><enum>(C)</enum><text>in subsection (e)(2)—</text><clause id="id63048d30641d4901a97ca1a26d7aeb71"><enum>(i)</enum><text>in subparagraph (B), by striking <quote>and</quote> at the end;</text></clause><clause id="id737ecc092c7b4a3ca60319f9d9992b69"><enum>(ii)</enum><text>in subparagraph (C), by striking the period and inserting <quote>; and</quote>; and</text></clause><clause id="idd94f691090604b2db4fb45fa73ebe6ca"><enum>(iii)</enum><text>by adding at the end the following:</text><quoted-block style="OLC" display-inline="no-display-inline" id="id57b00c2d474c4f1995fdcf8f02005d8a"><subparagraph id="id3734ce72b9de462abc0d47d46a08ec6a"><enum>(D)</enum><text>ensure that appropriate safeguards exist for protecting the insured depository institution or insured credit union from retaliation by any agency referred to in subsection (a) for exercising its rights under this subsection.</text></subparagraph><after-quoted-block>; and</after-quoted-block></quoted-block></clause></subparagraph><subparagraph id="id9284EA0C804D4DAD8D0EE9E8387ED743"><enum>(D)</enum><text>in subsection (f)(1)(A)—</text><clause id="id63290a6598154c0aa74976993e661f7d"><enum>(i)</enum><text>in clause (ii), by striking <quote>; and</quote> and inserting a semicolon;</text></clause><clause id="idf74b71306a92403588c7321ec40504d6"><enum>(ii)</enum><text>in clause (iii), by striking <quote>; and</quote> and inserting a semicolon; and</text></clause><clause id="idF3B8506DAEB34674A94C8CA92E5BD2E9"><enum>(iii)</enum><text>by adding at the end the following:</text><quoted-block style="OLC" display-inline="no-display-inline" id="id63d92f04183e4f8cb285056c956f1317"><clause id="idf2734ae74a544c0db19afeb990b4fce3"><enum>(iv)</enum><text>any issue specifically listed in an exam report as a matter requiring attention by the institution’s management or board of directors; and</text></clause><clause id="id687E571197974056AB5D1C9C4D29EA8A"><enum>(v)</enum><text>any suspension or removal of an institution’s status as eligible for expedited processing of applications, requests, notices, or filings on the grounds of a supervisory or compliance concern, regardless of whether that concern has been cited as a basis for a material supervisory determination or matter requiring attention in an examination report, provided that the conduct at issue did not involve violation of any criminal law; and</text></clause><after-quoted-block>.</after-quoted-block></quoted-block></clause></subparagraph></paragraph><paragraph id="id46C5D3D1BAE9451598AFFD41DD5B2879"><enum>(2)</enum><header>Effect</header><text>Nothing in this subsection affects the authority of an appropriate Federal banking agency or the National Credit Union Administration Board to take enforcement or other supervisory action.</text></paragraph></subsection><subsection id="id01cba277a5744768b5bd681b1755b37c"><enum>(b)</enum><header>Federal Credit Union Act</header><text>Section 205(j) of the Federal Credit Union Act (<external-xref legal-doc="usc" parsable-cite="usc/12/1785">12 U.S.C. 1785(j)</external-xref>) is amended by inserting <quote>the Bureau of Consumer Financial Protection,</quote> before <quote>the Administration</quote> each place that term appears.</text></subsection><subsection id="id4ca79a4d0a474b6590e0896d92bd9d2e"><enum>(c)</enum><header>Federal Financial Institutions Examination Council Act</header><text>The Federal Financial Institutions Examination Council Act of 1978 (<external-xref legal-doc="usc" parsable-cite="usc/12/3301">12 U.S.C. 3301 et seq.</external-xref>), as amended by sections 2 through 4 of this Act, is further amended—</text><paragraph id="idcb6a9e6f62e448959a821b9db79665bd"><enum>(1)</enum><text>in section 1003 (<external-xref legal-doc="usc" parsable-cite="usc/12/3302">12 U.S.C. 3302</external-xref>) by striking paragraph (1) and inserting the following:</text><quoted-block style="OLC" display-inline="no-display-inline" id="id82d362784d66431da1161bc0cec10ee2"><paragraph id="id62c4f9f0e2d1492c880588cc51315855"><enum>(1)</enum><text>the term <term>Federal financial institutions regulatory agencies</term>—</text><subparagraph id="id74109C9917C04E458692BA4A9E94D92E"><enum>(A)</enum><text>means the Office of the Comptroller of the Currency, the Board of Governors of the Federal Reserve System, the Federal Deposit Insurance Corporation, and the National Credit Union Administration; and</text></subparagraph><subparagraph id="idF7C37A40090C42B7BC56265C83EEA78B"><enum>(B)</enum><text>includes the Bureau of Consumer Financial Protection for purposes of sections 1012 through 1014;</text></subparagraph></paragraph><after-quoted-block>; and</after-quoted-block></quoted-block></paragraph><paragraph id="idda2d4de3c371435c9313534bfca78187"><enum>(2)</enum><text>in section 1005 (<external-xref legal-doc="usc" parsable-cite="usc/12/3304">12 U.S.C. 3304</external-xref>), by striking <quote>One-fifth</quote> and inserting <quote>One-fourth</quote>.</text></paragraph></subsection></section></legis-body></bill>
