which was read twice and referred to the <committee-name committee-id="SSHR00">Committee on Health, Education, Labor, and Pensions</committee-name></action-desc></action><legis-type>A BILL</legis-type><official-title>To amend the Employee Retirement Income Security Act of 1974 to clarify the fiduciary duties regarding asset classes.</official-title></form><legis-body><section id="S1" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Retirement Savings Modernization Act</short-title></quote>.</text></section><section id="id2A2729ADF0FF4D888C72A52BA8500C2A"><enum>2.</enum><header>Fiduciary duties regarding asset classes under ERISA</header><text display-inline="no-display-inline">Section 404(a) of the Employee Retirement Income Security Act of 1974 (<external-xref legal-doc="usc" parsable-cite="usc/29/1104">29 U.S.C. 1104(a)</external-xref>) is amended by adding at the end the following:</text><quoted-block style="OLC" display-inline="no-display-inline" id="id797F6139EC9140DAA518D2A00CE91765"><paragraph id="id44BC555B864E482196B34D275F373822" indent="up1"><enum>(3)</enum><subparagraph commented="no" display-inline="yes-display-inline" id="idEDC8CFF1A03C47DC9A5547C6CFBF4732"><enum>(A)</enum><text>A fiduciary shall not be liable for a breach of fiduciary duties under this section solely for—</text><clause indent="up1" id="idC61B950865314043B9538BDB54B6B650"><enum>(i)</enum><text>recommending, selecting, or monitoring any covered investment as an investment option for a plan; or</text></clause><clause indent="up1" id="id985429B4534C49F68EFCE582FE75A6F8"><enum>(ii)</enum><text>causing the plan to make any payment or incur any expense, associated with such covered investment.</text></clause></subparagraph><subparagraph id="id41172DCA9C53429AB0AE4FF89275634D" indent="up1"><enum>(B)</enum><text>For purposes of subparagraph (A):</text><clause id="idABB3704EFDDC49448AD681997A157C06"><enum>(i)</enum><text>The term <term>covered investment</term>—</text><subclause id="id573EDD1EE70E4D5BA0AFEE3F2B172424"><enum>(I)</enum><text>means any direct or indirect investment; and</text></subclause><subclause id="id933E3BE8CEC94E1A8AEAA17AB02461F7"><enum>(II)</enum><text>includes, but is not limited to, any of the following:</text><item id="id97C3EFD827AE4D48971D7CCF3A0BE26C"><enum>(aa)</enum><text>Commodities.</text></item><item id="idAC9D8B02154E4772A2E84EDAAC21934E"><enum>(bb)</enum><text>Debt, including public and private credit. </text></item><item id="id36ED47C01EEC404194B516E2D2A662B2"><enum>(cc)</enum><text>Digital assets.</text></item><item id="idAE26B1FA34B1442A9015380482F53670"><enum>(dd)</enum><text>Hedge funds.</text></item><item id="id4C9B3B04C42A4677B5F0A6305718FD64"><enum>(ee)</enum><text>Infrastructure.</text></item><item id="idE882B2E81E3149C6B3CC3622F148D75D"><enum>(ff)</enum><text>Insured products and annuities.</text></item><item id="id92CEA4CCEC2D4EA1981851B85E63542B"><enum>(gg)</enum><text>Private equity.</text></item><item id="idF457F3F232444A3682CE51C0EA1F233B"><enum>(hh)</enum><text>Real assets.</text></item><item id="id42478878EC47469FAFE28214984E5B95"><enum>(ii)</enum><text>Real estate or real estate-related securities. </text></item><item id="id1B1D6450F65D4DE1ACD362C45629D277"><enum>(jj)</enum><text>Securities that are listed on a national securities exchange.</text></item><item id="idBC613F755CE0441992230DBAC1D181B8"><enum>(kk)</enum><text>Venture capital.</text></item><item id="id5BA4AD2D82664572AB7C21FF131CED76"><enum>(ll)</enum><text>An investment in any fund, commingled account, or pooled investment vehicle that invests in any investment, including but not limited to an investment described in items (aa) through (kk).</text></item></subclause></clause><clause id="id365BEC17EC8A431CAFA404BB0EC79E45"><enum>(ii)</enum><text>The terms <term>exchange</term> and <term>security</term> have the meanings given the terms in section 3(a) of the Securities Exchange Act of 1934 (<external-xref legal-doc="usc" parsable-cite="usc/15/78c">15 U.S.C. 78c(a)</external-xref>). </text></clause><clause id="id4387D3FC0AB348799EB82F5E298A30D4"><enum>(iii)</enum><text>The term <term>national securities exchange</term> means an exchange registered as a national securities exchange pursuant to section 6 of the Securities Exchange Act of 1934 (<external-xref legal-doc="usc" parsable-cite="usc/15/78f">15 U.S.C. 78f</external-xref>). </text></clause></subparagraph><subparagraph id="idC2224CD96FAD4A3F81A86A1461DD58E6" indent="up1" commented="no" display-inline="no-display-inline"><enum>(C)</enum><text>Nothing in this paragraph shall be construed as providing an exemption or safe harbor from the requirements of paragraph (1).</text></subparagraph></paragraph><after-quoted-block>.</after-quoted-block></quoted-block></section></legis-body></bill>
