Severability.</toc-entry></toc></subsection></section><section id="H6474FB38B5904D909F58B89EF71373DA" changed="not-changed"><enum>2.</enum><header>Findings</header><text display-inline="no-display-inline">Congress finds the following:</text><paragraph id="HF1A0444CEEEB4CE19F13456550398584" changed="not-changed"><enum>(1)</enum><text>Campaign finance disclosure is a narrowly tailored and minimally restrictive means to advance substantial government interests, including fostering an informed electorate capable of engaging in self-government and holding their elected officials accountable, detecting and deterring quid pro quo corruption, and identifying information necessary to enforce other campaign finance laws, including campaign contribution limits and the prohibition on foreign money in U.S. campaigns. To further these substantial interests, campaign finance disclosure must be timely and complete, and must disclose the true and original source of money given, transferred, and spent to influence Federal elections. Current law does not meet this objective because corporations and other entities that the Supreme Court has permitted to spend money to influence Federal elections are subject to few if any transparency requirements.</text></paragraph><paragraph id="HF3A71FCC75854FFCB3E90A366E96EE14" changed="not-changed"><enum>(2)</enum><text>As the Supreme Court recognized in its per curiam opinion in <italic>Buckley v. Valeo</italic>, 424 U.S. 1, (1976), <quote>disclosure requirements certainly in most applications appear to be the least restrictive means of curbing the evils of campaign ignorance and corruption that Congress found to exist.</quote><italic>Buckley</italic>, 424 U.S. at 68. In <italic>Citizens United v. FEC</italic>, the Court reiterated that <quote>disclosure is a less restrictive alternative to more comprehensive regulations of speech.</quote> 558 U.S. 310, 369 (2010).</text></paragraph><paragraph id="HC57E8BDED1464CD98B294CA8F3DDC690" changed="not-changed"><enum>(3)</enum><text>No subsequent decision has called these holdings into question, including the Court’s decision in <italic>Americans for Prosperity Foundation v. Bonta</italic>, 141 S. Ct. 2373 (2021). That case did not involve campaign finance disclosure, and the Court did not overturn its longstanding recognition of the substantial interests furthered by such disclosure.</text></paragraph><paragraph id="HF7A65010F66F4271B507F2680E60ABE1" changed="not-changed"><enum>(4)</enum><text>Campaign finance disclosure is also essential to enforce the Federal Election Campaign Act’s prohibition on contributions by and solicitations of foreign nationals. <italic>See</italic> section 319 of the Federal Election Campaign Act of 1971 (<external-xref legal-doc="usc" parsable-cite="usc/52/30121">52 U.S.C. 30121</external-xref>).</text></paragraph><paragraph id="H19695936FCF248EFAAA9254E9B4D6C04" changed="not-changed"><enum>(5)</enum><text>Congress should close loopholes allowing spending by foreign nationals in domestic elections. For example, in 2021, the Federal Election Commission, the independent Federal agency charged with protecting the integrity of the Federal campaign finance process, found reason to believe and conciliated a matter where an experienced political consultant knowingly and willfully violated Federal law by soliciting a contribution from a foreign national by offering to transmit a $2,000,000 contribution to a super PAC through his company and two 501(c)(4) organizations, to conceal the origin of the funds. This scheme was only unveiled after appearing in a The Telegraph UK article and video capturing the solicitation. <italic>See</italic> Conciliation Agreement, MURs 7165 &amp; 7196 (Great America PAC, et al.), date June 28, 2021; Factual and Legal Analysis, MURs 7165 &amp; 7196 (Jesse Benton), dated Mar. 2, 2021. </text></paragraph></section><title id="H89FA80CD667D4DB0896722A23B590BA8" changed="not-changed"><enum>I</enum><header>Closing Loopholes Allowing Spending by Foreign Nationals in Elections</header><section id="HFF2AB91A835148359740B72440CB30FC" changed="not-changed"><enum>101.</enum><header>Clarification of application of foreign money ban to certain disbursements and activities</header><text display-inline="no-display-inline">Section 319(b) of the Federal Election Campaign Act of 1971 (<external-xref legal-doc="usc" parsable-cite="usc/52/30121">52 U.S.C. 30121(b)</external-xref>) is amended—</text><paragraph id="HACA9D3FBAAFB4F6592DF02A828CABCE4" changed="not-changed"><enum>(1)</enum><text>by redesignating paragraphs (1) and (2) as subparagraphs (A) and (B), respectively, and by moving such subparagraphs 2 ems to the right;</text></paragraph><paragraph id="H3B7463748EAB443E9C66F7B0BD9B1B5A" changed="not-changed"><enum>(2)</enum><text>by striking <quote>As used in this section, the term</quote> and inserting the following: </text><quoted-block style="OLC" display-inline="yes-display-inline" id="HB2CA60724F6342A3BBBD869923E91A27" changed="not-changed"><text><header-in-text level="subsection" style="OLC">Definitions</header-in-text>.—For purposes of this section—</text><paragraph id="H1EA959ECF8D447DEBD8B36BFAAEE1BC7" changed="not-changed"><enum>(1)</enum><header>Foreign national</header><text>The term</text></paragraph><after-quoted-block>; </after-quoted-block></quoted-block></paragraph><paragraph id="H3309928D800C4B36802469EC0514F4A1" changed="not-changed"><enum>(3)</enum><text>by moving paragraphs (1) and (2) two ems to the right and redesignating them as subparagraphs (A) and (B), respectively; and</text></paragraph><paragraph id="HE96A0BF0B97047C0AFBD66B31143735A" changed="not-changed"><enum>(4)</enum><text>by adding at the end the following new paragraph:</text><quoted-block style="OLC" display-inline="no-display-inline" id="HB7074D405B6C4787977034CBB498894C" changed="not-changed"><paragraph id="H1B7875E070EC45749A4920F136399871" changed="not-changed"><enum>(2)</enum><header>Contribution and donation</header><text>For purposes of paragraphs (1) and (2) of subsection (a), the term <term>contribution or donation</term> includes any disbursement to a political committee which accepts donations or contributions that do not comply with any of the limitations, prohibitions, and reporting requirements of this Act (or any disbursement to or on behalf of any account of a political committee which is established for the purpose of accepting such donations or contributions), or to any other person for the purpose of funding an expenditure, independent expenditure, or electioneering communication (as defined in section 304(f)(3)).</text></paragraph><after-quoted-block>.</after-quoted-block></quoted-block></paragraph></section><section id="H063A4B6D458B41DD8DB2EE38964FE06C" changed="not-changed"><enum>102.</enum><header>Study and report on illicit foreign money in Federal elections</header><subsection id="H5F25888E92C5401A941F71E208D7E5BE" changed="not-changed"><enum>(a)</enum><header>Study</header><text>For each 4-year election cycle (beginning with the 4-year election cycle ending in 2020), the Comptroller General shall conduct a study on the incidence of illicit foreign money in all elections for Federal office held during the preceding 4-year election cycle, including what information is known about the presence of such money in elections for Federal office.</text></subsection><subsection id="H51C2FF05A39746FFBE34AFAF2DA91619" changed="not-changed"><enum>(b)</enum><header>Report</header><paragraph id="H92B7A89F8B09483F872CE19638BD6FE0" changed="not-changed"><enum>(1)</enum><header>In general</header><text>Not later than the applicable date with respect to any 4-year election cycle, the Comptroller General shall submit to the appropriate congressional committees a report on the study conducted under subsection (a).</text></paragraph><paragraph id="H1A0245445733454D917DBA0911599D35" changed="not-changed"><enum>(2)</enum><header>Matters included</header><text>The report submitted under paragraph (1) shall include a description of the extent to which illicit foreign money was used to target particular groups, including rural communities, African-American and other minority communities, and military and veteran communities, based on such targeting information as is available and accessible to the Comptroller General.</text></paragraph><paragraph id="H3F27B8A54569454C9449E14BA71B432F" changed="not-changed"><enum>(3)</enum><header>Applicable date</header><text>For purposes of paragraph (1), the term <quote>applicable date</quote> means—</text><subparagraph id="H45C561DC45A446ACBBC91BBE1941C6E8" changed="not-changed"><enum>(A)</enum><text>in the case of the 4-year election cycle ending in 2020, the date that is 1 year after the date of the enactment of this Act; and</text></subparagraph><subparagraph id="H0081BB7022CB4CAAB95EE122C6ED270A" changed="not-changed"><enum>(B)</enum><text>in the case of any other 4-year election cycle, the date that is 1 year after the date on which such 4-year election cycle ends.</text></subparagraph></paragraph></subsection><subsection id="H6EF2FF04156D4895864D474A17856181" changed="not-changed"><enum>(c)</enum><header>Definitions</header><text>As used in this section:</text><paragraph id="H089F6FFC900B46E69570EBC2A6C5571C" changed="not-changed"><enum>(1)</enum><header>4-year election cycle</header><text>The term <quote>4-year election cycle</quote> means the 4-year period ending on the date of the general election for the offices of President and Vice President.</text></paragraph><paragraph id="HA107BEBBE542425A802FEFECCAD0A71A" changed="not-changed"><enum>(2)</enum><header>Illicit foreign money</header><text>The term <quote>illicit foreign money</quote> means any contribution, donation, expenditure, or disbursement by a foreign national (as defined in section 319(b) of the Federal Election Campaign Act of 1971 (52 U.S.C.30121(b))) prohibited under such section.</text></paragraph><paragraph id="H775BE3F849A64CC5951E632DACCCE895" changed="not-changed"><enum>(3)</enum><header>Election; Federal office</header><text>The terms <quote>election</quote> and <quote>Federal office</quote> have the meanings given such terms under section 301 of the Federal Election Campaign Act of 1971 (<external-xref legal-doc="usc" parsable-cite="usc/53/30101">53 U.S.C. 30101</external-xref>).</text></paragraph><paragraph id="H310847FBEB8E4E6685500C4759C7D5E0" changed="not-changed"><enum>(4)</enum><header>Appropriate congressional committees</header><text>The term <quote>appropriate congressional committees</quote> means—</text><subparagraph id="H8C0320448E4542D6B314D86A3EE7077B" changed="not-changed"><enum>(A)</enum><text>the Committee on House Administration of the House of Representatives;</text></subparagraph><subparagraph id="H843E7664C11344C39A58FD9FCEC24D66" changed="not-changed"><enum>(B)</enum><text>the Committee on Rules and Administration of the Senate;</text></subparagraph><subparagraph id="H7A8504733C6842BE814402F9B08FF703" changed="not-changed"><enum>(C)</enum><text>the Committee on the Judiciary of the House of Representatives; and</text></subparagraph><subparagraph id="H14513F5664D44C4D83008BA62B415685" changed="not-changed"><enum>(D)</enum><text>the Committee on the Judiciary of the Senate.</text></subparagraph></paragraph></subsection><subsection id="H892E4EE1CECF482CA44AC4F23C0526F3" changed="not-changed"><enum>(d)</enum><header>Sunset</header><text>This section shall not apply to any 4-year election cycle beginning after the election for the offices of President and Vice President in 2032.</text></subsection></section><section id="H13641067B6A940D8A8C68234F0227B34" changed="not-changed"><enum>103.</enum><header>Prohibition on contributions and donations by foreign nationals in connection with ballot initiatives and referenda</header><subsection commented="no" id="HA207B4F36CB64E488F5F84AC853F97F4" changed="not-changed"><enum>(a)</enum><header>In general</header><text display-inline="yes-display-inline">Section 319(b) of the Federal Election Campaign Act of 1971 (<external-xref legal-doc="usc" parsable-cite="usc/52/30121">52 U.S.C. 30121(b)</external-xref>), as amended by section 101, is amended by adding at the end the following new paragraphs:</text><quoted-block style="OLC" display-inline="no-display-inline" id="H6BBE569671974DAFA50FE89F7B418389" changed="not-changed"><paragraph commented="no" id="HF1AFA23FDE624E5C89A5877D645087F8" changed="not-changed"><enum>(3)</enum><header>Federal, State, or local election</header><text display-inline="yes-display-inline">The term <term>Federal, State, or local election</term> includes a State or local ballot initiative or referendum, but only in the case of—</text><subparagraph id="H4ACBACD3CD39451099CA22E2056E22F0" changed="not-changed"><enum>(A)</enum><text>a covered foreign national as defined in paragraph (4); or</text></subparagraph><subparagraph id="H09E6BFC606A1490EACB5578E6969AFD8" changed="not-changed"><enum>(B)</enum><text>a foreign principal described in section 1(b)(2) or 1(b)(3) of the Foreign Agent Registration Act of 1938, as amended (<external-xref legal-doc="usc" parsable-cite="usc/22/611">22 U.S.C. 611(b)(2)</external-xref> or (b)(3)) or an agent of such a foreign principal under such Act.</text></subparagraph></paragraph><paragraph changed="not-changed" id="id9C5CD12F07E74F08AFDECF6EC242EDE3"><enum>(4)</enum><header>Covered foreign national</header><subparagraph changed="not-changed" id="idE23FB9C21D734AFA97408FB01834C043"><enum>(A)</enum><header>In general</header><text>The term <term>covered foreign national</term> means—</text><clause changed="not-changed" id="id350A5E117A7B4BEC9E5893B16D2DC5D4"><enum>(i)</enum><text>a foreign principal (as defined in section 1(b) of the Foreign Agents Registration Act of 1938 (<external-xref legal-doc="usc" parsable-cite="usc/22/611">22 U.S.C. 611(b)</external-xref>) that is a government of a foreign country or a foreign political party;</text></clause><clause changed="not-changed" id="idA6998B38C26C48078713B1CF9583DF0E"><enum>(ii)</enum><text>any person who acts as an agent, representative, employee, or servant, or any person who acts in any other capacity at the order, request, or under the direction or control, of a foreign principal described in clause (i) or of a person any of whose activities are directly or indirectly supervised, directed, controlled, financed, or subsidized in whole or in major part by a foreign principal described in clause (i); or</text></clause><clause changed="not-changed" id="id7D4E7AF1FA8045F1A6FEF3F39870B7F0"><enum>(iii)</enum><text>any person included in the list of specially designated nationals and blocked persons maintained by the Office of Foreign Assets Control of the Department of the Treasury pursuant to authorities relating to the imposition of sanctions relating to the conduct of a foreign principal described in clause (i). </text></clause></subparagraph><subparagraph changed="not-changed" id="idF3986D53EFCE4EB7ADECC879C666B692"><enum>(B)</enum><header>Clarification regarding application to citizens of the United States</header><text>In the case of a citizen of the United States, clause (ii) of subparagraph (A) applies only to the extent that the person involved acts within the scope of that person’s status as the agent of a foreign principal described in clause (i) of subparagraph (A).</text></subparagraph></paragraph><after-quoted-block>.</after-quoted-block></quoted-block></subsection><subsection commented="no" display-inline="no-display-inline" id="H1BEC156A7BC4464A90EB7D7D48E38375" changed="not-changed"><enum>(b)</enum><header>Effective date</header><text>The amendment made by this section shall apply with respect to elections held in 2023 or any succeeding year.</text></subsection></section><section id="HF401219007724A93B6536C3FF2CF75EF" changed="not-changed"><enum>104.</enum><header>Disbursements and activities subject to foreign money ban</header><subsection id="H7DAA6A7D721F48EF96E4EB97F7CB55CF" changed="not-changed"><enum>(a)</enum><header>Disbursements described</header><text display-inline="yes-display-inline">Section 319(a)(1) of the Federal Election Campaign Act of 1971 (<external-xref legal-doc="usc" parsable-cite="usc/52/30121">52 U.S.C. 30121(a)(1)</external-xref>) is amended—</text><paragraph id="H53525B65264D4BD2BF1C9E7A5FC5335D" changed="not-changed"><enum>(1)</enum><text>by striking <quote>or</quote> at the end of subparagraph (B); and</text></paragraph><paragraph id="HF1B77AB5C8314F86A17B203D0B563B19" changed="not-changed"><enum>(2)</enum><text>by striking subparagraph (C) and inserting the following:</text><quoted-block style="traditional" display-inline="no-display-inline" id="HFBE396F60FD34C2E9B0B13C6CB722E06" changed="not-changed"><subparagraph id="HDE2F94EA8EFD45CF83D2AA6ECAA7B343" changed="not-changed"><enum>(C)</enum><text display-inline="yes-display-inline">an expenditure;</text></subparagraph><subparagraph id="HF23C1B2957724362A1F4A53533198755" changed="not-changed"><enum>(D)</enum><text>an independent expenditure;</text></subparagraph><subparagraph id="H846661F4C8564FB89CA85D1AE28FC033" changed="not-changed"><enum>(E)</enum><text>a disbursement for an electioneering communication (within the meaning of section 304(f)(3));</text></subparagraph><subparagraph id="HD2A7D4EA2FF84E55834A6E10E0C508A4" changed="not-changed"><enum>(F)</enum><text display-inline="yes-display-inline">a disbursement for a communication which is placed or promoted for a fee on a website, web application, or digital application that refers to a clearly identified candidate for election for Federal office and is disseminated within 60 days before a general, special or runoff election for the office sought by the candidate or 30 days before a primary or preference election, or a convention or caucus of a political party that has authority to nominate a candidate for the office sought by the candidate;</text></subparagraph><subparagraph id="H41C83FC06F944E6999297424590B922D" changed="not-changed"><enum>(G)</enum><text display-inline="yes-display-inline">a disbursement by a covered foreign national (as defined in subsection (b)(4)) for a broadcast, cable or satellite communication, or for a communication which is placed or promoted for a fee on a website, web application, or digital application, that promotes, supports, attacks or opposes the election of a clearly identified candidate for Federal, State, or local office (regardless of whether the communication contains express advocacy or the functional equivalent of express advocacy);</text></subparagraph><subparagraph id="H2B8E59CB26314E34A0F692C71371C85B" changed="not-changed"><enum>(H)</enum><text display-inline="yes-display-inline">a disbursement for a broadcast, cable, or satellite communication, or for any communication which is placed or promoted for a fee on an online platform (as defined in subsection (b)(5)), that discusses a national legislative issue of public importance in a year in which a regularly scheduled general election for Federal office is held, but only if the disbursement is made by a covered foreign national (as defined in subsection (b)(4));</text></subparagraph><subparagraph id="HBB749089E98349118A0E0E8C13E127E2" changed="not-changed"><enum>(I)</enum><text display-inline="yes-display-inline">a disbursement by a covered foreign national (as defined in subsection (b)(4)) to compensate any person for internet activity that promotes, supports, attacks or opposes the election of a clearly identified candidate for Federal, State, or local office (regardless of whether the activity contains express advocacy or the functional equivalent of express advocacy); or</text></subparagraph><subparagraph id="HB74F01784CCB45588156CFC397436166" changed="not-changed"><enum>(J)</enum><text display-inline="yes-display-inline">a disbursement by a covered foreign national (as defined in subsection (b)(4)) for a Federal judicial nomination communication (as defined in section 324(g)(2));</text></subparagraph><after-quoted-block>.</after-quoted-block></quoted-block></paragraph></subsection><subsection changed="not-changed" id="id11FC33F77D11406285F3D5E7F57AAA7B"><enum>(b)</enum><header>Definition of online platform</header><text>Section 319(b) of such Act (<external-xref legal-doc="usc" parsable-cite="usc/52/30121">52 U.S.C. 30121(b)</external-xref>), as amended by sections 101 and 103, is amended by adding at the end the following new paragraph:</text><quoted-block id="idA5CC17F42F34476886AEA5008FB2B358" display-inline="no-display-inline" style="OLC"><paragraph commented="no" id="H1A141B64159D451181A66226F01DCC2D" changed="not-changed" reported-display-style="italic"><enum>(5)</enum><header>Online platform</header><subparagraph commented="no" id="H7FAA1CE716254F41B4C8E839EEBEA9B9" changed="not-changed" reported-display-style="italic"><enum>(A)</enum><header>In general</header><text>For purposes of this section, subject to subparagraph (B), the term <quote>online platform</quote> means any public-facing website, web application, or digital application (including a social network, ad network, or search engine) which—</text><clause id="HC7D10F600B9340DC822D92E0C9E9E74B" changed="not-changed" reported-display-style="italic"><enum>(i)</enum><subclause commented="no" display-inline="yes-display-inline" id="HDA53560016A34F9E958487EB134180E5" changed="not-changed" reported-display-style="italic"><enum>(I)</enum><text>sells qualified political advertisements; and</text></subclause><subclause id="H69EECCB6F9964928B41517E53B20B0A7" indent="up1" changed="not-changed" reported-display-style="italic"><enum>(II)</enum><text>has 50,000,000 or more unique monthly United States visitors or users for a majority of months during the preceding 12 months; or</text></subclause></clause><clause id="H5304178C2FE54C74BF174F298D94D779" changed="not-changed" reported-display-style="italic"><enum>(ii)</enum><text>is a third-party advertising vendor that has 50,000,000 or more unique monthly United States visitors in the aggregate on any advertisement space that it has sold or bought for a majority of months during the preceding 12 months, as measured by an independent digital ratings service accredited by the Media Ratings Council (or its successor).</text></clause></subparagraph><subparagraph id="HC7E1D3C8EC694361B14A5F7348B4DA5C" changed="not-changed" reported-display-style="italic"><enum>(B)</enum><header>Exemption</header><text>Such term shall not include any online platform that is a distribution facility of any broadcasting station or newspaper, magazine, blog, publication, or periodical.</text></subparagraph><subparagraph id="H0BF4C3A3A82748A782B5AEF0D4C0650E" changed="not-changed" reported-display-style="italic" commented="no" display-inline="no-display-inline"><enum>(C)</enum><header>Third-party advertising vendor defined</header><text>For purposes of this subsection, the term <term>third-party advertising vendor</term> includes, but is not limited to, any third-party advertising vendor network, advertising agency, advertiser, or third-party advertisement serving company that buys and sells advertisement space on behalf of unaffiliated third-party websites, search engines, digital applications, or social media sites. </text></subparagraph></paragraph><after-quoted-block>.</after-quoted-block></quoted-block></subsection><subsection id="H6319F2FE52CA4D4DB6C9A78DF7CA85AA" changed="not-changed"><enum>(c)</enum><header>Effective date</header><text>The amendments made by this section shall apply with respect to disbursements made on or after the date of the enactment of this Act.</text></subsection></section><section display-inline="no-display-inline" id="HD3A4E27448E44DAF8140A737FF15F645" changed="not-changed"><enum>105.</enum><header>Prohibiting establishment of corporation to conceal election contributions and donations by foreign nationals</header><subsection id="HC044DF08C4A44E16A9671D085EE8A1EA" changed="not-changed"><enum>(a)</enum><header>Prohibition</header><text display-inline="yes-display-inline"><external-xref legal-doc="usc-chapter" parsable-cite="usc-chapter/18/29">Chapter 29</external-xref> of title 18, United States Code is amended by adding at the end the following:</text><quoted-block style="USC" display-inline="no-display-inline" id="HDD51DA59D5EF43B38091FE188158E965" changed="not-changed"><section id="H4DEE76080C8643E39F22BE6AA96B9873" changed="not-changed"><enum>612.</enum><header>Establishment of corporation to conceal election contributions and donations by foreign nationals</header><subsection id="HA1B0EC99EFCB4B4AA7DD31DEBC8CC742" changed="not-changed"><enum>(a)</enum><header>Offense</header><text>It shall be unlawful for an owner, officer, attorney, or incorporation agent of a corporation, company, or other entity to establish or use the corporation, company, or other entity with the intent to conceal an activity of a foreign national (as defined in section 319 of the Federal Election Campaign Act of 1971 (<external-xref legal-doc="usc" parsable-cite="usc/52/30121">52 U.S.C. 30121</external-xref>)) prohibited under such section 319.</text></subsection><subsection id="H7C37EEB2C70B40F0ACBE28F83C8FE5CC" changed="not-changed"><enum>(b)</enum><header>Penalty</header><text>Any person who violates subsection (a) shall be imprisoned for not more than 5 years, fined under this title, or both.</text></subsection></section><after-quoted-block>.</after-quoted-block></quoted-block></subsection><subsection id="HCCAE876890784DB9B89BF8625E147BF6" changed="not-changed"><enum>(b)</enum><header>Table of sections</header><text>The table of sections for <external-xref legal-doc="usc-chapter" parsable-cite="usc-chapter/18/29">chapter 29</external-xref> of title 18, United States Code is amended by adding at the end the following new item:</text><quoted-block style="USC" id="H0F0F3334EA8240C491F71574ABEA29D1" changed="not-changed"><toc changed="not-changed"><toc-entry level="section" idref="H4DEE76080C8643E39F22BE6AA96B9873" changed="not-changed">612. Establishment of corporation to conceal election contributions and donations by foreign nationals. </toc-entry></toc><after-quoted-block>.</after-quoted-block></quoted-block></subsection></section></title><title id="H4E89C1EA1F2B40F1B56EAFE37F58F2DF" changed="not-changed"><enum>II</enum><header>Reporting of Campaign-Related Disbursements</header><section id="H0A34CDFBECE7400DABEC094F4901338E" changed="not-changed"><enum>201.</enum><header>Reporting of campaign-related disbursements</header><subsection id="HD94C8B36695E4D4DA46B69BACC426B11" changed="not-changed"><enum>(a)</enum><header>In general</header><text>Section 324 of the Federal Election Campaign Act of 1971 (<external-xref legal-doc="usc" parsable-cite="usc/52/30126">52 U.S.C. 30126</external-xref>) is amended to read as follows:</text><quoted-block display-inline="no-display-inline" id="H35E54EBC2DDF42B8BA6F216F31915147" style="OLC" changed="not-changed"><section id="H82F9F4EE44B743C9A607CFA99CBF57A2" changed="not-changed"><enum>324.</enum><header>Disclosure of campaign-related disbursements by covered organizations</header><subsection id="HA028B4F1C0FC4F988931B4F12447422C" changed="not-changed"><enum>(a)</enum><header>Disclosure statement</header><paragraph id="H2851545FF576459C89F480F3EE4DFA4F" changed="not-changed"><enum>(1)</enum><header>In general</header><text display-inline="yes-display-inline">Any covered organization that makes campaign-related disbursements aggregating more than $10,000 in an election reporting cycle shall, not later than 24 hours after each disclosure date, file a statement with the Commission made under penalty of perjury that contains the information described in paragraph (2)—</text><subparagraph id="HDA2D3EF6B44E429491D1B8239FA0B4D2" changed="not-changed"><enum>(A)</enum><text display-inline="yes-display-inline">in the case of the first statement filed under this subsection, for the period beginning on the first day of the election reporting cycle (or, if earlier, the period beginning one year before the first such disclosure date) and ending on the first such disclosure date; and</text></subparagraph><subparagraph id="H9A81C95D31384188AD36099D028CC8BB" changed="not-changed"><enum>(B)</enum><text>in the case of any subsequent statement filed under this subsection, for the period beginning on the previous disclosure date and ending on such disclosure date.</text></subparagraph></paragraph><paragraph id="HD3E1D48E610C4C46969A9D6609254653" changed="not-changed"><enum>(2)</enum><header>Information described</header><text>The information described in this paragraph is as follows:</text><subparagraph id="H805F9FBE836F442D8FCCFF9CD7378F3D" changed="not-changed"><enum>(A)</enum><text>The name of the covered organization and the principal place of business of such organization and, in the case of a covered organization that is a corporation (other than a business concern that is an issuer of a class of securities registered under section 12 of the Securities Exchange Act of 1934 (<external-xref legal-doc="usc" parsable-cite="usc/15/78l">15 U.S.C. 78l</external-xref>) or that is required to file reports under section 15(d) of that Act (<external-xref legal-doc="usc" parsable-cite="usc/15/78o">15 U.S.C. 78o(d)</external-xref>)) or an entity described in subsection (e)(2), a list of the beneficial owners (as defined in paragraph (4)(A)) of the entity that—</text><clause id="H80EBF25AB7444AA4AD359E70B9FABC05" changed="not-changed"><enum>(i)</enum><text>identifies each beneficial owner by name and current residential or business street address; and</text></clause><clause id="H0D44C337920F4D119A0D28B76770C10F" changed="not-changed"><enum>(ii)</enum><text>if any beneficial owner exercises control over the entity through another legal entity, such as a corporation, partnership, limited liability company, or trust, identifies each such other legal entity and each such beneficial owner who will use that other entity to exercise control over the entity.</text></clause></subparagraph><subparagraph id="H203E02AE7AC8442CBCB9ACE43A7B13C0" changed="not-changed"><enum>(B)</enum><text>The amount of each campaign-related disbursement made by such organization during the period covered by the statement of more than $1,000, and the name and address of the person to whom the disbursement was made.</text></subparagraph><subparagraph id="HC0891D69E0BA4EB0AD345D675A05335C" changed="not-changed"><enum>(C)</enum><text>In the case of a campaign-related disbursement that is not a covered transfer, the election to which the campaign-related disbursement pertains and if the disbursement is made for a public communication, the name of any candidate identified in such communication and whether such communication is in support of or in opposition to a candidate.</text></subparagraph><subparagraph id="H99ACF1E2E25A4C50896FFF00F451E555" changed="not-changed"><enum>(D)</enum><text>A certification by the chief executive officer or person who is the head of the covered organization that the campaign-related disbursement is not made in cooperation, consultation, or concert with or at the request or suggestion of a candidate, authorized committee, or agent of a candidate, political party, or agent of a political party.</text></subparagraph><subparagraph id="H944BE17A6EB94BF5967AF111421D125B" changed="not-changed"><enum>(E)</enum><clause commented="no" display-inline="yes-display-inline" id="HAFC6D9C4806945E69587D82612FB6F33" changed="not-changed"><enum>(i)</enum><text>If the covered organization makes campaign-related disbursements using exclusively funds in a segregated bank account consisting of funds that were paid directly to such account by persons other than the covered organization that controls the account, for each such payment to the account—</text><subclause id="H015FF68F2A774C4691FF9F2294E728E1" indent="up1" changed="not-changed"><enum>(I)</enum><text>the name and address of each person who made such payment during the period covered by the statement;</text></subclause><subclause id="H6D523B0CB59B4AB18AEADCCDB6532852" indent="up1" changed="not-changed"><enum>(II)</enum><text>the date and amount of such payment; and</text></subclause><subclause id="HE9BF79B5442D4DD8A3477941BF2B1703" indent="up1" changed="not-changed"><enum>(III)</enum><text display-inline="yes-display-inline">the aggregate amount of all such payments made by the person during the period beginning on the first day of the election reporting cycle (or, if earlier, the period beginning one year before the disclosure date) and ending on the disclosure date,</text></subclause></clause><continuation-text continuation-text-level="subparagraph" changed="not-changed">but only if such payment was made by a person who made payments to the account in an aggregate amount of $10,000 or more during the period beginning on the first day of the election reporting cycle (or, if earlier, the period beginning one year before the disclosure date) and ending on the disclosure date. </continuation-text><clause id="HA70EFF9024A44AB58F836ADA40CAD8D8" indent="up1" changed="not-changed"><enum>(ii)</enum><text>In any calendar year after 2023, section 315(c)(1)(B) shall apply to the amount described in clause (i) in the same manner as such section applies to the limitations established under subsections (a)(1)(A), (a)(1)(B), (a)(3), and (h) of such section, except that for purposes of applying such section to the amounts described in subsection (b), the <quote>base period</quote> shall be calendar year 2023.</text></clause></subparagraph><subparagraph id="H03365814A10144529D12D44449C77DEC" changed="not-changed"><enum>(F)</enum><clause commented="no" display-inline="yes-display-inline" id="HBCB5AB9451CF4C4594B40347F19074DF" changed="not-changed"><enum>(i)</enum><text>If the covered organization makes campaign-related disbursements using funds other than funds in a segregated bank account described in subparagraph (E), for each payment to the covered organization—</text><subclause id="H3D016C19DCDE47C3AFECFE53E8637D93" indent="up1" changed="not-changed"><enum>(I)</enum><text display-inline="yes-display-inline">the name and address of each person who made such payment during the period covered by the statement;</text></subclause><subclause id="HCF6CE2584EBD4D739F5B275A8741565F" indent="up1" changed="not-changed"><enum>(II)</enum><text display-inline="yes-display-inline">the date and amount of such payment; and</text></subclause><subclause id="HAB06D3082B5C4A5AA7EA4EDF73B97D8F" indent="up1" changed="not-changed"><enum>(III)</enum><text display-inline="yes-display-inline">the aggregate amount of all such payments made by the person during the period beginning on the first day of the election reporting cycle (or, if earlier, the period beginning one year before the disclosure date) and ending on the disclosure date,</text></subclause></clause><continuation-text continuation-text-level="subparagraph" changed="not-changed">but only if such payment was made by a person who made payments to the covered organization in an aggregate amount of $10,000 or more during the period beginning on the first day of the election reporting cycle (or, if earlier, the period beginning one year before the disclosure date) and ending on the disclosure date. </continuation-text><clause id="HEBDEF33CFC8D4CEC8389AC29D631BB4A" indent="up1" changed="not-changed"><enum>(ii)</enum><text>In any calendar year after 2023, section 315(c)(1)(B) shall apply to the amount described in clause (i) in the same manner as such section applies to the limitations established under subsections (a)(1)(A), (a)(1)(B), (a)(3), and (h) of such section, except that for purposes of applying such section to the amounts described in subsection (b), the <quote>base period</quote> shall be calendar year 2023.</text></clause></subparagraph><subparagraph id="HB1203CECAF8C4B96A473821F2A4AE008" changed="not-changed"><enum>(G)</enum><text>Such other information as required in rules established by the Commission to promote the purposes of this section.</text></subparagraph></paragraph><paragraph id="H6D730CEF577F4F5FB7A936D55DC28810" changed="not-changed"><enum>(3)</enum><header>Exceptions</header><subparagraph id="HA8AD546D21574809BA9147AE4DA323AF" changed="not-changed"><enum>(A)</enum><header>Amounts received in ordinary course of business</header><text>The requirement to include in a statement filed under paragraph (1) the information described in paragraph (2) shall not apply to amounts received by the covered organization in commercial transactions in the ordinary course of any trade or business conducted by the covered organization or in the form of investments (other than investments by the principal shareholder in a limited liability corporation) in the covered organization. For purposes of this subparagraph, amounts received by a covered organization as remittances from an employee to the employee’s collective bargaining representative shall be treated as amounts received in commercial transactions in the ordinary course of the business conducted by the covered organization.</text></subparagraph><subparagraph id="H8D93A1CFBB554DC0A75A87BF9ACA3475" changed="not-changed"><enum>(B)</enum><header>Donor restriction on use of funds</header><text display-inline="yes-display-inline">The requirement to include in a statement submitted under paragraph (1) the information described in subparagraph (F) of paragraph (2) shall not apply if—</text><clause id="H3EB410B497F746B5BF04ADFA01FD90FE" changed="not-changed"><enum>(i)</enum><text>the person described in such subparagraph prohibited, in writing, the use of the payment made by such person for campaign-related disbursements; and</text></clause><clause id="HC3A7ED4BF0E14F728C5856E7F8F9CE63" changed="not-changed"><enum>(ii)</enum><text>the covered organization agreed to follow the prohibition and deposited the payment in an account which is segregated from any account used to make campaign-related disbursements.</text></clause></subparagraph><subparagraph id="H25DAB6471BDC402D8A69E57EF8079484" commented="no" changed="not-changed"><enum>(C)</enum><header>Threat of harassment or reprisal</header><text display-inline="yes-display-inline">The requirement to include any information relating to the name or address of any person (other than a candidate) in a statement submitted under paragraph (1) shall not apply if the inclusion of the information would subject the person to serious threats, harassment, or reprisals.</text></subparagraph></paragraph><paragraph display-inline="no-display-inline" id="HE30B387B2F414AC684BAA534D932EECE" changed="not-changed"><enum>(4)</enum><header>Other definitions</header><text>For purposes of this section:</text><subparagraph id="H2A828B1E4ECC469DB90674F9307F7ACE" changed="not-changed"><enum>(A)</enum><header>Beneficial owner defined</header><clause id="H002A7A10C8F24762AB7D9BA2037C59C7" changed="not-changed"><enum>(i)</enum><header>In general</header><text>Except as provided in clause (ii), the term <term>beneficial owner</term> means, with respect to any entity, a natural person who, directly or indirectly—</text><subclause id="HF75D9B86849044168CE0DAE09B3BC33D" changed="not-changed"><enum>(I)</enum><text>exercises substantial control over an entity through ownership, voting rights, agreement, or otherwise; or</text></subclause><subclause id="H6B81625FCB844EB2B4B3DB2808891191" changed="not-changed"><enum>(II)</enum><text>has a substantial interest in or receives substantial economic benefits from the assets of an entity.</text></subclause></clause><clause id="H8261E37CE7124019BC950CF73E0F2E51" changed="not-changed"><enum>(ii)</enum><header>Exceptions</header><text>The term <term>beneficial owner</term> shall not include—</text><subclause id="H0F40080D14B8401687E4D2DAD6DDDD5C" changed="not-changed"><enum>(I)</enum><text>a minor child;</text></subclause><subclause id="HD790E95835A247428DD5C1CF18AC10BF" changed="not-changed"><enum>(II)</enum><text>a person acting as a nominee, intermediary, custodian, or agent on behalf of another person;</text></subclause><subclause id="H601F0B71140A49A9A170A43D20F1D370" changed="not-changed"><enum>(III)</enum><text>a person acting solely as an employee of an entity and whose control over or economic benefits from the entity derives solely from the employment status of the person;</text></subclause><subclause id="H5D69997B09934E1BBC89F3755DA631C5" changed="not-changed"><enum>(IV)</enum><text>a person whose only interest in an entity is through a right of inheritance, unless the person also meets the requirements of clause (i); or</text></subclause><subclause id="HC539D6E538C24358AF1983D1384DE807" changed="not-changed"><enum>(V)</enum><text>a creditor of an entity, unless the creditor also meets the requirements of clause (i).</text></subclause></clause><clause id="H6B76FBFC4B474BD1829A332AE415D1F6" changed="not-changed"><enum>(iii)</enum><header>Anti-abuse rule</header><text>The exceptions under clause (ii) shall not apply if used for the purpose of evading, circumventing, or abusing the provisions of clause (i) or paragraph (2)(A).</text></clause></subparagraph><subparagraph display-inline="no-display-inline" id="H46079EC97BA94A1EA615B6FA56A08166" changed="not-changed"><enum>(B)</enum><header>Disclosure date</header><text>The term <term>disclosure date</term> means—</text><clause id="H3543F9B452B145309A2F49DCB99DD50C" changed="not-changed"><enum>(i)</enum><text display-inline="yes-display-inline">the first date during any election reporting cycle by which a person has made campaign-related disbursements aggregating more than $10,000; and</text></clause><clause id="H8CA99DE546394833BBADC828601D9548" changed="not-changed"><enum>(ii)</enum><text>any other date during such election reporting cycle by which a person has made campaign-related disbursements aggregating more than $10,000 since the most recent disclosure date for such election reporting cycle.</text></clause></subparagraph><subparagraph id="H715D28EE13C6424382F903C98DDE6D94" changed="not-changed"><enum>(C)</enum><header>Election reporting cycle</header><text>The term <term>election reporting cycle</term> means the 2-year period beginning on the date of the most recent general election for Federal office.</text></subparagraph><subparagraph id="HBFDE0E3989AF4B2D9DDB8D3260AB8A66" changed="not-changed"><enum>(D)</enum><header>Payment</header><text>The term <term>payment</term> includes any contribution, donation, transfer, payment of dues, or other payment.</text></subparagraph></paragraph></subsection><subsection id="H8DA7CCB4218C4BA2BF6EC1F169834943" changed="not-changed"><enum>(b)</enum><header>Coordination with other provisions</header><paragraph id="H394E4BEFD4224303B86E2046C3A86224" changed="not-changed"><enum>(1)</enum><header>Other reports filed with the Commission</header><text>Information included in a statement filed under this section may be excluded from statements and reports filed under section 304.</text></paragraph><paragraph id="HBC4E356A7BB445309D1E99099FAAF5FA" changed="not-changed"><enum>(2)</enum><header>Treatment as separate segregated fund</header><text display-inline="yes-display-inline"><italic></italic>A segregated bank account referred to in subsection (a)(2)(E) may be treated as a separate segregated fund for purposes of <external-xref legal-doc="usc" parsable-cite="usc/26/527">section 527(f)(3)</external-xref> of the Internal Revenue 304.</text></subsection><subsection id="H39793186F0E1436DB5C951A78C78249B" changed="not-changed"><enum>(d)</enum><header>Campaign-Related disbursement defined</header><paragraph id="H0EBA64C32BD249A2AE77BB54730A7398" changed="not-changed"><enum>(1)</enum><header>In general</header><text>In this section, the term <term>campaign-related disbursement</term> means a disbursement by a covered organization for any of the following:</text><subparagraph id="HCFB7BA3815E4420ABD30492566CF72DC" changed="not-changed"><enum>(A)</enum><text display-inline="yes-display-inline">An independent expenditure which expressly advocates the election or defeat of a clearly identified candidate for election for Federal office, or is the functional equivalent of express advocacy because, when taken as a whole, it can be interpreted by a reasonable person only as advocating the election or defeat of a candidate for election for Federal office.</text></subparagraph><subparagraph id="H2C687E9B87A542E4B5414D4718E5BC38" changed="not-changed"><enum>(B)</enum><text display-inline="yes-display-inline">An applicable public communication. </text></subparagraph><subparagraph id="HC104D86758BC4B7A9F1E3BD6560A6248" changed="not-changed"><enum>(C)</enum><text>An electioneering communication, as defined in section 304(f)(3).</text></subparagraph><subparagraph id="H4F9F783007F64BA2B5B727B89BFA9BAC" changed="not-changed"><enum>(D)</enum><text>A covered transfer.</text></subparagraph></paragraph><paragraph id="HA453431909C744D091006817C266E182" changed="not-changed"><enum>(2)</enum><header>Applicable public communications</header><subparagraph id="HC8A82D4C7DA747019BFC070835B2D5C5" changed="not-changed"><enum>(A)</enum><header>In general</header><text>The term <term>applicable public communication</term> means any public communication that refers to a clearly identified candidate for election for Federal office and which promotes or supports the election of a candidate for that office, or attacks or opposes the election of a candidate for that office, without regard to whether the communication expressly advocates a vote for or against a candidate for that office.</text></subparagraph><subparagraph id="H44EB29EB40BF457B948BB8C09F36CB8D" changed="not-changed"><enum>(B)</enum><header>Exception</header><text>Such term shall not include any news story, commentary, or editorial distributed through the facilities of any broadcasting station or any print, online, or digital newspaper, magazine, publication, or periodical, unless such facilities are owned or controlled by any political party, political committee, or candidate. </text></subparagraph></paragraph><paragraph id="HA842AED8457441C1B6F5E50CBA328920" changed="not-changed"><enum>(3)</enum><header>Intent not required</header><text>A disbursement for an item described in subparagraph (A), (B), (C) or (D) of paragraph (1) shall be treated as a campaign-related disbursement regardless of the intent of the person making the disbursement.</text></paragraph></subsection><subsection id="H42ED5DC90DB04E53B80B586918D9FB79" changed="not-changed"><enum>(e)</enum><header>Covered organization defined</header><text>In this section, the term <term>covered organization</term> means any of the following:</text><paragraph id="H14BF03224BE14188AE3F6D76F1CF2865" changed="not-changed"><enum>(1)</enum><text display-inline="yes-display-inline">A corporation (other than an organization described in <external-xref legal-doc="usc" parsable-cite="usc/26/501">section 501(c)(3)</external-xref> of the Internal Revenue Code of 1986).</text></paragraph><paragraph id="HC2B291F4779E43818E35DC651D3AD60D" changed="not-changed"><enum>(2)</enum><text>A limited liability corporation that is not otherwise treated as a corporation for purposes of this Act (other than an organization described in <external-xref legal-doc="usc" parsable-cite="usc/26/501">section 501(c)(3)</external-xref> of the Internal Revenue Code of 1986).</text></paragraph><paragraph id="H41C22B3E1AAE47C18A08193CBA7BF72C" changed="not-changed"><enum>(3)</enum><text display-inline="yes-display-inline">An organization described in section 501(c) of such Code and exempt from taxation under section 501(a) of such Code (other than an organization described in section 501(c)(3) of such Code).</text></paragraph><paragraph id="H0C821F97A499472B8D5E78AB73F9E469" changed="not-changed"><enum>(4)</enum><text>A labor organization (as defined in section 316(b)).</text></paragraph><paragraph id="H0F6910AC10D945E0899638ADD8AE92AA" changed="not-changed"><enum>(5)</enum><text>Any political organization under <external-xref legal-doc="usc" parsable-cite="usc/26/527">section 527</external-xref> of the Internal Revenue Code of 1986, other than a political committee under this Act (except as provided in paragraph (6)).</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="HDDFA8BD2230B4AB98205CE3FFE07330B" changed="not-changed"><enum>(6)</enum><text display-inline="yes-display-inline">A political committee with an account that accepts donations or contributions that do not comply with the contribution limits or source prohibitions under this Act, but only with respect to such accounts.</text></paragraph></subsection><subsection id="HC31DB48B7ED8421E85834492054F9DB9" changed="not-changed"><enum>(f)</enum><header>Covered transfer defined</header><paragraph id="HE341280EB7EF42359FA3694DCD4F0421" changed="not-changed"><enum>(1)</enum><header>In general</header><text>In this section, the term <term>covered transfer</term> means any transfer or payment of funds by a covered organization to another person if the covered organization—</text><subparagraph id="HE945D3DA7D8245F09CB791BCC58B815F" changed="not-changed"><enum>(A)</enum><text display-inline="yes-display-inline">designates, requests, or suggests that the amounts be used for—</text><clause id="H4D27981DF972469C9B9DC06A33295E9E" changed="not-changed"><enum>(i)</enum><text display-inline="yes-display-inline">campaign-related disbursements (other than covered transfers); or</text></clause><clause id="H7869886F16F14C768D361B2109A3A043" changed="not-changed"><enum>(ii)</enum><text display-inline="yes-display-inline">making a transfer to another person for the purpose of making or paying for such campaign-related disbursements;</text></clause></subparagraph><subparagraph id="H6323D754045748E49A781565BD63A792" changed="not-changed"><enum>(B)</enum><text display-inline="yes-display-inline">made such transfer or payment in response to a solicitation or other request for a donation or payment for—</text><clause id="H917EBF1FC8A642E7AFBCECB6CD014BE0" changed="not-changed"><enum>(i)</enum><text display-inline="yes-display-inline">the making of or paying for campaign-related disbursements (other than covered transfers); or</text></clause><clause id="H0E05CCAB459D4108BF21B268D7EB8AEE" changed="not-changed"><enum>(ii)</enum><text display-inline="yes-display-inline">making a transfer to another person for the purpose of making or paying for such campaign-related disbursements;</text></clause></subparagraph><subparagraph id="HED0F0BB68A85420F941F00F1DF68877F" changed="not-changed"><enum>(C)</enum><text display-inline="yes-display-inline">engaged in discussions with the recipient of the transfer or payment regarding—</text><clause id="H0AD0E6EAD9254E07A91CB6ADFAAB4288" changed="not-changed"><enum>(i)</enum><text display-inline="yes-display-inline">the making of or paying for campaign-related disbursements (other than covered transfers); or</text></clause><clause id="H82A8FAB6D2504CC7A292DE7B28F70754" changed="not-changed"><enum>(ii)</enum><text display-inline="yes-display-inline">donating or transferring any amount of such transfer or payment to another person for the purpose of making or paying for such campaign-related disbursements; or</text></clause></subparagraph><subparagraph id="H6792B7ED2D114519B71F67AA88DB81D0" changed="not-changed"><enum>(D)</enum><text display-inline="yes-display-inline">knew or had reason to know that the person receiving the transfer or payment would make campaign-related disbursements in an aggregate amount of $50,000 or more during the 2-year period beginning on the date of the transfer or payment.</text></subparagraph></paragraph><paragraph display-inline="no-display-inline" id="H844997A75B7247298BEE653D85076720" changed="not-changed"><enum>(2)</enum><header>Exclusions</header><text display-inline="yes-display-inline">The term <term>covered transfer</term> does not include any of the following:</text><subparagraph id="H9052DCB4FFFE46A480608E69FABD22D5" changed="not-changed"><enum>(A)</enum><text display-inline="yes-display-inline">A disbursement made by a covered organization in a commercial transaction in the ordinary course of any trade or business conducted by the covered organization or in the form of investments made by the covered organization.</text></subparagraph><subparagraph id="H18B5CF172B7E481187A51998686C0F08" changed="not-changed"><enum>(B)</enum><text display-inline="yes-display-inline">A disbursement made by a covered organization if—</text><clause id="HF98966CB955244AEB5EE79B22618A51F" changed="not-changed"><enum>(i)</enum><text>the covered organization prohibited, in writing, the use of such disbursement for campaign-related disbursements; and</text></clause><clause id="H1AB601E29BBE436690570B5B5EEB8B15" changed="not-changed"><enum>(ii)</enum><text display-inline="yes-display-inline">the recipient of the disbursement agreed to follow the prohibition and deposited the disbursement in an account which is segregated from any account used to make campaign-related disbursements.</text></clause></subparagraph></paragraph><paragraph id="HE88C5B139D5349C986546AF5DF5E0721" changed="not-changed"><enum>(3)</enum><header>Special rule regarding transfers among affiliates</header><subparagraph id="HD01E6C722FBB41409FB9A6D10D59915E" changed="not-changed"><enum>(A)</enum><header>Special rule</header><text display-inline="yes-display-inline">A transfer of an amount by one covered organization to another covered organization which is treated as a transfer between affiliates under subparagraph (C) shall be considered a covered transfer by the covered organization which transfers the amount only if the aggregate amount transferred during the year by such covered organization to that same covered organization is equal to or greater than $50,000.</text></subparagraph><subparagraph id="HE5D6A3771C8E49FFA70DDC7984712D1E" changed="not-changed"><enum>(B)</enum><header>Determination of amount of certain payments among affiliates</header><text display-inline="yes-display-inline">In determining the amount of a transfer between affiliates for purposes of subparagraph (A), to the extent that the transfer consists of funds attributable to dues, fees, or assessments which are paid by individuals on a regular, periodic basis in accordance with a per-individual calculation which is made on a regular basis, the transfer shall be attributed to the individuals paying the dues, fees, or assessments and shall not be attributed to the covered organization.</text></subparagraph><subparagraph id="H7C1E0149F9604F86ACF9994CA0947354" changed="not-changed"><enum>(C)</enum><header>Description of transfers between affiliates</header><text display-inline="yes-display-inline">A transfer of amounts from one covered organization to another covered organization shall be treated as a transfer between affiliates if—</text><clause id="H864CDDFB1A824DA182D64BBCCDFD1D0F" changed="not-changed"><enum>(i)</enum><text display-inline="yes-display-inline">one of the organizations is an affiliate of the other organization; or</text></clause><clause id="H85C3BAB2F14B4089AD0F119E55297FB3" changed="not-changed"><enum>(ii)</enum><text display-inline="yes-display-inline">each of the organizations is an affiliate of the same organization,</text></clause><continuation-text continuation-text-level="subparagraph" changed="not-changed">except that the transfer shall not be treated as a transfer between affiliates if one of the organizations is established for the purpose of making campaign-related disbursements. </continuation-text></subparagraph><subparagraph id="H71B252E1756A49A188B89C6BD4C3A7D9" changed="not-changed"><enum>(D)</enum><header>Determination of affiliate status</header><text display-inline="yes-display-inline">For purposes of subparagraph (C), a covered organization is an affiliate of another covered organization if—</text><clause id="H748506EE501D4C1780CD4BE4AF0D3792" changed="not-changed"><enum>(i)</enum><text display-inline="yes-display-inline">the governing instrument of the organization requires it to be bound by decisions of the other organization;</text></clause><clause id="HE343BB6E4F8E42508BE70A918E9434A2" changed="not-changed"><enum>(ii)</enum><text display-inline="yes-display-inline">the governing board of the organization includes persons who are specifically designated representatives of the other organization or are members of the governing board, officers, or paid executive staff members of the other organization, or whose service on the governing board is contingent upon the approval of the other organization; or</text></clause><clause id="H0E78D660D0664B019B41915AF0B03C04" changed="not-changed"><enum>(iii)</enum><text display-inline="yes-display-inline">the organization is chartered by the other organization.</text></clause></subparagraph><subparagraph id="H643E0B4C95F64918905E1C87A4F024A0" changed="not-changed"><enum>(E)</enum><header>Coverage of transfers to affiliated section <enum-in-header>501(c)(3)</enum-in-header> organizations</header><text>This paragraph shall apply with respect to an amount transferred by a covered organization to an organization described in paragraph (3) of <external-xref legal-doc="usc" parsable-cite="usc/26/501">section 501(c)</external-xref> of the Internal Revenue Code of 1986 and exempt from tax under section 501(a) of such Code in the same manner as this paragraph applies to an amount transferred by a covered organization to another covered organization.</text></subparagraph></paragraph></subsection><subsection id="HDB6409C8719A42DE938333531C74C509" changed="not-changed"><enum>(g)</enum><header>No effect on other reporting requirements</header><text>Except as provided in subsection (b)(1), nothing in this section shall be construed to waive or otherwise affect any other requirement of this Act which relates to the reporting of campaign-related disbursements.</text></subsection></section><after-quoted-block>.</after-quoted-block></quoted-block></subsection><subsection id="H005C9ED0038D4C908A57AB1FBA33763E" changed="not-changed"><enum>(b)</enum><header>Conforming amendment</header><text>Section 304(f)(6) of such Act (<external-xref legal-doc="usc" parsable-cite="usc/52/30104">52 U.S.C. 30104</external-xref>) is amended by striking <quote>Any requirement</quote> and inserting <quote>Except as provided in section 324(b), any requirement</quote>.</text></subsection><subsection id="HD1916626E58246299D9224DA2A1174B2" changed="not-changed"><enum>(c)</enum><header>Regulations</header><text>Not later than 6 months after the date of the enactment of this Act, the Federal Election Commission shall promulgate regulations relating the application of the exemption under section 324(a)(3)(C) of the Federal Election Campaign Act of 1971 (as added by subsection (a)). Such regulations—</text><paragraph id="HBA5738BB12A44A2DB7C0056570EFF6A0" changed="not-changed"><enum>(1)</enum><text>shall require that the legal burden of establishing eligibility for such exemption is upon the organization required to make the report required under section 324(a)(1) of such Act (as added by subsection (a)), and</text></paragraph><paragraph id="H9549292E1CBA4949A1FBB3B4BC153D0B" changed="not-changed"><enum>(2)</enum><text>shall be consistent with the principles applied in <italic>Citizens United</italic> v. <italic>Federal Election Commission</italic>, 558 U.S. 310 (2010). </text></paragraph></subsection></section><section id="HC2CE6264CFC347958D8A09B0534E6CA5" changed="not-changed"><enum>202.</enum><header>Reporting of Federal judicial nomination disbursements</header><subsection id="H836BD1F73AC340F6A71E2077EEF5B64D" changed="not-changed"><enum>(a)</enum><header>Findings</header><text>Congress makes the following findings:</text><paragraph id="HCE0FF652C3D047D9BA87BD477233F9E7" changed="not-changed"><enum>(1)</enum><text>A fair and impartial judiciary is critical for our democracy and crucial to maintain the faith of the people of the United States in the justice system. As the Supreme Court held in <italic>Caperton</italic> v. <italic>Massey</italic>, <quote>there is a serious risk of actual bias—based on objective and reasonable perceptions—when a person with a personal stake in a particular case had a significant and disproportionate influence in placing the judge on the case.</quote> (<italic>Caperton</italic> v. <italic>A. T. Massey Coal Co</italic>., 556 U.S. 868, 884 (2009)).</text></paragraph><paragraph id="H158253A642EF4E549775A1FDBA282092" changed="not-changed"><enum>(2)</enum><text>Public trust in government is at a historic low. According to polling, most Americans believe that corporations have too much power and influence in politics and the courts.</text></paragraph><paragraph id="H2EDA6FF69F414784AC9A11F4D03128C0" changed="not-changed"><enum>(3)</enum><text>The prevalence and pervasiveness of dark money drives public concern about corruption in politics and the courts. Dark money is funding for organizations and political activities that cannot be traced to actual donors. It is made possible by loopholes in our tax laws and regulations, weak oversight by the Internal Revenue Service, and donor-friendly court decisions.</text></paragraph><paragraph id="H192D0E09E09C48F6A98CC829484F9459" changed="not-changed"><enum>(4)</enum><text>Under current law, <quote>social welfare</quote> organizations and business leagues can use funds to influence elections so long as political activity is not their <quote>primary</quote> activity. Super PACs can accept and spend unlimited contributions from any non-foreign source. These groups can spend tens of millions of dollars on political activities. Such dark money groups spent an estimated $1,050,000,000 in the 2020 election cycle.</text></paragraph><paragraph id="H827A545F1318425F9472B9CD33E51AEF" changed="not-changed"><enum>(5)</enum><text>Dark money is used to shape judicial decision-making. This can take many forms, akin to agency capture: influencing judicial selection by controlling who gets nominated and funding candidate advertisements; creating public relations campaigns aimed at mobilizing the judiciary around particular issues; and drafting law review articles, amicus briefs, and other products which tell judges how to decide a given case and provide ready-made arguments for willing judges to adopt.</text></paragraph><paragraph id="H4AAF3FD902C448B89CE0CADF7358085D" changed="not-changed"><enum>(6)</enum><text>Over the past decade, nonprofit organizations that do not disclose their donors have spent hundreds of millions of dollars to influence the nomination and confirmation process for Federal judges. One organization alone has spent nearly $40,000,000 on advertisements supporting or opposing Supreme Court nominees since 2016.</text></paragraph><paragraph id="H181AB7BB14874B1A8F41F8A1DFA8D35E" changed="not-changed"><enum>(7)</enum><text>Anonymous money spent on judicial nominations is not subject to any disclosure requirements. Federal election laws only regulate contributions and expenditures relating to electoral politics; thus, expenditures, contributions, and advocacy efforts for Federal judgeships are not covered under the Federal Election Campaign Act of 1971. Without more disclosure, the public has no way of knowing whether the people spending money supporting or opposing judicial nominations have business before the courts.</text></paragraph><paragraph id="H642A6449AA1A408DBF33EEE02D139740" changed="not-changed"><enum>(8)</enum><text>Congress and the American people have a compelling interest in knowing who is funding these campaigns to select and confirm judges to lifetime appointments on the Federal bench. </text></paragraph></subsection><subsection id="H735CACC9BEC249789D3C2649504780D1" changed="not-changed"><enum>(b)</enum><header>Reporting</header><text>Section 324 of the Federal Election Campaign Act of 1971 (<external-xref legal-doc="usc" parsable-cite="usc/52/30126">52 U.S.C. 30126</external-xref>), as amended by section 201, is amended by redesignating subsection (g) as subsection (h) and by inserting after subsection (f) the following new subsection:</text><quoted-block style="OLC" display-inline="no-display-inline" id="H7D65D3218BB24AD89300D6C69507962D" changed="not-changed"><subsection id="H2C8EF2BED91C4482BF8D7B79DAC50499" changed="not-changed"><enum>(g)</enum><header>Application to Federal judicial nominations</header><paragraph id="HA88ECFB2BC8B422196181785BC0CBC5E" changed="not-changed"><enum>(1)</enum><header>In general</header><text>For purposes of this section—</text><subparagraph id="H4EAAA54CB0834F6FA59BDBDE8F5A1D08" changed="not-changed"><enum>(A)</enum><text>a disbursement by a covered organization for a Federal judicial nomination communication shall be treated as a campaign-related disbursement; and</text></subparagraph><subparagraph id="H5C825BC32AF64AECBD9C8DE1D34D0222" changed="not-changed"><enum>(B)</enum><text>in the case of campaign-related disbursements which are for Federal judicial nomination communications—</text><clause id="HAF138215566441C3A7B383D5F559B812" commented="no" changed="not-changed"><enum>(i)</enum><text>the dollar amounts in paragraphs (1) and (2) of subsection (a) shall be applied separately with respect to such disbursements and other campaign-related disbursements;</text></clause><clause commented="no" id="HE131E20EDD9243B09B42AF144CB16093" changed="not-changed"><enum>(ii)</enum><text>the election reporting cycle shall be the calendar year in which the disbursement for the Federal judicial nomination communication is made;</text></clause><clause id="H91BBFD7E95CC4BD6869190B7C1535253" changed="not-changed"><enum>(iii)</enum><text>references to a candidate in subsections (a)(2)(C), (a)(2)(D), and (a)(3)(C) shall be treated as references to a nominee for a Federal judge or justice; </text></clause><clause id="HFCE8FBF7DAFB4B2B9AA95384BEEFE530" changed="not-changed"><enum>(iv)</enum><text>the reference to an election in subsection (a)(2)(C) shall be treated as a reference to the nomination of such nominee.</text></clause></subparagraph></paragraph><paragraph id="H4EFCEEA2CA9E446FAF54891C9CA2387F" commented="no" changed="not-changed"><enum>(2)</enum><header>Federal judicial nomination communication</header><subparagraph id="H7C90ED2081AE4B829F20FBD4822D2393" commented="no" changed="not-changed"><enum>(A)</enum><header>In general</header><text>The term <term>Federal judicial nomination communication</term> means any communication—</text><clause id="H6A90D3411DFC47A4A7E0A74DF327115F" commented="no" changed="not-changed"><enum>(i)</enum><text>that is by means of any broadcast, cable, or satellite, paid internet, or paid digital communication, paid promotion, newspaper, magazine, outdoor advertising facility, mass mailing, telephone bank, telephone messaging effort of more than 500 substantially similar calls or electronic messages within a 30-day period, or any other form of general public political advertising; and </text></clause><clause id="H059B4796BB2245D784B85E99281CBFD3" commented="no" changed="not-changed"><enum>(ii)</enum><text>which promotes, supports, attacks, or opposes the nomination or Senate confirmation of an individual as a Federal judge or justice. </text></clause></subparagraph><subparagraph id="HA3C981673F4745F388B254370593B411" commented="no" changed="not-changed"><enum>(B)</enum><header>Exception</header><text>Such term shall not include any news story, commentary, or editorial distributed through the facilities of any broadcasting station or any print, online, or digital newspaper, magazine, publication, or periodical, unless such facilities are owned or controlled by any political party, political committee, or candidate.</text></subparagraph><subparagraph id="H2CF8FC89ECA045F5B1557561927123DA" changed="not-changed"><enum>(C)</enum><header>Intent not required</header><text>A disbursement for an item described in subparagraph (A) shall be treated as a disbursement for a Federal judicial nomination communication regardless of the intent of the person making the disbursement.</text></subparagraph></paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block></subsection></section><section id="H6FFE9354FB7E4693BEC7EB9551CF9AD7" changed="not-changed"><enum>203.</enum><header>Coordination with FinCEN</header><subsection id="H69C92F02D1284C7588978A58C832162B" changed="not-changed"><enum>(a)</enum><header>In general</header><text>The Director of the Financial Crimes Enforcement Network of the Department of the Treasury shall provide the Federal Election Commission with such information as necessary to assist in administering and enforcing section 324 of the Federal Election Campaign Act of 1971, as amended by this title.</text></subsection><subsection id="H9B5F14E8A4BD47348D3E37B39B145DF9" changed="not-changed"><enum>(b)</enum><header>Report</header><text>Not later than 6 months after the date of the enactment of this Act, the Chairman of the Federal Election Commission, in consultation with the Director of the Financial Crimes Enforcement Network of the Department of the Treasury, shall submit to Congress a report with recommendations for providing further legislative authority to assist in the administration and enforcement of such section 324.</text></subsection></section><section id="H9BA825DCC9954A8889A0A4D61D3A4213" changed="not-changed"><enum>204.</enum><header>Application of foreign money ban to disbursements for campaign-related disbursements consisting of covered transfers</header><text display-inline="no-display-inline">Section 319(b)(2) of the Federal Election Campaign Act of 1971 (<external-xref legal-doc="usc" parsable-cite="usc/52/30121">52 U.S.C. 30121(a)(1)(A)</external-xref>), as amended by section 101, is amended—</text><paragraph id="HD18B182D24FA4342A723141B8C7245FB" changed="not-changed"><enum>(1)</enum><text display-inline="yes-display-inline">by striking <quote>includes any disbursement</quote> and inserting </text><quoted-block style="OLC" display-inline="yes-display-inline" id="H814B178196D146409F648B16C949EEA7" changed="not-changed"><text>includes—</text><subparagraph id="H98BA54465E1345D2889A47036422E347" changed="not-changed"><enum>(A)</enum><text display-inline="yes-display-inline">any disbursement</text></subparagraph><after-quoted-block>;</after-quoted-block></quoted-block></paragraph><paragraph id="H93C8120959D440BCB7503BFD204E264A" changed="not-changed"><enum>(2)</enum><text display-inline="yes-display-inline">by striking the period at the end and inserting <quote>; and</quote>, and</text></paragraph><paragraph id="HEDE122CD68294E7D82A2B144ADF05060" changed="not-changed"><enum>(3)</enum><text display-inline="yes-display-inline">by adding at the end the following new subparagraph:</text><quoted-block style="OLC" display-inline="no-display-inline" id="H8ACD509D87C54FA7B8D0DC229E42DAD4" changed="not-changed"><subparagraph id="H110ECE1779D04F6BB70313D5441C12BF" changed="not-changed"><enum>(B)</enum><text display-inline="yes-display-inline">any disbursement, other than a disbursement described in section 324(a)(3)(A), to another person who made a campaign-related disbursement consisting of a covered transfer (as described in section 324) during the 2-year period ending on the date of the disbursement.</text></subparagraph><after-quoted-block>.</after-quoted-block></quoted-block></paragraph></section><section id="H554F034D88E14BDBB092D1A08A5238BF" changed="not-changed"><enum>205.</enum><header>Effective date</header><text display-inline="no-display-inline">The amendments made by this title shall apply with respect to disbursements made on or after January 1, 2023, and shall take effect without regard to whether or not the Federal Election Commission has promulgated regulations to carry out such amendments.</text></section></title><title commented="no" id="HD1602C491D8948FABA947A8EF19C6A88" changed="not-changed"><enum>III</enum><header>Other Administrative Reforms</header><section commented="no" id="HC9C9114FE778448EA40226CF8929F81B" changed="not-changed"><enum>301.</enum><header>Petition for certiorari</header><text display-inline="no-display-inline">Section 307(a)(6) of the <act-name parsable-cite="FECA">Federal Election Campaign Act of 1971</act-name> (<external-xref legal-doc="usc" parsable-cite="usc/52/30107">52 U.S.C. 30107(a)(6)</external-xref>) is amended by inserting <quote>(including a proceeding before the Supreme Court on certiorari)</quote> after <quote>appeal</quote>.</text></section><section commented="no" id="H9C5C3A9591E24961B1BB51E2AF0D5885" changed="not-changed"><enum>302.</enum><header>Judicial review of actions related to campaign finance laws</header><subsection commented="no" id="H1C4466ECC3BF45218EACA6EA31E8A470" changed="not-changed"><enum>(a)</enum><header>In general</header><text>Title IV of the Federal Election Campaign Act of 1971 (<external-xref legal-doc="usc" parsable-cite="usc/52/30141">52 U.S.C. 30141 et seq.</external-xref>) is amended by inserting after section 406 the following new section:</text><quoted-block style="OLC" display-inline="no-display-inline" id="HA60127ABDC3D494EA17105EDD46DDB07" changed="not-changed"><section commented="no" id="HB7215B0F38B345B395EB1795D16AB3C1" changed="not-changed"><enum>407.</enum><header>Judicial review</header><subsection commented="no" id="HB5D4F29D7D7D4CD297DFCA56C5EB3051" changed="not-changed"><enum>(a)</enum><header>In general</header><text>If any action is brought for declaratory or injunctive relief to challenge, whether facially or as-applied, the constitutionality or lawfulness of any provision of this Act, including title V, or of chapter 95 or 96 of the Internal Revenue Code of 1986, or is brought to with respect to any action of the Commission under chapter 95 or 96 of the Internal Revenue Code of 1986, the following rules shall apply:</text><paragraph commented="no" id="H8FF62EA280734D17BEC49E2B8469F8CB" changed="not-changed"><enum>(1)</enum><text>The action shall be filed in the United States District Court for the District of Columbia and an appeal from the decision of the district court may be taken to the Court of Appeals for the District of Columbia Circuit.</text></paragraph><paragraph commented="no" id="H2C4280A8785A42E4AADE042751F7CECA" changed="not-changed"><enum>(2)</enum><text display-inline="yes-display-inline">In the case of an action relating to declaratory or injunctive relief to challenge the constitutionality of a provision, the party filing the action shall concurrently deliver a copy of the complaint to the Clerk of the House of Representatives and the Secretary of the Senate.</text></paragraph><paragraph commented="no" id="H123B32B4A64242AD89C2D4B7FF73382D" changed="not-changed"><enum>(3)</enum><text>It shall be the duty of the United States District Court for the District of Columbia and the Court of Appeals for the District of Columbia Circuit to advance on the docket and to expedite to the greatest possible extent the disposition of the action and appeal.</text></paragraph></subsection><subsection commented="no" id="HF0B336CED8EE4F16B6CA099C564E4764" changed="not-changed"><enum>(b)</enum><header>Clarifying scope of jurisdiction</header><text>If an action at the time of its commencement is not subject to subsection (a), but an amendment, counterclaim, cross-claim, affirmative defense, or any other pleading or motion is filed challenging, whether facially or as-applied, the constitutionality or lawfulness of this Act or of chapter 95 or 96 of the Internal Revenue Code of 1986, or is brought to with respect to any action of the Commission under chapter 95 or 96 of the Internal Revenue Code of 1986, the district court shall transfer the action to the District Court for the District of Columbia, and the action shall thereafter be conducted pursuant to subsection (a).</text></subsection><subsection commented="no" id="HC5EA147AD3D74AB89D0102343502034B" changed="not-changed"><enum>(c)</enum><header>Intervention by Members of Congress</header><text display-inline="yes-display-inline">In any action described in subsection (a) relating to declaratory or injunctive relief to challenge the constitutionality of a provision, any Member of the House of Representatives (including a Delegate or Resident Commissioner to the Congress) or Senate shall have the right to intervene either in support of or opposition to the position of a party to the case regarding the constitutionality of the provision. To avoid duplication of efforts and reduce the burdens placed on the parties to the action, the court in any such action may make such orders as it considers necessary, including orders to require interveners taking similar positions to file joint papers or to be represented by a single attorney at oral argument.</text></subsection><subsection commented="no" id="H41DDD52A6BA34970846D7625BCD3A8CD" changed="not-changed"><enum>(d)</enum><header>Challenge by Members of Congress</header><text>Any Member of Congress may bring an action, subject to the special rules described in subsection (a), for declaratory or injunctive relief to challenge, whether facially or as-applied, the constitutionality of any provision of this Act or chapter 95 or 96 of the Internal Revenue Code of 1986.</text></subsection></section><after-quoted-block>.</after-quoted-block></quoted-block></subsection><subsection commented="no" id="H8336B0CC34844C83B1FC1290528B4E2B" id="idd9fcfa16e2ab431dbbbfcce2f3e03758"><enum>(a)</enum><header>Expanded disclaimer requirements for certain communications</header><text>Section 318 of the Federal Election Campaign Act of 1971 (<external-xref legal-doc="usc" parsable-cite="usc/52/30120">52 U.S.C. 30120</external-xref>) is amended by adding at the end the following new subsection:</text><quoted-block style="OLC" display-inline="no-display-inline" id="id3c6e8349abb04f218c035175be0b3754"><subsection id="idb85f51d8d0bf47acb26f94cda7d2dc88"><enum>(e)</enum><header>Expanded disclaimer requirements for communications not authorized by candidates or committees</header><paragraph id="id6b27e9dff69c46d6af3a4bedba49c45e"><enum>(1)</enum><header>In general</header><text>Except as provided in paragraph (6), any communication described in paragraph (3) of subsection (a) which is transmitted in an audio or video format (including an internet or digital communication), or which is an internet or digital communication transmitted in a text or graphic format, shall include, in addition to the requirements of paragraph (3) of subsection (a), the following:</text><subparagraph id="ide3eeed850ac545e997594b89fde47edc"><enum>(A)</enum><text>The individual disclosure statement described in paragraph (2)(A) (if the person paying for the communication is an individual) or the organizational disclosure statement described in paragraph (2)(B) (if the person paying for the communication is not an individual).</text></subparagraph><subparagraph id="id7e1cc207a3c34dff8a493f3ef0aac366"><enum>(B)</enum><text>If the communication is transmitted in a video format, or is an internet or digital communication which is transmitted in a text or graphic format, and is paid for in whole or in part with a payment which is treated as a campaign-related disbursement under section 324—</text><clause id="idc8d8f135d68d4000bfd28362f87caa14"><enum>(i)</enum><text>the Top Five Funders list (if applicable); or</text></clause><clause id="id87cfbcdaa11a40f0ae3945fc8bbe61e5"><enum>(ii)</enum><text>in the case of a communication which, as determined on the basis of criteria established in regulations issued by the Commission, is of such short duration that including the Top Five Funders list in the communication would constitute a hardship to the person paying for the communication by requiring a disproportionate amount of the content of the communication to consist of the Top Five Funders list, the name of a website which contains the Top Five Funders list (if applicable) or, in the case of an internet or digital communication, a hyperlink to such website.</text></clause></subparagraph><subparagraph id="idfa135cbd804d4fa781f60dc5bf214bfa"><enum>(C)</enum><text>If the communication is transmitted in an audio format and is paid for in whole or in part with a payment which is treated as a campaign-related disbursement under section 324—</text><clause id="id0dfe30e25222456a9d377203e4865946"><enum>(i)</enum><text>the Top Two Funders list (if applicable); or</text></clause><clause id="id4df438d7e9f541bd95e1715336f9e746"><enum>(ii)</enum><text>in the case of a communication which, as determined on the basis of criteria established in regulations issued by the Commission, is of such short duration that including the Top Two Funders list in the communication would constitute a hardship to the person paying for the communication by requiring a disproportionate amount of the content of the communication to consist of the Top Two Funders list, the name of a website which contains the Top Two Funders list (if applicable).</text></clause></subparagraph></paragraph><paragraph id="id08d987aee71c4369b109e7bf8c8ff111"><enum>(2)</enum><header>Disclosure statements described</header><subparagraph id="id33720cd93b964d818ae9393c5b710319"><enum>(A)</enum><header>Individual disclosure statements</header><text>The individual disclosure statement described in this subparagraph is the following: <quote>I am ________, and I approve this message.</quote>, with the blank filled in with the name of the applicable individual.</text></subparagraph><subparagraph id="id80f0fc3f5aca404db0493c0cf2e5b7f1"><enum>(B)</enum><header>Organizational disclosure statements</header><text>The organizational disclosure statement described in this subparagraph is the following: <quote>I am ________, the ________ of ________, and ________ approves this message.</quote>, with—</text><clause id="id9b5d8606c94f4c4290d0adb9f156c519"><enum>(i)</enum><text>the first blank to be filled in with the name of the applicable individual;</text></clause><clause id="id90cfddd4bbcb481184eea2e1f658e1b4"><enum>(ii)</enum><text>the second blank to be filled in with the title of the applicable individual; and</text></clause><clause id="id5e32abb9074f46a0a58330ed6062b492"><enum>(iii)</enum><text>the third and fourth blank each to be filled in with the name of the organization or other person paying for the communication.</text></clause></subparagraph></paragraph><paragraph id="id6cb9d87eab3a4a2fbd74483182487a85"><enum>(3)</enum><header>Method of conveyance of statement</header><subparagraph id="id3cc342100c1a4991a720d0668017e674"><enum>(A)</enum><header>Communications in text or graphic format</header><text>In the case of a communication to which this subsection applies which is transmitted in a text or graphic format, the disclosure statements required under paragraph (1) shall appear in letters at least as large as the majority of the text in the communication.</text></subparagraph><subparagraph id="idebc8ae362c84436bae3097a27f28e6d8"><enum>(B)</enum><header>Communications transmitted in audio format</header><text>In the case of a communication to which this subsection applies which is transmitted in an audio format, the disclosure statements required under paragraph (1) shall be made by audio by the applicable individual in a clear and conspicuous manner.</text></subparagraph><subparagraph id="ida12ab6cd79874188bd1844d6b66bab3c"><enum>(C)</enum><header>Communications transmitted in video format</header><text>In the case of a communication to which this subsection applies which is transmitted in a video format, the information required under paragraph (1)—</text><clause id="idb0ff7cc3a6a74527b4a2da6354a69dfd"><enum>(i)</enum><text>shall appear in writing at the end of the communication or in a crawl along the bottom of the communication in a clear and conspicuous manner, with a reasonable degree of color contrast between the background and the printed statement, for a period of at least 6 seconds; and</text></clause><clause id="id78bb3d95d2e34a1ca9ae2ae74ae66d36"><enum>(ii)</enum><text>shall also be conveyed by an unobscured, full-screen view of the applicable individual or by the applicable individual making the statement in voice-over accompanied by a clearly identifiable photograph or similar image of the individual, except in the case of a Top Five Funders list.</text></clause></subparagraph></paragraph><paragraph id="id9060753612d647daaf36cf1fac7004db"><enum>(4)</enum><header>Applicable individual defined</header><text>The term <term>applicable individual</term> means, with respect to a communication to which this subsection applies—</text><subparagraph id="id0a3b9cb86b1d41f0a7b0b52735828ad8"><enum>(A)</enum><text>if the communication is paid for by an individual, the individual involved;</text></subparagraph><subparagraph id="idd34b999bcb834d12abf406720e0730c8"><enum>(B)</enum><text>if the communication is paid for by a corporation, the chief executive officer of the corporation (or, if the corporation does not have a chief executive officer, the highest ranking official of the corporation);</text></subparagraph><subparagraph id="id086e1808a2ab464fb3407a41c06a7064"><enum>(C)</enum><text>if the communication is paid for by a labor organization, the highest ranking officer of the labor organization; and</text></subparagraph><subparagraph id="id9ae616099150413b92af3a0dc61c8451"><enum>(D)</enum><text>if the communication is paid for by any other person, the highest ranking official of such person.</text></subparagraph></paragraph><paragraph id="id7f1f2b31dd1748dbb78f19235e13b458"><enum>(5)</enum><header>Top Five Funders list and Top Two Funders list defined</header><subparagraph id="idff9c996f43ac436dacd323eeb739bae0"><enum>(A)</enum><header>Top Five Funders list</header><text>The term <term>Top Five Funders list</term> means, with respect to a communication which is paid for in whole or in part with a campaign-related disbursement (as defined in section 324), a list of the 5 persons who, during the 12-month period ending on the date of the disbursement, provided the largest payments of any type in an aggregate amount equal to or exceeding $10,000 to the person who is paying for the communication and the amount of the payments each such person provided. If 2 or more people provided the fifth largest of such payments, the person paying for the communication shall select 1 of those persons to be included on the Top Five Funders list.</text></subparagraph><subparagraph id="idc6e8ec71199c4fda888bdcb2d83629dd"><enum>(B)</enum><header>Top two funders list</header><text>The term <term>Top Two Funders list</term> means, with respect to a communication which is paid for in whole or in part with a campaign-related disbursement (as defined in section 324), a list of the persons who, during the 12-month period ending on the date of the disbursement, provided the largest and the second largest payments of any type in an aggregate amount equal to or exceeding $10,000 to the person who is paying for the communication and the amount of the payments each such person provided. If 2 or more persons provided the second largest of such payments, the person paying for the communication shall select 1 of those persons to be included on the Top Two Funders list.</text></subparagraph><subparagraph id="id6980903050e944f5aa1729a8ad885066"><enum>(C)</enum><header>Exclusion of certain payments</header><text>For purposes of subparagraphs (A) and (B), in determining the amount of payments made by a person to a person paying for a communication, there shall be excluded the following:</text><clause id="id5dceadc6d84e43cb9e96e0ab483cfe9f"><enum>(i)</enum><text>Any amounts provided in the ordinary course of any trade or business conducted by the person paying for the communication or in the form of investments in the person paying for the communication.</text></clause><clause id="idd2a234d32b76436fb526d2b73336351e"><enum>(ii)</enum><text>Any payment which the person prohibited, in writing, from being used for campaign-related disbursements, but only if the person paying for the communication agreed to follow the prohibition and deposited the payment in an account which is segregated from any account used to make campaign-related disbursements.</text></clause></subparagraph></paragraph><paragraph id="id3d8225d9345a4e24980e2c370dfd6664"><enum>(6)</enum><header>Special rules for certain communications</header><subparagraph id="id6bee097c9a1d4c8db8ca14c310f95da1"><enum>(A)</enum><header>Exception for communications paid for by political parties and certain political committees</header><text>This subsection does not apply to any communication to which subsection (d)(2) applies.</text></subparagraph><subparagraph id="ide79c73f97dd9430f88f821da94ff2284"><enum>(B)</enum><header>Treatment of video communications lasting 10 seconds or less</header><text>In the case of a communication to which this subsection applies which is transmitted in a video format, or is an internet or digital communication which is transmitted in a text or graphic format, the communication shall meet the following requirements:</text><clause id="idf43f5e7ba127497196a25c5a4f61e6f9"><enum>(i)</enum><text>The communication shall include the individual disclosure statement described in paragraph (2)(A) (if the person paying for the communication is an individual) or the organizational disclosure statement described in paragraph (2)(B) (if the person paying for the communication is not an individual).</text></clause><clause id="ideba57e500c07479d80c04508fe0ca8af"><enum>(ii)</enum><text>The statement described in clause (i) shall appear in writing at the end of the communication, or in a crawl along the bottom of the communication, in a clear and conspicuous manner, with a reasonable degree of color contrast between the background and the printed statement, for a period of at least 4 seconds.</text></clause><clause id="id411e34904551487ab9d39ffbebc5876f"><enum>(iii)</enum><text>The communication shall include, in a clear and conspicuous manner, a website address with a landing page which will provide all of the information described in paragraph (1) with respect to the communication. Such address shall appear for the full duration of the communication.</text></clause><clause id="idb503f5b7810349ada70a1cd90eaf01ac"><enum>(iv)</enum><text>To the extent that the format in which the communication is made permits the use of a hyperlink, the communication shall include a hyperlink to the website address described in clause (iii).</text></clause></subparagraph></paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block></subsection><subsection id="id8c10ec27bf2e4f938cd8207e463c0a40"><enum>(b)</enum><header>Application of expanded requirements to public communications consisting of campaign-related disbursements</header><paragraph id="id92335a95fbe247209ecd93eef0c957e8"><enum>(1)</enum><header>In general</header><text>Section 318(a) of such Act (<external-xref legal-doc="usc" parsable-cite="usc/52/30120">52 U.S.C. 30120(a)</external-xref>) is amended by striking <quote>for the purpose of financing communications expressly advocating the election or defeat of a clearly identified candidate</quote> and inserting <quote>for a campaign-related disbursement, as defined in section 324, consisting of a public communication</quote>.</text></paragraph><paragraph id="id84555d03c3944b4e9bc4f66e039db4e8"><enum>(2)</enum><header>Clarification of exemption from inclusion of candidate disclaimer statement in Federal judicial nomination communications</header><text>Section 318(a)(3) of such Act (<external-xref legal-doc="usc" parsable-cite="usc/52/30120">52 U.S.C. 30120(a)(3)</external-xref>) is amended by striking <quote>shall clearly state</quote> and inserting <quote>shall (except in the case of a Federal judicial nomination communication, as defined in section 324(d)(3)) clearly state</quote>.</text></paragraph></subsection><subsection id="id8b64c596315540c69fd4164e7d344aaa"><enum>(c)</enum><header>Exception for communications paid for by political parties and certain political committees</header><text>Section 318(d)(2) of such Act (<external-xref legal-doc="usc" parsable-cite="usc/52/30120">52 U.S.C. 30120(d)(2)</external-xref>) is amended—</text><paragraph id="ide8fe1cf26d874a6faa8379cf92d2d132"><enum>(1)</enum><text>in the heading, by striking <quote><header-in-text style="OLC" level="section">Others</header-in-text></quote> and inserting <quote><header-in-text style="OLC" level="section">Certain political committees</header-in-text></quote>;</text></paragraph><paragraph id="id4e9bf79b84a34bf79ace6e06a9a8e3b9"><enum>(2)</enum><text>by striking <quote>Any communication</quote> and inserting <quote>(A) Any communication</quote>;</text></paragraph><paragraph id="idb59861329b8c4af49588e095a4fc7522"><enum>(3)</enum><text>by inserting <quote>which (except to the extent provided in subparagraph (B)) is paid for by a political committee (including a political committee of a political party) and</quote> after <quote>subsection (a)</quote>;</text></paragraph><paragraph id="idccb9d0de315e487c8beafaafea54aa6f"><enum>(4)</enum><text>by striking <quote>or other person</quote> each place it appears; and</text></paragraph><paragraph id="idec19c4425c79428181a54c36dfad135e"><enum>(5)</enum><text>by adding at the end the following new subparagraph:</text><quoted-block style="OLC" display-inline="no-display-inline" id="id7df015ec18d545138b01cb6b6d96bfba"><subparagraph id="idb0522f0bcb374ba1bed3a6404c68b859"><enum>(B)</enum><clause commented="no" display-inline="yes-display-inline" id="id81c6bf13909f43689fb0cc73d8489cdf"><enum>(i)</enum><text>This paragraph does not apply to a communication paid for in whole or in part during a calendar year with a campaign-related disbursement, but only if the covered organization making the campaign-related disbursement made campaign-related disbursements (as defined in section 324) aggregating more than $10,000 during such calendar year.</text></clause><clause indent="up1" id="id34B0EF3775B244D9AF44EDD8048D3B32"><enum>(ii)</enum><text>For purposes of clause (i), in determining the amount of campaign-related disbursements made by a covered organization during a year, there shall be excluded the following:</text><subclause id="id37D356A4553048FD97E003182DA041F0"><enum>(I)</enum><text>Any amounts received by the covered organization in the ordinary course of any trade or business conducted by the covered organization or in the form of investments in the covered organization.</text></subclause><subclause id="id1E33717BE31449739FE00858007B1CBB"><enum>(II)</enum><text>Any amounts received by the covered organization from a person who prohibited, in writing, the organization from using such amounts for campaign-related disbursements, but only if the covered organization agreed to follow the prohibition and deposited the amounts in an account which is segregated from any account used to make campaign-related disbursements.</text></subclause></clause></subparagraph><after-quoted-block>.</after-quoted-block></quoted-block></paragraph></subsection><subsection id="idd305c2e008fe450d86ecefff4e7f6506"><enum>(d)</enum><header>Modification of additional requirements for certain communications</header><text>Section 318(d) of the Federal Election Campaign Act of 1971 (<external-xref legal-doc="usc" parsable-cite="usc/52/30120">52 U.S.C. 30120(d)</external-xref>) is amended—</text><paragraph id="id56761f50cb5546928d26e152f44d0614"><enum>(1)</enum><text>in paragraph (1)(A)—</text><subparagraph id="id6add59e78dbd4411a4404c694deeb247"><enum>(A)</enum><text>by striking <quote>which is transmitted through radio</quote> and inserting <quote>which is in an audio format</quote>; and</text></subparagraph><subparagraph id="idc288a3bcea4141be8a9ceb57c2982ba3"><enum>(B)</enum><text>by striking <quote><header-in-text style="OLC" level="paragraph">By radio</header-in-text></quote> in the heading and inserting <quote><header-in-text style="OLC" level="paragraph">Audio format</header-in-text></quote>;</text></subparagraph></paragraph><paragraph id="id50b86efbe52a413e94d909e0a00426eb"><enum>(2)</enum><text>in paragraph (1)(B)—</text><subparagraph id="id6e7c7d6e2ad24984953ef23c8a881e68"><enum>(A)</enum><text>by striking <quote>which is transmitted through television</quote> and inserting <quote>which is in video format</quote>; and</text></subparagraph><subparagraph id="id319b1777f58440b89929b6aa2c0323af"><enum>(B)</enum><text>by striking <quote><header-in-text style="OLC" level="paragraph">By television</header-in-text></quote> in the heading and inserting <quote><header-in-text style="OLC" level="paragraph">Video format</header-in-text></quote>; and</text></subparagraph></paragraph><paragraph id="ide2823b3828a844a8aa709cdc551be3e2"><enum>(3)</enum><text>in paragraph (2)—</text><subparagraph id="idd572487ac5904dae8b0c32413b2dcaa5"><enum>(A)</enum><text>by striking <quote>transmitted through radio or television</quote> and inserting <quote>made in audio or video format</quote>; and</text></subparagraph><subparagraph id="id8f4113fc332a4a809d076797fafc3430"><enum>(B)</enum><text>by striking <quote>through television</quote> in the second sentence and inserting <quote>in video format</quote>.</text></subparagraph></paragraph></subsection></section><section id="id2fa33661288e4addb1f09448df34101e"><enum>403.</enum><header>Disclaimer requirements for communications made through prerecorded telephone calls</header><subsection id="id83f89a4577a947d4a0aac143a265b4fb"><enum>(a)</enum><header>Application of requirements</header><paragraph id="idcaf19e5973474ec7940fb3c73c000163"><enum>(1)</enum><header>In general</header><text>Section 318(a) of the Federal Election Campaign Act of 1971 (<external-xref legal-doc="usc" parsable-cite="usc/52/30120">52 U.S.C. 30120(a)</external-xref>) is amended by striking <quote>mailing</quote> each place it appears and inserting <quote>mailing, telephone call consisting in substantial part of a prerecorded audio message</quote>.</text></paragraph><paragraph id="idbe2869f565904f3cb45b10cdce0d1e33"><enum>(2)</enum><header>Application to communications subject to expanded disclaimer requirements</header><text>Section 318(e)(1) of such Act (<external-xref legal-doc="usc" parsable-cite="usc/52/30120">52 U.S.C. 30120(e)(1)</external-xref>), as added by section 302(a), is amended in the matter preceding subparagraph (A) by striking <quote>which is transmitted in an audio or video format</quote> and inserting <quote>which is transmitted in an audio or video format or which consists of a telephone call consisting in substantial part of a prerecorded audio message</quote>.</text></paragraph></subsection><subsection id="id94516d782ecb45b2a270a2ccee85980d"><enum>(b)</enum><header>Treatment as communication transmitted in audio format</header><paragraph id="id41bf9880351d45ae8e3edb61a8f023e0"><enum>(1)</enum><header>Communications by candidates or authorized persons</header><text>Section 318(d) of such Act (<external-xref legal-doc="usc" parsable-cite="usc/52/30120">52 U.S.C. 30120(d)</external-xref>) is amended by adding at the end the following new paragraph:</text><quoted-block style="OLC" display-inline="no-display-inline" id="idc27d0520e2a6401e96598cd8be579d63"><paragraph id="id5e4537ccf88744da9a7d6d497784ffc1"><enum>(3)</enum><header>Prerecorded telephone calls</header><text>Any communication described in paragraph (1), (2), or (3) of subsection (a) (other than a communication which is subject to subsection (e)) which is a telephone call consisting in substantial part of a prerecorded audio message shall include, in addition to the requirements of such paragraph, the audio statement required under subparagraph (A) of paragraph (1) or the audio statement required under paragraph (2) (whichever is applicable), except that the statement shall be made at the beginning of the telephone call.</text></paragraph><after-quoted-block>.</after-quoted-block></quoted-block></paragraph><paragraph id="id87944e2e2e544d7a917138732e7e9e4f"><enum>(2)</enum><header>Communications subject to expanded disclaimer requirements</header><text>Section 318(e)(3) of such Act (<external-xref legal-doc="usc" parsable-cite="usc/52/30120">52 U.S.C. 30120(e)(3)</external-xref>), as added by section 302(a), is amended by adding at the end the following new subparagraph:</text><quoted-block style="OLC" display-inline="no-display-inline" id="id43b6bd8fc46a457b85d2040e994db042"><subparagraph id="idfc3449d11ec549908a5ee7def88af720"><enum>(D)</enum><header>Prerecorded telephone calls</header><text>In the case of a communication to which this subsection applies which is a telephone call consisting in substantial part of a prerecorded audio message, the communication shall be considered to be transmitted in an audio format.</text></subparagraph><after-quoted-block>.</after-quoted-block></quoted-block></paragraph></subsection></section><section id="idc23f69c6c826456e97b72140ff01b02b"><enum>404.</enum><header>No expansion of persons subject to disclaimer requirements on internet communications</header><text display-inline="no-display-inline">Nothing in this title or the amendments made by this title may be construed to require any person who is not required under section 318 of the Federal Election Campaign Act of 1971 to include a disclaimer on communications made by the person through the internet to include any disclaimer on any such communications.</text></section><section id="iddaea20ca9880487789de4f70cdb4c98e"><enum>405.</enum><header>Effective date</header><text display-inline="no-display-inline">The amendments made by this title shall apply with respect to communications made on or after January 1, 2023, and shall take effect without regard to whether or not the Federal Election Commission has promulgated regulations to carry out such amendments. </text></section></title><title id="idE558A7975FAA4F21B4D50550264A1B4E" style="OLC"><enum>V</enum><header>Severability</header><section id="id5ED984264F104CD7B6096AD9C3A7E28F" section-type="subsequent-section"><enum>501.</enum><header>Severability</header><text display-inline="no-display-inline">If any provision of this Act or amendment made by this Act, or the application of a provision or amendment to any person or circumstance, is held to be unconstitutional, the remainder of this Act and amendments made by this Act, and the application of the provisions and amendment to any person or circumstance, shall not be affected by the holding.</text></section></title></legis-body><endorsement><action-date date="20220913">September 13,
