which was read twice and referred to the <committee-name committee-id="SSCM00">Committee on Commerce, Science, and Transportation</committee-name></action-desc></action><legis-type>A BILL</legis-type><official-title>To repeal the limitations on multiple ownership of radio and television stations imposed by the Federal Communications Commission, to prohibit the Federal Communications Commission from limiting common ownership of daily newspapers and full-power broadcast stations, and for other purposes.</official-title></form><legis-body display-enacting-clause="yes-display-enacting-clause"><section section-type="section-one" id="id732D184C7569450CA2E30DF6255A4FB7"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Local News and Broadcast Media Preservation Act of 2022</short-title></quote>.</text></section><section section-type="subsequent-section" id="S1"><enum>2.</enum><header>Regulation of broadcast ownership by the Federal Communications Commission</header><subsection id="id01BD369CCACF4CA1B306883E4E66D5CE"><enum>(a)</enum><header>Repeal of multiple broadcast station ownership rules</header><paragraph id="idDF29D6A32C204BFD97B396956CDF03BA"><enum>(1)</enum><header>In general</header><text display-inline="yes-display-inline">The Federal Communications Commission may not impose any limitation on the number of radio or television stations—</text><subparagraph id="idD23253C2E6664B47831C83D172734FB4"><enum>(A)</enum><text display-inline="yes-display-inline">that a person or entity may directly or indirectly own, operate, or control; or</text></subparagraph><subparagraph id="id974E17B7A7304F2281CC0BC526A6C7A3"><enum>(B)</enum><text display-inline="yes-display-inline">in which a person or entity may have a cognizable interest.</text></subparagraph></paragraph><paragraph id="id65DF3682A05F49B08DF4C90DA3EADB68"><enum>(2)</enum><header>Regulations</header><text display-inline="yes-display-inline">In accordance with paragraph (1), the Federal Communications Commission shall repeal section 73.3555 of title 47, Code of Federal Regulations.</text></paragraph><paragraph id="idD5979B0480E048A7900D7E17D9436077"><enum>(3)</enum><header>Technical and conforming amendment</header><text display-inline="yes-display-inline">Section 202 of the Telecommunications Act of 1996 (<external-xref legal-doc="public-law" parsable-cite="pl/104/104">Public Law 104–104</external-xref>; 110 Stat. 108) is amended by striking subsections (a) through (d) and (h).</text></paragraph></subsection><subsection id="id8862C8D3780345768A71563B6B38400C"><enum>(b)</enum><header>Prohibition on limitation of newspaper and broadcast station cross-Ownership</header><text>The Federal Communications Commission may not impose any limitation on the ability of a person or entity to own 1 or more daily newspapers and 1 or more full-power broadcast stations.</text></subsection></section><section id="idEE4F6000B4C74EC4897E9306E14E63C1"><enum>3.</enum><header>Clayton Act</header><text display-inline="no-display-inline">Section 7 of the Clayton Act (<external-xref legal-doc="usc" parsable-cite="usc/15/18">15 U.S.C. 18</external-xref>) is amended by adding at the end the following:</text><quoted-block style="OLC" display-inline="no-display-inline" id="id395228FE63CE4C2B8A8A1D2E1A0C5AFF"><subsection commented="no" display-inline="no-display-inline" id="ID0C9A3DFE41FC46B793D9126957FFC579"><enum/><text>For purposes of an acquisition described in this section, the market share in any geographic market of the television broadcasting market, the radio broadcasting market, or the daily newspaper publication market (or any relevant product market within such markets) of the acquiring person as a result of the acquisition shall not be considered to substantially lessen competition or to tend to create a monopoly.</text></subsection><after-quoted-block>.</after-quoted-block></quoted-block></section><section id="H802B375314F042E2B851A0B76648988A"><enum>4.</enum><header>Safe harbor for certain collective negotiations</header><subsection id="HB58ADBF2045340F39283BA6AB20113FE"><enum>(a)</enum><header>Definitions</header><text display-inline="yes-display-inline">In this section:</text><paragraph id="id01E891C331F54A28B5FE61BFF3543B37"><enum>(1)</enum><header>Antitrust laws</header><text>The term <term>antitrust laws</term>—</text><subparagraph id="id30F52039B0B44E4F988F0BCEF4DF1C5C"><enum>(A)</enum><text>has the meaning given the term in subsection (a) of the first section of the Clayton Act (<external-xref legal-doc="usc" parsable-cite="usc/15/12">15 U.S.C. 12</external-xref>); and</text></subparagraph><subparagraph id="id8710B5EF2B4E49E6B0D3AADA03559F51"><enum>(B)</enum><text>includes—</text><clause id="HCCF327E05E32452FAB5B658411673CBE"><enum>(i)</enum><text display-inline="yes-display-inline">section 5 of the Federal Trade Commission Act (<external-xref legal-doc="usc" parsable-cite="usc/15/45">15 U.S.C. 45</external-xref>) to the extent that section applies to unfair methods of competition; and</text></clause><clause commented="no" display-inline="no-display-inline" id="H28A9C01DE99D4D5780FD465A7147AFB1"><enum>(ii)</enum><text display-inline="yes-display-inline">any State law (including regulations) that prohibits or penalizes the conduct described in, or is otherwise inconsistent with, subsection (b).</text></clause></subparagraph></paragraph><paragraph id="id83C1C40EA4634EF78C5249C55F29CBE4"><enum>(2)</enum><header>News content creator</header><text display-inline="yes-display-inline">The term <term>news content creator</term> means—</text><subparagraph id="HBA0A078E5C944DFDBEF224BB1D90C09C"><enum>(A)</enum><text display-inline="yes-display-inline">any print, broadcast, or digital news organization that—</text><clause id="HF5B0E2E1E33641708C0CCFF70AE76594"><enum>(i)</enum><text display-inline="yes-display-inline">has a dedicated professional editorial staff that creates and distributes original news and related content concerning local, national, or international matters of public interest on at least a weekly basis; and</text></clause><clause id="HA88088A040A5453CBF6B43ADB34C91D8"><enum>(ii)</enum><text display-inline="yes-display-inline">is commercially marketed through subscriptions, advertising, or sponsorship; and</text></clause></subparagraph><subparagraph id="H06BA5BB87EC2440DA99FC77C0EDBDE9F"><enum>(B)</enum><clause commented="no" display-inline="yes-display-inline" id="id9AF64911C5334AE4B151AA05E3A93DFD"><enum>(i)</enum><text display-inline="yes-display-inline">provides original news and related content, with the editorial content consisting of not less than 25 percent current news and related content; or</text></clause><clause indent="up1" id="id698A52083ECB40C1B8F46D3813FC91D4"><enum>(ii)</enum><text>broadcasts original news and related content pursuant to a license granted by the Federal Communications Commission under title III of the Communications Act of 1934 (<external-xref legal-doc="usc" parsable-cite="usc/47/301">47 U.S.C. 301 et seq.</external-xref>).</text></clause></subparagraph></paragraph><paragraph id="idE9D044A257434C5DB732BF2768F09454"><enum>(3)</enum><header>Online content distributor</header><text>The term <term>online content distributor</term> means any entity that—</text><subparagraph id="H3E5036B4BF534821B30F87C8BA553185"><enum>(A)</enum><text display-inline="yes-display-inline">operates a website or other online service that displays, distributes, or directs users to news articles, works of journalism, or other content on the internet that is generated by third-party news content creators; and</text></subparagraph><subparagraph id="HD64C9FA5B441415996E102CF327ECB31"><enum>(B)</enum><text display-inline="yes-display-inline">has not fewer than 1,000,000,000 monthly active users, in the aggregate, of all of its websites or online services worldwide.</text></subparagraph></paragraph></subsection><subsection id="H503A1E03187D4867A506B34803444BE9"><enum>(b)</enum><header>Limitation of liability</header><text display-inline="yes-display-inline">A news content creator may not be held liable under the antitrust laws for engaging in negotiations with any other news content creator during the 4-year period beginning on the date of enactment of this Act to collectively withhold content from, or negotiate with, an online content distributor regarding the terms on which the news content of the news content creator may be distributed by the online content distributor, if—</text><paragraph id="H56081447C5784C60BBD76366019C65B4"><enum>(1)</enum><text display-inline="yes-display-inline">the negotiations with the online content distributor—</text><subparagraph id="HBA483944D1204F9183EED8E2CC6EBB69"><enum>(A)</enum><text display-inline="yes-display-inline">are not limited to price;</text></subparagraph><subparagraph id="idFB0116A50F7544C99E9EC4BA999D60E1"><enum>(B)</enum><text display-inline="yes-display-inline">are nondiscriminatory as to similarly situated news content creators;</text></subparagraph><subparagraph id="id63E945CCDEFF489C855BED9B0C7AD777"><enum>(C)</enum><text display-inline="yes-display-inline">directly relate to the quality, accuracy, attribution or branding, and interoperability of news; and</text></subparagraph><subparagraph id="HF822578D7BBA4AFBBFA750BE1FBABCDB"><enum>(D)</enum><text display-inline="yes-display-inline">pertain to terms that would be available to all news content creators;</text></subparagraph></paragraph><paragraph id="HAA34A1C6C09D4A22BFA273D78730978C"><enum>(2)</enum><text display-inline="yes-display-inline">the coordination between the news content creators is directly related to and reasonably necessary for negotiations with an online content distributor that are otherwise consistent with this Act; and</text></paragraph><paragraph id="H5A2A7090147044558151C609D16B0AC7"><enum>(3)</enum><text display-inline="yes-display-inline">the negotiations do not involve any person that is not a news content creator or an online content distributor.</text></paragraph></subsection><subsection commented="no" display-inline="no-display-inline" id="H196718BA20C04FB8B1C2F69427DEB39F"><enum>(c)</enum><header>Rule of construction</header><text display-inline="yes-display-inline">Except as provided in this Act, this Act shall not be construed to modify, impair, or supersede the operation of the antitrust laws.</text></subsection></section></legis-body></bill>
