Funding.</toc-entry></toc><section id="ID48df8067594d48c79dfc31c8d3aed4fd"><enum>22401.</enum><header>Definitions</header><text display-inline="no-display-inline">In this chapter:</text><paragraph id="ID0ae620d6de104fca87e4007e356a9291"><enum>(1)</enum><header>Cost</header><subparagraph id="ID802eb46f127c49a5bc695d9fd7c19556"><enum>(A)</enum><header>In general</header><text>The term <term>cost</term> means the estimated long-term cost to the Government of a direct loan or loan guarantee, or modification of the direct loan or loan guarantee, calculated on a net present value basis, excluding administrative costs and any incidental effects on governmental receipts or outlays.</text></subparagraph><subparagraph id="ID08854d327a5d4704a52db1767df65266"><enum>(B)</enum><header>Cost of direct loans</header><clause id="IDca9bc006e3cd45c1ae695a25267a41a0"><enum>(i)</enum><header>In general</header><text>The cost of a direct loan shall be the net present value, at the time when the direct loan is disbursed, of the following estimated cash flows:</text><subclause id="ID77242ebbcb3947f2b2a652afe60b1244"><enum>(I)</enum><text>Loan disbursements.</text></subclause><subclause id="ID8ff5c8cee58e4f3c952216856f199e96"><enum>(II)</enum><text>Repayments of principal.</text></subclause><subclause id="IDaccfead9f1864808aff8b5ee4bfca93e"><enum>(III)</enum><text>Payments of interest and other payments by or to the Government over the life of the loan.</text></subclause></clause><clause id="IDb7efe3ee106749c69ac58fb5f09fc52a"><enum>(ii)</enum><header>Calculation</header><text>Calculation of the cost of a direct loan shall include the effects of changes in loan terms resulting from the exercise by the borrower of an option included in the loan contract.</text></clause></subparagraph><subparagraph id="ID26d43e2932044a02aa9a36952f01bf79"><enum>(C)</enum><header>Cost of loan guarantee</header><clause id="ID836d5d81c0854d8fa3beef32740e11d6"><enum>(i)</enum><header>In general</header><text>The cost of a loan guarantee shall be the net present value, at the time when the guaranteed loan is disbursed, of the following estimated cash flows:</text><subclause id="IDf03d27c86fa64c648a3772d3e4e82246"><enum>(I)</enum><text>Payments by the Government to cover defaults and delinquencies, interest subsidies, or other payments.</text></subclause><subclause id="IDb6941896c34c40b78f4ef33cd9e6693f"><enum>(II)</enum><text>Payments to the Government, including origination and other fees, penalties, and recoveries.</text></subclause></clause><clause id="ID5daf8fa71f8e4006bf1381e4d9c83cae"><enum>(ii)</enum><header>Calculation</header><text>Calculation of the cost of a loan guarantee shall include the effects of changes in loan terms resulting from the exercise by the guaranteed lender of an option included in the loan guarantee, or by the borrower of an option included in the guaranteed loan contract.</text></clause></subparagraph><subparagraph id="ID9bf1d3e8917c49e68fa55b13c76fe7da"><enum>(D)</enum><header>Cost of modification</header><text>The cost of a modification is the difference between the current estimate of the net present value of the remaining cash flows under the terms of a direct loan or loan guarantee contract, and the current estimate of the net present value of the remaining cash flows under the terms of the contract, as modified.</text></subparagraph><subparagraph id="IDf431c24fdbe34275826da21ee96763bb"><enum>(E)</enum><header>Estimation of net present values; discount rate</header><text>In estimating net present values, the discount rate shall be the average interest rate on marketable Treasury securities of similar maturity to the cash flows of the direct loan or loan guarantee for which the estimate is being made.</text></subparagraph><subparagraph id="ID47dd323af0fd4fb5bd29353f3d430fe6"><enum>(F)</enum><header>Estimated cost; basis</header><text>When funds are obligated for a direct loan or loan guarantee, the estimated cost shall be based on the current assumptions, adjusted to incorporate the terms of the loan contract, for the fiscal year in which the funds are obligated.</text></subparagraph></paragraph><paragraph id="ID8f8dace385574ae192bcc88bb0942692"><enum>(2)</enum><header>Current</header><text>The term <term>current</term> has the meaning given such term in section 250(c)(9) of the Balanced Budget and Emergency Deficit Control Act of 1985 (<external-xref legal-doc="usc" parsable-cite="usc/2/900">2 U.S.C. 900(c)(9)</external-xref>).</text></paragraph><paragraph id="ID2c9bf6674ff74ef9a90e239437073025"><enum>(3)</enum><header>Direct loan</header><subparagraph id="id2839C2A31DC74022AE29574C135C1414"><enum>(A)</enum><header>In general</header><text>The term <term>direct loan</term> means a disbursement of funds by the Government to a non-Federal borrower under a contract that requires the repayment of the funds.</text></subparagraph><subparagraph id="id5306A1F1B59C459CBF654A5E31318FC7"><enum>(B)</enum><header>Inclusions</header><text>The term <term>direct loan</term> includes the purchase of, or participation in, a loan made by another lender and financing arrangements that defer payment for more than 90 days, including the sale of a Government asset on credit terms.</text></subparagraph><subparagraph id="id365D11FB36DF4662B30C5707FC708D9C"><enum>(C)</enum><header>Exclusion</header><text>The term <term>direct loan</term> does not include the acquisition of a federally guaranteed loan in satisfaction of default claims.</text></subparagraph></paragraph><paragraph id="ID8103b1fe106d4174a8d0758944cbfb0e"><enum>(4)</enum><header>Direct loan obligation</header><text>The term <term>direct loan obligation</term> means a binding agreement by the Secretary to make a direct loan when specified conditions are fulfilled by the borrower.</text></paragraph><paragraph id="ID0bbb93c81e054991bcfbff2a135a9e94"><enum>(5)</enum><header>Intermodal</header><text>The term <term>intermodal</term> means of or relating to the connection between rail service and other modes of transportation, including all parts of facilities at which the connection is made.</text></paragraph><paragraph id="IDe8d134dabaa84fb8875dc22a6ce07649"><enum>(6)</enum><header>Investment-grade rating</header><text>The term <term>investment-grade rating</term> means a rating of BBB minus, Baa3, bbb minus, BBB(low), or higher assigned by a rating agency.</text></paragraph><paragraph id="IDa00a2d7bc3e0417dad9e888711b7ced3"><enum>(7)</enum><header>Loan guarantee</header><text>The term <term>loan guarantee</term> means any guarantee, insurance, or other pledge with respect to the payment of all or a part of the principal or interest on any debt obligation of a non-Federal borrower to a non-Federal lender, but does not include the insurance of deposits, shares, or other withdrawable accounts in financial institutions.</text></paragraph><paragraph id="ID0bc1e1713e9b477e9146719d10d04a57"><enum>(8)</enum><header>Loan guarantee commitment</header><text>The term <term>loan guarantee commitment</term> means a binding agreement by the Secretary to make a loan guarantee when specified conditions are fulfilled by the borrower, the lender, or any other party to the guarantee agreement.</text></paragraph><paragraph id="ID9fe34a1d5f7349d388354f755aace382"><enum>(9)</enum><header>Master credit agreement</header><text>The term <term>master credit agreement</term> means an agreement to make 1 or more direct loans or loan guarantees at future dates for a program of related projects on terms acceptable to the Secretary.</text></paragraph><paragraph id="IDaf11b0c81fbc4e5d94085ea3fbd05a6e"><enum>(10)</enum><header>Modification</header><subparagraph id="idF39408005C3A4BBEBD3198E402CD4C48"><enum>(A)</enum><header>In general</header><text>The term <term>modification</term> means any Government action that alters the estimated cost of an outstanding direct loan (or direct loan obligation) or an outstanding loan guarantee (or loan guarantee commitment) from the current estimate of cash flows.</text></subparagraph><subparagraph id="id9F55DF61171E40C88F195669832185ED"><enum>(B)</enum><header>Inclusions</header><text>The term <term>modification</term> includes—</text><clause id="IDa8ac6b08f8e541e3afb3247a54c85127"><enum>(i)</enum><text>the sale of loan assets, with or without recourse, and the purchase of guaranteed loans; and</text></clause><clause id="ID20bdfe10290042d8b9d0298efc8c8609"><enum>(ii)</enum><text>any action resulting from new legislation, or from the exercise of administrative discretion under existing law, that directly or indirectly alters the estimated cost of outstanding direct loans (or direct loan obligations) or loan guarantee (or loan guarantee commitment), such as a change in collection procedures.</text></clause></subparagraph></paragraph><paragraph id="ID81454bda0f3944f18478859693df26e9"><enum>(11)</enum><header>Project obligation</header><text>The term <term>project obligation</term> means a note, bond, debenture, or other debt obligation issued by a borrower in connection with the financing of a project, other than a direct loan or loan guarantee under this chapter.</text></paragraph><paragraph id="ID2186cf5f47ad497f91d83fe201a5a68b"><enum>(12)</enum><header>Railroad</header><text>The term <term>railroad</term> has the meaning given the term <term>railroad carrier</term> in section 20102.</text></paragraph><paragraph id="ID4a11ad24b0854762877931cd0fcf60e4"><enum>(13)</enum><header>Rating agency</header><text>The term <term>rating agency</term> means a credit rating agency registered with the Securities and Exchange Commission as a nationally recognized statistical rating organization (as defined in section 3(a) of the Securities Exchange Act of 1934 (<external-xref legal-doc="usc" parsable-cite="usc/15/78c">15 U.S.C. 78c(a)</external-xref>)).</text></paragraph><paragraph id="IDc76e6568b936495c932312d09633ceeb"><enum>(14)</enum><header>Secretary</header><text>The term <term>Secretary</term> means the Secretary of Transportation.</text></paragraph><paragraph id="ID1e97ffad017c483b8ebcae01939c8a4f"><enum>(15)</enum><header>Substantial completion</header><text>The term <term>substantial completion</term> means—</text><subparagraph id="IDe7ec755ae92c4dff8c951e6021bfc1c5"><enum>(A)</enum><text>the opening of a project to passenger or freight traffic; or</text></subparagraph><subparagraph id="IDd188c7b5cb1f45aaa3867931d5b8c3c9"><enum>(B)</enum><text>a comparable event, as determined by the Secretary and specified in the terms of the direct loan or loan guarantee.</text></subparagraph></paragraph></section><section id="ID47fc0370e6ee4393aea142897f01dc4a"><enum>22402.</enum><header>Direct loans and loan guarantees</header><subsection id="ID02f7b5a4cc9247aca4865c2187a4bba8"><enum>(a)</enum><header>General authority</header><text>The Secretary shall provide direct loans and loan guarantees—</text><paragraph id="ID9f3304a755994f21b1997e414aa49466"><enum>(1)</enum><text>to States and units of local government;</text></paragraph><paragraph id="ID6dd5f64216374023b319b1c0b79cbccf"><enum>(2)</enum><text>to interstate compacts consented to by Congress under section 410(a) of the Amtrak Reform and Accountability Act of 1997 (<external-xref legal-doc="public-law" parsable-cite="pl/105/134">Public Law 105–134</external-xref>; <external-xref legal-doc="usc" parsable-cite="usc/49/24101">49 U.S.C. 24101</external-xref> note);</text></paragraph><paragraph id="IDaf4ecbfc40c04b07b84a40e7df635843"><enum>(3)</enum><text>to government-sponsored authorities and corporations;</text></paragraph><paragraph id="IDbc62033e5d754ca99b5ea94e7e1c00ab"><enum>(4)</enum><text>to railroads;</text></paragraph><paragraph id="IDc7eca561f1b24524b59717487fc6aeec"><enum>(5)</enum><text>to joint ventures that include at least 1 of the entities described in paragraph (1), (2), (3), (4), or (6);</text></paragraph><paragraph id="IDb31406298446451e9d1d5bdbd81760a8"><enum>(6)</enum><text>to private entities with controlling ownership in 1 or more freight railraods other than Class 1 carriers; and</text></paragraph><paragraph id="id0FCB21E110CB49B198675499A3A694C3"><enum>(7)</enum><text>solely for the purpose of constructing a rail connection between a plant or facility and a railroad, limited option freight shippers that own or operate a plant or other facility.</text></paragraph></subsection><subsection id="ID2adfb5dc9cb646e2a84829b3a4681e6e"><enum>(b)</enum><header>Eligible purposes</header><paragraph id="IDad19b60812f94179bf3bc7f1fa754098"><enum>(1)</enum><header>In general</header><text>Direct loans and loan guarantees provided under this section shall be used—</text><subparagraph id="ID6276539dfbf84a4d960a0626a9820005"><enum>(A)</enum><clause commented="no" display-inline="yes-display-inline" id="idFE82738F938A4F46AC479493A8815131"><enum>(i)</enum><text>to acquire, improve, or rehabilitate intermodal or rail equipment or facilities, including track, components of track, civil works such as cuts and fills, bridges, yards, buildings, and shops; and</text></clause><clause id="id483FBED39DBB4C05BFDA6E532B5454AD" indent="up1"><enum>(ii)</enum><text>to finance costs related to the activities described in clause (i), including preconstruction costs;</text></clause></subparagraph><subparagraph id="ID8cb46812a4564d939fd8193c6248f7f8"><enum>(B)</enum><text>to develop or establish new intermodal or railroad facilities; </text></subparagraph><subparagraph id="IDdca8229fe7694144a0b4e7810411f8ab"><enum>(C)</enum><text>to refinance outstanding debt incurred for the purposes described in subparagraph (A) or (B);</text></subparagraph><subparagraph id="idD3AEAAACE07F43E48E68A20103399403"><enum>(D)</enum><text>to reimburse planning, permitting, and design expenses relating to activities described in subparagraph (A) or (B); or</text></subparagraph><subparagraph id="IDaf7f51574d2b461195b0c5d2d7348f1d"><enum>(E)</enum><text>to finance economic development, including commercial and residential development, and related infrastructure and activities that—</text><clause id="IDf7c13cb77a3c4f6e9597bc7d3baceda3"><enum>(i)</enum><text>incorporates private investment;</text></clause><clause id="IDbac15e32de654708baeb0e19f6432f04"><enum>(ii)</enum><text>is physically or functionally related to a passenger rail station or multimodal station that includes rail service;</text></clause><clause id="IDb3e0d9d79a3c48069b6f4a6347751235"><enum>(iii)</enum><text>has a high probability of the applicant commencing the contracting process for construction not later than 90 days after the date on which the direct loan or loan guarantee is obligated for the project under this chapter; and</text></clause><clause id="IDee62fdb39983438d88ef3dcfe5923ea1"><enum>(iv)</enum><text>has a high probability of reducing the need for financial assistance under any other Federal program for the relevant passenger rail station or service by increasing ridership, tenant lease payments, or other activities that generate revenue exceeding costs.</text></clause></subparagraph></paragraph><paragraph id="ID9b7a8b37dec1435ebb61f0ab19f6e82a"><enum>(2)</enum><header>Operating expenses not eligible</header><text>Direct loans and loan guarantees under this section may not be used for railroad operating expenses.</text></paragraph><paragraph id="id9F6264258EE84F9B8A6C221A7C7FACD7"><enum>(3)</enum><header>Sunset</header><text>The Secretary may provide a direct loan or loan guarantee under this section for a project described in paragraph (1)(E) only during the 4-year period beginning on December 4, 2015.</text></paragraph></subsection><subsection id="ID29201ad5cc8042bcbf87aae3e67df13b"><enum>(c)</enum><header>Priority projects</header><text>In granting applications for direct loans or guaranteed loans under this section, the Secretary shall give priority to projects that—</text><paragraph id="ID2b026475a333470ca05a9fd4d56347d0"><enum>(1)</enum><text>enhance public safety, including projects for the installation of a positive train control system (as defined in section 20157(i));</text></paragraph><paragraph id="ID25d25c57eb0b4b269b627af28a12e00c"><enum>(2)</enum><text>promote economic development;</text></paragraph><paragraph id="ID0b3bf58fd58b4bcb89fab3ad510709f8"><enum>(3)</enum><text>enhance the environment;</text></paragraph><paragraph id="ID0f9bfa4ff8c64fd1b801bfa7f50111bc"><enum>(4)</enum><text>enable United States companies to be more competitive in international markets;</text></paragraph><paragraph id="ID88cb77ff6a2c4ef5bda9a38c32ce13ad"><enum>(5)</enum><text>are endorsed by the plans prepared under chapter 227 of this title or section 135 of title 23 by the State or States in which the projects are located;</text></paragraph><paragraph id="ID7d121237f3eb408da1624f9049c35d1a"><enum>(6)</enum><text>improve railroad stations and passenger facilities and increase transit-oriented development;</text></paragraph><paragraph id="IDf86958f335cd484da4548d537280b580"><enum>(7)</enum><text>preserve or enhance rail or intermodal service to small communities or rural areas;</text></paragraph><paragraph id="ID3ab5713557354e07af2eb4fc6eb3e3b9"><enum>(8)</enum><text>enhance service and capacity in the national rail system; or</text></paragraph><paragraph id="ID5200cafacb8a469f9944f14e1a3da489"><enum>(9)</enum><subparagraph commented="no" display-inline="yes-display-inline" id="idA2B0658D83864830BCE09ACDEB48F8B6"><enum>(A)</enum><text>would materially alleviate rail capacity problems that degrade the provision of service to shippers; and</text></subparagraph><subparagraph id="id04739C95FD294D778C1E4F1FCB064A47" indent="up1"><enum>(B)</enum><text>would fulfill a need in the national transportation system.</text></subparagraph></paragraph></subsection><subsection id="IDb1738aafdad943fe989c01ad8665c77c"><enum>(d)</enum><header>Extent of authority</header><paragraph id="IDd0c183b41a364437b090b453b84b0046"><enum>(1)</enum><header>Limitation on aggregate unpaid principal amounts of obligations</header><text>The aggregate unpaid principal amounts of obligations under direct loans and loan guarantees made under this section may not exceed $35,000,000,000 at any time.</text></paragraph><paragraph id="IDdfec9c3d994e44b1a0cad09c8b378194"><enum>(2)</enum><header>Minimum amount for freight railroads</header><text>Of the amount referred to in paragraph (1), not less than $7,000,000,000 shall be available solely for projects primarily benefitting freight railroads other than Class I carriers.</text></paragraph><paragraph id="IDb24931f517774b26ad2d8afbaf799414"><enum>(3)</enum><header>Proportion of unused amount</header><text>The Secretary shall not establish any limit on the proportion of the unused amount authorized under this subsection that may be used for 1 loan or loan guarantee.</text></paragraph></subsection><subsection id="ID25fcc1d5a2974940a93a18be4232ac3f"><enum>(e)</enum><header>Rates of interest</header><paragraph id="ID2f33e2fbef5240c1b508810a09ef00d8"><enum>(1)</enum><header>Direct loans</header><text>The interest rate on a direct loan under this section shall be not less than the yield on United States Treasury securities of a similar maturity to the maturity of the secured loan on the date of execution of the loan agreement.</text></paragraph><paragraph id="ID0f07888d228442d78aecb6e09f75ceff"><enum>(2)</enum><header>Loan guarantees</header><text>The Secretary shall not make a loan guarantee under this section if the interest rate for the loan exceeds that which the Secretary determines to be reasonable, taking into consideration the prevailing interest rates and customary fees incurred under similar obligations in the private capital market.</text></paragraph></subsection><subsection id="IDe37b692b6c6b49c6b9e3a85b596e51c3"><enum>(f)</enum><header>Infrastructure partners</header><paragraph id="IDc29f533e589246fc988e795b5c6e3fb7"><enum>(1)</enum><header>Authority of secretary</header><subparagraph id="ID2cf6b977619347f49d9569979ce1ae40"><enum>(A)</enum><header>In general</header><text>In lieu of or in combination with appropriations of budget authority to cover the costs of direct loans and loan guarantees as required under section 504(b)(1) of the Federal Credit Reform Act of 1990 (<external-xref legal-doc="usc" parsable-cite="usc/2/661c">2 U.S.C. 661c(b)(1)</external-xref>), including the cost of a modification of a direct loan or loan guarantee, the Secretary may accept on behalf of an applicant for assistance under this section a commitment from a non-Federal source, including a State or local government or agency, or public benefit corporation or public authority of a State or local government, to fund, in whole or in part, credit risk premiums and modification costs with respect to the loan that is the subject of the application or modification.</text></subparagraph><subparagraph id="IDedcb111008d2482c9160a9381f433768"><enum>(B)</enum><header>Limitation</header><text>The aggregate of appropriations of budget authority and credit risk premiums described in this paragraph with respect to a direct loan or loan guarantee shall not be less than the cost of that direct loan or loan guarantee.</text></subparagraph></paragraph><paragraph id="IDdf90e14134ba48deadd34127d0fa9cc6"><enum>(2)</enum><header>Credit risk premium amount</header><text>The Secretary shall determine the amount required for credit risk premiums under this subsection on the basis of—</text><subparagraph id="IDc28215229dea45d7b3bb10d81da3f4d3"><enum>(A)</enum><text>the circumstances of the applicant, including the amount of collateral offered, if any;</text></subparagraph><subparagraph id="IDefe090c444d548b7a156520519d1613b"><enum>(B)</enum><text>the proposed schedule of loan disbursements;</text></subparagraph><subparagraph id="ID5fc501aa075648b1a85087e1b9419365"><enum>(C)</enum><text>historical data on the repayment history of similar borrowers;</text></subparagraph><subparagraph id="ID1d1a8ecba94d4bd5ad2c21410e5641c2"><enum>(D)</enum><text>consultation with the Congressional Budget Office; and</text></subparagraph><subparagraph id="IDab46d68f703a4240a622d129a2c5d2d6"><enum>(E)</enum><text>any other factors the Secretary considers relevant.</text></subparagraph></paragraph><paragraph id="ID93813234efdd412792065db3a1b7cbef"><enum>(3)</enum><header>Creditworthiness</header><text>Upon receipt of a proposal from an applicant for assistance under this section, the Secretary shall accept, as a basis for determining the amount of the credit risk premium under paragraph (2), in addition to the value of any collateral described in paragraph (5), any of the following :</text><subparagraph id="IDe70dc69a1cee4a61bbdf8a2edb699a96"><enum>(A)</enum><text>The net present value of a future stream of State or local subsidy income or other dedicated revenues to secure the direct loan or loan guarantee.</text></subparagraph><subparagraph id="ID71e0dfa9a53e4300abbc890c5d13003a"><enum>(B)</enum><text>Adequate coverage requirements to ensure repayment, on a nonrecourse basis, from cash flows generated by the project or any other dedicated revenue source, including—</text><clause id="ID59f095abac014bc587e046f4fc689257"><enum>(i)</enum><text>tolls;</text></clause><clause id="ID92c9112870a34f51a6ce72b6ab2d6a2c"><enum>(ii)</enum><text>user fees, including operating or tenant charges, facility rents, or other fees paid by transportation service providers or operators for access to, or the use of, infrastructure, including rail lines, bridges, tunnels, yards, or stations; and </text></clause><clause id="ID346d6f9d1ee648d1989887b4f9a34e48"><enum>(iii)</enum><text>payments owing to the obligor under a public-private partnership.</text></clause></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id47777FCBBF8547C09A1F8A7AF8134A30"><enum>(C)</enum><text display-inline="yes-display-inline">An investment-grade rating on the direct loan or loan guarantee, as applicable, unless the total amount of the direct loan or loan guarantee is greater than $150,000,000, in which case the applicant shall have an investment-grade rating from not fewer than 2 rating agencies regarding the direct loan or loan guarantee.</text></subparagraph><subparagraph id="ideb2a12d3cd0d42328580299bbadc7010"><enum>(D)</enum><text>A projection of freight or passenger demand for the project based on regionally developed economic forecasts, including projections of any modal diversion resulting from the project. </text></subparagraph></paragraph><paragraph id="ID11d70269669148b28b55735d3ac34f28"><enum>(4)</enum><header>Payment of premiums</header><text>Credit risk premiums under this subsection shall be paid to the Secretary before the disbursement of loan amounts (and in the case of a modification, before the modification is executed), to the extent appropriations are not available to the Secretary to meet the costs of direct loans and loan guarantees, including costs of modifications of direct loans and loan guarantees.</text></paragraph><paragraph id="ide6682e4b22b84ded88825006cf243f3e"><enum>(5)</enum><header>Collateral</header><subparagraph id="id5a77c96b3c5a4db891450c95541780d3"><enum>(A)</enum><header>Types of collateral</header><text>An applicant or infrastructure partner may propose tangible and intangible assets as collateral, exclusive of goodwill. The Secretary, after evaluating each such asset—</text><clause id="id10e03df76f524f4eb774c88cbd9ac365"><enum>(i)</enum><text>shall accept a net liquidation value of collateral; and</text></clause><clause id="id803bfcd8d7934b8686d8b7ad1366308c"><enum>(ii)</enum><text>shall consider and may accept—</text><subclause id="idcece20980e6849038a7e4b36fd8512f9"><enum>(I)</enum><text>the market value of collateral; or</text></subclause><subclause id="ide5e04733321e41ceb4699c61eb5ca93b"><enum>(II)</enum><text>in the case of a blanket pledge or assignment of an entire operating asset or basket of assets as collateral, the net liquidation value, the market value of assets, or, the market value of the going concern, considering—</text><item id="idf30a0e4e949041ed957b0b1bb9cde593"><enum>(aa)</enum><text>inclusion in the pledge of all the assets necessary for independent operational utility of the collateral, including tangible assets such as real property, track and structure, equipment and rolling stock, stations, systems and maintenance facilities and intangible assets such as long-term shipping agreements, easements, leases and access rights such as for trackage and haulage;</text></item><item id="id4fda6b1d7b9d4c018a9161d9dd04d207"><enum>(bb)</enum><text>interchange commitments; and</text></item><item id="id2ed422114b404c359ef22b67c21c0512"><enum>(cc)</enum><text>the value of the asset as determined through the cost or market approaches, or the market value of the going concern, with the latter considering discounted cash flows for a period not to exceed the term of the direct loan or loan guarantee.</text></item></subclause></clause></subparagraph><subparagraph id="id614deb6f0ba943d6b2d8f734a3e53f8e"><enum>(B)</enum><header>Appraisal standards</header><text>In evaluating appraisals of collateral under subparagraph (A), the Secretary shall consider—</text><clause id="idcee70690d1ee4d61a228a95796f8afb4"><enum>(i)</enum><text>adherence to the substance and principles of the Uniform Standards of Professional Appraisal Practice, as developed by the Appraisal Standards Board of the Appraisal Foundation;</text></clause><clause id="idac500fa3ae8f468c8e5d5169ff6d360d"><enum>(ii)</enum><text>performance of the appraisal by licensed or certified appraisers as may be required by the State of jurisdiction for the type of asset being appraised; and</text></clause><clause id="id777834983a324eb28ce549bb8e08b0a7"><enum>(iii)</enum><text>the qualifications of the appraisers to value the type of collateral offered. </text></clause></subparagraph></paragraph></subsection><subsection id="IDc59ea418e12e4d859f1b76819aac5c6c"><enum>(g)</enum><header>Prerequisites for assistance</header><text>The Secretary may not make a direct loan or loan guarantee under this section unless the Secretary has made a written finding that—</text><paragraph id="IDc23e0253987f49f5a7452e73c21939e0"><enum>(1)</enum><text>repayment of the obligation is required to be made within a term of the lesser of—</text><subparagraph id="ID0be739cc8416485689cd52549b98768c"><enum>(A)</enum><text>35 years after the date of substantial completion of the project; or</text></subparagraph><subparagraph id="ID4a714f7e41124b8fbc7fc3031b0ffb2a"><enum>(B)</enum><text>with regard to rail equipment or facilities with estimated useful lives that exceed the term described in subparagraph (A)—</text><clause id="id08FB0AE37E8C4B65A2836DA42B2CEEE6"><enum>(i)</enum><text>50 years after the date of substantial completion of the project; or</text></clause><clause id="id4E69718854404717B9730A0E388035A5"><enum>(ii)</enum><text>the estimated useful life of the rail equipment or facilities to be acquired, rehabilitated, improved, developed, or established, subject to an adequate determination of long-term risk; </text></clause></subparagraph></paragraph><paragraph id="ID0ff18664b25d4f44883efbc443c835df"><enum>(2)</enum><text>the direct loan or loan guarantee is justified by the present and probable future demand for rail services or intermodal facilities;</text></paragraph><paragraph id="IDeee2dfd129bd465490ca828c4fc66262"><enum>(3)</enum><text>the applicant has given reasonable assurances that the facilities or equipment to be acquired, rehabilitated, improved, developed, or established with the proceeds of the obligation will be economically and efficiently utilized;</text></paragraph><paragraph id="ID767c4141328741ffb64b62920fb87974"><enum>(4)</enum><text>the obligation can reasonably be repaid, using an appropriate combination of credit risk premiums and collateral offered by the applicant to protect the Federal Government; and</text></paragraph><paragraph id="IDa1b8eabc673d434aa9f8eeed8b252286"><enum>(5)</enum><text>the purposes of the direct loan or loan guarantee are consistent with subsection (b).</text></paragraph></subsection><subsection id="ID8c28e898ceb542febd04d81a8ed908ca"><enum>(h)</enum><header>Conditions of assistance</header><paragraph id="IDca400dd40528432b891ed3417328ae62"><enum>(1)</enum><header>In general</header><text>Before granting assistance under this section, the Secretary shall require the applicant to agree to such terms and conditions as are sufficient, in the judgment of the Secretary, to ensure that, as long as any principal or interest is due and payable on the obligation, the applicant, and any railroad or railroad partner for whose benefit the assistance is intended—</text><subparagraph id="IDe8bd445d92dd4912b9c0609405693a60"><enum>(A)</enum><text>will not use any funds or assets from railroad or intermodal operations for purposes not related to the operations, if the use—</text><clause id="id01D115FDBDFB435E82294B657CA4F05D"><enum>(i)</enum><text>would impair the ability of the applicant, railroad, or railroad partner to provide rail or intermodal services in an efficient and economic manner; or</text></clause><clause id="ID4b10b4536e814df4bc0aa9d4398fbb06"><enum>(ii)</enum><text>would adversely affect the ability of the applicant, railroad, or railroad partner to perform any obligation entered into by the applicant under this section;</text></clause></subparagraph><subparagraph id="IDf1847f77e0ed4ce893347a3d7a9c2d1d"><enum>(B)</enum><text>will, consistent with its capital resources, maintain its capital program, equipment, facilities, and operations on a continuing basis; and</text></subparagraph><subparagraph id="ID7d95197216a14a029f5157e953cb2ac2"><enum>(C)</enum><text>will not make any discretionary dividend payments that unreasonably conflict with the purposes stated in subsection (b).</text></subparagraph></paragraph><paragraph id="ID2a547d4366e34705bd76dc8eb42d896a"><enum>(2)</enum><header>Collateral and request for assistance from another source not required</header><subparagraph id="ID009e146381f64a0eaabaa568e955312e"><enum>(A)</enum><header>Collateral</header><clause id="ID5a97c6016c3e4e909345bb95641ab92d"><enum>(i)</enum><header>In general</header><text>The Secretary may not require an applicant for a direct loan or loan guarantee under this section to provide collateral.</text></clause><clause id="ID13b2ad7700074c1081367eeac4d74d62"><enum>(ii)</enum><header>Valuation</header><text>Any collateral provided or enhanced after being provided shall be valued as a going concern after giving effect to the present value of improvements contemplated by the completion and operation of the project, if applicable.</text></clause></subparagraph><subparagraph id="ID27789eb25cb64f4095a983f3b2dd160d"><enum>(B)</enum><header>Request for assistance from another source</header><text>The Secretary may not require an applicant for a direct loan or loan guarantee under this section to have previously sought the financial assistance requested from another source.</text></subparagraph></paragraph><paragraph id="ID8d28822ecd0e4eb2b8482f7179be7858"><enum>(3)</enum><header>Required compliance</header><text>The Secretary shall require recipients of direct loans or loan guarantees under this section to comply with—</text><subparagraph id="ID2ce6ac92db9f4528b45d45936884bcde"><enum>(A)</enum><text>the standards of section 24312, as in effect on September 1, 2002, with respect to the project in the same manner that Amtrak is required to comply with the standards for construction work financed under an agreement made under section 24308(a); and</text></subparagraph><subparagraph id="IDbd7e50be2a3540d991af18ff7c5a5da7"><enum>(B)</enum><text>the protective arrangements established under section 22404, with respect to employees affected by actions taken in connection with the project to be financed by the direct loan or loan guarantee.</text></subparagraph></paragraph><paragraph id="ID01ce7f3e7fda407791ce038a0f5689ea"><enum>(4)</enum><header>Matching funds</header><text>The Secretary shall require each recipient of a direct loan or loan guarantee under this section, for a project described in subsection (b)(1)(E), to provide a non-Federal match of not less than 25 percent of the total amount expended by the recipient for the project.</text></paragraph></subsection><subsection id="IDfdcde6fa04144213aa324a97abad0037"><enum>(i)</enum><header>Application processing procedures</header><paragraph id="IDd7dc55640cd248cf9d846feb552f13c8"><enum>(1)</enum><header>Application status notices</header><text>Not later than 30 days after the date on which the Secretary receives an application under this section, or additional information and material under paragraph (2)(B), the Secretary shall provide the applicant written notice as to whether the application is complete or incomplete.</text></paragraph><paragraph id="IDf45b0dddcd314953a4e78297716703a4"><enum>(2)</enum><header>Incomplete applications</header><text>If the Secretary determines that an application is incomplete, the Secretary shall—</text><subparagraph id="IDcb8c2351a0054967a832462d18d91a8b"><enum>(A)</enum><text>provide the applicant with a description of all of the specific information or material that is needed to complete the application, including any information required by an independent financial analyst; and</text></subparagraph><subparagraph id="ID4ff0f2c0f5474624b5037fdad61a04bc"><enum>(B)</enum><text>allow the applicant to resubmit the application with the information and material described under subparagraph (A) to complete the application.</text></subparagraph></paragraph><paragraph id="ID96687ba7654948c1bfcb83913188a35c"><enum>(3)</enum><header>Application approvals and disapprovals</header><subparagraph id="ID79086410c9684f789563f2f978dc4733"><enum>(A)</enum><header>In general</header><text>Not later than 45 days after the date on which the Secretary notifies an applicant that an application is complete under paragraph (1), the Secretary shall provide the applicant written notice as to whether the Secretary has approved or disapproved the application.</text></subparagraph><subparagraph id="ID6ea63e945d084c85952178589827197d"><enum>(B)</enum><header>Actions by the office of management and budget</header><text>In order to enable compliance with the time limit under subparagraph (A), the Office of Management and Budget shall take any action required with respect to the application within such 45-day period.</text></subparagraph></paragraph><paragraph id="ide48e5d97446f446ba28948588e2212c1"><enum>(4)</enum><header>Streamlined application review process</header><subparagraph id="id7BB3EFC6C3324A238EAA90887DC21BAE"><enum>(A)</enum><header>In general</header><text>Consistent with section 116, and not later than 180 days after date of the enactment of the <short-title>Railroad Rehabilitation and Financing Innovation Act</short-title>, the Secretary shall make available an expedited application process or processes at the request of applicants seeking loans or loan guarantees. </text></subparagraph><subparagraph id="id0a076b45ebcc40fda1e4a8ec771b82e7"><enum>(B)</enum><header>Criteria</header><text>Applicants seeking loans and loan guarantees issued under this subsection shall—</text><clause id="id32a4ad7a778b484cbb18a501ff155c84"><enum>(i)</enum><text>seek a total loan or loan guarantee value not exceeding $100,000,000;</text></clause><clause id="id708bc463e14c4f89a519ceaf73df9658"><enum>(ii)</enum><text>meet eligible project purposes included in subparagraphs (A)(i), (A)(ii), and (B) of subsection (b)(1); and</text></clause><clause id="idce00a5969e0d491d9d6a3178b7ffaac6"><enum>(iii)</enum><text>meet other criteria considered appropriate by the Secretary, in consultation with the Department of Transportation Council on Credit and Finance.</text></clause></subparagraph><subparagraph id="ide5c0a52670e84ea08fd673b1ee580b61"><enum>(C)</enum><header>Expedited credit review</header><text>The total period between the submission of a draft application and the approval or disapproval of a loan or loan guarantee for an applicant under this paragraph may not exceed 90 days. If an application review conducted under this paragraph exceeds 90 days, the Secretary shall—</text><clause id="id852937008adf47618da453d4787f9d6e"><enum>(i)</enum><text>provide written notice to the applicant, including a justification for the delay and updated estimate of the time needed for approval or disapproval; and</text></clause><clause id="id0692c4be63cc4ff3b11bc2b31a42b66e"><enum>(ii)</enum><text>post the notice on the dashboard described in paragraph (5).</text></clause></subparagraph></paragraph><paragraph id="ID4dfc99ee6ccb44019465df8bb6dc17de"><enum>(5)</enum><header>Dashboard</header><text>The Secretary shall post, on the Department of Transportation’s internet website, a monthly report that includes, for each application—</text><subparagraph id="ID064cf7edf03743ab83b9b982c11564f8"><enum>(A)</enum><text>the applicant type;</text></subparagraph><subparagraph id="IDf7547cc4c3704fdc8df69382fd35be49"><enum>(B)</enum><text>the location of the project;</text></subparagraph><subparagraph id="IDf65c6279e2ab4de7a9eaf6c818fe4ba0"><enum>(C)</enum><text>a brief description of the project, including its purpose;</text></subparagraph><subparagraph id="ID302ebc70d4364d938d41ef8c36616f81"><enum>(D)</enum><text>the requested direct loan or loan guarantee amount;</text></subparagraph><subparagraph id="IDa45b8a574e3a411e97f2cda8d0b7d97c"><enum>(E)</enum><text>the date on which the Secretary provided application status notice under paragraph (1);</text></subparagraph><subparagraph id="IDd55f33fea29d49f8a8fb0aa2a254d072"><enum>(F)</enum><text>the date that the Secretary provided notice of approval or disapproval under paragraph (3); and</text></subparagraph><subparagraph id="idC048C31AE23D43439F8836B6C806BC9C"><enum>(G)</enum><text>whether the project utilized the expedited application process under paragraph (4).</text></subparagraph></paragraph><paragraph id="id1ebaa62eace44f568c2cc56a4d336099"><enum>(6)</enum><header>Regular creditworthiness review status reports</header><subparagraph id="idD347B526534C429BAE21FB39AD4D97BF"><enum>(A)</enum><header>In general</header><text>The Secretary shall provide to the applicant a regular report containing information related to the application for a loan or loan guarantee, including—</text><clause id="id2f4c676b8aa84d3d8d5fa6b9083ac3ee"><enum>(i)</enum><text>a summary of the proposed transaction, including—</text><subclause id="id28c809936a2047788465f5452622f1ba"><enum>(I)</enum><text>the total value of the proposed loan or loan guarantee;</text></subclause><subclause id="idcf732711257f429c9eee3d5de4b2e858"><enum>(II)</enum><text>the name of the applicant or applicants submitting an application;</text></subclause><subclause id="idc4857788d07b48dfb0277c101f592125"><enum>(III)</enum><text>the proposed capital structure of the project to which the loan or loan guarantee would be applied, including the proposed Federal and non-Federal shares of the total project cost;</text></subclause><subclause id="ide878be96c8c04373b3b5717ed3560cbd"><enum>(IV)</enum><text>the type of activity to receive credit assistance, including whether the project—</text><item id="idC88B229A0B9046F4BF8125441AEC9C46"><enum>(aa)</enum><text>is new construction or rehabilitation of existing rail equipment or facilities;</text></item><item id="idE2781A996A6F41A1B05DB07F1E98EA59"><enum>(bb)</enum><text>is a refinancing an existing loan or loan guarantee; and</text></item></subclause><subclause id="id4531a214931c4ee99ed5649b22d4ad16"><enum>(V)</enum><text>if a deferred payment is proposed, the length of such deferment;</text></subclause><subclause id="id9cec8bb245d2436abe6c3210be72aff7"><enum>(VI)</enum><text>the credit rating or ratings provided for the applicant;</text></subclause><subclause id="idaec494ffceb94d59a6e214b47b965df9"><enum>(VII)</enum><text>if other credit instruments are involved, the proposed subordination relationship and a description of such other credit instruments;</text></subclause><subclause id="id0798738d6bf548b490f59ddf47eaf844"><enum>(VIII)</enum><text>a schedule for the readiness of proposed investments for financing;</text></subclause><subclause id="idee00c967f730499ba90aeef961116728"><enum>(IX)</enum><text>a description of any Federal permits required, including under the National Environmental Policy Act of 1969 (<external-xref legal-doc="usc" parsable-cite="usc/42/4321">42 U.S.C. 4321</external-xref> et seq.) and any waivers under section 5323(j) of title 49, United States Code (commonly referred to as the <quote>Buy America Act</quote>); and</text></subclause><subclause id="id49B5A09FD872464F8E4EF1D0BCC8765C"><enum>(X)</enum><text>other characteristics of the proposed activity to be financed, borrower, key agreements, or the nature of the credit that the Secretary considers to be fundamental to the creditworthiness review;</text></subclause></clause><clause id="id9ea56f46130f4050a284aab184603e00"><enum>(ii)</enum><text>the status of the application in the pre-application review and selection process;</text></clause><clause id="id6274f76bdb274d8292b9f88ed2845488"><enum>(iii)</enum><text>the cumulative amounts paid by the Secretary to outside advisors related to the application, including financial and legal advisors;</text></clause><clause id="ideca5aa5767334777ab5ac00764a4c8e2"><enum>(iv)</enum><text>a description of the key rating factors used by the Secretary to determine credit risk, including—</text><subclause id="id6292685802334de7aee757f96c05e1f1"><enum>(I)</enum><text>the qualitative and quantitative factors used to determine risk for the proposed application;</text></subclause><subclause id="id15ff92a739f94552997df78f64627dc6"><enum>(II)</enum><text>an adjectival risk rating for each identified factor, ranked as either low, moderate, or high; and</text></subclause></clause><clause id="ide9e318dd65764b82a82b16d213d20a43"><enum>(v)</enum><text>a nonbinding estimate of the credit risk premium, which may be in the form of—</text><subclause id="id1110CDA894CE43C39C7CB4DE3D0C0595"><enum>(I)</enum><text>a range, based on the assessment of risk factors described in clause (iv); or</text></subclause><subclause id="idDFE87332915C4FB98EDBEF3D6F72280E"><enum>(II)</enum><text>a justification for why the estimate of the credit risk premium cannot be determined based on available information; and</text></subclause></clause><clause id="id32545cd7a2e4484ab4846fc2193a82af"><enum>(vi)</enum><text>a description of key information the Secretary needs from the applicant to complete the credit review process and make a final determination of the credit risk premium.</text></clause></subparagraph><subparagraph id="id4f2342e4fc75473d9986d3b585cec49c"><enum>(B)</enum><header>Report</header><text>The Secretary shall submit the report described in subparagraph (A) not less frequently than every 45 days after the date on which the Secretary presents the first request to the applicant for funding to pay fees for advisors described in subparagraph (A)(iii).</text></subparagraph><subparagraph id="id7a361b9f651e444587612770bdb93897"><enum>(C)</enum><header>Exception</header><text>The report required under this paragraph may not be applied to applications processed using the expedited credit review process under paragraph (5)(B).</text></subparagraph></paragraph></subsection><subsection id="ID0dad7d6927c74477880b7e38da22852e"><enum>(j)</enum><header>Repayment schedules</header><paragraph id="IDa78dfe443f114103ac7196485d5c539c"><enum>(1)</enum><header>In general</header><text>The Secretary shall establish a repayment schedule requiring payments to commence not later than 5 years after the date of substantial completion.</text></paragraph><paragraph id="ID158e8524c8394e2c80c32e71f8c9193c"><enum>(2)</enum><header>Accrual</header><text>Interest shall accrue as of the date of disbursement, and shall be amortized over the remaining term of the loan, beginning at the time the payments begin.</text></paragraph><paragraph id="ID6b9568efce9241bca17018886843fe8f"><enum>(3)</enum><header>Deferred payments</header><subparagraph id="ID9c3597d705054a47bd925d9234b314ab"><enum>(A)</enum><header>In general</header><text>If, at any time the date of substantial completion, the obligor is unable to pay the scheduled loan repayments of principal and interest on a direct loan provided under this section, the Secretary, subject to subparagraph (B), may allow, for a maximum aggregate time of 1 year over the duration of the direct loan, the obligor to add unpaid principal and interest to the outstanding balance of the direct loan.</text></subparagraph><subparagraph id="IDf86f2b2a30614309aa409a8f1845ba7d"><enum>(B)</enum><header>Interest</header><text>A payment deferred under subparagraph (A) shall—</text><clause id="IDc42b328d52e746d1b2096762259863c7"><enum>(i)</enum><text>continue to accrue interest under paragraph (2) until the loan is fully repaid; and</text></clause><clause id="IDa573ce1eb50b43eb820b96d4ebb29e1f"><enum>(ii)</enum><text>be scheduled to be amortized over the remaining term of the loan.</text></clause></subparagraph></paragraph><paragraph id="ID130c63786e6442ec9f78e7f8fc799f33"><enum>(4)</enum><header>Prepayments</header><subparagraph id="IDaea8577c32654801bce88c0f269eb96a"><enum>(A)</enum><header>Use of excess revenues</header><text>With respect to a direct loan provided by the Secretary under this section, any excess revenues that remain after satisfying scheduled debt service requirements on the project obligations and direct loan and all deposit requirements under the terms of any trust agreement, bond resolution, or similar agreement securing project obligations may be applied annually to prepay the direct loan without penalty.</text></subparagraph><subparagraph id="IDc6c7644851f44396ade4a4dd882096f3"><enum>(B)</enum><header>Use of proceeds of refinancing</header><text>The direct loan may be prepaid at any time without penalty from the proceeds of refinancing from non-Federal funding sources.</text></subparagraph></paragraph></subsection><subsection id="ID634e22d1b0ba4d06a7026dcd547b0ed0"><enum>(k)</enum><header>Sale of direct loans</header><paragraph id="ID83946706b49c4c41809557c57e5366cd"><enum>(1)</enum><header>In general</header><text>Subject to paragraph (2) and as soon as practicable after substantial completion of a project, the Secretary, after notifying the obligor, may sell to another entity or reoffer into the capital markets a direct loan for the project if the Secretary determines that the sale or reoffering has a high probability of being made on favorable terms.</text></paragraph><paragraph id="IDc590accb6e2d4ccdbded76574b8dd0f8"><enum>(2)</enum><header>Consent of obligor</header><text>In making a sale or reoffering under paragraph (1), the Secretary shall not change the original terms and conditions of the secured loan without the prior written consent of the obligor.</text></paragraph></subsection><subsection id="ID7f34f7870b1140ab963f03b61d00eca6"><enum>(l)</enum><header>Nonsubordination</header><paragraph id="ID44f47f30efb24e7ebc3484c5fade6b3b"><enum>(1)</enum><header>In general</header><text>Except as provided in paragraph (2), a direct loan provided by the Secretary under this section shall not be subordinated to the claims of any holder of project obligations in the event of bankruptcy, insolvency, or liquidation of the obligor.</text></paragraph><paragraph id="IDbe9855bc8c3342cc91a6f875d08ecd58"><enum>(2)</enum><header>Preexisting indentures</header><subparagraph id="ID11cd06a1b3c24329adf926c33117f046"><enum>(A)</enum><header>In general</header><text>The Secretary may waive the requirement under paragraph (1) for a public agency borrower that is financing ongoing capital programs and has outstanding senior bonds under a preexisting indenture if—</text><clause id="ID890ff91b1b8646478b1bfef8fb331434"><enum>(i)</enum><text>the direct loan is rated in the A category or higher;</text></clause><clause id="ID8d00c01304314f9eb49529febc1a7e41"><enum>(ii)</enum><text>the direct loan is secured and payable from pledged revenues not affected by project performance, such as a tax-based revenue pledge or a system-backed pledge of project revenues; and</text></clause><clause id="ID7bceb752a99a404eb19704bff5cf9abf"><enum>(iii)</enum><text>the program share, under this chapter, of eligible project costs is 50 percent or less.</text></clause></subparagraph><subparagraph id="ID9aab0d376fc74cdbba45cd0697217fcf"><enum>(B)</enum><header>Limitation</header><text>The Secretary may impose limitations for the waiver of the nonsubordination requirement under this paragraph if the Secretary determines that the limitations would be in the financial interest of the Federal Government.</text></subparagraph></paragraph></subsection><subsection id="IDd982d627522a440ca06f3809a368fc17"><enum>(m)</enum><header>Master credit agreements</header><paragraph id="IDaef5643ebfa74a74b07c980b54eb9c85"><enum>(1)</enum><header>In general</header><text>Subject to paragraph (2) and to subsection (d), the Secretary may enter into a master credit agreement that is contingent on all of the conditions for the provision of a direct loan or loan guarantee, as applicable, under this chapter and other applicable requirements being satisfied prior to the issuance of the direct loan or loan guarantee.</text></paragraph><paragraph id="IDafbe903c0faf4b529e880863d76b3283"><enum>(2)</enum><header>Conditions</header><text>Each master credit agreement shall—</text><subparagraph id="ID66d8331637144e8ba59d1a67307566fe"><enum>(A)</enum><text>establish the maximum amount and general terms and conditions of each applicable direct loan or loan guarantee;</text></subparagraph><subparagraph id="ID33c71407a3d54dca8289cec580fa0ea3"><enum>(B)</enum><text>identify 1 or more dedicated non-Federal revenue sources that will secure the repayment of each applicable direct loan or loan guarantee;</text></subparagraph><subparagraph id="ID0aa2ef5df27145eabd60181186e7e759"><enum>(C)</enum><text>provide for the obligation of funds—</text><clause id="ID9e82f00e916540ebb55d5bbdf1312c9b"><enum>(i)</enum><text>for the direct loans or loan guarantees contingent on the meeting of all applicable requirements and after all requirements have been met, for the projects subject to the master credit agreement; and</text></clause></subparagraph><subparagraph id="ID4161af5ea1d646b0ad7c3d6eb65cb283"><enum>(D)</enum><text>provide 1 or more dates, as determined by the Secretary, before which the master credit agreement results in the disbursement issuance of each of the direct loans or loan guarantees or in the release of the master credit agreement.</text></subparagraph></paragraph></subsection></section><section id="ID98fb901f097b428fbdd5dd466b30ff0d"><enum>22403.</enum><header>Administration of direct loans and loan guarantees</header><subsection id="ID5504b22658494b6c85fe74d828231b9a"><enum>(a)</enum><header>Applications</header><paragraph id="id96EDC2E32AEB4259A0AFA1A03E49D01D"><enum>(1)</enum><header>In general</header><text>The Secretary shall prescribe the form and contents required of applications for assistance under section 22402, to enable the Secretary to determine the eligibility of the applicant’s proposal, and shall establish terms and conditions for direct loans and loan guarantees made under that section, including a program guide, a standard term sheet, and specific timetables.</text></paragraph><paragraph id="id3ACF69471D384EC5840D5FB9A7CD6887"><enum>(2)</enum><header>Documentation</header><text>An applicant meeting the size standard for small business concerns established under section 3(a)(2) of the Small Business Act (<external-xref legal-doc="usc" parsable-cite="usc/15/632">15 U.S.C. 632(a)(2)</external-xref>) may provide unaudited financial statements as documentation of historical financial information if such statements are accompanied by the applicant’s Federal tax returns and Internal Revenue Service tax verifications for the corresponding years. </text></paragraph></subsection><subsection id="IDe2c7a0c1c32448b9b2db1e66f8fb924c"><enum>(b)</enum><header>Full faith and credit</header><text>All guarantees entered into by the Secretary under section 22402 shall constitute general obligations of the United States of America and shall be backed by the full faith and credit of the United States of America.</text></subsection><subsection id="ID2a74159975484bb6bdde5a71aa8af481"><enum>(c)</enum><header>Assignment of loan guarantees</header><text>The holder of a loan guarantee made under section 22402 may assign the loan guarantee in whole or in part, subject to such requirements as the Secretary may prescribe.</text></subsection><subsection id="ID1cf4e504798045ebbb24b1a2bba45d1a"><enum>(d)</enum><header>Modifications</header><text>The Secretary may approve the modification of any term or condition of a direct loan, loan guarantee, direct loan obligation, or loan guarantee commitment, including the rate of interest, time of payment of interest or principal, or security requirements, if the Secretary finds in writing that—</text><paragraph id="IDd33ce4173434427193d6314dbb2da21b"><enum>(1)</enum><text>the modification is equitable and is in the overall best interests of the United States;</text></paragraph><paragraph id="IDf827e1f405f14f4c9a23ca924082ad20"><enum>(2)</enum><text>consent has been obtained from the applicant and in the case of a loan guarantee or loan guarantee commitment, the holder of the obligation; and</text></paragraph><paragraph id="IDae8bb427f57b459495c2d1f268c18883"><enum>(3)</enum><text>the modification cost has been covered under section 22402(f).</text></paragraph></subsection><subsection id="IDf8b1ba34b9a34a63bea4a84ecde81e5f"><enum>(e)</enum><header>Compliance</header><text>The Secretary shall ensure compliance by an applicant, any other party to the loan, and any railroad or railroad partner for whose benefit assistance is intended, with the provisions of this chapter, regulations issued under this chapter, and the terms and conditions of the direct loan or loan guarantee, including through regular periodic inspections.</text></subsection><subsection id="ID65c84b1807eb4f208066bd55dbdbb0f4"><enum>(f)</enum><header>Commercial validity</header><paragraph id="ID5a160ebaa4b54a1280dba0f3f59ac198"><enum>(1)</enum><header>In general</header><text>For purposes of claims by any party other than the Secretary, a loan guarantee or loan guarantee commitment shall be conclusive evidence that the underlying obligation is in compliance with the provisions of this chapter, and that the obligation has been approved and is legal as to principal, interest, and other terms.</text></paragraph><paragraph id="ID1b24084ca9934ea69fc1a470097bdb70"><enum>(2)</enum><header>Valid and incontestable</header><text>A guarantee or commitment under paragraph (1) shall be valid and incontestable in the hands of a holder of the guarantee or commitment, including the original lender or any other holder, as of the date when the Secretary granted the application for the guarantee or commitment, except as to fraud or material misrepresentation by the holder.</text></paragraph></subsection><subsection id="ID96c320248dd64f519bf22328b7bcb3e9"><enum>(g)</enum><header>Default</header><paragraph id="IDe63e33c91ebf4e7087f563062fd1b9e7"><enum>(1)</enum><header>In general</header><text>The Secretary shall prescribe regulations setting forth procedures in the event of default on a loan made or guaranteed under section 22402.</text></paragraph><paragraph id="ID0a7e05f7d7c64587a5766233c9662b1b"><enum>(2)</enum><header>Loan guarantees</header><text>The Secretary shall ensure that each loan guarantee made under section 22402 contains terms and conditions that provide that—</text><subparagraph id="ID7da8b674bce348b09ab4e496d8223f40"><enum>(A)</enum><text>if a payment of principal or interest under the loan is in default for more than 30 days, the Secretary shall pay to the holder of the obligation, or the holder’s agent, the amount of unpaid guaranteed interest;</text></subparagraph><subparagraph id="ID5fcf726917e246f1bae8f3a5412775ee"><enum>(B)</enum><text>if the default has continued for more than 90 days, the Secretary shall pay to the holder of the obligation, or the holder’s agent, 90 percent of the unpaid guaranteed principal;</text></subparagraph><subparagraph id="ID6974d94602864a07912744aad23c3dfe"><enum>(C)</enum><text>after final resolution of the default, through liquidation or otherwise, the Secretary shall pay to the holder of the obligation, or the holder’s agent, any remaining amounts guaranteed but that were not recovered through the default’s resolution;</text></subparagraph><subparagraph id="ID8c178f012b9d4f27b12ad7b3074327ed"><enum>(D)</enum><text>the Secretary shall not be required to make any payment under subparagraphs (A) through (C) if the Secretary finds, before the expiration of the periods described in such subparagraphs, that the default has been remedied; and</text></subparagraph><subparagraph id="IDb93254858963466daced7597dde3e58a"><enum>(E)</enum><text>the holder of the obligation shall not receive payment or be entitled to retain payment in a total amount that, together with all other recoveries (including any recovery based upon a security interest in equipment or facilities) exceeds the actual loss of the holder.</text></subparagraph></paragraph></subsection><subsection id="IDcf01cb4a0b03484bbad053a614140216"><enum>(h)</enum><header>Rights of the Secretary</header><paragraph id="ID8d187dc9e3c74de28dbae2a0034fda66"><enum>(1)</enum><header>Subrogation</header><text>If the Secretary makes payment to a holder, or a holder’s agent, under subsection (g) in connection with a loan guarantee made under section 22402, the Secretary shall be subrogated to all of the rights of the holder with respect to the obligor under the loan.</text></paragraph><paragraph id="ID9193012c3fa143dabe0e489d62aa2e81"><enum>(2)</enum><header>Disposition of property</header><text>The Secretary may complete, recondition, reconstruct, renovate, repair, maintain, operate, charter, rent, sell, or otherwise dispose of any property or other interests obtained pursuant to this section. The Secretary shall not be subject to any Federal or State regulatory requirements when carrying out this paragraph.</text></paragraph></subsection><subsection id="ID950a976685584c7e8217f78a66549e19"><enum>(i)</enum><header>Action against obligor</header><paragraph id="ID3c2fae804d3d4513bb7c5be2bac33128"><enum>(1)</enum><header>In general</header><text>The Secretary may bring a civil action in an appropriate Federal court in the name of the United States in the event of a default on a direct loan made under section 22402 or in the name of the United States or of the holder of the obligation in the event of a default on a loan guaranteed under section 22402.</text></paragraph><paragraph id="ID9c08efa1bdcd4a98a4f0e7610cf2296a"><enum>(2)</enum><header>Records and evidence</header><text>The holder of a guarantee shall make available to the Secretary all records and evidence necessary to prosecute the civil action.</text></paragraph><paragraph id="ID9566784aaa4d4766b107f0fa483c3ade"><enum>(3)</enum><header>Property as satisfaction of sums owed</header><text>The Secretary may accept property in full or partial satisfaction of any sums owed as a result of a default.</text></paragraph><paragraph id="ID683c439fb2854e499198a278449cb983"><enum>(4)</enum><header>Excess amount</header><subparagraph id="IDf0369d40c2524a48b148607668fa5c57"><enum>(A)</enum><header>Payment to obligor</header><text>If the Secretary receives, through the sale or other disposition of the property described in paragraph (3), an excess amount described in subparagraph (B), the Secretary shall pay to the obligor the excess amount.</text></subparagraph><subparagraph id="ID5bab90a61f5249e48740368c664a254f"><enum>(B)</enum><header>Amount</header><text>An excess amount under this subparagraph is an amount the exceeds the aggregate of—</text><clause id="IDbed348a92b454feaaf14429a91564eb5"><enum>(i)</enum><text>the amount paid to the holder of a guarantee under subsection (g); and</text></clause><clause id="IDefc9f5154db7418a910f17ba4a1baae3"><enum>(ii)</enum><text>any other cost to the United States of remedying the default.</text></clause></subparagraph></paragraph></subsection><subsection id="IDcba389653ced4cfa8fd7ca0a71afe45f"><enum>(j)</enum><header>Breach of conditions</header><text>The Attorney General shall commence a civil action in an appropriate Federal court to enjoin any activity that the Secretary finds is in violation of this chapter, regulations issued under this chapter, or any conditions that were agreed to, and to secure any other appropriate relief.</text></subsection><subsection id="ID2d0fd9202f474966856fb75edb9a7f92"><enum>(k)</enum><header>Attachment</header><text>No attachment or execution may be issued against the Secretary, or any property in the control of the Secretary, prior to the entry of final judgment to that effect in any Federal, State, or other court.</text></subsection><subsection id="ID44d0f2c6b53c43169ad625bffc5aba5b"><enum>(l)</enum><header>Charges and loan servicing</header><paragraph id="ID8c0e4b1796c541fc8acc6b78a99d676f"><enum>(1)</enum><header>Purposes</header><text>The Secretary may collect from each applicant, obligor, or loan party a reasonable charge for—</text><subparagraph id="IDb462e31cb3d44de58ee5f24e4811cca1"><enum>(A)</enum><text>the cost of evaluating the application, amendments, modifications, and waivers, including for evaluating project viability, applicant creditworthiness, and the appraisal of the value of the equipment or facilities for which the direct loan or loan guarantee is sought, and for making necessary determinations and findings;</text></subparagraph><subparagraph id="IDcab19717e1fe44999c2c85d55fdda2a0"><enum>(B)</enum><text>to cost of award management and project management oversight;</text></subparagraph><subparagraph id="IDc62f4d6a1904465cac134d6e7b0bccae"><enum>(C)</enum><text>the cost of services from expert firms, including counsel, and independent financial advisors to assist in the underwriting, auditing, servicing, and exercise of rights with respect to direct loans and loan guarantees; and</text></subparagraph><subparagraph id="ID9727d9909e63499db7010a51449bb36a"><enum>(D)</enum><text>the cost of all other expenses incurred as a result of a breach of any term or condition or any event of default on a direct loan or loan guarantee.</text></subparagraph></paragraph><paragraph id="ID6bf04ca3892d4380b700acbda41596b7"><enum>(2)</enum><header>Charge different amounts</header><text>The Secretary may charge different amounts under this subsection based on the different costs incurred under paragraph (1).</text></paragraph><paragraph id="ID55a7b0862de642818868978f4248b53d"><enum>(3)</enum><header>Servicer</header><subparagraph id="IDcc27971625624555b005ff0f794ea46e"><enum>(A)</enum><header>In general</header><text>The Secretary may appoint a financial entity to assist the Secretary in servicing a direct loan or loan guarantee under this chapter.</text></subparagraph><subparagraph id="IDd6088d5c69fb463fa7f8732943fdd8f6"><enum>(B)</enum><header>Duties</header><text>A servicer appointed under subparagraph (A) shall act as the agent of the Secretary in servicing a direct loan or loan guarantee under this chapter.</text></subparagraph><subparagraph id="id5A4974841093496F88F7C9687E4CE5EA"><enum>(C)</enum><header>Fees</header><text>A servicer appointed under subparagraph (A) shall receive a servicing fee from the obligor or other loan party, subject to approval by the Secretary.</text></subparagraph></paragraph><paragraph id="ID655a4c6da66047b4a7dfa911e1329c59"><enum>(4)</enum><header>National surface transportation and innovative finance bureau account</header><text>Amounts collected under this subsection shall—</text><subparagraph id="ID921b20facce14ee88153b835a06aa2b5"><enum>(A)</enum><text>be credited directly to the National Surface Transportation and Innovative Finance Bureau Account; and</text></subparagraph><subparagraph id="ID1c6e9f23aae2493b9b46ac237af58652"><enum>(B)</enum><text>remain available until expended to pay for the costs described in this subsection.</text></subparagraph></paragraph></subsection><subsection id="ID3a26a59d225e4df6b7e5680e30f02bf4"><enum>(m)</enum><header>Fees and charges</header><text>Except as provided in this chapter, the Secretary may not assess fees, including user fees, or charges in connection with a direct loan or loan guarantee provided under section 22402.</text></subsection></section><section id="ID333dd078d49543b79c4c529faa9c6d43"><enum>22404.</enum><header>Employee protection</header><subsection id="ID4fe8ac0eab4f49a3ad3b76b75fc59e21"><enum>(a)</enum><header>In general</header><paragraph id="IDd266eebc4a6c459fb4a4ec457c51071d"><enum>(1)</enum><header>Fair and equitable arrangements</header><text>Fair and equitable arrangements shall be provided, in accordance with this section, to protect the interests of any employees who may be affected by actions taken pursuant to authorizations or approval obtained under this chapter.</text></paragraph><paragraph id="ID7d46afb640f1453dae4cc8bcf088db4c"><enum>(2)</enum><header>Arrangements by agreements</header><text>The arrangements under paragraph (1) shall be determined by the execution of an agreement between the representatives of the railroads and the representatives of their employees not later than June 4, 1976.</text></paragraph><paragraph id="IDdd0b1284c3b34baeba903b3c3278938e"><enum>(3)</enum><header>Prescribed arrangements</header><text>In the absence of an executed agreement under paragraph (2), the Secretary of Labor shall prescribe the applicable protective arrangements not later than July 4, 1976.</text></paragraph></subsection><subsection id="IDdb64a16b86d84456ba38e07bf8987131"><enum>(b)</enum><header>Terms</header><paragraph id="IDc28818593adf498f9a76691ed5b4c02e"><enum>(1)</enum><header>Applicability to existing employees</header><text>The arrangements required under subsection (a) shall apply to each employee who has an employment relationship with a railroad on the date on which the railroad first applies for financial assistance under this chapter.</text></paragraph><paragraph id="id797A3D88D61D4E6889469426C37A20E3"><enum>(2)</enum><header>Inclusions</header><text>Such arrangements shall include such provisions as may be necessary for the negotiation and execution of agreements as to the manner in which the protective arrangements shall be applied, including notice requirements.</text></paragraph><paragraph id="idc02fdf631a794315a98ec3ec45e297e5"><enum>(3)</enum><header>Execution prior to implementation of work</header><text>The agreements shall be executed prior to implementation of work funded from financial assistance under this chapter.</text></paragraph><paragraph id="id6C90E21E4DDC4F9885E005B524D3B4DF"><enum>(4)</enum><header>Arbitration</header><subparagraph id="id80FF9158645E4FBDB93DAB54D73A8AEE"><enum>(A)</enum><header>In general</header><text>If an agreement described in subsection (a)(2) is not reached within 30 days after the date on which an application for the assistance is approved, either party to the dispute may submit the issue for final and binding arbitration.</text></subparagraph><subparagraph id="id02CFE824411043F3A4089BDFC7E36EEA"><enum>(B)</enum><header>Decision</header><clause id="id49D1480269134469A0CC37F45295D564"><enum>(i)</enum><header>When decision is to be rendered</header><text>The decision on any arbitration under this paragraph shall be rendered within 30 days after the submission.</text></clause><clause id="id1BD39561295C425FA3F24DB0B32C474A"><enum>(ii)</enum><header>Effect</header><text>The arbitration decision—</text><subclause id="id5485C6965B90408399C47CD1024E009E"><enum>(I)</enum><text>shall not modify the protection afforded in the protective arrangements established pursuant to this section;</text></subclause><subclause id="id9214099A330744B39988BD157A0A8E7A"><enum>(II)</enum><text>shall be final and binding on the parties to the arbitration; and</text></subclause><subclause id="id99740F71D0F14CEABF3BEB6B9179DA1F"><enum>(III)</enum><text>shall become a part of the agreement.</text></subclause></clause></subparagraph></paragraph><paragraph id="id13EC27329BA943F3B28D0B09D99A180F"><enum>(5)</enum><header>Other inclusions</header><text>The arrangements shall also include such provisions as may be necessary—</text><subparagraph id="idAE9FB34712EF453E847DB31526322F37"><enum>(A)</enum><text>for the preservation of compensation (including subsequent general wage increases, vacation allowances, and monthly compensation guarantees), right, privileges, and benefits (including fringe benefits such as pensions, hospitalization, and vacations, under the same conditions and so long as the benefits continue to be accorded to other employees of the employing railroad in active service or on furlough, as the case may be) to the employees under existing collective-bargaining agreements or otherwise;</text></subparagraph><subparagraph id="id607CE86188DD46C58587922600E5397D"><enum>(B)</enum><text>to provide for final and binding arbitration of any dispute that cannot be settled by the parties with respect to the interpretation, application, or enforcement of the provisions of the protective arrangements;</text></subparagraph><subparagraph id="idDEB908133E25428085413C5931984DEF"><enum>(C)</enum><text>to provide that an employee who is unable to secure employment by the exercise of the employee’s seniority rights, as a result of actions taken with financial assistance obtained under this chapter, shall be offered reassignment and, where necessary, retraining to fill a position comparable to the position held at the time of the adverse effect and for which the employee is, or by training and retraining can become, physically and mentally qualified, so long as the offer is not in contravention of collective bargaining agreements relating to the provisions in this paragraph; and</text></subparagraph><subparagraph id="idA8641F67BA944394A61B9F7376860F60"><enum>(D)</enum><text>to provide that the protection afforded pursuant to this section shall not be applicable to employees benefitted solely as a result of the work that is financed by funds provided pursuant to this chapter.</text></subparagraph></paragraph></subsection><subsection id="ID9d26e2a622cc4bbcbad8ad0868584e74"><enum>(c)</enum><header>Subcontracting</header><text>The arrangements that are required to be negotiated by the parties or prescribed by the Secretary of Labor, pursuant to subsections (a) and (b), shall include provisions regulating subcontracting by the railroads of work that is financed by funds provided pursuant to this chapter.</text></subsection></section><section id="ID397dd39073b34e579b3c9ef71293efe8"><enum>22405.</enum><header>Substantive criteria and standards</header><text display-inline="no-display-inline">The Secretary shall publish in the Federal Register and post on the Department of Transportation website the substantive criteria and standards used by the Secretary to determine whether to approve or disapprove applications submitted under section 22404. The Secretary shall ensure adequate procedures and guidelines are in place to permit the filing of complete applications not later than 30 days after such publication.</text></section><section id="idC487C721F14B47BB8F52E61420BF68B7"><enum>22406.</enum><header>Funding</header><subsection id="IDc687465618d9475fba9e41ea64d26aef"><enum>(a)</enum><header>Authorization of appropriations</header><paragraph id="ID39396a416e314fc0b994e86f2f0b8f10"><enum>(1)</enum><header>In general</header><text>There are authorized to be appropriated out of the General Fund for credit assistance under this chapter—</text><subparagraph id="ID3cf0f37b99324a739e182d9390cb02d1"><enum>(A)</enum><text>$30,000,000 for fiscal year 2022;</text></subparagraph><subparagraph id="IDc69ca2247e3743a8ab2e12f8450dd42f"><enum>(B)</enum><text>$31,000,000 for fiscal year 2023;</text></subparagraph><subparagraph id="ID8c7c9478a08340bdaa3edc11dc69ea90"><enum>(C)</enum><text>$32,000,000 for fiscal year 2024;</text></subparagraph><subparagraph id="IDe7acb74ea29d486b9cde990b7dd730ac"><enum>(D)</enum><text>$33,000,000 for fiscal year 2025; and</text></subparagraph><subparagraph id="IDe922d27a11c94ee194bd5afb2c132735"><enum>(E)</enum><text>$34,000,000 for fiscal year 2026.</text></subparagraph></paragraph><paragraph id="ID4918d8b3b9694ef79c0392154126ec04"><enum>(2)</enum><header>Availability</header><text>Amounts appropriated pursuant to this subsection shall remain available until expended.</text></paragraph></subsection><subsection id="ID0885e2d433194730a851a93c80e60a88"><enum>(b)</enum><header>Use of funds</header><paragraph id="id921BD2FA47DD4737B6F6B3E291F457CF"><enum>(1)</enum><header>In general</header><text>Except as provided in paragraph (2), amounts appropriated pursuant to this section shall be used for loans and loan guarantees with a total value of not more than $200,000,000.</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="idDF11DEE59A4F40729CB12146422A51D3"><enum>(2)</enum><header display-inline="yes-display-inline">Administrative costs</header><text display-inline="yes-display-inline">In each fiscal year, not less than $3,000,000 of the amounts appropriated pursuant to subsection (a) shall be made available for the Secretary for use in lieu of charges collected under section 22403(l)(1) for freight railroads other than Class I carriers and passenger railroads. </text></paragraph><paragraph id="ID7986d850ca9b4408a23d01770c2b3320"><enum>(3)</enum><header>Short line set-aside</header><text>In each fiscal year, not less than 50 percent of the amounts appropriated pursuant to subsection (a) that remain available after the set aside described in paragraph (2) shall be set aside for freight railroads other than Class I carriers.</text></paragraph><paragraph id="ID79ff4605dcca415a9cd9e523496a85d9"><enum>(4)</enum><header>Passenger rail set-aside</header><text>Any amounts appropriated pursuant to subsection (a) that remain available after the set-asides described in paragraphs (2) and (3) shall be set aside for passenger railroads.</text></paragraph></subsection></section></chapter><after-quoted-block>.</after-quoted-block></quoted-block></subsection><subsection id="id18EF39C8143A415E9604AD29E331AE5E"><enum>(b)</enum><header>Clerical amendment</header><text>The table of chapters for title 49, United States Code, is amended by inserting after the item relating to chapter 223 the following:</text><quoted-block style="USC" id="ide526abb7-f4a2-4a3a-b5a4-a4e66b91bc35"><toc><toc-entry idref="idA0CF65AC27554C6BB0D0F9234CFD0D91" level="chapter">Chapter 224—Railroad Rehabilitation and Improvement Financing Program</toc-entry></toc><after-quoted-block>.</after-quoted-block></quoted-block></subsection></section><section id="ID21967f8d7be34b4b900d2c4e2d4e42df"><enum>3.</enum><header>Conforming amendments</header><subsection id="ID8b32733e0e324c30a0dd90542a82a8d4"><enum>(a)</enum><header>National Trails System Act</header><text>Section 8(d) of the National Trails System Act (<external-xref legal-doc="usc" parsable-cite="usc/16/1247">16 U.S.C. 1247(d)</external-xref>) is amended by inserting <quote>(<external-xref legal-doc="usc" parsable-cite="usc/45/801">45 U.S.C. 801</external-xref> et seq.) and <external-xref legal-doc="usc-chapter" parsable-cite="usc-chapter/49/224">chapter 224</external-xref> of title 49, United States Code</quote> after <quote>1976</quote>.</text></subsection><subsection id="ID52900409d3cb46499c458c927461f20f"><enum>(b)</enum><header>Passenger Rail Reform and Investment Act</header><text>Section 11315(c) of the Passenger Rail Reform and Investment Act of 2015 (<external-xref legal-doc="usc" parsable-cite="usc/23/322">23 U.S.C. 322</external-xref> note;
