Funding.</toc-entry></toc></subsection></section><section id="idA2E66C13992A4B3197548330DB502D75"><enum>2.</enum><header>Definitions</header><text display-inline="no-display-inline">In this Act:</text><paragraph id="id3E8687BEE74D4482AB56A995B9D57F93"><enum>(1)</enum><header>Commission</header><text>The term <term>Commission</term> means the Federal Trade Commission.</text></paragraph><paragraph id="id0458F8D1BD5F4F248A7D41CE2B21D4AD"><enum>(2)</enum><header>Critical trading partner</header><text>The term <term>critical trading partner</term> means a person that has the ability to restrict, impede, or foreclose access to its inputs, customers, partners, goods, services, technology, platform, facilities, or tools in a way that harms competition or limits the ability of the customers or suppliers of the person to carry out business effectively. </text></paragraph><paragraph id="idCCDBA01F2A674AA2B335D8918496C807"><enum>(3)</enum><header>Exceptional market shock</header><text>The term <term>exceptional market shock</term> means any change or imminently threatened (as determined under guidance issued by the Commission) change in the market for a good or service resulting from a natural disaster, failure or shortage of electric power or other source of energy, strike, civil disorder, war, military action, national or local emergency, public-health emergency, or any other cause of an atypical disruption in such market.</text></paragraph><paragraph id="idF385F3DE72D64BCBB2F21B00F45D11C8"><enum>(4)</enum><header>Good or service</header><text>The term <term>good or service</term> means any good or service offered in commerce.</text></paragraph><paragraph id="idECE5ED95ECBF4111A235AD940718F406"><enum>(5)</enum><header>State</header><text>The term <term>State</term> means each of the several States, the District of Columbia, each commonwealth, territory, or possession of the United States, and each federally recognized Indian Tribe.</text></paragraph><paragraph id="id0f2b8ad5482b45f5a47c6598f3645021"><enum>(6)</enum><header>Ultimate parent entity</header><text>The term <term>ultimate parent entity</term> has the meaning given the term in section 801.1 of title 16, Code of Federal Regulations (or any successor regulation). </text></paragraph></section><section id="idD22742B6CA73464F842C90A3E769264D"><enum>3.</enum><header>Prevention of price gouging</header><subsection id="id65f8de85f6724c2d88cd24c0b4bb01a6"><enum>(a)</enum><header>In general</header><text>It shall be unlawful for a person to sell or offer for sale a good or service at an unconscionably excessive price during an exceptional market shock, regardless of the person’s position in a supply chain or distribution network.</text></subsection><subsection id="id3a2d7e5623c44a68815510da0e49345c"><enum>(b)</enum><header>Affirmative defense</header><paragraph id="id85e865463d9a4eb8a2260aa501332eae"><enum>(1)</enum><header>In general</header><text>Subsection (a) shall not apply to the sale, or offering for sale, of a good or service by a person if—</text><subparagraph id="idb3fbf0a3eda949388a08d9dfea7c49af"><enum>(A)</enum><text>the person’s ultimate parent entity earned less than $100,000,000 in gross United States revenue during the preceding 12-month period; and</text></subparagraph><subparagraph id="id2e394116de9d4e22b985029919c39a2a"><enum>(B)</enum><text>the person demonstrates by a preponderance of the evidence that the increase in the price of the good or service involved is directly attributable to additional costs that are not within the control of the person and are incurred by the person in procuring, acquiring, distributing, or providing the good or service.</text></subparagraph></paragraph><paragraph id="ida1ff01b320c44d9493f03bd5c12a7e84"><enum>(2)</enum><header>Inflation adjustment</header><text>Starting in calendar year 2023, the Commission shall annually adjust the amount specified in paragraph (1)(A) to reflect the change in the consumer price index for all urban consumers published by the Bureau of Labor Statistics. </text></paragraph></subsection><subsection id="id1cca08c4d30645d0a3e04cb82289d907"><enum>(c)</enum><header>Presumptive violations</header><text>A person shall be presumed to be in violation of subsection (a) if, during an exceptional market shock, it is shown by a preponderance of the evidence that the person—</text><paragraph id="id3A7CC0B223404E64A07308FE4C8E6097"><enum>(1)</enum><subparagraph commented="no" display-inline="yes-display-inline" id="id895D41885F1245818D55FB8D3A2D1A87"><enum>(A)</enum><text>has unfair leverage; or</text></subparagraph><subparagraph indent="up1" id="idEEEC306CAD8142BC8847DEDC8AC4137F"><enum>(B)</enum><text>is using the effects or circumstances related to the exceptional market shock as a pretext to increase prices; and</text></subparagraph></paragraph><paragraph id="idFCE69E0ACE65457AA7120301FADD5A0D"><enum>(2)</enum><text>regardless of the person's position in a supply chain or distribution network, sells or offers for sale a good or service at an excessive price compared to—</text><subparagraph id="id2F1AA69DAFFE4183ACB670630995C31D"><enum>(A)</enum><text>the average price at which the good or service was sold or offered for sale by all competing sellers in the market during the 120-day period preceding such exceptional market shock; or</text></subparagraph><subparagraph id="id81F1CEA2F58B41A69E58DA05334E6EC9"><enum>(B)</enum><text>the average price at which the good or service was sold or offered for sale by the person in the market during the 120-day period preceding such exceptional market shock. </text></subparagraph></paragraph></subsection><subsection id="id0E094399692043C590E22C104149F147"><enum>(d)</enum><header>Rebuttal</header><text>A person may rebut a presumption under subsection (c) if the person demonstrates by clear and convincing evidence that the increase in the price of the good or service involved is directly attributable to additional costs that are not within the control of the person and are incurred by the person in procuring, acquiring, distributing, or providing the good or service.</text></subsection><subsection id="id3F4EF5AF07A94C608AEA33BCD810CFFF"><enum>(e)</enum><header>Unfair leverage</header><paragraph id="idB82F2798A1EE4DEB9E15C2F67662DBAE"><enum>(1)</enum><header>In general</header><text>For purposes of subsection (c), a person has unfair leverage if the person—</text><subparagraph id="id6519BD2551544F4083F4228B39AF799F"><enum>(A)</enum><text>earned at least $1,000,000,000 in gross United States revenue during the preceding 12-month period;</text></subparagraph><subparagraph id="id0314A8ABF8744B258D883FACA96619EA"><enum>(B)</enum><text>discriminates between otherwise equal trading partners in the same market by applying differential prices or conditions;</text></subparagraph><subparagraph id="idE6E0AD82E3A14B17959CA05271711D6E"><enum>(C)</enum><text>is a critical trading partner; or</text></subparagraph><subparagraph id="id36E45B32957E4991B1D1303962FCA36C"><enum>(D)</enum><text>has a characteristic described in a rule promulgated by the Commission that further defines unfair leverage.</text></subparagraph></paragraph><paragraph id="id17B508BF7F234D7EBEFE4DE1BD74F97A"><enum>(2)</enum><header>Inflation adjustment</header><text>Starting in calendar year 2023, the Commission shall annually adjust the amount specified in paragraph (1)(A) to reflect the change in the consumer price index for all urban consumers published by the Bureau of Labor Statistics.</text></paragraph></subsection><subsection id="idC31F06BAE3B34B539728A57CB29FE651"><enum>(f)</enum><header>Enforcement by FTC</header><paragraph id="id9f14d2f0da444ab1b811f2a080764664"><enum>(1)</enum><header>Unfair or deceptive acts or practices</header><text>A violation of this section or a regulation promulgated under this section shall be treated as a violation of a rule defining an unfair or deceptive act or practice prescribed under section 18(a)(1)(B) of the Federal Trade Commission Act (<external-xref legal-doc="usc" parsable-cite="usc/15/57a">15 U.S.C. 57a(a)(1)(B)</external-xref>).</text></paragraph><paragraph id="idD0C5193B26BD4BF69B8203737DE7D53D"><enum>(2)</enum><header>Powers of the Commission</header><text>Except as otherwise provided, the Commission shall enforce this section in the same manner, by the same means, and with the same jurisdiction, powers, and duties as though all applicable terms and provisions of the Federal Trade Commission Act (<external-xref legal-doc="usc" parsable-cite="usc/15/41">15 U.S.C. 41 et seq.</external-xref>) were incorporated into and made a part of this section. Any person who violates this section shall be subject to the penalties and entitled to the privileges and immunities provided in the Federal Trade Commission Act.</text></paragraph><paragraph id="id4cdbda52b81640dca625c699fb883909"><enum>(3)</enum><header>Independent litigation authority</header><text>If the Commission has reason to believe that a person has violated this section, the Commission may bring a civil action in any appropriate United States district court to—</text><subparagraph id="id9075029ebb2a42a39996f00ab570c4a7"><enum>(A)</enum><text>enjoin any further such violation by such person;</text></subparagraph><subparagraph id="id22ecfaf66c7f49779ff7cecc17eef36c"><enum>(B)</enum><text>enforce compliance with this section;</text></subparagraph><subparagraph id="idc856d61dd2e644daa182b19270cb1e8e"><enum>(C)</enum><text>obtain a permanent, temporary, or preliminary injunction;</text></subparagraph><subparagraph id="id18a356542b964b62a9f01ad37c928d12"><enum>(D)</enum><text>obtain civil penalties;</text></subparagraph><subparagraph id="idf803a4c8ac0c462da3f26c4377ea1650"><enum>(E)</enum><text>obtain damages, restitution, or other compensation on behalf of aggrieved consumers; or</text></subparagraph><subparagraph id="id47da81da279d45c7b2223c2a291652b2"><enum>(F)</enum><text>obtain any other appropriate equitable relief. </text></subparagraph></paragraph><paragraph id="id011769a0bbf941da81c6d1b8da96c3d5" commented="no"><enum>(4)</enum><header>Civil penalties</header><text>In addition to any other penalties as may be prescribed by law, each violation of this section shall carry a civil penalty not to exceed—</text><subparagraph commented="no" id="idAAA50D929AD842B9A78EDDF56D79517D"><enum>(A)</enum><text>if the person who committed the violation does not have unfair leverage, the lesser of—</text><clause commented="no" id="idEA854D466C4B44EDB590F9045790C466"><enum>(i)</enum><text>$25,000; or</text></clause><clause commented="no" id="idB838075D66AC4EFF94098A51BEDE14C3"><enum>(ii)</enum><text>5 percent of the revenues earned by the person's ultimate parent entity during the preceding 12-month period; or</text></clause></subparagraph><subparagraph commented="no" id="idA351461AA53E46D1A6FF8A4531204236"><enum>(B)</enum><text>if the person who committed the violation has unfair leverage, 5 percent of the revenues earned by the person's ultimate parent entity during the preceding 12-month period.</text></subparagraph></paragraph><paragraph commented="no" id="id99037337F40A4BEC953D67F2415DB36F"><enum>(5)</enum><header>Rulemaking</header><subparagraph commented="no" id="idE8714E3DBB344088A32AAC63376C627A"><enum>(A)</enum><header>In general</header><text>The Commission may promulgate in accordance with section 553 of title 5, United States Code, such rules as may be necessary to carry out this Act, including the guidance required under subparagraph (B), guidance regarding an exceptional market shock, or additional characteristics that demonstrate unfair leverage.</text></subparagraph><subparagraph commented="no" id="id5CAB627925FA4104B974C72791DBFABA"><enum>(B)</enum><header>Required guidance</header><text>Not later than 180 days after the date of enactment of this Act, the Commission shall promulgate regulations regarding violations of this Act, which shall include guidelines on what constitutes a market, an unconscionably excessive price for a good or service, and an excessive price for a good or service.</text></subparagraph></paragraph><paragraph id="idDE5726A8728D481AA67D3CC08AF94BA8"><enum>(6)</enum><header>Effect on other laws</header><text>Nothing in this section shall be construed in any way to limit the authority of the Commission under any other provision of law.</text></paragraph></subsection><subsection id="idc25c1d94fe4b482e9c7ae815aca05309"><enum>(g)</enum><header>Enforcement by state attorneys general</header><paragraph id="id540cbf719c544513878deccdc570a73d"><enum>(1)</enum><header>In general</header><text>If the attorney general of a State, or another official or agency designated by a State, has reason to believe that any person has violated or is violating this section, the attorney general, official, or agency of the State, in addition to any authority it may have to bring an action in State court under its laws, may bring a civil action in any appropriate United States district court or in any other court of competent jurisdiction, including a State court, to—</text><subparagraph id="idf43db805d3394f459208eb9773697846"><enum>(A)</enum><text>enjoin any further such violation by such person;</text></subparagraph><subparagraph id="id195281788306444ea985aab890da31a6"><enum>(B)</enum><text>enforce compliance with this section;</text></subparagraph><subparagraph id="id0b9aae999cad47f7b24bd186cbef8d62"><enum>(C)</enum><text>obtain a permanent, temporary, or preliminary injunction;</text></subparagraph><subparagraph id="id60445FFD849A42EDA963379610AADFB7"><enum>(D)</enum><text>obtain civil penalties;</text></subparagraph><subparagraph id="id2628c039ab644b03a6f95d4e0dbbfacd"><enum>(E)</enum><text>obtain damages, restitution, or other compensation on behalf of residents of the State; or</text></subparagraph><subparagraph id="idF233A88B5F514E91AC8C516659C2EC1D"><enum>(F)</enum><text>obtain any other appropriate equitable relief.</text></subparagraph></paragraph><paragraph id="id9dd42949a2104317a94255ea38cd477b"><enum>(2)</enum><header>Notice</header><text>Before filing an action under paragraph (1), the attorney general, official, or agency of the State involved shall provide to the Commission a written notice of such action and a copy of the complaint for such action. If the attorney general, official, or agency determines that it is not feasible to provide the notice described in this paragraph before the filing of the action, the attorney general, official, or agency shall provide written notice of the action and a copy of the complaint to the Commission immediately upon the filing of the action.</text></paragraph><paragraph id="id87e0397036fd455b93451508d534578b"><enum>(3)</enum><header>Limitation on state action while federal action is pending</header><text>If the Commission has instituted a civil action for a violation of this section, no State attorney general, or official or agency of a State, may bring an action under this paragraph during the pendency of that action against any defendant named in the complaint of the Commission for any violation of this section alleged in the complaint.</text></paragraph><paragraph id="idce1495ceda2e47d8bd0bf1992b5c5a37"><enum>(4)</enum><header>Relationship with state-law claims</header><text>If the attorney general of a State has authority to bring an action under State law directed at acts or practices that also violate this section, the attorney general may assert the State-law claim and a claim under this section in the same civil action.</text></paragraph></subsection><subsection id="idaea56cd22358491c94cb29559218b92e"><enum>(h)</enum><header>Savings clause</header><text>Nothing in this section shall preempt or otherwise affect any State or local law. </text></subsection></section><section id="id8AB905A8515D468798BE734F357FFF9B"><enum>4.</enum><header>Disclosures in SEC filings</header><subsection id="idE463E9CFE2EF4429B2E1F31FAF7581C5"><enum>(a)</enum><header>Definitions</header><text>In this section:</text><paragraph id="id0DCC75637D334E50B31D2411F43908F9"><enum>(1)</enum><header>Covered issuer</header><text>The term <term>covered issuer</term> means an issuer that—</text><subparagraph id="id61B8C85E0D3E4EBEAD6FE5735D612CA5"><enum>(A)</enum><text>has a covered quarter; and</text></subparagraph><subparagraph id="id62941BED93F246DF9EADB49E93C53F52"><enum>(B)</enum><text>in the quarter following the covered quarter described in subparagraph (A), is required to submit Form 10–Q or Form 10–K.</text></subparagraph></paragraph><paragraph id="id4F6782B20D5941BBB11D815EBFEE8AF9"><enum>(2)</enum><header>Covered quarter</header><text>The term <term>covered quarter</term> means a quarter during which there is an exceptional market shock.</text></paragraph><paragraph id="id97B09F24EFA949B993D8CB59E63C3CCC"><enum>(3)</enum><header>Form 10–K</header><text>The term <term>Form 10–K</term> means the form described in section 249.310 of title 17, Code of Federal Regulations, or any successor regulation.</text></paragraph><paragraph id="idE426A934EED6486CA69FC6E94FF9A569"><enum>(4)</enum><header>Form 10–Q</header><text>The term <term>Form 10–Q</term> means the form described in section 240.15d–13 of title 17, Code of Federal Regulations, or any successor regulation.</text></paragraph><paragraph id="idDC1F0B1E87754B2C9B471685CA6136D1"><enum>(5)</enum><header>Issuer</header><text>The term <term>issuer</term> has the meaning given the term in section 3(a) of the Securities Exchange Act of 1934 (<external-xref legal-doc="usc" parsable-cite="usc/15/78c">15 U.S.C. 78c(a)</external-xref>).</text></paragraph></subsection><subsection id="idA2DC8935CCA445B38D0AB02B9F8F94F4"><enum>(b)</enum><header>Inclusion in filing</header><text>Each covered issuer, in each Form 10–K or Form 10–Q that the covered issuer is required to file in a quarter following a covered quarter, shall include in the filing the following information with respect to that covered quarter, as compared with the quarter preceding that covered quarter:</text><paragraph id="idE3FD0D0101B845EA92D92F0D2E373881"><enum>(1)</enum><text>The percentage change in the volume of goods or services sold, and the percentage change in the average sales price of those goods or services, which shall be broken down by material product categories, when relevant, and presented in a tabular format.</text></paragraph><paragraph id="id23089464D7E841A08865A25478291610"><enum>(2)</enum><text>The gross margins of the covered issuer, which shall be broken down by material product categories, when relevant, and presented in a tabular format.</text></paragraph><paragraph id="id92CB8795D66A4DD3ABA2DE38ABAF8961"><enum>(3)</enum><text>Presented in tabular format, the share of the increase in revenue of the covered issuer that is attributable to— </text><subparagraph id="idC9A056DED40E44BDB3B8C9ACF576D930"><enum>(A)</enum><text>a change in the cost of goods or services sold by the covered issuer; and</text></subparagraph><subparagraph id="id06CB45D2016D45B897BDDD61E4741627"><enum>(B)</enum><text>a change in the volume of goods or services sold by the covered issuer.</text></subparagraph></paragraph><paragraph id="idF4A56962CC8A44A0BFBB2E8D9FDDF8FB"><enum>(4)</enum><text>The percentage change in the costs of the covered issuer, which shall be broken down by category and presented in tabular format.</text></paragraph><paragraph id="id2EC823C42F3148CF8A71445CECA832CC"><enum>(5)</enum><text>In dollars, the change in the costs of the covered issuer and the revenue of the covered issuer, which shall be presented in tabular format.</text></paragraph><paragraph id="idC95B97B03A9F4DEE9B60DDDDFCC14DD5"><enum>(6)</enum><text>A detailed narrative disclosure of the pricing strategy of the covered issuer, which shall include—</text><subparagraph id="id752924C6E4764C7483FAA6A9BAA699EF"><enum>(A)</enum><text>an explanation for any increase in the gross margins of material product categories, including all material causes for such an increase, an explanation of how each such material cause affected such an increase, and a description of the relative importance of each such material cause with respect to such an increase;</text></subparagraph><subparagraph id="idF544B68D238841F0908FBF3F00FDB9F9"><enum>(B)</enum><text>an explanation for the decisions made by the covered issuer with respect to the prices of goods or services sold by the covered issuer;</text></subparagraph><subparagraph id="id40999D6D890E4F9B9F13FBD3F556DC68"><enum>(C)</enum><text>if the covered issuer increased prices at a rate that was greater than the rate at which the costs incurred by the covered issuer increased, the rationale and objectives for increasing prices in such a manner; and</text></subparagraph><subparagraph id="id2F58E9DFA6514AB68DC658EE15C987D6" commented="no" display-inline="no-display-inline"><enum>(D)</enum><text>a description of conditions under which the covered issuer plans to modify pricing after the date on which the covered issuer submits the filing.</text></subparagraph></paragraph></subsection><subsection display-inline="no-display-inline" commented="no" id="id1CEF1AB74E6B4974A9ADF782F1774DD9"><enum>(c)</enum><header>Regulations</header><text>Not later than 180 days after the date of enactment of this Act, the Securities and Exchange Commission shall issue final regulations, or amend existing regulations of the Commission, to carry out this section.</text></subsection><subsection display-inline="no-display-inline" commented="no" id="idA8ACDD6022504CC2BEA7094C2C9E5C91"><enum>(d)</enum><header>Effective date</header><text>This section shall take effect on the date on which the Securities and Exchange Commission issues final regulations under subsection (c) or completes the amendments required under that subsection, as applicable.</text></subsection></section><section id="id1e94113ddd8f41bbb1eabe750f2dc341"><enum>5.</enum><header>Funding</header><text display-inline="no-display-inline">In addition to amounts otherwise available, there is appropriated to the Commission for fiscal year 2023, out of any money in the Treasury not otherwise appropriated, $1,000,000,000, to remain available until September 30, 2032, for carrying out work of the Commission.</text></section></legis-body></bill>
