<distribution-code display="yes">II</distribution-code><congress>117th CONGRESS</congress><session>2d Session</session><legis-num>S. 3947</legis-num><current-chamber>IN THE SENATE OF THE UNITED STATES</current-chamber><action><action-date date="20220329">March 29, 2022</action-date><action-desc><sponsor name-id="S389">Mr. Kennedy</sponsor> introduced the following bill; which was read twice and referred to the <committee-name committee-id="SSBK00">Committee on Banking, Housing, and Urban Affairs</committee-name></action-desc></action><legis-type>A BILL</legis-type><official-title>To amend the Securities Exchange Act of 1934 to permit different tick sizes for emerging growth companies, and for other purposes.</official-title></form><legis-body><section id="S1" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Intelligent Tick Study Act</short-title></quote>.</text></section><section id="idec75e25029024cf188ef1fd77ca54832"><enum>2.</enum><header>Tick sizes</header><text display-inline="no-display-inline">Section 11A(c)(6) of the Securities Exchange Act of 1934 (<external-xref legal-doc="usc" parsable-cite="usc/15/78k-1">15 U.S.C. 78k–1(c)(6)</external-xref>) is amended to read as follows:</text><quoted-block style="OLC" display-inline="no-display-inline" id="id67d92c5855834a6fbcda76bdf2f23b03"><paragraph id="idf3c94a3c8f97479c8697bd56ca3312d5" indent="up1"><enum>(6)</enum><header>Tick size</header><text>If the Commission determines that the securities of emerging growth companies should be quoted and traded using a minimum increment of greater than $0.01, the Commission may, by rule, designate a minimum increment for the securities of emerging growth companies that is greater than $0.01 but not more than $0.25 for use in all quoting and trading of securities in any exchange or other venue.</text></paragraph><after-quoted-block>.</after-quoted-block></quoted-block></section><section id="id61546a32ee92478aa8e3518340ca5b81"><enum>3.</enum><header>Report</header><subsection id="id8127A005FE504D63B0A2C6CFB0A40224"><enum>(a)</enum><header>Definition of security</header><text>In this section, the term <term>security</term> has the meaning given the term in section 3 of the Securities Exchange Act of 1934 (<external-xref legal-doc="usc" parsable-cite="usc/15/78c">15 U.S.C. 78c</external-xref>).</text></subsection><subsection id="idC2A37D9F62B743BBB62788772307CC51"><enum>(b)</enum><header>Report</header><text display-inline="yes-display-inline">Not later than 1 year after the date of enactment of this Act, the Securities and Exchange Commission shall conduct a study and submit to Congress a report that examines—</text><paragraph id="id33D6DE54C01744DC82D3269A26858228"><enum>(1)</enum><text display-inline="yes-display-inline">the transition to trading and quoting securities in increments other than $0.01, which includes increments higher and lower than $0.01;</text></paragraph><paragraph id="id9DA7FDFF19E8494886EAF7C80C28A13F"><enum>(2)</enum><text display-inline="yes-display-inline">the impact that the change described in paragraph (1) has had on liquidity and market quality for small, middle, and large capitalization company securities; and </text></paragraph><paragraph id="idBAF1929D7266437D857E3F2E6068CE17"><enum>(3)</enum><text display-inline="yes-display-inline">whether there is sufficient economic incentive to support trading operations in the securities described in paragraph (2) in increments other than $0.01. </text></paragraph></subsection></section></legis-body></bill>
