which was read twice and referred to the <committee-name committee-id="SSBK00">Committee on Banking, Housing, and Urban Affairs</committee-name></action-desc></action><legis-type>A BILL</legis-type><official-title>To permit the Securities and Exchange Commission to increase regulatory exemption thresholds, and for other purposes.</official-title></form><legis-body display-enacting-clause="yes-display-enacting-clause"><section section-type="section-one" id="S1"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Increasing Opportunities for Retail Investors Act</short-title></quote>.</text></section><section id="id98C0FDC6284A4D11A1D663110BFBFB9A"><enum>2.</enum><header>Regulatory dollar thresholds and limitations</header><text display-inline="no-display-inline">Notwithstanding any other provision of law or regulation, the Securities and Exchange Commission, in order to reduce any regulatory obligation (or any restriction) on any entity, may, as the Commission determines appropriate, increase any dollar threshold or limitation by rule of the Commission, including any dollar threshold or limitation under—</text><paragraph id="id0D087F5BF1994D01B7884029BDF56288"><enum>(1)</enum><text>section 230.251(a)(1) of title 17, Code of Federal Regulations, or any successor regulation;</text></paragraph><paragraph id="idBCFAC36D2BD447D1AE2C31A762F8AFEC"><enum>(2)</enum><text>section 230.251(a)(2) of title 17, Code of Federal Regulations, or any successor regulation;</text></paragraph><paragraph id="id13BBF1A0446B488683166FEC29F655B0"><enum>(3)</enum><text>section 230.504 of title 17, Code of Federal Regulations, or any successor regulation;</text></paragraph><paragraph id="idE9AEDB07CF964946BB353F2B863B2EF0"><enum>(4)</enum><text>section 227.100(a)(1) of title 17, Code of Federal Regulations, or any successor regulation;</text></paragraph><paragraph id="idCD01137210814E7EB8A489F6C7FD5128"><enum>(5)</enum><text>section 229.10(f) of title 17, Code of Federal Regulations, or any successor regulation;</text></paragraph><paragraph id="idD32FE52FC086445EB000100E7D10E1FA"><enum>(6)</enum><text>section 230.405 of title 17, Code of Federal Regulations, or any successor regulation; or</text></paragraph><paragraph id="idF3623E0C6CCC4503B4AF13F6A6FE8316"><enum>(7)</enum><text>section 240.12b–2 of title 17, Code of Federal Regulations, or any successor regulation.</text></paragraph></section><section id="idda393d6b16564fb9bff278a93848b5f0"><enum>3.</enum><header>Jobs act-related exemption</header><text display-inline="no-display-inline">Section 3(b) of the Securities Act of 1933 (<external-xref legal-doc="usc" parsable-cite="usc/15/77c">15 U.S.C. 77c(b)</external-xref>) is amended—</text><paragraph id="idd01e1ebfd5f3464093d6731f3043744b"><enum>(1)</enum><text>in paragraph (2)(A), by striking <quote>$50,000,000</quote> and inserting <quote>$75,000,000, adjusted for inflation by the Commission every 2 years to the nearest $10,000 to reflect the change in the Consumer Price Index for All Urban Consumers published by the Bureau of Labor Statistics</quote>; and</text></paragraph><paragraph id="id2ce80d7de7064acaab44b0f3938d957d"><enum>(2)</enum><text>in paragraph (5)—</text><subparagraph id="id97f83cfd4c7942438859356fd6a61c7c"><enum>(A)</enum><text>in the first sentence, by striking <quote>such amount as</quote> and inserting the following: <quote>such amount, as adjusted for inflation under paragraph (2)(A), as</quote>; and</text></subparagraph><subparagraph id="idf12768951f92456dbe700f9c320fd963"><enum>(B)</enum><text>in the second sentence, by striking <quote>such amount</quote> and inserting the following: <quote>such amount, as adjusted for inflation under paragraph (2)(A)</quote>.</text></subparagraph></paragraph></section><section id="idec78d1f38be643d6ad09af5199bdae62"><enum>4.</enum><header>Crowdfunding exemption</header><paragraph id="idbfbf61f0eacb43df8f0c487648f3d97f"><enum>(1)</enum><header>Increase in limit of amount sold in reliance on the crowdfunding exemption</header><text>Section 4(a)(6)(A) of the Securities Act of 1933 (<external-xref legal-doc="usc" parsable-cite="usc/15/77d">15 U.S.C. 77d(a)(6)(A)</external-xref>) is amended by striking <quote>$1,000,000</quote> and inserting <quote>$5,000,000</quote>.</text></paragraph><paragraph id="iddb8582a40dc443689d05a87fc2ce96b1"><enum>(2)</enum><header>Clarification of transaction caps</header><text>Section 4(a)(6)(B) of the Securities Act of 1933 (<external-xref legal-doc="usc" parsable-cite="usc/15/77d">15 U.S.C. 77d(a)(6)(B)</external-xref>) is amended—</text><subparagraph id="ide5a547f684a340eaba3c6d047234f42c"><enum>(A)</enum><text>in clause (i), by inserting <quote>the greater of</quote> after <quote>5 percent of</quote>; and</text></subparagraph><subparagraph id="id15688c08564f4b1899df1ecb508b9efa"><enum>(B)</enum><text>in clause (ii), by inserting <quote>the greater of</quote> after <quote>10 percent of</quote>. </text></subparagraph></paragraph></section></legis-body></bill>
