<distribution-code display="yes">II</distribution-code><congress>117th CONGRESS</congress><session>1st Session</session><legis-num>S. 3249</legis-num><current-chamber>IN THE SENATE OF THE UNITED STATES</current-chamber><action><action-date date="20211118">November 18, 2021</action-date><action-desc><sponsor name-id="S247">Mr. Wyden</sponsor> (for himself and <cosponsor name-id="S410">Ms. Lummis</cosponsor>) introduced the following bill; which was read twice and referred to the <committee-name committee-id="SSFI00">Committee on Finance</committee-name></action-desc></action><legis-type>A BILL</legis-type><official-title>To revise the rules of construction applicable to information reporting requirements imposed on brokers with respect to digital assets, and for other purposes.</official-title></form><legis-body><section id="S1" section-type="section-one"><enum>1.</enum><header>Rules of construction applicable to information reporting requirements imposed on brokers with respect to digital assets</header><subsection id="idA5264F002CAF44D1909ABF415CBF10C9"><enum>(a)</enum><header>In general</header><text>Section 80603 of the Infrastructure Investment and Jobs Act is amended by striking subsection (d) and inserting the following:</text><quoted-block style="OLC" display-inline="no-display-inline" id="id8CABF4C5945346048F4B97B420B5339A"><subsection id="idB9471C9D5BCC4167B3D814B6915A1AFE"><enum>(d)</enum><header>Rule of construction</header><paragraph id="id75A22BB33F1840CFBF756199E6793B40"><enum>(1)</enum><header>Definition of broker</header><text>Nothing in this section or the amendments made by this section shall be construed to create any inference that a person described in <external-xref legal-doc="usc" parsable-cite="usc/26/6045">section 6045(c)(1)(D)</external-xref> of the Internal Revenue Code of 1986, as added by this section, includes any person solely engaged in the business of—</text><subparagraph id="id1EE1A42B8CB44A74BA97BA93E372F2E3"><enum>(A)</enum><text>validating distributed ledger transactions,</text></subparagraph><subparagraph id="idB55187256CDF4F268D8B6C94D217B3FA"><enum>(B)</enum><text>selling hardware or software for which the sole function is to permit a person to control private keys which are used for accessing digital assets on a distributed ledger, or</text></subparagraph><subparagraph id="id2716E59AAEEB4CB58906C9F8F9F9CCA1"><enum>(C)</enum><text>developing digital assets or their corresponding protocols for use by other persons, provided that such other persons are not customers of the person developing such assets or protocols.</text></subparagraph></paragraph><paragraph id="id3F541CCF42304118B97BE1961DFAE8DD"><enum>(2)</enum><header>Brokers and treatment of digital assets</header><text>Nothing in this section or the amendments made by this section shall be construed to create any inference, for any period prior to the effective date of such amendments, with respect to—</text><subparagraph id="id9D0A26C1202144E79BA204F9CC6B3114"><enum>(A)</enum><text>whether any person is a broker under <external-xref legal-doc="usc" parsable-cite="usc/26/6045">section 6045(c)(1)</external-xref> of the Internal Revenue Code of 1986, or</text></subparagraph><subparagraph id="id7DF53A1EE6FE4983A81ADA82AFA6CBDD"><enum>(B)</enum><text>whether any digital asset is property which is a specified security under section 6045(g)(3)(B) of such Code.</text></subparagraph></paragraph></subsection><subsection id="id34FC7A2689104D3F8C75F6B0B41F8A67"><enum>(e)</enum><header>Sense of Congress</header><text>It is the sense of Congress that nothing in the amendments made by this section shall be construed to have any effect on the Securities Act of 1933 (<external-xref legal-doc="usc" parsable-cite="usc/15/77a">15 U.S.C. 77a et seq.</external-xref>) or the Securities Exchange Act of 1934 (<external-xref legal-doc="usc" parsable-cite="usc/15/78a">15 U.S.C. 78a et seq.</external-xref>).</text></subsection><after-quoted-block>.</after-quoted-block></quoted-block></subsection><subsection id="idCBCEDC9FB2AF4C9BA20CD9B11110BE51"><enum>(b)</enum><header>Effective date</header><text>The amendments made by this section shall take effect as if included in the enactment of section 80603 of the Infrastructure Investment and Jobs Act.</text></subsection></section></legis-body></bill>
