which was read twice and referred to the <committee-name committee-id="SSBK00">Committee on Banking, Housing, and Urban Affairs</committee-name></action-desc></action><legis-type>A BILL</legis-type><official-title>To direct the Securities and Exchange Commission to revise any rules necessary to enable issuers of index-linked annuities to register on a form tailored specifically to registered index-linked annuities, and for other purposes.</official-title></form><legis-body style="OLC" display-enacting-clause="yes-display-enacting-clause" id="H76E103C098B24E39AE8671D563AC98F4"><section section-type="section-one" id="HD67D2549EE23450C9B42E75BE91441E2"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Registration for Index-Linked Annuities Act</short-title></quote>.</text></section><section id="H60EAAC28F36B4135AF26BE4BE1209DC1"><enum>2.</enum><header>Parity for registered index-linked annuities regarding registration rules</header><subsection id="HCF7F2699E311451BBCB650FA204DA533"><enum>(a)</enum><header>Definitions</header><text>In this section:</text><paragraph id="H5960EFCFDB65467FB693820CB3BCAF6F"><enum>(1)</enum><header>Commission</header><text>The term <term>Commission</term> means the Securities and Exchange Commission.</text></paragraph><paragraph id="id06CFC36FADBF4C11A4719E16C52B4185"><enum>(2)</enum><header>Investment company</header><text>The term <term>investment company</term> has the meaning given the term in section 3 of the Investment Company Act of 1940 (<external-xref legal-doc="usc" parsable-cite="usc/15/80a-3">15 U.S.C. 80a–3</external-xref>).</text></paragraph><paragraph id="H114121C6ED7346D8AE208B2A6213F3CC"><enum>(3)</enum><header>Market value adjustment</header><text>The term <term>market value adjustment</term> means, with respect to a registered index-linked annuity—</text><subparagraph id="HCF56E8D43B9342029C9D24C428A656BA"><enum>(A)</enum><text>an adjustment to the value of that annuity based on calculations using a predetermined formula; or</text></subparagraph><subparagraph id="HB3A3FD7AC5DB4C5FA5BF5605A3F063C6"><enum>(B)</enum><text>a change in interest rates (or other factor, as determined by the Commission) that applies to that annuity after an early withdrawal or contract discontinuance.</text></subparagraph></paragraph><paragraph id="HC5082C56A0334B3F8824450AE6843A72"><enum>(4)</enum><header>Purchaser</header><text>The term <term>purchaser</term> means a purchaser of a registered index-linked annuity.</text></paragraph><paragraph id="H6F42BBC32BDF4952BEABF25951A68B53"><enum>(5)</enum><header>Registered index-linked annuity</header><text>The term <term>registered index-linked annuity</term> means an annuity—</text><subparagraph id="HAF7A813BC0114EB2A97A2656CA4D678E"><enum>(A)</enum><text>that is deemed to be a security;</text></subparagraph><subparagraph id="H55D8C2503A664DD1984C5AE8E7D8816F"><enum>(B)</enum><text>that is required to be registered with the Commission;</text></subparagraph><subparagraph id="HC137B9CD09FE49278282FA229FF5FBC0"><enum>(C)</enum><text>that is issued by an insurance company that is subject to the supervision of the insurance commissioner of the applicable State;</text></subparagraph><subparagraph id="H7D88B5ACBC174705A8B233BC08BBA962"><enum>(D)</enum><text>that is not issued by an investment company; and</text></subparagraph><subparagraph id="H5AFD338989394064AC2D0F5E6872D309"><enum>(E)</enum><text>the returns of which—</text><clause id="H057E2D720C4F47CDA8B9E6B064C51038"><enum>(i)</enum><text>are based on the performance of a specified benchmark index or rate; and</text></clause><clause id="HC867917CECFC4CC68C870EDFA0426B14"><enum>(ii)</enum><text>may be subject to a market value adjustment if amounts are withdrawn before the end of the period during which that market value adjustment applies.</text></clause></subparagraph></paragraph><paragraph id="HA951A82DA73C4A9685AE77DA36D9ED5C"><enum>(6)</enum><header>Security</header><text display-inline="yes-display-inline">The term <term>security</term> has the meaning given the term in section 2(a) of the Securities Act of 1933 (<external-xref legal-doc="usc" parsable-cite="usc/15/77b">15 U.S.C. 77b(a)</external-xref>).</text></paragraph></subsection><subsection id="HFE78969991CD4BBEBAB66C85AE332FF1"><enum>(b)</enum><header>Rules</header><paragraph id="H0F9D9877BF9547BCA3FC098F990208D0"><enum>(1)</enum><header>In general</header><text>Not later than 180 days after the date of enactment of this Act, the Commission shall propose, and, not later than 18 months after the date of enactment of this Act, the Commission shall prepare and finalize, new or amended rules, as appropriate, to establish a new form in accordance with paragraph (2) on which an issuer of a registered index-linked annuity may register that registered index-linked annuity, subject to conditions the Commission determines appropriate.</text></paragraph><paragraph id="H556A6E536EF94756ACD3294AE6F63211"><enum>(2)</enum><header>Design of form</header><text>In developing the form to be established under paragraph (1), the Commission shall—</text><subparagraph id="H450BC0095E9E495AB94DDD445CFE7F67"><enum>(A)</enum><text>design the form to ensure that a purchaser using the form receives the information necessary to make knowledgeable decisions, taking into account—</text><clause id="H558940E1A88E4AB482E36A749773B5EF"><enum>(i)</enum><text>the availability of information;</text></clause><clause id="H47ADAD58B9754F7C844517ABDE662E99"><enum>(ii)</enum><text>the knowledge and sophistication of that class of purchasers;</text></clause><clause id="H3EC0A04A344C4010BE57FF9EFF6E3B9D"><enum>(iii)</enum><text>the complexity of the registered index-linked annuity; and</text></clause><clause id="HF09894B8F3CF46708583370882C7662D"><enum>(iv)</enum><text>any other factor the Commission determines appropriate; </text></clause></subparagraph><subparagraph id="H6959AFE4EC194DEE81D3294B170F511F"><enum>(B)</enum><text>engage in investor testing; and </text></subparagraph><subparagraph id="id2B231F1FD9774624B7F399C8DAEDAB2F"><enum>(C)</enum><text>incorporate the results of the testing required under subparagraph (B) in the design of the form, with the goal of ensuring that key information is conveyed in terms that a purchaser is able to understand.</text></subparagraph></paragraph></subsection><subsection id="HC3EDDDC643C34547A43EED583EF0F21D"><enum>(c)</enum><header>Treatment if rules not prepared and finalized in a timely manner</header><paragraph id="id428438D9C6904420A01447F7877042B9"><enum>(1)</enum><header>In general</header><text>If, as of the date that is 18 months after the date of enactment of this Act, the Commission has failed to prepare and finalize the rules required under subsection (b)(1), any registered index-linked annuity may be registered on the form described in section 239.17b of title 17, Code of Federal Regulations, or any successor regulation. </text></paragraph><paragraph id="id286132362CDE4B2289168DA9E9A8B40D"><enum>(2)</enum><header>Preparation</header><text>A registration described in paragraph (1) shall be prepared pursuant to applicable provisions of the form described in that paragraph.</text></paragraph></subsection><subsection id="HA3FE92326CCD4B128DAD57471DCA1E63"><enum>(d)</enum><header>Rules of construction</header><text>Nothing in this section may be construed to—</text><paragraph id="HE1C0EC85737F4FD08B5ECCC3492E24F5"><enum>(1)</enum><text>limit the authority of the Commission to determine the information to be requested in the form described in subsection (b); or</text></paragraph><paragraph id="H1D43DB64899C43CFBC1F07AF17DF329E"><enum>(2)</enum><text>preempt any State law, regulation, rule, or order.</text></paragraph></subsection></section></legis-body></bill>
